3. That the rent lor the use, occupation and enjoyment of the Demised Premises for
the said initial period of Twenty (20) years shall be Rs. 8.000/- (Rupees Eight
Thousand Only) per month payable on monthly basis as and when-the rent falls
due during the said term and renewal thereof.
That the Lessee shall have the lirin option to renew this Lease for further term of
ten (10) years at the rent of Rs. 8,800/- (Rupees Eight Thousand Eight Hundred
Only) per month while the other terms and conditions shall be the same as are
herein contained. Such option shall be exercisable by the Lessee by notice in
writing to the Lessor before the expiry of the current term of Lease. The failure to
give notice of renewal will not deprive the Lessee to renew the Lease at any time
and the Lessor undertakes to renew the Lease if the Lessee at any time so desires.

Lessor, if any, and if the Lessee pays or is required or is compelled to
make payment on these accounts by any process of law or otherwise the
Lessor hereby authorizes and gives his consent jo the Lessee to pay the

6.5 The Lessor shall not sell,. transfer, mortgage, charge, lease, alienate or
encumber the Demised Premises in any way whatsoever nor shall enter
into any agreement with any other Party in respect thereof-. If at any time

(i) That the Lessee shall have the right and liberty to install, erect,
construct, raise, build, manage, maintain, establish and run, in and
over the said Demised Premises roadways, pathways, compound
walls, fencing, railings, Pump Outfit or Outfits, CNG / LPG
storage tanks, pumps, all manners of underground or over ground
tank or tanks with necessary fittings and pipelines, petrol and
diesel oil delivery pumps connected with such tanks, shelter for
attendants ,workshops, shop, marts, call cares, car wash, tyre care,
convenience store or other conveniences and also such other
fittings, building, facility, erection or equipment whether of
temporary or permanent nature as may be required for the purpose
of storing, selling or otherwise carrying on the trade in petrol,
petroleum products, oil, CNG 1 LPG and kindred motor,
accessories and/or any kind of trade or business which the Lessee
in its absolute discretion deems fit.
(ii) That the Filling / Service Station shall remain the property or the
Lessee not withstanding that it may comprise fixtures embedded in
or attached to the earth and the Lessor shall have no claim thereto
in any manner whatsoever.
(iii) That the Lessee shall store, handle or sell the petroleum products
and petrol kindred accessories at the Derni;ettfRtirpises through its G., I
franchisees, operators, distributors and cOntractors or ageAts and
can underlet the same to them without permission of t essor. •
That the Lessee shall be at ,ty.to undcj,or sublet or assign

payment of rent or any other remedy available under the law.
7.5 If the Lessee shall omit to perform or observe any covenant or condition
on the part of the Lessee herein contained and shall continue for 90 days
after notice in writing thereof to the Lessee, the Lessor shall be entitled to
seek redress through Court of Law for the performance or observance of
such covenant or condition by the Lessee.
7.6 It is hereby agreed that the performance of the conditions and covenants
on-the part of the Lessee herein above mentioned is subject to the grant of
all necessary sanctions from lawful authorities as required for the
development and maintenance of the Filling/Service Station on the
Demised Premises. In the event Lessee fails to secure necessary
permissions / sanctions of the Government and lawful authorities for the
use of the Demised Premises as hereinabove mentioted, the lease
hereunder may be determined and revoked by the Lessee in its absolute
discretion and either Party hereto shall have no claim against each other
whatsoever from the date of such determination/ revocation.

7.9 In the event of the Demised Premises being acquired by the Government
or by any lawful authority or If the Lessees will be unable to carryout their
normal trade and business on the Demised Premises due to any restriction
being imposed by lawful authority, the Lessees will have the option to
determine this lease, and the Lessee shall be entitled to remove from the
Demised Premises all structures, erections, materials property belonging
to them without any hindrance, and either, Party hereto shall have no
claim against each other from the date of such acquisition or determination
as the case may be, provided that the rent paid by the Lessee for the
unexpired period of this lease shall be refunded by the Lessor, and
provided further that the Lessee shall be entitled to receive their share of
compensation if paid by the Government or any lawful authority against
the said acquisition or restriction.
7.10 In the event of the Demised Premises or .any part thereof- being so
destroyed or damaged by act of God, violence, civil commotion, fire or
explosion, tempest, flood, inevitable accident irresistible force as to render
the same unfit for habitation or use, the Lessor shall forthwith start

partially unfit for habitation or use as aforesaid by notice in writing to the

7.11 In the event of the entire or any part of the Demised premises being
compulsorily acquired by any Governmental Authority, or evacuated, the

7.12 Upon expiry of this lease or renewed periods thereof or determination of
the lease for whatsoever reasons, if any, the Lessee shall be entitled to
remove all their building, underground / over ground tanks, structures,
fixtures & fittings, plant, machinery and equipment etc., which may have
been constructed built, erected or installed by them and the Lessor agrees
not to object, interfere or resist the removal or demolishing of any of the
materials by the Lessee.
7.13 The Lessor hereby agrees that if at any time during the term of this lease
any amount is outstanding and payable and/or becomes due and payable
by him tp the Lessee on any account whatsoever tr zee shall have the
absolute right to deduct the amount so outstaticling frork rent payable s,. •
to the Lessor in respect of the Demised Premises.
8. Any notice, communication or letter to be given by a Party under thi ilkgreement

10. In this Agreement where the context so admits:
(a) if the Demised Premises is held by the Lessor under a Lease or sub-lease,
the expressions "Lessor" , "Lessee", "Lea::c" and "Lease Deed" used in
this Agreement shall be read as "Sub-Lessor", "Sub-Lessee", "Sub-Lease"
and "Sub-Lease Deed" respectively;
(b) a word denoting one gender includes the other genders;
(c) a word denoting the singular includes the plural and vice versa; and
(d) where a word or phrases is given a particular meaning other parts of
