COMPANY HISTORY

D&T Engineering and Contracting for MEP Contractinghas established in Istanbul with partnership of DoguElectrical and Electronics Contracting Co., TronEngineering and Contracting Co. D&T’s services areuniquely positioned to serve this segment of themarket because of its multi-disciplined engineeringbackground, its international experienced work force,and reliable steadfast reputations of its topmanagement in the market.

The first company within D&T Group of Companies;Dogu Electrical and Electronics Contracting wasestablished on 1997 by Mr.Ertan Aygun and Mr.DevrimErcetin in Istanbul, Turkey. Their objective is to providebuilding services (design and contracting) in electricalengineering.

Dogu has designed, and built projects that includecorporate offices, banking and financial institutions,five star hotels, health care facilities, universitybuildings and residential developments.

Dogu has completed projects in Azerbaijan, Georgia,Kazakhstan, Turkey, Ukraine and Uzbekhstan.

Tron Engineering and Contracting Co. established byMr.Onder BOYALIKLI and Mr.Necmettin ATES bothpreviously Partners and Board Members of SamkoGroup, Turkey. Samko is leading internationalelectro-mechanical contracting company executingprojects in Europe, Russia and the Middle East. Totalprojects completed by Samko in multi serviceengineering and contracting, have reached nearly 400million USD.

Subsequently due to the continuous growth ofbusiness in Ukraine, Kazakhstan, Qatar, Moldavia,Libya, Romania and Azerbaijan , local subsidiariesCompanies of D&T Group were established in thesecountries.

COST CONTROL

Based on the project estimate, project management teamset up detailed and interlinked project execution plan,taking into consideration the contractual time schedule.

After establishing the Project Execution Plan and adjustingit to the specific needs of the project, the projectmanagement team can set certain priorities, which will bemonitored more closely. Examples of those integral partscould be as follows:

Cost Center Detailed analysis of design progress

Cost per specific section; per quantity or per time (cost/performance ratios e.g. per floor )

Detailed cost split ( wages, material, equipment ) persection or certain parts of the construction

Proportion of direct to indirect costs

Cost Types Efficiency of labour working hours, including development

of actual paid wages

Staff scheduling

Development of material costs including ratio of wastedmaterial

Efficiency of equipment used plus hourly cost perequipment

All required information will be consistently collected fromvarious sources, e.g. planning, accounting, and sitemanagement. All data will be entered into a system on aweekly basis. Based on this system, a detailed analysis ofcost and performance will be prepared, leading to amonthly updated forecast of the final cost.

QUALITY CONCEPT

STATEMENT

The Project Management herewith states itscommitment to establish on the project an effective QC-Organization to ensure that quality requirements for theproject are met.

We will ensure that the requirements laid down in theProject Management System and QC-Manual areunderstood and implemented at all levels of theorganization. Management Personnel and each individualemployee will apply and contribute to the continuousimprovement of the system.

Our joint aim shall be that all work from design throughto completion of the contract is performed on schedule ina safe, efficient, environmentally sensitive and costeffective manner.

The QC-System shall be applied as a management toolto plan, execute and document all activities effectingquality within the scope of works as defined in theContract and applicable Statutory Regulations.

In this respect the Project Management will ensure thatpersonnel involved in QC-activities will be appropriatelyqualified and trained to perform their tasks.

Suppliers and subcontractors shall establish their ownQC-Organization on the basis of this QC-System.

All project personnel are required to support the QC-Organization.

QUALITY PROCEDURES

Quality Control and Quality Assurance Procedures

QC & QA department will be responsible for checking the

compliance of materials and/or installation, with the

specifications and local/international standards. After the

completion of the installation, QC & QA department will

inspect if the requirements of the specifications and codes

are satisfied.. Any non-compliance with specifications or

codes will be transmitted by the QC & QA department to the

Project Management via internal communication.

Document Management

The Technical Office on site will manage all the

documentation of the project. All documentation will be

recorded and filed with appropriate referencing for easy

future reference. All the documentation will be accessible

for review by the QC & QA Department.. All correspondence

i.e., instructions, requisitions, order forms, reports, etc. are

prepared and filed in a computerized environment.

Quality of Design

Design quality management will be made according tothe following procedure:

Preparatory Meetings: These meetings arerequired to record the specific design/shopdrawing parameters prior to starting the designprocess.

Request for Information: Any furthercontingencies and unclear points will be askedfrom the Engineer via Request for Information(RFI) forms.

Design Coordination Meetings: In these regularmeetings, intermediate results and draft planswill be discussed to satisfy the needs of theEmployer.

Pre-Submittal Review: Engineering Managers willcheck the drawings for compliance withspecifications and local/intenational standards.

Coordination Plans: Prior to submittal of eachdiscipline drawings, multidiscipline coordinationplans will be prepared and modifications on eachdiscipline drawings will be done accordingly.

Drawing Submittal: After completing all thosesteps, the drawings will be submitted for thereview of the Engineer.

If any corrections and modifications are required on thedrawings, these will be completed in a maximum of 14days after receipt of the drawing.

All calculations will either be done using system specificsoftware, such as Cooling Load Calculation Software, orExcel Spreadsheet. All the design reports will beprepared in a Word format. All drawings will be preparedunder the latest Version of Autocad.

Construction Quality Control

Upon completion of any MEP installation, responsiblemechanical or electrical site engineer will call theQC&QA engineer for an initial inspection. QC&QAengineer will be present with the relevant approved shopdrawings.

The QC&QA engineer will check the installation forcompliance with the drawings and specifications. If anynon-compliance is found to exist, the QC&QA Engineerfills in a Request for Correction Form. If any alteration isessential due to a site constraint, the QC&QA Engineernotes this in order to describe the alteration on theInspection Form.

Upon filling in the Inspection form, the QC&QA engineercalls the Engineer’s inspector for a site inspection andattends the inspection. If any comments arise during theinspection, this will be noted by the Engineer’s Inspectoron the Inspection Form. The QC&QA engineer transmitsa copy of this inspection form to the responsible siteengineer and follows up the correction.

Upon finalization of the correction of comments, theQC&QA engineer calls the Engineer’s inspector for a re-inspection under a revision for the same referencedInspection Form.

THE BOARD OF DIRECTORS

The role of the Board of Directors covers the following keyroles;

Determining overall Company policies,

Supervising the General Manager,

Apart from these general responsibilities, theBoard of Directors is also required to fulfill anumber of specific tasks:

Determination of the Company’soperational plans, its priorities andfinancing resources, namely theCompany’s budget;

Assessment of the Company’s financialstatus and determination of its creditframework;

Drawing up and approval of the financialstatements, on a quarterly basis; and

Reporting to the Annual General Meetingon the Company’s current status andbusiness performance.

Composition of the Board of Directors

D&T’s Executive Committee includes four shareholders ofthe company, each having international expertise inelectro-mechanical engineering discipline and buildingservices which are utilized in the core businesses andrepresent the company and responsible from all thecompany activities.

HEALTH & SAFETY POLICY

We are committed to minimizing the risk of accidents andsubsequently injuries or fatalities, in order to maintain thehealth and safety of our employees and others. Along withthe cooperation of our clients, we devise appropriatepreventive measures.

To meet the obligations resulting from this Health andSafety Policy, D&T Group continuously sets appropriateobjectives.

In our work, we undertake to observe all relevant laws andother stipulations regarding Health and Safety. We integratehealth and safety measures into all project plans andprocedures. This facilitates the early, systematicidentification and assessment of hazards, enabling these tobe minimized and thus reducing the risk of accidents.

Right from the planning phase, we take precautionarymeasures, such as consulting experts and by staying intouch with relevant authorities, in order to avoid dangers orhazards and to prevent accidents.

Health and safety management represents an essentialaspect of D&T quality. We set and follow high standards inactive and passive safety measures, and oblige oursubcontractors to adopt similar standards.

We promote safety consciousness among all employees bymeans of training and on-the-spot instructing. We relyprimarily on our employees - who are in a better position tospot dangerous conditions - to provide recommendationsfor any improvements.

ENVIRONMENTAL PROTECTION

Although D&T's activities do not affect the Environment

directly, all employees including Management, Operatives

and Supervision Team will apply the principles of material

and energy conservation to minimize wastage within all

Company operations. We believe that our multi-service

working philosophy greatly increases our effectiveness and

capability to apply relevant technologies in order to meet

the principles of energy conservation and thus minimize

Environmental Pollution.

Additionally, each employee of D&T will keep working areas,

as well as the environment, clean and tidy as much as

possible and practicable, ensuring the outcome of

Environmental Awareness.

D&T’s Executive Committee gives its full support to this

Policy Statement. Environmental Health and Safety issues are

discussed at every Board Meeting. This Statement of

Environmental Health and Safety Policy applies to all

Company operations. The Policy will be reviewed at least

annually and if necessary, amended to ensure that it is kept

up to date.
