TransPort Hip Access System
The TransPort Cannulas are offered in 3 hip-specific lengths to accommodate most patient sizes. The versatile cannulas allow for in-situ adjustments to account for swelling and help maintain optimal positioning within the joint space The polymer construction is designed to reduce the potential for iatrogenic damage, while the proximal securement threads are designed to maintain portal position during instrument insertion and removal. Cannulas accept most commonly used instruments including curved shavers and burrs, allowing for a reduction in the amount of naked portal plunges to help protect soft tissues from iatrogenic damage.

Terms & Conditions of Supply
1. Interpretation
In these terms and conditions: “Customer” means a person (including a successor or an assignee) acquiring the goods and/or services from Stryker; “person” includes body corporate, firm, unincorporated body, a joint venture, partnership, association or government agency; “Stryker” means Stryker Australia Pty Ltd ABN 48 002 873 850; “goods” means any equipment, material, components, merchandise or other products supplied by Stryker; Related Body Corporate has the meaning set out in section 50 the Corporations Act, 2001. These terms and conditions are in lieu of and replace any and all terms and conditions set forth in any documents issued by Customer.
2. Delivery & Risk
Unless otherwise agreed between Stryker and Customer delivery terms are FOB Stryker’s dispatch warehouse (as defined in Incoterms 2010). Delivery shall be deemed to have been made when Customer’s goods have been delivered to a carrier nominated by Customer or failing such nomination then to a carrier selected by Stryker. Customer bears the risk of any loss, damage or deterioration to the goods due to any cause whatsoever after such delivery and is responsible for all transportation costs in bringing the goods to their final destination. Any agreed date of delivery is an estimate only. Stryker does not guarantee delivery on that date and accepts no liability for delay in delivery for any reason whatsoever. Late, short or defective delivery does not entitle Customer to cancel any order. Urgent or expedited deliveries such as deliveries requested with less than 24 hours notice, loan kit deliveries that do not result in any purchase of Stryker goods or a delivery outside Stryker’s usual business hours of 7.00am to 5.00pm during business days may incur a special delivery charge at Stryker’s standard rates for that type of delivery,
3. Inspection & Acceptance
Customer agrees to inspect and/or test the goods promptly on receipt. The goods shall be deemed accepted by Customer unless Customer provides Stryker a timely written notice specifically notifying of defects or discrepancies in the quality or quantity of the goods received. All notices regarding non-conforming goods, shortages, rejection or revocation of acceptance must be made in writing and received by Stryker no later than 30 days from the date of Stryker’s invoice which Customer agrees is a reasonable time-frame to diligently inspect and provide notice to Stryker. Customer waives any right to reject the shipment or revoke acceptance thereafter.
4. Price
The purchase price for goods will, unless otherwise agreed in writing, be the price in Stryker’s price list(s) current, a) in the case of consignment stock and loan stock, on the date on which Customer uses the goods, or b) on the date the goods are delivered to Customer. Stryker may alter prices without notice and the purchase price of goods may be different from the price quoted or the price current when the goods were ordered. Prices in Stryker’s price lists do not include the cost of delivery. Prices are also exclusive of Goods and Services Tax (GST) and GST will be added to the price where applicable.
5. Settlement Terms
Customer must pay an invoice amount within thirty days (30 days) of the invoice date. Stryker reserves the right to charge interest on any overdue amounts at a rate of 2.5% per annum above the prevailing bank overdraft rate applying to Stryker as advised by Stryker (and subject to variation from time to time) until the overdue amounts are paid in full (to accrue from day to day). Stryker may also charge Customer for all costs and expenses incurred by Stryker in obtaining (or attempting to obtain) a remedy for any failure to pay on the due date.
6. Claims
Any claim of short or defective delivery must be made within seven (7) days of goods arriving at the delivery address. A claim of damaged goods must be made within fourteen (14) days of receipt of goods and be supported by a survey report or other documentary evidence as required by Customer’s insurance company. If Customer’s shipment is insured under a floating policy it must notify its insurance company of any claim.

7. Returned Goods
Stryker will not accept returned goods for which it has not authorised the return and will not credit Customer for the returned goods. Where Stryker has authorised the return of goods, all freight charges must be paid by Customer, including any costs paid by Stryker in respect of original delivery. Returned goods must be in a resaleable condition in original packaging and Customer must pay to Stryker a restocking charge equal to:
• 10% of the cost of the goods for returns within thirty (30) days of the date of the invoice;• 30% of the cost of the goods for returns within ninety (90) days of the date of the invoice;• 100% of the cost of the goods for returns over ninety (90) days from the date of the invoice.
To assist in crediting Customer account, the Stryker Customer number, original purchase order number and Stryker invoice number should be quoted on all returned goods.
8. Warranty and Liability
The goods are warranted free from manufacturing and material defects for a period of one year after delivery of same, with the following exceptions:
• Reusable irrigation tubing, tips and clips 30 days• Contra angle heads and reducers 90 days• Micro electric system fibre optic cables 90 days• Heavy duty powered instrument battery packs The earlier of 90 days or 100 sterilisation Cycles• Battery adapters 6 months• Steri -Shield battery and fibre optics cables 6 months• Handpiece power cords 6 months• Bur guards and bur shields 6 months• Burs, blades and cutting accessories No warranty
If Customer wishes to make a claim under this warranty, it must contact its local Stryker representative or the Stryker switchboard on 1800 803 601. Customer must (at its cost) return, with proof of purchase, the goods the subject of the warranty claim to Stryker at 8 Herbert Street, St Leonards NSW 2065. If Stryker finds on examination that the goods are faulty due to manufacturing or material defects and are within the specified warranty period, Stryker will, at its option:
• replace the goods or supply equivalent goods free of charge;• repair of the goods;• pay the cost of replacing the goods or of acquiring equivalent goods; or• pay the cost of having the goods repaired.
The warranty period is not renewed or extended as a result of the replacement or re -supply of the goods by Stryker.
The express warranty above is subject to the proper use by Customer in the application for which the goods were intended and any instructions outlined in the labelling, manual, and/or instructions for use being followed. This warranty does not cover any goods a) that have been misused, modified, refurbished or repaired without the prior consent of Stryker, b) that have been subjected to unusual stress or have not been properly maintained, or c) on which any original serial numbers or other identification marks have been removed or destroyed.
Where Customer is purchasing as a “consumer” within the meaning of the Competition and Consumer Act 2010 (Cth) (or an equivalent State or Territory enactment) (“Act”):
• the benefits under the above warranty are in addition to other rights and remedies Customer may have in relation to the goods; and
• our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and for compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

Nothing in these conditions is intended to exclude, restrict or modify any statutory obligation of Stryker if that cannot lawfully be effected. However, where the goods are not of a kind ordinarily acquired for personal, domestic or household use and consumption, then the liability of Stryker to Consumer is limited to one of the following as determined by Stryker:
• the replacement of the goods or the supply of equivalent goods;• the repair of the goods;• the payment of the cost of replacing the goods or of acquiring equivalent goods; or• the payment of the cost of having the goods repaired.
Customer will promptly notify Stryker of any claim against Stryker under the Act. Stryker then shall only be liable to Customer in the event goods were defective (within the meaning of the Act) at the time of delivery and shall not be liable to the extent that any liability arises from any act or omission of Customer.Subject to this clause 8 and any legislation to the contrary:
• all other warranties, guarantees, conditions or representations by Stryker, expressed or implied and whether collateral or antecedent are expressly negatived and excluded;
• in no event will Stryker be liable for special, indirect, incidental, consequential or punitive damages of any nature, including, but not limited to, loss of profits or revenue.
9. Software License
Certain Stryker products contain software that is installed onto the products by Stryker. Stryker owns this software; this software is never sold. Each sale of a software-containing product, is not a sale of such software; it includes a license only to use the software in the product in which the software was initially installed.Any license granted by Stryker to use the software contained in its products does not give the licensee the right to copy, alter, disassemble, reverse engineer and create derivative works of such software or to use such software in either original or modified form in any product other than the Stryker product in which the software was initially installed by Stryker.Prior to delivering a product containing software, Stryker may require the customer to execute a license agreement to acknowledge the above and any additional terms under which Stryker may elect to license its software. If a customer elects not to sign a license agreement, Stryker reserves the right to cancel the order for the product containing the software. If a customer receives a Stryker product without agreeing to any additional licensee agreement, the customer is still bound by the license term set forth above.
10. Advice
To the fullest extent permitted by law:
• Customer acknowledges that it relies on its own skill and judgment in relation to the goods; and • Stryker will be under no liability for any unsuitability for any purpose of the goods irrespective of any knowledge
which it may possess as to the purpose for which the goods are required by Customer.
11. Force Majeure
Stryker is not liable for any failure to comply with any obligations set out in these terms and conditions if that failure is caused by an act beyond Stryker’s reasonable control.
12. Retention of Ownership
Unless otherwise agreed between Customer and Stryker title and property of the goods will not pass to Customer until payment in full is received by Stryker. Pending full and final payment of the purchase price Customer will hold possession of the goods as a bailee only. During such period Customer will take reasonable care of the goods and will not dispose of, damage or encumber the goods or any part of them in any way and will at the cost of Customer return the same goods without damage or encumbrance to Stryker immediately after Customer receives notice.

13. PPSA
“PPSA” is the Personal Property Securities Act (2009) (Cth) and in this clause “Register”, “Purchase Money Security Interest”, “Security Agreement”, “Security Interest” and “Verification Statement” all have the meanings for those terms as defined in the PPSA. Customer acknowledges and agrees that each order fulfilled by Stryker for supply of consignment and loan stock, and goods on credit terms, constitutes a Security Agreement for the purposes of the PPSA and that Stryker may register its Security Interest in the goods and all proceeds (if any) received by Customer in relation to the goods as a Purchase Money Security Interest on the Register. Customer undertakes to promptly sign any further documents and to provide any further information (such information to be complete, accurate and up-to-date in all respects) which Stryker may require to make relevant registration on the Register. Where the PPSA applies to action taken by Stryker in relation to the goods, Customer a) agrees that sections 120, 125, 142 and 143 of the PPSA will not apply, and b) waives its right to receive any notices under sections 95, 118(1)(b), 121(4), 123(2), 130, 132(3)(d), 132(4) and 135 of the PPSA and any right to receive a Verification Statement under the PPSA.
14. Offer & Acceptance
These terms and conditions apply to the supply of all goods and/or services by Stryker to Customer and no contract for the supply of goods and/or services exists between Stryker and Customer except on these terms and conditions. Any order placed by Customer for goods and/or services inconsistent with these terms and conditions will not be accepted by Stryker unless such terms and conditions have been agreed to in writing by an authorised representative of Stryker. Where Customer places an order for goods and/or services on terms and conditions which vary from these terms and conditions, any subsequent delivery of ordered goods and/or services to Customer will be construed as a counter offer to supply the goods and services on these terms and conditions. Such counter offer is deemed to be accepted by Customer at the time of delivery of the goods and/or performance of the services.
15. Alterations to Terms & Conditions
These terms and conditions can be varied by Stryker at any time without notice to Customer. Alteration to these terms and conditions must be in writing and signed by an authorised representative of Stryker.
16. Assignment
Customer may not assign all or any of its rights under this agreement without the written consent of Stryker. Stryker may assign any or all of its rights or interests under this agreement without the written consent of Customer to any Related Body Corporate.
17. Severance
Should any part of these terms and conditions be held to be void or unlawful, these terms and conditions are to be read and enforced as if the void or unlawful provisions had been deleted.
18. Governing Law
This agreement and the transactions contemplated by this agreement are governed by the law in force in New South Wales.
