1. PRELIMINARY 1.1 Tyres, tubes and allied products from time to time manufactured by Yana

Tyres are marketed under the protection of patents and/or trade marks

which are inscribed thereon and sold in terms of the following conditions

of licence.

1.2 In these conditions of licence, the word “person” includes all persons,

firms, companies or corporations whatsoever other than the company,

and the expression “the company” means Yana Tyres.

1.3 The expression “Yana branded goods” includes all tyres and tubes which

are manufactured or produced by or for Yana Tyres whether such goods

are obtained from the company or from any other source whatsoever.

1.4 The word “tyre-reseller” means any person who purchases tyres for

resale whose name is included in the company’s own current Tyre Trade

Register and/or Tractor and Implement Dealers Register and/or Forklift/

Industrial Tow Truck Dealers Register.

1.5 The word “current” means from time to time in force.

1.6 Sole and absolute discretion is reserved to the company without the

necessity of giving any reasons from time to time and at any time without

notice to any person as to whether it shall include, exclude or delete the

name of any person in any of its registers or as to the register in or from

which it may include, exclude or delete the name of any person.

1.7 No person including a tyre-reseller shall effect any sale of Yana branded

goods except in accordance with these conditions of licence, and any

sale not made in accordance with these conditions of licence shall be an

unlicensed sale and shall cause the sale or the use of the goods sold to

be an infringement of these conditions of licence by the reseller of the

goods.

2. PRESALE PRICES The company acknowledges the Law prohibiting Resale Price Maintenance

and confirms that it is its policy to observe this prohibition in all forms.

Accordingly in applying these conditions of licence it undertakes to abide by

the law and its policy as above and not to prejudice, deal with, or take action

against any reseller on account of resale prices.

3. PURCHASE AND SALE OF TYRES 3.1 No tyre-reseller on the Tyre Trade Register shall purchase or procure

Yana branded goods on behalf of any collective buying agency or other

association of tyre-resellers.

3.2 No person, including a tyre-reseller, shall sell or supply any Yana

branded goods without giving to the purchaser due notice that the goods

are covered by these conditions of licence and in addition any person

including a tyre- reseller selling Yana branded goods as above warrants

that the person to whom he sells shall also abide by these conditions of

licence.

3.3 No person, including a tyre-reseller, shall sell or supply for resale Yana

branded goods either directly or indirectly under any circumstances

whatsoever to any tyre-reseller in respect of whom the company has

suspended its supplies.

3.4 No person, including a tyre-reseller, shall obligate the company in respect

of Yana branded goods in any manner whatsoever which might have the

effect of creating greater obligations on the company than as provided for

herein, and particularly as provided for in clause 9 hereof and accordingly

no person or tyre-reseller shall supply, lease, lend or hire out, either

directly or indirectly, Yana branded goods to or from any other person or

tyre -reseller on the basis of a consideration based on the distance such

Yana branded goods are used or on any similar basis such as a mileage

or kilometre remuneration basis or for any other like consideration, save

however, that this prohibition shall not apply to any genuine hire purchase

sale. Furthermore, no person including a tyre-reseller shall advertise or

publicly offer for supply, lease or sale any Yana branded goods in any such

manner as above.

3.5 No person, including a tyre-reseller, shall sell or supply for resale any

Yana branded goods to any person outside Kenya or any adjacent territory.

Any person, including a tyre-reseller, who acts in breach of this condition

shall be deemed to have indemnified the company and shall hold the

company harmless in respect of any and all claims that may be made

against the company by purchasers or uses of Yana branded goods.

3.6 No person, including a tyre-reseller, shall offer for sale or advertise

any Yana branded goods or otherwise act in any manner which is likely

or calculated to injure or damage the good name and reputation of the

company and/or its Yana branded goods.

4. RESERVATION OF SELLING RIGHTS The company reserves to itself the right to sell Yana branded goods to

certain special categories of purchasers. A list of such special categories

of purchasers shall be obtainable from time to time and at any time from

the company.

5. BRANDING, MARKING, REMOULDING, RETREADING OR RECAPPING

5.1 No person, including a tyre-reseller shall, without the authority of the

company, deface, brand (other than for purposes of identification), remould,

retread, recap, resole, recut or tamper in any like way whatsoever with

any Yana branded goods other than part worn tyres and shall not, without

the authority of the company in writing, sell, or offer for sale, advertise

or supply Yana branded goods which have been so defaced, branded or

tampered with in any way.

5.2 Part worn tyres may be defaced, branded, marked, remoulded,

retreaded, recapped, resoled, recut or tampered with in any like way and

may be offered for sale thereafter provided that they shall be branded in

legible letters on the wall of each tyre with the word “remould”, “retread”,

“recap” or “resole”. Such part worn tyres shall not be sold, offered for

sale, advertised or supplied under the name Yana or under any other trade

mark or trade name used by the company.

Conditions of Licence 5.3 In order to ensure that the quality and stability of Yana branded goods

shall remain unimpaired the company stipulates that any repair to such

goods which involves remoulding, resoling, retreading or recapping,

unless carried out by the company shall be a prima facie reason excluding

the owner from the benefit of any consideration under clause 9 of these

conditions.

5.4 Notwithstanding anything elsewhere provided, no person including a

tyre reseller shall regroove any tyre before confirming with the company

that the company that the tyre is regroovable.

In any event no person including a tyre-reseller shall regroove any Yana

branded goods of a bead diameter of 17” or less, nor shall any person stock,

sell, offer for sale, advertise and/or supply any Yana branded goods of a bead

diameter of 17” or less which have been regrooved regardless whether such

regrooving was done by such himself or anyone else.

6. AGREEMENTS, CREDITS AND SUPPLIES The company shall have the right in its absolute discretion and any reason

therefore, and notwithstanding any contracts that a tyre-reseller, may have

made with any other person, to terminate, without. . notice, any agreement

to make supplies available to any person, including a tyre-reseller, and/or

to refuse to limit the amount of credit to be given to any person, including

a tyre-reseller, and to withhold supplies from any person including a tyre-

reseller.

7. DELAY IN DELIVERY So long as any circumstances whatsoever may prevent, hinder or delay

delivery, the company shall not be bound to make delivery of any products

which’ mal have contracted to manufacture, sell or supply, and the company

shall no’ be liable in any manner whatsoever for failure or delay in delivery.

8. PRICES AND TERMS 8.1 The company reserves the absolute right at any time without any notice

whatsoever, to alter any of its prices and to alter the terms which it allows

to any person or tyre-reseller and in respect of goods delivered after

any such change of price or change of terms, the price charged by the

company to any person or tyre-reseller shall be the price current at the

date of despatch of the goods, and the terms applicable shall be the terms

so varied.

8.2 The company reserves the right to charge interest on overdue accounts

at the ruling prime bank overdraft rate of interest plus two percentage

points.

9. GUARANTEE In view of the abnormal stresses and strains to which tyres and tubes are or

may be subjected, the company is compelled to stipulate that it makes no

representation whatsoever and gives no guarantee against latent or patent

defects or in any other manner whatsoever in respect of any products

manufactured, sold or supplied by the company and all conditions and

warranties whatsoever, whether statutory, implied or otherwise, are hereby

expressly excluded. It is an express condition subject to which persons,

including a tyre- reseller, are licensed to use and vend Yana branded goods

that the company is to be under no liability, whether arising in contract

or in delict for any injury, loss or damage to any person or property by or

arising out of the use such goods. The company is prepared to give the

most sympathetic consideration to any complaint as to either manufacture

or workmanship and if in its sole discretion it comes to the conclusion that

such a complaint is justified, it will be prepared to deal with the same.

Furthermore, no person, including a reseller, shall advertise or issue any

guarantee or undertake or offer to issue any guarantee in connection with

the sale of Yana branded goods, in any form which differs in effect from

the form of guarantee set out in this clause, conveys any greater benefit or

obligation than that contained in this clause.

10. RESPONSIBILITIES OF TYRE-RESELLERS It shall at all times be the sole responsibility of the tyre-reseller to acquaint

himself with the current conditions of licence and all amendments thereto

he shall at all times be deemed to be bound by them whatever they are.

11. ESSENCE OF CONTRACT Each and every condition herein set out (including every stipulation as to

time) is hereby declared to the essence of every contract made with the

company, and without in any way derogating from the company’s right

in clause 6 hereof, any breach of any of these conditions shall entitle the

company forthwith without notice and notwithstanding any contracts to

cancel all contracts with the offender, and to refuse to supply to the offender

any further goods, and to refuse to do or continue to do for the offender

any repairs, and to direct all factors. Dealers or agents for the company

notwithstanding any to refuse to supply goods or to do or continue to do

repairs, and to exclude the name of the offender from the company’s own

Tyre Trade Register and/or Tractor and implement Dealers Register, and/

or Fork Lift/Industrial Tow Truck Register, and forthwith to sue for and

recover with interest thereon at the prevailing bank overdraft rates for first-

class commercial risks and without any deduction whatsoever for rebate,

discount or commission the full price of all goods supplied to the offender,

notwithstanding that the due date for such payments for goods may not have

arrived, and to refuse to credit or pay to the offender any rebate or allowance

whatsoever whether accrued or accruing to which he would otherwise have

been entitled and to sue the offender for damages for breach of contract as

hereinbefore mentioned.
