SCHEDULE ‘A’

TENDER SPECIFICATIONS

1) Bidders have to submit their offer in 2 (Two Bids) duly sealed cover separately, i.e. a) Technical Bid b) Price Bid-Only online submitting.

2) The technical scrutiny committee of PGVCL shall evaluate the technical view of the tender. PGVCL reserves the right to open or not to open the price bid of the bidders on the basis of their past performance of their services. Incomplete bids, amendments and additions to bids after opening of the bids will be ignored out rightly. The price bid of those who are technically qualified shall be opened. After technical bid is opened, for modification, if any, all shall be given equal chance.

3) TENDER FEES ::

Tender fee (Non-refundable) Rs.750/-+18% GST should invariably be paid by way of Demand Draft; otherwise offer will be ignored out rightly. Indian Postal Orders (IPO’s) & Cheques are not acceptable. Demand Draft should be in the name of the “Paschim Gujarat Vij Co. Ltd.”, Payable at Rajkot. The envelope shall be addressed to the Executive Engineer, City Division office-3, PGVCL, Rajkot and PGVCL will not be responsible for the transit loss or misplacement.

4) E.M.D. :: EMD Rs. 9900/- should invariably be paid by way of Demand Draft; otherwise offer will be ignored out rightly. Indian Postal Orders (IPO’s) & Cheques are not acceptable. 6) POST TENDER CORRESPONDENCE / ENQUIRIES ::

Any correspondence or enquiry subsequent to opening of Technical and Commercial bids are not desirable, if the same is indulged into, it will be considered for disqualifying the tender. The tenderer will be required to abstain from pursuing / canvassing the matter, directly or indirectly with any Officers of PGVCL, as otherwise the same would also amount to disqualification of the tender.

7) JURISDICTION: All questions, disputes or differences arising under out of or in connection with the tender / Contract if concluded shall be subject to the exclusive jurisdiction of the court under whose jurisdiction the place from which the tender / acceptance of tender is issued, is situated i.e. Rajkot

8) The tenderers should thoroughly read all the following clauses before submitting their tender. The original copy of the tender duly signed on every page, stamped with company’s seal must be submitted along with the bid. Tender Issuing Authority has reserved the rights to accept or reject any tender without giving any reason.

9) If any matter, public dispute arises between PGVCL and Vendor, Vendor is permitted to represent the matter up to tender issuing authority only and decision of the tender issuing authority will be final and binding to vendor.

10) SCOPE OF WORK: The scope of work will include following: I. You will provide one Tower Ladder Jeep( Camper D+4) vehicle for 2 years on rate

contract basis. The cost of fuel and Driver’s Salary etc. will be paid by you and shall be your responsibility.

II. The vehicle on completion of journey shall be parked in office. for extra hours in case of emergency.

11) GENERAL TERMS AND CONDITION 11.1 TYPE OF VEHICLE: You will provide Tower Ladder Jeep( Camper D+4) in perfectly road worthy condition and not older model than two years on the date of opening of tender. 11.2 AREA OF TRAVELING:

Anywhere in Gujarat. The company reserves the right to use the vehicle outside the state if required. 11.3 QUANTITY REQUIRED 1(ONE) Tower Ladder Jeep( Camper D+4) for RaiyaRoad S/Dn., with GPS Tracker / Logger. 11.4 PERIOD OF CONTRACT: The period of contract will be of 2 year w.e.f. the date of award of contract (Time Limit 24 Months or Order Amt. which is earlier.) (A) Rates for traveling minimum 2000KM per month per vehicle. (B) Charges for traveling in excess of minimum 2000KM thereafter.

The rates offered are subject to price variation a mentioned separately. 12) TYPE/CONDITION OF VEHICLES:

12.1) The vehicle proposed to be deployed for PGVCL use should have good condition of Vehicle - RTO, permit INSURANCE papers and other requisite document shall be periodically inspected/verified by user’s department officer authorized by PGVCL.

I In taxi quota registration(D+4). II No private registration number vehicle will be allowed in PGVCL. III Vehicle which is provided by the owner MUST be insured, comprehensive Risk policy, including all occupants risk by insurance policy. IV Vehicle Owner must always provide Tower Ladder Jeep( Camper D+4). V. Vehicle equipped with GPRS system. VI. one certified Xerox copy of R.C. Book. VII. Insurance policy which covers comprehensive risk and occupants risk Certified Xerox copy be kept in the custody of the vehicle driver. VIII. Before starting journey, vehicle driver must be in the position to have Log Book of journey of the registered taxi Contractor and it must be filed up by the vehicle USER/OFFICER by mentioning opening and closing Kms. Of the journey

XI. Log book of the vehicle is also to be filled up day to day by the user/officer traveled and get it dully signed.

12.2) The vehicle proposed to be deployed shall be inspected by PGVCL’s authorized representative at any time during the contract and any defect. If noticed shall be rectified by the contractor immediately. PGVCL shall have right to reject any vehicle if condition of vehicle is not Satisfactory.

13) DRIVER: Driver shall preferably be below the age of 40 years and never more than 55 year. The lodging and boarding of the driver shall be born by the owner. The contractor should employ well behaved drivers having valid permanent License for driving vehicle ‘Tower Ladder Jeep( Camper D+4).-. This shall be subject to scrutiny and checks by OFFICER IN CHARGE handing the execution of the contract from time to time. If any legal liability occurs on account of any laps in this regards, the same will be debited too contractors account The driver should behave courteously and respectfully with traveling officers. They should be free from habits of drinking intoxicant liqueurs. No allowance shall be payable by the PGVCL to the driver.

13.1) If for any reason, if the Driver is to be changed prior approval of EX. Engr. must be obtained. 14) PENALTY: If the vehicle does not report for full day a penalty equivalent to

proportionate hire charges will be levied on that day and no hire charges will be paid for the particular day. Normally vehicle must report on fixed given time, but if get late than penalty would be done as per the officer in charge wish

In case of breakdown of vehicle or in case of a vehicle is not acceptable to PGVCL, the contractor will immediately replace Same by good vehicle within shortest time, say within two hours only, failure to replace the vehicle which is under breakdown or vehicle which has not been accepted by PGVCL.

15) Formula for considering price variation- No price variation will be payable on cost of Oil /tyres, Tubes etc. Only charges in price of Diesel will be adjustable. Base price of fuel i.e diesel Rs 73.00 per liter and actual price of fuel on 1st day of month is to be considering for price variation calculation. This basic rate shall be indicated in the offer.

In case of increase/decrease in price of fuel from basic (i.e Rs 73 per liter), the per km payable price shall go up/down by 8 % of amount of difference. This will be applicable to the actual KM traveled during the month.

16) ACCIDENT LIABILITY: 16.1) The contractor shall bear all time indemnity and keep indemnified PGVCL&

officers, servants and agents against all third party claims, whatsoever (including but not limited to) property losses/damages, personal accident ,injury or death of persons of any sub contractor, and or servants or agents of the contractor and/or PGVCL damage to property of PGVCL arising out of user of the hired vehicles. The contractor shall at his own cost and indemnify at all times till the successful completion of the contract period, maintain comprehensive insurance policy in act, personal injuries Act, emergency risk insurance Act, approved by secretary PGVCL and such policies shall be of the amount and limits as may be specified by the Secretary PGVCL. Any damage to the vehicle done by the people during the checking of installation or other purpose PGVCL shall not be responsible.

16.2) It is to be clearly understood that the PGVCL shall have no privacy with the staff employed by the contractor for the operation of the contract viz. driver cleaners , contractors etc. The contract amount so paid shall be payable by the contractor to PGVCL and all such payment shall be recovered by PGVCL from the dues payable to the contractor and/or from the security deposit of the contractor. Balance amount if any is still payable by contractor it has to be paid immediately

to PGVCL..PGVCL will have no privacy in any manner with the driver any other member of the contractor. They will be contractor’s employees

16.3) You shall have to enter into an agreement with the company which should be executed on a non judicial stamp paper valued at prevailing rates at your own cost.

16.4) All the general terms and condition contained in the companies’ booklet of contracts for works not specifically brought out herein above in this term and condition shall be applicable to the proposed contract.

16.5) PARKING CHARGE: The parking charge at the roadway station and at the Air port for the taxi when utilized by an officer dept., for official purpose, would be admissible subject the production of such parking slips duly authenticated by the user officer/dept. These slip may be submitted along with the bills for reimbursement of these parking charges.& Toll tax charges would be paid .

17) DEFINATION OF HOURS,DAY AND MONTH: I ‘Hours’ means an hour of minutes for the purpose of charges function of an hour up to 30 minutes will not be taken in to account and more than 30 minutes will be reckoned as fully one hour in a day II ‘Day” means a calendar day starting from 00.00 hours to 24.00 hours ‘working day’ Shall means start at early morning. III ‘Months’ means a calendar months with 30/31 working days as per the case may be However if contract start says from 5th of a calendar month, a month’s period will be upto and inclusive of 4th of the next month.

18) COMPUTATION OF KILOMETERS. The starting and closing Kilometers will be admissible from the point of starting and closing of journey. This can either be from RaiyaRoad S/Dn. to sights around the division and back or as may be directed D.E. In-charge. No additional mileage will be allowed for to and fro journey from the head quarters of the vehicle owner to and from any of the above mentioned place. No price variation will be admissible on any other account what so ever, either the input of the vehicles or labor index.

19) MAINTAINANCE OF LOG BOOK The contractor will be required to maintain log book as per the standard format which will record the journeys performed by the PGVCL officers. The log book when closed should be handed over to the PGVCL for its record.

20) MAINTENANCE OF SPEEDOMETER The speedometer recording the Kilometer run by the vehicle should always be maintained in working condition. If at anytime the speedometer goes out of order then the kilometer traveled will be admissible according to PWD kilometers till the speedometer is brought back in to working condition. No average shall be admissible based on the earlier journeys to the same places.

21) TERMINATION OF CONTRACT: In case of breach of any of these terms of the contract, PGVCL without prejudice to any other right in law under the contract, may cancel the work order and terminate the contract. On such termination PGVCL shall be free, to hire taxi from any other sources and in such eventually if any extra expenditure is incurred, that amount shall be recovered from the contractor.

22) GENERAL CONDITIONS 22.1)Drivers which are provided by taxi contractors MUST BE fully conversant with the route over Gujarat State and he must be having valid driving license with them. 22.2) Day to day, vehicle should reports for its duty on specific time given by PGVCL at that time driver must be fully equipped i.e. including required money to keep the

taxi running in full condition. He should not demand money from the officer, traveling for drawing diesel, repairing the taxi on road etc. If such case of demand of money will come to notice, a serious view will be taken. 22.3) As and when the driver reports with vehicles, it should be duly topped up with fuel, oil, lubricants etc. And no extra time will be allowed for such work after he reports on duty. (a) If the taxi sent by the contractor it is not as per the specification, charges will not be paid though the taxi is used because of emergency. (b) The taxi shall have to be properly insured so as to cover the risk of the LIVES OF OFFICERS AND STAFF OF THE PGVCL traveling by the same.

22.4) PGVCL reserves the right to retain any/all vehicles beyond scheduled time. 22.5) PGVCL also reserves to split up the work between two or more parties. 22.6) All vehicles hired on monthly basis, stickers can be used for casual hired vehicle. 22.7) The vehicle will have to be supply by the contractor round the clock for all week days . However contractor can adjust with the Engineer in charge for any time

off for maintenance of the vehicle. 22.8) Vehicle should be stayed only at RaiyaRoad S/Dn. after service period. 23) PAYMENT OF SECURITY DEPOSIT ::

Security Deposit will have to be paid by successful bidder 5% (Five percent) of the total contract price within 7 days after receipt of LOA at City Division Office-3 , PGVCL, Rajkot The amount will be paid in cash / DD or bank guarantee. The bank guarantee of nationalized bank shall be valid up to 120 days after the completion of the entire contract work period.

24) AGREEMENT & BOND :: As per company’s rule an agreement on stamp paper of appropriate value is to be done in the prescribed form after the receipt of LOA within 07 days. The conditions, specifications, price-schedule and contract work booklet are to be signed by the bidder. The agreement will be done by Executive Engineer, City Division Office-3, Rajkot behalf of PGVCL. You have to execute bond of value as per norms. The cost Rs.300.00 of the Stamp Paper will have to be borne by the contractor.

25) P.F CODE :: The contractor shall have a separate provident fund code of RPFC and the Contractor who do not possess separate P.F.Code shall not be considered for acceptance of tender. Contractor has to submit such certificate showing separate P.F.Code along with tender.

26) SUBMISSION OF BILLS & PAYMENT TERMS :: Bill should be prepared in duplicate at the end of the month and submitted to concern ENGINEER IN CHARGE for necessary processing. The bills should be accompanied with copy of abstract of LOG BOOK duly signed by the concerned Engineer in Charge. If you are late or not submitting the bills within time limit, PGVCL is not responsible for late OR non payment of the bills. The bills will be paid subject to submission of advance receipt within a period of 30 days of receipt of the bills.

27) Stop deal / Black listed contractor / supplier in GUVNL or its any subsidiary company should not be participated in tender competition, if found the offer of the contractor / supplier should be out rightly rejected.

28) Contractor / Supplier has to submit a certificate at the time of submitting his offer stating that he is not stop deal / black listed contactor / Supplier in GUVNL or its any subsidiary company.

29) PGVCL have reserve to right that contractor are bounded to work in periphery of City circle area of any subdivision.

30) All the vehicle excluding administrative office should have been provided the vehicle tracking system (GPS) whose cost is to be borne by contractor. The running cost of vehicle tracking system (GPS) shall be reimbursed on production of proof of payment along with monthly RA bills.

Further, he has to submit the quotation of new vehicle in the name of tenderer only and it should not be mismatched with each other. 12. Undertaking of installation of GPRS system. 13. Medical fitness Certificate of both Drivers. Note : Technical bid without any document out of above will be rejected as well as disqualify for competition and their’s “Price Bid” will not be opened.

આપનારની રહશે.

5 વાહનમાં આર.ટ .ઓ. પાસ ગ માણેની સીટ ગ કપેસીટ નો વાહનમાં બેસનારનો સં ૂ ણપણે િવમો કવર થાય તે ુજબ

“કો ેહ સીવ” િવમાની પોલીસી લેવાની રહશે. તેની માણીત કોપી એ નીયર ઇ ચા ને ર ુ કરવાની રહશે. પોલીસીની

ુ દત કો ાકટ સમય દર યાન ુ ર થતી હોય તો તે સમયસર ર ુ કરવાની જવાબદાર ઉભી થશે તો તે વાહન ભાડ

આપનારની રહશે. ની નકલ ુ રત જ ર ુ કરવાની રહશે.

6 ુસાફર દર યાન વાહનને ક તેમાં બેઠલા પી વીસીએલનાં ટાફને ક ા હતને ુ કશાનકતા કોઈપણ તનો અક માત થશે

તો તેની તમામ કારની આથ ક અને કાયદાક ય જવાબદાર ક ાકટરની રહશે, બદલ ક ાકટર ઈ ડ નીટ બો ડ કર

આપવા ુ ંરહશે અને જ ર િવમો લેવાનો રહશે.

7 કો ાકટર તેનો પી.એફ.નંબર આપવાનો રહશે અથવા . ૩૦૦/- નાં ટ પ પેપર ઉપર ુલ ુખ યારના ુ ં સરકારના મા ય

નોટર ારા ર ુ કરવા ુ ંરહશે.

11 વાહનના ાઈવરનો પગાર ખચ, ભ ુ ં તેમજ મોબાઇલ તમામ ખચ કો ાકટર જ ભોગવવાનો રહશે. સી ુ મોબાઇલ

રાખવાનો ઇ છનીય રહશે અને તે સતત ૨૪ કલાક ચા ુરાખવાનો રહશે. ાઇવરની મર ૪૦ વષથી નીચી ઇ છનીય પરં ુ

૫૫ વષથી વ ુન હોવી જોઇએ. ાઇવર કોઇપણ તનો કફ પદાથ ુ ંસેવન કરવા ુ ંનથી તેમજ સાથે રાખવાનાં નથી.

12 વાહનનો ઉપયોગ ઓફ સરની ુચના માણે કરવાનો રહશે. ાઇવર દરક ય કત સાથે સ યતાથી વતવા ુ ં રહશે.

યવ થા કર આપવાની રહશે અને તે માટની ુચના ાઈવરને આપવાની રહશે.અને તે વાહન ટ ી પાસ ગ ધરાવ ુ ંહો ુ ં

જોઈએ. તેમજ જ ર િવમો, પો ુશન સટ ફ કટ ધરાવ ુ ં હો ુ ં જોઈએ અને આ બાબતની સં ુણ જવાબદાર વાહન ભાડ

આપનારની જ રહશે. 16 સંજોગોવશાત તમો કોઈપણ દવસ માટ વાહન આપવામાં િન ફળ જશો તો તે દવસે તમાર વૈક પક યવ થા કર આપવાની રહ શે. અ યથા

તમારા ખચ અને જોખમે બ ર ભાવે વાહન ભાડ કરવામાં આવશે. અને ખચ તમારા ખાતે લગાડવામા ંઆવશ.ે

17 કોઇપણ ુસાફર ની શ ુઆત ( કલોમીટર) પેટા કચેર થી અને ુસાફર નો ત ( કલોમીટર) પણ પેટા કચેર ુધી ગણાશે.

18 વાહનના ડ ઝલ / બળતણ / ુ ીક ટસનો ખચ અને તમામ કારનાં ર પેર ગનો ખચ ક ાકટર ભોગવવાનો રહશે. ઓડરમાં

શેડ ુઅલ- ‘એ’ માં દશાવેલ ુ કવણાથી વધારા ુ ંકોઈ ુ કવ ુ ં કરવા પા રહ ુ ં નથી.

19 ી ટડ બીલ દર મહ ને ણ નકલમાં એ નીયર ઇ ચા ને ર ુ કરવા ુ ંરહશે, પેમે ટ દર મહ ને એકાઉ ટ પેયી ચેકથી જ

એડવા સ રસીદની સામે કરવામાં આવશે.

20 ક ાકટર વાહનની લોગ ુક રો રોજ લખવાની રહશે તથા તે અિધકાર ની ુસાફર માટ તેમાં કલોમીટર ર ડ ગ સાથે

અિધકાર ની સહ લેવાની જવાબદાર ક ાકટરની રહશે અને તેની ચાર નકલ દર માસે બલ સાથે ર ુ કરવાની રહશે.

21 વાહનની કલોમીટર ચેઈન દવસે બંધ હશે તેને તા કાલીક ર પેર કર ચા ુકરવાની રહશે. અ યથા અિધકાર ના સટ ફ કટ

ુજબના કલોમીટર મા ય રહશે.

22 ટોલ ટ પહ ચ ર ુ કય અલગથી ુ કવવામાં આવશે. ટોલ ટ ની પાવતી ઉપર સાથે ુસાફર કરનાર અિધકાર પાસે એ ુ ડ

કરાવવા ુ ંરહશે અને તેના નાંણા તે મહ નાના બીલ સાથે ઓર નલ પહ ચ ર ુ કર માંગણી કરવાની રહશ ે બીલ સાથે

ુ કવી આપવામાં આવશે.

23 ટ ડરમાં મં ુ ર થયેલ ભાવ ડ ઝલનાં ૭૩.૦૦ િપયા િત લીટર ુજબના રહશે. િત માસની ૧લી તાર ખનાં ડ ઝલના ભાવ

અને . ૭૩.૦૦ નાં તફાવત ની રકમનાં ૮ % લેખે િત કમીએ ુ કવવામાં / વ ુલવામાં આવશે.

ટોપ ડ લ / લેક લી ટ કરવા વગેર કાયવાહ કરવામાં આવશે.

28 ઓડરની સમયમયાદામા ંકો ાકટર કોઈપણ સંજોગોમાં વાહન ૂ ન પાડતા ઓડર રદ કરશો તો કંપનીનાં િનયમ અ ુસાર

ઈએમડ /ડ પોઝીટ જ ત કરવા, ટોપ ડ લ / લેક લી ટ કરવા વગેર કાયવાહ કરવામાં આવશે.

29 પિ મ ુજરાત િવજ કંપની લી. ારા ગમે યાર નોટ સ આ યા સીવાય ઓડર રદ કરવામાં આવશે. નાં માટ કો ાકટર કોઇ

વાંધો ઉઠાવી શકશે નહ .

30 કોઇપણ મતભેદ ઉપ થત થાય તો નીચે સહ કરનારનો િનણય આખર અને કો ાકટરને બંધનકતા રહશ.ે

31 ધારા ધોરણ ુજબ જો લા ુપડતો હોય તો એસટ અલગથી ુ કવવામાં આવશે. અને ભાવમાં અલગથી બતાવવાનો રહશે.

અને એસટ ટ સ ન ઘણી ુ ંસટ ફ કટ ર ૂકરવા ુ ંરહશે તેમજ પૈસા જમા થયે ચલણની નકલ ર ૂકરવાની રહશે. જો આ

ટ સ અલગથી દશાવેલ નહ હ ય તો ભરવાપા થતો નથી તે ુ ંબાહધર પ ક ર ૂકરવા ુ ંરહશે.

32 વાહનમાં લગાવવામાં આવેલ એસીમાં ુલ ગ સાથે સાર ક ડ શનમા ંચલાવવા ુ ંરહશે.

AGREEMENT: This agreement is made at ___________the ___ day of ______month _______Year between the Paschim Gujarat Vij Company Ltd. & __________________________ (hereinafter referred to as “the Contractor “which expression shall unless excluded by or repugnant to the context included its successors or permit assigns) of the one part and the Paschim Gujarat Vij Company Ltd. Having its Regd. and Corporate Office at Laxminagar, Off Nanamava Road, Rajkot, 360004 (hereinafter called “The Company” which expression shall unless excluded by or repugnant of the context include its successors of assigns) of the other part. Whereas the aforesaid Company has accepted the tender of the aforesaid contractor for the work of _________________________________________________________as per Company’s LOA No. ____________________, Dated ___________, hereinafter called “The works and more particularly desorbed enumerated or referred to in the specifications, terms and other letters and schedule of price which for the purpose of identification have been signed by The Superintending Engineer/Executive Engineer, , Circle/Division, PGVCL on behalf of the Company, a list where of is made out in the schedule here under written and all of which said documents are deemed to form part of this contract and include in the expression “The works “wherever herein used, upon the terms and subject to the conditions hereinafter mentioned. And whereas the Company has accepted the tender of the contractors for the _________________________________up on the terms and subject to the conditions herein mentioned.

1.) The contractors shall do and perform all works and things in this contract mentioned and described or which are implied therein of therefore respectively or are reasonable necessary for the completion of the works as mentioned and at the time in the manner and subject to the terms conditions and stipulation contained in this contract and in consideration of the due provision, executions, construction and completion of the works agreed to by the contractors as aforesaid the company both hereby covenant with the contractor to pay all the claims of money as and when they become due and payable to the contractor under the provisions of the contract such payment to be made at such times in such manner as is provided by the contract.

The conditions and covenant stipulation here in before in this contract are subject to and without prejudice to the right of the company to enforce for delay and or any other rights whatever including the right to reject and cancel on default or breach by the contract of the conditions and the covenant as stipulated in the general conditions specifications form Or tender schedule drawing etc. attached with the Company LOA No. ____________________________, Dated ____________.

3.) The Contractor will strictly follow the safety Rules and Regulations during the execution of aforesaid work. The Contractor will also provide all required Safety Gadgets to his Supervisors and labours to execute the work mentioned in Tender. On violating or breaking the Safety Rules and Regulations, and if Supervisors/Labours are found without Safety Gadgets, “The Company” reserves the right to take actions as per the terms and conditions mentioned in Tender without any prejudice.

4.) The Company reserves the right to terminate the Contract either in part or in full due to reasons other than those mentioned under clause entitled ‘Contractor’s Default’. The PGVCL shall in such an event give fifteen (15) days’ notice in writing to the Contractor of his decision to do so.

5.) The Contractor upon receipt of such notice shall discontinue the work on the date and to the extent specified in the notice, make all reasonable efforts to obtain cancellation of all orders and Contracts to the extent they are related to the work terminated and terms satisfactory to the Company, stop all further sub-contracting or purchasing activity related to the work terminated, and assist “The Company” in maintenance, protection, and disposition of the works acquired under the Contract by the Company. In the event of such a termination the Contractor shall be paid compensation, equitable and reasonable, dictated by the circumstances prevalent at the time of termination.

6.) If the Contractor is an individual or a proprietary concern and the individual or the proprietor dies and if the Contractor is a partnership concern and one of the partners dies then unless “the Company” is satisfied that the legal representatives of the individual Contractor or of the proprietor of the propriety concern and in the case of partnership, the surviving partners, are capable of carrying out and completing the Contract “the Company” shall be entitled to cancel the Contract as to its in completed part without being in any way liable to payment of any compensation to the estate of deceased Contractor and/or to the surviving partners of the Contractor’s firm on account of the cancellation of the Contract. The decision of the Company that the legal representatives of the deceased Contractor or surviving partners of the Contractor’s firm cannot carry out and complete the Contract shall be final and binding on the parties. In the event of such cancellation the Company shall not hold the estate of the deceased Contractor and/or the surviving partners of the estate of the deceased Contractor and/or the surviving partners of the Contractor’s firm liable to damages for not completing the Contract.

The contract value extent of supply delivery dates, specifications as other relevant matters may be altered by mutual agreement and if so altered shall not be deemed or constructed to mean and to effect or alter other terms and conditions of the contract and the contract so altered or revised shall be and shall always be deemed to have been subject without prejudice to and stipulation.
