É sujeito a follow-up um empréstimo obrigacionista da
Sociedade Comercial Orey Antunes, S.A. (SCOA – holding do
Grupo OREY) no montante de até 30 milhões de euros (M€),
dos quais 13,0 M€ foram emitidos no dia 8 de Julho de 2010,
com vencimento bullet em 8 de Julho de 2018 e com
possibilidade de amortização antecipada por parte do emitente
(call-option) do montante total da emissão no final do 5º ano
(8 de Julho de 2015), do 6º ano (8 de Julho de 2016) ou do
7º ano (8 de Julho de 2017).
This follow-up applies to a bond loan issued by Sociedade
Comercial Orey Antunes, S.A. (SCOA – the holding company of
the OREY Group) of up to EUR 30 million, of which
EUR 13.0 million were issued on 8 July 2010 with bullet
maturity on 8 July 2018. The issuer has a call option on the
loan’s full amount, which may be exercised on the loan’s 5th,
6th or 7th anniversaries (8 July 2015, 8 July 2016 and
8 July 2017).
A curto prazo a SCOA não prevê vir a emitir mais
obrigações no âmbito deste empréstimo.
SCOA does not plan to issue more bonds under this loan in
the short term.
O rating atribuído pela Companhia Portuguesa de
Rating, S.A. (CPR) a este empréstimo obrigacionista é válido
até ao vencimento do mesmo, sendo neste período necessário
proceder a follow-ups anuais, sendo o próximo devido até
17 de Outubro de 2013. Poderão ocorrer follow-ups
antecipados caso ocorram novas emissões do empréstimo
obrigacionista sujeito a follow-up e / ou caso se registem
alterações significativas nas actividades do Grupo OREY e / ou
nos seus enquadramentos face às perspectivas apresentadas
ao longo deste relatório.
The rating assigned by Companhia Portuguesa de
Rating, S.A. (CPR) to this bond loan is valid up to its maturity,
but in the meantime requires annual follow-ups, the next of
which is due by 17 October 2013. Earlier follow-ups may be
required if further issues under the bond loan now subject to
follow up are made and / or if there occur significant changes in
the activities or overall operating conditions of the OREY Group
relative to those described and projected throughout this report.
2. EVOLUÇÃO RECENTE 2. RECENT DEVELOPMENTS
Economia Mundial World Economy
Segundo as Perspectivas Económicas Mundiais de Outubro
de 2012 do Fundo Monetário Internacional (FMI), a economia
mundial cresceu 3,8% em 2011, desacelerando face ao
crescimento de 5,1% estimado para 2010. Esta desaceleração
reflecte essencialmente a crise da dívida soberana iniciada nos
países periféricos da Zona Euro, mas com efeitos noutras
economias desenvolvidas. Assim, o conjunto das economias
desenvolvidas terá crescido 1,6% em 2011 (face a 3,0% em
2010), enquanto as economias em desenvolvimento terão
crescido, no conjunto, 6,2% (face a 7,4% em 2010).
According to the World Economic Outlook issued by the
International Monetary Fund (IMF) in October 2012, the world
economy grew by 3.8% in 2011, slowing down compared to
5.1% in 2010. This deceleration was mainly induced by the
sovereign debt crisis which erupted in the Eurozone peripheral
countries but also impacted other advanced economies. Hence
in overall terms it is estimated that the advanced economies
grew by 1.6% in 2011 (+3.0% in 2010), while the developing
economies grew by 6.2% (+ 7.4% in 2010).
Neste contexto, o FMI estimava no referido documento que
o crescimento do comércio mundial de bens tenha
desacelerado em 2011, para 6,3% (face a 14,1% em 2010,
depois da quebra de 11,5% em 2009).
In this paper the IMF estimated that the growth of the world
trade of goods decelerated to 6.3% in 2011, from 14.1% in
2010 (after a fall of 11.5% in 2009).

Em Portugal o produto interno bruto (PIB) apresentou uma
redução de 1,7% em 2011 (face a um crescimento de 1,4% em
2010), tendo sido determinante para isso a evolução da

partir de Janeiro de 2011 (depois de em meados de 2010 terem
já sido aumentadas em 1,0 pp todas as taxas de IVA), a
passagem do IVA aplicável às tarifas de electricidade da taxa
reduzida para a taxa normal e um conjunto de outros
aumentos, de que são exemplo o aumento extraordinário de
15,0% nas tarifas dos transportes públicos, foram factores
determinantes para o forte agravamento do índice de preços no
consumidor (IPC) em 2011, que ascendeu a 3,7%.
The Consumer Price Index (CPI) suffered a sharp increase
in 2011, to 3.7%, underpinned by a 2.0 pp increase in the
standard rate of VAT since January 2011 (by mid-2010 all VAT
rates had already been increased by 1.0 pp), the increase in the

O Programa de Assistência Económica e Financeira a
Portugal inclui uma componente financeira para a

The Programme of Economic and Financial Assistance to
Portugal includes a financial component aimed at the
recapitalisation of the Portuguese financial system (which was
seriously impacted by the situation of the Portuguese Republic
and that of other sovereign states, as well as by the economic
recession that contaminated the Portuguese economy and hit
with particular force the construction and real estate sector,
which together represented a very large share of banks’ credit
book).
Segundo dados do Banco de Portugal, os bancos
portugueses diminuíram significativamente o financiamento à
economia em 2011 e primeiros meses de 2012, especialmente
às empresas não financeiras (depois de atingir um máximo de
144,5 mil M€ em Novembro de 2010, o stock de crédito
concedido a estas sociedades situou-se em torno de
139,0 mil M€ no período de Dezembro de 2010 a Novembro de
2011 e baixou muito significativamente nos meses seguintes,
para 132,6 mil M€ em Abril de 2012).
According to Bank of Portugal data, the Portuguese banks
considerably reduced the financing of the economy in 2011 and
first months of 2012, in particular the credit granted to the
non-financial companies (after reaching a peak of
EUR 144.5 billion in November 2010, the stock of credit to
these companies dwindled to EUR 139.0 billion in the period of
December 2010 to November 2011 and fell even more sharply
in the following months, standing at EUR 132.6 billion in April
2012).

Em Angola, de acordo com o referido relatório de Outubro
de 2012 do FMI, o PIB cresceu 3,9% em 2011 (face a 3,4% em
2010), com uma inflação média de 13,5% (14,5% em 2010). A
manutenção em 2011 de um baixo crescimento do produto em
Angola reflecte sobretudo a manutenção dos constrangimentos
que a produção de petróleo tem registado desde meados de
2010 (decorrente de obras de manutenção em vários blocos).
Em 2011 o saldo da balança corrente de Angola manteve-se
significativamente excedentário (9,6% do PIB, face a 9,0% em
2010).
According to the referred October 2012 IMF report, the
Angolan GDP grew by 3.9% in 2011 (+3.4% in 2010), with an
average inflation rate of 13.5% (14.5% in 2010). The
persistently subdued performance of GDP is mainly explained
by the constraints on oil production which have been affecting it
since mid 2010 due to maintenance works at several blocks. In
2011 Angola’s current account balance continued to register a
significant surplus (9.6% of GDP, versus 9.0% in 2010).
Em Maio de 2012 a Fitch alterou a tendência do rating de
médio e longo prazo da República de Angola, passando-o de
estável para positivo, mantendo essa notação em BB- e
mantendo a notação de curto prazo em B. A S&P e a Moody’s
mantêm as notações atribuídas à República de Angola com as
melhorias verificadas em meados de 2011: respectivamente,
BB- / tendência estável / B e Ba3 (correspondente a BB- na
tabela de notações da CPR) / tendência estável / NP

In May 2012 Fitch lifted the Republic of Angola’s medium
and long term rating outlook from stable to positive, maintaining
that rating at BB- as well as the short-term rating at B. S&P and
Moody’s have maintained their ratings of the Republic of
Angola, following their upgrades in mid 2011, at respectively
BB- / stable outlook / B and Ba3 (corresponding to BB- in
CPR’s rating schedule) / stable outlook / NP (not prime,
corresponding to B or lower in CPR’s rating schedule).

which financed this acquisition through 40.0% of equity
and 60.0% of borrowed funds (as described in the
previous Follow-up Report);
- 29,0 milhões de dólares (MUSD) dos Estados Unidos
da América (EUA) para a área de actividade de
transportes e logística em Angola – alienada em 2011 à
Orey Transports & Logistics Internacional BV (OTLI),
que financiou a aquisição com 34,5% de capitais
próprios e 65,5% de capitais alheios, sendo estes
constituídos pela emissão de 15,0 MUSD de um
empréstimo obrigacionista (ver adiante) que foi
inicialmente tomado na totalidade pela SCOA e por um
empréstimo da SCOA no valor de 4,0 MUSD;
- USD 29.0 million - transports and logistics business

financed this acquisition through 34.5% of equity and
65.5% of borrowed funds, comprising a

O EBITDA da SCOA em 2011 foi de -1,2 M€, enquanto em
2010 foi de 4,2 M€. Note-se, no entanto, que se a SCOA
tivesse reconhecido apenas em 2011 os 3,4 M€ recebidos da
OREY FINANCIAL IFIC, o EBITDA “ajustado” de 2011 seria de
2,2 M€, face a 0,8 M€ em 2010. Os meios libertos operacionais
ascenderam a 3,0 M€ em 2011 (Quadro 2.2.), face a -1,6 M€
em 2010, reflectindo ainda (face ao EBITDA “ajustado”) o
recebimento apenas em 2011 de parte dos dividendos da
OREY INVESTMENTS HOLDING reconhecidos em 2010.
SCOA’s EBITDA in 2011 was EUR -1.2 million, which
compares with EUR 4.2 million in 2010. Note, however, that if
SCOA had recognised only in 2011 the EUR 3.4 million
received from OREY FINANCIAL IFIC, the 2011 “adjusted”
EBITDA would be EUR 2.2 million, versus EUR 0.8 million in
2010. Operating cash flow amounted to EUR 3.0 million in 2011
(Table 2.2.), versus EUR -1.6 million in 2010, which still reflects
(relative to the “adjusted” EBITDA) the fact that part of the
dividends from OREY INVESTMENTS HOLDING recognised in
2010 were only received in 2011.

Assim, a SCOA registou em 2011 um resultado operacional
de -1,4 M€ (face a 4,2 M€ em 2010) ou um resultado
operacional “ajustado” de 2,0 M€ (face a 0,8 M€ em 2010). Ao
resultado operacional “ajustado” de 2011 corresponde uma
rendibilidade operacional do activo de 1,8% (face a 0,7% em
2010), em vez de -1,3% (3,7% em 2010).
Hence in 2011 SCOA reported operating results of
EUR -1.4 million (versus EUR 4.2 million in 2010), or “adjusted”
operating results of EUR 2.0 million (versus EUR 0.8 million in
2010). The 2011 “adjusted” operating results represent an
operating return on assets of 1.8% (0.7% in 2010), instead of
-1.3% (3.7% in 2010), if non adjusted.

Os custos financeiros (essencialmente custos de
financiamento) aumentaram 10,9% em 2011, para 1,6 M€,
reflectindo o impacto do aumento do endividamento médio
(recorde-se que a SCOA emitiu 13,0 M€ de obrigações em
meados de 2010), parcialmente compensado pelo impacto da
redução dos indexantes das taxas de juro (taxas
EURIBOR - Gráfico 2.1.). O resultado financeiro melhorou de
-1,2 M€ em 2010 para -0,9 M€ em 2011, reflectindo o aumento
significativo dos juros obtidos de empréstimos a participadas e
de aplicações financeiras.
Financial costs (essentially borrowing costs) increased by
10.9% in 2011, to EUR 1.6 million, driven by the increase in the
average debt (we remind that in mid-2010 SCOA made a
EUR 13.0 million bond issue), which was in part offset by the
impact of the reduction of the reference interest rates
(EURIBOR rates – Chart 2.1.). Financial results improved from
a EUR 1.2 million loss in 2010 to a EUR 0.9 million loss in
2011, underpinned by the significant increase in interest income
on loans to subsidiaries and financial placements.
A cobertura dos pagamentos de juros e similares pelos
meios libertos operacionais (indicador de cobertura mais
significativo dos apresentados no Quadro 2.3., dadas as
referidas opções contabilísticas) passou de -2,0 vezes em 2010
para 2,0 vezes em 2011. Note-se que a comparação do valor
de recebimentos de proveitos e ganhos financeiros de 2011, de
apenas 0,1 M€, com o valor de proveitos e ganhos financeiros
deste exercício, de 0,7 M€, demonstra dificuldades de
recebimento das suas participadas.
The coverage ratio of interest and similar payments by
operating cash flow (the most significant coverage ratio from
those shown in Table 2.3., given the referred accounting
options) increased from -2.0 times in 2010 to 2.0 times in 2011.
Note that a comparison between the financial income and gains
actually received in 2011 (EUR 0.1 million only) with the
financial income and gains in this year (EUR 0.7 million), shows
that there are being problems in receiving these amounts from
the subsidiaries.

Em 2011 a SCOA registou 10,4 M€ de resultados não
recorrentes, essencialmente relativos a mais-valias registadas
na referida alienação à OPERQUANTO da participação que a
SCOA detinha (91,2%) no capital social da HORIZON VIEW
(recorde-se que em 2012 a OPERQUANTO revendeu 82,2%
do capital social da HORIZON VIEW ao OREY CAPITAL

Assim e após a aplicação dos impostos sobre o rendimento
(0,1 M€ em 2010 e 0,3 M€ em 2011), o resultado líquido da
SCOA em 2011 ascendeu a 8,4 M€, face a 3,1 M€ em 2010.
Note-se que, sem a referida mais-valia, mas considerando o
registo em 2011 dos 3,4 M€ de dividendos da
OREY FINANCIAL IFIC e considerando um efeito fiscal nulo, o
resultado líquido da SCOA em 2011 seria de 1,6 M€ (o
resultado líquido de 2010 seria de -0,3 M€), ao qual
corresponderia uma rendibilidade do capital próprio de 2,1%.
SCOA’s net profit, after income tax (EUR 0.3 million in 2011
and EUR 0.1 million in 2010), was therefore EUR 8.4 million in
2011 and EUR 3.1 million in 2010. Note that, without
considering the referred capital gain, but considering the record
in 2011 of the EUR 3.4 million dividends received from
OREY FINANCIAL IFIC and a zero tax effect, SCOA’s net profit
in 2011 would be EUR 1.6 million (a net loss of EUR -0.3 million
in 2010), corresponding to a return on equity of 2.1%.

resultado líquido de 2,6 M€, face a -0,7 M€ no primeiro
trimestre de 2011, sendo que este aumento reflecte sobretudo
o reconhecimento de 4,0 M€ de dividendos que a SCOA prevê
receber muito brevemente da OREY INVESTMENTS
HOLDING (únicos dividendos que a SCOA prevê receber em
2012), enquanto no primeiro trimestre de 2011 não haviam sido

108,6 M€ (menos 3,4% do que no fim de 2010), constituído por
89,1 M€ de activo fixo e 19,5 M€ de activo corrente
(Quadro 2.4.).

registados directamente em capitais próprios;
- EUR 72.9 million of equity holdings in subsidiaries and
participated companies (of which EUR 36.9 million in
OREY FINANCIAL IFIC and EUR 30.3 million in
OREY INVESTMENTS HOLDING), which is
EUR 4.0 million less than at the end of 2010; this
decrease mainly translates the sale of the holding in
HORIZON VIEW (at the end of 2010 it was valued at
EUR 6.6 million); note that these holdings are valued at
fair value through independent valuations, with fair value
increases being taken directly to equity;

Note-se que parte significativa das disponibilidades
existentes no fim de 2011 respeitavam ao valor recebido pela
venda da participação na HORIZON VIEW e que foi utilizado
em 2012 (3,4 M€) na realização de capital do OREY CAPITAL
FUND para a aquisição por este fundo de parte significativa da
referida participação na HORIZON VIEW. Também a dívida da
OPERQUANTO à SCOA no fim de 2011 (1,9 M€) foi
regularizada no âmbito destas operações.
Note that a significant share of the existing liquid assets at
the end of 2011 corresponded to the amount received for the
sale of the stake in HORIZON VIEW which was used in 2012
(EUR 3.4 million) to realise capital of the OREY CAPITAL
FUND in order for this fund to purchase a significant part of the
refered stake in HORIZON VIEW. OPERQUANTO’s debt SCOA
at the end of 2011 (EUR 1.9 million) was also settled within the
scope of these operations.
Entre o fim de 2011 e o fim de Março de 2012 o total do
activo da SCOA aumentou em 2,7 M€, para 111,3 M€,
salientando-se o aumento de cerca de 5,0 M€ nas
participações financeiras (para 78,0 M€), o aumento 3,7 M€
nos empréstimos a subsidiárias e participadas (para 11,8 M€) e
a redução de 5,9 M€ nas disponibilidades (para 1,2 M€),
evoluções que reflectem essencialmente o processo em curso

From the end of 2011 to the end of March 2012 SCOA’s
total assets increased by EUR 2.7 million, to EUR 111.3 million,
with equity holdings increasing by EUR 5.0 million (to
EUR 78.0 million), loans to subsidiaries and participated
companies rising by EUR 3.7 million (to EUR 11.8 million), and
liquid assets declining by EUR 5.9 million (to EUR 1.2 million).
These mainly reflect the process under way at the time of
capitalisation of the OREY CAPITAL FUND and subsequent
acquisition by this fund of the Group’s non financial subsidiaries
(and of HORIZON VIEW).
No fim de 2011 o capital próprio da SCOA ascendia a
74,9 M€, menos 8,7% (ou 7,1 M€) do que no fim de 2010,
reflectindo o cash-out, realizado em meados de 2011, de
6,1 M€ (conforme descrito no Relatório de Follow-up de 12 de
Setembro de 2011) e um decréscimo de 5,8 M€ nas reservas
de reavaliação dos investimentos financeiros ao justo valor
(associado sobretudo à alienação da participação na HORIZON
VIEW), parcialmente compensados pela retenção de 4,9 M€
dos resultados de 2011 (os dividendos pagos no fim de Junho
de 2012 sobre os resultados de 2011 foram de 3,5 M€). A este
capital correspondia no fim de 2011 uma autonomia financeira
de 68,9% (menos 4,0 pp do que no fim de 2010) (Quadro 2.4.).
O total de cash-out realizado nos anos de 2010 a 2012
ascendeu a 12,2 M€ (recorde-se que o cash-out total previsto
no Relatório de Rating de 24 de Junho de 2010 foi de 13,1 M€).
At the end of 2011 SCOA had equity of EUR 74.9 million,
which is 8.7% (or EUR 7.1 million) less than at the end of 2010.
This decrease reflects the cash out by mid-2011 of
EUR 6.1 million (as described in the Follow-up Report of
12 September 2011) as well as a EUR 5.8 million decrease in
the financial investments revaluation reserve at fair value
(mainly associated to the sale of the stake in HORIZON VIEW),
which were in part offset by the retention of EUR 4.9 million
from the 2011 net profit (the dividends paid at the end of
June 2012 on the 2011 net earnings amounted to
EUR 3.5 million). The equity / assets ratio at the end of 2011
was 68.9% (down by 4.0 pp on the end of 2010) (Table 2.4.).
The total cash out from 2010 to 2012 amounted to
EUR 12.2 million (we remind that the total cash out foreseen in
the Rating Report of 24 June 2010 was EUR 13.1 million).
Considerando um pressuposto de distribuição de
dividendos sobre os resultados de 2012 igual (em valor) ao
realizado sobre os resultados de 2011 e afectando um quarto
desse valor ao resultado do primeiro trimestre de 2012,
verifica-se entre o fim de 2011 e o fim de Março de 2012 uma
redução de 0,3 pp na autonomia financeira da SCOA, para
68,6%, que reflecte um maior aumento do activo, face ao
crescimento do capital próprio pela retenção de resultados.
If we assume that the dividend distribution on the 2012
results will be the same (in value) as that on the 2011 results,
and allocate one fourth of that amount to the first quarter of
2012 results, we observe a 0.3 pp reduction, to 68.6%, in
SCOA’s equity / assets ratio from the end of 2011 to the end of
March 2012, reflecting a greater increase in assets than the
increase in equity through the retention of earnings.

Os capitais alheios totais ascendiam a 33,8 M€ no fim de
2011 e eram sobretudo constituídos por 26,4 M€ de dívida
financeira e os 3,5 M€ de dividendos sobre os resultados de
2011, pagos em meados de 2012. O aumento dos capitais
alheios face a 2010 (+3,3 M€ ou +10,9%) reflecte
essencialmente o reconhecimento de dividendos a pagar.
Total borrowed funds amounted to EUR 33.8 million at the
end of 2011, and consisted mainly in financial debt of
EUR 26.4 million and EUR 3.5 million of dividends on the 2011
results, which were paid in mid-2012. The increase in borrowed
funds compared to 2010 (EUR +3.3 million or +10.9%) was
mainly driven by the recognition of dividends payable.
A dívida financeira da SCOA repartia-se, no fim de 2011,
entre 16,0 M€ registados a médio e longo prazo e 10,4 M€
registados a curto prazo e era constituída por:

EUR 16.0 million booked as medium and long term and
EUR 10.4 million booked as short term, and was made up of
the following:
- 12,7 M€ relativos ao valor contabilístico (ao custo
amortizado) dos 13,0 M€ de obrigações (sujeitas a
notação) emitidas em 2010, pelo prazo de 8 anos;
- EUR 12.7 million concerning the book value (at
amortised cost) of the EUR 13.0 million bonds (subject
to rating) issued in 2010 with maturity of 8 years;
- 4,3 M€ (3,2 M€ registados em médio e longo prazo e
1,1 M€ registados em curto prazo) de um empréstimo
do Banco Espírito Santo, S.A. (BES) contratado em
Dezembro de 2008 com um valor inicial de 6,5 M€ e
que está a ser amortizado em 12 prestações
semestrais, iguais e consecutivas, iniciadas em Junho
de 2010;
- EUR 4.3 million (EUR 3.2 million booked as medium
and long term and EUR 1.1 million as short-term) of a
loan from Banco Espírito Santo, S.A. (BES) contracted
in December 2008 for na initial amount of
EUR 6.5 million, with repayment in 12 consecutive
semi-annual instalments of the same amount started in
June 2010;
- 0,1 M€ (72,3 m€ registados em médio e longo prazo e
30,3 m€ registados em curto prazo) de locações
financeiras; e
- EUR 0.1 million (EUR 72.3 thousand booked as medium
and long term and EUR 30.3 thousand as short-term) of
financial leases; and
- 9,3 M€ (registados em curto prazo) de utilizações de
linhas de crédito de curto prazo (com um plafond global
de 11,1 M€).

No fim de 2011 a SCOA tinha apenas 1,8 M€ de linhas de
crédito por utilizar. O rácio de risco de liquidez nessa data, de
78,1%, reflectia também as disponibilidades existentes
(descontadas da parte que estava afecta à reaquisição em
2012 de parte do capital da HORIZON VIEW).
At the end of 2011 SCOA only had EUR 1.8 million in
unused credit lines. The liquidity risk ratio on that date, 78.1%,
also reflected the existing liquid assets (discounting the share
allocated to the re-acquisition in 2012 of part of HORIZON
VIEW’s share capital).
O valor total (utilizado e não utilizado) de financiamentos de
curto prazo da SCOA no fim de 2011 encontrava-se repartido
entre sete entidades bancárias ibéricas, com maior
concentração em três dessas entidades: Banco Santander
Totta, S.A. (23,4% do total); BES (22,5%) e Banco Bilbao
Vizcaya e Argentaria (BBVA) (22,5%).
At the end of 2011 the total amount of SCOA’s drawn and
undrawn short-term credit facilities was divided between seven
Iberian credit institutions, and mostly concentrated in three:

Evolução dos Accionistas Developments in the Shareholders
A SCOA continua a ter como principal accionista o
Sr. Dr. Duarte Maia de Albuquerque d´Orey, o qual no final
de 2011 detinha, directa ou indirectamente, através da Orey
Inversiones Financieras, SL (OREY INVERSIONES) e da
Triângulo-Mor Consultadoria Económica e Financeira, S.A.
(TRIÂNGULO MOR), 79,01% do capital social da SCOA (face a
73,42% no fim de 2010).
SCOA’s main shareholder continues to be Mr. Duarte Maia
de Albuquerque d´Orey, who, at the end of 2011 held directly,
or indirectly through Orey Inversiones Financieras, SL (OREY
INVERSIONES) and Triângulo-Mor Consultadoria Económica e
Financeira, S.A. (TRIÂNGULO MOR), 79.01% of the share
capital (73.42% at the end of 2010).
A OREY INVERSIONES e a TRIÂNGULO MOR tinham no
fim de 2010 uma dívida financeira conjunta de 14,9 M€,
estimando-se que este saldo tenha baixado para 13,2 M€ no
fim de 2011. Este endividamento está a ser e deverá continuar
a ser substancialmente reduzido com o recebimento por estas
entidades de dividendos da SCOA (em meados de 2012 terá
sido reduzido em, pelo menos, mais 1,25 M€).
At the end of 2010 OREY INVERSIONES and TRIÂNGULO
MOR had a joint financial debt of EUR 14.9 million, which is
estimated to have declined to EUR 13.2 million at the end of
2011. This debt is being significantly reduced, and should
continue to decline, through the receipt by these companies of
dividends from SCOA (by mid-2012 it was estimated to have
dropped by at least another EUR 1.25 million).
3. PERSPECTIVAS 3. OUTLOOK
Economia Mundial World Economy
Nas Perspectivas Económicas Mundiais de Outubro de
2012, o FMI considera que a recuperação da economia
mundial continua, mas enfraqueceu, reflectindo sobretudo as
incertezas que pendem quanto à capacidade dos políticos
europeus de controlarem a crise na Zona Euro e quanto à
capacidade dos políticos dos EUA acordarem um plano
orçamental.
In its World Economic Outlook of October 2012, the IMF
considers that the recovery continues, but it has weakened,
mainly reflecting pending “worries about the ability of European
policymakers to control the euro crisis and worries about the
failure of US policymakers to agree on a fiscal plan”.
Assim, para o ano completo de 2012 o FMI prevê que a
economia mundial registe uma nova desaceleração, com um
crescimento de 3,3% (+1,3% nas economias desenvolvidas e
+5,3% nas economias em desenvolvimento). Para 2013 as
projecções apontam para a inversão desta situação através de
um crescimento da economia mundial de 3,6% (+1,5% nas
economias desenvolvidas e +5,6% nas economias em
desenvolvimento).
Hence the IMF expects that the growth of the world
economy will again slow down in 2012, to 3.3% (+1.3% in the
advanced economies and +5.3% in the developing economies).
The forecasts for 2013 point to a reversal in this trend, with the
world economy growing by 3.6% (+1.5% in the advanced
economies and +5.6% in the developing economies).
No comércio mundial de bens, o FMI prevê um crescimento
de 3,4% em 2012 (mantendo a tendência de desaceleração),
prevendo para 2013 a retoma para um nível de crescimento um
pouco mais acentuado (4,6%).
The IMF estimates that the world trade in goods will grow by
3.4% in 2012 (maintaining a decelerating trend), somewhat
picking up in 2013 (+4.6%).

Nas Perspectivas Económicas Mundiais de Outubro de
2012, o FMI prevê que, no ano completo de 2012, a economia
portuguesa decresça 3,0% (com uma taxa de inflação média de
2,8%) e para 2013 prevê que decresça 1,0% (com uma inflação
de 0,7%). No défice da balança corrente, o FMI prevê uma
melhoria de 3,5 pp do PIB em 2012 (para 2,9%), seguida de
uma melhoria de 1,2 pp em 2013 (para 1,7%).
In its World Economic Outlook of October 2012, the IMF
forecasts that the Portuguese economy will retract by 3.0% in
2012 (with an average inflation rate of 2.8%) and by 1.0% in
2013 (with inflation of 0.7%). The IMF also expects that the
current account deficit will improve by 3.5 pp in 2012 (to 2.9%
of GDP), and by 1.2 pp in 2013 (to 1.7% of GDP).
O Banco de Portugal, no seu Boletim de Verão, publicado
em Julho de 2012, apresentou previsões de quebra do PIB
também de 3,0% para 2012 (com uma redução de 6,4% na
procura interna, um aumento de 3,5% nas exportações e uma
redução de 6,2% nas importações) e de estagnação para 2013
(com uma redução de 1,4% na procura interna, um aumento de
5,2% nas exportações e um aumento de 1,5% nas
importações). As previsões de inflação são de 2,6% em 2012 e
1,0% em 2013. O Banco de Portugal prevê que a economia
portuguesa registe um excedente na balança de bens e
serviços já em 2012 (para a balança corrente e de capital prevê
um défice de 1,7% do PIB), prevendo para 2013 o registo de
um excedente na balança corrente e de capital.
In its Summer Bulletin of July 2012, the Bank of Portugal
also predicts a 3.0% fall of GDP in 2012 (with domestic demand
falling by 6.4%, exports increasing by 3.5% and imports
dropping by 6.2%) and its stagnation in 2013 (with domestic
demand declining by 1.4%, exports increasing by 5.2% and
imports rising by 1.5%). Its forecasts for inflation are for 2.6% in
2012 and 1.0% in 2013. The Bank of Portugal expects that the
goods and services account will register a surplus already in
2012 and that the current and capital account balance will show
a deficit of 1.7% of GDP in 2012 and a surplus in 2013.
Economia Angolana Angolan Economy
O FMI prevê que o PIB angolano cresça 6,8% em 2012 e
5,5% em 2013, com taxas médias de inflação de,
respectivamente, 10,8% e 8,6% e com excedentes na balança
corrente de, respectivamente, 8,5% e 6,6% do PIB. Note-se
que para 2012 está prevista uma significativa recuperação da
produção de petróleo em Angola.
According to the IMF’s projections, the Angolan GDP should
grow by 6.8% in 2012 and 5.5% in 2013, with average inflation
rates of 10.8% and 8.6% in each of these years and current
account surpluses of 8.5% and 6.6% of GDP, respectively.
Angola’s oil production is expected to experience a significant
rebound in 2012.
SCOA SCOA
Conforme referido, no ano completo de 2012 a SCOA prevê
receber 4,0 M€ de dividendos (totalmente da OREY
INVESTMENTS HOLDING) e em finais de Junho pagou aos
seus accionistas os 3,5 M€ de dividendos de 2011 (tendo para
o efeito alienado obrigações da OTLI que tinha em carteira).
Neste ano a SCOA deverá registar mais-valias significativas
relativas à alienação de participadas ao OREY CAPITAL
FUND.
As referred, in full 2012 SCOA expects to receive dividends
of EUR 4.0 million (entirely from OREY INVESTMENTS
HOLDING) and in late June paid EUR 3.5 million dividends to
its shareholders on the 2011 results (having for the purpose
sold OTLI bonds it had in portfolio). SCOA is expected to record
significant capital gains in 2012 on the sale of subsidiaries to
the OREY CAPITAL FUND.
Apesar do cash-out total previsto no Relatório de Rating de
24 de Junho de 2010 (13,1 M€) ter ficado quase totalmente
realizado com os dividendos pagos em meados de 2012, a
SCOA manterá uma elevada distribuição de dividendos nos
próximos anos.
Although the cash-out foreseen in the Rating Report of
24 June 2010 (EUR 13.1 million) was nearly exhausted with the
dividends paid in mid-2012, SCOA will continue to make large
dividend distributions over the coming years.
Apesar da necessidade de manter um nível elevado de

garantir a manutenção ao longo do período (ou o seu
refinanciamento) dos financiamentos bancários de curto prazo

SCOA will be able to obtain sufficient financial means (to be
released by its investments) to redeem on 8 July 2018 the
EUR 13.0 million bonds now subject to rating (without having to
sell assets or contract new loans), although it will have to
ensure the maintenance (or renewal) over the period of the
short term bank facilities in place at the end of 2011
(EUR 9.4 million).
Recorde-se que, pelas regras do CSC, a SCOA é
solidariamente responsável pelas obrigações da OSO, da
OREY IMOBILIÁRIA e da OREY FINANCIAL IFIC.
Relativamente a estas subsidiárias é de referir o seguinte:
We remind that under the CCC rules, SCOA is jointly
responsible for the obligations of OSO, OREY IMOBILIÁRIA
and OREY FINANCIAL IFIC. Concerning these subsidiaries, we
note the following:
- a OSO não apresentava dívida financeira no fim de
2011 e não está prevista a contratação de dívida por
parte desta subsidiária;
- OSO had no financial debt at the end of 2011 and is not
expected to take on new debt;
- a OREY IMOBILIÁRIA tinha no fim de 2011 uma dívida
financeira de 3,9 M€ (1,2 M€ com vencimento a curto
prazo e 2,7 M€ com vencimento a médio e longo prazo)
e assume-se que algum investimento futuro será
financiado com endividamento adicional reembolsável a
médio e longo prazo;
- at the end of 2011 OREY IMOBILIÁRIA had a financial
debt of EUR 3.9 million (EUR 1.2 million maturing in the
short term and EUR 2.7 million in the medium and long
term), and it is assumed that any future investment will
be financed through additional debt redeemable in the
medium and long term;
- a OREY FINANCIAL IFIC tinha apenas 55,5 m€ de
dívida financeira no fim de 2011, mas, conforme
referido, prevê realizar a muito curto prazo emissões de
obrigações, num valor que poderá ascender, no total, a
30,0 M€, a emitir por tranches de 7,5 M€, com
maturidade de três anos para cada tranche e com
penhor / ressalva dinâmica sobre as aplicações destes
fundos (disponibilidades, carteira de títulos e crédito ao
investimento em valores mobiliários).
- at the end of 2011 OREY FINANCIAL IFIC only had a
financial debt of EUR 55.5 thousand, but, as referred, it
intends to issue bonds very shortly, of up to
EUR 30.0 million; these bond issues will be made by
tranches of EUR 7.5 million each with maturities of three
years and a secured pledge / dynamic lien on the
placements of the proceeds (liquid assets, securities
portfolio and credit to investment in securities).
Assim, a capacidade de pagamento atempado e na íntegra
das obrigações emergentes do empréstimo obrigacionista
sujeito a follow-up poderá ser condicionada pelos seguintes
factores, que serão especialmente mantidos sob observação

reembolso do empréstimo sujeito a notação;

4. NOTAÇÃO 4. RATING
Reflectindo sobretudo a excepcional geração de fundos
para a SCOA prevista realizar a curto prazo num dos seus
investimentos no Brasil, que deverá compensar a redução dos
resultados de outros investimentos da SCOA e a maior
incerteza existente nos mercados financeiros, nomeadamente
quanto à necessidade de desalavancagem do sistema bancário
ibérico (necessidade que poderá ter impacto na capacidade e
vontade de manter ou aumentar o financiamento às empresas,
particularmente à SCOA), a CPR é da opinião que a
capacidade da SCOA em honrar, atempadamente e na íntegra,
o serviço do empréstimo obrigacionista sujeito a notação
mantém-se adequada, embora apresente alguma
vulnerabilidade a modificações adversas, de conjuntura ou

A An obligation rated “A” is somewhat more susceptible to the adverse effects of changes in circumstances and economic conditions than obligations in higher rated categories. However, the obligor’s capacity to meet its financial commitment on the obligation is still strong.
BBB Um compromisso financeiro com notação “BBB” apresenta adequados parâmetros de protecção. No entanto, modificações adversas, de conjuntura ou outras, poderão levar a uma capacidade mais enfraquecida do emitente para cumprir o compromisso financeiro em causa.
BBB An obligation rated “BBB” exhibits adequate protection parameters. However, adverse economic conditions or changing circumstances are more likely to lead to a weakened capacity of the obligor to meet its financial commitment on the obligation

BB Um compromisso financeiro com notação “BB” é menos vulnerável a incumprimento do que os classificados noutras categorias especulativas. Contudo, apresenta exposição a condições adversas do negócio, financeiras ou económicas, que poderão levar a uma capacidade inadequada para cumprir o compromisso financeiro em causa.
BB An obligation rated “BB” is less vulnerable to non-payment than other speculative issues. However, it faces major ongoing uncertainties or exposure to adverse business, financial, or economic conditions, which could lead to the obligor’s inadequate capacity to meet its financial commitment on the obligation.
B Um compromisso financeiro com notação “B” é mais vulnerável a incumprimento do que compromissos financeiros com notação “BB”, mas o emitente tem presentemente capacidade para cumprir o compromisso financeiro em causa. Condições adversas do negócio, financeiras ou económicas deverão provavelmente prejudicar a capacidade ou a vontade do emitente em cumprir o compromisso financeiro em causa.
B An obligation rated “B” is more vulnerable to non-payment than obligations rated “BB”, but the obligor currently has the capacity to meet its financial commitment on the obligation. Adverse business, financial, or economic conditions will likely impair the obligor’s capacity or willingness to meet its financial commitment on the obligation.
CCC Um compromisso financeiro com notação “CCC” é vulnerável a incumprimento, e está dependente de condições favoráveis do negócio, financeiras e económicas para que o emitente consiga cumprir o compromisso financeiro em causa. No caso destas condições serem adversas, não é provável que o emitente tenha capacidade para cumprir o compromisso financeiro em causa.
CCC An obligation rated “CCC” is currently vulnerable to non-payment, and is dependent upon favourable business, financial, and economic conditions for the obligor to meet its financial commitment on the obligation. In the event of adverse business, financial, or economic conditions, the obligor is not likely to have the capacity to meet its financial commitment on the obligation.

C Um compromisso financeiro com notação “C” tem uma grande probabilidade de incumprimento. Uma notação “C” poderá ser atribuída numa situação em que se encontra a decorrer um processo de falência ou similar, mas os pagamentos do compromisso financeiro em causa ainda prosseguem.
C An obligation rated “C” is currently highly vulnerable to non-payment. The “C” rating may be used to cover a situation where a bankruptcy petition has been filed or similar action taken, but payments on this obligation are being continued.
D Um compromisso financeiro com notação “D” encontra-se em default.
D An obligation rated “D” is in payment default.
Os ratings de “AA” a “CCC” podem ser complementados com a adição de um sinal “+” ou “-“, que indicam a posição relativa em cada notação.
The ratings from “AA” to “CCC” may be modified by the addition of a “+” or “-” sign to show relative standing with the major rating categories.
Complementarmente à notação é apresentada a tendência: indicação da possível evolução da notação (positiva, estável, negativa ou indefinida), embora tal não constitua necessariamente uma garantia de alteração futura da notação ou de uma necessidade de follow-up antecipado.
The rating outlook (positive, stable, negative or developing) highlights the potential direction of a rating during its validity. An outlook is not necessarily a precursor of a rating change or future follow-up ahead of schedule.

Este Relatório de Follow-up deve ser preferencialmente lido em conjunto com o Relatório de Rating inicial e com os respectivos relatórios de Follow-up.
As notações de rating atribuídas pela CPR são opiniões sobre a capacidade e vontade de uma entidade honrar, atempadamente e na íntegra, os compromissos financeiros (capital e juros) sujeitos a rating.
O(s) rating(s) atribuído(s) pela CPR neste relatório foi(ram) solicitado(s) pela entidade cujos compromissos são sujeitos a rating.
Previamente à atribuição ou revisão de uma notação de rating, a CPR faculta à entidade cujos compromissos financeiros são sujeitos a rating documentação que suporta a notação a atribuir (relatório preliminar de rating), dando-lhe, assim, oportunidade para clarificação ou correcção factual da mesma, para que a notação atribuída seja o mais correcta possível. Os comentários da entidade cujos compromissos financeiros são sujeitos a rating são tidos em conta pela CPR na atribuição da notação.
Posteriormente à atribuição da notação de rating pelo Painel de Rating cabe à entidade cujos compromissos são sujeitos a rating a decisão de publicação ou não da mesma, não havendo possibilidade de qualquer alteração da mesma por parte da CPR. Constituem excepções a esta opção os casos previstos legalmente e a divulgação da contratação de qualquer trabalho de rating sobre produtos estruturados.
Os ratings não constituem recomendações de compra ou venda, sendo apenas um dos elementos a ponderar pelos investidores.
A CPR procede, ao longo de todo o período em que as notações de rating se encontram válidas, a um acompanhamento constante da evolução do emitente, podendo, inclusivamente, antecipar a data de realização do follow-up. Assim, previamente à utilização da notação do rating pelo investidor a CPR recomenda a sua confirmação, nomeadamente através da consulta da lista de ratings públicos no web site www.cprating.pt.
Os ratings baseiam-se em informação recolhida junto de um conjunto alargado de fontes de informação, com destaque para a prestada pela entidade cujos compromissos financeiros são sujeitos a rating, incluindo informação confidencial, a qual é utilizada e trabalhada, com todo o cuidado, pela CPR. Não obstante os cuidados na obtenção, cruzamento e tratamento da informação para efeitos da análise de rating, a CPR não se pode responsabilizar pela sua veracidade, sendo exigível a percepção por parte da CPR de um nível mínimo de qualidade da informação para que se proceda à atribuição das notações de rating.
No processo de rating a CPR adopta procedimentos e metodologias no sentido de assegurar a transparência, a credibilidade, a independência, e que a atribuição de notações de rating não seja influenciada por situações de conflito de interesse. Excepções quanto a estes princípios são divulgadas pela CPR em conjunto com a notação de rating do compromisso financeiro.

This Follow-up Report should preferably be read together with initial Rating Report and with the subsequent Follow-up reports.
Ratings assigned by CPR represent opinions on the capacity and willingness of an entity to honour, in due time and in full, the financial commitments (principal and interest) subject to rating.
The rating(s) assigned by CPR in this report was / were assigned by the entity whose financial commitments are subject to rating.
Prior to the assignment or revision of a rating CPR provides to the entity whose financial commitments are subject to rating the documents that substantiate the rating to be attributed (the preliminary rating report). This entity is thus given the opportunity to clarify or correct factual details, thus allowing the rating assigned to be as accurate as possible. The comments made by the entity whose financial commitments are subject to rating are taken into account by CPR in the assignment of the rating.
Once the Rating Panel has assigned a rating, it is up to the entity whose financial commitments are subject to rating to decide whether or not this rating will be published, and there is no possibility of CPR changing this rating. Cases provided for in the law and rating analyses on structured products constitute exceptions to this option on publishing.
Ratings do not constitute a recommendation to buy or sell, but only one of the factors to be weighted by investors.
Throughout the entire period during which ratings are valid, CPR monitors the issuer’s performance on a constant basis, and may even bring forward the date of the follow-up. Hence, prior to an investor using a rating, CPR recommends that it be confirmed, namely by consulting the listing of public ratings available at the web site www.cprating.pt. .
Ratings are assigned based on information, including confidential information, collected from a wide group of sources, and in particular from the entity whose financial commitments are subject to rating. CPR uses and treats this information with due care and attention. Although all due care was taken in the collection, cross-checking and processing of the information for the purposes of the rating analysis, CPR cannot be held liable for its truthfulness. CPR must make sure that the information has a minimum level of quality prior to assigning a rating based on such information. .
In the rating process, CPR adopts procedures and methodologies aimed at ensuring transparency, credibility and independence, and also that rating classifications are not influenced by situations of conflict of interests. Any exceptions to these principles are disclosed by CPR together with the rating classification of the financial commitment in question.
