4 Renewal of Contract

Unless otherwise stated all contracts are for a period of one (1) year with an dption to renew anriually for an additional four (4) years if agreed to by TCPN and the vendor TCfN shall review the contract prior to the renewal date and notify the current awarded vendor each year of the contract renewaL Awarded vendor shall honor the administrative fee for any Sales occurred

5 Funding Out Clause I Anyall contracts exceed~ng one (1) year shall include a standard funding out clause A contract for the acquisition including lease of real or personal property is a commitment of the entitys current revenue only provided the contract contains either or both bf the following provisions I Retains to the entity the oontinuing right to terminate the contract at the expiratio~ Qf each budget period during the term onhe contract and is conditioned on a best efforts attempt by the entity to obtain appropriate funds for payment of the contract J

i 6 Ordering Procedures ~ i

The awarded vendor shall ship ordered products -within seven (7) working days for goods available and within foUr (4) to six (6) weeks for specialty items after the reoeipt of the order unless modified If a product cannot be shipped within that time the awarded vbndor shall notify the entity placing the order as to why the product has not shipped and shall pro~ide an estimated shipping date At this point the participating entity may cancel the order if estimated shipping time is not acceptable I

8 Invoices I The awarded vendor srall submit invoices to the participating entity clearly s~ating Per TCPN Contract The shipment tracking number or pertinent information for verification shall be made available upon request

I 9 Tax Exempt Status I

Since this is a national pontract knowing the tax laws in each state is the sole ~esponsibilitYOfthe vendor

10 Reporting

The awarded vendor shall electronically provide TCPN with a detailed monthl~yor quarterly report showing- the dollar volume of all sales under the contract for the previous month or quarter Reports shall be sentvia e-mail to TCPN offices at reportingtcpnorg eportsaredue on the fifteenth (15th

11 Payments

The entity using the contract will make payments directly to the awarded vendor I

12 Pricing

The awarded vendor agrbes to provide pricing to TCPN and its participating entities that are the lowest pricing available ind the pricing shall remain so throughout the duratio~ of the contract The awarded vendor agrees to promptly lower the cost of any product purchased through TePN following a reduction in the manufacturer or publishers direct cost Price inqreases must be approved by TCPN However the awarded vendor must honor previous prices for thirty (30)

15 Franchise Tax

Awarded vendor agrees to allow TCPN to use their name and logo within wel)site marketing materials and advertisement Any use of TCPN name and logo by awarded iendor must be approved

17 Supplemental Agreements

Brands may be available from Jasper Group we jumped at the opportuniw Mr Ush

emphasized Both Brands have a stellar reputation for providing custombrs with wood furniture solutions and this reputation has been building within the library industry

We welcomed the chance to purchase these Brands from Jasper Group and the ability

to partner with them as projects arise to solve furniture needs that mergelthe two companies expertise -library furniture along with casegoods and seating

I A strong relationship has been built between Jasper Library Furniture and the other divisions of Jasper Group over the last 6 years and this relationship will cbntinue

after the purchase Though owned independently the two companies will maintain relationships with the same rep groups as well as supporting each other in joint

speCifications on various library projects

The purchase includes full ownership of the Brands all product lines andi two

manufacturing facilities located in Troutman and Taylorsville North carolina Jasper Library Furniture currently has a total of 56 employees The new corporate

headquarters will be located at the production facility in Troutman while f~e finishing lines and inventory will continue to be handled at the Taylorsville facility fustomers

will see a seamless transition to new ownership as library orders were already managed produced and shipped from the North Carolina facilities while ~nder Jasper Group ownership )1

The management team is also striving to become a leader in the library urniture industry for green product The recent installation of a new UV finish linel will support their drive to produce durable wood products in an environmentally sensitive manner

Work is currently underway to produce a second spray-on line for W fitshes

Within the library specification process FSC certification and LEED poi~ts
