• The Pepsu Road Transport Corporation (PRTC)/Department of Transport, Govt. of Punjab through Punjab Infrastructure Development Board (PIDB) intend to Develop a State – of –The-Art-Bus Terminal cum Commercial complex at Bathinda and Patiala. The project is be to developed on Public-Private-Partnership (PPP) basis, wherein the Private Concessionaire shall be selected to develop the project facility on Design-Build-Operate-Transfer (DBOT) Basis.
• Punjab Infrastructure Development Board is the facilitator for implementation of the project.
• IL&FS Infrastructure Development Corporation Ltd (IL&FS IDC) is the Project Development Advisors to Govt. of Punjab to undertake Project Development activities for successful implementation of the project, including selection of private sector participant(PSP).

Pre Qualification Criteria
• Advertisement of EOI already published in National Dailies by PRTC and Punjab Infrastructure Development Board on 12th January 08.
• EOI Eligibility Criteria : a. Technical Criteria:
Experience Criteria: a firm or any member of the firm in case of consortium of firms must have experience in past five (5) years of construction or development of one bus terminal or real estate development project of Min built up area of 10000 Sq. Mt. for each Bus terminal.
b. Financial Criteria: Net Worth Criteria: a firm or consortium of firms taken together must have an aggregate tangible Average net-worth of Rs 50 Crores for each bus terminal, as per the previous three year’s available audited results, excluding revaluation reserve, goodwill and other intangible assets to be certified by a charted accountant.
c. High Net Worth Criteria: a firm having a net worth of Rs. 500 crores or more was exempted from the above mentioned criterion and was qualified for the next stage of bidding process.
* Similar projects: “similar project” for this purpose shall mean Bus Terminal Facility or Commercial buildings including multiplex, retail/shopping mall, commercial complex, integrated real estate project etc or infrastructure projects like flyovers, bridges, terminals etc.
Proposal Requirement
Each Bidder shall submit only one proposal
Maximum number of members/partners in consortium, partnership or joint venture
allowed is limited to 5
Formation of Special Purpose Company necessary in case of Joint Venture,
Consortium or Partnership firm
Lead Member liable for execution of the Project holding all members jointly and
severally liable for all obligations to the Concessionaire under the Concession
Agreement
Every Member of the Consortium shall have a minimum equity share of 10% in the
Concessionaire. The aggregate shareholding of the Consortium Members (in case
of Consortium) or Associates (in case of Individual Bidder) in the issued and paid
up equity share capital of the Concessionaire shall be not less than: • 100% till a period of 30 (thirty) months from the Compliance Date and•51% after the period of 30 (thirty) months from the Compliance Date i.e during the balance Operation and Maintenance Period, till the Project Transfer Date/ issuance of Concession Agreement Completion Certificate.

Proposal Requirement – Financial Proposal
Bidding Parameter
(i) Upfront Consideration : Rs__________________(set forth in the

Scope of Work for Concessionaire
The private sector participant will be expected to do:
To Plan and Design the Integrated Bus Terminus cum Commercial Complex
Construction of the Project Components as per the design approved by Design Approval Committee.
Provision of minimum development obligations.
Construction of rigid pavement in PQC for Bus Movement.
Construction of Commercial Complex including installation of building services.
To plan for overall traffic circulation within and outside the campus.
Operation and Maintenance of Bus Terminal-cum-Commercial Complex
The Concessionaire shall be required to construct minimum 5 (five) storied building above plinth level (17.5m of height from the plinth level) and having a minimum built up area of 4,00,000 sq ft ( Four Lakhs sq ft).

Present Utilisation: Existing Bus Terminal for Bathinda City, PRTC workshop and office complex. The site shall be available for development of project to the selected Concessionaire .
Approach: Well connected , Entry and exit from GT Road NH - 64 (60 Mtrs wide) in front. All around peripheral road to the site (20-30 feet wide road)

The facility to be provided in a minimum total built up area of 2500 Square Feet along with the adequate supporting utilities like toilets etc.

5 Diesel Fuelling Station
Diesel fuelling station to be provided in the bus terminal premises. The land allocated for the fuel station is 595 sqm in area.
6 Scope For Future Expansion
A built up area of 1000 sqft shall be given to the PRTC

2. No Lease / Sub Lease of Project Site
a. The Concessionaire shall not lease, sub-lease, transfer, assign or
part possession of the whole or any part of the land comprising
the Project Site, to any person in any form or under any
arrangement, device or method. This is an essential condition of
this Agreement, the breach of which shall constitute a
Concessionaire Event of Default that shall entitle the PRTC to
terminate this Agreement
OBLIGATIONS OF CONCESSIONAIRE Take over the possession of the Project Site from the Concessioning Authority. Obtain any and all permits, necessary approvals, clearances and sanctions
from the Competent Authorities, for building plans, infrastructure facilities including power, water supply, drainage & sewerage, fire fighting, telecommunications etc, as and when they may be required, for the Concessionaire and its employees to perform their obligations under this Concession.
Submit a detailed design, including Architectural Plans, Structural Drawings of the Bus Terminal and elevations sections, all internal and estate services, facilities of the entire complex etc, of the Bus Terminal-cum-Commercial Complex to the Concessioning Authority and also, incorporate the necessary suggestions/ amendments proposed by the Design Approval Committee/ Concessioning Authority. However, it is clarified here that the construction shall not start until unless the detailed design of the Bus Terminal-cum-Commercial Complex is approved again by the Concessioning Authority, after carrying out necessary amendments, which shall not be unduly delayed.
Achieved Financial Close and delivered complete evidence to the Concessioning Authority that Financial Close has been accomplished, within a period of 180 days from the date of signing of this Concession Agreement.

Undertake to achieve substantial completion no later that 18 (eighteen) months from the Compliance Date for the Bus Terminal and related passenger amenities and 30 (thirty) months from the Compliance Date for the area for use and occupation of PRTC and other Government offices & the Commercial Complex.Ensure that the Bus Terminal and related passenger amenities, as defined in Schedule II of the Concession Agreement, are constructed at the integrated Bus Terminal-cum-Commercial Complex facility and henceforth, transferred the area to the Concessioning Authority after the expiration of 20 years.Submit “Structural Safety Certificate” of the proposed facility from competent structural engineer before the commencement of commercial activities. The Concessionaire shall ensure that the certificate is also counter certified/ signed by the Independent Engineer. On expiry of the Concession Period or on termination, within a maximum period of 30 days, to leave the Bus Terminal and Commercial Complex in a clean and safe condition to the satisfaction of Concessioning Authority.Entitled to subcontract tasks relating to its obligations and responsibilities under this Concession Agreement, including but not limited to tasks relating to construction, installation of services, maintenance and operation of the Project Facility, the Concessionaire shall be sole and primary person responsible to the Concessioning Authority for observance of all the provisions of this Concession Agreement.

Shall prepare monthly Reports on the progress of construction. Concessionaire shall submit one copy of the Monthly Report to the Concessioning Authority and one copy of the same to the Independent Engineer.
The Concessionaire shall, within 30 days of the issuance of “Provisional Certificate” (for Bus Terminal), form an “Operation and Maintenance Fund” by opening a Current Account, which shall collect payments from the Sub-Lessees of the Project Facility. This Fund shall especially be created exclusively to meet the recurring costs and expenses towards the operations and maintenance of the Project Facility. The Concessionaire shall notify the Concessioning Authority of status of such Current Account and the details of all the Sub-Lessees in the Project Facility every quarter. In the event of / upon Termination of the Concession Agreement, all such payments towards the operation and maintenance by the Sub-Lessees shall then be paid to the Concessioning Authority as per the mechanism of payment so notified by the Concessioning Authority to all such Sub-Lessees.

After the issuance of the Provisional Certificate for the Bus Terminal and passenger related amenities have been developed, the Concessionaire may begin marketing of allotment of the Commercial Complex and the Passenger Amenities in the Bus Terminal. In addition to this, the Concessionaire shall specifically put an Information Board for General Public, at the Project Site, clearly stating that the allotment of the built up space in the Project Facility shall start only after issuance of the Provisional Certificate.
The Concessionaire shall ensure, at all times during the Operation and Maintenance Period, that each Sub Lessee pays to the Concessionaire an annual Lease Rental rate in Rupees per Sqft. which shall not be less than the Annual Concession Fee divided by 4,00,000 or the total built up area in square feet of the design as proposed by Concessionaire and approved by the Design Approval Committee, whichever is higher.

In addition to this, the Design Approval Committee shall have the right to get the approval of the Design, as submitted by the Concessionaire, from the Executive Committee of PIDB. However, the Concessionaire shall be asked to make power point presentation to the Executive Committee of PIDB, giving the artist impression of the Project Facility particularly with regards to the façade of the Project Facility. The Concessionaire shall be required to incorporate the changes as suggested by Design Approval Committee and Executive Committee of PIDB

COMPENSATION ON TERMINATION
1. Termination due to Force Majeure Events – Non Political
Event.
If the Termination in on account of Non Political Event, the
Concessionaire shall be entitled to receive only insurance
covers. The Concessioning Authority shall not be entitled to
pay any amount to Concessionaire.

2. Termination due to Force Majeure Events – Political Event. If the Termination of this Concession Agreement is on account of a Political
Event, the Concessionaire shall be entitled to receive from the Concessioning Authority by the way of Termination Payment an amount equal to:(a) The total Debt Due, plus(b) 100% (one hundred percent) of the outstanding Subordinated
Debt, if any, plus(c) 125% (one hundred twenty five percent) of the Equity (subscribed
in cash and actually spent on the Project) if such Termination occurs at any time during the two years from the Compliance Date and for each successive year thereafter, such amount shall be reduced by 1.2% (one point two percent) per annum.

3. Termination due to Concessionaire Event of Default.
Upon Termination by the Concessioning Authority on account of a
Concessionaire Event of Default in accordance with the provisions of
Article 22.3 & 22.4, the Concessionaire shall not be entitled to receive any
Termination Payment from the Concessioning Authority.
In addition, if the Termination by the Concessioning Authority is on account
of the Concessionaire’s failure to achieve Financial Close obligations i.e.,
Termination under Article 22.3 (viii), the Concessioning Authority shall
forfeit the entire amount of the Performance Security.

4. Termination due to Concessioning Authority Event of Default.
The total Debt Due, plus
100% (one hundred percent) of the outstanding Subordinated Debt, if any,
plus

and actually spent on the Project) if such Termination occurs at any time
during the two years from the Compliance Date and for each successive
