The Client shall endeavor to respond to the queries within the period specified. However,

the Client reserves the right not to respond to any question or provide any clarification, in

its sole discretion, and nothing in this Catalogue shall be taken or read as compelling or

requiring the Client to respond to any question or to provide any clarification.

Non-Interest bearing LOT-WISE security deposit in the form of RTGS to m-Junction

The quantity mentioned in auction catalog is an indicative one. The H1

bidder need to lift the entire available quantity during the order validity

period upon getting intimation from GMR officials. Additional payment

needs to be deposited in case of additional qty available. Customers

needs to clear the ground & have to lift the entire qty. SD/EMD will be

released only after lifting of entire available qty. at site.

Mobile connectivity at site is only for Airtel and BSNL only, customers

have to make necessary arrangement accordingly.

In case of electricity usage for disamantling/cutting, customers needs

to make the payment for the usage.

E-Way Bill should be arranged by the H1 bidder or the transporter

for the movement of material.

3. Special Terms & Conditions:

Onsite Inspection:

i. Interested Bidders are required to submit the duly filled in EOI (next page) to mjunction before

visiting the Site.

ii. Interested Bidders visiting the Site are required to carry the following items with them:

We are interested to participate in the upcoming online Auction at GMR Bajoli Holi Hydropower

Private Ltd., Himachal Pradesh, and we would like to visit the Site for detailed inspection on, at our

own costs and risks.

We agree to follow all the safety norms inside the Site during inspection. We are made aware that the

inspection by our company at the Site is to be completed by us within a maximum of one day and by a

maximum of five people.

It is fully understood and agreed by us that we (including our agents and employees) would be granted

permission to visit the Site for the purpose of inspection and we shall be fully responsible for any injury

(whether fatal or otherwise) to ourselves (including our agents and employees) and for any loss or damage

to property or for any other loss, damage, costs and expenses whatsoever caused which but for the

granting of such permission would not have arisen. We shall be fully liable to indemnify GMR Bajoli

Holi Hydropower Private Ltd., against any loss or damage to the property of GMR Bajoli Holi

Hydropower Private Ltd. or neighboring property which may be caused due to any act of ours (including

our agents and employees)

persons to mjunction services limited prior to the Site visit.

4. Requirements of participation in online Auction:

5.1 Registration: Before participation in the Auction, interested Bidder shall be required to get

registered with mjunction Services limited. For details visit www.metaljunction.com or get in

touch with the concerned person from valuejunction.

5.2 Documentation: The following documents need to be submitted by the Bidder interested for

participating in the Auction to mjunction Services Limited prior to the date of the Auction:

Letter of Interest duly signed and stamped by Bidder (attached with this Catalogue as

Annexure 1).

Each page of this Catalogue to be signed and stamped by the authorised signatory of Bidder

and to be submitted to mjunction Services Limited in hard copy & soft copy.

New Bidders (not registered with mjunction) are requested to submit self-attested copies of

their Statement of Interest & supporting documents (refer below list) before participating in

the Auction.

5. Online bidding process:

i. The Lots will be auctioned in Rs/MT Basis.

ii. An English. No Ties Forward Auction will be conducted.

iii. Bids for the lot shall be placed in INR only. Price to be quoted is basic, ex- location exclusive of

taxes & duties. Transportation shall arranged by the successful Bidder.

iv. Bid Validity: Bid shall be valid till 15 calendar days from the date of Auction.

6. Payment & Lifting Terms:

i. Pre Bid Security: To be remitted by Bidders to Service Provider via RTGS for participating in the

Auction. For Successful Bidder, this will be refunded after successful clearance from Client post

completion of material lifting and complete clearing of the Site.

ii. Material Value payment phasing: The finalised price along with applicable taxes and duties is to be

made to Client as per Payment and Lifting Schedule as indicated in Table 5.

iii. Dismantling & Lifting: The dismantling & lifting of material is to be made by Successful Bidder at

its own cost and expense as per the schedule and lifting sequence indicated in Table 5.

iv. Site clearance: The material sold in Auction will have to be removed on as is where is, no complaint

basis and handover of the Site to GMR Bajoli Holi Hydropower Private Ltd. by the Successful Bidder

at its own cost & expenses at the end of Time Limit or as extended as per provisions of this Catalogue.

The Successful Bidder shall arrange for all the equipment and manpower as may be needed for

dismantling, subsequent material handling, lifting and transportation all at its own cost and expenses.

All the safety norms of the Site will have to be strictly followed and complied with while the

dismantling & lifting activity is underway and any cost to be incurred for adherence of safety norms

will be borne by the Successful Bidder.

v. The Bidder must clearly understand that mjunction Services Limited or GMR Bajoli Holi

Hydropower Private Ltd. does not guarantee the correctness or accuracy of any description printed,

read out or verbally declared. The Successful Bidder must satisfy themselves on all aspects pertaining

to the nature, quantity, site, climatic conditions, quality, other technical specifications, taxes-duties,

safety aspects, environment norms and legalities prior to bidding in the Auction. No complaint,

whatsoever, would be entertained after the submission of the online bid.

vi. Bidders participating in the Auction are deemed to have inspected the items under Auction as per

this Catalogue and satisfied themselves fully about the nature, quantity, quality, other technical

specifications, taxes-duties, safety aspects, environment norms and legalities prior to the Auction.

No complaint, whatsoever, on the points referred above or any other points with regard to material

would be entertained after the submission of the bid.

vii. The submission of the Pre Bid Security along with the signed & stamped Letter of Interest shall

confirm the acceptance of the terms and conditions of the Auction by the Bidder in full and in totality.

viii. No subletting of the Sale Order shall be permitted by GMR Bajoli Holi Hydropower Private Ltd.. If

it comes to the knowledge of m-Junction Services Limited or GMR Bajoli Holi Hydropower Private

Ltd. that subletting has taken place by the Successful Bidder at any point of time after the issuance

of Sale Order, then GMR Bajoli Holi Hydropower Private Ltd. shall be free to cancel the Sale Order

and retain all amounts in full of the Successful Bidder available with m-Junction Services Limited or

GMR Bajoli Holi Hydropower Private Ltd..

ix. If the Successful Bidder who is awarded the Sale Order fails to make the full payment or fails to

dismantle and lift the materials in full and clear the site within the stipulated Time Limit (defined

elsewhere in this Catalogue), then GMR Bajoli Holi Hydropower Private Ltd. reserves the right to

foreclose/cancel the Sale Order or as per terms of this catalogue, and in such an event, the entire

amount available with m-Junction Services Limited and/or GMR Energy Limited, under any account

head, shall be forfeited.

x. It will be at the sole discretion of GMR Bajoli Holi Hydropower Private Ltd. to accept or cancel the

bid placed in the online Auction without assigning any reason.

xi. The Completion Certificate shall be issued to the Successful Bidder only after the Successful Bidder

has fulfilled the entire scope of work as per terms and conditions of this Catalogue and Sale Order.

7. Payment & Lifting Schedule:

H1 bidder will have to make the payment of 100% material value including applicable taxes within

the timelines shared in the table below:-

First Instalment – 5% Security Deposit + 20% of Sale Order Value within 3 Business Days from the date of issue of Sale Order / Order confirmation.

Security Deposit will be adjusted with the Final Instalment.

Dismantling of materials shall be allowed on payment of First Instalment.

Second Instalment - Balance 40% alongwith GST and TCS within 10 Business Days from the date of

issue of Sale Order / Order Confirmation. Lifting and transportation of materials out of site shall be allowed to be completed within 60 days from date

of issue of Sale Order / Order Confirmation. Third Instalment - Balance 40% alongwith GST and TCS within 15 Business Days from the date of issue

of Sale Order / Order Confirmation.

For Lot 2-10

First Instalment - 50% of Sale Order Price within 5 Business Days from the date of issue of Sale Order

/ Order confirmation.

Dismantling of materials shall be allowed on payment of First Instalment.

Second Instalment - Balance 50% alongwith GST and TCS within 10 Business Days from the date of

issue of Sale Order / Order Confirmation.

Lifting and transportation of materials out of site shall be allowed to be completed within 30 days from date

of issue of Sale Order / Order Confirmation.

8. Security of the material:

i. If the price quoted by Successful Bidder is approved & the Sale Order is awarded to the Successful

Bidder, the security of the material in the Site and any risk associated with material in the Site from

date of issue of Sale Order will be the responsibility of the Successful Bidder.

ii. The cost of any damage to any equipment and/or any third party property and/or any third party

claims attributable to the Successful Bidder post award of Sale Order to the Successful Bidder will

have to be borne by the Successful Bidder.

9. Timeline for completion of dismantling & lifting:

i. The completion time for dismantling & lifting of all materials under disposal at Site and clearance of

the site is Sixty (60) days for Lot 1 and Thirty (30) days for lot 2-10 from the date of issue of Sale

Order subject to clause no. 7 (“Time Limit”). Within the Time Limit, the Successful Bidder shall

handover the Site to Client after dismantling and transportation of materials from the Site.

ii. If the dismantling, lifting and restoration of site is not completed within stipulated Time Limit,

an extension subject to terms and condition of this Catalogue may be provided after approval of

GMR Bajoli Holi Hydropower Private Ltd.. The decision of GMR Bajoli Holi Hydropower

Private Ltd. in this regard will be final & binding on the Successful Bidder.

10. Penalties:

i. The entire Pre Bid Security & Security Deposit amount shall be forfeited if the Successful Bidder

fails to deposit the 1st instalment within the given stipulated time as per Payment and Lifting

Schedule. Decision of the Client shall be final and binding in this regard.

ii. If the Successful Bidder fails to deposit the 2nd & 3rd Instalment, the entire Pre Bid Security &

Security deposit plus the previously deposited Instalment shall be forfeited.

iii. If the winning bidder fails to lift the materials within the stipulated time, Ground Rent @0.5% of

Sale Price per week or part thereof shall be charged on the balance un-lifted quantity against the DO.

However, the extension of the lifting period beyond the stipulated delivery period is at the sole

discretion of the Seller. The un-lifted quantities can be disposed of any manner as deemed fit by the

seller without any further reference to the defaulting purchaser.

11. Refund:

i. For the Successful Bidder, if the price is approved and Sale Order issued, the Pre-Bid Security will

be refunded after completion of the lifting of the material and complete clearing of the Site with

subsequent clearance from GMR Bajoli Holi Hydropower Private Ltd.

ii. Any security amount remaining with Client after completion of the lifting of the material and

complete clearing of the site will be returned to the Successful Bidder within seven (7) Business Days

of issue of Completion Certificate by the Client to the Successful Bidder.

iii. After the bid process is complete and Successful Bidder is issued the Sale Order, the Pre Bid security

of unsuccessful Bidders will be refunded by mjunction services limited within three (3) Business

Days of receiving of the online refund request along with cancelled cheque copy & bank details from

the unsuccessful Bidder(s).

12. Inspection:

The materials offered for sale is on as-is-where basis and must be inspected prior to due date of Auction.

For inspection & other related matters, Bidders may contact the concerned persons of mjunction services

limited. All cost pertaining to inspection will be borne by the Bidders.

The Bidders should thoroughly satisfy themselves about the nature, specifications, physical conditions,

quantity, quality, place of existence of the materials and working conditions at Site. mjunction Services

Limited or GMR Bajoli Holi Hydropower Private Ltd. provides no guarantee or warranty as to the

condition of the material or its quality or its fitness for any specific purpose or use. It should be clearly

understood that no claim or complaint about the quality, specifications, quantity, conditions or fitness for

use shall be entertained by GMR Bajoli Holi Hydropower Private Ltd. once a bid has been registered into

the Auction floor / website of mjunction Services Limited.

13. Caveat Emptor:

i. The quantity, quality, measurement and condition of the materials indicated are all approximate. Bidding

by anyone in this Auction shall be treated as conclusive evidence of the fact that the Bidder has inspected

the materials offered for sale under the Auction and satisfied himself in all respect regarding quantity,

quality, measurement, weight and condition of materials, taxes and duties, approvals from various

Government authorities, local working condition and other extraneous factors and principle of Caveat

Emptor (let the Bidder beware) will apply.

ii. It shall be considered that each Bidder has carefully gone through and understood all terms and conditions

of Auction including the amendments if any, prevailing at the time of bid. No complaints or objections

shall be entertained by GMR Bajoli Holi Hydropower Private Ltd. and/or the Authorities after the bid is

opened.

iii. GMR Bajoli Holi Hydropower Private Ltd. does not give any warrantee or guarantee for the quality,

condition of any material or its part, chemical composition of each individual items or about the end use

or fitness for a particular purpose.

14. Auction or Sale Order cancellation:

i. It will be at the sole discretion of GMR Bajoli Holi Hydropower Private Ltd. to cancel the Auction or

cancel or defer the issue of Sale Order without assigning any reason whatsoever to Bidder. GMR Bajoli

Holi Hydropower Private Ltd. shall not be liable for claim whatsoever except the return of the Pre Bid

Security (without any interest) if already submitted by Bidders as per the terms and conditions of this

Catalogue.

Client reserves the right to add any terms and conditions in Sale Order to be issued to the Successful

Bidder to facilitate and give effect to the successful bid.

15. Payments:

i. Payment, as per Payment and Lifting Schedule (refer Table 5) for sale of miscellaneous

machinery and Scrap items (materials) along with all applicable taxes and duties, shall be paid

by the Successful Bidder to GMR Bajoli Holi Hydropower Private Ltd. through NEFT/ RTGS.

Title transfer will take place on issue of delivery challan (truck/trailer wise) and invoice by the Client.

However, the lien will remain with the Client till entire payment is received by the Client from the

Successful Bidder.

No representation in this regard will be entertained by Service Provider or the Client.

Client bank details will be provided to the Successful Bidder only.

ii. The TCS and/or taxes applicable (if any) as per prevailing statute shall be deducted and TDS certificate

would be provided as per statute.

16. Delivery:

i. Vehicles deputed for disposal of the material(s) should report for loading in early hours in such a manner

that requisite time is available for loading and vehicles are released before closing of the working hours

as per the prevalent traffic norms/rules of the city. Since the site is located in the city, only at night time

the vehicle movement is allowed. Hence night time, weekend and holiday vehicle movement are essential

& mandatory to complete the activity as scheduled.

ii. Successful Bidder shall dismantle and lift the materials by employing their own labour and equipment at

their own cost.

iii. The material will have to be removed from site on as is where is, no complaint & complete clearing of

site basis and at the cost and expenses of the Successful Bidder. No processing, whatsoever, other than

dismantling, required for convenient transportation, will be permitted by GMR Bajoli Holi Hydropower

Private Ltd.. The Successful Bidder shall not be provided with any work force or equipment by the

Client. The Successful Bidder would have to arrange for all the equipment as may be needed for

dismantling, material handling and transportation, including but not limited to, Dozer, Scrapper, Cranes,

Gas, Power, and water. The Bidder may see and satisfy himself/itself from the Client the details of the

facilities available with GMR Bajoli Holi Hydropower Private Ltd., which may be considered to be made

available to the Successful Bidder. While removing materials from one site, the other site’s materials

should not be disturbed or damaged subject to terms of this Catalogue.

17. Removal of Materials

i. Successful Bidder will arrange for dismantling, transportation of dismantled materials / accessories from

the Site within one week prior to actual start of the work for obtaining approval of the Client, without it

being held unreasonably by the Client. The material stored or dismantled first should be removed first.

Piling up of dismantled or scrap material at Site will not be allowed. The time schedule and sequence of

the dismantling, material handling & removal of material shall be prepared by the Successful Bidder and

its prior approval shall be obtained from the Client, without it being held unreasonably by the Client. The

approved dismantling & lifting schedule shall be strictly adhered to. Any deviations from the approved

dismantling and lifting schedule needs to be approved by the Client.

ii. Dismantling and transportation of goods shall be the responsibility of the Successful Bidder at its own

costs and risks. It shall be obligatory for them to take safety precautions as per applicable laws/rules and

any cost associated with it will be borne by the Successful Bidder.

iii. GMR Bajoli Holi Hydropower Private Ltd. or its authorized representatives shall have the right to stop

dismantling and loading of the material if they feel that the Bidder or its representatives are not following

the instructions given to them or deviating from detailed plan submitted or not complying with safety and

environment norms or the job is not being carried out in accordance with the provisions of terms &

conditions of Sale Order and Successful Bidder will be solely responsible for the same. Under such a

condition, the timeline extension for carrying out and completing dismantling and lifting work will be at

the sole discretion of GMR Bajoli Holi Hydropower Private Ltd. and its decision will be final and binding.

iv. Dismantling/removal of materials shall be strictly as per terms and conditions of this Catalogue.

v. Removal and transportation of materials shall be done only during time period approved by GMR Bajoli

Holi Hydropower Private Ltd. Suitable security arrangements should be made by the Successful Bidder

at its own cost to look after the sold goods, his tools & tackles and other materials/stores, for which

security guards may be engaged by the Successful Bidder, round the clock, with prior intimation to the

Client in this regard.

vi. The Successful Bidder shall not be allowed to store the material on the road sides which may cause

hindrance in movement on road or cause inconveniences to public.

vii. The Successful Bidder shall not be entitled to resale any of the material sold to it by GMR Bajoli Holi

Hydropower Private Ltd. while these goods are still lying within the premises of GMR Bajoli Holi

Hydropower Private Ltd. No delivery of material would be affected by GMR Bajoli Holi Hydropower

Private Ltd. to any persons other than the Successful Bidder or its authorized representative.

viii. The Successful Bidder shall comply with all statutory provisions including but not limited to safety and

environmental laws, labour laws and other applicable laws.

ix. The Bidder apart from complying with terms of this Catalogue will be responsible to get necessary

approvals and clearances related to dismantling and lifting of materials, with reasonable assistance of

Client, from all statutory and regulatory authorities.

x. Dismantling of miscellaneous materials, removal and sweeping of debris/waste arising out of dismantling

shall be carried out by the Successful Bidder simultaneously.

xi. The Successful Bidder should arrange to dump the debris / waste material to an authorized dumping place

at its’s costs and risk. Successful Bidder to inform Client on the disposal / resale plan. Successful Bidder

shall be solely responsible to dismantle and lift and dispose off the material in compliance with

environmental and other applicable laws. Successful Bidder shall be solely liable for non-compliance of

any laws.

xii. Stacking and removal of dismantled material should be in a manner so as not to disturb the normal

working.

xiii. For dismantling of the foundation, blasting or similar techniques will not be allowed. However, vendor

can use pneumatic hammers for breaking the hard foundations.

18. Insurance:

The Successful Bidder shall procure and maintain at its own cost all insurances as applicable including

its equipment, fire safety, vehicles, tools & tackles, personnel and workmen, General Public Liability and

surrounding property against such risks and with such deductibles and with such endorsements, that the

prudent utility practices would ordinarily merit and applicable as per statute.

19. Responsibility:

The Successful Bidder is fully responsible for all the equipment for damage or loss from any cause after

issuance of Sale Order to the Successful Bidder. No adjustment to price will be permissible under such

circumstances.

20. Safety:

i. No work of dismantling / Loading / Lifting will be allowed unless a valid safety permit to work

for the particular job/section is issued by the authorized representative of GMR Bajoli Holi

Hydropower Private Ltd. and duly countersigned by the representative of the Successful Bidder.

The supervisor of the Successful Bidder in whose name the permit to work is issued

(“Supervisor”) shall be responsible to supervise the job in person, ensure its smooth performance

and his presence at site during the work shall be deemed compulsory. The permits to work are to

be renewed daily before starting the job for which safety permit to work has been issued. The

safety permit to work has to be returned by the Supervisor to the authorized representative of

GMR Bajoli Holi Hydropower Private Ltd. every day.

ii. The Successful Bidder or its representative or Supervisor shall be responsible to follow safety

instructions as per the safety permit issued to him and other safety regulations of GMR Bajoli

Holi Hydropower Private Ltd. And State Govt. and will ensure that no accident or damage to

either man or machine inside the premises of, GMR Bajoli Holi Hydropower Private Ltd.,

Himachal Pradesh premises takes place. Any loss or accident on this score will be dealt in

accordance with the Factory Rules and Successful Bidder shall be liable for the same. Successful

Bidder shall be solely liable to any person for any negligence or damage caused to property or

person, accident, death etc. of any person in the course of providing security of the material after

Sale Order, dismantling and lifting of material.

iii. Gas cutting work to be carried out by the Successful Bidder in the course of dismantling work

etc. will be allowed only under the supervision of the Successful Bidder who will ensure that all

safety precautions have been taken including those for prevention of fire in and around the area.

iv. The Bidder must at its own cost adhere to the safety norms of GMR Bajoli Holi Hydropower

Private Ltd..

21. Statutory Requirement: -

The Successful bidder shall abide by all Acts notified by the Govt. of India, Govt. of Himachal Pradesh

from time to time to the extent they are applicable during the execution of the Sale Order. Further, the

Successful Bidder should comply with all statutory requirement/ clearances in respect of laws, regulations

and procedures governing this contract. Cost associated with any non-compliance of above statutory

requirements by Successful Bidder shall be borne by the Successful Bidder.

22. Services to be rendered by GMR Bajoli Holi Hydropower Private Ltd. within the premises:

All arrangements of removal, loading and transportation of the sold material have to be made by the

Successful Bidder itself. GMR Bajoli Holi Hydropower Private Ltd. does not take any responsibility for

providing capacity oxygen/DA cylinders or any other consumables to the Successful Bidder for

dismantling / cutting job.

23. Force Majeure:

24.1 ‘Force Majeure’ means any event or circumstance or combination of events and circumstances

including those stated below that wholly or partly prevents or unavoidably delays an affected party in the

performance of its obligations under this Agreement, but only if and to the extent that such events or

circumstances are not within the reasonable control, directly or indirectly, of the affected party and could

not have been avoided if the affected party had taken reasonable care or complied with prudent practices:

a) act of God, including, but not limited to lightning, drought, fire and explosion (to the extent

originating from a source external to the site), earthquake, pandemic (natural and man-made),

volcanic eruption, landslide, flood, cyclone, typhoon, tornado, or exceptionally adverse

weather conditions which are in excess of the statistical measures for the last hundred (100)

years,

b) the unlawful, unreasonable or discriminatory revocation of, or refusal to renew, any

Consents, Clearances and Permits required to perform obligations under this Agreement or

any unlawful, unreasonable or discriminatory refusal to grant any consents, clearances and

permits required, provided that a Competent Court of Law declares the revocation or refusal

to be unlawful, unreasonable and discriminatory and strikes the same down.

c) any other unlawful, unreasonable or discriminatory action on the part of an Indian

Government Instrumentality (under the State Government(s) of the Procurer(s) or the Central

Government of India) provided that a Competent Court of Law declares the action to be

unlawful, unreasonable and discriminatory and strikes the same down.

d) Change in Law.

e) Any act of war (whether declared or undeclared), invasion, armed conflict or act of

foreign enemy, blockade, embargo; revolution, riot, insurrection, terrorist or military action;

or

f) Radioactive contamination or ionising radiation.

g) Industry wide strikes, political disturbances and labour disturbances excluding those

specific to Site, having a nationwide impact in India.

24.2 Force Majeure shall not include the following conditions, except to the extent that they are

consequences of an event of Force Majeure: a) Any event or circumstance which is within the reasonable control of the Parties;

b) Unavailability or changes in cost of the plant, machinery, equipment, materials, spare parts, fuel

or consumables;

c) Delay in the performance by Buyer or any of its contractors, sub-contractors or their agents;

d) Strikes or labour disturbance of Site;

e) Insufficiency of finances or funds or the agreement becoming onerous to perform; and

f) Non-performance caused by, or connected with, the Affected Party’s:

i. Negligent or intentional acts, errors or omissions;

ii. Failure to comply with Applicable Law; or

iii. Breach of, or default under this Agreement;

Both Parties shall keep a record of circumstances referred to above which are responsible for causing

delays in the performance of obligations and shall give notice to the other Party of any such cause as soon

as it occurs but not later than five (5) days from the day the Force Majeure Event occurs i.e. an event of

Force Majeure where so ever it occurs, provided it affects either Party in fulfilling its obligations under

this Sale Order.

24.3 Continued Performance:

(i) Upon the occurrence of any Event of Force Majeure the Parties shall continue to perform

their obligations under this Sale Order to the extent not prevented by the Event of Force

Majeure. If the Buyer is the Affected Party, the Buyer shall during any period of the Force

Majeure protect and secure the relevant part of the tankages in such manner as the Seller

shall reasonably require and the Buyer shall notify the Seller of the steps it proposes to take,

including any reasonable alternative means for performance of the Buyer’s obligations which

are not prevented by the Event of Force Majeure. However, the payment obligations of the

Buyer shall not be affected due to event of Force Majeure.

(ii) The Parties:

(a) shall make all reasonable efforts to prevent and reduce to a minimum and mitigate

the effect occasioned by any Event of Force Majeure; and

(b) shall use their reasonable efforts to resume normal performance of this Sale Order

after the occurrence of any Event of Force Majeure and shall perform their

obligations.

(c) No Party shall be in breach of its obligations pursuant to this Sale Order to the

extent that the performance of its obligations was prevented, hindered or delayed

due to Force Majeure Event. However, extension of Time Limit shall be granted

corresponding to the period of Force Majeure Event.

24. Jurisdiction:

The Sale Order shall in all respect be construed and operated as Contract signed and executed in India

and in accordance with the Indian laws in force and is subject to the exclusive jurisdiction of only New

Delhi Courts.

25. Arbitration:

Any dispute arising under this Agreement w.r.t services rendered by the Service Provider with the

Successful Bidder shall be considered first in person or by telephone by designated representatives of

mjunction Services Limited within ten (10) days of receipt of a notice (the date of receipt, the “Dispute

Date”) addressed to the applicable representative from the other referencing this clause and specifying

the nature of the dispute. If for any reason the dispute has not been resolved to the satisfaction of the

Parties within twenty (20) days after the Dispute Date, then either Party may opt for resolution of the

dispute through arbitration to a single arbitrator who shall be the Managing Director of mjunction

Services Limited or his/her nominated representative. The arbitration shall be conducted in accordance

with the Arbitration and Conciliation Act, 1996 in effect at the time of arbitration. The seat of the

arbitration shall be New Delhi, India. The arbitration award shall be final and binding of the Parties as

permitted under the applicable laws.

26. Important Notes:

i. Bidders must clearly understand that GMR Bajoli Holi Hydropower Private Ltd. does not guarantee the

correctness or accuracy of any description printed, read out or verbally declared. Bidders must satisfy

themselves on all aspects pertaining to the nature, quantity, quality, condition of material or its part, other

technical specifications, taxes and duties and legalities prior to bidding in the Auction. No complaint,

whatsoever, would be entertained after the submission of the bid.

ii. No conditions will be accepted with the Pre Bid Security.

iii. DDs of Cooperative Bank shall not be accepted and will be returned without any action being taken on

them.

iv. The submission of the Pre Bid Security shall confirm Bidder’s acceptance to the terms and conditions of

the auction in full and totality.

v. Bidders are advised to thoroughly go through the all terms and conditions of the Auction and as per this

Catalogue, prior to submission of bids.

vi. Bidder should quote the rates of the Equipment and complete work of levelling of the site up to ground

level/base level, as one lot on as is where basis, no complaint and complete clearing of site basis is.

27. General Terms & Conditions of Auction

i. General Clause: GMR Bajoli Holi Hydropower Private Ltd. will dispose of the items as listed

in this Auction Catalogue through mjunction services limited on as is where, no complaint and

complete clearing of site basis. mjunction services limited will conduct the Auction on its website

www.metaljunction.com

ii. Bidder Registration: Before participation in the Auction, a interested Bidder will be required to

get itself/himself registered with mjunction Services Limited for the purpose, by submitting an

application in the prescribed format available on the website. Details of the registration process

are available on the mjunction website (www.metaljunction.com). The application shall be made

along with the documents (1) copy of latest Income Tax return (2) PAN Card (3) GST

Registration Certificate, (4) SSI Registration Certificate (if applicable) (5) Trade License and (6)

Statement of Interest Form duly filled in and signed/stamped by the bidder or any other document

as mentioned elsewhere in this Catalogue (“Supporting Documents”). Registration can be done

online by forwarding the application form backed up by the necessary documents to any of the

front offices of mjunction. After the registration, all interested Bidders will get an auto generated

Unique User ID & a password based on which they can log in. Both domestic as well as

international Bidders are eligible to participate.

iii. SAP ID: Bidders will all be issued a SAP ID after registration, by Service Provider which will

have to be mentioned in all future financial transactions between the Bidder & mjunction like

Pre Bid Security submission & its refund.

iv. Inspection: Bidders are free to inspect the items/ materials, ready for disposal for their

satisfaction within the time period specified in this auction catalogue. Bidders shall take prior

appointment and submit the EOI for inspection.

v. Goods will be sold ‘as is where is’, no complaint and complete clearing of site basis. Bids

will be deemed to have been made on the clear understanding that Bidders have satisfied

themselves fully in regard to the nature, condition, quality and quantity of goods upon inspection

or otherwise. No error, omission or mis-statement or mis-description or printing mistake

whatsoever and howsoever made or published whether in the catalogue or otherwise and no

defects or faults in the goods shall annul the sale or be the subject of any claim on the part of the

Bidder and no claim for compensation or otherwise be entertained by Client. Further, Client will

take it for granted that the Bidders have fully read and understood the language, spirit and

objective in these “terms and conditions of sale” of the materials before making any bid and that

there does not exist any ambiguity whatsoever in the expressions.

vi. The decision for the acceptance/rejection of the rate offered by the Successful Bidder shall be

communicated by mjunction through lot confirmation letter, e-Mail, SMS or any other mode felt

necessary. The Successful bidder will then be required to make payments as per terms of this

Catalogue and a Sale Order to be issued to the Successful Bidder subsequently.

vii. Client and/or mjunction shall be under no obligation to put up the Lot(s) singly or serially or in

any other particular manner.

viii. The Lot will be sold subject to approval by Client. Client reserves to itself the right:

a. To accept or reject the highest offer or any other bid or all the bids

b. To accept or to reject the online Auction result. The Bidders would have no claim for

issuance of sales release orders.

c. To cancel or reschedule the Auction.

ix. Bidders bidding for the goods sold shall be deemed to have taken into account and made due

allowance for the cost of handing, loading or other expenses (including dismantling if permitted

by Client) for purposes of removal of the goods and shall be entirely responsible for booking

goods by rail where so required. Client will effect delivery of goods only at the site on as is where

is, no complaint basis and complete clearing of site basis.

x. Statutory Documents: GST and any other applicable tax depending upon the location of Bidder

whether payable to the Central Government or to the State Government or to other authorities

shall be deposited by the Successful Bidder. TCS and/or TDS as applicable shall be deducted by

Seller. Non-payment of any amount payable under this clause will have the same effect as non-

payment of the purchase money and will result in ipso-facto cancellation of the Sale Order and

forfeiture of the Pre Bid Security or any other security with Client. If the liability of such tax

(impost) and/or duty is in doubt, mjunction will have a right to call upon the Successful Bidder

to make such provision as Client may deem fit and proper to ensure the recovery of such taxes

(impost) and/or duty. If the tax (impost) and/or duty is not recovered at the time of

delivery/dispatch Client/mjunction will have the right to call upon the Bidder, to pay such amount

as may be due whenever the Client/mjunction find that it has omitted to charge or Client become

liable to pay higher charge as a result of decisions or announcements by Government or any other

competent authority, even though, the full value of the materials may have been already paid or

delivery/dispatches may have been completed from Client’s units. Client shall be free to call

upon the Bidder to make good the amount short recovered whenever such contingency should

arise, or Client shall be entitled to recover the amount of such tax (impost) or duty from the

Bidder by way of set off against any amount or amounts that might at any time become payable

by Client or mjunction to the Successful Bidder on any account or accounts whatsoever. Taxes

as applicable from time to time shall be payable by the Successful Bidder.

xi. In the event of failure on the part of the Bidder or Successful Bidder to fulfil the obligations

under this Catalogue, Client or mjunction shall reserve the right to debar such Bidder or

Successful Bidder from participating in any future auctions conducted by mjunction on behalf of

Client.

xii. Client shall not be responsible for any liability in respect of labour/employee or any third party

appointed/engaged by the Successful Bidder for carrying out its work as per terms and conditions

of this Catalogue. All formalities required under the provision of respective Labour Laws /Rules

shall be duly and punctually observed/complied at Successful Bidder’s own cost and they alone

shall be responsible and liable for punitive action/payment of any dues, compensation or any

amount, required to paid under any provisions of Laws/Rules in any case of non-compliance and

default on the part of Successful Bidder. If Client in any case is held liable under any laws or

rules, then in such cases the Successful Bidder shall not only make payment of such dues and/or

but also be responsible for payments of damages to Client.

xiii. In case it is detected at any time that the Successful Bidder has loaded material and/or materials

for which he is not the Successful Bidder Client will be within its rights to detain the truck,

unload the materials at the cost and expenses of the Successful Bidder and take such other and

further action as may deem fit and necessary for the purpose.

xiv. In the event of failure by the Successful Bidder to fulfil any obligations under the general

conditions of sale including failure to remove/lift the goods against any Lot within the stipulated

time, the sale of such Lot may be cancelled for the quantities not lifted by the Successful Bidder

and all moneys paid by the Successful Bidder for those specific Lot shall stand forfeited. Client

will be entitled to re-sell the goods through mjunction, as and when Client may deem fit without

any notice to the Successful Bidder. Client shall be at full liberty to retain and/or adjust/or recover

any losses incurred on account of the failure of the Successful Bidder to lift the material from

any amount lying with Client to the Bidder’s credit. The decision of Client in regard to the actual

losses incurred by Client shall be final and binding on the Successful Bidder.

xv. All auction-related complaints of the Bidders should be referred to mjunction Services Limited,

Kolkata, during the auction. Complaints pertaining to difficulties in lifting etc. should be referred

directly to GMR Bajoli Holi Hydropower Private Ltd. by the Successful Bidder.

xvi. Client or mjunction Services Limited shall not be liable for non-performance of any contract or

terms of this Catalogue either wholly or in part nor for any delay in performance resulting from

or due to any cause beyond the control of Client or Service Provider including fires, strikes, go-

slow, lockout, closure, dispute with workmen, uncertain and unstable labour situation, power

shortage, war, riots, civil commotion, pestilence, epidemics, floods, accidents, damages or

accidents to machinery, shortage of wagons, shortage of fuel, shortage of any raw materials,

shortage of labour, governments or railway restrictions, acts, demands or requirements of

government, force majeure or any circumstances beyond the control of Client or mjunction

whether directly due to or in consequence of the aforesaid causes.

xvii. Client shall extend the time of the performance on the part of Successful Bidder by such period,

limited to 30 (thirty) days, as may be necessary for reasons of non-performance not attributable

to the Successful Bidder.

28. Special instructions:

i. Special terms and conditions for internet auction: Bandwidth problems, connectivity problems

with the local ISP (internet service provider), slowness to access pages for downloading etc. are

beyond the control of Client and mjunction. Hence no responsibility and liabilities lies with

Client/ mjunction for the above problems, if any, faced by the Bidders before/during the auction.

ii. Any bid placed using the Bidder's username and password is unconditionally binding on the

Bidder to whom such username and password had been allotted and he shall be solely responsible

for maintaining the confidentiality of the same and fully responsible for all activities that occur

under their username and password. Hence the Bidder is advised to check the username and

password before the auction in order to familiarise himself with the same and is advised not to

reveal it to anyone else so as to prevent misuse of the same. The bids made by the Bidders against

their username and password shall be irrevocable.

iii. The Bidders are advised to register and pre-qualify for bidding well in advance and place their

bids early in order to take care of any unforeseen technical difficulty that might surface in the

internet operations.

iv. Any quarters of GMR Bajoli Holi Hydropower Private Ltd. used by the Bidder will be on

chargeable basis, subject to availability. Charges shall be decided by Client and conveyed to

Successful Bidder for its acceptance.

Extension in Payment Time: The winning bidder(s) willing to avail of the same will have to take prior

approval from the concerned authorities of GMR Bajoli Holi Hydropower Private Ltd. on the same.

Such extensions will be allowed (subject to the discretion of the concerned authorities of GMR Bajoli

Holi Hydropower Private Ltd. subject to payment of late fees @ 0.5% per week of the outstanding

amount for the period of delay. The maximum extension allowed for such cases will be limited to

initially a maximum period of two weeks from the last date of payment/lifting thereafter it may be

allowed at the total discretion of the concerned authorities and the winning bidder(s) shall not have

any right to claim any further extension in any manner and for whatsoever reasons.

29. General Rules and Regulation governing conduct of online Auction on the Service Provider

platform

Introduction:

This online forward Auction is being conducted for GMR Bajoli Holi Hydropower Private Ltd. on the

Auction Platform of mjunction services ltd.

The general rules and regulations provided herein govern the conduct of on line forward Auction arranged

by Service Provider on its Auction platform. These rules cover the roles and responsibilities of the

Bidders in the online forward Auctions on the Auction platform.

Bidders are advised to read through the key terms pertaining to the online forward Auction as provided

in the Catalogue.

Role of Service Provider

The role of the Service Provider is outlined below:

i. It is the agency (operator) primarily providing the service of the forward auction

to the Client.

ii. Finalization of the auction items in consultation with the Client.

iii. Defining of Bidding Rules for each auction in consultation with the Client.

iv. Enhancing Bidder awareness of and comfort with the auction mechanism and Bidding Rules.

v. Input of the Auction items and defining the bidding rule in the auction engine.

vi. Enlarging the Successful Bidder base by introducing new Bidders.

Collection of Pre Bid Security, Letter of Interest etc. from the interested Bidder (s) and forwarding the

vii. Providing access to the Bidder(s) to participate in the Auction.

viii. Conduct or extension of Auction time in consultation with Client

The responsibility of fulfilment of the contract rests between the Successful Bidder and the Client and

the responsibility of the Service Provider shall be restricted to the extent of the services provided by them.

Role of Bidder

The role of the Bidder is outlined below:

i. The Bidder would participate in the auction with the aim of bidding to secure the auctioned item in

the auction.

ii. The Bidder would be provided access to the Auction through a User ID protected by a Password. The

Bidder needs to ensure that the User ID and Password is not revealed to unauthorized persons.

Bidders are also requested to change the password allocated to them by the “Service Provider” to

keep their confidentiality. However, it would be Bidder’s sole responsibility to ensure the security

and privacy of the same and he/they would not hold the Client or Service Provider responsible in any

manner whatsoever for any misuse of these user IDs and/or Password. Access to the auction

mechanism shall be provided to all the approved Bidders subsequent to obtaining their written

consent to the terms and conditions of this Catalogue and the Letter of Interest. Payment of Pre Bid

Security as decided by the Client before the start of the forward Auction will be one of the necessary

conditions for participating in the Auction.

iii. Bidders hereby confirm that they shall commit to lift the item (being bid for) at the price entered by

them in the Auction Engine and as per the terms and conditions specified herein by the Client. Bidders

are strongly advised to exercise due diligence while placing bids. Failure to honour the bids placed

during online bidding shall render the Bidders liable for penal action as deemed fit by Client or

Service Provider.

iv. Successful Bidder shall commit to fulfil terms and conditions under this Catalogue.

v. The Bidders shall bid based on the terms specified in this Catalogue and place their

bid in the Auction Engine in the manner specified by Service Provider. Bidders shall

not stipulate any conditions on their own unless the terms of the catalogue expressly

permit such conditions being stipulated by the Bidder. Bids entered with conditions

attached shall be considered conditional bids & the Client

vi. retains the right of rejecting these bids.

Bidding Rules:

The Bidding Rules refer to the information and terms defined specifically for a particular auction. The

purpose of the Bidding Rules is to provide approved Bidders with the information and terms specific to

the auction in which they are bidding. This would include, but not limited to:

a) Any extension of the duration of the auction in the event of bids being received towards

the end of the pre-specified duration

b) Start bid price

c) Specified unit for bidding

d) Price increments and any reduction in the price increment in the Auction in the event of

inactivity

e) Timings of Online Bid

f) Other attributes (informational/non-negotiable in nature)

While it shall be the endeavour of Service Provider to specify these rules at the earliest for each online

Auction, the Service Provider shall retain the right to delay the announcement of these Biddings Rules

or modify rules specified earlier at the time of the online bidding. These details would be available

to the Bidders on the Auction Engine at the time of bidding.

Successful Bidder will be issued Sale Order for commencement of the dismantling work and lifting

of materials.

Bidders confirm that they have completely understood and are fully aware of the Bidding rules

for participation in the Auction process.

Conduct of the Auction:

Only those Bidders who have been approved by mjunction and handed over stamped and manually

signed Catalogue governing conduct of online Auction along with Letter of Interest, submitted Pre

Bid Security amount and other necessary documents to the Service Provider prior to the start of online

auction will be given login ID and password to enable them view and participate in online auction.

The Auction shall be conducted on pre-specified date. The key terms pertaining to the conduct of

Auction such as Start Time, Duration, End Time and Auto Extension Facility shall be specified

separately for each Auction. Service provider retains the right to cancel or reschedule the Auction,

with the approval of the Client, on any of the following reasons:

The number of confirmed Bidders are deemed insufficient to conduct the auction

Some of the confirmed Bidders are unable to access the module due to infrastructure problems

such as sustained power failure or telecommunication breakdown. Decision of the Client will be

final and binding on Bidders in this regard.

There are no bids, which are equal to or below start bid price.

Any other reason which in the opinion of “Service Provider” or “Client” requires such action to

be initiated.

The duration of Auction may also vary from the pre-specified period of time either on account of

termination of the Auction by Service Provider on the advice of the Client.

Or

In case of situations where it is felt that continuance of the auction proceedings is prejudicial to the

smooth conduct and / or the integrity of the auction process or due to Auto Extension during the Auction,

duration may increase from specified period.

In the event of any problems being faced in the smooth conduct of the Auction, Service Provider with

the approval of the Client, shall have the right to undertake one or more of the following steps:

Cancellation/ premature termination of the Auction with/ without a subsequent rerun of the

auction on a mutually decided date

Cancellation of a bid

Locking / deactivate a Bidder’s account (suspension of operations in the account), etc.

In case of failure of internet connection, Bidder will give his best price to the Service Provider. Service

Provider will bid on behalf of the Bidder with the minimum increment until the bid price reaches the best

price offered by the Bidder, by proxy bidding mechanism.

The best price communicated by the Bidder will have to be authenticated by written confirmation or fax

to the Service Provider on immediate basis and will be kept confidential between the Service Provider

and the Bidder. Bidder will be bound by the price offered.

Liability of Service Provider:

Service Provider shall not be liable to the Client or Bidders participating in the Auction or any other

person(s) for:

Any breach of terms and conditions of this Catalogue by any Bidder or the Client in the fulfilment

of their obligations under the terms and conditions of this Catalogue.

Any delays in initiating the online Auction or postponement / cancellation of the online auction

proceedings due to any problem with the hardware / software / infrastructure facilities or any

other shortcomings. However, the Service Provider shall, after consultation with the Client,

extend or revise the timelines for conducting the Auction again, if agreed by the Client.

While, reasonable care and diligence will be taken by Service Provider in discharge of its

responsibilities such as design of the online bid, communication of bid details and rules, guidance to

Client and Bidders in accessing the Auction Engine and placing bids, etc. Bidders shall specifically

indemnify Service Provider from all liabilities for any shortcomings on these aspects. It is clearly

understood that these activities are undertaken by Service Provider to assist the Bidders in participation

but the ultimate responsibility on all these counts lies totally with the Bidders.

Right of The Client:

The Client reserves the right to partially or totally accept or reject any / all bids placed in the online

Auction without assigning any reason whatsoever. The decision of the Client would be final and

binding on the Bidder in any such case. Client shall not be liable to the Bidder for

cancellation/termination/rejection of the bid at any stage of the Bidding process.

Bidders waive of the right to claim the authenticity of the Auction and shall not raise any dispute vis

a’ vis the successful bid accepted by the Client. In such a situation, Pre Bid Security will be refunded

to Bidders without any interest.

Client shall not have any liability of any kind in case of delay due to reasons not attributable to either

the Bidder or Bidders or Service Provider.

Confidentiality Clause: Service Provider undertakes to handle any sensitive information provided by the Client or confirmed

Bidders for the auctions conducted with utmost trust and confidentiality.

Jurisdiction The Contract shall in all respects be construed and operated as a Contract signed in India and in

accordance with the laws of India in force and is subject to the exclusive jurisdiction of courts in New

Delhi only.

All terms and conditions of this Catalogue will form a part of the Sale Order to be entered between

the Successful Bidder and the Client.

Definition of Key Terms

“Auction” shall mean Online Auction forum where the sale for one/more lots of an item is stated and

the participants (Bidders) are required to bid on an electronic platform up the price to be selected to

purchase the requirement.

“Auction Engine” shall mean the software that encapsulates the entire auction environment, processing

logic and information flows. "Service Provider" is the sole owner of the auction engine and retains

exclusive right over the utilization of the same.

“Auto Extension of the Auction Timings” shall mean in the event of bids in the last few minutes of the

scheduled bid time, the Bid Timings are automatically extended for a specified period from each such

bid. Such Auto Extension shall continue until no bids are placed for the specified period (Engine remains

inactive for the specified period). The Inactivity Time for Auto Extension purpose is normally X minutes.

"Service Provider" however retains the right to change the same. The Inactivity Time applicable for the

particular Online Bid shall be visible to the bidders under the Bidding Rules module on the engine.

“Bidder” or “Bidders” shall mean entity or entities participating in the Auction, intending to buy item/s

from the Client. To become a Bidder in the Auction, a business entity has to provide written assent to all

terms & conditions of this Catalogue as well as fully fill up the Letter of Interest.

“Bidding Rules” shall have meaning as set forth in this Catalogue

“Bid Validity Period” shall have meaning as set forth in this Catalogue

“Business Day” shall mean a day which is not a Sunday, Saturday or any other day declared as a public

holiday by the Central Government

“Catalogue” shall have meaning as set forth in this catalogue

"Change in Law" means after the date of this Catalogue (i) the enactment, bringing into effect, adoption,

promulgation, amendment, modification or repeal, of any Law in India, or (ii) a change in interpretation

of any Law in India by a Competent Court of law, tribunal or Indian Government Instrumentality

provided such court of law or Indian Government Instrumentality is the final authority under the Law in

India for such interpretation, or (iii) change in any consents, clearances, approvals or licenses available

or to be obtained for scope of work envisaged in this Catalogue, other than for default of the Bidder

claiming such change, which results in any change in any cost of performing the scope of work as per

this Catalogue, but shall not include any change in taxes and duties including Corporate Tax and / or

personal Income Tax or any such event to the extent that its effect is the imposition of or a change in any

Tax.

“Completion Certificate” shall mean certificate by Client certifying and accepting completion of work

in accordance with terms and conditions of this Catalogue and Sale Order to be issued to Successful

Bidder.

“Duration of the Auction” shall mean the length of time the price discovery process is allowed to

continue by accepting bids from competing bidders. The duration of the auction would normally be for a

pre-specified period of time. However, the bidding rules may state the conditions when the pre-specified

duration may be curtailed/ extended. The conditions include:

• Curtailment of auction duration in the event of no bids for a specified period of time (Inactivity

Time)

• Automatic extension in the event of bids being entered towards the end of the scheduled duration

to facilitate the other bidders to view and react to the bid.

“End of the Auction” shall refer to the termination of the auction proceedings signalling an end to the

price discovery process.

“H1 Buyer” shall mean the Bidder who has emerged as the winner on completion of the auction process

by quoting the highest price

“Letter of Interest” shall be as set forth in Annexure I.

“Online Auction” shall mean those auctions conducted through the internet with the Bidders (from one

or more locations) simultaneously bidding to be selected for supplying the item/s on auction. In other

words, the venue for the auction is on an Internet website/ platform. The Service Provider's website

assigned by "Service Provider" would constitute venue for the purpose of the online auction.

“Preview Time” shall refers to the period of time that is provided prior to the commencement of bidding.

This is to facilitate approved participants to view the auction details such as item specifications, bidding

details and bidding rules. The purpose is also to familiarize participants with the functionality and screens

of the auction mechanism. It is not mandatory for "Service Provider" to provide Preview Time.

“Rs” shall mean means the lawful currency of India

“Sale Order” shall mean the order issued by the Client to the Successful Bidder or contract entered

between Client and Successful Bidder for carrying out dismantling work.

Start Time: Start time refers to the time of commencement of the conduct of the online auction. It signals

the commencement of the price discovery process through competitive bidding.

“Site” shall mean the place in GMR Bajoli Holi Hydropower Private Ltd and other materials are

available for inspection and sale.

“Supporting Documents” shall have meaning as set forth in this Catalogue

“Successful Bidder” shall mean H1 Buyer whose price has been accepted by the Client, under the terms

of the Auction and/or as per those terms and conditions mentioned in this Catalogue & Sale Order.

“Supervisor” shall have meaning as set forth in this Catalogue

Timings of the Online Bid: All the timings of the Online Bid shall be based on the time indicated by the

server hosting the Auction Engine. It shall be the endeavour of Service Provider to ensure that the server

time reflects as closely as possible the Indian Standard Time (IST) i.e. GMT + 0530 hrs. However, in the

event of any deviations between the server time and the Indian Standard Time, the functioning of the

Auction Engine (launch, operation, and closure) would be guided by the server time. Bidders are advised

to refresh both the windows of the Auction Module check the exact server time (displayed in both the

windows).

“Time Limit” shall have meaning as set forth in this Catalogue
