MACHINE FEATURES:

Moving gantry (stationary table) type machine equipped with 1 (one) 12HP 4-pole router spindle, (Full Torque is achieved at 9,000 RPM & Full HP is achieved at 12,000 RPM), an 8 position Automatic Rotary Tool Changer with tool length measuring device, and 1 (one) 2 HP (1.5 KW) multiple spindle boring block with 9 independently selectable spindles for vertical drilling. Router spindle is equipped with maintenance free ceramic bearings, with grease lubrication, and an air cooling system for long bearing life. The spindle motor is powered by an electronic AC inverter drive

system with dynamic spindle braking. The Automatic Tool Changer Carousel is mounted on the spindle carriage, next to the Router Spindle, for fast and efficient tool changes. X & Y axes are constructed of massive, heavy duty welded steel construction with multiple reinforcements to increase strength and absorb vibration. Z-axis spindle carriage is a specially designed Meehanite casting for high strength and inherent vibration dampening characteristics with a pneumatic counterbalance system for smooth and accurate operation. Hardened and precision linear guide way systems with recirculating roller linear bearings are provided for all primary movements in the X, Y & Z axes. Hardened and precision ball screws with anti-backlash ball nuts are provided for all primary movements of the X & Z axis. The Y-Axis is a dual drive, dual support, 2-channel system, using twin industrial grade, induction hardened, helical racks & pinions. The vacuum table is made of torsion resistant cast steel, covered with a phenolic grid table top for the quick and easy mounting of work pieces via pods, clamps, spoil-boards, or holding fixtures. SIX (6) pneumatically controlled Pop-up pins are included for part or sheet location and for Nested Based Manufacturing. Automatic oil lubrication is utilized for linear guide ways along the Y Axis. Centrally located grease fittings are utilized for X & Z Axis and profiled linear guide ways. All guides are protected from dust and other contaminates by double sealed wipers. The operator control panel is mounted on a control arm, in front of the machine, and has a Handheld Pendant with separate Feed Rate and Rapid Rate Override for easy access by the operator. A dust collection hood with automatic damper system is provided for the router spindle & drilling block.



CONTROL FEATURES:

FANUC OiMD Controller System + PC Front End with Windows 7 This Anderson CNC Proudly uses the latest, Series 0i-MODEL D, with nano-resolution performance. With over 700,000 systems installed, the Series 0/0i from FANUC is the world’s most popular CNC model. Operators that already have experience with FANUC controls will be comfortable with the Series 0i in no time at all, with little or no additional training. Existing part programs will typically run without modification. Each operator can select their preferred language quickly from any one of the 16 supported by the 0i, enhancing their comfort level and effectiveness. High-capacity, nonvolatile internal memory is provided for part program storage. Slots are provided for an additional 2GB of part program storage using economic ATA or Compact Flash memory cards. Part programs stored in external memory cards can be edited and executed just like internal memory, providing practically unlimited capacity. An Ethernet interface allows the CNC to be integrated into a network for high-speed part program transfers and the collection of process related data. It also supports remote troubleshooting from the maintenance department anywhere around the world. The Ethernet port doesn’t use a public operating system, so it’s practically “hacker-free” & virus immune. The Series 0i-MODEL D achieves the highest precision possible, with nanometer resolution standard throughout the CNC system. Nano interpolation and fast, high resolution 16-million count-per-revolution feedback devices combine to provide a superior surface finish quality when contouring. This minimizes the need for secondary operations, reducing delivery times & part cost. The Series 0i features a suite of advanced motion control software functions to reduce cycle times while enhancing part accuracy & extending machine life. Bell shaped acc/dec minimizes machine shock & reduces the time it takes to accelerate & decelerate during rapid, contouring, & tapping motions. AI Contour Control looks ahead in the part program to eliminate the acc/dec & servo delays that limit feed rates when cutting short line segments or contours, & effectively eliminates machining trajectory error in corners and small radii. Nano smoothing converts CAM-generated line segments into NURBS curves for faster execution & a superior surface finish, without the need for drastic modifications to existing part programs. High-efficiency drive systems pump energy back into the power line when the machine is decelerating, and when combined with cycle time reductions, they reduce electrical power consumption by up to 50%. HANDHELD REMOTE PENDANT:

This Standard Feature simplifies feed rate & spindle speed overrides from anywhere around the machine, as well as an additional E-Stop function. The HPG jog wheel also allows for manual jogging of the machine, stepping manually through a program, or manual movement or verification of a single axis. Telephone Support Services for machine & parts troubleshooting are provided free to the original purchaser for as long as they own the machine. Anderson America uses this to help your trained operators and maintenance personnel troubleshoot or diagnose a machine issue, operations question, or parts need. Please note that our comprehensive support is not intended to be a substitute for training. This service is available from 8AM to 5PM EST Mon-Fri. After hours support or parts requests are handled via email.

COMMERCIAL CONDITIONS: INSURANCE: The confirmed price includes insurance on the machine from the manufacturing plant until delivery to the customer's rigger. Buyers should secure a Certificate of Insurance from the machine moving company. MACHINE WARRANTY: 2 years on parts and labor on the FANUC controller after machine installation. 2 years on parts after machine installation. 1 year on labor after machine installation. Please refer to Omnitech Systems Inc. “Limited Warranty Terms” available on request INSTALLATION: Installation of the SELEXX/PAL is included and will be arranged by Omnitech Systems Inc. by an experienced and qualified CNC Technician, certified by Omnitech Systems Inc. Installation is to be understood as the assembly of the machine to a "ready-to-run" state. This does not include preparation of the site/floor or the running of electrical, pneumatic or dust extraction services to the site. Omnitech Systems Inc. does not assume any responsibility for the off-loading and positioning by crane, fork lift or other means. This is at the risk of the Buyer. OPERATOR TRAINING: Once the necessary electrical, pneumatic and dust extraction services have been provided and the machine is in a "ready-to-run" state, the Omnitech technician will test run and adjust as necessary as well as provide comprehensive operator training for the person(s) who are to operate and maintain the machine. The training will comprise of the following: a) Operator Training will be conducted on the machine during the installation phase and will teach the operator(s) set-up procedures, production techniques and safe operation of the machine b) Maintenance Training will be conducted on site during the installation of the machine. The operator(s) and/or maintenance personnel will receive comprehensive information on preventive maintenance and trouble-shooting. c) Controller Training will teach the operator(s) the programming procedures and techniques on the FANUC controller. DELIVERY TIME Unless otherwise specified in this Proposal, shipment will be approx. 12-16 weeks after Anderson America’s receipt of this Proposal signed by Customer and clarification of all commercial and technical questions. Shipment is subject to delay should changes be made to the machine after the initial order. PAYMENT TERMS - 30% deposit due together with this Proposal signed by Customer. - 60% at time Anderson America notifies Customer that the machine is ready for delivery FOB, Anderson America, Charlotte, NC. - 10% payable on completion of installation, however in no event later than 45 days after delivery of the machine to the Customer’s facility.



OTHER TERMS OF SALE: 1. All sales and purchases of machines, parts and other goods (collectively, "Goods") designed, manufactured, modified or sold by Anderson America are expressly subject to and governed by the terms and conditions set contained in this Proposal. No other terms or conditions, including but not limited to those contained in any purchase order from Customer or other documentation from Customer, shall be binding on Anderson America unless in writing and executed by an officer or the operations manager of Anderson America. ANDERSON AMERICA OBJECTS TO ALL DIFFERENT AND ADDITIONAL TERMS OF CUSTOMER’S DOCUMENTS AND EXPRESSLY CONDITIONS ITS OFFER TO SELL TO CUSTOMER ON CUSTOMER’S ACCEPTING THE TERMS AND CONDITIONS OF THIS PROPOSAL. 2. Express Limited Warranty and Disclaimer of Warranties. Anderson America warrants to the first user of the Goods in production that the Goods, at the time of delivery to Customer (not the first user), shall be free of material defects resulting from inferior materials or workmanship and shall comply with all express written warranties that Anderson America provides in this Proposal with respect to the Goods. Warranty claims must be made by the earlier of one (1) year following delivery to the Customer (not to the first user) or 2,000 hours of operation. Warranty claims for the FANUC CNC Control System must be made within the earlier of two (2) years following delivery to the Customer (not the first user) or 4,000 hours of operation. All warranties are not transferable. No agent, sales representative, broker, dealer, distributor, or employee of Anderson America shall have any authority to modify or expand this express warranty in any way, unless expressly included in this Proposal. EXCEPT FOR THE EXPRESS LIMITED WARRANTY ABOVE, ANDERSON AMERICA MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND, EITHER EXPRESS OR IMPLIED, AS TO THE GOODS, INCLUDING WITHOUT LIMITATION MAKES NO REPRESENTATION OR WARRANTY: (A) AS TO THE DESIGN, QUALITY OR CONDITION OF THE GOODS; (B) AS TO THE MATERIAL, EQUIPMENT OR WORKMANSHIP IN THE GOODS; (C) AS TO MERCHANTABILITY OR FITNESS OF THE GOODS FOR ANY PARTICULAR PURPOSE; (D) AS TO THE SUITABILITY OF THE GOODS FOR CUSTOMER’S PURPOSES OR THE IMPACT OF THE GOODS ON CUSTOMER'S OPERATIONS; (E) WITH RESPECT TO ANY PATENT, COPYRIGHT, TRADEMARK, TRADE NAME, SERVICE MARK OR PROPRIETARY LAW OR RIGHT; OR (F) WITH RESPECT TO ANY REPRESENTATIONS, PROMISES, DESCRIPTIONS, OR WARRANTIES MADE BY ANY AGENT, SALES REPRESENTATIVE, BROKER, DEALER, DISTRIBUTOR OR EMPLOYEE OF ANDERSON AMERICA THAT ARE NOT INCLUDED IN THIS PROPOSAL.

3. Limitation of Liability. Anderson America's sole obligation for any Goods that do not conform to the Limited Warranty above shall be, at Anderson America's option: (a) to repair or replace such Goods within a reasonable time after Customer returns the Goods to Anderson America at a location in the United States chosen by Anderson America at Customer’s expense; or (b) to refund any portion of the purchase price Customer has paid upon Customer’s returning the Goods to Anderson America at a location in the United States chosen by Anderson America at Customer’s expense. The Limited Warranty is the exclusive remedy. In no event shall Anderson America’s liability ever exceed the Purchase Price. Customer shall make its facility and equipment available, at reasonable times, for Anderson America to perform any of its warranty or other work required in this Proposal. If Anderson America elects to repair the Goods, all parts that are replaced by Anderson America shall become the property of Anderson America. 4. Exclusion of Damages. ANDERSON AMERICA SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DAMAGES FOR BREACH OF CONTRACT OR BREACH OF WARRANTY, DAMAGES ARISING FROM INJURY TO PROPERTY OR PERSONS, DAMAGES ARISING FROM ANDERSON AMERICA’S NEGLIGENCE, OR OTHERWISE ARISING OUT OF OR RELATING TO THIS PROPOSAL AND ANY SALE OR SERVICING OF GOODS. 5. Notice of Nonconformity. Customer must give Anderson America written notice (see address below) of any claim that it has regarding the condition, quantity or quality of the Goods or the nonconformity of the Goods with this Proposal within twenty (20) days after delivery of the Goods. The notice must specify the basis of Customer's claim in detail and



identify the Goods at issue. Anderson America shall have a reasonable opportunity to inspect the Goods at issue and a reasonable time to cure any nonconformity. Customer's failure to comply with this section shall constitute Customer's irrevocable acceptance of the Goods. 6. Applicable Law. This Proposal and the sale of Goods, and all rights and obligations arising therefrom, and any controversy relating thereto shall be governed by and construed in accordance with the laws of the State of North Carolina, excluding its conflict of law principles. Both the 1980 United Nations Convention on the International Sale of Goods and the 1974 Convention on the Limitations Period for the International Sale of Goods are expressly excluded and shall not apply. Unless Anderson America elects otherwise in its sole discretion, any action or proceeding relating to this Proposal and the sale of Goods, and all rights and obligations arising therefrom, shall be commenced and heard only in the State Courts of North Carolina or the United States District Court for the Western District of North Carolina. Customer hereby consents and submits to the jurisdiction and venue of those courts for purposes of such actions or proceedings. 7. No Set-Off: Application of Payments. Customer has no right to withhold payments from Anderson America or to set-off any payments for any alleged breach of this Proposal. Anderson America may hold any payments made by Customer and apply such payments against damages incurred by Anderson America for a breach by Customer of this Proposal. 8. Grant of Security Interest. Customer grants Anderson America a purchase money security interest in all Goods now or hereafter sold or delivered to Customer by Anderson America (including all spare parts, accessories, and accessions thereto), future advances and after-acquired property, and to the proceeds thereof (the "Collateral") as security for payment of all amounts due under this Proposal. As a condition precedent to any delivery of Collateral to Customer, Customer shall execute and supply complete and accurate information necessary for filing a financing statement, a fixture filing, a landlord lien waiver, or such other documents as Anderson America deems necessary to establish, perfect, and maintain the security interest granted in the Collateral. Customer also authorizes Anderson America to take such steps as are reasonable and necessary to perfect its security interest, including the filing of UCC-1 financing statements and continuations statements, and to enforce all of its rights in the Collateral. Any breach by Customer under this Proposal shall entitle Anderson America to accelerate Customer’s debts, collect payments due to Anderson America, and attach and foreclose on the Collateral. 9. Time Limitations. Any action or proceeding by Customer arising out of or relating to the Goods or this Proposal must be commenced within one (1) year after the claim or cause of action has accrued or be forever barred. 10. Other Terms. This Proposal shall be binding on, and shall inure to the benefit of, the parties and their respective successors, heirs and assigns. No remedy of Anderson America under this Proposal or applicable law shall be exclusive of any other remedy, and Anderson America remedies shall be distinct, separate and cumulative. No delay or omission of Anderson America to exercise any right or power arising from any default by Customer shall impair any such right or power or shall be construed as a waiver of any such default. The terms and provisions of this Proposal are severable. This Proposal contains the entire agreement of the parties relating to the Goods and supersede all previous and contemporaneous agreements, understandings, usages or trade and courses of dealing, whether written or oral. This proposal may be modified only by a written agreement, signed by both parties, expressly modifying this Proposal.

VALIDITY: This Proposal and Anderson America’s offer to sell is valid for a period of 30 days from the date herein, and a contract to sell on the terms of this Proposal shall be effective upon receipt by Anderson America of this Proposal signed by Customer. Upon Customer’s signing this Proposal, the references to Proposal shall mean Contract.

Please note your leasing company or bank name and contact if applicable. Then, either mail, fax, or e-mail both items to us, attention of your ANDI Representative. We will then prepare you an invoice, so that you can mail or wire the initial down payment or deposit. Upon receipt of these documents, along with your deposited funds (and/or leasing documents), your order can be processed. An estimated shipping date and machine serial number will then be officially assigned.
