METROTEX ASSOCIATION OF REALTORS®, INC. March 28, 2019
The regular meeting of the 2019 Board of Directors of MetroTex Association of REALTORS®, Inc. was held at the Association office in Dallas, Texas, on March 28 2019. Cathy Mitchell, 2019 MetroTex President called the meeting to order at 11:31 a.m.
The following Directors, constituting a quorum, were present:

EXECUTIVE SESSION
President Mitchell introduced Kevin Caskey and installed him as a 2019 Director of the MetroTex Association of REALTORS®, Inc. Board of Directors.
Cathy Mitchell presented the minutes of the February 28, 2019 meeting of the MetroTex Board of Directors marked Exhibit 1. The minutes were approved as presented.
Bill Jordan presented the March, 2019 Financial Statements marked Exhibit 2. Revenue was over budget by approximately $42,000, with the majority due to dues revenue above anticipated levels. Expenses were over budget by approximately $29,000, with the majority of that related to state and national dues forwarded from collections.
A motion was made, seconded and passed to approve the March Financial Statements for audit.
Terry Tremaine presented the Professional Standards report marked Exhibit B.
A motion was made, seconded and passed to adopt verbatim the decision of the Ethics Hearing Panel in Case E-1222 as presented in Exhibit B.
The Executive Session was recessed.
President Mitchell called to order a special meeting of the general membership at 12:21 pm.
A general membership meeting of the MetroTex Association of REALTORS, Inc. was held at the Association office in Dallas, Texas on March 28, 2019 in accordance with the notice of the call of meeting.
There were no guests in attendance. There being no further business to come before the meeting of the members, the meeting was adjourned at 12:22am.

President Mitchell called to order the general session of the Board of Directors of the MetroTex Association of REALTORS®, Inc. Lori Solecki led the Pledges of Allegiance to the United States and Texas flags. Russell Berry addressed the Directorate, thanking them for their support in the election of State Officers of the Texas REALTORS® that took place at the Texas REALTORS® Winter Meetings. Mr. Berry asked for the continued support of the MetroTex Board of Directors, a requirement in order for him to move to Chair-Elect in 2021. Currently, Mr. Berry is unopposed for the Chair-Elect position. Mr. Berry provided highlights of the Texas REALTORS® Day at the Capitol on March 26th. He asked the Directorate to consider appointing a Strategies Committee/Task Force in order to advance the visibility of MetroTex on the state and national REALTOR platforms, as well as to provide a bench for state leadership and national committee appointments. He provided his rationale and his recommended makeup for this proposed committee/task force. A motion was made, seconded and passed to endorse Russell Berry for 2021 Chair-Elect of the Texas REALTORS®. President Mitchell recognized five guests from the 2019 TRLP Class. Roxie Glenn introduced two new members of the Professional Development Department: Gaby Munoz and Zebran Kabani. President Mitchell announced the reports included in the consent agenda. A motion was made, seconded and passed to approve the consent agenda as filed. Mary Beth Harrison presented the Forms & Contracts Committee report marked Exhibit 4. The committee recommends the name of the Non-Realty Item Addendum be changed to the Non-Realty Notice or Agreement Between Parties. A motion was made, seconded and passed to recommend to TREC and the Texas REALTORS® to change the name of the Non-Realty Item Addendum to the Non-Realty Notice or Agreement Between Parties, pending legal review. Jeff Varnell presented the Government Affairs report marked Exhibit 5. Mr. Varnell provided an update on interviews for Grand Prairie candidates conducted by the Arlington Board of REALTORS®. Representatives from MetroTex attended these interviews. Due to jurisdictional issues, an endorsement from the MetroTex Board to the MetroTex PAC is required before financial support can be considered. An email ballot was transmitted to the MetroTex Directors, however an adequate response was not obtained. A motion was made, seconded and passed to support the recommendations for the Grand Prairie candidates as approved by the Arlington Board of REALTORS® and MetroTex representatives. Mr. Varnell provided a list of incumbent candidates to be considered for early engagement for local elections. All candidates completed the required questionnaire and received a passing grade. A motion was made and seconded to endorse the candidates as set forth in Exhibit 5. A request was made to amend the motion to exclude Dallas City Council, Place 7 Kevin Felder. The request was denied.

A motion was made, seconded and passed to endorse the candidates as set forth in Exhibit 5. Mr. Varnell presented a list of candidates for local races, all of whom interviewed with the MetroTex Candidate Interview Committee. A motion was made, seconded and passed to endorse the candidates as set forth in Exhibit 5, after substituting Stephen Stanley for Garland City Council Place 3, and after substituting Janet DePuy for Richardson City Council, Place 3. During discussion it was noted that Government Affairs Chair was not present for discussion at these two interviews. There were five and three interview members in attendance respectively. In the Garland City Council Place 3 interview, the panel was split on which candidate to select, and deferred to the Board of Directors. Jeff Varnell presented a request from the Government Affairs Committee to forward an application to the Texas REALTORS® Legal Defense Fund. This case could potentially impact how HOA’s are structured, and what rulemaking or enforcement authority they may be granted pursuant to the Texas Property Code. A motion was made, seconded and passed to submit the case of Martin Angell, Petr Luonng and Duong Nguyen vs. Richland Trace Home Owners Association to the Texas REALTORS® Legal Defense Fund. Steve Trine presented a recap of the MIPIM conference, one of the world’s largest real estate development conferences. The purpose of the conference is to connect investors to projects. 26,000 delegates representing over 100 countries were in attendance. This was a fact finding and learning trip for MetroTex. For future trips, a recommended approach is to partner with local economic development offices and other sponsors in order to market the DFW metroplex Additionally, MetroTex could lend support to local development partners to assist them in marketing their own projects. Hanne Sagalowsky also spoke about the conference. She left materials from the meetings for review. President-Elect Terry Tremaine presented the Membership report marked Exhibit 6. A motion was made, seconded and passed to approve all applicants as presented pending final investigation. The membership count at the end of March, 2019 was 20,120. This is a 4.44% increase over the February, 2018 membership levels. MetroTex achieved 21.57% of the 2019 new member budget of 3,000 with 647 new members added year to date. Patrick Burke presented the TREPAC report marked Exhibit 7. $246,838 has been raised through February 28, 2019. This represents 36% of the Texas REALTORS® goal of $683,340, and a 23.3% participation rate. Mr, Burke announced the 2019 White Party is April 18, 2019 at the Empire Room. Kevin Caskey requested that any auction item donations for the White Party be submitted as soon as possible. Bill Jordan presented a request for additional E&O and D&O Insurance beyond that provided through the Master Policy with the National Association of REALTORS®, Inc. Typically MetroTex purchases an additional $3,000,000 for insuring clause 1A/1C and an additional $500,000 for Anti-Trust insurance coverage. The premium will exceed he budgeted mount by $123. A motion was made, seconded and passed to approve an additional $3,000,000 in insurance

coverage for 1A/1C and an additional $500,000 in insurance coverage for 1B2 for a total premium of $7,123. CEO Janet Kane gave an oral update on the Building Task Force. The first meeting of the Task Force took place on March 25th. The Task Force reviewed the Facilities Assessment Report, The MetroTex Visioning Report, the 2017 MetroTex audited financial statements, and a projected cash flow analysis based on current membership levels. Next steps are to interview project managers that will oversee the project, and represent the interests of MetroTex with contractors, architects and other parties related to the project. The next meeting of the Task Force is May 8, 2019. Janet Kane presented a MetroTex application to be used by any qualified member seeking a National and/or State Director position, marked as Exhibit 9. The completed application is due by April 15, 2019. This application will be sent to past MetroTex Directors for consideration. President Cathy Mitchell presented the MetroTex Talking Points marked Exhibit 10. Ms. Mitchell asked each Director to consider their replacement, and to ask that replacement to submit a completed application. Ms. Mitchell also reminded all Directors whose term expires at the end of 2019 that a candidate application must be completed in order to be considered for a new term. President Mitchell presented the April course of events marked Exhibit 11. A revised MetroTex calendar was provided in Exhibit C. President Mitchell invited the Directorate to attend the TRLP NAR Leadership Program on April 4, 2019. James Martin asked for volunteers for ambassadors for the 2019 TAR Conference in Fort Worth, Texas. Kevin Caskey revisited the TREPAC report, noting that a request for funds from MetroTex is needed to pay for the auction software for the White Party. The funds will be reimbursed to MetroTex upon receipt of a $15,000 NAR fundraising grant for the White Party. It was further discussed that the MetroTex PAC approved $5,000 from the Corporate PAC account for auction items for the White Party, however there are currently no funds available in this account. A motion was made and seconded to approve up to $15,000 from MetroTex prior year’s reserves to be used for auction items and costs for the White Party, and which will be reimbursed by the MetroTex PAC upon receipt of the NAR fundraising grant. After further discussion the motion was amended. A motion was made, seconded and passed to approve up to $15,000 from MetroTex prior year’s reserves to be used for the White Party, subject to reimbursement by the MetroTex PAC, upon receipt of the NAR fundraising grant. MetroTex Association of REALTORS®, Inc. Financial Statements Budget Variance
For the Period Ended 03/31/19
Summary:
For the month of March, 2019, Total Revenue was less than budget by $12k, which was due primarily to revenue lower than budgeted in Dues Revenue for state and national dues with negative variance for the month of $9k combined.
Expenses for the month were above target with a negative variance of $14k.
Several expense lines had variances worth mentioning.
• Dues Expense for state and national dues with a positive variance of $9k due to those line's revenue being under budget for the month also.
• Sales were down in the service centers, and so it follows that the cost of goods sold line is also below budget, in the amount of $6k.
• CE Required Expense line was above budget by $13k primarily due to an unbudgeted purchase of texts that will be sold to the class participants throughout the year.
• Events Expense was over budget by $7k, which is a timing difference.
MetroTex has established a Reserve For Gain/(Loss) On Investments, which is $906k as of 03/31/19 and is reflective of the increase/(decrease) in market value of the investments so far this year. This amount will be adjusted monthly to reflect the current market value, and will be reclassed as revenue or expense on the Income Statement at year end for audit.

TREENO Proposal Background:
What is TREENO?
Treeno is a software & storage system allowing MetroTex to go paperless and preserve all documents in a “cloud” system, ensuring security of the documents, preventing them from loss in a disaster such as fire, allowing easy access by employees as needed; and reducing storage of endless archived boxes.
The system is a bar-code driven system which automatically reads a barcode entered and automatically files the document in appropriate pre-set folders. Folders may then be accessed by employees by searching by member number, vendor, subject, account, and even by word recognition.
What is the problem we’re trying to solve?
Currently there are storage rooms FULL of paper folders containing confidential member records. Most of these files, dating back decades, include social security numbers, signatures and credit card numbers, and other private information that is at risk of identity theft. These files need to be redacted, filed appropriately, and secured in a format that cannot be damaged by water, fire, or theft. TREENO will solve this problem.
How do you know TREENO works?
While at the CEO Exchange in Las Vegas, CEO Wendy Divechio shared this product when CEO Janet Kane asked for solutions that others were trying. Greater Las Vegas has used the system for over 12 years; has been extremely happy with the product and deems it “user friendly,” “easy to learn,” and provides appropriate layers of security so that the “right” staff have access to the “right” information.
How does it ensure confidentiality? Even among various staff?
The system provides the administrator to give varying levels of access as appropriate. I.e. Only accounting staff would have access to files necessary for accounting. HR personnel would have access to personnel files, etc. Whereas all staff might have access to governing documents.
What happens when someone leaves or is hired?
Access would be terminated for the departing staff member, and when a new person is hired, it takes minutes to determine and set the correct access points for that individual.
Costs seem high?
The initial setup costs are high due to the entry process of inputting all paper files currently located at the MetroTex offices. (i.e. Membership records, education certificates, Board and Committee minutes, HR Records, Bylaws and other historical documents, as well as all accounting records, etc.) We anticipate the process taking up to 5 months to complete, hiring 3 temps for 20 weeks, working from 8:30am to 5:00pm. Along with that, we have training costs, as well as the system itself.
Moving forward, once everything is in place, the annual cost drops drastically, and so does our storage needs and risk to our members and the Association.

Over the last 100 years, MetroTex has handled a multitude of dcouments, both paper-based and electronic. Given the sheer magnitute, coupled with the levelof confidentiality, it is a real struggle to manage, secure and access these documents. There's a growing trend for Associations to move away from traditional server-based software-solutions that require server upgrades, licensing and backup plans which in turn require more IT resources to support that infrastructure.Treeno Software provides a proven cloud-hosted electronic document management (EDM) solution which allows permissioned users to log in from any browser on any device and securely access and manage important files when required. It will help MetroTex manage membership and accountig documents through a cient configured database. REQUEST TO EXECUTIVE COMMITTEE FOR A REPLACEMENT EMS (ENERGY MANAGEMENT SYSTEM)
On April, 26 2012 the MetroTex Board of Directors approved a proposal from Comfort Technologies, Inc. to install an open EMS with central plant controls and heat pumps for the main office facility. The funding for this capital expense was made from MetroTex facilities Improvement Fund.
For the past 7 years, this system has saved considerable energy costs for the MetroTex facility by cooling and heating the facility only during business hours, as well as allowing rooms that are not used daily to be zoned and scheduled for use at specific times via the EMS scheduler.
Unfortunately, the equipment has aged, resulting in a number of the controllers requiring replacement. There are currently old fashioned thermostats installed in some of the classrooms and office areas where controllers have failed, which is not as efficient from an energy consumption and use standpoint.
The software the JACE (Java Application Control Engine) uses to drive the EMS system is obsolete and is in danger of failing due to its age. Furthermore, to protect the JACE and controllers from power surges, a portable UPS is recommended to be installed with the replacement equipment.
The attached proposal in the amount of $11,230.94 is submitted for your review.

4. The MetroTex Affiliate Forum Committee met on April 17th. At this meeting,members received a first quarter committee goal re-cap. Also, committee membersprovided valuable feedback on the recent Smart Home seminar hosted by the AffiliateForum Committee. Additionally, committee members were given information about therollout of a new committee benefit—business card holder displays at the variousMetroTex locations. Immediately following this meeting, the committee hosted itsquarterly Affiliate New Member Orientation.
5. The MetroTex YPN Committee met on April 18th. At this meeting, members receiveda first quarter committee goal re-cap. 5 reservations to date for the April 29th YPN team-building event at the Park Lane Top Golf location. A motion was made and approved from the Candidate Interview panel on April 4th to support the Dallas
City Council and DeSoto City Council Candidates listed below.
History and Rationale
Please note that these candidates were not interviewed during the initial interview process because of
time constraints.
Both Dallas City Council Candidates are incumbents with challengers in their respective races. Each
candidate was eligible for early engagement, however the answers to the questionnaire did not satisfy a
passing grade. As a result, each eligible candidate for Dallas City Council Places 2 & 3 were given the
opportunity to interview. As a result of those interviews, the interview panel voted to recommend that
the MetroTex Board of Directors support the incumbents, Adam Medrano and Casey Thomas.
The Candidate Interview panel also voted to recommend that the Board of Directors support Dinah
Marks for DeSoto Place 5. This is an open seat, and the rationale behind this candidate was Ms. Marks
appeared more aligned with MetroTex issues and willing to work with our association to ensure our
Public Policy agenda is achieved.
Please vote to “support” or “not support” for each of the individual recommendations by Noon of
Wednesday, April 17th.

A motion was made and seconded by members of the April 4th Candidate Interview Panel to recommend
that the MetroTex Board of Directors approve support of the following candidates:
Dallas City Council, Place 2 Adam Medrano
Dallas City Council, Place 3 Casey Thomas
DeSoto City Council, Place 5 Dinah Marks

A motion was voted on by the Board of Directors via an email poll. The results of that poll are 16 of 21
members of the Board of Directors voting in favor of supporting the three candidates in the motion. The
remaining five Board Members did not vote in the email poll.

[Unapproved] MINUTES The MLS Committee of the Greater Metro MLS met at the Association offices on April 8, 2019. Chairperson, Ric Shanahan, called the meeting to order at 1:30 p.m. Members present: Ted Bangs, Cathy Beane, Andrea Collins, Bess Dickson, Chuck Edwards, Jaclyn England, John Gallent, Kalani Hooker, Sandra McKimmey, Lori Miles, Travis‐Lee Moore, Jennifer Pennebaker, Tasha Penson, Eric Scholl, Chris Soignier, Coleman Taylor, Melanie Thomas, Keith Tobas, Joshua Vernon, Derek Westley and Camile White. Absences: Jennifer Clark, Connor Cromeens, Cathy Mitchell, Molly Pennington, Doug Selzer, Patty Tafoya Valenzuela, and Carol Verhey Guests: Nancy Garcia and Kevin Caskey Staff: Cathy Faulkner (MLS Director), and Lisa Davis (Recording Clerk.) Summary of Committee Business Chairperson, Ric Shanahan, welcomed the Committee members. The February 2019 minutes were reviewed and filed as presented. The 2019 Business Plan was reviewed.
No action was taken on a request to have the ability to change the font style of the body of auto‐email messages. No action was taken on a request to review client portal and client ability to select favorites. Ric Shanahan welcomed the TREPAC Trustees. Nancy Garcia and Kevin Caskey discussed with the Committee the importance of contributing to
TREPAC and gave information regarding the upcoming white party. Cathy Faulkner discussed information for the Area Meeting weekly email.
