To arrange the infrastructure/programmes/facilities for the rehabilitation of the riots victim, handicapped, jertic wings (old men & women). 8. To arrange the health education programme for weaker section, handicapped etc.

MEMORANDUM OF ASSOCIATION (REVISED)

OF ADESH WELFARE SOCIETY

Kotkapura Road, Muktsar.

A) NAME & ADDRESS

1. The name & address of the Society shall be Adesh Welfare Society, Muktsar.

2. The Regd. Office of the Society will be at Kotkapura Road, Muktsar.

B) AIMS & OBJECTS The objects, for which the Society is established, are as under:

1. To establish any type of Educational Institute/University for the benefit of public at large viz. Medical, Dental, Ayurvedic, Nursing, Para-Medicals, Technical, Economics, Commerce, Management, Basic Sciences, Humanities, Social Sciences, Environment Sciences and other streams/sciences which emerge from time to time.

2. To promote the cause of service to mankind by setting up good hospitals particularly in the field of Cancer.

3. To raise, own, manage, and administer the institutions for the uplift of the unprivileged

section of the masses at large.

4. To make arrangement for adult literacy especially for women, schedule caste/schedule tribes, handicap and other weaker section of Society.

5. To create awareness concerning ill effects of drugs and alcoholism and to make the

efforts to treat the person who are indulged in drug abuse and alcoholism.

6. To make programme related directly to raise the mental horizon of the unattended sections.

7. To arrange the infrastructure/programmes/facilities for the rehabilitation of the riots

victim, handicapped, jertic wings (old men & women).

8. To arrange the health education programme for weaker section, handicapped etc.

9. To provide charitable educational facilities to unattended section of the Society.

10. To arrange small projects for maintenance and objects of the Society and for the welfare of the needy humanity at large.

C) OBJECTS ANCILLARY AND INCIDENTAL TO MAIN OBJECTS

1. To provide facilities & infrastructure for the promotion and cause of the Society and to raise and maintain the living mark of the unattended section of the humanity.

2. To establish library, reading rooms and to publish literature pertaining to aims & object of the Society and so as to provide best welfare schemes to the unattended section.

3. To take all such necessary steps so as to meet the aims & objects of the Society and to provide job oriented educational/technical/experienced courses so as to bring the unattended section of the Society at par with others.

4. To get contribution in the form of subscription and donation from the members of the Society and others in order to improve the finance of the Society.

5. To acquire property by purchase, mortgage or gifts.

6. To sell, mortgage, dispose the property of the Society for the cause of the Society.

7. To spend, invest the funds & income of the Society as the governing body agree for the cause & benefit of the Society.

8. To improve, to mortgage, to lease out, to rent out in all or a part of the property of the Society and rights thereof to achieve the aims & objects of the Society.

RULES & REGULATIONS (REVISED)

OF ADESH WELFARE SOCIETY

Kotkapura Road, Muktsar.

1) In the interpretation of these rules there is something inconsistent with the subject:-

1.1) Society means Adesh Welfare Society, Muktsar.

1.2) The Registered Office of the Society will be situated at K.K. Road, Muktsar, State Punjab.

1.3) Members means the members of the Society. 1.4) The year means the period commencing from Ist April to 31st March of the next

year. 1.5) Office Bearer means the Chairman, Vice Chairman, General Secretary, Treasurer

and Executive Members for the time being.

2) MEMBERSHIP

Any person (both sex) of Adult Constitution and of sound mind of any caste and creed subscribing and having faith in the aims of the Society can become the member of the Society on submitting an application of prescribed Performa along with Admission Fee with final approval of Governing Body. The Governing Body reserves the right to admit or reject any application without assigning any reason what so ever and whose decision shall be final.

3) QUALIFICATION FOR ADDMISSION TO THE MEMBERSHIP

The name of the person will be considered provided he/she makes an application and recommended by 3 life members otherwise application will not be considered. Change or addition of any member will be on recommendation of Governing Body, by a Resolution passed by all the members present at the meeting convened for this purpose.

4) DISQUALIFICATION AND CESSATION OF MEMBERSHIP No person shall be entitled to become a member of the Society if he/she :

4.1) is of unsound mind.

4.2) has been convicted by a court of law for an offence involving moral turpitude within 7 years proceeding the date of admission as member.

5) GENERAL BODY 5.1) Constitution: All the members of the Society shall form the General Body of the

Society.

5.2) Address of a Member: If a Member of the Society changes his/her address, he/she may notify to the General Secretary his/her new address, but if he/she fails to notify such address, his/her address as recorded on the roll of the members shall be deemed to be his/her address.

5.3) Cessation of Membership: A Member of the Society shall cease to be such Member

if he/she (i) Resigns from Membership, or (ii) becomes of unsound mind, or (iii) becomes insolvent, or (iv) is convicted of a criminal offence involving moral turpitude.

6) GENERAL FUNCTIONS & POWERS OF THE GENERAL BODY The following among the others shall be the functions of the General Body:-

6.1) To elect the Governing Body.

6.2) To appoint Auditors to audit the accounts of the Society.

6.3) To receive from the Governing Body report of the working of the Society of the proceeding financial year together with statement showing the Receipts and Expenditures, Assets & Liabilities etc.

6.4) To consider Amendments in the rules of the Society brought forward by Governing

Body.

6.5) To consider any other Business Matter brought forward by Governing Body.

7) GOVERNING BODY

7.1) Constitution: The Governing Body shall not consist less than 5 members and not more than 7 in any case. The Governing Body shall have following functionary.

a) Chairman b) Vice Chairman c) General Secretary d) Treasurer e) Three Executive Members

7.2) Term of the Governing Body: The term of the Governing Body shall be 5 years at the end of which it shall be reconstituted by all the members of the Society. The existing members of the Governing Body shall be eligible for re-appointment.

7.3) Resignation of the Chairman: The Chairman may resign his office by a letter addressed to the Governing Body and his resignation shall take effect from the date it is accepted by the Governing Body.

7.4) Resignation of the Members of the Governing Body: A Member of the Governing

Body may resign his office by a letter addressed to the Chairman, who shall forward it to the Governing Body with his remarks and his resignation shall take effect from the date it is accepted by the Governing Body.

7.5) Filling in of the casual vacancy in the Governing Body: Any casual vacancy in the

Governing Body caused due to any reason, Shall be filled by the appointment of a new Member to Governing Body by the existing Members of the Governing Body and Member so appointed to fill such vacancy shall hold the office for the remainder of the term of the Member in whose place he has been appointed.

7.6) Cessation of Membership: A Member of the Governing Body shall cease to be such

Member if he/she (i) Resigns from Membership, or (ii) becomes of unsound mind, or (iii) becomes insolvent, or (iv) is convicted of a criminal offence involving moral turpitude.

8) GENERAL FUNCTIONS & POWERS OF THE GOVERNING BODY The following among the others shall be the functions & Powers of the Governing Body:-

8.1) To consider the application for membership.

8.2) To appoint, terminate or dismiss employees with majority decision and other.

8.3) To buy, sell possesses mortgage, hypothecate any movable/immovable property of the Society for the welfare of the Society.

8.4) To borrow or raise money for the objects & purposes of the Society from any

bank/financial institution/other private societies and enter into agreements for the same and to mortgage movable and immovable property of the Society so as the secure the credit facilities of the Banks/Financial Institutions.

8.5) To acquire by gift, purchase, exchange, lease, hire or otherwise any land, building in

the name of the Society.

8.6) To build construct and maintain houses and building and to alter, extent, improve, repair any existing building of the Society and any other public property and for the welfare of the public.

8.7) To make from time to time, amend the rules & regulations of the Society by the

majority of votes and in case of the casting vote of the president shall be deciding factor vote.

8.8) To delegate any of the power of the Governing Body to any Office Bearer of the

Society.

8.9) To do all such acts and things as are incidental to the attainment of the object of the Society.

8.10) To print, publish and distribute literature, books, magazines etc. to propagate the

purpose for which the Society starts for.

8.11) Governing Body may call meeting of the General Body to consider the opening of any type of Educational or Healthcare Institute anywhere in India and abroad to this effect the decision so obtained will be endorsed jointly with common consent by all the functionary of the Governing Body. For the said Institute the Managing Committee will be appointed by the Governing Body of the Society and decision to this effect will be the common consent of all members of the Governing Body of the Society. The Managing Committee so appointed will be responsible for the day to day affairs of the Institute and answerable to the Governing Body of the Society. The terms & conditions of appointment of the committee will be decided by the Governing Body.

9) MEETINGS

9.1) Meetings of the General Body of the Society:-

a) Annual General Meeting of the Society: Within Six months of the close of each financial year, the General Body shall meet to consider and adopt audited accounts of the Society, annual report on the Working of the Society during the previous year and other matters regarding the appointment of auditors.

b) Special Meeting of the General Body of the Society: The General Body shall meet

whenever the chairman thinks fit, provided that the General Secretary shall call such meeting of the General Body upon a written requisition of not less than 4 members.

c) Notice: For Every Meeting of General Body at least 14 days clear notice shall be

given to the members, excluding the day of posting and day of the meeting. However in case of urgency, the General Secretary with the permission of the Chairman is empowered to call a meeting of the General Body at a shorter notice but not less than 48 hours.

d) Quorum: 2/3rd of the existing members of the General Body including the

Chairman shall constitute the quorum at any meeting of the General Body, any fraction being rounded off to the next higher number.

e) Adjournment: Where a quorum is not present within thirty minutes of the time

notified for the commencement of the meeting, the meeting (i) if called on the requisition of the members shall stand dissolved, (ii) in any other case , the meeting shall be adjourned to the same day, time and place the following week, and the Members present at the adjourned meeting shall form the quorum, notwithstanding rule 9.1 (d) herein.

f) Decision by Majority: Decisions of the General Body Meeting shall be by a simple

majority of the members present and voting, except in respect of resolution falling within the purview of Rule 16.

g) Voting Right: Every Member of the General Body shall have one vote only. But in

case of a tie over a matter, chairman shall have the casting vote in addition to his own vote.

9.2) Meetings of the General Body of the Society:-

a) Meeting of the Governing Body: Ordinary the Governing Body will meet once in a

three months. Provided that the interval between two consecutive meetings of the Governing Body shall not exceed six months. The Chairman would be entitled to call Meeting of the Governing Body whenever he thinks fit, or on requisition of at least 2/3 of the members of the Governing Body.

b) Notice: For Every Meeting of Governing Body at least 7 days clear notice shall be given to the members, excluding the day of posting and day of the meeting. c) Quorum: 2/3rd of the existing members of the Governing Body including the

g) Resolution by circulation: Any resolution may be adopted by circulation among

all its Members and any resolution so circulated and adopted by the majority of Members who have signified their approval or disapproval on such resolution shall be effective and binding as if such resolution had been passed at a Meeting of the Governing Body.

10) ALIENATION AND TRANSFER OF SOCIETY'S PROPERTIES

The Governing Body would be competent to alienate movable and immovable properties of the Society and to raise loan in order to meet necessary expenses in the interest of the well being of the Society.

11) SUPERINTENDENCE AND THE MANAGEMENT OF THE SOCIETY’S PROPERTIES

It will be the duty of the Governing Body to look after the property (movable/immovable) of the Society. In case the Society fails, the said body would be to interest movable/immovable properties in some useful and beneficial way, but such resolution would only be passed by a majority of votes at a meeting attended by at least 2/3rd of the General Body of the Society would be competent to alienate all movable/immovable properties of the Society to any local or outside Institution or person or to appoint a new Working Committee, who would be entitled to exercise all powers with respect to the properties that are at present vested in the said trust.

12) POWERS OF THE OFFICE BEARERS AND MEMBER'S OF THE GOVERNING BODY

12.1 Chairman a) Chairman is authorised to call ordinary, extraordinary meeting of the

committee. b) He would be entitled to use a casting vote in case the member's are equally

divided on a matter. c) The Chairman can of his own authority, spend funds to meet contingent

expenses but a statement of all such expenses shall be put before Governing Body for sanction. It would be in his power to occasionally check the accounts, correspondence and other papers of the committee, the monthly bills of the Society and contingent account.

12.2 General Secretary

The General Secretary shall keep the safe custody all the documents and paper of the General Body and will also keep regular accounts of Income and Expenditure and put the same before the Governing Body in its meetings. He shall at the instance of the Chairman can convene ordinary or extra ordinary meeting of the Society. In case of the extraordinary meeting of the Society, 24 hours before the appointed time and that of ordinary meeting issue a notice giving reasonable time for the members to meet. The said notice shall also contain the agenda of the work.

13) OPERATION OF BANK ACCOUNTS The Bank Accounts of the Society shall be kept in the name of the Society in any Scheduled Bank/Banks and shall be operated by the Chairman or jointly by any of two functionaries of the Governing Body of the Society, duly authorized by the Governing Body.

14) GENERAL 14.1 No member shall have more than one vote at any meeting of the Society except that

in case of equality of votes Chairman shall have casting vote.

14.2 No profit shall be taken by any of its member. However members shall be entitled to such TA & DA for attending meetings or any official work of the Society away from Muktsar as may be the Governing Body. Further members of the Society shall also be entitled to get remuneration from any institute of the Society for providing full time job according to the qualifications required for that post.

14.3 Annual accounts of the Society shall be got audited by a Chartered Accountant duly

appointed by the Governing Body. 14.4 The members of the Governing Body who fails to attend 5 consecutive meeting

without assigning any cause may be issued a show cause notice asking for reason in not attending meeting thereafter decision of the Governing Body in connection with cause will be final.

15) AMALGAMATION The Society can be amalgamated with any other Society only with the approval of all the Members present and voting at the Special Meeting of the General Body of the Society convened for this purpose in accordance with the rules of the Society and the resolution passed by a majority of the total Members present at such meeting.

16) DISSOLUTION

The Society can be dissolved in accordance with the procedure laid down under section 10 of the Punjab Societies Registration Act, by a resolution passed by a majority of the total Members present at the Governing Body Meeting having quorum of not less than ¾ of the total members of the Governing Body. In the event of dissolution of the Society registered under the Act, since it shall be non-profit Body, there remains surplus after the satisfaction of all the debts and liabilities of the Society, any Property, whatsoever, the same shall not be paid or distributed among the members of the said Society or any of them but shall be given to some other Society having similar aims & objects.
