ALERT Life Sciences Computing (ALERT) is a privately owned company founded in 1999 by M. Jorge Guimarães, M.D., Ph.D., a physician and scientist, winner of the 1998 BIAL Award in Medicine.

ALERT began in a one-bedroom apartment, in Portugal, as a company dedicated to web-based healthcare services dedicated to citizens, and quickly evolved into clinical software and other supportive software capabilities within healthcare.

Solely dedicated to healthcare, the company currently offers a holistic solution represented by a single product that is differently configured and implemented worldwide. ALERT has a permanent multidisciplinary team of 350 professionals, product adoption in 13 countries and had an EBITDA of 25M Euros in the first semester of 2013.

HISTORIC PERSPECTIVE OF THE EVOLUTION OF ALERT’S PRODUCT SUITE:

· In 1999 ALERT started developing healthcare portals and Personal Health Records;

· The first clinical products of ALERT, initiated in 2001 and launched in 2003, were dedicated to Emergency Departments;

· In 2004 the product evolved into a web based software, for the complete hospital suite, composed of four main modules: (1) Emergency Department Information System, (2) Ambulatory, (3) Inpatient, and (4) Operating Room Information System, which continuously evolves until this day. All ALERT® products are always delivered with their corresponding Business Intelligence counterpart solutions;

· In 2005 the company started delivering integrated solutions between primary care centers and hospitals, and ALERT® REFERRAL;

· In 2006 ALERT started working on the concept of the ALERT® stand-by database which led to the ALERT® CRISIS MACHINE that started to be developed in the following year;

· In 2007 ALERT delivered its Referral software on a National scale (this software covers the entire Portuguese National Public Health System to this day), and started the development of ALERT® PHARMACY and its HEALTH INFORMATION EXCHANGE (HIE);

· In 2008 the company started delivering Administrative software for healthcare, as well as its current (v3) service-oriented Enterprise Service Bus (INTER-ALERT®), and the development of the ALERT® NETWORK OPERATIONS CENTER (NOC) and the ALERT® MIGRATION FRAMEWORK;

· In 2009 the company started the development of the ALERT® PATIENT DATA MANAGEMENT SYSTEM (PDMS), ALERT® CODING, ALERT® STUDENT, and ALERT® eLEARNING. It was also in 2009 that ALERT started developing the ALERT® NEAR ZERO DOWNTIME technology for product upgrades;

· In 2010 the company started the development of ALERT® MOBILE solutions for citizens to be used

with iPhones and Android-based smartphones, and the ALERT® PLANNING SYSTEM was also initiated this year;

· In 2011 the company started the ALERT® CANCER CENTER INFORMATION SYSTEM, and ALERT® HOME VISIT, a mobile solution that works both online and offline;

· In 2012 ALERT started the development of the web-based ALERT® CONTENT REPOSITORY for more effective and independent management of content within ALERT®;

· In 2013 the company initiated the entire transformation of ALERT® into an HTML-5 and Role-Based Access Control (RBAC) based solution, and the strategic orientation towards Care Coordination and Molecular and Personalized Medicine.

ALERT® is therefore a comprehensive suite of solutions which spans all the way from the point of care, in hospitals, primary care centers and private physician offices, to the patient’s home, and everything needed to establish their interconnection, to the creation of personal knowledge bases for medical schools, healthcare planning and business intelligence, and other areas of administrative and management software.

Consequently, ALERT created a network of health information that can be shared between healthcare facilities and the citizen, thus providing conditions for the management of the continuum of care.

ALERT®’s first implementation took place in May 2003 in Portugal. Ten years later, ALERT® products have also been adopted in Spain, Italy, France, Switzerland, the United Kingdom, Kuwait, Angola, Brazil, Chile, Guatemala, Mexico and the United States of America.

Nationwide projects:

· In Portugal to computerize referrals from primary care centers (over 1 400 sites) to hospitals (117), covering 100% of the 10,5 million population;

· ALERT® is also present in 2/3 of the Emergency Departments in Portugal;

Statewide projects:

· State of Minas Gerais, in Brazil, to computerize that state’s Emergency Department network (about 40 main Emergency Departments and about 2 500 Triage points) covering 20 million lives, and;

· State of Mexico, in Mexico, to computerize its healthcare network (integrating over 1 000 healthcare facilities), covering a population of around 15 million lives.

Today, ALERT® solutions provide support to primary care units, referral centers, low, medium and high complexity hospitals, regional and national decision centers, whilst interconnecting healthcare and diagnostic units, so that the citizen’s health information is available wherever they are and in accordance with strict security and confidentiality rules, regardless of the location where the clinical information is generated.

The Mexican healthcare market is large and complex. With more than 112 million citizens and a healthcare network divided in private, federal and state institutions, it represents a good challenge for ALERT to successfully deploy its products in this market.

Today, the company has three major clients, two of them in the private sector and one in the state sector.

We have already ensured our position in the market with customers like Sistema Tecnológico de Monterrey (known as TEC-Salud in the healthcare world), CUCS-Anahuac (by Grupo Gigante), and through our distribution partner INTELLEGO. Via Intellego we are implementing our products in the State of Mexico: the largest State in the country with more than 15 million citizens.

Thanks to the flexibility of our products, our platform is being used by very different kinds of institutions. The Emergency Department of Centro Médico San José Tec de Monterrey and other services like Cardiology, Ophthalmology, Surgery and Wellness at the Centro Médico Zambrano Hellion are already using our products.

It is important to mention that ALERT® was certified under the regulation NOM-024-SSA3-2010 which supports automation of the EMR. International Standards like ICD-10 and MANCHESTER Triage are also being used by our customers.

We already integrate with ERP systems that are active in this market (like SAP). In the private sector this is an advantage for our customers in the market because they have the possibility to quickly change their business rules to be more competitive and cost effective when treating their patients. Our clients have the capability to improve their financial performance with a clinical perspective, which is a very important matter for insurance agreements or for the effective distribution of resources in the public sector.

By the end of this year our products are going to help the Mexican Social Security Institute and the State of Mexico Healthcare Institute in the State of Mexico to ensure quality assistance in the state sector.

Finally, it is our responsibility and our commitment with this market to offer the best option for process automation and health information exchange, helping Mexico take care of its citizens and supporting physicians and healthcare professionals when they are treating their patients.

ALERT® Triage based on the Manchester Protocol 2nd Edition, Brazilian version, was duly homologated in relation to the Manchester protocol by the Brazilian Risk Classification Group (Grupo

Brasileiro de Classificação de Risco), as of October 2011.

SBIS/CFM (SOCIEDADE

BRASILEIRA DE INFORMÁTICA

EM SAÚDE) CERTIFICATION

SBIS/CFM certification applies to electronic health record systems and has the following purposes:· Increase the security of data stored

in electronic health records;· Create regulations and standards for

the legal support in paper elimination (electronic records);

· Improve the quality of information systems in Brazil.

ALERT® is currently undergoing the certification process.

FRANCE

DOSSIER MÉDICALE PERSONNEL (DMP COMPATIBILITÉ) AND LOGICIELS À L’AIDE DE LA PRESCRIPTION (LAP)

ALERT® is under preparation for the homologation process to be complaint with Dossier Médical Personnel (DMP) and ePrescription regulations under the responsibility of French health national authorities (Haute Autorité de Santé – HAS).

MEXICO

NOM-024-SSA3-2010

ALERT® was successfully certified in the NOM-024-SSA3-2010 standard by the Mexico Secretary of State for Health. From 26 to 30 September ALERT® was evaluated by the Mexico Secretary of State for Health regarding its compliance with the NOM-024-SSA3-2010 standard.

This standard sets the functional goals and defines the functionalities that Electronic Clinical Systems (Sistemas

de Expediente Clínico Electrónico -

Historia Clínica Electrónica) should meet to guarantee interoperability, processing, interpretation, confidentiality and security capabilities, as well as the use of standards and catalogs in electronic health records.

This evaluation process was requested by ALERT with the purpose of certifying that ALERT® products, besides being considered among the best in all the local evaluation processes, comply with the sector’s official rules and standards.

The product version submitted for evaluation was v2.6.0.5.3 and it caters for the following departments: Emergency, Outpatient, Inpatient, Operating Room and Pharmacy.

MEXICO

The Instituto de Salud of the State of Mexico, in Mexico, chose ALERT® to computerize its complex and wide healthcare network.

This public network serves the State of Mexico and integrates over one thousand healthcare facilities, which cover a population of around 15 and a half million inhabitants.

The computerization project contemplates the implementation of ALERT® PAPER FREE HOSPITAL,

State of Mexico

ALERT® CHOSEN BY THE INSTITUTO DE SALUD OF THE STATE OF MEXICO

ALERT® REFERRAL, ALERT® CARE, ALERT® HIE, ALERT® PDMS and MyALERT® at the Instituto de Salud of the State of Mexico’s healthcare facilities, within three phases, in a 15 hospitals and over 1 000 primary care centers.

The project’s implementation phase started on August 7, 2013, at General Texcoco Guadalupe Victoria Bicentenario Hospital, with the Go Live of ALERT® OUTPATIENT and ALERT® REFERRAL modules.

Intellego is ALERT’s partner with distribution rights of ALERT® solutions in Mexico.

On August 22, 2012, ALERT® EDIS went live at San José Tec de Monterrey Hospital.

Established in 1969, this private hospital has been awarded several accreditations and certifications, which make it one of the most important and prestigious healthcare facilities in Mexico: international accreditation by the Joint International Commission since 2007, certification of their Centre of Multi-organ Transplants by the Ministry of Health of Mexico and recognition by the White House,

ALERT® EDIS WENT LIVE AT SAN JOSÉ TEC DE MONTERREY HOSPITAL

Washington, USA, for complying with requirements when providing healthcare to the President of the USA, and by the Spanish Embassy for also complying with requirements when providing healthcare to the Spanish Prime-Minister.

With over 40 years of experience, San José Tec de Monterrey Hospital provides a wide range of excellent clinical services. The hospital offers emergency services, outpatient appointments, operating rooms, a blood bank, hemodialysis, audiometry, cardiology, endoscopy, breast treatment, hemodynamics, imaging services, lab tests, radiology, radiotherapy and 40 medical specialties. All these services will be supported by ALERT® PAPER FREE HOSPITAL (PFH), which will be implemented until the end of 2013.

The hospital’s emergency services include 80 professionals, including administrative staff, ancillary, nurses and physicians. San José Tec de Monterrey’s emergency services are connected to other hospital services (which integrate a further 150 professionals) and to other external physicians (over two thousand) who use the services made available by the facility. Over two thousand professionals are already registered to work with ALERT®.

The following nine facilities are integrated in the Centro Médico Zambrano Hellion (CMZH), which belongs to the TecSalud Group, in Monterrey, Mexico.

On October 26, 2011, ALERT® OUTPATIENT went live at the Instituto de Cardiología y Medicina Vascular of the Centro Médico Zambrano Hellion. This Institute provides comprehensive ambulatory and inpatient care to a yearly average of ten thousand patients, and more than six thousand non-invasive procedures are performed there every year.

ALERT® OUTPATIENT went live on February 28, 2013, at the Instituto de Oftalmologia y Ciencias Visuales of the Centro Médico Zambrano Hellion. The Instituto de Oftalmologia y Ciencias Visuales (CMZH-IOF) provides diagnostic services and treatment for eye diseases. CMZH-IOF is one of the Centro Médico Zambrano Hellion (CMZH) facilities that provide highly specialized outpatient services. This eye care facility provides a wide range of clinical services (cataracts, eyelid plastic surgery, tear duct surgery, orbital surgery, refractive surgery, pediatrics, strabismus, among other).

ALERT® OUTPATIENT went live on April 23 and 25, 2013, at the Instituto de Cirugía and at the Instituto de Bienestar Integral, respectively.The Instituto de Cirugía (CMZH-IC) offers diagnoses and treatments in the specialties of general surgery, colorectal surgery, oncological surgery, vascular surgery and also covers eye, nose and throat and urology specialties.

ALERT® OUTPATIENT WENT LIVE AT NINE INSTITUTES AT CENTRO MÉDICO ZAMBRANO HELLION

The Instituto de Bienestar Integral offers a new healthcare service concept, which is based on integrating physical, mental and nutritional health in order to make healthcare more attractive and in accordance with patients’ likes and preferences. Besides having a physical, nutritional and psychological assessment or a relaxing massage, the patient can benefit from other supplementary services, such as: fitness, wellness (yoga, meditation), and integrating medicine (prenatal yoga, tai chi, acupuncture).

ALERT® OUTPATIENT went live on June 04 and 06, 2013, at the Instituto de Neurologia y Neurocirugía and the Instituto de Rehabilitación, respectively.The Instituto de Neurologia y Neurocirugía (CMZH-INN) offers diagnoses and treatments in the following specialties: neurology and neurosurgery (adults and pediatrics), algology, neurophysiology, neuropsychology, neuroradiology, neurosonology and other related specialties.

The Instituto de Rehabilitación (CMZH -IR) integrates a highly specialized medical team, which offers the best treatment for the recovery of patients with problems in the musculoskeletal, neurological, cardiac and vascular, respiratory and endocrine systems. Additionally, the facility treats patients who may need care for urogenital disabilities, with pain, cancer, burns, transplants or amputations.

ALERT® OUTPATIENT went live on July 22 and 25, at the Instituto de Medicina Interna and at the Centro de Manejo del Dolor, respectively.

The Instituto de Medicina Interna offers an integrated team of physicians of different specialties, as well as prevention, diagnosis and treatment of conditions in adults. The Centro del Manejo del Dolor tackles the pain in a medical, psychological and social perspective and includes rehabilitation and alternative medicine.

The Instituto de Pediatría went live with ALERT® OUTPATIENT on September 3, 2013. This facility has 35 physicians, processes over 700 episodes each week and offers various sub-specialties such as neonatology, gastroenterology, surgery, and ear, nose and throat.

ALERT® OUTPATIENT follows-up and provides clinical management support to professionals who see up to 40 patients a day. ALERT® is a very flexible solution with a high level of usability designed for healthcare professionals who need an agile tool to guarantee patient observation in a question of minutes.

The TecSalud Group of the Sistema Tecnológico de Monterrey integrates, besides the Centro Médico Zambrano Hellion (which comprehends 9 healthcare facilities), San José Tec de Monterrey Hospital, where ALERT® is already implemented.

The Sistema Tecnológico de Monterrey aims at promoting a new way of thinking in the scope of clinical practice in Mexico and investing in education and clinical research.

CMZH is an international institution affiliated to the Methodist International (global network of The Methodist Hospital in Houston, Texas, US).
