GENERAL.Unless otherwise agreed in writing these conditions of sale shall be deemed to be incorporated in to the contract of sale entered into by

LIQUID METERING INSTRUMENTS LTD (Hereinafter called “The Company”). The customers terms & conditions shall only be incorporated into the

contract if :

i) They are not inconsistent with “The Company’s” conditions of sale, and ii ) They have been accepted by “The Company” in writing.

ACCOUNTS AND PAYMENT.1) Accounts shall be opened at the discretion of “The Company”

2) The customer shall pay for the goods by the last day of the month following that in which the goods were supplied. Payment by this date

shall be nett monthly account, unless otherwise agreed in writing by the parties.

3) A maximum amount of credit allowable shall be set upon each account & “The Company” reserves the right to withdraw credit facilities upon

accounts exceeding the said limit.

4) “The Company” reserves the right to withdraw credit facilities on all overdue accounts.

5) All goods or materials supplied by “The Company” are to remain the property of “The Company” until payment is received in full for said goods.

All such goods and materials are at the sole risk of the customer and in the event of the same being damaged, destroyed or lost after delivery,

“The Company” is entitled to receive payment for the said goods in full.

PRICES AND CONDITIONS.1) Typing and clerical errors are subjected to correction.

2) All prices quoted shall be subjected to “Price ruling at date of supply” unless otherwise stated in writing.

3) A minimum order value of £15.00, excluding VAT is required on all orders accepted by the “The Company”

4) Any revision in price quoted shall be effective without prior notice to the customer.

5) “The Company” reserves the right to charge the customer for any additional costs incurred in obtaining or supplying goods or materials where

these occur either as a direct result of the customers instructions, or where they could not reasonably have been foreseen at the time the

quotation was given.

ORDERS AND DELIVERY.1) “The Company” reserves the right to charge the customer with all costs incurred on cancelled orders.

2) The time and date of delivery shall not be of the essence, unless otherwise agreed in writing by the parties.

3) In the absence of written information to the contrary the customers directions will be the sole basis for manufacture.

4) “The Company” shall not be liable for any loss or damage of any kind attributable to any delay in the performance of the contract on behalf of

“The Company” for whatever reason. The customer will keep “The Company” indemnified against any action, claim or demand arising from such

loss or damage.

5) The customers of “The Company” are experts in their own specialized fields and utilize the goods for a multitude of applications specific to their

business. To the best of “The Companys” knowledge the workability, reliability and accuracy of the goods is of the highest quality, but all goods

are supplied on the understanding that the customers will use their own specialised skill and judgement in assessing the fitness of the goods for

the intended use, results and level of performance which will be obtained therefrom.

6) “The Company” shall be under no liability to the customer in respect of any loss or defects in goods supplied, nor shall it be responsible for any

personal injury, damage or loss of any kind attributable to defects in such goods. The customer will keep “The Company” indemnified against any

such claim or demand arising from any such injury, damage or loss.

7) When delivery takes place at the customers premises, “The Company” or carrier, as the case may be, shall not be under any obligation to

provide any plant, power or labour, which in addition to “The Companys” or carriers personnel is required for loading or unloading.

Any assistance given beyond the usual place of delivery or collection shall be at the sole risk and expense of the customer, who will keep

“The Company” or carrier indemnified against any action, claim or demand which could not have been made if such assistance had not been given.

RETURNS. If rejecting any goods the customer shall specify the reason why and return the rejected goods within thirty days of the original invoice date, at

the expense of the customer unless, it has been agreed in writing between the parties that the necessary replacement or repair shall be carried

out by “The Company” at the customers premises.

Goods supplied cannot be returned for credit without written agreement by “The Company”

A minimum handling charge of 15% will be made on the value of the goods returned. Specially manufactured goods will not be accepted for credit.

SHORTAGE AND DAMAGE.1) The customer shall within fourteen days of the original invoice notify “The Company” in writing of any shortage or damage to the

goods supplied.

2) The customer shall ensure that a duly authorized person is in attendance to receive goods being delivered, and that a signature is obtained

to confirm receipt of goods.

3) It shall be deemed that where a customer fails to comply with 1 & 2 above, that all goods have been received in the correct amount and

in good condition.

WARRANTY. If any goods are reported faulty whilst covered under warranty the goods must be returned to “The Company” for inspection / validation

and repair.

The Contract shall be governed in all respects by English Law and can be subject to the jurisdiction of the English Courts.
