Pursuant to 11 U.S.C. §§ 330 and 331 and in accordance with the Order
Establishing Procedures for Interim Compensation and Reimbursement of Expenses of
Professionals, entered June 26, 2020 (the “Interim Compensation Order”),2 Kelley Drye &
Warren LLP (“Kelley Drye”) hereby submits its second monthly application (the “Application”)
for compensation for professional services rendered and reimbursement of expenses incurred as
lead counsel to the Official Committee of Unsecured Creditors (the “Committee”) of John
Varvatos Enterprises, Inc., et al., the above-captioned debtors and debtors-in-possession
(collectively, the “Debtors”), for the period from June 1, 2020 through and including June 30,
2020 (the “Application Period”). In support of its Application, Kelley Drye respectfully
represents as follows:
BACKGROUND
1. On May 6, 2020 (the “Petition Date”), each of the Debtors filed a

voluntary petition for relief under chapter 11 of the Bankruptcy Code with this Court. Since the
Petition Date, the Debtors have remained in possession of their assets and have continued to
operate and manage their businesses as debtors-in-possession pursuant to sections 1107(a) and
1108 of the Bankruptcy Code.
2. On May 18, 2020, the Office of the United States Trustee for Region 3
appointed a five-member Committee consisting of: (i) Tessa Knox, as the class representative of
the class action claimants; (ii) Vornado Realty Trust; (iii) Verde Garment Manufacturing
Limited; (iv) Meenakshi India Limited; and (v) L Industries Limited.3 The Committee selected
Kelley Drye & Warren LLP as its lead counsel and Potter Anderson & Corroon LLP (“Potter
Anderson”) as local counsel.
3. On June 12, 2020, Kelley Drye filed its application for an order approving
and authorizing the Committee to retain Kelley Drye as lead counsel nunc pro tunc to
May 19, 2020 (the “Retention Application”).4 On June 30, 2020, this Court entered an order
approving the Retention Application.5
4. Pursuant to the Interim Compensation Order, if no objection to a monthly
fee application is served within fourteen (14) days of filing the application, the respective
professional may be paid eighty percent (80%) of the fees and one hundred percent (100%) of
the expenses set forth in the applicable monthly fee application.
SUMMARY OF SERVICES RENDERED
5. Kelley Drye rendered professional legal services to the Committee
throughout the Application Period, including, but not limited to:

a. Analyze historic transactions involving the Debtors’ direct and indirect owners, Lion Capital and Lion/Hendrix Cayman Limited (collectively, “Lion”) for potential claims and causes of action.
b. Analyze Lion’s right and ability to credit bid for the Debtors’ assets, and potential revisions to the proposed sale to address the Committee’s concerns;
c. Draft a complaint and motion for standing to pursue claims against Lion, including to recharacterize Lion’s debt as equity;
d. Draft an objection to the sale of the Debtors’ assets to Lion, and conduct related research;
e. Resolve the Committee’s omnibus objection to the
Debtors’ DIP financing and bid procedures motions, and revise both orders to incorporate resolution;
f. Continue to negotiate the terms of alternative DIP financing
from a third-party bidder; and
g. Conduct regular telephonic meetings and provide email updates to the Committee regarding the general status of the case, the Debtors’ business operations, the marketing and sale process, the status of the complaint, standing motion, and sale objection, as well as other pleadings filed, and Kelley Drye’s ongoing negotiations with the Debtors regarding various pending matters.
SUMMARY OF SERVICES BY PROJECT
6. To assist the Court in its review of the fees requested in this Application,
Kelley Drye has divided its time entries into the project categories set forth below. The detail
attached hereto as Exhibit A identifies the attorneys and paraprofessionals that have rendered
services in each category, along with the number of hours for each individual and the total
compensation sought for each category.

Case Administration (Fees: $8,342.00 – Hours: 10.3)
7. This category represents time spent by Kelley Drye addressing general and
administrative matters attendant to the commencement of these cases. During the Application
Period, Kelley Drye revised its initial task list and critical dates chart, and regularly conferred
internally and with Potter Anderson regarding case strategy and immediate tasks to address in
these cases, including various tasks related to the sale process and the challenge to Lion’s credit
bid. Also during the Application Period, Kelley Drye prepared for and participated in the June
26 telephonic 341 meeting, and corresponded with individual committee members, and internally
regarding same.
Pleadings Review (Fees: $707.00 – Hours: 1.2)
8. This category represents time spent by Kelley Drye monitoring the case
docket and conducting initial reviews of pleadings. During the Application Period, Kelley Drye
reviewed various pleadings for case impact, including the notice of adjournment for the “second
day” hearing, the notice for the 341 meeting, the “second day” hearing agenda, and various
orders entered by the Court, including the final DIP financing order.
21. This category represents time spent analyzing the Debtors’ prepetition
acquisitions, debt restructurings, and potential claims against Lion. To facilitate the
Committee’s investigation, Kelley Drye drafted document requests and reviewed thousands of
pages of responsive discovery produced by Lion and the Debtors. Kelley Drye also regularly
conferred internally and with Lion and the Debtors regarding the timing of production and
additional information needed by the Committee to complete its investigation.
22. Kelley Drye also conducted extensive research into potential theories to
challenge Lion’s debt and prepared a memorandum to the Committee on potential claims and
causes of action. Simultaneously, Kelley Drye analyzed the scope and validity of Lion’s liens on
the Debtors’ assets and prepared an analysis of same.
23. Kelley Drye utilized the results of its document review and research to
prepare a complaint against Lion. The complaint sought (i) to recharacterize Lion’s liens as
equity, (ii) to avoid Lion’s prepetition liens in unencumbered cash and commercial tort claims,
and (iii) a declaratory judgment that the prepetition liens do not attach to the Debtors’ leasehold
interests, chapter 5 avoidance actions, and foreign intellectual property. Kelley Drye also began
preparing a motion seeking standing to pursue the Committee’s claims against Lion.
VALUATION OF SERVICES
24. Attorneys and paraprofessionals of Kelley Drye billed a total of 463.3

hours in connection with these cases during the Application Period. A detailed breakdown of the
hours spent and services performed are set forth in the attachments hereto.
25. The rates charged are Kelley Drye’s normal hourly rates for work of this
character and pursuant to the firm’s agreement with the Committee. The reasonable value of the
services rendered by Kelley Drye to the Committee during the Application Period is $335,525.00
26. At all relevant times, Kelley Drye has been a disinterested person as that
term is defined in section 101(14) of the Bankruptcy Code and has neither represented nor held
any adverse interest to the interest of the Committee.
27. Kelley Drye has reviewed the requirements of Local Bankruptcy Rule
2016-2 and believes that this Application complies with its requirements.
28. All services for which compensation is requested by Kelley Drye were
performed for or on behalf of the Committee, and not on behalf of the Debtors or other persons.
There is no agreement or understanding between Kelley Drye and any other persons, other than
members of the firm, for the sharing of compensation to be received for services rendered in
these cases.
29. In accordance with the factors enumerated in section 330 of the
Bankruptcy Code, the amount requested is fair and reasonable given (a) the complexity of these
cases; (b) the time expended; (c) the nature and extent of the services rendered; (d) the value of
such services; and (e) the costs of comparable services other than in a case under this title.
30. The fees billed for this Application Period total $335,525.00, and the
expenses incurred during this Application Period are $209.96. Pursuant to the proposed Interim
Compensation Procedures, if no objection is raised, the Debtors are authorized and directed to
pay Kelley Drye $268,420.00 (80% of the fees incurred during the Application Period) and

$209.96 (100% of the expenses incurred during the Application Period), for a total of
$268,629.96.
