General:ForpurposesoftheseTermsandConditionsofSale,NatusmeansNatusMedicalIncorporatedandallofitswholly-ownedsubsidiaries.UnlessNatushasaseparatewrittenagreementwithBuyer,theseTermsandConditionsofSaleandtheseparateNatusSoftwareLicenseAgreement(“NSLA”)constitutetheentireagreementbetweenNatusandBuyer.Anyadditionalordifferentterms,includingbutnotlimitedtothoseonBuyer’spurchaseorderorotherforms,areherebyobjectedtobyNatus.Natus’failuretoobjecttoprovisionscontainedinanycommunicationfromtheBuyershallnotbedeemedanacceptanceofsuchprovisionsorawaiverofthetermsandconditionscontainedherein.AnychangesinthetermsandconditionsofsalecontainedhereinmustspecificallybeagreedtoinwritingbyadulyauthorizedofficerofNatusbeforebecomingbindinguponNatus.IntheeventNatusandBuyerhaveexecutedandenteredintoacorporateaccountcontractcoveringBuyer’spurchaseofthegoods,thetermsandconditionscontainedinsuchagreementshalltakeprecedenceoverthoseherein.

2. PricesandTaxes:PricesareinU.S.dollars,unlessotherwisenoted.IrrespectiveofanypricesquotedbyNatusorlistedinBuyer’sorder,anorderisacceptedonlyatthepricesshownonthefaceofthisform.Pricesquotedforthetermsdescribedonthefaceofthisformarefirmandnotsubjecttore-determination.Pricesareexclusiveofanyotheramountincludingwithoutlimitationfeesforexport,customsduties,tariffs,specialpackaging,transportation,insuranceandallfederal,stateandlocalcharges,feesandexcise,sales,useandothertaxes.Anysuchamountincludingtaxes,feesorchargesimposedbyanygovernmentalauthorityon,ormeasuredby,thetransactionbetweenNatusandBuyerwillbepaidbyBuyerinadditiontothepricespecifiedherein.IntheeventthatNatusisrequiredtopayanyamountinadditiontothepricesonthefaceofthisform,BuyerwillreimburseNatustherefore.IfBuyerisexemptfromanysuchamount,BuyermustprovideNatuswithavalidexemption.

3. TermsandMethodofPayment:ProvidedthatBuyerestablishesandmaintainsopenaccountcredittoNatus’satisfactionandwithincreditlimitsestablishedbyNatus,theinvoicedamountshallbedueandpayableinfull30daysaftertheinvoicedate.Accountsoutstandingformorethan30dayswillbesubjecttoamonthlyservicechargeattherateof1.5%permonthorthemaximumamountpermittedbyapplicablelaw,whicheverisless.NatusmayterminateaBuyer’sopenaccountcreditatanytimewithoutadvancenoticetoBuyer.

4. Title,Shipment,DeliveryandRiskofLoss:Fordomesticdeliveries,alldeliveriesareF.O.B.pointofshipment.Forinternationaldeliveries,alldeliveriesareExWorkspointofshipment(Incoterms2000).Foralldeliveries,(i)deliverywillbedeemedtohaveoccurreduponmakingthegoodsavailabletoacarrierattheshippingpoint;(ii)titletothegoodsorderedwillpasstoBuyerupondeliveryofthegoodsbyNatustothecarrier.Freightandinsurancewillbeaddedtoinvoiceasaseparatelineitem.IntheeventofalossordamageofProductshipped,BuyershallbearcompleteandexclusiveresponsibilitytonotifyNatuswithin14daysandNatusshallprovidetheBuyerwithreplacementProductatnochargeandNatuswillreceiveanypaymentfromtheinsurer.Natusshallarrangeforandselectthemethodandrouteofshipment.Unlessotherwisespecified,thegoodswillbeshippedinstandardcommercialpackaging.Whenspecialorexportpackagingisrequested,orintheopinionofNatus,requiredunderthecircumstances,thecostofthesame,ifnotsetforthontheinvoice,willbeseparatelyinvoiced.WhileNatusmayprepaytransportation,insuranceandfreightcharges,allsuchchargesshallbepaidbyBuyerandBuyershallreimburseNatustherefore.Natusreservestherighttomakepartialdeliveriesandtoshipasproductbecomesavailable.Natuswilluseitsreasonablecommercialeffortstomeetestimateddeliverytimes,butNatusshallnotberesponsibleforanyamount,loss,damage,penaltyorliabilitysufferedbyBuyerasaresultofdelayinorfailuretodeliverthegoods.

5. Acceptance:Productshallbedeemedaccepteduponshipmentunlessitisshippedinerror.ProductshippedinerrorshouldbereturnedbynotifyingNatusandreceivingareturnauthorizationnumber.AcceptanceofProductsrequiringinstallationbyNatusshallbedeemedtohaveoccurredwhenNatushascompletedinstallationanddemonstratedtotheBuyerthattheProduct(s)is/are(a)operatingaccordingtoSpecificationsand(b)completelyreadyforclinicaluse.

6. LimitedProductWarranty:Productpurchasedhereundermaybesubjecttoalimitedproductwarrantythat,ifapplicable,accompaniesthegoodsandisavailableatwww.natus.comandisincorporatedhereinbyreference.

7. LimitationofLiability:NATUS’LIABILITYARISINGOUTOFORRELATEDTO(I)ANYGOODS;AND(II)THISAGREEMENTAND/ORSALESHALLBELIMITEDTOREFUNDOFTHEPURCHASEPRICEOFSUCHGOODS.INNOEVENTSHALLNATUSBELIABLEFORLOSTUSE,PROFITS,REVENUE,COSTOFPROCUREMENTOFSUBSTITUTEGOODS,ORANYOTHERSPECIAL,INDIRECT,RELIANCE,INCIDENTALORCONSEQUENTIALDAMAGESHOWEVERCAUSEDANDUNDERANYTHEORYOFLIABILITY.THEFOREGOINGLIMITATIONSSHALLAPPLYREGARDLESSOFWHETHERNATUSHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES,NOTWITHSTANDINGTHEFAILUREOFESSENTIALPURPOSEOFANYLIMITEDREMEDYANDREGARDLESSOFWHETHERSUCHDAMAGESARISEOUTOFTHIRD-PARTYCLAIMSAGAINSTBUYER.

8. Software/Firmware:PortionsofthegoodssuppliedareproprietarytoNatusandothers.BuyerisherebygrantedalicensetousethesoftwaresoldwiththegoodsonthetermscontainedintheNSLA.Natusandsuchentities,however,retainforthemselvesallrights,title,ownershipandinterestinandtoallproprietaryinformationandotherintellectualpropertyrightspertainingtoanygoodssold,includingwithoutlimitationworldwidecopyright,tradesecret,patent,trademarkandanyotherproprietaryrights.ThegoodsareofferedforsaleandaresoldbyNatussubjectineverycasetotheconditionthatsuchsaledoesnotconveyanylicense,expresslyorbyimplication,estoppelorotherwise,underanycopyright,tradesecret,patent,trademarkorotherproprietaryright,includinganyrightwithrespecttowhichNatuscangrantlicensescoveringcompleteequipment,oranyassembly,circuitcombination,methodorprocessinwhichanysuchgoodsareusedascomponents.Natusexpresslyreservesallitsrightsundersuchcopyrights,tradesecrets,patents,trademarksandotherproprietaryrights.BuyercovenantsthatBuyerwillnotandwillnotassistorencourageotherstoattempttodisassemble,peelsemiconductorcomponents,decompileorotherwisereverseengineeralloranyportionofthegoods.Buyershallnotmodify,reproduce,sublicense,distributeorcreatederivativeworksfromorotherwiseprovidetothirdpartiesthegoods,inwholeorinpart.

9. Bankruptcy:IfBuyer(i)becomesbankruptorinsolvent,(ii)compoundswithitscreditors,(iii)commencestobewoundup,or(iv)suffersareceivertobeappointed,NatuswillbeatlibertybynoticeinwritingtocancelthiscontractwithoutjudicialinterventionordeclarationofdefaultbyBuyerandwithoutprejudicetoanyrightorremedythatmayhaveaccruedormayaccruethereafter.

10. HealthInformation/Indemnification:Buyershallcomplywithalllaws,rulesandregulationsrelatingtotheconfidentialityofthephysicalormentalhealthorconditionofanindividual,theprovisionofhealthcaretoanindividualorpaymentfortheprovisionofhealthcaretoanindividual.BuyershallindemnifyanddefendNatusinrespectofandholdNatusharmlessagainstanyandalldebts,obligationsandotherliabilities(whetherabsolute,accrued,contingent,fixedorotherwise,orwhetherknownorunknown,ordueortobecomedue,orotherwise),monetarydamages,fines,fees,penalties,interestobligations,deficiencies,lossesandexpenses(includingwithoutlimitationamountspaidinsettlement,interest,courtcosts,costsofinvestigators,feesandexpensesofattorneys,accountants,financialadvisorsandotherexperts,andotherexpensesoflitigation)incurredorsufferedbyNatusoranyaffiliatethereofresultingfrom,arisingoutof,relatingtoorconstitutinganyallegationthatBuyer’sactorfailuretoactisaviolationofsuchlaws,rulesorregulations,orthatsuchactorfailuretoactcausedorcontributedtoNatus’violationofsuchlaws,rulesorregulations.

11. ExcusableDelays:IftheperformanceofanyobligationofNatusisprevented,restrictedorinterferedwithbyreasonofanyactorconditionwhatsoeverbeyondNatus’reasonablecontrol(includingwithoutlimitation,strike,fire,riot,war,rebellion,insurrection,actsofGod,failureorshortageoftransportation,materialsorfacilities,orgovernmentalregulations),Natusupongivingpromptnoticeshallbeexcusedfromsuchperformancetotheextentofsuchprevention,restrictionorinterference.

12. General:Noneofthegoodsorunderlyinginformationortechnologymaybeexportedorreexported,directlyorindirectly,contrarytoanylaworexportcontrol.THESETERMSANDCONDITIONSAREGOVERNEDBYTHELAWSOFTHESTATEOFCALIFORNIA,WITHOUTREFERENCETOCONFLICTOFLAWPRINCIPLES.ThefederalandstatecourtswithintheStateofCaliforniawillhaveexclusivejurisdictiontoadjudicateanydisputearisingoutoftheseTermsandConditionsofSale.TheseTermsandConditionsofSalemaynotbemodified,supplemented,qualifiedorinterpretedbyanytradeusageorpriorcourseofdealingnotmadeapartofthecontractbyitsexpressterms.TheinvalidityorunenforceabilityofanyprovisionhereinshallnotaffectthevalidityoftheseTermsandConditionsofSaleasawholeandanysuchprovisionshouldbeenforced,andreconstructedifneedbe,toapplytothemaximumextentallowable.ThefailureofNatustoenforceatanytimeanyoftheprovisionsherein,toexerciseanyelectionoroptionprovidedhereinortorequireatanytimetheperformanceofanyoftheprovisionshereinwillnotbeconstruedasawaiverofsuchprovisions.TheBuyershallnotassignthisagreementortheNSLAwithoutthepriorwrittenconsentofNatus.

13. NotificationofDiscount:Buyer’spricepaidtoNatusforgoodsorserviceshereunder,orNatus’provisionofgoodsorservicestoBuyer,particularlypursuanttoanypromotionalProgramorotherdiscount,mayconstitutea“discountorotherreductioninprice”forpurposesofthefederalanti-kickbackstatute,42USC§1320a-7b(b).Totheextentrequiredbythestatuteorbythediscountsafeharborregulationsat42CFR§1001.952(g)-(h),aBuyerhospitalwillberesponsibleforfullyandaccuratelyreportinginapplicablecostreportsandprovidinginformationuponrequesttoMedicare,Medicaidandotherfederalhealthcareprogramsonalldiscountsorotherpricereductionsprovidedunderthisagreement.Consistentwiththediscountsafeharbors,NatuswillinformaBuyerhospitalofthepricereductionofanyitemspurchasedoranyfreeitemsitprovidestoahospitalaspartofanysimilarprogramandalsowillinformahospitalofthepricediscountsrelatedtothepurchaseofNatusproductsorservices.
