Page 1 of 4 The council Business meeting of the Borough Council of the Borough of Caldwell was called to order in the Council Chambers at 7:00PM. PRESENT: Mayor Dassing, Council President O’Donnell, Councilman Hauser, Durkin Capozzoli,

Brown and Cascarano ALSO PRESENT: Deputy Clerk, Lisa O’Neill, Borough Administrator, Paul Carelli and Borough

Attorney, Greg Mascera Adequate notice of this Council Business/Conference meeting was given on January 1, 2015. Notice was posted on the bulletin board on the first floor of the Borough Hall, One Provost Square, Caldwell, New Jersey. Official newspapers of the Borough were notified of this meeting by mail. Notice was posted and all persons requesting notice were sent same. PLEDGE OF ALLIGENCE APPROVAL OF MINUTES: September 15, 2015 Moved by Council President O’Donnell, seconded by Councilman Cascarano. No Discussion. On roll call, all present voted in the affirmative. Minutes approved 10/06/15. Ann Marchioni, Environmental Commission on Saturday, October 17th at 8AM will be a work day and we have been selected as a team Home Depot event and they will be helping us with our pavers. She did look on their website and they help a lot with the veterans. In addition we received a grant from the Home Depot foundation that can be used to offset the cost of the pavers. There is a signup sheet and she welcomes everyone to come out even if it is just for an hour. PRESENTATION:

1. James Jorgensen Mayor and Council presented a proclamation to Mr. Jorgensen thanking him for all his service to the Borough of Caldwell. INTRODUCTION OF ORDINANCE: ORDINANCE #1313‐15: AN ORDINANCE AMENDING CHAPTER 130 OF THE CODE OF THE BOROUGH OF CALDWELL, BEING THE ORDINANCE GOVERNING THE OPERATION OF THE HISTORICAL RESERVATION COMMISSION Moved by Councilman Brown, seconded by Councilman Cascarano. No Discussion. On roll call, all present voted in the affirmative. Ordinance introduced on 10/06/15. ORDINANCE #1314‐15: AN ORDINANCE AMENDING CHAPTER 53, OF THE BOROUGH OF

10‐191: APPROVAL TO SUBMIT A GRANT APPLICATION AND EXECUTE A GRANT CONTRACT WITH THE NEW JERSEY DEPARTMENT OF TRANSPORTATION FOR THE WASHBURN PLACE – HANFORD PLACE – LINCOLN TERRACE IMPROVEMENTS PROJECT

10‐192: AUTHORIZING THE BOROUGH ADMINISTRATOR TO ADVERTISE AND RECEIVE BIDS FOR A SENIOR BUS FUNDED BY AN ESSEX COUNTY COMMUNITY DEVELOPMENT BLOCK GRANT IN THE AMOUNT OF $70,780 FOR THE CALDWELL-WEST CALDWELL-ROSELAND SENIOR TRANSPORTATION PROGRAM Moved by Councilman Cascarano, seconded by Councilman Brown. Discussions Ensued. On roll call, all present voted in the affirmative. Resolutions approved 10/06/15.

COUNCIL COMMITTEE REPORTS: Councilman Hauser reported on the senior transportation committee and the senior bus and it is his understanding that the process was held up by Roseland but the documents have been signed so the grant money will now be available. We will need to go out and bid for the bus the hope is to have the new bus for the seniors in January or February. There has been questions from the committee about the existing bus that we have and can it only be auctioned because there is discussion about fixing it up for recreational use. Greg Mascera responded it cannot be sold to a private party it would have to be auctioned. Paul Carelli responded when the salvage bag is less than $5000 the Council can render it obsolete then we can dispose of it but the value would be more in this particular case. Councilman Hauser responded that the ridership has increased both in Caldwell and West Caldwell. As for the recreation committee Councilman Brown, Mayor Dassing, Paul Carelli and himself met and they discussed somethings that will be in executive session which relates to grant money and the EVS project with West Caldwell. There is a meeting scheduled with West Caldwell on Friday, October 16th. OLD BUSINESS: 2015 School District Tax Analysis Paul Carelli did a presentation on the Tax Analysis. REPORT OF MAYOR: Mayor Dassing reported that there was a meeting about the Jitney which is the easy ride transportation and they are talking about possibly implementing for commuters to easily get Caldwell possibly West Caldwell and possibly Verona. She met with one of the relators in town who was one of the driving forces getting us survey results and so far we have 410 people in Caldwell, West Caldwell, North Caldwell, Roseland, Essex Fells and other towns who are interested in the service and would pay $2.50 each way and would buy and annual pass. The next step is to meet with the Easy Ride people to incorporate possibly Verona and Verona has done their own survey. The goal is to have the ticket revenue pay for the bus and the driver and hopefully there will be enough riders to be able to do that. They are looking to start in January if they have enough riders. The Mayor and Paul Carelli had a conference call with the See Click Fix people today and Paul responded that he has a conference call with their project manager on October 16th and this will help automate our problem solving efforts. Bob Bellasalma will be assisting and one of the DPW workers will also

Page 3 of 4 be trained and the goal is that we will be operating on December 1st. You will be able to go on line and get the app on your phone and start sending us what you see. REPORT OF BOROUGH ADMINISTRATOR: Mr. Carelli made a statement in regards to an anonymous flier that was distributed to the Caldwell residents. Paul Carelli reported on the following:

• Sewer plant clarifier replacement will be awarded on November 5, 2015. • The Re-val has been pushed off for one year. • The tax maps are being reviewed. • There will be money available from the County to have computers and filing cabinets in the Tax

office. • He turned the lights on in the tax office so everyone can take a look at the new office which is

completed. • Salary resolution was done this evening and he will be sitting with the employees to go over their

reviews. REPORT OF POLIC CHIEF: Chief Bongiorno reported that the Street Fair was uneventful. REPORT OF COUNTY LIAISON: Patricia Keenan reported that on Saturday, October 17th from 9AM-3PM there will be a recycling day for Computer and Electronics at 125 Fairview Avenue, Cedar Grove. OPEN PUBLIC MEETING: Moved by Councilman Cascarano, seconded by Councilman Capozzoli to open meeting to the Public. Joan Buckley, 16 Hillside Avenue, Caldwell spoke about the Historic Preservation ordinance and has some suggestions after discussion to be added to the ordinance. Greg Mascera responded that there is a distinction between identification and designation so only by consent can any landmark, structure, site anything you want to call it, it must be by consent. After discussion Greg Mascera will be revising the language in the ordinance. Kathryn Kusik Fernandez, 10 Cleveland Street, Caldwell wanted to let the Mayor and Council know that West Orange has a Jitney service already and they received a grant from the State. Ms. Fernandez talked about the speeding on her street. She asked what happens when fire hydrants are not cleared during a snow storm and Councilman Capozzoli said she needs to contact Mark Guiliano Property maintenance. Lon Bannett, 60 Crane Street, Caldwell is concerned about the administrator and is taken back by the jocular off handed approach by everyone. He has concerns about an administrator who is a Mayor in another town. Tom Intile, 19 Grover Lane, Caldwell has concerns about where the cars are going to be parking if they are using the Jitney service. He also talked about the transit traffic that comes out of West Caldwell is rather rapid traveling way beyond the limit that they should be going. Mr. Malfatano, 21 Personette Street, Caldwell thanked the Mayor and Council for contacting the appropriate people in getting the yard across the street cleaned up. Robert Doyle, Washburn Place, Caldwell at Academy Road’s stop sign while getting onto Bloomfield Avenue no one stops. His suggestion would be to put down speed bumps. Susie Von Lengerke, 28 Leaycraft Lane, Caldwell she is also concerned about the administrator’s dual employment. Hilda Moore, Personette Street, Caldwell talked about the street sinking across from the future meadow and there has been some items left there for months nothing has been fixed. She also spoke about the speeding on her street. Peter Heath, 60 Ravine Avenue, Caldwell asked where the administrator’s loyalty lies. Mayor Dassing explained that Mr. Carelli is the business administrator. On a motion made by Council President O’Donnell and seconded by Councilman Cascarano unanimously affirmed, the Council moved into Executive Session at 8:39P.M. Mayor Dassing read the following statement: BE IT HEREBY RESOLVED in accordance with the provisions of N.J.S.A. 10:12 and 13, the public shall be excluded from the Executive Session of the Governing Body which is being held for the discussion of the following subject matters: 1. Pending or anticipated litigation or contract negotiation; 2. Personnel matters; 3. This Executive Session shall continue for an indefinite period of time and

Page 4 of 4 upon termination of the Executive Session, the Governing Body may choose to resume the public portion of the meeting. The discussion, which shall be conducted in closed session, shall be disclosed upon termination of litigation or contractual matter, upon resolution of the personnel matter with consent of said person or persons and as provided by N.J.S.A. 4-12 but in no case later than two (2) years from this date. These minutes shall be available as soon as the matter is resolved or not later than two years hence. The Executive Session will be discussion of Mr. Carelli’s, review, contract negotiations with West Caldwell in regards to EVS field, possible litigation for Roseland sewer. The Executive Session was adjourned and upon a motion by Councilman Brown seconded by Councilman Capozzoli, the Council Business Conference Meeting was opened to the public and the press at 9:44PM. Greg Mascera reported that there was a resolution which we modified earlier this evening to increase Paul Carelli’s salary by $5,000.00 it was moved by Councilman Cascarano and seconded by Councilman Brown and there was a roll call and all Councilmen voted in favor. Councilman O’Donnell reported that we have a part-time parking enforcer who is looking to leave for full time in a different position in a different town. He is looking to stay on and even work as a crossing guard. Greg Mascera spoke to the Council and said we might want to think about changing the ordinance. There being no additional business to be conducted a motion to adjourn the meeting was made by Councilman Capozzoli, seconded by Councilman Cascarano unanimously affirmed by all members present, the meeting was adjourned at 9:54PM . TITLE:

AUTHORIZING A PROFESSIONAL SERVICE AGREEMENT WITH CREW ENGINEERS FOR PROVIDING CONSTRUCTION RELATED SERVICES FOR THE ELM ROAD, HATFIELD STREET, AND ERWIN PLACE ROAD IMPROVEMENTS FOR A NOT TO EXCEED FEE OF $25,400

WHEREAS, the Borough of Caldwell has a need to acquire engineering services as pursuant to the provisions of N.J.S.A. 19:44A-20.5 et seq.; and WHEREAS, the Borough Treasurer has determined and certified in writing that the value of the acquisition will exceed $17,500; and WHEREAS, Crew Engineers has submitted a proposal dated October 2, 2014 indicating that they will provide engineering services for the construction related services for Elm Road, Hatfield Street, and Erwin Place road improvements for a not to exceed fee of $25,400; and WHEREAS, Crew Engineers has completed and submitted a Business Entity Disclosure Certification which certifies that Crew Engineers has not made any reportable contributions to a political or candidate committee in the Borough of Caldwell in the previous one-year, and that the contract will prohibit Crew Engineers from making any reportable contributions through the term of the contract; and WHEREAS, the Chief Financial Officer has certified that funds are available pursuant to N.J.A.C. 5:30-5.4 NOW THEREFORE BE IT RESOLVED that the Borough of Caldwell authorizes the Borough Administrator to enter into a contract for the Borough of Caldwell as described herein; and BE IT FUTHER RESOLVED that the Business Disclosure Entity Certification and the Determination of Value be placed on file with this resolution; and BE IT FUTHER RESOLVED that the Local Public Contracts Law N.J.S.A. 40A:11-5(1), et seq. requires that the resolution authorizing the award of Contracts for Professional Services without competitive bids must be publicly advertised;

WHEREAS, the Borough of Caldwell advertised for and received bids for Emergency Power and Land Lease

Payments for Solar Power on December 30, 2014; and WHEREAS, the Borough of Caldwell received proposals from (1) proposer; and WHEREAS, this matter was reviewed by the Mayor and Council of the Borough of Caldwell; and WHEREAS, the lowest responsible bidder was PSE&G, 80 Park Plaza, Newark, New Jersey 07102 with a

bid of $0.045 per kWh-AC increasing 2.5% annually; and NOW THEREFORE, BE IT RESOLVED, that Borough Council of the Borough of Caldwell, New Jersey does hereby authorize a lease agreement for Emergency Power and Land Lease Payments for Solar Power to PSE&G, 80 Park Plaza, Newark, New Jersey 07102 BE IT FURTHER RESOLVED by the Borough Council of the Borough of Caldwell that the Borough Administrator is authorized to execute the necessary contracts and documents upon approval.
