Profil Perusahaan Company Profile

Tentang Alam SuteraPT Alam Sutera Realty Tbk (Perusahaan) didirikan pada tanggal 3 Nopember 1993 dengan nama PT Adhihutama Manunggal oleh Harjanto Tirtohadiguno beserta keluarga yang memfokuskan kegiatan usahanya di bidang properti. Perusahaan mengganti nama menjadi PT Alam Sutera Realty Tbk dengan akta tertanggal 19 September 2007 No. 71 dibuat oleh Misahardi Wilamarta, S.H., Notaris di Jakarta. Pada 18 Desember 2007, ASRI menjadi perusahaan publik dengan melakukan penawaran umum di Bursa Efek Indonesia. Setelah lebih dari 18 tahun sejak didirikan, Perusahaan telah menjadi pengembang properti terintegrasi yang memfokuskan kegiatan usahanya dalam pembangunan dan pengelolaan perumahan, kawasan komersial, kawasan industri, dan juga pengelolaan pusat perbelanjaan, pusat rekreasi dan perhotelan (mixed used development).

Alam Sutera in BriefPT Alam Sutera Realty Tbk (Company) was established on 3 November 1993 under the name of PT Adhihutama Manunggal by Harjanto Tirtohadiguno and family who focus their business activities in the property sector. The Company changed its name to PT Alam Sutera Realty Tbk by Deed dated 19 September 2007 No. 71 made by Misahardi Wilamarta, SH, Notary in Jakarta. On December 18, 2007 ASRI became a public company with a public offering in Indonesia Stock Exchange.

After more than 18 years since its founded, the Company has essentially become an integrated property developer that focuses its business activities in the development and management of residential area, commercial areas, industrial estates, and also the management of shopping centers, recreation centers and hospitality (mixed used development).

Pada tahun 1994, Perusahaan mulai mengembangkan proyek pertama di sebuah kawasan terpadu bernama Alam Sutera yang terletak di Serpong, Tangerang. Pengembangan tahap pertama dari Alam Sutera sudah selesai dilakukan, dan saat ini Perusahaan memfokuskan untuk pengembangan tahap kedua yang lebih menitikberatkan kepada pembangunan area komersial. Seiring dengan pengembangan Alam Sutera tahap kedua, pada tahun 2011 Perusahaan juga mulai mengembangkan sayapnya dengan melakukan pengembangan proyek di daerah Pasar Kemis, Tangerang.

In 1994, the Company began developing the first project in an integrated area named Alam Sutera which located in Serpong, Tangerang. Development of the first phase of Alam Sutera has been completed, and now the Company is focusing on development of the second phase which is more focused on the development of the commercial areas. Along with the development of the second phase of Alam Sutera, in 2011 the Company also began to spread their wings by developing projects in Pasar Kemis, Tangerang.

Kilas Balik Perusahaan Company MilestonePencapaian Perusahaan dalam bidang properti di Indonesia dapat ditelusuri 39 tahun yang lalu di awal tahun 1970an. The Companys operating track record in the Indonesian property sector can be traced back 39 years to the early 1970s.

1984AGR memperoleh hak pengembangan untuk lahan di Serpong yang kini menjadi lokasi perumahan Alam Sutera.

1973PT Alfa Goldland Realty (AGR), Perusahaan yang saat ini memiliki dan mengelola sebagian dari kawasan Alam Sutera, didirikan dan dibentuk oleh keluarga Bapak Harjanto Tirtohadiguno. PT Alfa Goldland Realty (AGR), The Company that currently owns and manages in part of the Alam Sutera Township, was founded and established by the family of Mr. Harjanto Tirtohadiguno.

AGR was granted development rights of land in Serpong which is now the location of Alam Sutera Township.

1993Didirikan dengan nama Adhihutama Manunggal. PT Established under the name PT Adhihutama Manunggal.

1990Memulai pembebasan lahan di Pasar Kemis, Tangerang. Commenced land acquisition in Pasar Kemis, Tangerang.

1994Peluncuran perdana Alam Sutera, lebih dari 1.100 unit hunian terjual dalam waktu dua minggu. Alam Sutera Township was launched and over 1,100 residential unit were sold within two weeks.

1978AGR sukses mengembangkan proyek pertama perumahan yaitu Taman Alfa Indah di daerah Jakarta Barat. AGR successfully develop its first residential project, Taman Alfa Indah located in West Jakarta.

2009Akses jalan tol ke Alam Sutera dari Jakarta-Merak dan Flavor Bliss tahap pertama secara resmi dibuka. Direct toll road access to Alam Sutera township from the JakartaMerak Toll Road and phase 1 of Flavor Bliss was officially opened.

2007PT Adhihutama Manunggal berganti nama menjadi PT Alam Sutera Realty Tbk. ASRI tercatat di Bursa Efek Indonesia. PT Adhihutama Manunggal changed its name to PT Alam Sutera Realty Tbk. ASRI was listed on the Indonesia Stock Exchange.

2010Pembukaan Pasar 8, sebuah kompleks pasar modern dan T8, sebuah kawasan gudang multiguna. Pemancangan awal Mall @ Alam Sutera, Apartemen Silkwood Residences, dan Gedung Perkantoran.

1994 2002Memperoleh hak pengembangan untuk tambahan lahan di Serpong. Acquired development rights for an additional of land in Serpong.

Pasar 8 a modern market complex and T8 a multi-purpose warehouse zone was officially opened. Multiple groundbreaking of Mall @ Alam Sutera, Silkwood Residences Apartment, and Office Tower.

2007-2008Meluncurkan serangkaian perumahan dan ruko. area Launched a series of residential clusters and shophouses.

Perusahaan membeli 6 hektar lahan di Sanur, Bali dan juga mulai memasarkan proyek di Pasar Kemis.

2011

1998Perusahaan berhasil melewati krisis ekonomi yang melanda Indonesia. The Company successfully weathered the economic crisis that hit Indonesia.

The Company acquire 6 hectares of landbank in Sanur, Bali and also commenced to market the project in Pasar Kemis.

Persediaan tanah seluas1.104.139m2(2011),1.790.726 m2(2010),1.645.591 m2 (2009) yang terletak di Kecamatan Serpong, Tangerang dan Kecamatan Cibitung, Bekasi telah dijadikan jaminan atas pinjaman Perusahaan dan Entitas Anak - PT Alfa Goldland Realty (lihat catatan 17). Pada tanggal 23 Maret 2009 telah terjadi kebakaran atas beberapa unit ruko milik PT Nusa Raya Mitratama (Entitas Anak) yang terletak di Cibitung, Bekasi dengan kerugian diperkirakan sebesar Rp 1,2 milyar. Atas kejadian ini Entitas Anak telah mengajukan klaim kepada perusahaan asuransi, dan telah menerima seluruh klaim tersebut. Selama tahun-tahun yang berakhir pada tanggal 31 Desember 2011, 2010 dan 2009 beban pinjaman masing-masing sebesar Rp 1.365.994.162, Rp 50.062.736.609 dan Rp 77.727.912.293 dikapitalisasi ke dalam persediaan.

Land inventories for an area of 1,104,139sq. m (2011),1,790,726sq. m (2010),1,645,591 sq. m (2009) located in Kecamatan Serpong and Kecamatan Cibitung, Bekasi have been pledged as collateralsfor the loan obtained by the Company and Subsidiary - PT Alfa Goldland Realty (see note 17). As at 23 March 2009, there was fire on several shophouses owned by PT Nusa Raya Mitratama (Subsidiary) located in Cibitung, Bekasi with an approximate loss of Rp 1.2 billion. On this event the Subsidiary submitted a claim to the insurance company, and received all this claim.

During the years ended 31 December 2011, 2010 and 2009, borrowing costs amounting to Rp 1,365,994,162, Rp 50,062,736,609 and Rp 77,727,912,293, respectively, were capitalized into inventories.

Persediaan (lanjutan) Dalam bangunan dalam penyelesaian per 31 Desember 2011 sebesar Rp 307.400.904.453 merupakan bangunan dalam penyelesaian - rumah, ruko dan gedung perkantoran yang berlokasi di Alam. Perusahaan dan Entitas Anak telah mengasuransikan persediaan unit bangunan kepada PT (Persero) Asuransi Ekspor Indonesia dengan jumlah pertanggungan sebesar Rp 8.415.375.000. From that total area, 4,678,180 sq.m have been in the name of the Company, while the remaining areas are still in the form of Letter of Right Release (Surat Pelepasan Hak) or Sale and Purchase Bounded Agreement (Perjanjian Pengikatan Jual Beli). Up to the date of these financial statements, the Company is still processing the Building Usage Right Certificate (Sertifikat Hak Guna Bangunan), gradually. Addition of land area at Kecamatan Denpasar Selatan, Bali, representsland transferredfrom advance for land purchase to PT Minami Indonesia - related parties for area of 61,364 sq.m into land for development. Aset tetap (lanjutan) Pada 31 Desember 2011, 2010 dan 2009, pekerjaan dalam penyelesaian - bangunan dan prasarana merupakan pekerjaan pembangunan mal @ Alam Sutera dan kantor estat yang terletak di lokasi perumahan Alam Sutera. Grup memiliki aset tetap - tanah yang terletak di Tangerang dengan hak legal berupa Hak Guna Bangunan, berjangka waktu 20 - 30 tahun yang akan jatuh tempo antara tahun 2027 dan 2028. Manajemen berpendapat tidak terdapat masalah dengan perpanjangan hak atas tanah karena seluruh tanah diperoleh secara sah dan didukung dengan bukti pemilikan yang memadai.

Fixed assets (continued) As of31 December 2011, 2010 and 2009, construction in progress - building and infrastructure represent construction of mall @ Alam Sutera and estate office located in Alam Sutera real estate. The Group owns fixed assets - land located in Tangerang with legal right as Building Usage Right Certificate (Sertifikat Hak Guna Bangunan) for period between 20 - 30 years which will due between year 2027 and 2028. Management believes that there will be no problem with the process of extension ofthe Building Usage Right Certificate asthe land was acquired legally and supported by adequate ownership evidence. All fixed assets owned are in the name the Company and Subsidiaries. In project in progress - mall @ Alam Sutera there is a capitalization of interest expense for the years ended 31 December 2011, 2010 and 2009 amounted to Rp 4.443.818.336, Nil and Nil, respectively.

Seluruh aset tetap yang dimiliki adalah atas nama Perusahaan dan Entitas Anak. Dalam pekerjaan dalam pelaksanan - mal @ Alam Sutera terdapat kapitalisasi beban bunga pinjaman untuk tahun yang berakhir pada tanggal-tanggal 31 Desember 2011, 2010 dan 2009 masing-masing sebesar Rp 4.443.818.336, Nihil dan Nihil. Beban penyusutan untuk tahun yang berakhir pada tanggal-tanggal 31 Desember 2011, 2010 dan 2009 masing-masing sebesar Rp 3.469.375.856, Rp 2.591.576.812 dan Rp 2.050.748.502 dicatat sebagai beban umum dan administrasi. Pengurangan aset tetap merupakan penjualan aset dengan rincian sebagai berikut :

Utang bank (lanjutan) Entitas Anak - PT Alfa Goldland Realty memperoleh fasilitas kredit dari Bank Mandiri berdasarkan perjanjian restrukturisasi kredit modal kerja No : KP CRG/007/PK-KMK/2006, dengan akta No. 29 tanggal 18 Oktober 2006 oleh Notaris Ny. Erly Soehandjojo SH., disetujui untuk merestrukturisasi pinjaman dengan cara menurunkan pagu kredit dan menggabungkan fasilitas kredit investasi I (KI - 1) dan II (KI - 2) menjadi fasilitas kredit modal kerja yang bersifat Aflopend dengan limit sebesar Rp 594.105.071.613, jangka waktu 6 tahun sampai dengan triwulan 4 tahun 2012. Tingkat bunga 11% per tahun. Tunggakan bunga yang dijadwalkan (TBYD) Seluruh tunggakan bunga dan denda atas fasilitas K1 - 1 dan K1 - 2 yang timbul sampai dengan tanggal efektif perjanjian, yakni sebesar Rp 38.935.525.637 dibukukan sebagai tunggakan bunga yang dijadwalkan (TBYD). Jangka waktu sampai dengan tahun 2012, tanpa dikenakan bunga. Tunggakan denda sebesar Rp 1.816.296.372 akan dihapuskan pada akhir jangka waktu kredit. This Facility has been extended up to 11 August 2010. This facility was settledin 2010. Based on credit agreement No. 18 dated 30 November 2009, the Subsidiary - PT Alfa Goldland Realty obtained a demand credit facility (KAP II) amounting to Rp 40,000,000,000 with due date on 11 Agustus 2010, interest rate 15% per annum (floating). Colateral are nine parcel of land located at industry area MM 2100, Desa Cikedokan, Kecamatan Cikarang, Bekasi, Jawa Barat. In the name of PT Bekasi Fajar Industry Estate. This facility was settledin 2010. Based on deed of credit agreement by notary Ina Susiani Dengah, SH., No. 01 dated 2 February 2010, the Company obtained credit facility amounting to Rp 30,000,000,000 in form of working capital credit with credit on demand, period of 12 months, interest rate 13.5% per annum. Berdasarkan perjanjian kredit No. 02857 tanggal 16 Desember 2009, Perusahaan memperoleh fasilitas time loan revolving maksimal sebesar Rp 40.000.000.000, jangka waktu sampai dengan 5 Maret 2010. Tingkat bunga sebesar suku bunga rekening giro BCA yang diserahkan sebagai agunan ditambah 0,75% pertahun. Fasilitas ini telah dilunasi pada tahun 2010. Perusahaan memperoleh pinjaman dari PT Bank Central Asia Tbk sebesar Rp 30 milyar pada tanggal 5 Januari 2010 berdasarkan akta perjanjian kredit No. 20 tanggal 9 Desember 2009 oleh notaris Dr. Fulgensius Jimmy Hardjo Lukito Tjhe, SH., berupa fasilitas installment loan maksimal sebesar Rp 30 milyar, jangka waktu sampai dengan 5 Januari 2012, tingkat bunga 12% per tahun (mengambang). Jaminan berupa 33 bidang tanah seluas 31.446 m2 yang terletak di Perumahan Alam Sutera, Jl. Raya Serpong, Tangerang, Banten atas nama PT Alam Sutera Realty Tbk. Saldo atas fasilitas ini per 31 Desember 2011, 2010 dan 2009 masing-masing sebesar Rp 1.544.915.782, Rp 19.547.585.928 dan nihil. Berdasarkan perjanjian kredit No. 03051 tanggal 5 November 2010, Perusahaan memperoleh fasilitas time loan revolving, maksimal sebesar Rp 100.000.000.000. Saldo pinjaman per 31 Desember 2011 dan 2010 masingmasing sebesar Rp 30.000.000.000 dengan jaminan berupa blokir rekening giro di PT Bank Central Asia Tbk sebesar Rp 30.000.000.000, jangka waktu sampai dengan 5 November 2011. Tingkat bunga sebesar 11,75% per tahun. Fasilitas ini telah dilunasi pada bulan Oktober 2011.

PT Bank Central Asia Tbk Based on credit agreement No. 01251 dated 29 May 2009, the Company obtained time revolving loan facility for maximum amount of Rp 30,000,000,000, for period of 9 May 2009 until 5 March 2010. Interest rate of 9.25% per year. Collateral is time deposit amounting to Rp 30,000,000,000 on behalf of PT Alam Sutera Realty Tbk. This facility was settled in 2010.

Based on credit agreement No. 02857 dated 16 December 2009, the Company obtained time revolving loan facility for maximum amount of Rp 40,000,000,000, the period up to 5 March 2010. Interest rate at BCA current account interest rate which submitted as collateral plus 0.75% per annum. This facility was settled in 2010. The Company obtained loan from PT Bank Central Asia Tbk amounting to Rp 30 billion at 5 January 2010 based on deed of credit agreement No. 20 dated 9 December 2009 by notary Dr. Fulgensius Jimmy Hardjo Lukito Tjhe, SH., as installment loan facility for maximum amount of Rp 30 billion, period up to 5 January 2012, interest rate 12% per annum (floating).
