Antitrust Compliance Guidelines I. General It is NERC’s policy and practice to obey the antitrust laws and to avoid all conduct that unreasonably restrains competition. This policy requires the avoidance of any conduct that violates, or that might appear to violate, the antitrust laws. Among other things, the antitrust laws forbid any agreement between or among competitors regarding prices, availability of service, product design, terms of sale, division of markets, allocation of customers or any other activity that unreasonably restrains competition. It is the responsibility of every NERC participant and employee who may in any way affect NERC’s compliance with the antitrust laws to carry out this commitment. Antitrust laws are complex and subject to court interpretation that can vary over time and from one court to another. The purpose of these guidelines is to alert NERC participants and employees to potential antitrust problems and to set forth policies to be followed with respect to activities that may involve antitrust considerations. In some instances, the NERC policy contained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant or employee who is uncertain about the legal ramifications of a particular course of conduct or who has doubts or concerns about whether NERC’s antitrust compliance policy is implicated in any situation should consult NERC’s General Counsel immediately. II. Prohibited Activities Participants in NERC activities (including those of its committees and subgroups) should refrain from the following when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, conference calls and in informal discussions):

• Discussions involving pricing information, especially margin (profit) and internal cost information and participants’ expectations as to their future prices or internal costs.

• Discussions of a participant’s marketing strategies.

• Discussions regarding how customers and geographical areas are to be divided among competitors.

• Discussions concerning the exclusion of competitors from markets.

• Discussions concerning boycotting or group refusals to deal with competitors, vendors or suppliers.

• Any other matters that do not clearly fall within these guidelines should be reviewed with NERC’s General Counsel before being discussed.

III. Activities That Are Permitted From time to time decisions or actions of NERC (including those of its committees and subgroups) may have a negative impact on particular entities and thus in that sense adversely impact competition. Decisions and actions by NERC (including its committees and subgroups) should only be undertaken for the purpose of promoting and maintaining the reliability and adequacy of the bulk power system. If you do not have a legitimate purpose consistent with this objective for discussing a matter, please refrain from discussing the matter during NERC meetings and in other NERC-related communications. You should also ensure that NERC procedures, including those set forth in NERC’s Certificate of Incorporation, Bylaws, and Rules of Procedure are followed in conducting NERC business. In addition, all discussions in NERC meetings and other NERC-related communications should be within the scope of the mandate for or assignment to the particular NERC committee or subgroup, as well as within the scope of the published agenda for the meeting. No decisions should be made nor any actions taken in NERC activities for the purpose of giving an industry participant or group of participants a competitive advantage over other participants. In particular, decisions with respect to setting, revising, or assessing compliance with NERC reliability standards should not be influenced by anti-competitive motivations. Subject to the foregoing restrictions, participants in NERC activities may discuss:

• Reliability matters relating to the bulk power system, including operation and planning matters such as establishing or revising reliability standards, special operating procedures, operating transfer capabilities, and plans for new facilities.

• Matters relating to the impact of reliability standards for the bulk power system on electricity markets, and the impact of electricity market operations on the reliability of the bulk power system.

• Proposed filings or other communications with state or federal regulatory authorities or other governmental entities.

Matters relating to the internal governance, management and operation of NERC, such as nominations for vacant committee positions, budgeting and assessments, and employment matters; and procedural matters such as planning and scheduling meetings.

Heidrich noted that the Standards Committee (SC) appointed him as the Chair and Ben Li as the Vice-Chair of the SCPS at their December 2015 meeting. The SCPS reviewed the roster and S. Crutchfield will update it and provide to the team for review. B. Li suggested that we coordinate the request for additional members with the Project Management and Oversight Subcommittee (PMOS). P. Heidrich will request additional members at the January 20, 2016 SC meeting.

4. NERC Standard Processes Manual (SPM) Revision Project - P. Heidrich led a discussion regarding the coordination of several SPM revision projects. The SCPS will propose taking the lead on revisions to sections 6, 7 and 11 of the NERC Rules of Procedure to the SC at the January 20, 2016 SC meeting. P. Heidrich and B. Li will co-lead the effort with coordinated postings of revisions. Andrew Wills noted that the SPM revision process follows the standards development process and will require a 45-day posting for each revised section. It was also suggested that this be coordinated with Lacey Ourso (NERC Standards) regarding a related project to revise defined terms within the SPM.

• NERC ROP provides a process for submission of requests to revise the NERC ROP (and any Appendices) and for Board approval of those revisions, but it does not mandate:

How those revisions should be considered by industry, What level of support is necessary, or What level of coordination is required to make a formal request to the

Board.

• NERC ROP reference the formal process memorialized in the NERC Bylaws for revisions to ROP, which states that the revisions must be posted for “formal comment period of forty-five (45) days.”

• The SPM provides the most specific requirements for revising provisions of the SPM:

The revisions must be posted for a 45-day comment period (that may simultaneously satisfy the requirements for public comment under the ROP, the Bylaws, and the SPM).

After this initial comment period, the revision must be balloted using the Commission-approved standard balloting process as defined in Section 4.0 of the NERC SPM.

Note: NERC Legal will have to vet each SPM revision with ANSI after the initial posting to ensure that we can make these amendments while still maintaining our ANSI accreditation.

Revisions to NERC Standard Processes Manual (SPM)

• Post for 45-day formal comment period and ballot. Along with this posting, the SC (or its proxy) should post the clean and redline versions of the ROP and a separate concise statement of the basis and purpose and rationale for each proposed revision. The ballot pool will be formed during the first 30 days of this formal comment period; the ballot window will take place during the last 10 calendar days.

• NOTE: Because this comment period is open to all stakeholders and not just members of the Registered Ballot Body, this 45 day formal comment satisfies the requirements under the NERC Bylaws, the NERC ROP, and the NERC SPM (Appendix 2A of the NERC ROP) for ROP amendments. Notice of this comment period and ballot will be cross-posted to NERC’s ROP page and sent through several NERC listservs and communication channels to ensure broad distribution to stakeholders.

Revisions to NERC Standard Processes Manual (SPM)

• End of 45-day formal comment period and ballot.

• NOTE: Assuming no substantial comments or substantive revisions are made, the ROP revisions can go to Final Ballot. Per Sections 4.12 and 4.13 of the SPM, “a drafting team must respond in writing to every stakeholder written comment submitted in response to a ballot prior to conducting a Final Ballot” unless significant revisions are necessary and the standard will be posted for an Additional Ballot.

• If substantial changes are necessary, the changes would need to be posted for another 45-day comment period and ballot. Section 15.0 of the NERC SPM states that the ballot procedure shall be the same as that defined for approval of Reliability Standards, “including the use of an Additional Ballot if needed.” If this is the case, redlines should be prepared, and these revisions would not be possible for the February Board of Trustees meeting.

In progress. The scope for this task was approved by the Standards Committee in June 2014.

Further development on hold pending discussion with NERC staff. Next step will be to schedule meeting with NERC staff to communicate further detail on the high-level concepts that were previously provided to NERC staff and further coordinate on concepts.

The Standards Committee, at its December 9, 2015 meeting, endorsed the proposed concept and the proposed next steps.

To review existing drafting team resource documents under the Standards Committee’s purview, and to develop a single resources document to be used in conjunction with the Drafting Team Manual to assist the drafting teams in performing their tasks:

b. Consolidate the remaining documents on a consistent template and add in version control, and make the associated changes to the NERC Resources webpage

c. Final review and update of SC endorsed documents.

Scope of the project was revised to reflect a Cost of Risk Reduction Analysis (CRRA) approach. Endorsed at Sept. 23, 2015 Standards Committee meeting.

SCPS continue working with Standards Leadership to evaluate this item and determine next steps.

A draft document has been presented to H. Gugel for review. The MRC may need to review some of the issues contained within the document. H. Gugel stated that the NERC Board and others may request input from the MRC, and that NERC staff is currently working to determine the mechanism by which this should occur.

4. Process to improve the effectiveness of balloting

b. Managing situations where a quorum is not reached by the end of a ballot such that balloting can be conducted in the most effective and efficient manner.

SCPS planning to continue monitoring the process until sufficient data is available to adequately evaluate the new Standards Balloting System. Standards Information developed a SBS quick-reference guide that will be used to further train industry on the balloting process. The document, developed for new and existing voters, has been distributed to a small group for review.

5. SPM use of prompt and substantive
