COMMERCIAL LEASE AGREEMENT
1riL-<--.This Copmercial Lease Agreement (this Agreement) is made this dayof . wD2018, by and between Cheyenne Little Theatre Players, an entitywith its principal place of business at 2706 E Pershing Blvd., Cheyenne, WY82001 (“Landlord”) and Mary Godfrey Playhouse, an entity with its principal placeof business at 2706 E Pershing Blvd., Cheyenne, WY 82001 (“Tenant”). Inconsideration of the mutual covenants herein contained, the parties agree asfollows:
1. Premises. The Premises lease shall consist of the building orcomplex located at 2706 E Pershing Blvd., Cheyenne, WY 82001 (the“Premises”).
2. Parking Spaces. Landlord agrees that Tenant, including its guests,employees, agents, and customers, has the right to use any of the parkingspace(s) located at the Premises.
3. Agreement to Lease. Landlord agrees to lease to Tenant and Tenant agreesto lease from Landlord, the Premises according to the terms and conditions ofthis Agreement.
a) Special Use. Landlord approves that alcoholic beverages may be sold onthe Premises.
4. Term of Lease. The term of this Lease (“Term”) shall be for five (5) years andtwo (2) months (or until sooner terminated as herein provided), commencing onJanuary 1, 2019 (“Commencement Date”) and ending at midnight on March 31,2024 (“Termination Date”).
a) Renewal. Provided Tenant is not in default in the performance of thisLease, Tenant shall have the option to renew the Lease for 2 additional Term(s)commencing on the expiration of the initial Lease Term. All of the terms andconditions of the Lease shall apply during each renewal Term.
b) Notice of Renewal. The option shall be exercised by written notice given toLandlord not less than 30 days prior to the expiration of the prior Lease Term. Ifnotice is not given in the manner provided herein within the time specified, thisoption shall lapse and expire.

5. Rental. With respect to the terms of the rental:
a) Base Rent. Tenant shall pay to Landlord, from the Commencement Date,a base for the entire lease agreement, five (5) years and two (2) months, equal to$100.00 (hereafter called “Base Rent”).
b) Rental Delivery. Base Rent, under this Lease may collectively be referredto as “Rental”. Rent shall be made payable to Landlord and delivered to theaddress stated above or to another address as Landlord may designate uponreasonable notice to Tenant.
C) Taxes. Landlord shall pay all real estate taxes and assessments leviedagainst all of any part of the Premises and the improvements thereon.
6. Use and Occupancy. With respect to use and occupancy:
a) Tenant shall use and occupy the Premises for the commercial purpose oftheater productions and related activities. The Premises shall be used for noother purpose without the advance written consent of Landlord. Tenant shalloperate the Premises in a clean and dignified manner and in compliance with allapplicable laws, regulations, rules, and ordinances.
7. Repairs and Maintenance. With respect to use and occupancy:
a) Landlord’s Obligation to Repair and Maintain. Landlord shall beresponsible for repairing and maintaining the Premises in good condition and formaking such modification or replacements thereof as may be necessary orrequired by law or ordinance.
8. Insurance. Landlord shall keep the Premises insured against loss or damageby fire and other perils normally covered by standard all-risk insurance.
9. Mutual Hold Harmless. It is agreed that Tenant shall defend, hold harmlessand indemnify Landlord, its officers, agents and employees from any and allclaims for injuries to persons or damage to Premises which result from thenegligent acts or omissions of Tenant, its officers, agents or employees, in theperformance of this Lease. It is further agreed that Landlord shall defend, holdharmless and indemnify Tenant, its officers, agents and/or employees from anyand all claims for injuries to persons and/or damage to the Premises which resultfrom the negligent acts or omissions of Landlord, its officers, agents and/oremployees, in the performance of this Lease. In the event of the concurrent

negligence of Tenant and Landlord, then the liability for any and all claims forinjuries or damages which arise out of the performance of the terms andconditions of this Lease shall be apportioned in accordance with the law of thestate in which the Premises is located.
10. Access. Tenant shall permit Landlord to inspect or examine the Premisesduring business hours upon advanced written notice or at any time without noticein the event of an emergency, and shall permit Landlord to enter and make suchrepairs, alterations, improvements, or additions in the Premises that Landlordmay deem necessary.
11. Utility Services. Landlord will be responsible for paying all utilities of thePremises.
12. Surrender. Tenant shall deliver and surrender to Landlord possession ofthe Premises upon expiration of this Lease, or upon earlier termination as hereinprovided, in as good condition and repair as the same shall be on theCommencement Date.
13. Assignment and Subletting. Tenant shall not assign, mortgage, encumberor transfer any interest in this Lease, or sublet the Premises in whole or in part,nor grant a license or concession in connection therewith without Landlord’s priorwritten consent, which consent shall be at Landlord’s sole discretion.
14. Complete Agreement. This Lease contains a complete expression of theagreement between the parties and there are no promises, representations orinducements except such as are herein provided.

BYLAWS
Article 1 - NAME
The name of this corporation shall be The Mary Godfrey Playhouse, Inc.; here after referred to as the
Corporation.
Article II — Place of Business
The principal place of business of the Corporation shall be in the City of Cheyenne, Laramie County,
Wyoming.
Article Ill — Purpose
The purpose of the Corporation shall be to provide a quality live theatre experience in southeastern
Wyoming and its extended community. The Corporation is committed to:
A. Providing educational opportunities and growth experiences in theatre and theatre crafts;
B. Increasing community awareness and appreciation of the performing arts;
C. Providing the opportunity and the environment for the production and presentation of
theatrical works,
D. Providing a forum for the development of creative works in the area of theatre and the
performing arts;
E. Serving as a viable resource for community/economic development;
F. Providing an enjoyable experience to its constituents; and
G. Establishing a sense of pride and legacy for future generations of Cheyenne.
The Board of Directors shall be responsible for determining the goals, policies, and activities to carry out
the purpose of the Corporation.
Article IV— Membership
Section 1. Eligibility. An individual shall become a non-voting member of the CorporaUon upon
purchase of a Cheyenne Little Theatre Players (CLTP) season membership, which shall entitle the
member to all benefits associated with the membership and such other privileges as the Board of
Directors may determine from time to time. The voting members of the Corporation shall be those
persons, over 18 years of age, defined as the Governing Body in Article V, Section 1 of these bylaws. The
Board of Directors will set the price of a season membership and under no circumstances will the price
be less than $25 per year.

Section 2. Temporary Member. A Temporary Member is anyone who buys a ticket to any oneperformance, purchases a day membership, or who is given a ticket to a performance that is purchasedby someone else.
Article V — Governing Body
Section 1. Composition. The Board of Directors shall be the governing body of the Corporation. It shallbe composed of the following voting members:
A. President
B. Vice President of Finance/Treasurer
C. Vice President of Administration/Secretary
D. Additional board members.
All members of the Board of Directors must be season members each year.
Section 2. Standing Committees. There shall be two standing committees:
A. Finance; and
B. Administration.
Each standing committee shall consist of a Vice President, serving as Chair and Cheyenne Little TheaterPlayers Board Members, which shall be equitably assigned among the standing committees by the BoardPresident (after receiving input from each committee chair and board member). Additionally,community volunteers may be assigned to committees as determined and invited by the CommitteeChair with input from the member of the committee.
Section A: Each vice president shall establish sub-committees as required and assign subcommittee chairpersons as necessary.
Section B: Sub committees may be comprised of any configuration and participantsselected by the Chairperson to fulfill the needs of the Corporation.
Section 3. Executive Committee:
The President, Vice President of Finance/Treasurer and Vice President of Administration/Secretary shallconstitute the Executive Committee of the Board of Directors. The Managing and/or Artistic Director ofCLTP shall serve as an ex-officio member of the committee.
Section 4. Terms. Members of the Board of Directors shall serve for a three-year term or untiltheir successors are duly elected. A board member may be re-elected for one additional term. Any timeserved longer than six months is considered equal to one year towards a three-year term. At the end ofsix years of service, a board member may be re-elected only after a one-year absence from the Board of

Directors. An exception to this rule shall be if a board member is elected as an officer in the last year of
their second three-year term. In this instance, the board member’s term, if re-elected, would be
extended one year so that they could serve a full two-year term as an officer. The nominee for the office
of President will be chosen from members of the board who are currently or have in the past held the
position of Vice President, and must have at least two years of experience as a board member of the
Board of Directors. Upon completion of their term, the President will serve one more year as the
Immediate Past President and voting member of the Board of Directors. If the end of the President’s
term coincides with the end of their second three-year term as a Board Member, the board member
term will be extended one mote year so that he/she can serve a one year additional term as Immediate
Past President. Two consecutive years shall be the initial term a board member can hold the office of
Vice President after such a consecutive two-year term. Two consecutive years shall be the maximum
term a board member may hold the office of President. Upon the expiration of his or her term as
President, the member may not be elected as Vice President until at least one year has passed.
Section 5. Manner of Selection. The President and Vice Presidents will be elected at the regular Board of
Directors meeting in June.
Section 6. Vacancies. All vacancies occurring during the year will be filled through election by the
Board of Directors. In the long-term absence of the President, the Board of Directors will elect a new
president from one of the Vice Presidents to finish the term. Any time served as President for more than
six months is considered a full term. Election will be for the term remaining in the office to be filled. The
Board of Directors, by a majority vote, may declare any position or remove any member for reasons of
absence or any otherjust cause.
Article VI — Powers and Duties
Section 1. The Board of Directors has the power to:
A. Establish and enforce policies and guidelines for the Corporation;
B. Review corporate and fiscal performance for the Corporation;
C. Create or dissolve any portion of the Corporation with a two-thirds (2/3) vote of the board; and
D. Initiate and approve bylaws;
E. Enhance the theatre-going experience at the Mary Godfrey Playhouse; and
F. Otherwise carry-out the purpose of the corporation as set out in Article Ill of these bylaws.
Section 2. The President has the responsibility to:
A. Call and reside over all meetings of the Board of Directors and the Executive Committee;
B. Be an ex-officio member of all committees except the nominating sub-committee;
C. Act as liaison person between the Board of Directors and professional staff;

D. Be the spokesperson for the Board of Directors;
E. Establish agendas for the Board of Directors and Executive Committee meetings;
F. Be the person responsible for executing agreements, contracts, grant applications, and other
such necessary instruments on behalf of the Corporation; and
G. Ensure that all new Board of Directors members receive and understand the Board
responsibilities, long range goals, policies and procedures, bylaws and committee
responsibilities.
In the event of the President’s absence or inability to serve, the two Vice Presidents shall determine the
proper temporary leadership.
Section 3. The Executive Committee has the responsibility to:
A. Recommend, monitor, and evaluate the goals, policies, and guidelines for the Corporation;
B. Review all contracts and agreements, and report to the Board of Directors with
recommendations; and
C. Act with the full authority of the Board of Directors in times of emergency when the Board of
Directors are unable to meet or a quorum to transact business cannot be obtained.
Section 4. The Vice President of Finance/Treasurer has the responsibility to:
A. Fulfill all responsibilities of the Presidents in the absence thereof;
B. Serve on the Executive Committee;
C. Chair the Finance Committee, the responsibilities of which include:
1. Budget;
2. Fundraising; and
3. Audit.
The Vice President of the Finance Committee is ultimately responsible for all income and the payment of
all obligations of the Corporation. The Finance Committee shall;
A. See that a full and accurate account of the receipts and expenditures of the Corporation are
kept in compliance with the Board of Directors; Financial policies;
B. Submit to the Board of Directors, at its regular meetings, an account of financial transactions
and financial condition of the Corporation;
C. Submit a budget comparison report to the Board of Directors at least twice a year;

D. Submit a budget for the coming year to be reviewed and approved by the Board of Directors onor before the regular Board meeting in April; and
E. Record attendance and all proceedings for the Finance Committee meetings.
Section 5. The Vice President of Administration/Secretary has the responsibility to:
A. Fulfill all responsibilities of the President in the absence thereof;B. Serve on the Executive Committee;
C. Chair the Administration Committee, the responsibilities of which include:
1. Facilitating nominations of Board Officers and new board members;
2. Policies and procedures; and
3. Legal issues.
The Vice President of the Administration Committee shall be responsible to;
A. Appoint a member of this committee to record attendance and all proceedings in the minutes ofthe Board of Directors;
B. Supervise the procedures which ensure continuity and consistency in the record keeping in allcommittees;
C. Maintain files on all bylaws, policies, procedures, and plans and see that they are available at allthe meetings of the Board of Directors and the Executive Committee;
D. Maintain a complete history of the Corporation;
E. Maintain records on board members’ terms in office; and
F. Record attendance and all proceedings in the minutes of the Administration meetings.
Section 9. Board Members of the Corporation have the responsibility to:
A. Attend all monthly Board meetings;
B. Attend an annual planning retreat of the Corporation;
C. Notify the Board of Directors of any conflict of interest with the activities of the Corporation,and excuse themselves from voting on such conflicted matters;
D. Become a season member of CLTP;
E. Actively promote and assist in the growth and financial well-being of the Corporation;F. Actively participate during Board meetings;
G. Be an active member on no less then two (2) sub-committees;
H. Other responsibilities as directed by th President and Executive Committee.
Article VIII — Meetings
Section 1. Regular Board of Directors Meetings. Stated meeting shall be held monthly as determined bythe Board of Directors. At least one week before the meeting, the minutes from the previous month’s

Board of Directors and Sub-Committee meetings shall be provided to the Full Board of Directors. Theseminutes shall include the time and the place of the next meeting.
Section 2. Special Meetings. The President may call special meetings of the Board of Directors. Uponwritten request of three (3) Board members, the President shall call a special meeting. Members shall benotified of the time and place of a special meeting by verbal or written notification at least 24 hoursprior to the time of the special meeting.
Section 3. Quorum. One over half of the members of the Board of Directors shall constitute aquorum for the transaction of business.
Article VIII — Corporate Fiscal Year
The fiscal year of the Corporation shall commence on the first day of July of each year and end on the30th day of June each year.
Article IX — Parliamentary Authority
Roberts Rules of Order, Newly Revised, will govern the meetings of the Corporation in all cases in whichit is not inconsistent with these bylaws.
Article X — Amendments
These bylaws may be amended by a two-thirds (2/3) vote of the full Board of Directors at any meeting,provided that all proposed amendments have been presented in writing to all members of the Board ofDirectors prior to the meeting.

Information on Alcohol Training Program
The Board of Directors of the Mary Godfrey Playhouse is seeking a club licenseto service alcoholic beverages during the Cheyenne Little Theatre Players’ productionsat the Mary Godfrey Playhouse. To this end, we propose the following program foralcohol training pursuant to City Code Chapter 5.12.
Before being allowed to serve alcoholic beverages, we will require our volunteersto complete the TIPS training that is provided once per month by the City of Cheyenne.Currently, the volunteers that serve alcoholic beverages for Cheyenne Little TheatrePlayers (CLTP) at the Atlas Theater are required to attend TIPS training before servingalcoholic beverages. Mary Godfrey Playhouse (MGP) will use the same pool ofvolunteers and will have the same requirements.
CLIP and the MGP add the dates of TIPS training to the volunteers’ calendar onthe CLIP website. The volunteers who currently serve for CLTP are familiar with therequirement to attend TIPS training.
The bar manager at MGP will require all volunteers serving alcohol to presenttheir card of TIPS completion before being allowed to serve.

The non-profit organization Mary Godfrey Playhouse (MGP) is applying for a LimitedUse Club Liquor License for use during theatrical productions at the Mary GodfreyPlayhouse, 2706 E. Pershing Blvd., Cheyenne, Wyoming. MGP leases property fromCheyenne Little Theatre Players (CLTP) and shares their membership and Boardmembers.
CLIP currently uses a Limited Use Club Liquor License granted by the City ofCheyenne for the location of the Atlas Theater downtown. MGP was formed as a nonprofit to enhance the theatrical experience of shows produced by CLIP and performedat the MGP location in east Cheyenne.
MGP intends to sell wine, beer and a small number of specialty mixed drinks duringperformance at the MGP location. Those sales would occur during performance-relatedtimes only, such as 1 hour before shows begin until the end of the performance. Saleswould occur at a designated area in our MGP lobby. Members of MGP have met withthe Cheyenne City Health Department and will create a bar area that complies with thestandards of the Health Department.
