1. TheAssociationshallbeknownasTheKatoombaMen’sShedInc.(anIncorporatedAssociation).

TheobjectsoftheShedaretoadvancethehealthandwell-beingofourmembersbyprovidingasafeandhappyenvironmentwhereskilledandunskilledmencan,inthecompanyofothermen,(a) Pursuehobbies,pastimesandinterests(b) Learnnewskills,practiceandpassonoldskills(c) Learnabouttheirownandothermen’shealthandwell-being(d) Bytheirefforts,contributetotheirfamilies,theirfriends,theShedandtheir

3. TheShedisanot-for-profitassociationandaccordingly:(a) TheassetsandincomeoftheShedshallbeappliedsolelyinfurtheranceofitsabove-
mentionedobjectsandnoportionshallbedistributeddirectlyorindirectlytothemembersoftheShedexceptasbonafidecompensationforservicesrenderedorexpensesincurredonbehalfoftheorganisationand
(b) SubjecttotheActandtheRegulations,inawindingupoftheShed,anysurplusShedpropertyistobetransferredtoanotherorganisationwithsimilarobjectsandwhichisnotcarriedonfortheprofitorgainofitsindividualmembers.
(c) Inthisrule,areferencetothesurpluspropertyoftheShedisareferencetothatpropertyoftheShedremainingaftersatisfactionofthedebtsandliabilitiesoftheShedandthecosts,chargesandexpensesofthewindingupoftheShed.

thepersonholdingofficeundertheserulesasSecretaryoftheShed,or ifnosuchpersonholdsthatoffice–thepublicofficeroftheShed.
(e) inwritingincludesbyelectronicmeanswheretheidentityofthesendercanbeverified.
(f) signedmeansbywrittensignatureorbyanyformofdigitalsignatureapprovedbytheManagementCommittee.

5. Intheserules:(a) areferencetoafunctionincludesareferencetoapower,authorityandduty,and(b) areferencetotheexerciseofafunctionincludes,ifthefunctionisaduty,areference
totheperformanceoftheduty.6. TheprovisionsoftheInterpretationAct1987applytoandinrespectoftheserulesinthe
samemannerasthoseprovisionswouldsoapplyiftheseruleswereaninstrumentmadeundertheAct.
Part2: Membership
Membershipqualifications
7. MembershipoftheShedisopentoindividuals,agenciesororganisationsconcernedwithmen’sissuesinourcommunitywhosupporttheShedobjectsassetoutinRule2.
8. Amembermustbeanaturalperson.9. AmembermustapplyformembershipoftheShedasprovidedbyRule12andmustbe
approvedformembershipoftheShedbytheManagementCommittee.
ClassesofMembership
10. Individualmembership–opentonaturalpersons.11. Lifemembership-TheShedmay,bySpecialResolution,grantLifemembershiptoa
memberinrecognitionoflongandoutstandingservicetotheShedandthelocalcommunity.Alifemembershipresolutionmaynotbeproposedifthecurrentnumberoflifemembersexceeds3percentoftotalshedmembershipinthecurrentyear.
Applicationformembership
12. AnapplicationformembershipoftheShed:(a) mustbemadeinwritingintheformsetoutinAppendix1totheserulesoranyother
formapprovedbyaresolutionoftheManagementCommittee,and(b) mustbelodgedwiththeSecretaryoftheShed.
13. Assoonaspracticableafterreceivinganapplicationformembership,theSecretarymustrefertheapplicationtotheManagementCommitteewhichistodeterminewhethertoapproveortorejecttheapplication.
14. AssoonaspracticableaftertheManagementCommitteemakesthatdetermination,theSecretarymust:(a) notifytheapplicant,inwriting,thattheManagementCommitteeapprovedor
rejectedtheapplication(whicheverisapplicable),and(b) iftheManagementCommitteeapprovedtheapplication,requesttheapplicanttopay
(withintheperiodof28daysafterreceiptbytheapplicantofthenotification)thesumpayableundertheserulesbyamemberasentrancefeeandannualsubscription.

15. TheSecretarymust,onpaymentbytheapplicantoftheamountsreferredtoinRule14(b)withintheperiodreferredtointhatprovision,entertheapplicant’snameintheregisterofmembersand,onthenamebeingsoentered,theapplicantbecomesamemberoftheShed.
Cessationofmembership
16. ApersonceasestobeamemberoftheShediftheperson:(a) dies,or(b) resignsmembership,or(c) doesnotpayanymoniesduetotheShedforfees,subscriptions,oranyotheramount
owinginrespectofmembershipwithin90daysoftheduedateforpaymentor(d) isexpelledfromtheShed.
Membershipentitlementsnottransferable
17. Aright,privilegeorobligationwhichapersonhasbyreasonofbeingamemberoftheShed:(a) isnotcapableofbeingtransferredortransmittedtoanotherpersonororganisation,
and(b) terminatesoncessationofthemembershipofthatpersonororganisation.
Resignationofmembership
18. AmemberoftheShedwhohaspaidallamountspayablebythemembertotheShedinrespectofthemember’smembershipmayresignfrommembershipoftheShedbygivingwrittennoticeoftheirresignationtotheSecretary.AnysuchresignationiseffectiveimmediatelyonreceiptbytheSecretary.
19. IfamemberoftheShedceasestobeamemberunderRule18andineveryothercasewhereamemberceasestoholdmembership,theSecretarymustmakeanappropriateentryintheregisterofmembersrecordingthedateonwhichthememberceasedtobeamember.
Registerofmembers
20. TheSecretaryoftheShedmustestablishandmaintainaregisterofmembersoftheShedspecifying:(a) thenameandaddressofeachmemberoftheShed,(b) theiremailaddress,(c) thedateonwhichthepersonbecameamember.
21. Theregisterofmembersmaybekeptinelectronicform.22. TheregisterofmembersmustbekeptattheprincipalplaceofadministrationoftheShed
andmustbeopenforinspection,freeofcharge,byanymemberoftheShedatanyreasonablehour.
23. AmemberoftheShedmayobtainacopyofanypartoftheregisteronpaymentofafeeof$1foreachpagecopiedor,ifsomeotheramountisdeterminedbytheManagementCommittee,thatotheramount.

24. Ifamemberrequeststhatparticularinformationcontainedintheregisterandrelatingtothemshouldnotbeavailableforinspection,thatinformationmustnotbemadeavailableforinspection.Thisruledoesnotapplytothemember’snameintheregister.
25. Amembermustnotuseinformationaboutapersonobtainedfromtheregistertocontactorsendmaterialtotheperson,otherthanfor:(a) thepurposesofsendingthepersonanewsletter,anoticeinrespectofameetingor
othereventrelatingtotheShedorothermaterialrelatingtotheShed,or(b) anyotherpurposenecessarytocomplywitharequirementoftheActorthe
Regulation.
Feesandsubscriptions
26. AmemberoftheShedmust,onadmissiontomembership,paytotheShedanentrancefeeasdeterminedbytheManagementCommitteeforthatclassofmembership.
27. TheManagementCommitteeshallsetannualsubscriptionsforeachclassofmembershipwhichshallbecomedueandpayableonthe1stofJanuaryineachyear.
28. TheManagementCommitteemayvarytheamountpaidbyamemberinrecognitionofthemember’sspecialcircumstances.
Members’liabilities
29. TheliabilityofamemberoftheShedtocontributetowardsthepaymentofthedebtsandliabilitiesoftheShedorthecosts,chargesandexpensesofthewindingupoftheShedislimitedtotheamount,ifany,unpaidbythememberinrespectofmembershipoftheShedasrequiredbyrules26,27and28.
Resolutionofinternaldisputes
30. Disputesbetweenmembers(intheircapacityasmembers)oftheShed,anddisputesbetweenmembersandtheShed,thatcannotberesolvedwithintheShedaretobereferredtoacommunityjusticecentreformediationinaccordancewiththeCommunityJusticeCentresAct1983.
31. Ifadisputeisnotresolvedbymediationwithin3monthsofthereferraltoacommunityjusticecentre,thedisputeistobereferredtoarbitration.
32. TheCommercialArbitrationAct1984appliestoanysuchdisputereferredtoarbitration.
Discipliningofmembers
33. AcomplaintmaybemadetotheManagementCommitteebyanymemberthatamemberoftheShed:(a) hasrefusedorneglectedtocomplywithaprovisionorprovisionsoftheserules,or(b) haswilfullyactedinamannerprejudicialtotheinterestsoftheShed.
34. TheManagementCommitteemayrefusetodealwithacomplaintifitconsidersthecomplainttobetrivialorvexatiousinnature.
35. IftheManagementCommitteedecidestodealwiththecomplaint,theManagementCommittee:(a) mustcausenoticeofthecomplainttobeservedonthememberconcerned;and

(b) mustgivethememberatleast14daysfromthetimethenoticeisservedwithinwhichtomakesubmissionstotheManagementCommitteeinconnectionwiththecomplaint,and
(c) musttakeintoconsiderationanysubmissionsmadebythememberinconnectionwiththecomplaint.
36. TheManagementCommitteemay,byresolution,expelthememberfromtheShedorsuspendthememberfrommembershipoftheShedif,afterconsideringthecomplaintandanysubmissionsmadeinconnectionwiththecomplaint,itissatisfiedthatthefactsallegedinthecomplainthavebeenproved.
37. IftheManagementCommitteeexpelsorsuspendsamember,theSecretarymust,within7daysaftertheactionistaken,causewrittennoticetobegiventothememberoftheactiontaken,ofthereasonsgivenbytheManagementCommitteeforhavingtakenthatactionandofthemember'srightofappealunderrules39to43.
38. Theexpulsionorsuspensiondoesnottakeeffect:(a) untiltheexpirationoftheperiodwithinwhichthememberisentitledtoappeal
againsttheresolutionconcerned,or(b) ifwithinthatperiodthememberexercisestherightofappeal,unlessanduntilthe
ShedconfirmstheresolutionunderRule43,whicheveristhelater.
Rightofappealofdisciplinedmember
39. AmembermayappealtotheShedingeneralmeetingagainstaresolutionoftheManagementCommitteeunderRule36,within7daysafternoticeoftheresolutionisservedonthemember,bylodgingwiththeSecretaryanoticetothateffect.
40. Thenoticemay,butneednot,beaccompaniedbyastatementofthegroundsonwhichthememberintendstorelyforthepurposesoftheappeal.
41. OnreceiptofanoticefromamemberunderRule36theSecretarymustnotifytheManagementCommitteewhichistoconveneageneralmeetingoftheShedtobeheldwithin28daysafterthedateonwhichtheSecretaryreceivedthenotice.
42. AtageneralmeetingoftheShedconvenedunderRule41:(a) nobusinessotherthanthequestionoftheappealistobetransacted,and(b) theManagementCommitteeandthemembermustbegiventheopportunitytostate
theirrespectivecasesorallyorinwriting,orboth,and(c) thememberspresentaretovotebysecretballotonthequestionofwhetherthe
resolutionshouldbeconfirmedorrevoked.43. IfatthegeneralmeetingtheShedpassesaspecialresolutioninfavourofthe
confirmationoftheresolution,theresolutionisconfirmed.
Part3: TheManagementCommittee
PowersoftheManagementCommittee
44. TheManagementCommitteeoftheShed,subjecttotheAct,theRegulationsandtheserulesandtoanyresolutionpassedbytheShedingeneralmeeting:(a) istocontrolandmanagetheaffairsoftheShed,and

(b) mayexerciseallsuchfunctionsasmaybeexercisedbytheShed,otherthanthosefunctionsthatarerequiredbytheserulestobeexercisedbyageneralmeetingofmembersoftheShed,and
(c) haspowertoperformallsuchactsanddoallsuchthingsasappeartotheManagementCommitteetobenecessaryordesirableforthepropermanagementoftheaffairsoftheShed.
Constitutionandmembership
45. TheManagementCommitteeistoconsistofthefollowing::(a) thePresident(b) thevice-President(c) theTreasurer,(d) theSecretary(e) thePublicOfficerand(f) sufficientordinarymemberstomakeatotalmanagementcommitteeof8members.
46. TheofficersoftheShedare:thePresident,thevice-President,theTreasurerandtheSecretary.
47. Acommitteemembermayholdupto2offices(otherthanboththepresidentandvice-presidentoffices).
48. Eachmemberofthecommitteeis,subjecttotheserules,toholdofficeuntiltheconclusionoftheannualgeneralmeetingfollowingthedateofthemember’selection,butiseligibleforre-election.
49. Thereisnomaximumnumberofconsecutivetermsforwhichanofficeholderorcommitteemembermayholdoffice,withtheexceptionofthePresident,whoshallnotservemorethan3consecutivetermsofofficeaspresident.
ElectionofCommitteemembers
50. NominationsofcandidatesforelectionasmembersoftheManagementCommittee:(a) mustbemadeinwriting,signedby2membersoftheShedandaccompaniedbythe
writtenconsentofthecandidate(whichmaybeendorsedontheformofthenomination),and
(b) mustbedeliveredtotheSecretaryoftheShedpriortothecommencementoftheannualgeneralmeetingatwhichtheelectionistotakeplace.
51. IfinsufficientnominationsarereceivedtofillallvacanciesontheManagementCommittee,thecandidatesnominatedaretakentobeelectedandfurthernominationsaretobereceivedattheannualgeneralmeeting.
52. Ifinsufficientfurthernominationsarereceived,anyvacantpositionsremainingontheManagementCommitteearetakentobecasualvacancies.
53. Ifthenumberofnominationsreceivedisequaltothenumberofvacanciestobefilled,thepersonsnominatedaretakentobeelected.
54. Ifthenumberofnominationsreceivedexceedsthenumberofvacanciestobefilled,aballotistobeheld.

55. TheballotfortheelectionofCommitteemembersistobeconductedattheannualgeneralmeetinginsuchusualandpropermannerastheManagementCommitteemaydirect.
Secretary
56. TheSecretaryoftheShedmust,assoonaspracticableafterbeingappointedasSecretary,lodgenoticewiththeShedofhisorheraddressandcontactdetails.
57. ItisthedutyoftheSecretarytoensurethatproperminutesarekept(whetherinwrittenorelectronicform)of:(a) allappointmentsofoffice-bearersandmembersoftheManagementCommittee,(b) thenumberofmembersoftheManagementCommitteepresentataManagement
Committeemeetingorageneralmeeting,and(c) allproceedingsatManagementCommitteemeetingsandgeneralmeetings.
58. Minutesofproceedingsatameetingmustbesignedbythechairpersonofthemeetingorbythechairpersonofthenextsucceedingmeeting.
Treasurer
59. ItisthedutyoftheTreasureroftheShedtoensure:(a) thatallmoneyduetotheShediscollectedandreceivedandthatallpayments
authorisedbytheShedaremade,and(b) thatcorrectbooksandaccountsarekeptshowingthefinancialaffairsoftheShed,
includingfulldetailsofallreceiptsandexpenditureconnectedwiththeactivitiesoftheShed.
CasualvacanciesintheManagementCommittee
60. Intheeventofacasualvacancyoccurringinthemembershipofthecommittee,thecommitteemayappointamemberoftheassociationtofillthevacancyandthemembersoappointedistoholdoffice,subjecttothisconstitution,untiltheconclusionoftheannualgeneralmeetingnextfollowingthedateoftheappointment.
61. Forthepurposesoftheserules,acasualvacancyintheManagementCommitteeoccursiftheCommitteemember:(a) dies,or(b) ceasestobeamemberoftheShed,or(c) becomesaninsolventunderadministrationwithinthemeaningoftheCorporations
Act2001oftheCommonwealth,or(d) resignsofficebynoticeinwritinggiventotheSecretary,or(e) isremovedfromofficeunderrule62,or(f) becomesincapacitated,or(g) isabsentwithouttheconsentoftheManagementCommitteefromallmeetingsofthe
ManagementCommitteeheldduringaperiodof3months.(h) isconvictedofanoffenceinvolvingfraudordishonestyforwhichthemaximum
penaltyonconvictionisimprisonmentfornotlessthan3months,or(i) isprohibitedfrombeingadirectorofacompanyunderPart2D.6(Disqualification
frommanagingcorporations)oftheCorporationsAct2001oftheCommonwealth.

RemovalofamemberoftheManagementCommittee
62. TheShedingeneralmeetingmaybyresolutionremoveanyCommitteememberfromtheManagementCommitteebeforetheexpirationofthemember’stermofofficeandmaybyresolutionappointanotherpersontoholdofficeuntiltheexpirationofthetermofofficeofthemembersoremoved.
63. IftheCommitteemembertowhomaproposedresolutionreferredtoinRule62relatesmakesrepresentationsinwritingtotheSecretaryorPresident(notexceedingareasonablelength)andrequeststhattherepresentationbenotifiedtothemembersoftheShed,theSecretaryorthePresidentmaysendacopyoftherepresentationstoeachmemberoftheShedor,iftherepresentationsarenotsosent,thememberisentitledtorequirethattherepresentationsbereadoutatthemeetingatwhichtheresolutionisconsidered.
Meetingsandquorum
64. TheManagementCommitteemustmeetatleast10timesineachperiodof12monthsatsuchplaceandtimeastheManagementCommitteemaydetermine.
65. AdditionalmeetingsoftheManagementCommitteemaybeconvenedbythePresidentorbyanyotherCommitteemember.
66. AnagendaforameetingoftheManagementCommitteemustbegivenbytheSecretarytoeachmemberoftheManagementCommitteeatleast48hours(orsuchotherperiodasmaybeunanimouslyagreedonbythemembersoftheManagementCommittee)beforethetimeappointedfortheholdingofthemeeting.
67. Any4membersoftheManagementCommitteeconstituteaquorumforthetransactionofthebusinessofameetingoftheManagementCommittee.
68. NobusinessistobetransactedbytheManagementCommitteeunlessaquorumispresentandif,withinhalfanhourofthetimeappointedforthemeeting,aquorumisnotpresent,themeetingistostandadjournedtothesameplaceandatthesamehourofthesamedayinthefollowingweek.
69. Ifattheadjournedmeetingaquorumisnotpresentwithinhalfanhourofthetimeappointedforthemeeting,themeetingistobedissolved.
70. AtameetingoftheManagementCommittee:(a) thePresidentor,inthePresident’sabsence,thevice-Presidentistopreside,or(b) ifthePresidentandthevice-Presidentareabsentorunwillingtoact,suchoneofthe
remainingCommitteemembersasmaybechosenbythememberspresentatthemeetingistopreside.
Appointmentofmembersascommitteememberstoconstitutequorum
71. Ifatanytimethenumberofcommitteemembersislessthanthenumberrequiredtoconstituteaquorumforacommitteemeeting:(a) theexistingcommitteemembersmayappointasufficientnumberofmembersofthe
Shedascommitteememberstoenablethequorumtobeconstituted.(b) Amemberofthecommitteesoappointedistoholdoffice,subjecttothisconstitution,
untiltheannualgeneralmeetingnextfollowingthedateoftheappointment.

(c) Thisruledoesnotapplytothefillingofacasualvacancytowhichrule60applies.
AppointmentofSub-Committees
72. TheManagementCommitteemay,byresolution,appointoneormoresub-committees(consistingofatleastoneCommitteemembertogetherwithsuchmemberormembersoftheShedastheManagementCommitteethinksfit)toadvisetheManagementCommitteeonvariousmattersincluding:(a) Operations(b) Membership(c) Finance
73. TheManagementCommitteemay,byresolution,revokewhollyorinpartanyappointmentunderRule72.
74. Asub-committeemaymeetandadjourn,asitthinksproper,andmayinviteexpertstoattenditsmeetingstoadviseonmattersrelevanttotheworkofthesub-committee.
Votinganddecisions
75. QuestionsarisingatameetingoftheManagementCommitteeorofanysub-committeeappointedbytheManagementCommitteearetobedeterminedbyamajorityofthevotesofmembersoftheManagementCommitteeorsub-committeepresentatthemeeting.
76. ACommitteememberwhohasaconflictofinterestinanymatterbeforetheManagementCommitteemustdisclosethatinterestandmustabstainfromanydiscussionorvoteonthatmatter.
77. EachmemberpresentatameetingoftheManagementCommitteeorofanysub-committeeappointedbytheManagementCommittee(includingthepersonpresidingatthemeeting)isentitledtoonevotebut,intheeventofanequalityofvotesonanyquestion,thepersonpresidingmayexerciseasecondorcastingvote.
78. SubjecttoRule67,theManagementCommitteemayactdespiteanyvacancyontheManagementCommittee.
79. Anyactorthingdoneorsuffered,orpurportingtohavebeendoneorsuffered,bytheManagementCommitteeorbyasubcommitteeappointedbytheManagementCommittee,isvalidandeffectualdespiteanydefectthatmayafterwardsbediscoveredintheappointmentorqualificationofanymemberoftheManagementCommitteeorsub-committee.
Part4: Generalmeetings
Annualgeneralmeetings–holdingof
80. TheShedmustholditsannualgeneralmeeting:(a) within6monthsafterthecloseoftheShed’sfinancialyear.or(b) withinsuchlatertimeasmaybeallowedbytheDirector-Generalorprescribedby
theRegulation.

Annualgeneralmeetings–callingofandbusinessat
81. TheannualgeneralmeetingoftheShedis,subjecttotheActandtoRule80,tobeconvenedonsuchdateandatsuchplaceandtimeastheManagementCommitteethinksfit.
82. Inadditiontoanyotherbusinesswhichmaybetransactedatanannualgeneralmeeting,thebusinessofanannualgeneralmeetingistoincludethefollowing:(a) toconfirmtheminutesofthelastprecedingannualgeneralmeetingandofany
specialgeneralmeetingheldsincethatmeeting,(b) toreceivefromtheManagementCommitteereportsontheactivitiesoftheShed
duringthelastprecedingfinancialyear,(c) toelectofficersandordinarymembersoftheManagementCommittee,(d) toreceiveandconsiderthestatementwhichisrequiredtobesubmittedtomembers
undertheAct.83. Anannualgeneralmeetingmustbespecifiedassuchinthenoticeconveningit.
Specialgeneralmeetings–callingof
84. TheManagementCommitteemay,wheneveritthinksfit,conveneaspecialgeneralmeetingoftheShed.
85. TheManagementCommitteemust,ontherequisitioninwritingofatleast5percentofthetotalnumberofmembers,conveneaspecialgeneralmeetingoftheShed.
86. Arequisitionofmembersforaspecialgeneralmeeting:(a) muststatethepurposeorpurposesofthemeeting,and(b) mustbesignedbythemembersmakingtherequisition,and(c) mustbelodgedwiththeSecretary,and(d) mayconsistofseveraldocumentsinasimilarform,eachsignedbyoneormoreof
themembersmakingtherequisition.87. IftheManagementCommitteefailstoconveneaspecialgeneralmeetingtobeheldwithin
1monthafterthatdateonwhicharequisitionofmembersforthemeetingislodgedwiththeSecretary,anyoneormoreofthememberswhomadetherequisitionmayconveneaspecialgeneralmeetingtobeheldnotlaterthan3monthsafterthatdate.
88. AspecialgeneralmeetingconvenedbyamemberormembersasreferredtoinRule87mustbeconvenedasnearlyasispracticableinthesamemannerasgeneralmeetingsareconvenedbytheManagementCommittee.
Notice
89. ExceptifthenatureofthebusinessproposedtobedealtwithatageneralmeetingrequiresaspecialresolutionoftheShed,theSecretarymust,atleast7daysbeforethedatefixedfortheholdingofthegeneralmeeting,giveanoticetoeachmemberspecifyingtheplace,dateandtimeofthemeetingandthenatureofthebusinessproposedtobetransactedatthemeeting.
90. IfthenatureofthebusinessproposedtobedealtwithatageneralmeetingrequiresaspecialresolutionoftheShed,theSecretarymust,atleast21daysbeforethedatefixedfortheholdingofthegeneralmeeting,causenoticetobegiventoeachmember

specifying,inadditiontothematterrequiredunderRule89,theintentiontoproposetheresolutionasaspecialresolution.
91. AmemberdesiringtobringanybusinessbeforeageneralmeetingmaygivenoticeinwritingofthatbusinesstotheSecretarywhomustincludethatbusinessinthenextnoticecallingageneralmeetinggivenafterreceiptofthenoticefromthemember.
92. Noticemaybesentbyemailtotheemailaddressofthememberwhichisrecordedintheregisterofmembers.
Procedure
93. Noitemofbusinessistobetransactedatageneralmeetingunlessaquorumofmembersentitledundertheserulestovoteispresentduringthetimethemeetingisconsideringthatitem.
94. Fivememberspresentinperson(beingmembersentitledundertheserulestovoteatageneralmeeting)constituteaquorumforthetransactionofthebusinessofageneralmeeting.
95. Ifwithinhalfanhouraftertheappointedtimeforthecommencementofageneralmeetingaquorumisnotpresent,themeeting:(a) ifconvenedontherequisitionofmembers,istobedissolved,and(b) inanyothercase,istostandadjournedtothesamedayinthefollowingweekatthe
sametimeand(unlessanotherplaceisspecifiedatthetimeoftheadjournmentbythepersonpresidingatthemeetingorcommunicatedbywrittennoticetomembersgivenbeforethedaytowhichthemeetingisadjourned)atthesameplace.
(c) Ifattheadjournedmeetingaquorumisnotpresentwithinhalfanhourafterthetimeappointedforthecommencementofthemeeting,thememberspresent(beingatleast3)istoconstituteaquorum.
Presidingmember
96. ThePresidentor,inthePresident’sabsence,thevice-President,istopresideaschairpersonateachgeneralmeetingoftheShed.
97. IfthePresidentandthevice-Presidentareabsentorunwillingtoact,thememberspresentmustelectoneoftheirnumbertopresideaschairpersonatthemeeting.
Adjournment
98. Thechairpersonofageneralmeetingatwhichaquorumispresentmay,withtheconsentofthemajorityofmemberspresentatthemeeting,adjournthemeetingfromtimetotimeandplacetoplace,butnobusinessistobetransactedatanadjournedmeetingotherthanthebusinessleftunfinishedatthemeetingatwhichtheadjournmenttookplace.
99. Ifageneralmeetingisadjournedfor14daysormore,theSecretarymustgivenoticeoftheadjournedmeetingtoeachmemberoftheShedstatingtheplace,dateandtimeofthemeetingandthenatureofthebusinesstobetransactedatthemeeting.
100. ExceptasprovidedinRule99,noticeofanadjournmentofageneralmeetingorofthebusinesstobetransactedatanadjournedmeetingisnotrequiredtobegiven.

Makingofdecisions
101. AquestionarisingatageneralmeetingoftheShedistobedeterminedbyeither:(a) ashowofhands,(b) onthemotionofthechairpersonor if 3 or more members present in person or by proxy
at the meeting decide that the question should be determined by a written ballot—a written ballot.
102. Ifthequestionistobedeterminedbyawrittenballot,theballotistobeconductedinaccordancewiththedirectionsofthechairperson.

103. AspecialresolutionmayonlybepassedbytheShedinaccordancewithsection39oftheAct.
Voting
104. OnanyquestionarisingatageneralmeetingoftheShedamemberhasonevoteonly.105. Allvotesmustbegivenpersonallyorbyproxybutnomember,exceptingthePresident,
mayholdmorethan3proxies.106. Inthecaseofanequalityofvotesonaquestionatageneralmeeting,thechairpersonof
themeetingisentitledtoexerciseasecondorcastingvote.107. AmemberoraproxyisnotentitledtovoteatanygeneralmeetingoftheShedunlessall
moneydueandpayablebythememberorproxytotheShedhasbeenpaid.108. AmemberisnotentitledtovoteatanygeneralmeetingoftheShedifthememberis
under18yearsofage.
Appointmentofproxies
109. EachmemberistobeentitledtoappointanothermemberasproxybynoticegiventotheSecretarynolaterthan24hoursbeforethetimeofthemeetinginrespectofwhichtheproxyisappointed.
110. ThenoticeappointingtheproxyistobeintheformsetoutinAppendix2totheserulesoranyotherformapprovedbyaresolutionoftheManagementCommittee.

111. PostalorelectronicballotsmustnotbeundertakeninrespectofanymeetingorissueattheShed.

112. TheShedmayeffectandmaintainsuchinsurancesasaredeterminedbytheManagementCommittee

113. ThefundsoftheShedaretobederivedfromentrancefeesandannualsubscriptionsofmembers,donations,grants,sponsorshipsand,subjecttoanyresolutionpassedbytheShedingeneralmeeting,suchothersourcesastheManagementCommitteedetermines.
114. WiththeexceptionofcircumstancesspecifiedunderRule118,allmoneyreceivedbytheShedmustbedepositedassoonaspracticableandwithoutdeductiontothecreditoftheShed’sbankaccount.
115. TheShedmust,assoonaspracticableafterreceivinganymoney,issueanappropriatereceiptifareceiptisrequested.
Funds–management
116. SubjecttoanyresolutionpassedbytheShedingeneralmeeting,thefundsoftheShedaretobeusedinpursuanceoftheobjectsoftheShedinsuchmannerastheManagementCommitteedetermines.
117. Allcheques,drafts,billsofexchange,promissorynotesandothernegotiableinstrumentsmustbesignedbyany2membersoftheManagementCommitteeoremployeesoftheShed,beingmembersoremployeesauthorisedtodosobytheManagementCommittee.
118. TheTreasurermayestablishapettycashaccount.Thepettycashfloat:(a) mustnotatanytimeexceedtheamount$100orsuchotheramountapprovedby
resolutionofthecommittee.(b) maybemaintainedfromcashtakingsattheShed,butonlyafteralltakingshavebeen
dulycounted,reconciledandrecordedintheShedaccounts;(c) isreservedforminorexpenses,withamaximumof$100(orsuchotheramount
approvedbyresolutionofthecommittee)foranyoneitem.(d) allpettycashpaymentsmustbeauthorisedbyamemberholdingafinancial
delegationapprovedbythecommittee.(e) Allpettycashpaymentsmustbesupportedbyreceiptsordockets,whicharetobe
placedinthepettycashcontainerandreconciledatleastmonthly.
Alterationofobjectsandrules
119. TheserulesmaybealteredoraddedtoonlybyaspecialresolutionoftheShed.120. Oncealtered,anapplicationtotheDirector-Generalforregistrationofachangeinthe
Shed’sname,objectsorconstitutioninaccordancewithsection10oftheActistobemadebythepublicofficeroracommitteemember.
Custodyofbooks
121. Exceptasotherwiseprovidedbytheserules,allrecords,booksandotherdocumentsrelatingtotheShedmustbekeptinNewSouthWales,atthemainpremisesoftheShed,inthecustodyofthepublicofficerorothermemberoftheShed(asthecommitteedetermines).
Inspectionofbooks
122. Thefollowingdocumentsmustbeopentoinspection,freeofcharge,byamemberoftheShedatanyreasonablehour:

(a) records,booksandotherfinancialdocumentsoftheShed,(b) theserules,(c) minutesofallcommitteemeetingsandgeneralmeetingsoftheShed.unlesstheCommitteedeterminesthatanyrecordcontainspersonalinformationrelatingtoamemberorinformationthatiscommercial-in-confidence.
123. AmemberoftheShedmayobtainacopyofanyofthedocumentsreferredtoinRule125onpaymentofafeeperpagecopiedasspecifiedbytheManagementCommittee.Suchafeeshouldbebasedonthecostofprovidingthecopies.
124. Despiterules122and123,thecommitteemayrefusetopermitamemberoftheShedtoinspectorobtainacopyofrecordsoftheShedthatrelatetoconfidential,personal,employment,commercialorlegalmattersorwheretodosomaybeprejudicialtotheinterestsoftheShed.
Serviceofnotices
125. Forthepurposeoftheserules,anoticemaybeservedonorgiventoaperson:(a) bydeliveringittothepersonpersonally,or(b) bysendingitbypre-paidposttotheaddressoftheperson,or(c) bysendingitbyfacsimiletransmission,emailorsomeotherformofelectronic
transmissiontoanaddressspecifiedbythepersonforgivingorservingthenotice.126. Forthepurposeoftheserules,anoticeistaken,unlessthecontraryisproved,tohave
beengivenorserved:(a) inthecaseofanoticegivenorservedpersonally,onthedateonwhichitisreceived
bytheaddressee,and(b) inthecaseofanoticesentbypre-paidpost,onthedatewhenitwouldhavebeen
