ExclusionsSupply and Installation of the Utility MeterSwitchboard upgrades or required reworks needed to bring theexisting electrical switchboard to meet current electrical standards,changes that are needed to install the PV and Clipsal Pulse orelectrical balance of systems equipment. These will be quotedseparately upon inspection.Additional inverter costs for extended cable runs between inverterand the main switchboard greater than 5m in length or inverterCanopies are needed to fit with CEC standards. these will bequoted on inspection if required.When installing battery backup, a confirmation is required oninspection for which circuits can be used during a power outage.Additions due to Roof pitch angles over 30° that require additionalsafety restraints or equipment will be determined on inspection.If Roof Type is Kliplock and not identified to the sales staff beforequote acceptance extra charges may be included on inspection. 1.1 The following terms and conditions shall be read in conjunction with the Quotation and the Order Form that is provided toyou for the Solar Products and Services. To the extent there is any inconsistency between these documents theinconsistency shall be resolved in the following descending order of precedence:
(a) Order Form;
(b) Quotation;
(c) these Terms and Conditions of Sale.
1.2 You agree to be bound by these terms and conditions once you have signed and completed the Order Form andreturned it to New Energy Group Pty Ltd ABN 54 629 717 595 trading as Clipsal Solar (“Clipsal Solar”).
1.3 The Order will be deemed to be accepted by Clipsal Solar on the Day Clipsal Solar receives the Order Form signed byyou or if the Order Form is received after office hours, the next Day.
1.4 A full refund is available upon request if the site-specific full system design and performance estimate is provided afterpaying a deposit and is not consented to upon receipt.
1.5A full refund is available upon request if the final system design provided is significantly different to that quoted at thepoint of contract.
1.6 Clipsal Solar confirms that once the customer has signed the contract, any variations to the system design must bedocumented and signed off by the customer prior to the installation. All Clipsal Solar systems will comply with the CEC SolarRetailer Code of Conduct.
1.7 All defined terms shall have the meanings set out in Clause 12 of these Terms.
2 PRICE AND PAYMENT
2.1 You agree to purchase the solar products and services identified in the Order Form for the Price set out in the OrderForm.
2.2 You acknowledge that the Price is inclusive of GST and does not include any charges associated with the followingunless otherwise stated in the Order Form:
(a) Any electricity switchboard or meter upgrades or replacements;
(b) Any building works or excavation works such as trenches or similar works, or
(c) Any council building engineering approvals not already referred to in these Terms and Conditions;
2.3 You also acknowledge that the Price was based on information provided by you to Clipsal Solar. Clipsal Solar may revisethe Price if:
(a) either you or Clipsal Solar become aware that the information provided by you is incorrect;
(b) you do not provide Clipsal Solar requested information within a reasonable timeframe; or
(c) it becomes apparent to Clipsal Solar that there is not a suitable location at the Premises to install the Solar Products andServices without some further changes being made to the Premises.

(d) the access to your Premises requires additional equipment to lift or remove the solar panels
Clipsal Solar will try to agree a revised price with you. If agreement cannot be reached with you within five (5) Days theneither party may terminate the Order Form upon seven (7) Days written notice served on the other party and Clipsal Solarwill refund any Deposit already paid.
2.4 You agree to pay Clipsal Solar the Deposit when you sign and return the Order Form. You agree to pay the BalanceOwing of the Price to Clipsal Solar no later than two (2) Days prior to the date for installation of the Solar Products andServices. If payment is not made by this time Clipsal Solar will not proceed with the installation and Clipsal Solar may cancelthe Agreement in which case the Deposit will be refunded.
2.5 If you elect to pay all or part of the Price by credit card you agree and authorise Clipsal Solar to charge the credit card forthose amounts and acknowledge that Clipsal Solar will be entitled to charge a surcharge for credit card payments. ClipsalSolar will advise you of the surcharge prior to payment being processed on your credit card.
3 DELIVERY AND INSTALLATION
3.1 Clipsal Solar agrees to supply and install the Solar Products and Services at your Premises identified in the Order Form.
3.2 Title in the Solar Products does not pass to you until you have paid Clipsal Solar the full Price for the Solar Productsincluding any amounts due under Clause 6.5. Risk in the Solar Products will pass to you upon delivery of the Solar Productsto the Premises.
3.3 The Solar Products and Services offered by Clipsal Solar will require approval from the local utilities prior to theinstallation of the Solar Products and Services (“Connection Approval”). Clipsal Solar will apply for the Connection Approvalon your behalf and you agree to sign all necessary paperwork that is prepared by Clipsal Solar for approval.
3.4 You acknowledge that installation cannot proceed until the Connection Approval is obtained. If the Connection Approvalrequest is rejected, then either party may immediately terminate the Order upon written notice and Clipsal Solar will providea full refund of any payments including the Deposit and Balance Owing if already paid by you.
3.5 Clipsal Solar also recommends you contact your local utility and electricity energy retailer to confirm any impact theinstallation of the Solar Products will have on your existing tariffs.
4 AUTHORITY TO INSTALL
4.1 You warrant that you are the registered owner of the Premises and you authorise Clipsal Solar to install the SolarProducts and Services at the Premises. You agree to provide Clipsal Solar and its contractors all reasonable access to thePremises to complete the installation which may include but not be limited to site inspections (prior to the installation). Ifthere is any deterioration in the Premises between when the pre-inspection is made and the date of installation Clipsal Solarreserves the right to cancel the Order.
4.2 You or your authorised representative must be present at your Premises on the installation date to direct Clipsal Solar’sinstaller where to position the Solar Products and Services and sign off on the completed installation. If you or yourrepresentative is not present then Clipsal Solar will charge a rescheduling fee which will cover any reasonable expendituresby Clipsal Solar in having to reschedule the visit.
4.3 You agree that if any component of the Solar Products and Services is not available on the date of installation ClipsalSolar will be entitled to replace such component with an alternative component of equivalent or better specification than thecomponent being replaced. Any substitution of components or alternations in pre-existing system design will require a written approval from the customer,
prior to installation.
4.4 If the installation is on a tiled (terracotta) roof you must ensure there are spare tiles available in case there is somedamage to the roof during installation. Clipsal Solar’s installer will endeavour to replace any cracked tiles with the tiles youhave available. If you have no tiles available the installer will put in place a temporary solution to stop any water leakageuntil we are able to replace the tiles.
4.5 You warrant:

(a) that you have all necessary planning and building permissions required in order to install the Solar Products andServices and acknowledge that Clipsal Solar and its contractors will not be liable for any breach of any local governmentplanning laws arising out of the installation.
(b) there is no asbestos in the roof or switchboard or any other structure which Clipsal Solar’s installer will be required toinstall the Solar Products and Services. In the event asbestos is found you agree to have it removed at your own cost.
(c) the premises is not a heritage listed building, unless you have permission from the relevant authority to install solarpanels onto the heritage listed building.
5 ONGOING SERVICES
Clipsal Solar will install metering monitoring equipment to enable Clipsal Solar to monitor your electricity consumption and/orsolar photovoltaic system generation. You agree to download the Solar Analytics application on your mobile device (“SolarAnalytics App”) and the collection and disclosure to Clipsal Solar of your data by Solar Analytics on their terms andconditions which can be found at https://www.solaranalytics.com/au/term-and-conditions-privacy-policy.
6 SOLAR REBATES AND INCENTIVES
6.1 You acknowledge that the Price has been calculated on the basis that you assign all rights in and authorise Clipsal Solarto apply for the STC’s in your name and to trade or on sell or otherwise receive payment for those STC’s on your behalf. Youmust sign all documents requested by Clipsal Solar for an effective assignment as required by REC Act or REC Regulationsto obtain the benefit of the full amount of the STC Value.
6.2 Clipsal Solar will not be liable and does not warrant the value of any Small-Scale Technology Certificates (STC’s) or youreligibility for or value of any other tariffs such as feed in tariffs or incentives that might be offered by electricity retailers ordistributors. Clipsal Solar recommends checking with your electricity retailer on such incentives before proceeding with theinstallation and also after the installation.
6.3 The STC Value is based on current prices being offered for STC’s on the current market at the time of preparation ofyour Quotation. The STC value on your Order Form will apply (after Acceptance) to your Solar Products and Services unlessyou delay the installation by more than thirty (30) calendar days from the proposed installation date indicated in your OrderForm, or you request a delayed installation due to pending building works or renovations at your Premises.
6.4 If the installation is delayed as set out in Clause 6.3, the STC prices are subject to change between Acceptance and finalinstallation. If the STC price at the time of installation decreases from the price the STC Value is based upon then the partieswill need to agree to postpone the final installation or revise the STC Value and Balance Payable. In the absence of suchagreement either party may cancel the Order by giving the other party five (5) Days written notice and Clipsal Solar willrefund the Deposit.
6.5 If Clipsal Solar does not receive the benefit of the full amount of the STC Value for any reason whatsoever other thanany reason attributable to Clipsal Solar or any change of the REC Act or the REC Regulations, you must pay the amount ofthe shortfall (that is the difference between the STC Value and what is paid to Clipsal Solar for the STC) to Clipsal Solarwithin thirty (30) calendar days of Clipsal Solar notifying you in writing of the amount.
7 WARRANTIES
7.1 Clipsal Solar warrants that:
(a) All Solar Services will be performed in a professional manner with due skill and care, using appropriately skilled andqualified personnel and in accordance with all applicable laws and regulations;
(b) During the Warranty Period:
(i) the Solar Products will be free from defects;
(ii) that all workmanship including the workmanship of its subcontractors during the installation of the Solar Products will befree from any fault or defects; and
(iii) Operation & System performance will meet requirements.

For the purposes of this clause “Warranty Period” means the period of ten (10) years from when the Solar Products areinstalled. (“Clipsal Solar Warranty”)
(c) The Clipsal Solar Warranty set out in Clause 7.1(b) is provided subject to the following conditions:
(i) Clipsal Solar Warranty is transferrable to a successor purchaser of the Premises who becomes the registered owner ofthe Premises during the Warranty Period.
(ii) Any Warranty Claim arising during the period of the Warranty should be made in a timely manner (within one (1) calendarmonth) of the date upon which the circumstances concerning the Warranty Claim become known to you or ought reasonablyto have been known to you. A callout charge is payable if the claim is not covered by the terms of the Clipsal Solar Warranty
(iii) Clipsal Solar will not be required to repair Solar Products under the Clipsal Solar Warranty to the extent the defect arisesout of:
a. ordinary fair wear and tear of the Solar Products, and/or cosmetic changes only that does not affect performance;
b. any components, materials or workmanship or services of any description provided by or for you by anyone other than byClipsal Solar or persons acting on our behalf of Clipsal Solar;
c. works or services required or necessary to make the Premises suitable for the performance of the Installation, including,without limit, works or services involving the replacement and repair of existing plumbing fittings, flue, piping, floor coverings,wiring, roofing or tiling, or, the upgrade of any structural support at the Premises (such as additional supporting beams);
d. loss or damage arising from any matter happening after Installation such as weather conditions, any animals, pests,vermin, or similar events; or
e. loss or damage arising from abuse, misuse, theft, vandalism or a force majeure event such as weather or act of god.
f. consequential losses or loss of profit due to a government act, fire explosion, accident, discovery of hazardous material,civil commotion or industrial dispute;
g. will not be liable for issues caused by network problems such as voltage rise or power surges or anything else outside ofour control; or
h. lack of maintenance. Once installed it is the customers responsibility to ensure the system is maintained on a regularbasis, and in accordance with the Solar Products and Services manufacturer’s recommendations. 7.2 Any energy yield estimates provided by Clipsal Solar in its Quotation are estimates only and can be impacted by manyfactors which can have a detrimental impact on the yield of the Solar Products such as:
(a) Shading on the solar panels from trees or multi story dwellings;
(b) Orientation of the solar panels if they are not facing due North;
(c) The pitch of the solar panels if they are not at 30 degree pitch;
(d) Other factors outside the control of Clipsal Solar such as weather and the number of sunlight hours received
7.3 The Solar Products and Services come with guarantees that cannot be excluded under the Australian Consumer Lawand the above warranties are addition to those guarantees. You are entitled to a replacement or refund for a major failureand compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired orreplaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
8 PRIVACY AND INFORMATION
8.1 From time to time Clipsal Solar will need collect information from you for the purposes of filling out the necessarypaperwork to apply for the Solar Rebates (i.e. selling your STC’s) performing credit checks and providing Solar Products andServices (Information). Some of the information collected by Clipsal Solar from you may include personal information as thatterm is defined under the Privacy Act 1988 (Cth).

8.2 Clipsal Solar may need to disclose your Information to relevant Government authorities, its employees, installationcontractors and partners such as its metering services provider only to the extent they need such Information for thepurposes of providing the Solar Products and Services.

8.4 By agreeing to these terms you consent to Clipsal Solar collecting and using and disclosing your Information as set outin this clause.
8.5 You acknowledge that Clipsal Solar is part of a global company with legal entities, business processes, managementstructures and technical systems that cross borders. As such, Information may be collected and stored on servers located inother countries including the United States and in addition Clipsal Solar may share information about you within theorganisation and may need to disclose such Information to other countries in which Clipsal Solar does business for thepurposes or uses outlined in the Clipsal Solar Privacy Policy provided that at all times Clipsal Solar will comply with itsobligations under the Privacy Act 1988 (Cth) and its Privacy Policy.
9 EXCLUSION OF WARRANTIES AND LIABILITY
9.1 Other than the warranties set out in Clause 7, Clipsal Solar does not make any representations or warranties to you withrespect to the Solar Products and Services.
9.2 Subject to Clause 7.3, notwithstanding any other term in the Order, whether expressed or implied, Clipsal Solar’s totalliability under the Order arising out of or in connection with the supply of the Solar Products and Services whether incontract, tort (including negligence of any kind), will be limited to repairing or replacing the Solar Products and Services or ifin Clipsal Solar’s reasonable opinion, the Solar Products and Services or part of them cannot be repaired or replaced then arefund of the Price or part of it depending upon the defect.
10 CANCELLATION OF THE ORDER
10.1 If you fail to pay any sum due under the Order by the due date, Clipsal Solar may by notice, in addition to any otherrights it may have, suspend supplying the Solar Products and Services until all overdue amounts are paid. You will be liableto Clipsal Solar for all expenses, including reasonable legal fees, relating to the collection of overdue amounts.
10.2 Either of us may terminate the Order in accordance with Clauses 2.3 , 3.4 or 6.4.
10.3 Clipsal Solar may terminate an Order in accordance with Clauses 2.4 or 4.1 of these Terms and Conditions and youmay terminate an Order in accordance with Clause 4.3 of these Terms.
10.4 Clipsal Solar may terminate this Agreement at any time if in its absolute discretion it determines that the installation ofSolar Products and Services cannot be provided due to safety, access or building conditions issues or product availability inwhich case any deposit or amounts paid will be refunded.
10.5 You may terminate an Order at any time if Clipsal Solar varies the type or quantity of Solar Products to be provided oryou do not obtain Connection approval or there are any additional costs from the initial quote acceptance. In such eventClipsal Solar will refund the Deposit to you.
10.6 Any termination of an Order will not affect any rights or obligations which by their nature continue beyond the effectivedate of termination, including this Clause 8 (Privacy), Clause 7 (Warranties) Clause 9 (Liability).
11 MISCELLANEOUS
11.1 The Order will be governed by and will be construed in accordance with the laws of the State in which the Premises aresituated. Each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of the State in whichthe Premises are situated and its appellate courts and waives any right to object to proceedings being brought in thosecourts for any reason.

12 DEFINED TERMS
For the purposes of these terms and conditions the following defined terms have the following meaning:
Balance Owing Means the Price less the STC Value and the Deposit
Connection Approval Means the connection approval to connect the Solar Products to the electricity grid as set out inClause 3.3.
Day Means a business day in the State in which the Premises are situated.
Deposit Is the amount specified in the Order Form
Force Majeure Event Means an act of god such as fire, flood, lightening, act of war or civil commotion or terrorist attacks.
Order Form or Order Means the Clipsal Solar order form provided with the Quotation that is completed and signed by you.
Premises Means the premises identified in the Order Form
Price Means the price identified in the Order Form for the Solar Products and Services.
Quotation Means the original quote prepared for you by Clipsal Solar.
REC Act Means the Renewable Energy (Electricity) Act 2000 (Cth) REC Regulations Means the Renewable Energy(Electricity) Regulations 2001 (Cth)
Small Scale Technology Certificates (STC’s) Shall have the same meaning as set out under the REC Act and RECRegulations as may be amended from time to time.
Solar Products and Services Means the products and services identified in the Order Form.
State Means a state or territory in Australia
STC Value Means the initial value calculated by Clipsal Solar of the STC based on the current market at the time of thequotation.

The N-type doping of the NeON® cells results in extremely low Light Induced Degradation (LID) when compared with the standard P-type cells. This means more electricity generation over the life of the panel, as the panel degrades less.
