TBR Assessment Cloud Business Strategic Objectives

In 4Q15 Wipro engaged in new partnerships and made an acquisition to bolster its cloud capabilities. Alliances with specialized vendors such as Maxicaster, BlackLine and Apttus support Wipro’s strategy to improve its cloud services value proposition with differentiated solutions addressing industry-specific challenges. Wipro’s successful execution of operational realignment initiated last quarter and broad investments in intellectual property (IP) are leading to cloud revenue growth. However, client adoption of the vendor’s offerings and lower “as a Service” pricing models will take time to be adopted by clients, thus cloud revenue growth will remain in the low double digits for CY16.

Leverage partnerships to broaden portfolio of cloud-based solutions and better penetrate the enterprise market

Alliances and collaborations with industrialized vendors and technology-led vendors, such as Microsoft and IBM, help Wipro deliver differentiated solutions that address specific business requirements. By building expertise around IP-led platforms such as IBM Bluemix, Wipro fosters a value-driven approach to attract customers to its cloud portfolio. We expect joint ventures to help support Wipro’s goal to generate $1 billion in digital revenue annually by 2018.

Invest in global delivery expansion to extend the breadth of cloud-based infrastructure management capabilities

The centers of excellence (CoEs) Wipro launched in 3Q15 will continue to fortify the company’s position in its key geographic markets of the Americas and India. Building out its presence in core markets positions Wipro to engage with a broader range of customers, facilitating revenue opportunities.

Align organizational structure with shift to cloud services

With the creation of the Wipro Analytics business line, the company has been able to streamline delivery and drive social-, mobile-, analytics- and cloud-related client relationships and revenue growth. In 2016, Wipro will layer emerging technologies such as automation, cognitive computing and software-defined infrastructure (SDI) into cloud services.

Executive Summary

TBR Assessment of Wipro’s Cloud Business

To continue its ability to cross-sell clients, Wipro is adding emerging technologies to the solutions portfolio

Value Proposition and Messaging

TBR Assessment Wipro continues establishing and expanding strategic alliances to strengthen its value proposition. The company leverages technology relationships such as with Red Hat and Cisco to develop and deliver Internet of Things (IoT) solutions and a strategic partnership with Informatica to enhance front-office engagements for enterprise customers. Wipro cross-sells and upsells cloud migration advisory services and systems integration to clients, particularly those related to embedded analytics and social collaboration around human resources and finance functions.

Portfolio Strategy

Wipro’s Advanced Technologies and Solutions portfolio was renamed Wipro Analytics to reflect Wipro’s assertion that its social, mobile, analytics and cloud (SMAC) business has grown to what it considers “critical mass.” The company continues to leverage its digital business unit to accelerate client automation initiatives, backed by proprietary solutions around artificial intelligence (AI), machine learning and advanced analytics. ServiceNXT, Wipro’s cloud-based managed services platform, is a differentiator that supports client projects and drives expansion of infrastructure services.

Go-to-market Strategy

Leveraging its $100 million venture capital fund, Wipro continues to aggressively bolster its cloud portfolio with new IP, such as from its acquisition of Drivestream in 4Q15, to quickly scale the Wipro Digital business unit and enhance the company’s ability to deliver horizontally focused, outcomes-driven cloud solutions. Through M&A activity, Wipro hopes to jump-start revenue inorganically to keep pace with competitors.

Financial Strategy and Performance

Wipro pursues multiyear large-account sales in developed markets while continuing targeted expansion in emerging regions. TBR believes Wipro’s $300 million operational cost-cutting initiative for FY16 will pay off on its income statement as the company cultivates revenue streams related to digital, analytics, cloud, mobile, connected devices and AI. Continued investments in performance and outcome-based, higher-value offerings that embed cloud, mobility and analytics technologies will strengthen Wipro’s pricing power, improving its long-term margins.

TBR Assessment of Wipro’s Strategic Outlook

Key Takeaways

Financial Go to Market Resource

Wipro will invest in joint ventures to improve the success of its cloud services and develop supplemental solutions and add-on services, helping the company mitigate challenges in achieving its $1 billion in annual digital-related revenues by 2018.

Wipro will continue leveraging R&D, minority investments, partners and vertically applicable solutions to pursue large-account sales in developed markets and expand into emerging regions.

Wipro will invest in lateral hiring and training to support growth in cloud and mobility, while a revamped sales and delivery structure will focus on operational optimization.

As enterprise utilization of on-premises engagements shifts from product development to innovation enablement and design thinking, we expect Wipro to continue bolstering its global infrastructure with new facilities and CoEs throughout 2016. Talent acquisition and reskilling initiatives will also remain a crucial focal point for the company in the coming year, as enterprise clients are looking for services that help utilize cloud for generating business outcomes, rather than just IT transformation.

Demand for modernization through cloud drives Wipro to utilize a co-innovative approach to win visibility and favor with customers

STRENGTH OPPORTUNITY

• Low-cost resources, automation tools and standardized processes improve Wipro’s efficiencies and reduce costs for clients.

• A broad ecosystem of alliances with startups and global technology vendors supports development of integrated cloud solutions.

• Wipro’s investments in machine-to-machine capabilities differentiate it from competitors in the manufacturing and telecom industries.

• Penetrate challenged verticals with complex legacy infrastructures such as manufacturing and telecom with productivity and cost optimization.

• Use internally developed IP and codeveloped solutions to win hybrid integration and business intelligence (BI) contracts.

WEAKNESS THREAT

• Continued hiring of onshore consultants and delivery professionals will affect margins negatively and reduce Wipro’s pricing flexibility.

• Wipro is late to establish a dedicated solution accelerator unit, requiring the company play catch-up to peers such as Cognizant, which established a similar unit in 2012.

• India-based IT services peers such as TCS, Cognizant and Infosys invest aggressively to build out cloud offerings in healthcare, energy and retail, challenging Wipro to differentiate.

• Global ISVs are leveraging security software expertise and orchestration capabilities to gain traction and secure leadership, which may force Wipro to reduce pricing to stay competitive.

Revenue

$97M

TBR estimates Wipro’s cloud services revenue contributed approximately 5% of total corporate revenue in 4Q15, growing 16.1% year-to-year to $97 million. Wipro conducted several acquisitions in 4Q15 including Oracle cloud services provider Drivestream, which we expect to impact revenue positively in 1H16. TBR believes these acquisitions create momentum for winning deals, and business integration will pay off on Wipro’s income statement as the company cultivates revenue streams related to digital, analytics, cloud, mobile, consulting and AI.

SG&A Expenses

$12.4M

Cloud cost of sales rose 110 basis points year-to-year to 70.8%. We expect improved cost containment as Wipro continues streamlining its business and reduces operational costs. The company will also leverage the NexentaStor software-defined storage platform to reduce total cost of ownership (TCO) and improve scalability.

Operating Margin and Outlook

TBR estimates Wipro’s cloud operating margin decreased 120 basis points year-to-year to 16.4% in 4Q15. Increased operational efficiencies through automation and restructuring will offset investment costs in IP-based platforms, but industry-specific pricing pressures will persist, impacting margins negatively. Wipro’s corporate operating margin also dropped in 4Q15, reflecting the competitive pricing environment and erosion of legacy services businesses.

Financial Performance and Assessment

Competitive pricing pressures combined with ongoing investments will continue to pressure margins into 1Q16 Revenue and Expense Performance and Strategies

WIPRO CLOUD REVENUE BREAKDOWN

Public Cloud Revenue Private Cloud Revenue Cloud Professional Services Revenue

TBR

SOURCE: TBR ESTIMATES AND WIPRO

Public Cloud

TBR estimates public cloud contributed 5.1% to Wipro’s 4Q15 total cloud revenue and increased approximately 25.1% year-to-year to $5 million. Cloud partnerships and alliances with public cloud providers such as Amazon Web Services and NetSuite help Wipro address demand for industry-specific SaaS and Business Process as a Service (BPaaS) solutions. An increasing number of industry-specific deals give Wipro experience in public cloud and establish a marketable track record.

Private Cloud Private cloud revenue increased an estimated 12.9% year-to-year to $12.5 million in 4Q15 and accounted for 12.8% of total cloud revenue. In 4Q15, Wipro announced the purchases of Drivestream and Viteos Group, the latter of which is a provider of BPaaS solutions and services for the alternative investment management industry. We believe the acquisitions will position Wipro favorably to address both vertical and horizontal cloud workloads for customers in 2016.

Acquisitions will bolster Wipro’s delivery capabilities, helping the company quickly address client demands and retain accounts Segment Revenue Performance and Strategies

Financial Performance and Analysis

Professional Services

TBR estimates professional services accounted for 82% of Wipro’s cloud revenue and increased 16.1% year-to-year to $79.5 million in 4Q15. TBR’s 2H15 Cloud Professional Services Customer Research reveals enterprise budgets for cloud professional services are expected to grow worldwide in 2016, with the greatest opportunity for vendors with systems integration and consulting. Wipro is building its consulting capabilities via acquisitions.

Scenario Discussion

Strategic alliances enable Wipro to bolster its expertise around globally recognized IP, boosting the business value of Wipro’s cloud stack Scenario Discussion: Wipro is leveraging strategic alliances and acquisitions to accelerate cloud solutions development, creating new value propositions to assist clients as they shift to cloud environments

• As Wipro aims to capitalize on growing enterprise demand for digital transformation, the company leverages its broad partner channel to deploy new solutions and services quickly. In September, Wipro entered into a partnership with software provider Informatica to develop cloud-based CRM solutions. Under the partnership, Wipro will leverage its business process expertise and Informatica’s cloud platform to enhance the scalability of its CRM solutions for enterprise customers. Offering CRM through Informatica Cloud enables Wipro to quickly deliver its solutions to global customers at reduced cost, helping the company improve margins while ramping up services delivery speed. Additionally, Wipro is taking an industrialized approach to differentiating its cloud portfolio from peers such as HCLT, Infosys and TCS, evidenced by the December partnership with Microsoft to deploy its Travel & Expense Management solution on Microsoft Cloud as well as alliances with Enhanced Finance Controls and Automation (EFCA) software provider BlackLine and online managed multiscreen TV solutions provider Maxicaster formed in September.

• Wipro’s cloud business will grow at a faster rate due to acquisitions of small, pure-play vendors with horizontal, vertical or IP-focused capabilities, adding depth to the Wipro cloud stack. We believe the company’s 4Q15 purchase of Drivestream, a provider of Oracle-based cloud services, will help bolster the company’s value proposition to enterprise customers, providing revenue opportunities during 1H16.

Strength

Wipro’s large channel of technology partners provides a wealth of opportunities to integrate IP across its cloud portfolio.

Weakness

Limited consulting expertise will hamper efforts to win over C-level customers for cloud transformation projects.

Opportunity

Aggressively market and demonstrate industrialized capabilities to garner customer consideration over competitive offerings.

Threat

SI peers with broader depth around cloud orchestration, such as Capgemini, threaten Wipro’s ability to capture deals in key markets such as Europe.

Page 11: Wipro Cloud

Scenario Discussion

Software-defined infrastructure emerges as an area of opportunity, although Wipro must build up delivery capabilities to capitalize

Scenario Discussion: Infrastructure build-out remains key to Wipro’s ability to partner and deepen relationships with cloud customers using CoEs as a focal point

Software-defined infrastructure remains popular among enterprise customers seeking to improve the efficiency, performance and scalability of their IT environments. Recognizing this demand, Wipro is expanding its global data center infrastructure to provide clients with onshore services throughout the cloud adoption cycle. In August, Wipro established new CoEs in Mountain View, Calif., and Bangalore, India. The centers will focus on providing both proprietary and open-source solutions, including cloud, while also educating customers on interoperability and integration. By layering in cloud education as part of its SDI framework, Wipro brings additional value to its cloud portfolio, as findings from TBR’s 2H15 Cloud Professional Services Customer Research indicate education as the greatest area in which services vendors could improve.

Strength

Wipro’s CoE initiative focuses on fostering innovation for clients through joint design, testing and delivery engagements, moving Wipro up the value chain.

Weakness

Lack of brand recognition among clients as an SDI leader mitigates Wipro’s ability to win large, transformational contracts.

Opportunity

Establishment of new infrastructure bolsters onshore presence in larger, mature IT markets such as the U.S.

Threat

Competition for developer talent is fierce in Wipro’s target markets, including open source and cloud.

Page 12: Wipro Cloud

Geographic Assessment

Infrastructure build-out emerges as a vital piece to Wipro’s expansion strategy as the company seeks to build scale across mature markets

Americas EMEA APAC

Key Strategies

As Wipro seeks to enhance its brand recognition across North America, the company continues to build out its regional infrastructure with new delivery centers and design labs. With the construction of a new Open Data Center – Center of Excellence in the U.S., Wipro enhances its ability to test, develop and deliver new solutions integrated with the company’s services. Additionally, the December acquisition of Drivestream will lead to engagement opportunities with new logos in 2016.

While Europe remains a key geography for Wipro, the company lacks the presence regional SI vendors such as Atos, Capgemini and T-Systems enjoy, limiting its ability to generate large deal wins across the region. As a result, Wipro is building out its regional infrastructure to better address client demands for digital transformation, establishing a new digital pod in the U.K. during 4Q15. By fortifying deployment capabilities in Europe, Wipro enhances its ability to serve customers in adjacent regions such as the Middle East, improving revenue opportunities in 1H16.

Despite growth from its key India region, APAC remains Wipro’s IT services’ smallest market in terms of revenue. As Wipro seeks to enhance delivery capabilities and scale innovation across its global business, the company continues to invest in new resources and infrastructure. India remains Wipro’s key region in APAC, as evidenced by plans to expand headcount in Bhubaneswar and the establishment of a new CoE. The country acts as a springboard for expanding into other rapidly growing markets such as China and Singapore.

Growth acceleration remains a key objective as Wipro leverages its Analytics and Digital units to target large deals

Go-to-market Strategy: Market Segments

TBR Assessment of Wipro’s Go-to-market Strategy

Segment:

• Enterprise: TBR maintains its belief that Wipro will leverage its Wipro Digital and Wipro Analytics business units, in addition to venture capital investments, to capitalize on new opportunities to win large-scale transformational engagements, supporting short- and long-term revenue growth.

• SMB: The SMB market (i.e., companies with less than $500,000 in annual revenue) remains small for Wipro, as larger cloud deals have a greater impact on profitability. However, TBR believes platform-based cloud solutions in Wipro Digital’s vertical portfolio will continue to play a role in account expansion as large-scale, multiyear deals remain scarce.

Vertical: By emphasizing ease of integration across its solutions portfolio, Wipro promotes viable cross-selling opportunities for its digital offerings across verticals in which the company has solid customer and revenue bases, such as financial services. Industrialized offerings released over the second half of 2015, such as a Travel & Expense Management as a Service solution on Microsoft Azure, bolster Wipro’s ability to diversify its cloud stack while offering price-competitive solutions and enhancing competitiveness with services peers such as TCS and HCLT.

Geographic: Investments in new, onshore CoEs highlight Wipro’s commitment to capturing more outcomes-driven engagements, as the company bolsters sales and delivery resources across primary geographic areas such as the U.S., Europe and APAC. Wipro’s limited consulting brand strength in Europe and the U.S. drives investments around hiring and acquisitions to establish recognition for its Wipro Digital unit, impacting near-term margins.

Strategic Outlook Increasing cloud complexity, attributable to the growing adoption of hybridized IT and analytics solutions, is creating opportunities for Wipro to leverage IP investments and partnerships to win new contracts. Global multinational corporations (MNCs) are leveraging end-to-end integration expertise and consulting capabilities to gain traction and leadership, which forces Wipro to differentiate through investment spend.

Vertical Geo

Segment

TBR Assessment of Portfolio Developments • By utilizing its partnership network, Wipro is able to

bolster its cloud portfolio with IP-rich solutions and gain valuable cross-selling opportunities for both the company’s digital solutions and those of its partners.

• VEVATO Framework: Certified to run on Red Hat’s Enterprise Linux OpenStack Platform, the VEVATO Framework offers telecom customers third-party network functions virtualization (NFV) and business network functions for building and testing cloud infrastructure deployment.

• Live Workspace: Developed in collaboration with VMware, Live Workspace provides customers with an end-to-end, standardized and integrated applications environment.

• Travel & Expense Management as a Service: Jointly developed and branded with Microsoft, the solution aims to offer enterprises a scalable and efficient means for tracking, booking and analyzing corporate travel data.

Alliances In 4Q15, Wipro leveraged the depth of its alliance channel to enhance services expertise around transformative areas of IT, including Cloud and IoT. Through strategic alliances with large, cloud platform providers such as Oracle, Microsoft, Informatica and IBM, Wipro is better able to build horizontally focused solutions optimized to run on globally adopted cloud platforms, including Oracle Cloud, Azure, Informatica Cloud and Bluemix, bolstering the value proposition of Wipro’s solutions stack. Additionally, recent partnerships with smaller technology vendors such as Maxicaster and BlackLine enhance Wipro’s ability to differentiate from competitors, as the company utilizes partner IP to broaden its cloud services capabilities. Acquisitions Building upon its acquisition of DesignIt in July, Wipro announced it had finalized its purchase of Oracle Cloud integrator and services provider Drivestream in December. Following an initial minority stake invested in the company in March, Wipro is executing its strategy to bolster expertise around IP-rich cloud platforms such as Oracle Cloud, as the company utilizes its Wipro Ventures Investment Fund to purchase smaller, specialized technology providers. While we expect Wipro to maintain its purchasing activity throughout 2016, we anticipate Wipro will slow its pace of cloud acquisitions during 1Q16 as the company seeks to quickly integrate recent purchases to bolster portfolio value.

As enterprise clients seek to rapidly test, develop and deploy their cloud solutions, Wipro is building data centers to promote a secure yet agile environment for customers regardless of industry to adopt transformative solutions at low cost while leveraging automation and standardization to improve efficiency. The launch of new CoEs in 4Q15 demonstrates Wipro’s open data center strategy, which emphasizes customer centricity and vendor agnosticism. We expect the new centers to help Wipro attract cloud customers seeking customized cloud solutions throughout the 2016 calendar year.

As the IT industry continues to shift to transformative digital technologies such as cloud, Wipro will remain committed to fortifying its infrastructure. Wipro’s broad partnership network, which includes multinational technology-led vendors such as IBM, presents opportunities for Wipro to expand the breadth of its skill base with expertise around partner IP, as demonstrated by Wipro’s commitment to train over 15,000 developers to use IBM’s Bluemix platform. While Wipro is expected to continue emphasizing talent development in 1Q16, we believe a higher priority will be placed on building new cloud data centers and conducting acquisitions as Wipro seeks to quickly build scale to globalize delivery capabilities and generate opportunities in both new and established markets.

Headcount Performance and Strategy

Headcount Strategies • Headcount grew by an estimated 13.3% year-to-year and 3.1%

on a sequential basis, totaling 1,903 employees in 4Q15. We expect headcount to maintain double-digit growth in 1Q16 as Wipro continues to build up expertise around cloud infrastructure, applications development and BPaaS-related engagements.

• In 4Q15, Wipro announced plans to expand operations within its Bhubaneswar, India, center over the next few years. The first expansion is scheduled for 2Q16, adding over 1,800 employees, which will be followed by expansions of 5,000 additional employees in 2017 and 10,000 more by 2019. TBR believes the expansion comes as Wipro continues to bolster its delivery capabilities, helping the company more quickly deploy cloud services and solutions for enterprise customers.

• Skills development and talent build-up remain core facets of Wipro’s cloud strategy. Over the coming quarters, we expect the company to continue leveraging its extensive partnership network to bolster its expertise around partners’ IP-rich platforms, helping Wipro differentiate against competitors.

Talent acquisition and training remain at the forefront of Wipro’s drive to improve capabilities through an expert talent pool

Cloud and IT Environments

Hybrid Cloud

TBR defines hybrid cloud as cloud-to-cloud integrations across a single workload and between workloads. Two or more clouds (public or private) remain unique entities but are integrated by standardized or proprietary technology that enables data and application portability (e.g., cloud bursting for load-balancing between clouds); hybrid clouds include public cloud integrated with private cloud, private cloud integrated with private cloud, and public cloud integrated with public cloud.

Hybrid IT

An IT infrastructure, platform or application comprising cloud and on-premises technologies that remain unique entities but are integrated by standardized or proprietary technology that enables data and application portability (e.g., cloud bursting for load-balancing between environments); hybrid environments can be within a single workload as well as across two or more workloads.

Cloud Environments Definitions

TBR Cloud Definitions

Methods in Which Customers Purchase Cloud

Third-party Delivered Cloud services purchased and delivered through a third party, including ISVs, managed service providers and professional services vendors

Self-built Cloud (Components)

Hardware and software purchased to build and run a private cloud for internal use or constructed infrastructure sold to another party under a public or hosted deployment model

Brokered

Cloud brokerage includes the aggregation of cloud services into a catalog to centralize the comparison and purchase of services from multiple providers; the integration of multiple cloud services from a technical (i.e., data sharing, performance monitoring, cost optimization) and administrative (i.e., billing, metering, reporting) perspective; and the customization of cloud services, either through professional services or custom development

Page 34: Wipro Cloud

TBR

Wipro Cloud 4Q15 | Cloud Business Quarterly ©2016 Technology Business Research, Inc. 34

Public Cloud Definitions

Public cloud is a multitenancy offering serving the mass market. Public cloud infrastructure, platform and application offerings are made available to the general public or a large industry group (as a community cloud) and are owned by the organization selling cloud services. Pricing schemas such as reserved instance pricing do not impact the categorization of cloud services as either public or hosted private cloud. TBR considers services that provide virtual isolation as public cloud offerings.

Software as a Service (SaaS)

Applications that are sold on a subscription model, hosted by the provider, and made available via the Internet or another network; typical software includes CRM, analytics, asset management, knowledge management, application management, document management, IT service management, security, integration platforms and content management.

Platform as a Service (PaaS)

PaaS provides customers with the supporting technology to develop and run applications. PaaS offerings are sold on a per-use or subscription model, hosted by the provider, and made available via the Internet or another network. PaaS includes the operating environment, which manages workflow and collaboration, and the underlying hardware such as servers and networking. PaaS also includes application marketplaces, machine learning and DBaaS-based development.

Infrastructure as a Service (IaaS)

IaaS is infrastructure-focused resources such as compute, storage, data transfer and databases that are sold on a per-use or subscription model, hosted by the provider, and made available via the Internet or another network. IaaS provides the technology upon which applications and databases are run and hosted.

Business Process as a Service (BPaaS)

BPaaS combines business process outsourcing with an application delivered “as a Service” (e.g., SaaS). BPaaS automates activities for the service recipient. Typical processes include payments, billing, industry operations and e-commerce enablement.

Hosted Private Cloud Definitions

TBR Cloud Definitions

Hosted private cloud is a single-tenancy offering serving one client or large industry group in a community cloud. Hosted private cloud infrastructure, platform and application offerings are owned by the organization selling cloud services. Pricing schemas such as reserved instance pricing do not impact the categorization of cloud services as either public or hosted private cloud.

SaaS

Applications that are sold on a subscription model, hosted by the provider, and made available via the Internet or another network; typical software includes CRM, analytics, asset management, knowledge management, application management, document management, IT service management, security, integration platforms and content management.

PaaS

PaaS provides customers with the supporting technology to develop and run applications. PaaS offerings are sold on a per-use or subscription model, hosted by the provider, and made available via the Internet or another network. PaaS includes the operating environment, which manages workflow and collaboration, and the underlying hardware such as servers and networking. PaaS also includes application marketplaces, machine learning and DBaaS-based development.

IaaS

IaaS is infrastructure-focused resources such as compute, storage, data transfer and databases that are sold on a per-use or subscription model, hosted by the provider, and made available via the Internet or another network. IaaS provides the technology on which applications and databases are run and hosted.

BPaaS BPaaS combines BPO with an application delivered “as a Service” (e.g., SaaS). BPaaS automates activities for the service recipient; typical processes include payments, billing, industry operations and e-commerce enablement.
