IV. Project Outline

Below is the project broken down into phases so we can roughly see what we can expect over the term of the project. A full project management document will be created at the beginning of the project.

Phase 1 – Full technical scope and project plan to be discussed

Phase 2 – Submission of new website wire frame and technical sitemap

Phase 3 – Homepage designs and internal page submitted for approval

Phase 4 – Commence technical build

Phase 5 – Site population and go live

Please note that throughout the contract, Venn Digital may advise additional services at extra cost outside of this proposal for the benefit of Execuzen. We will always submit competitive quotes based upon our recommendations and no work will be carried out without your approval.

V. Technology OverviewAt Venn Digital we build all of our websites as fully Content Managed Systems. With our own in house .Net platform called Evolve we really know our CMS inside out. Unlike other platforms, there are no limitations; we can tailor the system exactly to your needs. We are big believers in making the system as simple as possible giving you the desire the keep your site updated and looking fresh. At the heart of every good website is a great CMS and we are very proud of ours.

Equally at the front end, our team of designers take the time to understand your brief and like any good architect, design something that is aesthetically pleasing but delivers a purpose. Meeting W3C compliance standards, search engines and DDA compliance we ensure the design meets and exceeds expectations of all technical bodies.

Execuzen will have full rights over all designs, images and content provided on the site at all times.

VI. Project Management

We will allocate you one of our experienced Account Managers who will be your main point of contact going forward. At Venn we train all our staff to have the client at the centre of all projects and therefore by being proactive and client facing, we can ensure you start with and continue to have the optimum solution for your needs.

We will create a secure online portal where we can share designs and feedback with you. Equally we will create an Account Management document creating very clear lines of communication and ensure nothing is lost in translation – resulting in the very best outcome possible.

VII. Execuzen – The Brief plus additional ideas……

Design an easy to use fully content managed ‘brochure’ website that is clean, informative and professional. The website should reflect Execuzen’s credibility in the market place.

To ensure the site represents global reach and does not favor one particular country. Shows a presence in London, Hong Kong, New York, Mumbai and Istanbul

Create one page per country detailing the types of roles available and a market overview. You may also want to consider country specific news feeds/ Bloomberg feeds/market updates to show you have your fingers on the pulse in each jurisdiction. A section on movers and shakers could feature here but as we discussed, it is time consuming and will need a lot of attention. You may want to consider this on a quarterly basis.

If a quarterly market report is produced then we will ensure circulation is optimised as discussed, using our email marketing software. This will provide the ability to track interest and capture data and will also be able to be downloaded from the site.

To create a ‘Contact Us’ call to action that maintains discretion. For example: enter name, contact number, job title and convenient time for a call back

Make reference to awards won on the home page to boost credibility and trust

Ensure the site is fully content managed by Execuzen and all content can be updated at no extra cost

Ensure that the user is a maximum 3 clicks away from being able to contact or engage with Execuzen

Make the Execuzen IT website more prominent on the site (to be discussed)

Integrate Google Earth to show position of every office in each country (if required)

Use imagery that represents the finance sector

Consultant biographies are not required however you may want to make reference to one consultant in each country as a point of contact

VIII. Your New Site (Below)This is a breakdown of how your new website will look once we have rebuilt the site. As you can see, we have stripped it down to make the site clearer, straight to the point and user friendly. Ultimately we are looking to engage the customer and ensure they find their required information as quickly as possible.

IX. Key Features on the New SiteFrom your brief and our experience we have tried to list below the most effective use of content on the website for you.

About Us – This is designed to give a personality and profile to the business. It is aimed at potential clients who want to partner with you, candidates who are looking to be placed by you or candidates who would like to work for Execuzen. This is the ‘shop’ window into your business.

Global Reach – We have included a page on each country to accentuate your global reach and also not show preference to any one jurisdiction. The types of roles available in each country/ recently completed mandates can be listed and also a market overview. As discussed, news feeds are an easy way of highlighting your market presence and do not require constant updating.

Areas of Expertise – This section is up for discussion as in the current site structure each area has a separate page. It may be more engaging to have just one main page that shows each area of expertise and then when you hover over a particular sector, more information becomes available.

Services – This section will mainly target your clients and will cover all aspects of consultancy, research and any other services you wish to highlight

Email Marketing – please see this section below as to how email marketing can help circulation of the quarterly market report (if you choose to produce one).

Contact Us – Along with integration of Google earth as previously mentioned, you have the option of adding an additional call to action here. This will be a discrete service that allows candidates to enter their details and request a call back at a time that suits them best. Candidates can maintain anonymity initially whilst Execuzen are able to screen the candidates at the same time (job title for example will be a mandatory field).

X. Email Marketing and Report Tracking

Email marketing is a key tool that can be utilised to increase market report circulation and distribution. Do not get confused between this solution and standard “email blasting”.

Email marketing allows you to segment and target a powerful database of visitors to your site and their website usage, alongside your current database of contacts. By capturing data we can not only see who has engaged in your site but we can now assign the lead to a consultant to follow up. Equally at Director level we can begin to measure ROI from the site to ensure every lead is being tracked and converted. *see example below

An additional benefit of email marketing is that it allows you to track the recipients’ behavior once the email has been received. Our system produces real time statistics so you can see the full extent of its effectiveness whilst keeping at the front of clients’ and candidates’ minds.

XI. Summary This proposal is our initial response to the ideas we discussed in our first meeting. We feel confident that through a new, well designed and structured website we can properly represent Execuzen as a business. If you feel we have missed any elements or you wish to extend on any points mentioned then simply get in touch and we can amend our proposal.

Terms and Conditions1. Interpretation of Agreement Terms1.1 In this agreement the terms shall have the respective meanings assigned to them. “Agreement” means these terms and conditions including payment terms and the order form enclosed. “The customer” means the company or person being supplied the services by Venn Digital Limited. “Commencement Date” means the date of commencement as stated on the order form. “Input Material” means information, data or documents supplied by the client relating to the contract. “The Services” means the supply of all web design & build, including programming and development, and or SEO, PPC, Email marketing of your contract. “The Supplier” means Venn Digital Limited.1.2 No addition, variation or exclusion of any of the terms in this agreement shall be binding without the prior consent in writing from a Director of Venn Digital.2. Contract Terms2.1 Services or products cannot be supplied to the customer until written acknowledgment that payment has been received (including email) by the supplier. 2.2 The Suppliers employees are not authorised to make any changes to the contract without a Directors approval from that of Venn Digital.3. Services Supplied 3.1 The Customer will provide the Supplier with reasonable access to its website and business where and when appropriate. Including but not limited by FTP access, CMS login, Google analytics and any other statistical information that will help the Supplier to deliver the services agreed in this contract.3.2 The Customer at its own expense will provide the Supplier with all the necessary documents and information in order to successfully complete the project in a timely fashion. The Customer is responsible for the accuracy of this information.3.3 The Customer at its own expense will retain a duplicate copy in the unlikely event of accidental loss or damage. The Supplier will take the appropriate and reasonable measures to ensure that this is prevented at all times.3.4 The Supplier when appropriate may liaise directly with the appropriate web agency, hosting company or third party supplier to The Customer in order to provide the services stated on this agreement. The Supplier will not be responsible for any act or omission by the relevant web agency, hosting company or third party, in the event where such an omission occurs.3.5 The Supplier will not make any changes to the content or copy of the Customers website without written (including email) consent from the customer. The Customer takes full responsibility of any changes that then go live on the world wide web. The Supplier may advise throughout the process about appropriate changes in order to enhance the final solution.4. Web Services 4.1 The Customer acknowledges and agrees that the Supplier may provide web and Digital marketing services to other businesses in the same sector. The Supplier will respect any IP development or confidential development specifically for or owned by the client.4.2 The website production timelines may vary due to the dependency on information supplied by the Customer. Customer changes to the original brief may also have an effect on cost and timescale of delivery. The Supplier reserves the right to revise all changes to the proposal until after these changes have been revised and agreed. The Supplier reserves the right to therefore increase or decrease the charges in order to deliver the project in a timely manner.

4.3 In no event shall the Supplier be liable to the client for any damages, loss of earning or otherwise in connection with the services supplied in this proposal. 4.4 With the exception of trademarked, copyrighted or other proprietary information in connection with the Customer brand or image, the Customer grants an indefinite unrestricted right to use or modify content for the website whilst in the control or hosted by the Supplier. 4.5 The Customer agrees to be solely responsible for the content of its website and accuracy of the information provided online.4.6 The Customer agrees to hold no ownership rights of the web development code, but not limited by external news feeds / video content incorporated by the solution. The Customer does however own 100 % of all web designs and development made for the purpose of this project.4.7 Web design projects will commence with one initial design that can then be revised up to 3 times. The Supplier thereafter reserves the right to default back to an hourly charge of £80 + VAT for any further design work to be carried out. 5. Hosting and Extended Services 5.1 In the unlikely event of web down time or network interruptions beyond the Suppliers control, no blame can be apportioned to that of the Supplier. The Supplier will take all reasonable precautions to ensure this doesn’t happen and in the unlikely event when it does, a solution will be in place in a timely fashion.5.2 The Supplier will provide reasonable levels of support and bandwidth to the client. In the event where it is recommended that there is an increase in the clients hosting provision, then a representative from the Supplier will make the recommendation in writing.5.3 The Supplier retains the right to increase charges in line with the increased demands of their Customers website, where appropriate.6. SEO Services 6.1 The Customer agrees to pay the set up fee and the 1st month’s payment in advance of any work carried out by the Supplier.6.2 The SO mandate must be signed and returned in time for the 2nd installment to be taken from the Customer’s account for the remaining term of the contract as stated in the agreed proposal.6.3 No guarantees of positions or time held at a position can be committed to due to the nature of search engines. However the Supplier will deliver a transparent and effect monthly report to ensure the Customer is fully aware of all marketing activities being undertaken every month.7. Invoice & Payment Fee Terms 7.1 All charges quoted to the client are exclusive of VAT for which the Customer shall be liable at the applicable rate at the time of the agreed contract.7.2 The Customer agrees to pay in full all costs to cover the solution or services provided by the Supplier. The schedule of payments will be as detailed in the proposal.7.3 The Supplier reserves the right to charge for any changes, upgrades or improvements to the proposal outside of the original specification. 7.4 The Supplier shall be entitled to invoice the Customer at the times specified on the proposal. If no dates are stated, the Supplier can invoice at the end of the month. 7.5 All payments must be received 30 days from invoice.7.6 If payment is not made on the due date, the Supplier shall be entitled to charge interest on the outstanding amount at the rate of 4% above the base rate as stated by the Bank of England.8. Termination of Services8.1 The Supplier can suspend or terminate the services of this agreement if the Customer fails to pay any sum of money out standing under this agreement and the sum remains outstanding after 15 days of written notice from the Supplier.8.1.1 If the Customer appoints an administrator, goes into liquidation, becomes bankrupt or makes a voluntary arrangement with its creditors.8.1.2 Fails to fulfil obligations under any part of this agreement8.2 The Customer will pay in full any outstanding sums owed to the Supplier and reimburse expenses up to and including the termination date.9. Dispute Resolution

9.1 In the event where there is a dispute directly relating to this proposal or terms, where logistically possible, senior representatives or Directors with the authority to do so, will meet face to face to resolve any outstanding issues. Where a face to face meeting cannot be scheduled a timely conference call must be arranged.9.2 In the event where the Customer and Supplier cannot find a resolution to the dispute, the Supplier will refer the case to a solicitors to deal with the matter going forward. In any claim the Supplier will submit a further claim for interest in accordance with clause 7.6 and all legal costs associated to the claim against the Customer.10. Limitation of Liability 10.1 The Supplier commits to deliver the Services in a timely and reasonable manner. Where IP or documentation has been supplied by the Customer, the Supplier commits to handing the documentation in a secure and safer manner. 10.2 Other than in the case of personal injury or death caused directly by the Supplier, the Supplier shall not be held responsible to the Customer by reason of any representation, or any implied warranty, condition or other term. 11. Confidentiality 11.1 As part of this document, each party will keep all technical and or commercial knowledge, inventions or initiatives completely confidential. Only with written consent can either party share any of the information with a third party or staff member on the basis of need to know.11.2 All related content and materials relating to this proposal and agreement will remain the property of the Customer. All documentation, data and supporting materials will remain the property of the Supplier at all times.12. Non – Solicitation 12.1 Both parties during or for 12 months after this agreement agreed not to solicit or entice any employee of the other. Where this agreement is breeched, other than having received written consent from a Director of the respective parties, the Supplier will invoice with immediate effect a sum of 20% fee for the involved parties’ annual salary.13. Assignment 13.1 Neither party in accordance with this agreement may subcontract any of its work or obligations under this contract without consent of the other. On the occasion that the Supplier needs to engage a third party for the completion of a project, the Supplier does not relinquish any of its duties in respect to completing the project as originally agreed.
