1. Documents Provided for Tender Purpose The documents specifically provided for the purpose of tendering (herein after

called “Tender Documents”) comprises two (2) volumes:

1.1 In addition to the documents listed above the Tenderer/Bidder is deemed to have in his possession copies of the following documents:

a. The Qatar National Building Specifications (QNBS) published by the Ministry of Public Works.

b. The Regulations for the Installation of Electrical Wiring, Electrical Equipment and Air Conditiong Equipment, fifth re-issue dated June 1986 issued by the Ministry of Electricity and Water.

c. The Rules, Regulations and Code of Practice for Design and Installation of Mechanical Ventilation and A/C Systems in Government Buildings, first edition 1985 issued by the Ministry of Electricity and Water.

d. Any local Municipality Regulations.

e. State of Qatar law number 8 of the year 1976 concerning the organisation of Tenders and Public Auctions, obtainable from the Government House, Doha.

f. Any current and relevant regulation, notice or circular issued by the Ministry of public Works or he of Industry and Public Works or the Ministry of Electricity & Water or the appropriate local Municipality.

g. KAHRAMAA STANDARDS / REQUIREMENTS

ALL SUPPLIES, WORKS, EQUIPMENTS, WORKMANSHIP, CABLES SHOULD FULLY COMPLY WITH KAHRAMAA STANDARD SPECIFICATIONS, TECHNICAL AND SAFETY REQUIREMENTS

h. SUPREME COUNCIL FOR ENVIRONMENT AND NATURAL RESERVES (SCENR) STANDARDS / REQUIREMENTS

ALL WORKS OF THE CONTRACTOR SHOULD FULLY COMPLY WITH “SCENR” STANDARD SPECIFICATIONS, TECHNICAL AND SAFETY REQUIREMENTS.

2. Submission of Tender

2.1 The Tenderer must adhere to the conditions stated in the “tender documents” and write the prices on the “form of tender” and its concerned appendices (B&D) on their company’s letter head in accordance with the provisions of these documents. Any offer that does not comply with these provisions shall be considered null and void

2.2 The Tenderer/Bidder must return the original “tender documents” duly filled

in with the required information without any alterations. Should there be any comments, qualifications, reservations or amendments, alterations to specifications or conditions they must be stated in a separate form of qualification and exceptions, Appendix - F, attached to this tender documents and indicated on the enclosed Tender offer.

2.3 Tender offer must be submitted in (3) three separate wax-sealed

envelopes with the information fill out on the sticker provided together with the tender documents for each envelope as mentioned in bellow: a) Tender Bond Envelope b) Technical Bid Envelope (submitted in original plus two additional copies) c) Commercial Bid Envelope (submitted in original plus two additional

copies).

The envelope (a) and (b) should have no bearing of prices anywhere. The three (3) separate envelopes must be placed into an outer sealed bigger envelope clearly marked on the cover the Number of Tender, Submission Date, Closing Date of tender and the Title of Tender .

2.4 Alternate Options Tenderer/Bidder may submit alternative tender offer(s) in benefit of the

required project in addition to the original tender offer should the “tender documents” so stipulate and if the tenderer/bidder deems it to be in the interest of the work or project financially or technically or with respect to any other consideration.

These alternate tenders offers will be presented in separate envelopes in the same manner as the original tender offers enabling a comprehensive evaluation of the tender offer. and should be clearly marked as Alternate Tender Offer A Alternate Tender offer B….. etc.

2.5 Tenderer/Bidder must include in his tender offer the following duly filled

in: a. The “tender form” on the letter head of bidder duly signed and stamped

by bidder’s authorized representative.

b. Tender Bond

c. Each page of “tender documents„ shall be initialed by the principal duly authorised to represent and bind the tenderer/bidder and stamped by the tenderer/bidder as token of their acceptance.

d. Format of Breakdown of the Prices - Appendix D

e. Format of Qualification/Exceptions - if any Appendix F

f. Tenderer/Bidder shall be clearly stated in detail the time schedule plan for the supply, the origin manufacturer, country of origin, packing details, implementation & completion of the all the works at the site(s).

g. Tenderer/Bidder shall submit copy of Annual Accounts duly audited by professional certified accountants for the proceeding three years.

h. Organization chart, indicating the name of companies and organizations which shall or may become responsible for the major activities.Site Organization chart indicating the number of personnel to be timely employed on site.

i. Layout and site installation camp including list of major equipment for the execution of design, materials supply.

j. Detailed diagram for training of QNCC personnel, if required.

k. The Tenderer/Bidder shall propose and implement the progress reporting on deisgn, engg., supply of the material/equipment(s) with its pertaining parts and associated accessories and erection, commissioning and hand over the project after completion on turnkey basis at Umm-Bab.

3. Filling of Tender /Corrections & Adjustment of Errors

3.1 No erasing, alteration or additions shall be made by tenderer/bidder to the

“tender documents” (other than filling in blanks where intended for that purpose),unless such alteration is made in accordance with an addendum issued by QNCC as hereinafter described.

3.2 Should there be any erasure or scratching out on the tender offer, it must be

signed and stamped by the tenderer/bidder

3.3 Prices and their particulars must be typed or written in ink and should not be written in pencil . All pages of the Tender Offer, especially those containing the total prices and their term must have the stamp of the company/establishment, affixed to them.

3.4 Tenderer/Bidder shall submit his tender offer in Qatari Riyals or US Dollars.

The related breakdown of the Contract fixed lumpsum price and all other monetary statements in connection with the tender offer are to be in Qatari Riyals or in US Dollars only.

3.5 The name of the responsible person signing must be typed or printed below

signature. The official stamp of the Tenderer/Bidder must be fixed.

3.6 In case of any differences, ambiguity or discrepancy between the original and other copies of the tender offer,the original documents shall prevail.

4. All questions/query or requests for clarifications pertaining to commercial, contractual or technical matters of these tender documents prior to submission of duly completed tender offer shall be addressed to address as per 7 below in writing , quoting tender number and title.

4.1 Tenderer’s/Bidder’s query shuld be in writing and address to the Chairman of

the committee mentioned herein at least eight (8) days before closing date and send to email address [email protected]. Queries raised therafter may be ignored.

Incase of any discrepancy ambiguity omission conflict appearing in the contents of “tender documents” the tenderer/bidder must notify QNCC timely and in writing Any request for the tender status after delivery of the tender offer should be sent in writing to the email of [email protected] no phone call will be accepted.

The tender offer must be handed over to the Tender and Procurement Committee’s General Secretary before being deposited in the respective tender box. The Tender and Procurement Committee General Secretary will issue a tender offer receipt against each received tender offer, indicating the time and date of receipt.

1. Validity of Tender

1.1 Tender offer(s) must remain valid for the acceptance not less than 90 days from the fixed date for closing of this tender.

2. Tender Bond

2.1 Tender Bond shall be enclosed with the tender offer in the form of bank guarantee (appendix A) issued by one of the first class reputable bank operating in the State of Qatar acceptable by QNCC amounting of QAR 500,000,00(Qatari Riyals Five Hundred Thousand) or equivalent to the same amount in US Dollars. It must be unconditional and valid for (120) days commencing from the closing date. The tender and procurement committee reserves the right to exclude any tender offer which does not include the required tender bond.

2.2 Upon the receipt of the 10% bank letter of guarantee/performance bond as

per specimen form of peformance bond given in these tender documents from the successful tenderer/bidder the tender bond should be returned to unsuccessful tenderer(s)/bidder(s). Successful tenderer/bidder’s tender bond would be returned after the receipt of this performance bond by QNCC from the successful tenderer/bidder before signing the Contract.

2.3 Tenderer/Bidder may not withdraw his tender offer or amend his tender

offer after the closing date of the above tender. In the event of his withdrawal his tender offer, bond would stand forfeited, without any contestation or claim from tenderer/bidder.

3. Expenses of tendering

QNCC will neither be responsible for any expenses nor losses which may be incurred by any tenderer/bidder either in the preparation of his tender offer or in any way whatsoever arising out of the invitation and elaboration of tender offer for the required Sub-Station subject to this tender.

4. Acceptance or Rejection of Tender Offer

4.1 QNCC has the right to cancel the tender without giving any reason/s and/or award it on partial basis. The tenderer/bidder is expected and deemed to have agreed to implement part of tender at the same prices as offered.

4.2 QNCC is “not” committed to accept any tender offer with the least price.

4.3 QNCC has the right to exclude tender offer(s) which are not conforming to conditions of this tender and/or tender offers that are submitted after the closing date and/or submitted without tender bond.

4.4 Each tenderer/bidder must demonstrate, that he and his employees had previously implemented other similar project, together with evidence that the this similar project has continued to be successfully operative for a period of time.

5. Evaluation of tender offer(s): All confirming & complete tender offer(s)

submitted to QNCC will be evaluated and the successful tenderer/bidder would be advised in writing of the awarding of tender subject to fulfillment of further formalities/conditions. Tenderer(s) will not be invited for opening their tender offers, the tender and procurement committee will notify in writing all the unsuccesful tenderers and tender bond will be returned for the concerned bank for cancellation.

6. Performance Bond

Successeful Tenderer/ Bidder will be required to submit Bank Performance Bond as per the specimen given in this tender document amounting to 10 % (Ten) percent of the tender offer total price, issued by a first class local bank operating in State of Qatar and acceptable to QNCC. This letter of Guarantee shall become effective before signing of Contract and shall be valid upto the expiry date of the Defects Liability Period plus forty five(45) days. If QNCC shall consider forfeiting the Bond or Guarantee he shall forthwith do inform the Contractor specifying the default of the Contractor. Upon which the Contractor shall remedy such default within thirty (30) days after registered mailing date of such notice or the Contractor guaranting the remedy of such default in a reasonable time acceptable by QNCC, then QNCC shall be entitled to require the Bond or Surety to be forfeited to the extend of the loss of the default.

7. Applicable Law

All disputes shall be as per Qatari Laws. Tenderer/Bidder shall be fully conversant with the laws, regulations and practices prevailing in State of Qatar.

8. BBrief Meaning 8.1 Tenderer or Bidder means any legal entity who has collected the tender

documents against the payment of tender fee and is in agreement with the conditions of tender documents and is abiding by them & is quoting /bidding in accordance with them and incase of award of this tender then the successful tenderer/bidder shall be called the Contractor or the Supplier in the Contract as the second party.

8.2 QNCC or the Owner means Qatar National Cement Company Q.S.C. P.O. Box 1333, Doha, State of Qatar, and shall be called the Owner in the Contract as the first party.

8.4 Variation orders means variations to any part of this Contract which may be

mutually agreed upon between the parties after the signing of this Contract. 8.5 Integral Conditions to Contract means the scope of supply and works, tender

general conditions, technical specifications and any appendices, drawings and schedules annexed thereto, if any or subsequently issued.

8.6 Contract means the agreement between QNCC and the succesful Tenderer/

Bidder for the supply, implementation and completion of all the works entrusted subject of the tender, including Form of Agreement, Conditions of Contract and the Contractor’s Offer approved by the Owner.

8.7 Tenderer/Bidder requirements means required engineer(s)/expert(s), tools,

equipments, drawings, testing and survey, investigation and items used by Contractor in discharge of their duties/obligations under the concerning Contract.

8.8 Insurance means the necessary insurance policies shall be issued by the

Contractor, as per the Conditions of Contract. 8.9 Drawings & Documentations means all drawings, information and

documentation specified in the Contract and all other documents as are required to be submitted by the company to the Contractor for the design, engineering, manufacturing and supply the required to materials/equipment(s) pertaining parts and all associated accessories to the site(s) @ Umm-Bab and implementation of all the required works at the site(s) as prescribed in these tender documents.

8.10 Sub-Contractor/Sub-Supplier means any person/s (Other than the

Contractor) named in the respective form of sub-contractor and Sub-suppliers Appendix E to the Contract for implementation of the scope of services or any person to whom any part of the Contract has been sub-let with the written

consent of the Owner.

Addenda means instruction issued at any time prior to the date fixed for

submission of the tender offer. QNCC” may issue Addenda in writing to all the participant Vendors in this tender (by fax or email) instructing them to delete or extend any item(s) into the “tender documents”. Any such addenda shall be construed as forming part of the “tender documents”.

Language of the Contract The Language of Form of Agreement and Conditions of Contract is Arabic and English, in case of a conflict found in the Form of Agreement or the Conditions of Contract, between the Arabic Text and English Text, the Arabic text shall prevail. All reports, designs, drawings, correspondence, etc. shall be in the English language.

11. Examination of Tender Documents/Site Conditions /Site Visit

11.1 Tenderer/Bidder(s) are advised to examine and thoroughly acquanit

themselves with the contents of the “tender documents”, and take all further steps necessary to ascertain for themselves entirely at their own expense, any additional information necessary for submitting a tender offer.

11.2 Submission of tender offer shall be deemed to indicate that tenderer/bidder

has satisfied himself regarding and undertakes to accept and comply with all the obligations, liabilities, responsibilities and risks imposed upon him by these “tender documents”. Submission of tender offer shall deemed to indicate that tenderer/bidder has made himself acquainted & satisfied himself with the prevailing risks associated with procurement, manufacturing, fabrication & transportation, customs etc associated with business in order to discharge his responsibilities/ obligation under these “tender documents”.

11.3 Tenderers/Bidders at their own expenses shall visit the site and obtain

themselves all information which may be deemed necessary to enable them to submit a fully comprehensive and sufficient tender offer.

11.4 No claim whatsoever will be entertained araising out of the tenderer/bidder’s

failure to study/understand the material, risks, laws, duties,and taxes as well as specifications, drawings, existing facilities etc. or to obtain reliable information in respect of project and its required material/equipment, pertaining parts and its associated accessories or otherwise.

11.5 The attention of the tenderer/bidder is drawn to the fact that the tender offer

has to be on fixed price basis with no provision for price variations for labor materials/equipment(s) supply currency variation taxes and duties, which may arise during the execution period of the Contract.

12. Exceptions/ Qualifications

12.1 In the event of tender offer’s intention of non acceptance/non

compliance/qualification of any of the condition/conditions as stated in “tender documents”, the same shall be listed clearly along with the changes proposed by him if any.

12.2 Any price implications arising out of such qualifications/exceptions shall be

enumerated in Commercial proposal at Appendix - F

13. Correspondence/Notices would be done by tenderer(s)/bidder(s) on the address of QNCC stipulated elsewhere giving Tender Number,Title of Tender . All Invoices /notices should mention the Tender Number, Title of Tender.

13.1 QNCC shall issue/send correspondence/notices to the Representative(if so

named) of tenderer/bidder as provided on the Contract.

13.2 QNCC and tenderer/bidder shall immediately notify each other incase of any change in such address for any reason whatsoever.

14. Programme

Tenderer/Bidder shall submit with his tender offer a comprehensive bar

chart indicating and distinguishing between the time for prepartion, mobilization designing, amending & completion of complete project at the site. tenderer/bidder time schedule shall be subdivided in various sub activities.Time schedule will become part of Contract. Tenderer/Bidder should propose his shortest possible supply, execution and completion time for the required new substation on turnkey basis @ Ummbab, State of Qatar. Tenderer/Bidder shall submit followings with his tender offer documents: 14.1 Organiztion chart , Indicating the name of companies and organizations which

shall or may become responsible for the major activities. Site Organiztion chart indicating the number of personnel to be timely employed on site.

14.2 Lay out and site installation camp including list of major equipment for the execution and completion project on the turnkey basis of the required.

14.3 Detailed diagram for training of the QNCC’s personnel, if any. 14.4 Tenderer/Bidder shall propose and implement the periodical progress report

and site meetings.

15 The Tenderer/Contractor shall take full responsibility to QNCC/Owner for any loss

or damage to property or equipment or personnel of QNCC/Owner due to any fault, negligence or act of tenderer/contractor or otherwise.

16. Contract

16.1 Successful Tenderer/Bidder would enter in a Contract with the QNCC outlining the conditions as enumerated in tender documents and with the Contract fixed lump sum price and additional conditions as agreed by either party to Contract.

16.2 The Contract will be drawn up in three originals duly signed by authorized signatories and stamped by official seal of either party to Contract. The Contractor would receive one copy of Contract.

16.3 The Contract shall be binding on the successor/s in the event of change in Ownership of either party.

16.4 Duly executed Contract shall be signed at Qncc’s Head Office in Doha, State of Qatar.

17. Delivery of Material/Equipment, Part(s) and its Associated Accessories.

17.1 Tenderer.Bidder shall include for all cost including design, engineering, procurement, cartage, haulage, freight, installation works included testing, commissioning and hand over the project after completion on turnkey basis as per technical specifications, drawing, terms & conditions mentioned in this “tender documents”.

17.2 The materials/equipment/part(s) delivered should be covered in itemized delivery order mentioning the details of tender number and other relevant information and shall be acknowledge by the Owner.

17.3 The place of delivery and completion of the 33/6.6kV new substation on turnkey basis, shall be as applicable on the following:

18 Principles & Agents

In the event that tenderer/bidder is not a legal entity at State of Qatar, it may name the local agent, if any. Incase of not having any local agent, the tenderer/bidder shall so inform . Incase a local agent in bidding on behalf of any overseas entity, he

should so inform.

20. National Preference

In accordance with the policy of State of Qatar, the tenderer/bidder shall provide from within the State of Qatar such products and works as are naturally exiting or produces in Qatar provided the quality, quantity, suitability, price and delivery makes it unpractical to use such domestic produced/available products.

21. Currency of Bid

Unless specified otherwise, the tenderer/bidder shall submit his tender offer in Qatari Riyals or US Dollars.

22. Payment Terms & Currency

The Payment of Contract total lump sum Price shall be settled as per the payment terms mentioned in the Conditions of Contract Sub-section 2.14 in these tender documents.

23. Mistakes & Errors

23.1 Tenderer/Bidder shall be responsible for any discrepancies, errors or omissions in the drawings and information supplied by him, whether they have been approved by QNCC or not.

23.2 Tenderer/Bidder, however, shall be responsible for any misunderstanding or incorrect information obtained, except having received eight (08) days a written interpretation about such conditions by QNCC.

23.3 Tenderer/Bidder shall at his own expense carry out any alterations or

remedial work necessitated by reason of such discrepancies, errors or omissions for which he is responsible and modify the drawings and information accordingly, otherwise if the same is done by or on behalf of the QNCC shall bear all costs reasonably incurred therein. The performance of his obligations under this clause shall be in full satisfaction of the discrepancies, errors or omissions.

24. Settlements of Disputes within the Duration of Contract. 24.1 In case of any dispute arising between the Contractor and the Owner, the

two parties shall first make an attempt to settle the same amicably as early as possible. If the dispute cannot be settled within 90 (Ninety) days of its

arising date of the same then shall be referred to Qatari Competent Laws. 24.2 No Question, dispute or indifference arising between the Contractor and the

Owner under the Contract shall be referred to the Qatari Court(s) unless they have failed to settle the same amicably within a period of 90 (Ninety).

24.3 Performance of the Contract shall Continue during judicial proceedings

unless the Owner shall order the suspension thereof, and if any such suspension shall be ordered the reasonable expenses of the Contractor occasioned by such suspension shall be included in the total lump sum price of the Contract if the Court(s) do decide. No payment due payable by the Owner shall be withheld on account of pending reference to the Court(s).

The Tenderer/Bidder shall state below the names and addresses of all sub-contractors and suppliers from whom he proses to obtain work and goods. Engineering and electrical sub-contractors proposed shall be named from the approved Government list appropriate to the category of installation to be undertaken in these Works. A copy of each all of the proposed engineering and electical sub-contractors licenses shall be submitted with the tender offer. The Tenderer/Bidder shall be deemed to have satisfied himself as to the sufficiency of his Tender offer, particularly in respect to works and goods to be provided by the proposed sub-contractors and suppliers. He shall ensure that all such goods or Works comply with the drawings, specifications and all other tender and standard documents and that the sum stated on the Form of Tender contains no qualifications. The sucessful Tenderer/Bidder shall not permitted to change any sub-contractor or supplier named in this list wihtout first obtaining the Owner’s writen approval.

Acceptance of the tender offer as a whole will not imply approval of any sub-contractor(s) or supplier(s) listed below. Full technical submissions will be required to be presented to the Owner for his written approval as required by the Conditions of Contract and the Specifications. 3. In the event of conflict between any part of the various documents listed in para: (2)

5. It is understood that the Contractor has obtained for himself all information complete in every respect including all technical aspects, site conditions and facilities at Umm-Bab. 6. The Contractor shall be fully responsible for

12. The Owner undertakes to pay to the “Contractor” all amounts due in accordance with payment terms mentioned in sub-section 14-2 of the Conditions of Contract.

The Owner has the right to deduct from the Contract price if found any income tax amount due on the “CONTRACTOR” as per Qatari law No. 21/2009,.

13. The Contractor shall arrange all the insurance

policies himself for the Works covering all risks as hereafter defined in the Conditions of Contract Section 2-15, and to be submitted to the Owner before commencement of execution the works at site. The insurance shall be arranged from an insurance company operating in the State of Qatar approved by the Owner.

shall be considered final after their approval by the Owner.

Means the actual place or places provided or made

The Owner shall be responsible for obtaining any land use, zoning or appropriation permission or approval required in Qatar for the Site, and the Contractor shall provide such assistance to the Owner in this regard as the Owner may reasonably request. The work shall not without the consent of the Owner, be delayed.

In case mutually agreed to make the payment by payment for the materail/equipment(s) total prices or advance (if any) Letter of Credit, the Letter of Credit will be established on written request of Contractor along with the Proforma Invoice including name, address with telephone & fax number, bank account number, branch, name of bank, amount, date, description of material/quipment(s) and validity required for the Letter of Credit. The Letter of credit shall be non transferable and non divisionable.

The Contractor shall save harmless and indemnify the Owner in respect of all claim, proceedings, damages, costs, charges and expenses whatsoever arising out of, or in relation to, any such matters in so far as the Contractor is responsible therefore.

The Contractor shall, in all matters arising in the performance of the Contract, Conform in all respects with the provisions of any Qatari Statue, Ordinance or other Law or any Regulation or by-law of any local or other duly constituted authority that shall affect the Contractor in performance of his obligations under the Contract, and shall keep the Owner indemnified against all penalties and liability of every kind for breach of any such stature ordinance, Law, Regulation or by-Law. The Contractor shall not make use of any explosives without the express permission in writing of the police

and other authorities concerned. The use, handing and storage of all explosives and the construction and location of magazines shall be subject to the approval of the authorities and of the Owner.

CLEARANCE OF SITE ON COMPLETION 2-22 :إخالء الموقع فور اإلكمال 2-22

From time to time during the progress of the Works, the Contractor shall clear away and remove from the site all surplus materials and rubbish, and on completion of the Works all Contractor's equipment and shall leave the whole of the site and works clean in a workmanlike condition to the reasonable satisfaction of the Owner and follow local municipal rules and regulations.

Contract and a maximum up to 10% of the total value of the content that shall not relieve the Contractor from any other of his obligations under the Contract.

The Contractor shall not alter the Works except as directed in writing by the "Owner".' The Owner" shall have full power, subject to the provisions hereinafter contained, from time to time during the

execution of the Works by notice in writing to direct the Contractor to slitter, amend, omit, add to or otherwise vary any of the Works. The Contractor shall carry out such variations and be done by the same conditions, so far as applicable, as though the said variations were stated in the specifications.

No work shall be covered up or put out of view without the approval of the Owner and the Contractor shall afford full

opportunity for the Owner to examine and measure any work which is about to be covered up or put out of view and to examine foundations before permanent work is placed thereon.

The Contractor shall give due notice to the Owner whenever

any such work or foundations is or are ready or about to be ready

for examination and the Owner, shall without unreasonable delay attend for the purpose of examining and measuring such works or of examining such foundations.

The Contractor shall take full responsibility for the care of the Works or any department, group or section thereof until the date of the Provisional Acceptance Certificate issued in respect thereof and in case any damage or loss shall happen to any portion of the Works not taken over as aforesaid, from any cause whatsoever, the same shall be made good by and at the sole cost of the Contractor and to the satisfaction of the "Owner". The Contractor shall also be liable subject to clause 2-29 (Limitation of Liability) for any loss of or damage to the Works occasioned by him or by any Sub-Contractor in the course of any operations carried out by him or by his Sub-Contractor for the purpose of completing any outstanding work for complying with his obligations under Clause 2-31 (Defects before Provisional Acceptance) and Clause 2-26 (Defects after provisional Acceptance).

Provided that the Contractor shall not be liable by virtue of this Clause in respect of damage or injury attributable to defects in any department, group or section of the provisionally accepted Works.

The liability of the Contractor to the Owner under Clause 2-28 (Liability for Accidents and Damage) for any act or default shall be limited to 20% of the total Contract Price. The Contractor shall have liability to the Owner in respect of any loss or damage to property, which shall occur during the period of execution of the Works up to Final Acceptance. The responsibility of the Contractor for collapse of civil structure (s) shall be ten (10) years from the final acceptance date of the Works.

إذا وقع أي حادث بسبب خلل أو فشل أو إغفال ، أو يتعلق باألعمال أو أي لحدوث أي شيء آخر ، فيما

If, by reasons of any accident or failure or other event occurring to, in or in connection with the Works or any part thereof, either during the

execution of the Works or during the Liability Period, any remedial or other work or repair shall, in the opinion of the Owner, be urgently necessary for the safety of the Works and the Contractor is unable or unwilling at once to do such work or repair, the Owner may employ and pay other persons to carry out such work or repairs the Owner may consider necessary. If the Work or repair

at his own expense under the Contract , all expenses properly incurred by the Owner in so doing shall be recoverable from the Contractor by the Owner, or may be deducted by the Owner from any monies due or which may become due to the Contractor, provided always that the Owner, as the case may be, shall, as soon after the occurrence of any such emergency as may be reasonably practicable, notify the Contractor thereof in writing.

No any member of the Owner's staff nor his representative shall be in any way personally

liable for the acts , or obligations under the Contract, or answerable for any default or omission

on the part of the Owner in the Performance of

any of the acts of the Owner, matters or things which are herein contained. The above mentioned regulation shall also apply to Contractor's staff and its Sub-Contractors, if any.

As soon as the Works have been completed in accordance with the Contract and have passed the Completion of Erection, the Tests on the Completion/Performance Tests and the expiry of Defects Liability Period in the aforesaid

sub-section 2-32-1 in this Condition of Contract, the Owner shall issue a certificate to the Contractor (Final Acceptance Certificate) in which he shall certify the date on which the Works have been so completed .

If any such defect shall appear or damage occur, the Owner shall forthwith inform the Contractor thereof; stating in writing the nature of defect or

damage. The Contractor shall forth with provide with all required materials, workmanship on his

expense for making good defects either by replacement or renewal of any defects or damage

to any portion of the Works or equipments in

partial or in complete.

The provision of this clause shall apply to all replacements or renewals carried out by the Contractor as if the replacements and renewals has been taken over on the date they were completed and accepted.

The maintenance/defects liability periods for the works shall be extended by a period equal to the period during which the works can not be used by reason of that defect of damage but not so as (in the case of any further defects or damage to such portion occurring during any such extension), to extend the Defect liability Period for the Works or that portion beyond two years from the Date of Provisional Acceptance.

if the nature of the defect or damage in such that repairs can not be expeditiously carried out on the Site. However, the Contractor shall guarantee the repair and the reinstallation of the same at no cost to the Owner.

FURTHER TESTS ON COMPLETION 2-32-7 :اختبارات إضافية عند االكمال 2-12-7

In case of any dispute arising between the Contractor and the Owner, the two parties shall first make an attempt to settle the same amicably as early as possible. If the dispute cannot be settled within Ninety (90) days of the its arising the same then shall be

referred to the Qatari Court(s). No question, dispute or difference arising between the Contractor and the Owner under the Contract shall be referred to the

Qatari Court (s) unless an attempt has first been made to

settle the same amicably within the said 91days.
