Investment Term Sheet for Phase 1 Company: Viewland Housing Corp. (“Newco”), a newly formed Alberta corporation,
indirectly owned by Rick and Rose Wilson
Project: Phase I – purchase of four (4) lots (Block 3, Lots 40-43) at River Ridge
Estates near Pigeon Lake, Alberta (the “Phase I Lots”), construction of
homes and sale of completed homes. The lots are presently owned by
Viewland Resorts Riverfront Ltd. and would be purchased from it for an
aggregate of $600,000 ($150,000 per lot).
Investment: $25,000 Note evidencing a loan to Newco, secured by the Phase I Lots
purchased
Terms of Note: -Notes will mature on the full repayment of principal and accrued interest -pro-rata share of the principal plus any accrued interest shall be payable at the time each of the first three (3) homes is sold -balance of principal is repayable and accrued and unpaid interest is payable once the fourth (4th) home has been sold -accrued interest on a Note will be calculated as follows: $ 25,000 x 75% of Newco’s revenues, less all
$1,600,000 expenses related, directly or indirectly, to lot purchase and construction of homes on the Phase I
Lots and all sale and other ancillary expenses, for each completed fiscal year
-interest will be accrued and paid at the time of repayment of principal on the Note
Aggregate Planned Note Offering
for Phase I: $1,600,000 (64 Notes)
Note Subscription for Each Closing: $400,000 (16 Notes), with one (1) of the Phase I
