UniCarriers Americas Dealer Brand Conversion Assistance Program July 24, 2013

Purpose: The Brand Conversion Assistance (“BCA”) program is designed to provide authorized UniCarriers Americas Corporation (“UCA”) Dealers financial assistance for qualified expenses related to the brand conversion from Nissan Forklift or TCM to UniCarriers.

Availability of Funds: Through the BCA program, each authorized UCA Dealer will be reimbursed through their Parts Account a predetermined amount. Based in U.S. currency, each amount credited will be determined based on a sliding scale up to 100% of the cost of the item(s) claimed. The BCA Program includes a list of qualified expenses and reimbursement allowances for each claim.

Program Period: UniCarriers has authorized use of the Nissan Forklift and TCM logos for at least two years from April 1, 2013 and up to three, concluding March 31, 2016. We understand a transition of this magnitude may be formidable and measured. Therefore Dealership funds under the terms of UniCarriers Americas BCA Program will be available for use during the period April 1, 2013 through February 15, 2015. Expenses must be incurred during this period for eligibility. BCA dollars will be available until the dealership has exhausted its allocation, or until February 15, 2015, whichever comes first.

Program Eligibility and Methodology: Dealers must have purchased a minimum of one wholesale unit in calendar year 2012 to qualify for the Program. Qualifying dealers received a fixed per unit allocation extended by their 2012 wholesale units. All active UniCarriers Americas dealers in good standing with UCA are eligible to participate in the BCA Program.

Program Coverage: The BCA is not a shared (co-op) fund program. Instead, each Dealer’s allocated amount is based on a pool of funds specifically designated to help cover brand conversion expenses incurred by changing from Nissan Forklift or TCM to UniCarriers. UCA may, at its sole discretion, limit the reimbursement percentage of any item covered under the terms of the BCA program. UCA encourages reading these guidelines carefully to fully understand the requirements for appropriate use of funds to take full advantage of the program’s benefits. The BCA funds are intended to benefit specific promotion and conversion costs relating to the UCA brand. Therefore, if banners, service vehicle decals, business cards or a dealer website (or other items mentioned on the pages that follow) include the promotion of a product or parts supplier other than UCA, UCA will respectfully deny the reimbursement claim or lower the percentage reimbursement allowance at its sole discretion in favor of other claims that promote the Nissan Forklift or TCM by UniCarriers brand in full. In the case of products that directly compete with the UCA brand, it may result in UCA denying the claim in its entirety. All “major” brands of Class I-V products that are not Nissan Forklift, TCM, or Barrett are considered competitors. Unused Funds: We encourage every dealer to use all of their Brand Conversion Assistance funds. All BCA funds not used by February 15, 2015 will be forfeited back to UCA. Approved expenses incurred during the program period after April 1, 2013 must be submitted to UCA for processing no later than February 15, 2015. This policy will be strictly enforced.

Sliding Scale Reimbursement: The following is a list of qualified sales and marketing tools, and corresponding maximum percentage of reimbursement available for each. Each claim must be submitted online at:

1. Business Cards / Stationery: Up to 90% BCA reimbursement

Dealers may be reimbursed up to a maximum of 90% of their printing costs for new business cards, letterhead and envelopes which include a UCA brand logo. The percentage of reimbursement is dependent upon the size and area used for the UCA brand on the printed items. Refer to UCA’s Visual Identity Guidelines (which are incorporated into the NFC Manual) for the minimum size allowed for UCA brand logos and areas pre-approved for UCA logo placement. Use the “Nissan Forklift by UniCarriers” or “TCM by UniCarriers” logos only. UCA will determine whether 10%, 25%, 50%, 75% or 90% coverage will be approved at its sole discretion. The following documentation must accompany your claim reimbursement request:

1) Photocopy of both sides of the business card [1 side only for letterhead or envelope(s)]

2) Copy of the final invoice for each printed item

2. Service Van Decals: Up to 90% BCA reimbursement

Dealers may receive a maximum of 90% reimbursement for costs associated with the production and installation of custom decals for their service vans. The percentage of reimbursement is dependent upon the total amount of space used to promote the UniCarriers brand, logos and/or products. Refer to UCA’s Visual Identity Guidelines (which are incorporated into the NFC Manual) for recommended decal designs. UCA will determine whether 10%, 25%, 50%, 75% or 90% coverage will be approved at its sole discretion. The following documentation must accompany your claim reimbursement request for each vehicle:

1) 3 photos of each vehicle – 2 sides & 1 rear (provide VIN for each)

2) Copy of the final invoice for each vehicle

3. Non-Standard Dealer Exterior Signs: Up to 75% reimbursement

The UCA Dealer Exterior Sign Program is available for all authorized dealers, which includes a replacement panel and/or standard illuminated outdoor sign for the main location and each branch location. Details and requirements for the dealer exterior sign program are provided in a separate document. Dealers who choose not to participate in the UCA-sponsored sign program may still receive reimbursement for costs associated with producing a custom sign. UCA will determine whether 10%, 25%, or 75% coverage will be approved at its sole discretion.

Requirements: Signs that include only the Dealership name/logo in addition to the “Nissan Forklift or TCM by UniCarriers” logo may receive as much as 75% reimbursement. This amount will be reduced and/or denied

as additional competitor names/logos are included on the sign. The maximum reimbursement for custom signs including competitive OEM brands is 25%.

The following documentation must accompany your claim reimbursement request:

1) Design proof (illustration) or photo of the final custom sign which includes the “Nissan Forklift or TCM

by UniCarriers” logo

2) Copy of the estimate or final invoice

4. Dealer Websites: Up to 50% BCA reimbursement

UCA will reimburse up to 50% of the costs associated with replacing previous Nissan Forklift or TCM or Barrett brand truck photos and logos to the new “by UniCarriers” brand. All references to ‘NISSAN’ must be removed. Expenses incurred due to transition to the new DURA-LIFT brand are also included. Final decisions on the reimbursement percentage will be determined in part by the amount of UCA product content included on the revised website. UCA will NOT cover standard maintenance costs or monthly hosting fees. UCA will determine whether 10%, 25% or 50% coverage will be approved at its sole discretion. The following documentation must accompany your claim reimbursement request:

1) URL for each web page where work was completed to revise the brand

2) Copy of the estimate or final invoice (highlight the portion related to brand conversion only)

5. Dealership Hanging Banners: Up to 100% BCA reimbursement

Option A. Pre-designed banners are available to hang inside your Dealership. The cost is $75 each (plus tax and shipping) for a single-sided banner (6’ x 3’). These banners cannot be customized. (Go to Page 5 for available designs.) This hanging banner option is covered under the BCA program at 100% and eliminates the need to incur upfront costs or require a claim reimbursement*.

After your banner order is shipped, UCA will automatically debit your dealership’s BCA funds for the total amount including tax and shipping costs. No claim submittal is required.

*NOTE: For Dealers outside the U.S. and Canada, UCA recommends that you produce hanging banners locally to save on costly freight charges. Follow the link above to place your request and receive the original design file(s) to submit them to your local sign manufacturer. Suggested vendors are provided upon request. After your purchase is complete, then follow standard claim procedures to receive BCA reimbursement.

Option B. For custom banners that you create, Dealers must first submit designs for approval to determine qualifying reimbursement. The percentage of reimbursement is dependent upon the size/percent of available space that includes the UCA brand (logo and/or products) on the printed item. UCA will determine whether 25%, 50%, 75% or 100% coverage will be approved at its sole discretion.

The following documentation must be sent to [email protected] prior to banner production to pre-qualify for claim approval:

1) Design proof (illustration) of custom hanging banner

2) Copy of the project estimate

After the banner is produced, Dealers must then submit a claim for reimbursement. The following documentation must accompany your claim reimbursement request:

1) Photo of each banner inside the dealership

2) Final invoice 6. Dealership Retractable Banner Stands: 100% BCA reimbursement through UCA’s offering

Rectractable banner stands are a versatile marketing tool; not only in your dealership’s lobby or parts area, but their portability make them ideal for use at tradeshows or other customer events.

Through UCA’s BCA Program, dealers can purchase these light weight and easy-to-use stands for $215 each (plus tax and shipping costs). These banners cannot be customized. (Go to Page 6 for available designs.) Retractable banner stands are covered under the BCA program at 100% and eliminate the need to incur upfront costs or require a claim reimbursement*.

Required Documentation: Proper supportive documentation (e.g. paid invoices, samples, pictures, etc.) will be required with each claim or the claim will be delayed or denied. Please refer to required documentation for each type of expenditure in the preceding pages. Claim Requests: After you have made a qualifying expenditure, submit your BCA claim at:

Important Notes: a) Only one claim per submission. b) Each claim must be accompanied by the required documentation. (attach scanned or original digital

file) c) If the required supportive documentation (e.g. paid invoices, pictures, etc.) is not included, the claim

will be delayed or denied. d) After your claim has been approved and processed by UCA, your parts account will be credited for

the approved amount (if applicable). e) Your Dealership will receive a copy of the credit memo regarding the adjustment to your parts

account. f) If at the time of claim submittal, it is determined that your BCA balance has been exceeded, the

difference will be deducted from the amount being credited. g) Allow up to 4 weeks to receive parts account adjustment.
