Result testing to these standards demonstrate that the Ultramax Sicorair Aluminium Piping

Rust & Corrosion Resistant Traditional systems often have inherent issues with corrosion and rust due to the materials they are made from, with years of continuous use seeing interior surfaces become pitted and worn. This leads to greater pressure loss, contamination and ultimately higher running costs. With the Ultramax Sicoair Aluminium piping system this is no longer an issue as Aluminium is both corrosive and rust resistant, allowing it to continue to work at peak efficiency far longer than traditional systems.
Smooth Bore Constant pressure drops require compressors to work harder and reduce tool efficiency and productivity, and the rough, porous interiors of many traditional piping systems are often the cause. In comparison the smooth bore of Ultramax Sicoair’s Aluminium piping provides better flow and reduced pressure drops, improving system efficiency and reduces ongoing costs.

Designed with quality in mind our fittings are manufactured from Akulon Polyamide, one of the most highly used industrial grade plastics, renowned for its robust strength, high detail finish, cost effectiveness and long service life.

Our fittings make use of a series of grip rings, seals and o-rings to ensuring said leak tight join. Ultramax Sicoair Piping Systems Ultramax Sicoair Piping SystemsCondensation within air systems occurs naturally and can often undermine the efficiency of an otherwise excellent air solution setup and potentially lead to damaged equipment. Solutions are often found through the use of cumbersome swan-neck setups and costly drainage points.
The Ultramax Sicoair range of innovative anti-condensation fittings alleviates this issue. Through the use of efficient internal system designs, fluid is trapped within the ring main, preventing it from reaching and damaging any connected equipment. This condensation can then be drained off conveniently at one main drainage point.
Our range of condensation fittings also function as reducing tees for drop leg setups and components, removing the need for further fittings, and can be used both horizontally and vertically with 360-degree rotation.
Aluminium is renowned for being both light and strong, qualities that make it ideal for use as a piping system material. These qualities become obvious when comparing the internal diameters of Aluminium pipe with that of traditional pipe systems. Aluminium pipe’s natural strength and rigidity allow pipes to be produced with much thinner walls and larger internal diameters, in turn creating a larger bore and resulting in increased flow rate and reduced pressure drop when compared to pipe of a similar size in a traditional material.
Consequently as the associated table shows, Ultramax Sicoair Aluminium pipes can often be used in the next size down and still achieve the same or better flow rate and performance that could be expected from a large size pipe in a traditional material.
If you have ever wanted to be able to tee-in or modify an existing compressed air system on the fly, without the need for a complete shut down, then the Ultramax Sicoair Hot Tap saddles are just what you need. Designed around an innovative live drilling system, installers are able to safely and efficiently drill into a compressed air piping system whilst under full working pressure and fit a host of connections and droppers.
Our quick and easy Hot Tap process can be carried out in minutes by utilizing our purpose built drill kits, which not only allow installation and drilling under full pressure but also integrates an exhaust chamber system, which traps particles and debris. This catchment system ensures that no contamination enters the piping, maintaining the system’s integrity and efficiency throughout the installation. See our technical section for full details.

Ultramax Sicoair System SetupSetting up an Ultramax Sicoair pipe system requires 3 simple steps, outlined below
A pipe size should be selected using the chart below which allows for maximum compressor output in Free Air Delivery (F.A.D) at 8 bar (800Kpa). This table shows pipe selections based on distance from compressor to most distant outlet of the pipeline. Allow additional margin for long distance and future expansion requirements. Closed ring main systems provide significantly higher flows. 1. Determine the diameter you require for your pipe system network by choosing the flow rate of your compressor equipment in the green column. 2. Then choose the distance between the compressor and the outlet at the most distant location in the blue column. 3. Where the flowrate line and the distance line meet, select the required diameter.

Drip leg drains are best installed at low points in your piping system and at the far end of the distribution network where water is likely to accumulate.A ball valve is recommended and should be installed above the drain so that the Dripleg Drain can be isolated for recommended periodic maintenance required for the unit.
The air line drops are taken from the top of the main line, preventing any condensate which forms in the main line from following into the branch lines.

Also called mechanical separators, centrifugal separators use cyclonic motion to force liquid water out of compressed air. The spinning causes the condensate to join together on the separator walls.
When the condensate gains enough mass it falls to the bottom of the separator bowl, pooling in the sump. It is then fl ushed out of the system by the automatic fl oat drain valve.

Nylon (Polyamide), invented in 1928 by Wallace Carothers (DuPont) is considered to be the first engineering thermoplastic. It is one of many heterochain thermoplastics which has atoms other than C in the chain. Nylon is created when a condensation reaction occurs between amino acids, dibasic acids and diamines. Ultramax Sicoair fittings are manufactured from High Quality Akulon Nylon Polyamide Engineering Plastic. These fittings are very strong, highly robust, impact resistant and offer good chemical resistance. Akulon Nylon has been chosen due to its brilliant tensile strength, rigidity and temperature resistance and have been tested to 10x working pressure.
Piping Electrolysis and Galvanic Corrosion
Electrolysis is defined as “the decomposition into ions of a chemical compound in solution by the action of an electric current passing through the solution.” For example, electrolysis occurs when a battery corrodes. Electrons move between two dissimilar metals via a solution high in total dissolved solids (TDS). Electrolysis can occur in a building through a pipe system where brass fittings and aluminium pipe connect, causing the surface of the different pipe materials to corrode, ultimately leaving pipe surfaces pitted and scaled. Ultramax Sicoair Polyamide fittings act as an excellent isolator by breaking the electrolytic bridge between pipe and fittings preventing electrolysis degeneration occurring in the piping system.

Residual Guidelines Installation techniques and operating instructions need to be used when installing a new system. This ensures the safe operation of the system. Factors such as pressure and temperature affect any pipe system. Ensure that all these system requirements are calculated into the design and engineering of your system. Safety risks are increased if a system is not compliant with the correct installation and operating techniques. Residual risks are can be caused by many varying factors. Pay particular attention to criteria such as pressure vs temperature, plant vibration, and correct installation of pipe fittings. Any pipe system should only be installed by suitably competent and experienced personnel. All pipe and fittings should be inspected annually to review the service status of the pipeline. Any defects should be noted and maintained. For a chemical compatibility chart, contact our technical department.
Exterior Pipework & Heat Sources Ultramax Sicoair is suitable for outdoor installation. Nylon Akulon PA6 fittings are UV resistant. In the event that Nylon Akulon PA6 fittings being exposed to direct sunlight, as with all Polyamide fittings exposed to external weathering, there may be some reduction of impact resistance over time. Industry best practice of shielding fittings from direct heat and weathering should be adopted to prevent excessive exposure to increase the longevity of the fittings.
Annually inspect all pipe, fittings, hoses, supports and fixtures to ensure system is in good condition, appropriately secured and leak free. In the case of shock, vibration or degradation, check the pipe work and in case of damage, replace any damaged or leaking fittings.
Sample Technical Specifications 1.1 Piping and Materials
Aluminium piping for compressed air piping shall be light blue in colour, of Aluminium 6060 and conforming to AS/NZS 4041 commercially known as Ultramax Sicoair.
The compressed air reticulation piping systems to be provided under this specification shall conform to AS1867 and EN13480. Maximum operating pressure shall be rated at 13 bar at a temperature range of 0°C to 70°C.
Aluminium piping shall be of a modular proprietary system such as Ultramax Sicoair.

Compressed Air Pressure and Flow Table
IMPORTANT Any work or adjustments to the system should only
be done once it has been de-pressurised!
Four factors need to be taken into consideration when selecting pipe sizes for compressed air reticulation.
A pipe size should be selected using the chart that allows for maximum compressor output Free Air Delivery (F.A.D.) at the required operating pressure and allow an additional margin for long distance and future expansion. In practice we recommend a minimum reserve margin of 30%. Larger pipe provides reserve capacity for peak demands.
PRESSURE/FLOW TABLE Maximum recommended air flow for each pipe size.
The flow values allow for a pressure drop of 4% of applied pressure over 30 metres of pipe. If a maximum pressure drop of 2% is desired, figures listed above should be de-rated by approximately 20%-30%. The above table is calculated using values derived from Mueller’s formula for gaseous flows. These values are for estimating purposes only.
Before installation begins be sure to check the installation environment for chemicals that may be present that may not be compatible with Akulon, NBR and Aluminium, referring to the “Compatibility Table” available from our technical department for reference. Give due consideration to thermal expansion and contraction by following the installation instructions.
Preparing the Pipe
Using the appropriate tube cutters, position the tube cutter square/perpendicular to the pipe which is to be cut, and complete the cut insuring that the cut is clean and square.
Use a pipe chamfering tool to remove any burs that maybe present after cutting. Due consideration should be give to any interior burs that may result for the cutting procedure. Any external burs could cause the O-ring to not seal correctly.
The chamfering operation, which is essential to avoid damaging the O-Ring seal, must meet the conditions outlined in the following steps
Proper Pipe Support
All pipe work must be adequately supported - Use a teflon tape sealant on all threaded connections. We recommend Ultramax PTFE Gas Tape. Do not over tighten threaded fittings. The right way to assemble a threaded fitting is finger tight plus one to two turns - no more.
IMPORTANT - For a perfect link between the pipes, it is recommended that the cut be perfectly perpendicular, remove any burrs and chamfer the edge in order to protect the seal during insertion. During cutting and chamfering avoid damaging the painted surface of the sealing area (about 50 mm from the end of the tubes).
Assembling Pipe - Fitting Make sure that all parts of the connector are properly mounted. Carefully check the orientation of the grip ring, if it is installed incorrectly, the tightness of the connection is not guaranteed.
Before inserting the pipe into the fitting, screw the lock nut up against the tooth of the self-locking device and no further. The tube is inserted into the fitting up against the setback, over the seal. To ensure that this is done you can check by creating a mark on the tube starting from end to the measurement “L” shown in the table below.

The blue R235 locking key has a break that turns out to be the template to mark the correct reference position of the pipe in fitting.
To facilitate the insertion of the pipe into the fitting, we recommend that you lubricate the outside of the pipe and the inner seal of the fitting itself. Lubrication in addition to facilitating the insertion of the pipe into the fitting optimises the operation of the seal avoiding damage over time.
In the event that a system must be free of lubrication during installation, pipes may be inserted into the fitting without the help of lubricants if required.
When the pipe is properly inserted into the fitting, screw the nut as tight as possible surpassing the self-locking device.
After installation and initial pressure test, reinspect all fittings and ensure that the fittings’ locking nuts are fully tightened.
To facilitate the mechanical closing of the connection, Ultramax Sicoair Locking Spanners are recommended.
The table shows, for each fitting, the force (expressed in Nm) required for the closure of the ring in order to ensure a perfect pneumatic and mechanical seal.
For proper installation and so as not to endanger the pneumatic seal fittings, offsets of more than 2° from the original are not allowed. A misalignment of more than 5 ° from the horizontal line can compromising the strength of pneumatic fittings. WARNING - Be sure to pull on the pipe to make sure the connection is secure, it is important to perform this operation before pressurizing the system.
IMPORTANT Do not use wrenches and pliers that can
damage the fittings.

All theoretical calculations and considerations contained in this manual are valid at an ambient temperature of installation between 15 and 25°C.
IMPORTANT - In the event that the installation takes place at temperatures outside the range indicated above, necessary corrections will have to be made.
Clamping of the Pipe
The minimum distance from the fitting of the bracket must be 100/150 mm to allow for the slipping of the pipe due to thermal expansion. When the piping is longer than 50 metres, you must insert the appropriate means of compensation for expansion (expansion coefficient of the aluminium K = 0.000023). When planning the system, you should consider the minimum clearances necessary to ensure the proper expansion of the pipe.
Calculation of bending points
In order to allow the proper operation of the system, absorption points must be sized and prepared on long sections to take care of expansion caused by temperature changes.

Pipe Brackets In order to allow the expansion of the pipeline and prevent stress points that can affect the proper functioning of the system, the pipes must be bracketed to the building using “fixed collars” and “sliding collars” appropriately positioned. Please Note: Loosely clipped pipe can be a safety hazard. All pipework needs to be adequately clipped to ensure that pressurised piping is properly restrained.
The “fixed collars” support the pipe and the block axially, while the “sliding collars” support the piping allowing axial sliding.
Bracket Spacing For good pipe stability, it is extremely important to measure carefully the spacing of the support brackets. To do this, use the table below.
In the vicinity of the joints, in order to avoid unwanted flexing, it is always necessary to place a bracket even if the spacing “P” does not require it.

Terms & Conditions of Sale1. INTERPRETATIONIn these Terms and Conditions and in any Contract to which these Terms and Conditions apply, unless inconsistent with the context:
a) Ultramax means Investech Group Pty Ltd as Trustee for Goldstar Pacifi c Trust (ABN 66 874 024 946 ) trading as Ultramax Systems or such other company related to Ultramax which accepts the Purchase Order;
b) Act means the Competition & Consumer Act 2010;
c) Cash Rate Target means the percentage specifi ed by the Reserve Bank of Australia as cash rate target.
d) Claim means any claim, demand, action or proceeding;
e) Collateral has the meaning given under the PPSA and in particular for the purposes of this Contract, the personal property that is not used predominantly for personal, domestic or household purposes as identifi ed in clause 8 hereof to which the Security Interest has attached;
f) Conditions means these Terms and Conditions; g) Contract means the contract between
Ultramax and the Purchaser for or in relation to the sale and purchase of Goods and/or Services;
h) Goods means any item of whatsoever nature which is sold or to be sold by Ultramax to the Purchaser;
i) Intellectual Property means all trade marks, patents, registered designs, copyright, logos, designs, drawings and software;
j) PPSA means the Personal Property Securities Act 2009 as amended;
k) PPS Register means the personal property securities register established under section 146 of the PPSA;
l) Prescribed Terms means any terms, conditions, guarantees and warranties which the Act and any other law expressly provides may not in respect of the Contract be excluded, restricted or modifi ed, or may be excluded, restricted or modifi ed only to a limited extent. The following statement only applies to a Consumer Sale of Goods or Services as defi ned in the Act: “Ultramax’s Goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to have the Goods repaired or replaced if the Goods fail to be of acceptable quality”;
m) Price means the price of the Goods and/or Services as agreed by the Purchaser and Ultramax at the time the Contract is formed pursuant to clause 2 below;
n) Purchaser means the Purchaser on the Purchase Order;
o) Purchase Order means an off er by the Purchaser for the purchase of Goods and/or Services;
p) Security Interest has the meaning given under the PPSA;
q) Services means all or any part of the services to be provided by Ultramax pursuant to the Contract;
r) Standard Specifi cations means Ultramax’s standard specifi cation for the Goods current at the time the Goods are delivered to the Purchaser. Copies of the Standard Specifi cations are available upon request from Ultramax;
s) Words importing the singular number shall be deemed to include the plural and vice versa. Words importing the male gender shall be deemed to include the female and neuter gender and vice versa; and
t) The headings in these Conditions are provided for convenience only and do not eff ect the interpretation thereof.
2. GENERAL a) The Contract is formed by Ultramax’s
acceptance of the Purchase Order. Written acceptance of the Purchase Order by Ultramax or commencement of performance of any work or services pursuant to the Purchase Order by Ultramax shall constitute acceptance of the Purchase Order.
b) All Purchase Orders supplied by the Purchaser are subject to acceptance by Ultramax and no Contract between Ultramax and the Purchaser comes into existence until Ultramax accepts the Purchase Order.
c) These Conditions apply to all Contracts entered into between Ultramax and the Purchaser.
d) Subject to any Prescribed Terms, these Conditions embody the sole Terms and Conditions of the Contract between Ultramax and the Purchaser and supersede all other conditions and agreements between the parties, unless expressly amended in writing by Ultramax.
e) These Conditions shall without further notice apply to all future transactions between Ultramax and the Purchaser in relation to the sale and purchase of Goods and/or Services, whether or not this document is delivered or executed in the course of the transaction.
f) For the avoidance of doubt, none of the terms and conditions contained in any document or other instrument supplied by or on behalf of the Purchaser (including without limiting the foregoing those included in a Purchase Order or like document from the Purchaser) shall apply to or form part of the Contract and any such terms and conditions by the Purchaser are expressly rejected by Ultramax, except and to the extent otherwise agreed in writing by Ultramax.
g) No variation or abrogation of these Conditions shall be eff ective unless it is evidenced in writing signed on behalf of Ultramax.
h) These Conditions supersede all terms and conditions of sale previously issued by Ultramax.
i) Any products to be manufactured to special order are required to have a 50% payment in advance with the balance to be paid before despatch to the customer.
3. PRICE a) The Price will be fi xed from the date the
Contract is formed. 4. GOODS AND SERVICES TAX In this clause:
a) GST refers to Goods and Services Tax under a New Tax System (Goods and Services) Act 1999 (GST Act) and the terms used have the meaning as defi ned in the GST Act.
b) The Price and all other amounts agreed to be paid by the Purchaser to Ultramax, is exclusive of GST.
5. PAYMENT a) A minimum of $25.00 value is required for any
transaction.
b) Unless otherwise agreed in writing by Ultramax, payment by the Purchaser to Ultramax will be made on or before the last day of the month following the month in which the invoice was issued by Ultramax to the Purchaser.
c) Payment must be made in advance or on collection of goods if a credit account has not been established. Payment can also be eff ected by direct bank transfer, details available on request. Visa and MasterCard accepted.
d) Time for payment of the Price for the Goods and/or Services shall be of the essence of the Contract and if the Purchaser fails to pay the Price when due Ultramax may treat the Contract as repudiated by the Purchaser or may, unless payment in full is made, suspend delivery of the Goods the subject of the Contract and any Goods the subject of any other Contract with the Purchaser without incurring any liability whatsoever to the Purchaser in respect thereof. In addition, without prejudice to such other rights of Ultramax, the Purchaser shall (if so required by Ultramax) pay interest to Ultramax on the outstanding amount of the Price at the rate equal to the Cash Rate Target as at the date invoice was issued by Ultramax to the Purchaser increased by two (2) percentage points until the Price is paid in full.
e) Notwithstanding any rights of lien to which Ultramax may otherwise be entitled, Ultramax shall have a specifi c lien (including a right of sale) over the Goods the subject of the Contract and any Goods the subject of any other contract with the Purchaser until the Price of the Goods has been paid in full. The Purchaser shall not be entitled to make any deduction from the Price of the Goods in respect of any off set or counter claims.
f) If the Purchaser defaults in payment or breaches these Conditions then it will be liable for all costs incurred by Ultramax and will indemnify Ultramax against any loss, liability, charge, expense, outgoings or payment which Ultramax suff ers, incurs or is liable for in respect of the recovery of moneys owing by the Purchaser to Ultramax.
g) For freight payment, see 6. a)6. DELIVERY a) Freight is payable by the customer, freight can
be charged on the invoice when our transport method is nominated or accepted by the customer. Customers who nominate their own carrier are responsible for all freight costs incurred.
b) Any time or date named and accepted by Ultramax for completion, delivery, despatch, shipment or arrival of the Goods or for tender of any documents is an estimate only and does not constitute a condition of the Contract or part of the description of the Goods and is not of the essence of the Contract.
c) Unless otherwise stated in writing Ultramax may make partial deliveries or deliveries by instalments in any amount it may determine and each such partial delivery or delivery by instalments shall be deemed to be a separate Contract and these Conditions shall apply to each partial delivery or delivery by instalments.
d) The Purchaser shall notify Ultramax within 7 days of delivery of any shortfall in or loss or damage to Goods delivered. Failure to so notify shall, subject to the requirements of any Prescribed Terms, dis-entitle the Purchaser to any remedy in respect to the shortage, loss or damage.
7. RISK AND TITLE a) Except where Ultramax is storing the Goods
on behalf of the Purchaser, Ultramax will bear all risks for the Goods until either collection by the Purchaser from Ultramax’s premises, or despatched via freight carrier/logistics provider. The Purchaser will bear all risks for the Goods from Ultramax stores to their nominated point of delivery or where Ultramax stores the Goods on behalf of the Purchaser.
b) Property and title in the Goods supplied by Ultramax to the Purchaser will not pass to the Purchaser until such time as the Goods the subject of the Contract and all other Goods supplied by Ultramax to the Purchaser have been paid for in full. Until that time, the Purchaser shall store the Goods, including Goods into which the supplied Goods have been mixed, in such a manner as to show clearly that they are the property of Ultramax and shall upon Ultramax’s demand deliver up such Goods to Ultramax. In default of such delivery Ultramax may by its servants and agents enter the Purchaser’s premises at any time without notice to repossess the Goods.
c) Subject to the PPSA, until such time as the Goods have been paid for in full the Purchaser is at liberty to sell the Goods, in the ordinary course of its business, and the Purchaser shall hold the proceeds thereof in trust for Ultramax and promptly account to Ultramax for those proceeds in payment of the Price for the Goods.
d) The Purchaser and Ultramax agree that the provisions of this clause apply notwithstanding any agreement between the parties under which Ultramax grants the Purchaser credit.
8. PERSONAL PROPERTY SECURITIES ACT 2009 a) The terms “Collateral”, “Debtor”, “Financing
Statement”, “Financing Change Statement”, “Grantor”, “Proceeds”, “Secured Party”, “Security Agreement” and “Security Interest” have the meanings given in the PPSA.
b) The Purchaser acknowledges and agrees that by accepting these Conditions which form part of the Contract and constitute a Security Agreement that covers the Collateral for the purposes of the PPSA: i) Ultramax holds (as Secured Party) a
Security Interest over all of the Goods and all other present and after acquired Goods supplied by Ultramax to the Purchaser (Goods) and any Proceeds of the sale of those Goods (“Collateral”);
ii) that any purchase by the Purchaser on credit terms from Ultramax will constitute a purchase money security interest as defi ned under section 14 of the PPSA (“PMSI”);
iii) the PMSI granted herein will continue to apply to any Goods coming into existence or proceeds of sale of Goods coming into existence;

iv) Ultramax will continue to hold a Security Interest in the Goods in accordance with and subject to the PPSA, notwithstanding that the goods may be processed, commingled or become an accession with other goods;
v) any Ultramax Security Interest will be a continuing and subsisting interest in the Collateral with priority to the fullest extent permitted by law over all other registered or unregistered Security Interest;
vi) until title in the Goods pass to the Purchaser, it will keep all Goods supplied by Ultramax free and ensure all such Goods are kept free of any charge, lien or Security Interest and not otherwise deal with the Goods in a way that will or may prejudice any rights of Ultramax under the Contract or the PPSA; and
vii) in addition to any other rights under these Conditions or otherwise arising, Ultramax may exercise any and all remedies aff orded to it as a Secured Party under Chapter 4 of the PPSA including, without limitation, entry into any building or premises owned, occupied or used by the Purchaser, to search for and seize, dispose of or retain those Goods in respect to which the Purchaser has granted a Security Interest to Ultramax.
c) The parties acknowledge that Ultramax is entitled to register its interest in the goods supplied or to be supplied to the Purchaser under these Conditions on the PPSA Register as Collateral.
d) The Purchaser undertakes to: i) sign any further documents and provide
such information which Ultramax may reasonable require to register, amend or update a Financing Statement or Financing Change Statement in relation to a Security Interest on the PPS Register;
ii) indemnify and upon demand reimburse Ultramax for all expenses incurred in registering a Financing Statement or Financing Change Statement on the PPS Register or releasing any Security Interests;
iii) not register or permit to be registered a Financing Change Statement in the Collateral without the prior written consent of Ultramax; and
iv) provide Ultramax not less than 7 days prior written notice of any proposed change in the Purchaser’s name, address, contact numbers, business practice or such other change in the Purchaser’s details registered on the PPS Register to enable Ultramax to register a Financing Change Statement if required.
e) Ultramax and the Purchaser agree that sections 96, 125 and 132(3)(d) and 132(4) of the PPSA do not apply to the Security Agreement created under this Contract.
f) The Purchaser hereby waives its rights to receive notices under sections 95, 118, 121(4), 130, 132(3)(d) and 132(4) of the PPSA.
g) The Purchaser waives its rights as a Grantor and/or a Debtor under sections 142 and 143 of the PPSA.
h) Unless otherwise agreed in writing by Ultramax, the Purchaser waives its right to receive a verifi cation statement in accordance with section 157 of the PPSA.
i) The Purchaser shall unconditionally ratify any actions taken by Ultramax under this clause 8.
j) This clause 8 will survive the termination of the Contract to the extent permitted by law.
9. WARRANTIES AND EXCLUSIONS OF LIABILITY a) Ultramax warrants that the Goods when
delivered to the Purchaser will comply with the Standard Specifi cation for the Goods. Ultramax is not required to supply Goods with any specifi cation or characteristics that are outside any such description for the Goods (if any) or the Standard Specifi cations.
b) Ultramax shall be under no liability in respect of any defect arising from any drawing, design or specifi cation supplied by the Purchaser.
c) The Purchaser acknowledges, agrees, represents and warrants that: i) as the use of the Goods is outside the
control of Ultramax, the Purchaser is satisfi ed that the Goods when supplied will have the condition, characteristics, quality and attributes that will make them suitable or fi t for any ordinary or special purpose required for those Goods, even if that purpose is made known to Ultramax at any time;
ii) the Purchaser has or will in a timely manner conduct all mandatory or prudent tests and apply to all mandatory or prudent quality control checks and procedures to ensure the Goods and any product that is produced from them will be without defect and suitable or fi t for any purpose required for them; and
iii) the Purchaser has not relied upon any statement, representation, warranty, guarantee, condition, advice, recommendation, information, assistance or service provided or given by Ultramax or anyone on its behalf in respect of the Goods, other than those that are expressly contained in the Contract.
d) The Purchaser releases and indemnifi es Ultramax and its offi cers employees, consultants and agents from and against all actions, claims, proceedings and demands (including those brought by third parties) which may be brought against it, whether on their own or jointly with the Purchaser and whether at common law, under tort (including negligence), in equity, pursuant to statute or otherwise, in respect of any loss, death, injury, illness, cost or damage arising out of any breach by the Purchaser of any warranty provided by it under paragraph c) of this clause.
e) Except as expressly set out in the Contract and except for liability under any Prescribed Terms:i) all conditions, warranties, guarantees,
terms and obligations expressed or implied by law or otherwise relating to the Contract or the performance of Ultramax’s obligations under the Contract or to any Goods or Services supplied by Ultramax under the Contract are excluded, except for those conditions and warranties as to title in the Goods; and
ii) without limiting the generality of the foregoing, Ultramax gives no condition, warranty or guarantee whatsoever as to the suitability, performance or fi tness of the Goods for their ordinary or any special use or purpose, and the description of the Goods in any Contract or any other document shall not import any such condition, warranty or guarantee on the part of Ultramax.
f) Not withstanding anything to the contrary herein contained but subject to the provisions of any Prescribed Terms, Ultramax’s liability in respect of any Claim by the Purchaser arising in any way out of the Contract or its performance or from any failure to perform the Contract including (without limiting the generality of the foregoing) for breach of any condition, warranty or guarantee contained in the Contract or in any Prescribed Term and whether that liability arises under contract, tort (including negligence), breach of statutory duty or otherwise, is limited as follows:i) if any guarantee under the Act is
applicable to any Goods or Services supplied by Ultramax and Ultramax’s liability is due to a failure to comply with the guarantee and such failure cannot be remedied or is a major failure as defi ned in the Act (each such failure hereafter referred to as a Relevant Failure), Ultramax’s liability is as stated in the Act in respect of that Relevant Failure;
ii) if the liability is due to a failure to comply with any condition, warranty or guarantee (including any guarantee under the Act) in respect of any Goods or Services supplied by Ultramax under the Contract and such failure is not a Relevant Failure, Ultramax’s liability is limited as follows in respect of such failure: A) if the failure is in respect of Goods,
Ultramax’s liability is limited to replacement of the Goods or the supply of equivalent Goods, the repair of the Goods, payment of the cost of replacing the Goods or of acquiring equivalent Goods, or payment of the cost of having the Goods repaired, as determined by Ultramax in its sole discretion; and
B) if the failure is in respect of Services, Ultramax’s liability is limited to the supply of the Services again or payment of the cost of having the Services supplied again, as determined by Ultramax in its sole discretion.
g) Any condition, warranty, guarantee (including any guarantee under the Act), terms or obligations expressed or implied by law or otherwise relating to the Contract or the performance of Ultramax’s obligations under the Contract or to any Goods or Services supplied by Ultramax under the Contract will not apply to Ultramax and Ultramax will not be liable for any loss or damage to the Purchaser and the Purchaser will not be entitled to any Claim against Ultramax whatsoever where: i) the Goods, from any time after the delivery
to the Purchaser, are subjected to incorrect usage, failure to comply with Ultramax’s instructions (whether in writing or verbal), misuse, wilful damage, negligence, fair wear and tear or use of the Goods with incompatible products;
ii) the Goods are subjected to any alteration and/or repair and/or maintenance without Ultramax’s prior written consent; iii) work or maintenance are supplied in relation to the Goods other than by a person authorised in writing by Ultramax; iv) the Purchaser resets faults in the Goods without fi rst obtaining written consent from Ultramax; v) the Purchaser: A) fails to notify Ultramax of any defect
in the Goods (defective goods) within seven days after those defects are fi rst noticed by the Purchaser; and
B) fails to give Ultramax a reasonable opportunity (from the time that the Purchaser gives notice pursuant to clause 9g)v)(A) to inspect the defective Goods including any defective Goods that have been attached to or incorporated in any real or personal property.
h) To the extent permitted by law, Ultramax will have no liability to the Purchaser, however arising and under any cause of action or theory of liability, in respect of special, indirect or consequential damages, loss of profi t (whether direct or indirect) or loss of business opportunity arising out of or in connection with the Contract or its performance.
i) Any product or equipment is required to be returned to Ultramax Systems store for service or repair where the acceptance of a warranty claim is honoured. Goods returned for warranty will not be accepted without prior notice by the customer to Ultramax Systems.
10. RETURN OF GOODS a) Goods supplied to the Purchaser are not
returnable except as provided in clause 9 above.
b) If the Goods are in accordance with clause 9a) and all Prescribed Terms and are otherwise in compliance with the provisions of the Contract, Ultramax may from time to time under exceptional circumstances and in its absolute discretion, choose to accept the return of the Goods from the Purchaser. A cancellation fee will apply and the Purchaser will also reimburse Ultramax for all costs associated with the delivery and return of the Goods.
c) Goods returned for credit will not be accepted without prior notice by the customer to Ultramax Systems. A goods return number needs to be obtained prior to goods being returned. Products must be in a saleable condition and suitably packed. Freight must be paid by the customer unless the company was at fault in relation to the returned items. Returned items not accepted if not advised within 14 days of purchase date. The original invoice number must be provided to allow for prompt processing of credits.
d) Any goods returned will be subject to a minimum 25% of the sale value as a re-stocking fee. Special order items will not be accepted for return. The re-stocking fee will be at the sole discretion of Ultramax Systems.
11. INDEMNITY The Purchaser will indemnify and keep indemnifi ed Ultramax and its successors and assigns from and against any claim, liability, loss or damage Ultramax may sustain, as a result of any breach, act or omission, arising directly or indirectly from or in connection with this Contract by the Purchaser or its representatives.
12. FORCE MAJEURE

Terms & Conditions of SaleUltramax shall not be under any liability whatsoever for the consequences of any failure on its part to perform or delay in performing any obligation under the Contract when due, whilst and to the extent that such failure or delay is due directly or indirectly to any event of force majeure. Without limiting the generality of the foregoing, this includes any liability whatsoever for any delay in completion, delivery, despatch, shipment or arrival of the Goods or in the tender of any documents or the like.
“event of force majeure” includes any acts of God, war, riots, strikes, lock outs, trade disputes, fi res, break downs, mechanical failures, interruptions of transport, Government action or any other cause whatsoever, whether or not of a like nature to those specifi ed above, outside the reasonable control of Ultramax.
If there is an event of force majeure, Ultramax will notify the Purchaser of the event and the likely impact on its performance under the Contract. If the event aff ect the capacity of Ultramax to complete its material obligations under the Contract in a timely manner, Ultramax may by notice to the Purchaser terminate the Contract without any liability whatsoever on its part arising from such termination.
13. COST RECOVERY Any expenses, costs or disbursements incurred by Ultramax in recovering any outstanding monies owing by the Purchaser including debt collection fees and solicitors costs shall be paid by the Purchaser.
14. TERMINATION a) If:
i) the Purchaser fails to pay any moneys due and payable pursuant to the Contract; or
ii) the Purchaser breaches, repudiates or terminates the Contract; or
iii) winding up proceedings are commenced against the Purchaser; or
iv) a Liquidator, Administrator, Receiver, Manager or Controller (as defi ned by the Corporations Act 2001 is appointed to the Purchaser or any part of its assets; or
v) the Purchaser commits an act of bankruptcy (as defi ned by the Bankruptcy Act 1966); or
vi) Ultramax has reasonable belief that the Purchaser is insolvent or a party may attempt to levy any form of execution against the Goods; or
vii) the Purchaser suspends, or threatens to suspend, the conduct of its business; or
viii) the Purchaser becomes unable to pay its debts as and when they fall due, then Ultramax may terminate the Contract, in which case clause 15 herein of these Conditions will apply.
15. TERMINATION AND CANCELLATION In the event that the Purchaser purports to terminate and/or repudiates or cancel the Contract, or if Ultramax terminates the Contract pursuant to the Contract, then, without prejudice to its other rights and remedies, Ultramax may recover from the Purchaser all costs and expenses incurred by Ultramax in its performance of the Contract, and all loss and damages arising from or relating to the termination or repudiation including but not limited to the cost of any Goods ordered but not delivered (which cannot be cancelled).
16. INTELLECTUAL PROPERTY RIGHTSa) Property, right and title to all Intellectual
Property relating to the Goods remains with Ultramax. The Purchaser will be entitled to a non exclusive, non transferable licence of the Intellectual Property to the extent it is required for the proper use and performance of the Goods.
b) All Intellectual Property created during the course of the supply of the Goods or as a result of work done in connection with the supply of the Goods will be the property of Ultramax. The Purchaser will execute all documents evidencing ownership of the Intellectual Property as Ultramax may reasonably require.
17. WAIVER
A waiver of any right or remedy under the Contract is only eff ective if given in writing and shall not be deemed a waiver of any subsequent breach or default. No failure or delay by a party to exercise any right or remedy provided under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy.
18. LICENSES, DUTIES, ETC. The payment of any taxes and the obtaining and maintenance in full force and eff ect of any necessary export or import licenses, authorisations or consent in respect of the Goods is the sole responsibility of the Purchaser and Ultramax shall be under no liability whatsoever in respect of Goods exported or imported without any necessary licenses, authorisations or consent.
19. INDUSTRIAL PROPERTY RIGHTS The Purchaser shall not alter, remove or in any way tamper with any of the trade or other marks or numbers of Ultramax attached to or placed upon the Goods.
20. NOTICES Any notice or other communication given to a party under or in connection with the Contract shall be in writing, addressed to that party at its principal place of business or such other address as that party may have specifi ed to the other party in writing in accordance with this clause, and shall be delivered personally, sent by pre paid fi rst class post, recorded delivery, commercial courier.
21. ASSIGNMENT The Purchaser may not assign or transfer or purport to assign or transfer any of its rights or obligations under or in connection with the Contract to any other person or corporation whatsoever.
22. SUB-CONTRACT Ultramax reserves the right to sub-contract the performance of any Contract or part thereof to any other party or person or corporation it may determine.
23. PROPER LAW AND JURISDICTION a) This Contract shall be governed by and
construed in accordance with the laws of Western Australia, Australia. The Purchaser agrees to submit to the non exclusive jurisdiction of the Western Australian Courts and courts of appeal there-from for all purposes of or in connection with this Contract.
