Full payment must be made before the beginning of training, cash and without discount upon
receipt of invoice. If CGI-GROUP has not received the funding agreement your OPCA, you will be
charged the full cost of the training. In case of partial payment by the OPCA, you will be
charged from unsupported part by the OPCA

Central Bank to its most recent refinancing plus ten (10) points.
In default of payment of a single invoice when due, all amounts owed by the Customer shall
become immediately payable.
Invoices collected by our litigation services will be increased, as a non-reducible penalty clause
within the meaning of Article 1229 of the Civil Code, compensation set to 15 (fifteen)% of the
sums due.
4 - LIABILITY - INDEMNITY
The employer , or as if the participant is obligated to purchase and maintain forecasting and for
the duration of the training liability insurance covering intangible injury, damage , direct or
indirect that may beings caused by actions or those of its employees to the detriment of CGI
GROUP or participants. It also requires them to purchase and maintain liability insurance also
designating it as CGI GROUP insured for all adverse actions against third parties who allegedly
caused by his agent , and containing a waiver of appeal , so that CGI GROUP can not be sought
or worried .
5 - RIGHT CONTROL CGI GROUP
CGI-GROUP reserves the right , if the number of training participants is deemed insufficient
pedagogically , to cancel the training later fourteen [14] calendar days before the scheduled
date.
CGI GROUP reserves the right to postpone training, change the place of its development, the
content of the program or replace a host, if circumstances beyond its control oblige.
CGI GROUP reserves the right, without compensation of any kind:
- to refuse any entry or access to a Customer who is not current on its payments
- to disqualify any participant who had made false statements when registering and without
compensation .
6 - INTELLECTUAL PROPERTY
Under respect for intellectual property rights attached to the course materials and other
educational resources made available only to participants of the training, the Customer agrees
not to reproduce , directly or indirectly, in whole or in part, adapt, modify, translate , publicly
perform, sell or distribute to members of the non-participating staff CGI training GROUP or
third parties , the said materials and educational resources without the express prior written
permission of CGI GROUP or its assigns .
7 - APPLICABLE LAW - JURISDICTION OF THIS AGREEMENT IS GOVERNED BY FRENCH
LAW.
IN CASE OF DISPUTE ON THE INTERPRETATION OR PERFORMANCE OF ANY OF THESE
PROVISIONS , AND FAILURE OF A SETTLEMENT AGREEMENT BETWEEN THE PARTIES , THE
COURT OF COMMERCE OF EVRY WILL ONLY QUALIFIED.
