Definitions:

Sprouts: Also called Green Sprouts, Refers to all non-Chinese Mung Bean Sprouts.

Crop: Any entire batch of product, throughout it’s growth, from planting to harvest thru retail sale and consumption.

Hydro-Unit: Converted 75’ X 12’ Mobile Home consisting of 4 compartments; A grow room, a production room, an office-living quarters and a refrigerated holding room. Each Hydro-Unit has the capacity to produce, package and market up to 7000 #’s of live-food per week.HUB: Hydro-Unit Base. A Remote or Satellite location is referred to as a HUB.

-Level 1- $7000 – Pre-investment package for a quality computer system, ISGA membership and finance a more Professional presentation.

-Level - 2 $300,000 Investment; To create the Corporate HQ, build the Primary Hydro-Unit, Design and implement a Promotional campaign and Build and position 2 Remote HUBs.

Brief Physical Descriptions• The company will be composed of a Corporate HQ and

remote Hubs.• Corporate HQ will consist of a:

– 45’ X 90’ Removable SteelSpan Building located on as little as ½ acre of property. To begin it will temporarily house the:

• Hydro-Unit trailer. (Under construction)• Office-site trailer. (Temp office location)• The storage trailer. (Also under construction)

Company Theme

Majik Wizzard IndustriesThe theme of the company and most of the advertising will be based around a Sorcerer who will bring to life seemingly lifeless and inanimate piles of seeds. His goal is to bring the The Majikingdom and the Majik of Live-Foods to ordinary people. The Majik Kingdom will be the aspect of the company designed to be displayed to the public. School-room displays and Public tours of our facility will appeal to children of all ages.

MarketingThe target market is the supermarket chains, wholesale produce houses, Healthfood stores and all food distributors. Relationships developed with School Board personnel this year will allow us to be the first company to supply these products to the Dade County Public School System. Currently So.Florida residents consume 6000 #’s of Green sprouts weekly equaling minimal usage by only 1½% of the population. Out of 250 growers nationwide only 2 in the entire industry advertise. We on the other-hand will have a strong local promotional Television campaign in English and Spanish along with attractive in-store presentations and printed materials. Our advertisements will be Local-Generic allowing them to be shown in any city in North America while only giving reference to our superior quality and our Corporate Logo. With only a 1% increase in use by the So.Florida population our facility would reach our prime production level.

Operations:

• Each HUB (Hydro-Unit Base) is managed by 1 live-in Site Manager.

• Depending on the amount of sales, there will eventually need to be a part-time Production Supervisor. This person will oversee part-time crews that will work on Planting and Harvest Days.

• The part-time Harvest Crews will consist of 3 to 7 people who will come to work 2 days per week, on day 1 for planting and on day 5 for Harvest Day.

• The operations of planting and harvesting the crops in the Hydro-Unit have been simplified to such a level that even minors, the elderly and the handicapped could be used to perform this service.

Patents, Trademarks, Spin-offs & Related Products:• Our Corporate Logo will be trademarked upon financing.• Patents will immediately be applied for in relation to the

Hydro-Unit System and our unique Spray-Bar system. • “Verdura Verde” An edible plant not grown or used in the

USA will be our first plant imported from Mexico, Marketed here and Patented.

• Vitamin Supplements will be introduced after 1 year of live-food marketing. An entire line of supplements, juices and snacks will follow.

• Spin-offs include an eventual offering of small Home Hydro-Units for the kitchen ranging from inexpensive simplified ones for the general public to sophisticated specifically designed units for wealthy individuals and exclusive restaurants.

Critical Risks:• I foresee only 2 improbable risks:

– The primary risk is that once HQ & the Primary HUB have been setup, advertising implemented and partial budget spent;

-that sales will not reach prime profitable level here in So.Florida due to intense renewed competition. – The Solution: is to install smaller Hubs in any of 20

different markets across the USA and focus our efforts where there is no resistance using our So.Florida location as a training Facility.

• The other possible risk is the sudden death of the primary partner before the business has established itself.– The Solution : An insurance policy covering the primary

partner will be purchased upon financing.

Financing & Return on Investment 

A $ 300,000 investment package is needed to establish and make this a profitable venture.

 The requested interest rate for repayment will be at 10%.

Along with repayment of Principle at 10% interest, the Investors will receive 12% share of Stock Issue.

 Loan Repayment will begin (24) twenty-four months after receipt of financing.

Operations Schedule:

• Months 1 – 3 Take Industry tour. Acquire HQ & HUB site locations. Purchase & erect Steelspan building. Purchase and begin remodeling Hydro-Unit, Storage Unit & Employee Trailer Unit. Choose the GreenHouse Structure.

• Months 4 – 5 Apply for Hydro-Unit Patents. Position Trailer Units at HUB. Perfect lines of –communication, -supply, & -labor. Develop production guidelines and schedules for each type of product offered. Set up greenhouse. Begin advertising design work on computer.

• Months 6 – 7 Develop greenhouse product guidelines and schedules. Organize and finalize advertising campaign. Silicate distributors. Begin propagation.

• Months 8 – 9 Perfect and master all aspects. GO!

Notes In closing :

** In the event of overwhelming success, it would take as little as 5 days to double our production capacity.

** If the need arises, the entire operation is re-locatable in as little as 24 hours.

** A Hydro-Unit could be used in a seedling production program as a part of a nursery or re-forestation project.

** A Hydro-Unit can produce 1000 pounds of fodder daily for livestock feeding.

** For the Event of a Special Occasion the Hydro-Unit can produce 130,000 Servings as Salad or Sandwich Filler.
