Dear Shareholders, On behalf of the Board of Directors of the Corporation, it gives me immense pleasure to welcome you all at the 68 Annual General Meeting of the Corporation. Notice for convening the Meeting and Audited Accounts together with the Report of Directors for the period ended 31st March, 2016 are already with you and with your permission, I take them as read.

1. The shareholders will be glad to know that in keeping with the National Policy of Environment Friendly PowerGeneration by harnessing Wind Power Energy,the1.25MW Wind Turbine Generator installed in Tamilnadu hasgenerated 1283Mwh during the year.
2. During the year, the Corporation has allotted 18 Nos. of Plots to the eligible Shareholders by following the laid down procedure, including one Plot for School to a Charitable Trust.
3. The Members will be glad to know that with a vision to develop green belts around residential areas, during theyear the Corporation has licensed out 3 Garden Plots in different Wards at Adipur/Gandhidham to Charitable Trusts/Organizations on Leave & License basis for development of Gardens for General Public.
4. With a vision to gainfully develop Plots for Commercial Activities, during the year your Corporation has invited open Tenders for Development and offered 04 Plots in Ward 6(IND) on the basis of Commercial Development Agreement.
5. The Members would be glad to know that the during the year, the Corporation has offered 72 Nos. Shops forVegetable & Fruit Market in Ward 6-B at Adipur (Kutch) under “Self Finance Scheme” to the successfulapplicants by following the laid down procedure by holding draws as per practice.
6. Development Works (a) The Members will be glad to know that Corporation has taken up the works of Development of Parks in the
Plots earmarked for this purpose as per the Layout Plan and 1700Nos. of Shading Trees planted during earlier year are being nurtured by watering and replacing the under growth plants. Thus the green cover is being enhanced in the Township.
(b) The Members would be glad to know that the Construction of 72 Shops for Vegetable & Fruit Market in Ward 6-B at Adipur (Kutch) under “Self Finance Scheme”, is in progress and more than 50% of work has been completed.
(c) Your Corporation has planned some development works to be taken up in future viz. Commercial Building in replacement of Old Court Building in Gandhidham, Construction of 7 Nos. of Shops in Ward 1-A at Adipur, Construction of Vegetable Market in Ward 5-A at Adipur. Concerned authorities will be approached for approval before taking up the works in hand.
7. Corporate Social ResponsibilitiesYour Corporation has always believed in giving back to the Society and recognized its role and responsibility as a Corporate Citizen. Your Corporation has social values ingrained into its culture and manner of working, and has been participating in various CSR initiatives and Projects over the years even before CSR spending came to be mandated under the law.The Corporate Social Responsibility Committee has formulated and recommended to the Board, a Corporate Social Responsibility Policy (CSR Policy) indicating the activities to be undertaken by the Corporation, which has been approved by the Board.The Members will be glad to know that your Board of Directors have taken following Projects under “SRC CSR” Policy for the year 2015-16:-
1. Adoption and Maintenance of Public Library (Prof. N.R. Malkani Public Library) and Park at Adipur (Kutch).2. Gandhi Samadhi – Preservation of Monument and ensuring environment sustainability at Adipur (Kutch).3. Health Care and Safety– Purchase of ambulance for enabling access to and improving the delivery of public health care system.

The Corporation would also undertake other need based initiatives in compliance with Schedule VII to the Act.As per the average Net Profits of the last three financial years, the Corporation was required to spent Rs.8,73,927/- for F.Y. 2015-2016. Further there was carry forward CSR Expenditure of Rs.4,11,840/- which was not spent by the corporation for F.Y. 2014-2015. Hence the corporation was required to spent Rs12,85,767 as CSR Expenditure and the Corporation has spent Rs.19,92,017/- on the above Projects which amply covers the requirements under the Act.
The Annual Report on CSR is annexed herewith to this Report.
:9. Share CapitalDuring the year under review, the Authorized share capital of the Company remainedunchanged. During the year under review the company has reallotted 13 Equity Shareswhich were forfeited earlier.
10. DividendThe Directors have recommended a dividend of Rs.60/- per Equity Share on 15465Equity Shares of Rs.1,000/- each for the financial year ended31 March, 2016, which ifst
approved by you, will be paid to all those Equity Shareholders whose names appear inthe Register of Members as on 15 September, 2016. th

22. Directors' Responsibility Statement
In accordance with the provisions of Section 134(5) of the Companies Act, 2013 theBoard hereby submits its responsibility Statement:—
A) that in the preparation of the annual financial statements for the year ended March 31, 2016 the appl icab le account ing s tandards have been fo l lowed along with proper explanation relating to material departures, if any;
B) that such accounting policies as mentioned in Note 2 of the Notes to the Financial Statements have been selected and applied consistently and judgment and estimates have been made that are reasonable and prudent so as to give a true and fair view of the state of affairs of the Company as at March 31, 2016 and of the profit of the Company for the year ended on that date;
. C) that proper and sufficient care has been taken for the maintenance of adequate accounting records in accordance with the provisions of the Companies Act, 2013 for safeguarding the assets of the Company and for preventing and detecting fraud and other irregularities;
D) that the annual financial statements have been prepared on a going concern basis.E) that proper internal financial controls were in place and that the financial controls were
adequate and were operating effectively.F) that systems to ensure compliance with the provisions of all applicable laws were in
place and were adequate and operating effectively.
23. Appointment of AuditorsM/s. Khimji Kunverji & Co., Chartered Accountants are retiring this year on completion of their term of appointment as usual and being eligible, offered themselves for re-appointment. The company has received a certificate from the auditors to the effect that their re-appointment if made, would be in accordance with the provisions of section 141 of the Companies Act, 2013. You are requested to re-appoint the Auditors and fix their remuneration for the year 2016-2017. Last year i.e. 2015-2016 their remuneration was fixed at Rs.1,35,000/- plus out of pocket expenses and traveling expenses. .

receipt of the Salary in

Risk management committee is not framed as this clause is not applicable to the company. However, as and when required, the Board will formulate a risk management policy which will include identifying types of risk, handling risks and minimizing the effect of such risks.
B. Major risks affecting the existence of the company:Land Development & Power:Your company is in business of development and allotment of Land, houses and shops and also the activity of renting and leasing of land, generation and supply of Power, etc. so the business of the Company is dependent upon economic environment and market fluctuations, Impact of aging Changing demographics, etc. Changes in above mentioned areas result in emerging of risk for working of the Company.
C. Steps taken to mitigate the risks:There are no identified risks, however, the Board will formulate a risk management policy and will try to avoid the risks by way of planning, developing strategies to remain in the market, reviewing government policies and procedures and all.
29. Disclosure Under The Sexual Harassment Of Women At Workplace (Prevention, Prohibition And Redressal) Act, 2013:Your Directors also state that during the year under review, there were no cases filed pursuant to the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013.
