Bhave, IAS (Retd.),, Former Chairman of SEBI “Corporate Governance is warranted whenever there is a group activity – even in a game.” On Monday, July 20, members of Rotary Club of Bangalore were treated to a very learned and insightful talk on “Corporate Governance” by Mr. C B Bhave, former Chairman of SEBI. Mr Bhave said that Corporate Governance was one of the most debated subjects and has been the subject of many committees appointed by the Government. Corporate Governance was warranted whenever there was a group activity – even in a game. Whenever different individuals come together for a group activity/where team play is involved, there needs to be certain basic rules which need to be adhered by all. With the advent of different types of Organizations like Proprietorship, Partnership, Ltd. Companies, Trust, etc, the complexities increased. Also the interests of various stakeholders like shareholders, customers, suppliers, workers needed to be protected. Thus the principles of Corporate Governance evolved over a period of time. Introducing the Chief Guest,Rtn. S Viswanathan said that Mr.Bhave was an electrical engineer by training and joined the IAS in 1975 and worked for over two decades in the Government. He set up NSDL, the first depository in India, in 1996 and was instrumental in making the transactions in stock exchanges a 100% paperless one. He later on joined SEBI as its chairman in 2008 and continued up to 2011. During his tenure in SEBI, he brought about various market reforms which were highly beneficial to the investors. Presently Mr. Bhave sits on the boards of a few companies as an independent director. In his talk, Mr. Bhave explained that the cornerstone of the principle of Corporate Governance was that the individual interest needs to be subordinated to the team interest. WHO DECLARES NIGERIA POLIO FREE
“It is a historic day for Nigeria, Africa and the Global Polio
Programme,” WHO said.
Meanwhile, Dr. Faisal Shuaib, Executive Director and CEO of
the National Primary Health Care Development Agency
(NPHCDA), in a tweet @drfaisalshuaib described the
documentation as historical.
“Amazing moment in history to have and our polio-
eradication documentation accepted by (ARCC); the Nigeria
team led by NPHCDA and partners demonstrated evidence of
our polio-free status.
“Nigeria achieving a Wild Polio Virus-free status today, is
significant on multiple fronts.
“I look back at the incredible leadership that has brought us
here.
“Apart from President Muhammadu Buhari, GCFR, the two
most important people who have made it possible due to
their financial and technological contributions have been

“Thanks for this unquantifiable gift to Nigeria,” he said.
The World Health Organisation (WHO) has declared Nigeria
free of wild polio, following the completion of documentation
for the free status.
The UN health agency disclosed this on its regional office for
Africa in Brazzaville, Congo, Official twitter account
@WHOAFRO.
“Today, Nigeria’s complete documentation with Wild Polio
Virus free status was accepted by the Africa Regional
Certification Commission for polio eradication (ARCC).
people in organizations need to be defined by themselves. An
appropriate test is to ascertain whether the act is fair to other
concerned parties. It is quite possible that an act is not illegal
under the laws of the land but may not be considered a fair
practice under the principles of Corporate Governance.
Mr Bhave thereafter gave several instances of breach of the
principles of Corporate Governance, both in India and the
western countries. He stated that all the people in an
organization had a role to play in ensuring Corporate
Governance in their organizations. Quite often regulators do
not take action in time with the result that a fraud/scam which
could have been detected/nipped in the bud is detected much
later after huge losses are borne by different stakeholders.
The floor was then thrown open for a Q&A session with Rtn
Viswanathan moderating the discussions. Mr Bhave answered
several questions on the duties/obligations of the
independent directors, their role in effective governance,
comparison of the provisions of SEBI Vs SEC, root cause of
various scams that happened in India, the role of SEBI,
protection afforded to whistleblowers, etc. The participation
of the Rotarians was overwhelming and the event was a huge
success.
President Vincent thanked Mr. Bhave for a highly enlightening
and informative speech which benefitted Rotarians
immensely. He also thanked the Rotarians for their active
participation and ensuring that the session was a highly
interactive one.

We intend to do some joint projects with the club.
