This presentation focuses on title curative issues specific to the Rocky Mountain Region. We will provide a brief background on the sources of title curative requirements from an attorney’s perspective as they review abstracts and draft requirements for title opinions. To provide insight in drafting title curative requirements, we’ll discuss the impact of Marketable Title Acts and their effects on risks to operators, then assess that risk of title curative in acquisitions. From a Legal Perspective

Lis Pendens & The Shelter Rule

Every landman knows the importance of real property recording statutes. In Colorado, we have a “race-notice” re-

cording statute. C.R.S. § 38-35-109. In general terms, Colorado’s recording statute provides protection against compet-

ing conveyances of interests in land to those who (i) first record their instruments of transfer (and thereby win the “race”

to the county recorder’s office) and (ii) do so without notice of such competing conveyances. The recording statute gov-

erns a broad range of instruments affecting title to real property, including deeds, leasehold assignments, encumbrances,

and judgments.

One element of the recording system that may be less well understood is the notice of lis pendens (referred to herein

simply as a “lis pendens”). A lis pendens provides notice of the pendency of litigation affecting title to real property. It

must name the court in which the action is pending, the parties to such litigation, and a legal description of the affected

property. C.R.S. § 38-35-110(1). Upon recording of a lis pendens in the county in which the real property is located, it

“shall be notice to any person thereafter acquiring, by, through, or under any party named in such notice... that the inter-

est so acquired may be affected by the action described in the notice.” Id. A lis pendens is effective upon recording, and

expires six years from the date of recording unless earlier terminated by order or judgment of the court, or extended of

record. C.R.S. § 38-35-110(4).

A lis pendens is not a transfer of title, nor is it a prohibition on the transfer of title. See Ute Mesa Lot 1, LLC v. First

-Citizens Bank & Trust Co., 736 F.3d 947 (10th Cir. 2013); Hammersley v. District Court of Routt County, 610 P.2d 94

(Colo. 1980). Rather, it is a cloud upon title that impairs the marketability of the property. Ute Mesa at 951. One could

still acquire an interest in real property that is subject to a valid lis pendens. The grantee of such an interest would, how-

ever, be subject to the results of the litigation to the same extent as his or her grantor. The uncertainty posed by the

pending litigation could, no doubt, significantly affect the value placed on the property by a prospective purchaser.

Whether a party acquiring an interest in real property takes subject to a recorded lis pendens is subject to a further

consideration. The “shelter rule” provides that “one who is not a bona fide purchaser, but who takes an interest in prop-

erty from a bona fide purchaser, may be sheltered in the latter’s protective status.” Strekal v. Espe, 114 P.3d 67, 74

(Colo. App. 2004). In other words, even if a purchaser acquires an interest with notice of a competing claim against a

remote predecessor in title, that purchaser will be protected if its vendor was protected under the recording statute. The

shelter rule applies equally to deeds as it does to lis pendens, or other types of instruments subject to the recording act.

A good example of the shelter rule comes from the facts in J.D. Kirk, LLC v. Cimarex Energy Company, 14-CV-

6122, 604 Fed. Appx. 718 (10th Cir. 2015). There, J.D. Kirk, LLC (“Kirk”) obtained an assignment of certain oil and

gas leases from Amoco Production Company (“Amoco”) in 1996, but did not record the assignment until 2001. In 1997,

Amoco recorded an assignment of various interests--including the leases previously assigned to Kirk--to Gothic Energy

Company (“Gothic”). Following various mergers, an assignment of Gothic’s interests to Cimarex Energy Company

(“Cimarex”) was recorded in 2008. Kirk asserted that Cimarex was not entitled to protection under the recording statute

because it had constructive notice of Amoco’s conveyance to Kirk after it was recorded in 2001. The district court found

that Cimarex was entitled to protection under the shelter rule because it obtained its interest by way of Gothic, which

was a bona fide purchaser who recorded first without notice of the prior assignment to Kirk. J.D. Kirk at 723. In other

words, Cimarex took shelter in its predecessor’s protected status. The same result would have ensued if J.D. Kirk had

recorded a lis pendens in 2001 naming Amoco as defendant since Gothic would still be afforded protected status under

the recording statute.

As with any rule in the law, there are exceptions to the shelter rule. First, “when a good faith purchaser obtains the

property from a grantor who had notice of an outstanding interest in the property, the shelter rule does not apply if the

property is reconveyed to the grantor.” Strekal at 74. Second, the rule does not apply if a party with protected status

reconveys the property to a party who violated a trust or duty with respect to the property. Id.

Notices of lis pendens impart constructive notice of pending litigation to prospective purchasers of real property. It

is important, however, that they be understood within the context of the overall chain of title to the property. While

those purchasing interests from parties properly identified in lis pendens may themselves be subject to the outcome of

the litigation, the shelter rule may provide relief to innocent purchasers and their successors in interest.

President (previously elected) Sam Evasick Sam is a graduate of the University of Oklahoma College of Law. Prior to

attending law school, he earned two bachelor’s degrees (Finance and Man-

agement) and an M.B.A. from Newman University, where he received an

athletic scholarship. Sam moved to Denver in 2013 where he has worked

for various companies as a landman and in business development. Current-

ly, he is working as a Senior Landman with Reagan Resources. He is an

active member of the AAPL and the DAPL, where he has served as 1st Vice

President and as Secretary for the Executive Committee. He has also

served the DAPL as chairman for the Networking Committee and John L. Hunt Mentorship Program, and is a

member of the community service committee.

1st Vice President Nominee Chad A. Repko, JD, CPL Chad Repko is currently a Lead of Land Negotiation with Encana, where

he has been since October of 2014. He is presently working on the Permi-

vice of Horace Greeley and received his B.A. in Political Science from Colorado State University and his J.D.

from Thomas Jefferson School of Law. Chad has been actively involved with the DAPL since 2011 and is

presently serving on the DAPL Board as Treasurer. Chad has a passion for negotiations, business, and geo-

politics. In his free time, when Chad isn’t spending time with his lovely wife Kate and his beloved German

Shepherd, he can be found horse trading at flea markets across Colorado.

Vice President Nominee Gil Guethlein Gillespie “Gil” Guethlein manages DJ Basin Land Business Development at Ana-darko, where she oversees complex business transactions involving oil and natural gas properties in Colorado. A Texas transplant, Gil started her career in Houston and has previous experience with Statoil and BP America. She is a Landman by profession and a lawyer by training with licenses to practice in Texas and Colora-do. In addition to sitting on the Executive Committee of the Denver APL, Gil sits on the Board of the Hispanic Chamber of Commerce of Metro Denver, she is a Fel-low with the Latino Leadership Institute at the University of Denver, and she is a steering committee member of the Impact Makers Table, a 501(c)(3) non-profit. In her free time, she enjoys hiking, brunch, and travel.

Treasurer Nominee Edward H. Higuera Ed Higuera is a second-generation oilman from Grand Rapids, Michigan. He current-ly works at Anadarko Petroleum Corporation in Denver, Colorado where he serves as a member of Anadarko’s Powder River Basin Business Development team. Ed currently serves as the Co-Chair of the Education Committee for the DAPL. He is a member of the AAPL. Prior to his career in the energy business, Ed served in the United States Navy where he deployed to the Middle East three times, and was awarded the Naval Achievement Medal. Ed graduated Cum Laude from the University of Tulsa with a degree in Energy Man-

agement.

Secretary Nominee Sarai Martinez Sarai Martinez is a Sr. Landman at QEP Energy Company, where she oversees properties in Texas. She has been in the oil and gas industry for 7 years. Sarai is a mentor for the DPS CareerCoach Program ,where enjoys mentoring high school students and educating them about the oil and gas industry. She has served as the Co-Chair for the DAPL Scholarship Committee. Sarai is a proud Colorado native and a Denver Broncos super fan. In her free time, she enjoys camping, golfing and playing basketball.

Director Nominee Caroline Heuring Hansen Caroline Hansen, Senior Landman at Liberty Resources Management Company is a Colorado native. Upon graduation at Arapahoe High School, Mrs. Hansen headed south and attended The College of Charleston in South Carolina. Caroline graduated magna cum laude with a double major in Business Administration and Hospitality Tourism Management. In 2006 she studied abroad in Brazil, South America and in 2007 was fortunate enough to be awarded the opportunity to complete an international business program in Dubai, United Arab Emirates. Caroline remained in Charleston after graduation and began her professional career in the event planning business. It was here in Charleston where Caroline realized what it took to be a successful busi-ness woman.

In 2011, Caroline returned to Colorado and joined the team at Transcontinent Oil Company. While at Trans-continent Caroline immersed herself in the oil and gas business and an opportunity arose in the Land Depart-ment at Bonanza Creek Energy. She quickly climbed the ranks of the company earning four different promo-tions in the first few years: Land Assistant, Land Tech, Landman I and Landman II. In October of 2016, Caro-line joined the team at Liberty Resources, LLC as a Senior Landman. Caroline is the Vice President for the Denver Association of Petroleum Landmen, serves on the leadership committee for the Denver Petroleum Club’s neXecutive Program and participated in the 2016 COGA EnGen class. In Caroline’s free time she loves golfing, hiking, fishing, traveling and spending time with her family. Mrs.

Hansen married her husband Jon Hansen in September of 2015.

AAPL Director Nominee Cranford D. Newell, Jr., CPL I was born in San Francisco and spent the first 11 years of my life in California before moving to Colorado Springs with my family in 1993. After high school I attended the University of Colorado at Boulder earning a Bachelor of Arts while majoring in History and minoring in Business. After graduating from CU I moved to Denver and attended the University of Denver to earn an MBA. My first job in the industry was with Berry Petroleum working the Uinta Basin. After Berry Petroleum I joined Nadel & Gussman working the Williston Basin and smaller assets in Wyoming. Then in 2012 I was hired by Robert L. Bayless, Producer LLC where I have spent the last 5 years working both operated and non-operated assets in several basins in the Rockies.

I have been married for 5 years to my wife Elisabeth and we just had our first child (Cranford D. Newell III) back in June of 2016. I am a fan of French Bulldogs, Boston sports teams (Tom Brady is probably the greatest living American) and trying new restaurants. I look forward to serving on the board and representing DAPL and our industry in the future.

Director (previously elected) Tyler Aylor Tyler Aylor began his career in Oklahoma as an independent landman in

2006. In 2011, Tyler moved into project management and business devel-

opment for Reagan Resources, Inc. and helped facilitate the opening of the

Colorado office. Currently, Tyler is Regional Manager for Reagan’s pro-

jects across the Rocky Mountain region. He’s an active member of the

AAPL, holding the Registered Professional Landman certification. He has

been an active member of the DAPL since 2011 participating in several

DAPL committees, former chair of the Networking committee, former

Treasurer on the 2015-2016 Executive Board, and currently serving as Director on the 2016-2017 Executive

Board as well as co-chair of the Budget & Finance committee.

Denver APL Executive and Board Meeting Minutes

February 8, 2017 Board and Committee Members Attending: Austin Brewer, Sam Evasick, Caroline Han-sen, Birgit Roesink-Miller, Gil Gillespie, Tyler Aylor, Chad Repko, Brett Wisner, Lexy Mastroianni, Justin Ray, James Parrot, Jeff Silver, Jamie Gorsich, Ed Green, John Jordan, Joe Gilmore, Sarai Martinez, Jake Bakker, Meg Gibson Board Members Absent: Lauren Germinario, Cranford Newell, Nancy McDonald, Alex Newell, Kent Davis, Ed Higuera, Sue Hollcroft, Patrick Finley, Gina Matero, Patsy Botts, Michelle Murphy, Malinda Morain, Heath Lovell Austin called the meeting to order at 11:32 a.m. Approval of Minutes Reported by Gil Gil moved to approve the January 11, 2017 Denver APL Executive and Board Meeting Minutes. Birgit seconded. Motion passed. President’s Report Reported by Austin 2016/2017 Denver APL Executive Commit-tee: The search for next year’s Executive Committee continues. Submissions are due by February 28th to a committee comprised of Austin, Sam, Tyler, Cranford and Lauren, who will recommend candidates in March. 2017 Rockies Bash: Per a discussion of the Executive Committee on January 23rd, Denver APL would like to continue the tradition of the Rockies Bash in the absence of Denver NAPE. The Rockies Bash committee will determine the feasibility of doing so. Membership Dues: Austin and Chad are going to discuss and recommend an appropri-ate, small amount by which to increase Den-ver APL membership dues, which are lower than comparable large Landman organizations in other regions. Upcoming Events: NAPE Summit is sched-uled for February 13th-17th in Houston. The February luncheon is scheduled for February 15th at the Denver Athletic Club. GeoLand Ski Day is scheduled for February 24th at Keystone. DAPL Hockey Night is scheduled for March 9th at the Pepsi Center. The March Happy Hour is scheduled for March 16th at Rhein Haus. Treasurer’s Report Reported by Chad When compared to last year, the current bal-ances are down about 14%, which is in line with the recent steady decline in operating funds. This decline will be unsustainable in the long term. The scholarship funds are up about 26%. Balances as of February 7, 2017-

Nine of the applicants are also members of the AAPL and 19 have pending applications. The 31 Student applications are from Colorado Me-sa University, which is seeking accreditation from the AAPL. The committee is actively working to recruit local AAPL members who are not Denver APL members. To further increase member-ship, the committee plans to reach out to the local exploration and production companies, RMMLF, DADOA, DALTA and DAOGTL. Gil moved to approve the applicants. Chad seconded. Motion passed. Golf Report Reported by John The Golf Tournament is scheduled for June 26th, which is the Monday following the AAPL Annual Meeting in Seattle. John is going to check with Foothills Golf Course to see if a July date is available as an alterna-tive. John L. Hunt Mentoring Program Report Reported by Ed Speakers and Mentors have been lined up for 2017. Office space is still needed for some of the sessions. Participant applications will be accepted through March 1st. Tyler is going to reach out to the Wyoming Associa-tion of Professional Landmen to promote the program. Thank you to Tabatha and Brett for their help getting the John L. Hunt Men-toring Program webpage up and running. Trap Shoot Reported by Joe The committee is recruiting members and beginning to plan for this year. The Trap Shoot is scheduled for August 19th. Community Service Report Reported by Justin Our annual Family Homestead event is scheduled for April 8th.

IT Report Reported by Brett Brett recommended offering an extended membership registration option for three years or more. Scholarship Report Reported by Sarai Scholarships applications are due May 1st. Denver APL scholarships are awarded to applicants attending AAPL accredited pro-grams. Social Media Report Reported by Lexy The committee has devised a plan of attack to integrate industry advocacy into Denver APL Social Media. Regulatory and Advocacy Committee Reported by Jake Members of the committee attended COGA Day at the Capitol. AAPL Report Reported by Birgit The Rocky Mountain Land Institute original-ly scheduled for March has been canceled. A due diligence seminar will be hosted by the AAPL on March 23rd. AAPL is reviewing Colorado Mesa Univesity’s application for accreditation. Caroline has been invited to join the Annual Meeting Committee for the Denver 2018 annual meeting. Jamie has not received an update on Denver APL’s submis-sions for awards. Rockies Bash Report Reported by Caroline The committee is considering dates in Octo-ber and December for the Rockies Bash, which will be hosted in the absence of Den-ver NAPE. GeoLand Ski Day Report Reported by Meg The meeting was adjourned at 12:20.

Other Business After the meeting, the Executive Committee unanimously voted to approve extending the Directors and Officers Liability Insurance Policy for the Denver APL, which was re-viewed by Malinda Morain.
