Mode of Payment of EMD

The EMD money shall be payable through Draft in favour of ‘Metal Link Alloys Limited in Liquidation’ payable at Mumbai. The amount can also be paid in “Metal Link Alloys Limited in Liquidation Account” in SBI – Account No 38047990966 – IFSC – SBIN0011688

6.

Refund of EMD Within 7 working days of opening of tenders to unsuccessful bidder. The tenderers will not be entitled to claim any interest for any reason whatsoever.

Adjustment of EMD

The successful bidder should pay balance amount within 15 days without giving a further notice. Amount of EMD as above shall be forfeited on failure to pay the amount as mentioned above.

8.

Forfeiture of EMD

For b i d d e r s n o t c o m p l y i n g w i t h t h e t e r m s and conditions specified in the tender-cum-auction documents, the EMD amount shall be forfeited.

9.

Rejection of tenders/bids

Tenders not received in the prescribed tender form or

incomplete in any respect or unsigned or not

accompanied b y the requisite EMD are liable to be

summarily rejected.

Type of offer and manner of payment

As mentioned in column 7 above

Shall be decided by the liquidator

Liability of the purchaser

The purchaser shall bear the applicable stamp duties,

transfer charges and other incidental charges and all

other lifting charges, if any. The successful purchaser

shall not deduct any TDS from the reserve price

amount. GST will be applicable as per the prevailing

rates.

13.

Inspection of assets

The interested parties are advised to submit their

tenders after inspection. The prospective bidder

shall visit/inspect the Asset at their own cost.

14.

Disputes/Litigations

In case of disputes in tender/auction, the decision of liquidator shall be final and binding on all and any

litigation shall be subject to jurisdiction of NCLT-

Ahmedabad Bench.

15 Miscellaneous

Tenders with conditional offer will be treated as invalid.

Correspondence about any Change/modification in

the offer after submission of tender will not be

entertained. If any tenderer wishes to give a fresh offer for the

Asset before the last date prescribed for submission of the tender in the concerned advertisement , he may file a fresh tender with appropriate EMD.

The Liquidator reserves the right to postpone/ cancel or vary the terms & conditions of auction without assigning any reasons thereof.

No bids/offers below reserve price shall be entertained.

The E-Auction/ Bidding of above properties will be conducted on the scheduled date & time as mentioned against each property by way of inter-se Bidding amongst the bidders. The bidder shall improve their offer in multiple of the amount mentioned under the column “Bid Increment Amount” against each Property. In case Bid is placed in the last five minutes of the closing time of the E-Auction, the closing time will automatically get extended for 5 minutes. The bidder who submits the highest bid amount (not below the Reserve Price) on closure of E-Auction Process shall be declared as successful Bidder and a communication to that effect will be issued through electronic mode which shall be subject to approval by the Liquidator.

Bidder shall hold a valid ID (Email ID) which is absolutely necessary for the intending bids as all the relevant information and allotment of ID and password by E-Auction Service Provider will be conveyed by Email

any activity of hazardous/prohibited items as specified by Government of India

as the ‚The Seller‛ which expression shall unless it be repugnant to the subject or context

thereof, includes its successors, nominees and assigns)

A. Whereas the Liquidator, pursuant to section 36 of Insolvency & Bankruptcy Code,

2016 read with Regulation 32 & 33 of Insolvency & Bankruptcy Board of India

(Liquidation Process) Regulations, 2016, has taken the possession of the assets for sale

through E-auction of M/s Metal Link Alloys Limited under Liquidation.

B. Whereas the Liquidator confirmed offer in favour of the Purchaser ,

and subject to terms and conditions contained in the sale notice.

C. Whereas as covenants of the documents of terms and conditions of sale state that

‚The adjudication of the stamp duty, payment of stamp duty, registration charges,

uncovered transfer charges, if any and all other incidental costs charges and expenses

in connection with sale of the said Plant/Asset shall be borne by the Purchaser.

D. Whereas the documents of terms and conditions of sale and the sale notice further

state that‛ the sale of Land & Building/ Land / Windmill/ Vehicle is on ‚AS IS

WHERE IS BASIS‛ and ‚AS IS WHAT IS BASIS‛.

Further , The buyer is aware that Company ( Metal Link Alloys Limited ) is under Liquidation

and the Company’s assets are being under auctioned under the provisions of Insolvency and

Bankruptcy Code , 2016 . As such , the provisions of Insolvency and Bankruptcy Code , 2016

and the related regulations updated from time to time will remain applicable in respect of this

sale.

E. The Seller has accepted the offer upon execution of the following indemnity:

NOW THIS INDEMNITY WITNESSTH:- Inconsideration of the movable & immovable properties, the Purchaser

L i m i t e d ) indemnified and save harmless, against any and all losses, damages,

indemnity)which the seller shall suffer as a result of this sale of the asset which is being sold

under the provisions of Insolvency and Bankruptcy Code, 2016 and the related regulations.

And it is declared that this indemnity is without prejudice to and is in addition to any

other rights of the Seller.
