Regulates Law No. 13,123, of May 20, 2015, which provides for access to

knowledge and the sharing of benefits for conservation and sustainable
use of biodiversity.
After almost 6 months since the
law came into force, the Decree

presented at the time of notification

The authorization will be required only in cases where there is some involvement of
foreigners:
I - National legal entity whose controlling shareholders or members who are natural or legal
foreign persons
II - national institution of scientific research and technology, public or private, when access
is made in association with legal entity based abroad
III - Brazilian natural person associated, funded or contracted by a legal entity based abroad

May 20, 2015, and Decree n. 8.772, dated May 11, 2016, according to its Internal Regulations, annexed to Order
MMA n. 427, dated September 29, 2016, resolve to:
Art. 1 - Approve the model of Material Transfer Agreement - MTA, as set out in the annex to this Resolution.
Art. 2 - As requested in Article 25 of Decree n. 8.772, dated May 11, 2016, the clauses presented in this model of
MTA are mandatory.
Sole paragraph - Additional clauses may be annexed to the MTA, in order to address specific interests of the sender
or the receiver, since they do not conflict with this Resolution or the pertinent legislation.
Art. 3 - This Resolution shall enter into force on the date of its publication.

Definitions:
1 - Legal person: a set of people or goods, with own legal personality and legally established.
2 - Natural person: any person capable of acquiring rights and duties in the civil order.
3 - Access to the genetic heritage - research or technological development carried out performed on genetic heritage samples;
4- Genetic heritage - genetic information from plants, animals, and microbial species, or any other species, including substances originating from the metabolism of these living organisms;
5 - Research - experimental or theoretical activity, carried out on genetic heritage or associated traditional knowledge with the objective of building new knowledge by means of a systematic process that creates and tests hypothesis, describes and interprets fundamentals of observed phenomena and facts;
6 - Technological development - systematic work on genetic heritage or associated traditional knowledge, based on existing procedures resulting from research or from practical experience, carried out with the objectives of developing new materials, products or devices, or improving or developing new processes, for economic exploitation;
7 - Associated traditional knowledge - information or practice of indigenous population, traditional community, or traditional farmers about the properties, or the direct or indirect uses associated with genetic heritage;
8 - Product notification - declaration document required prior to economic exploitation of a finished product or reproductive material originating from access to genetic heritage or to associated traditional knowledge in which the user declares compliance with the requirements of Law n. 13.123, dated May 20, 2015, and indicates the modality of benefit sharing, when applicable, to be established in the benefit sharing agreement;
9 - Shipment - transfer of a sample of genetic heritage, intended for access, to an institution located abroad, in which responsibility for the sample is transferred to the recipient institution.

Since the RECEIVER must comply with the provisions of Law n. 13.123, dated May 20, 2015 and of Decree n. 8.772, dated
May 11, 2016, to access3 the samples of genetic heritage4 consisting of the subject matter of this MTA for purposes of
research activities5 and technological development6, the RECEIVER states to be aware that he/she must:
a) Be associated with a Brazilian institution of scientific and technological research to perform research or technological
development from this (these) sample(s) of genetic heritage, in case of a foreign legal person;
b) Register the research and technological development activity performed with the object of this MTA or with the
associated traditional knowledge7 at SisGen (sisgen.gov.br), through the associated Brazilian institution;

c) Register the research and technological development activity previously to the requirement of any intellectual property
right or intermediate product marketing, or dissemination of final, or partial results in scientific or communication media,
or notification of finished product, or reproductive material developed due to access, through the associated Brazilian
institution;
d) Notify8 through SisGen (sisgen.gov.br) and Share Benefits, in case of economic exploitation of finished product, or
reproductive material developed from the subject of this MTA, through the associated Brazilian institution;
e) Obtain the prior and informed consent from the provider of the local traditional variety or landrace, or locally adapted
race or land breed to perform research and technological development activities, in cases where the samples are not used
for agricultural activities, through the associated Brazilian institution; and
f) Obtain the prior and informed consent from the provider in case of research and technological development activities
related to the associated traditional knowledge of samples object of this MTA, through the associated Brazilian institution.
The above-described signatory parties, through their duly constituted representatives, decide to sign this MTA, upon the
following clauses and conditions:
1. This Agreement aims the shipment9 of the samples of genetic heritage described below, in accordance with Article 12, IV,
of Law n. 13.123, dated May 20 2015, by the SENDER to the RECEIVER and will integrate the Registry of Shipment in the
National System for Genetic Heritage and Associated Traditional Knowledge Management - SisGen.
1.1. This shipment will be performed after its registration at SisGen (sisgen.gov.br), by the SENDER, in accordance with § 2,
Article 12, Law n. 13.123, dated May, 20, 2015.

c) Register the research and technological development activity previously to the requirement of any intellectual property
right or intermediate product marketing, or dissemination of final, or partial results in scientific or communication media,

reproductive material developed from the subject of this MTA, through the associated Brazilian institution;

EVALUATION BY FIOCRUZ REGARDING MMA LEGAL OPINION
• The SHIPPMENT is broader and can be used for practically all situations, except for
the specific case of service supply, for instance genetic sequencing, which is classified
as SENDING in the Law 13.123/15.
• In the context of scientific partnership, the data is shared as well as the resulting
scientific output. When the transport is classified as SENDING, the foreign partner
institution would be prohibited from economically exploiting and filing any patent
application.
• There is no significant simplification regarding the procedures for SENDING in relation
to SHIPMENT, since in both cases a registration and a legal instrument or MTA are
needed. The difference is the moment of the registration, in the case of SHIPPMENT
the registration must be prior.
