SPECIFICTERMSANDCONDITIONSOF TATASKY SUBSCRIPTIONCONTRACTFOR
TATASKY HARDWAREPROVIDEDON AN ENTRUSTMENTBASIS The followingterms
and conditions(the Termsand Conditions)set forth the agreementunder
whichWe will provideYou with the Serviceand install the Tata Sky
hardware. 1. DEFINITIONS Certainwords in this agreementhave a
specificmeaningand are explainedbelowor Your easy understanding:
(a) AccountBalance:the currentavailableamountin Your
SubscriberAccount. (b) AccountStatement:a statementof
transactionscompletedwithina given time period,made availableto You
at a periodicitydefinedby Us and by a methoddeterminedby Us. (c)
Activation:means activationof the Serviceunder the terms of this
contract,after Installation of the Tata Sky
hardwareincludingprovisionfor servicefor upgradeat the Address(d)
Activation charges:Activationchargesare chargescollectedunder the
terms of this contract,for activationof DTH servicesand
include,whetherchargedseparatelyor otherwise,whollyor partly,
chargesfor installation,PVR servicefee, HD servicefee, HD PVR
servicefee and unless chargedseparately,freightand any
servicecharges,upgradeservicesbut do not include
subscriptioncharges (e) ActivationVoucher:a voucherissued as
acknowledgmentof moneysreceivedtowards Activationchargesand
containingan ActivationPIN, throughwhichWe activatethe Service. (f)
ActiveAccountStatus: Status of Your SubscriberAccountwhen Your
SubscriberAccount has MinimumAccountBalanceor is withinthe grace
period (g) Address:Your addressin the Republicof India as per Tata
Sky recordsor any new addressin the Republicof India to whichYou
relocatethe Servicein accordancewith this Subscription Contract.
(h) AuthorisedRepresentative:a personaged 18 years or above
deemedto have been authorisedby You to take actionsunder the
SubscriptionContract. (i)
CommercialEstablishments:Commercialsubscribersas definedunder the
Telecommunication(Broadcastingand Cable
Services)InterconnectionRegulations(as amended from time to time)
(j) Content:any scheduledprogrammingchannel,platformserviceand any
other programming servicesthat We may offer You as part of any
Package. (k) Day: the 24-hourperiodfrom 00:00:00hours to
23:59:59hrs. (l) Digicard:the Tata Sky ownedcard throughwhichthe
Serviceis renderedwhen used with the Tata Sky ownedDigicomp. (m)
Digicomp:A Tata Sky ownedsatellitereceiverauthorisedby Us for use
with Our digital conditionalaccess system,includinga PVR, HD and HD
PVR. (n) DTH: Direct to home satellitetelevisionservice. (o)
Engineer:the Personwho is authorisedby Us to performthe
Installation. (p) ForceMajeureEvent:shall mean any reasonor cause
beyondthe controlof Tata Sky includingbut not limitedto an act of
God includingfire, flood, windstormor other natural disaster;
failureof
communications,equipment,machinery;transmissionlimitations/problems
causedby
topographical,geographical,atmospheric,hydrological,environmentalconditions
and/or such other factors/features/conditions,system(s)changesor
capacitylimitationsfor reasons of
upgradation,variations,installation,relocations,repairs,operationand/or
maintenance of systems/equipments/theservice;revocationof Tata
Sky's DTH license;breachof contractby any contentand/or
technologypartner(s)of Tata Sky; threat to the securityof Tata Sky
Personnel(includingthe Engineer);theft, tamperingwith or damageto
Tata Sky propertyor facilities. (q) Grace Period:the
periodstartingfrom the notifieddue date i.e. the date on whichyour
SubscriberAccountis due for rechargeuntil the date Your Serviceis
deactivatedfor failure to maintainthe MinimumAccountBalance. (qa)
Handlingfee: The amountpayableby you towardshandlingchargesand fees
(r) HD: Digicomphavingthe HD (High Definition)functionality. (s) HD
functionality:High Definitionfunctionality (t) HD servicefee: a
servicefee chargeablefor the HD functionality (u) HD PVR:
Digicomphavingboth the HD functionalityand PVR functionality. (v)
HD PVR functionality:Functionalitycomprisingof both HD
functionalityand PVR functionality. (w) HD PVR servicefee: a
servicefee chargeablefor the HD functionalityand PVR functionality
(x) Helpdesk:Our on-air informationservice. (y) Helpline:Our call
centre. (z) Installation:set-upof the Tata Sky hardwareat the
Address. (aa) Installationservicefee: the amountpayableby You to Us
towardsservicesrenderedin connectionwith installationof the Tata
Sky hardwareat the Addressas specifiedby You. (bb)
InstallationWorkOrder:the form signedby You at the time of
Installation. (cc) Law: all applicablestatutes,enactments,acts of
legislatureor Parliament,laws, ordinances, rules, by- laws,
regulations,notifications,guidelines,policies,directions,directivesand
orders of any GovernmentAuthority,tribunal,board or court
including,withoutlimitation,the DTH guidelinesin force issuedby the
Governmentof India for DTH broadcastingservicesand license
obtainedby Tata Sky Ltd. from the Governmentof India pursuantto all
applicablelaw as amended, modifiedor re-issuedfrom time to time.
(dd) Long DurationSubscription:A subscriptionpack with a
pre-definedperiodwherethe entire subscriptionis requiredto paid in
advancefor the periodsubscribedto. (ee) MinimumAccountBalance:the
SubscriptionFee requiredto cover at least 1 day of subscriptionof
Your chosenService(in case of monthlysubscriptions)or total value
of Your chosenService(in case of Long DurationSubscriptionsor
showcaseevents) (ff) MinimumFirst Recharge:Amountrequiredto be paid
in advanceby You at the time of Installationbooking/
Installationbut prior to Activationof the Servicetowardsthe initial
minimumsubscriptionfee as specifiedby Tata Sky in case of
monthlysubscriptionsand total value of the subscriptionin case of
Long DurationSubscription. (gg) Multi DwellingUnit (MDU):a Unit
situatedin a buildingwith four or more floors with single or
multipleUnits on each floor. For the sake of clarity,houseswith
three or less floors are excludedfrom the definitionof MDU. (hh)
MDUConsent:for installationat a Multi DwellingUnit,
consentobtainedby Us from You as stated in the InstallationWork
Order. (ii) MultiTVSubscription:a subscriptionoptionwhichallows You
to receivethe Serviceon up to three Digicomps,in additionto the
first Digicomp,under the same SubscriberID. (jj) My Tata Sky: Your
onlineaccess to Your SubscriberAccountthroughwww.tatasky.com (kk)
OptionalPackage(s):Package(s)offeredby Us in additionto our
PopularPackage(s)and may be opted by you in your sole discretionin
additionto the PopularPackagechosenby You. (ll) Package:any
packageof Contentwhichmay be offeredby Us, and selectedby You from
time to time as part of the Service. (mm) PrimaryDigicomp:the first
Digicompunder whichYour Serviceis activatedas per Tata Sky records
(nn) PopularPackage:the entry level PackageYou are requiredto
subscribeto for accessingthe Service. (oo) PVR: Digicomphavingthe
PVR (PersonalVideoRecorder)functionality. (pp) PVR
functionality:PersonalVideo Recorderfunctionalityi.e. includingbut
not limitedto recording,playback,pause live TV and rewindlive TV
featureson the PVR. (qq) PVR servicefee: a servicefee chargeablefor
the PVR functionalityas part of the Activation charge (rr)
RechargeVoucher:a paper voucheror electronicPIN, issuedas
acknowledgmentof moneys receivedtowardsSubscriptionfee and
Installationservicefee and throughwhichWe providethe Service (ss)
RegisteredMobileNumber:Your Indianmobilephonenumberprovidedby You
to Us and recordedon Your SubscriberAccountthroughwhichYou may
transactwith Tata Sky via SMS and on whichYou agree to
receivecommunicationrelatingto the Service. (tt)
RegisteredTelephoneNumber:the Indiantelephonenumberprovidedby You
to Us and recordedon Your SubscriberAccountused by the Helplineto
recognizeYou as our Subscriber. (uu) RelocationWorkOrder:the form
signedby You at the time of relocationto enableyou to avail of the
Serviceat the Address. (vv) Service:the DTH
broadcastingserviceprovidedby Tata Sky in India includingany
Packages,ShowcaseEventsand functionalitiesas may be authorisedat
the Addressthroughthe applicableTata Sky hardware,from time to
time, under the SubscriptionContract. (ww) ShowcaseEvent:any
movie,programmeor other event offeredon Our platformand which may
be orderedby You on paymentof the specifiedamount. (xx)
Subscriber:shall mean a person(You) who agrees to these Terms and
Conditionsfor availingOur Servicesbut
excludesCommercialEstablishments. (yy) SubscriberAccount:Your
personalsubscriptionaccountwith Tata Sky for carryingout all
transactionswith Tata Sky. (zz) SubscriberID: the
uniquesubscriberidentificationcode issuedto You for purposesof
accessingYour SubscriberAccountand availingof the Serviceat the
specifiedAddress. (aaa) SubscriptionContract:this
contracttogetherwith its Terms and Conditionsstated on
www.tatasky.com,and the InstallationWork Order and RelocationWork
Orderas modifiedand amendedby Us from time to time. (bbb)
Subscriptionfee: the amountpayableby You to receivethe Service.
(ccc) Tata Sky hardware:such hardwareincludingbut not limitedto the
Digicomp,minidish, LNB, cable, connector(s)and relatedparts and
Digicard,specificallyauthorisedby Us for You to receiveand avail of
the Serviceand whichis providedby Us to You withoutany
consideration and whichis ownedby Us. (ddd) Unit: Premisesused for
non-commercialpurposes. (eee) We, Us, Our or Tata Sky: Tata Sky
Limitedand its successorsand assigns. (fff) WorkOrder:the form
signedby You in connectionwith any servicethat you wish to avail of
post Installation. (ggg) You or Your: the party namedon the
InstallationWork Order who must be an individual aged 18 years or
above or any entity. (hhh) Upgrade:Meansa process,wherebyany
existingsubscriber,who has eitherhaving purchaseda Digicompor
havingactivatedthe DTH service,is offeredand so opts for activation
of the DTH service,under an upgradeetc, for a Digicompwith
additionalfunctionality/iesthan is / are presenton the
Digicompcurrentlyunder the existingsubscribersownershipor
possession III) Subscriberoffers : At the sole discretionof the
company,companymay offer various promotionaloffers from time to
time. 2. SUBSCRIPTIONCONTRACT 2.1 UnlessYou: (a) presentthe
ActivationVoucherat the time of installation,(b) providea
completedand duly signedInstallationWork Order to the Engineerat
the time of Installation,and (c) meet the MinimumFirst
Rechargecriteria, the Servicewill not be activated.(For detailed
terms on MinimumFirst Recharge,refer www.tatasky.com) 2.2 Tata Sky
reservesthe right to reject, in whole or in part, any
InstallationWork Order without assigningany reason. 2.3 By (a)
presentingthe ActivationVoucherat the time of installation (b)
providinga completed and duly signedInstallationWork Order to the
Engineerat the time of Installation, and (c) meeting the
MinimumFirst Rechargecriteria,You acknowledgethat You are fully
informed about the Service,have read, understoodand agree to be
boundby all provisionsof the SubscriptionContractand have only
thereuponopted to subscribeto the Service.No changeby You to any
informationin the Tata Sky recordsshall be valid unless
communicatedby You and acceptedby Us. 2.4 The
SubscriptionContractcovers Your receiptof the Serviceonly at the
Address. 2.5YouwarrantandrepresentthatYouor
YourAuthorisedRepresentativehasachievedtheage ofmajority,is
otherwisecompetenttocontractandhastheauthoritytoexecutethisSubscription
Contractand be boundby it. Any breachof this sectionshall be
groundsfor cancellationof the Serviceand/or terminationby Us of the
SubscriptionContract. 2.6 You furtheracknowledgeand agree that by
takingany actionsor allowingany actionsto be taken on Your behalf
by Your AuthorisedRepresentativeunder this SubscriptionContract,
includingwithoutlimitation,choosinga Package,acceptingthe
Serviceand utilizingActivation voucher,RechargeVouchers,signingthe
Installationwork order You accept to be boundby the terms and
conditionsof this SubscriptionContract. 3. TERM
TheSubscriptionContractwillcommenceupon(a)presentingtheActivationVoucheratthetime
of installation (b)providinga
completedanddulysignedInstallationWorkOrderto theEngineer at
thetimeof Installation, (c)meetingtheMinimumFirstRechargecriteria;
and(d)activationof the Service; and will remainvalid, subjectto
applicableTerms and Conditions. 4. SERVICE 4.1 The ServiceYou
select will be providedto You in accordancewith the Law. 4.2 We
will providethe Serviceonly for the purposeof Your
non-commercialuse, and viewingat the Addressand thereforeYou will
not use the Serviceor any part of it for any other purposes. 4.3 We
shall be entitledto inspectthe Addresspremises,withoutprior
noticeand during reasonablehours permittedunder the law to verify
Your compliancewith the Subscription Contractand the
intellectualpropertyrights of any party and, in connectionwith such
inspection, to take photographsand gather
documents,materials,equipmentor other informationnecessary as proof
of any violationof this SubscriptionContractor
intellectualpropertyrights of any party. In the event that We
detect any violationof this SubscriptionContractor any
intellectualproperty rights utilizingfingerprintingor any other
mechanismor systemdeployedby Us or by Our
authorizedrepresentatives,then such fingerprintingor other
mechanismor systemshall be acceptableto You and any findingsof
contractualor intellectualpropertyviolationsand / or violationsof
any other law/s throughthe use of fingerprintingor other
methodpresentedbefore the relevantauthorityshall be treatedas
conclusiveproof of any such violation. 5. PACKAGES 5.1 You must
subscribeto any one of the PopularPackagesor subscribeto the Make
My Pack servicein order to subscribeto Our Service.For details of
the PopularPackages,Optional Packagesand Make My Pack
service,kindlyrefer to www.tatasky.com 5.2 PackageMigration: (a)
You may at any time requestto changeYour Packagefrom Your
existingPackageto another Packageofferedby Us as per the
relevantterms and conditionsprescribedby Us from time to time. (b)
In order to changethe Package,You must have a
MinimumAccountBalanceand be authorisedto receivethe Service. (c)
The requestedPackagewill be effectivewithin3 workingdays from the
date of request. (d) The requestedPackagewill be activatedon all
Digicompsincludedin Your MultiTV Subscription. (e) You will be
liable to pay the applicablechargesfor the requestedPackageand such
charges shall be effectivefrom the date of migrationto the said
Package. 5.3 Upon requirednoticeto You, We reservethe right, at any
time, withoutliabilityto You to: (i) replaceor
otherwisewithdrawPackagesor Content,(ii) changeor reducethe
numberof hours of any Content;(iii) blackoutany Content;(iv)
modifythe prices for the Serviceor any part of the Service. 5.4 We
reservethe right to changePackagingand introducePopularand
Optionalpackages and/or offer channelson an a-la-cartebasis. 5.5
OptionalPackages,a-la-cartechannelsneed to be subscribedto
separately.If Your Subscriptionhas been deactivatedor cancelled,You
shall not be eligibleto avail of Optional Packagesand
a-la-cartechannelstoo. 5.6 You acknowledgeand agree that the
Contentprovidedby Us as part of the Serviceis being suppliedby
other partiesand availabilityof Contentis outsideOur control. 5.7
We reservethe right to refrainfrom providingto You any Contentin
the interestof national securityor in the event of emergency/ war
or similarsituationor if the Contentis anti-national,
promotespolitical/ religiouspropaganda,is againstpublicpolicy,is
bannedor restrictedfrom being distributedunder any applicableLaw or
We otherwisedeterminethat it is objectionableor obsceneor is
derogatoryto any personor class of persons,hurts the
religioussentimentsof any religiousgroup or infringesthe
privacyrights of any individual(s)or is not in the interestof Our
subscribersor the generalpublic. 6. SHOWCASEEVENTS 6.1 The
SubscriptionContractdoes not authoriseYou to receiveany
ShowcaseEvents automatically.If You subscribeto any
ShowcaseEvents,such subscriptionwill be subjectto the terms
specifiedby Us from time to time. 6.2 If Your Subscriptionhas been
deactivatedor cancelled,You are not eligibleto subscribeto or watch
a ShowcaseEvent. To subscribeto a ShowcaseEvent, You must have the
Minimum AccountBalance. 6.3 ShowcaseEventsmust be subscribedto and
cancelledas per the time limits specifiedby Us from time to time.
For recordingof ShowcaseEventson Your PVR, kindlyrefer to the
Showcase viewingand recordingFAQs on the Tata Sky
website(www.tatasky.com). 6.4 Once the ShowcaseEvent has
commenced,You will not be entitledto cancel it and no refund will
be given. 7. INSTALLATION 7.1 Installationwill take place at a
mutuallyconvenienttime and We will make reasonableefforts to
arrangefor an Engineerto performInstallationon the time and date
requestedby You. 7.2 Prior to schedulingthe Installation,You need
to obtainthe necessarypermission(s)/ authorisation(s)requiredfor
installationat the Addressincludingthe requisitepermission(s)/
authorisation(s)to access any common(or third party) propertyfor
the purpose.You shall be solely responsiblefor resolving/
addressingany and all third party objectionsto the Installation at
the Address.You must ensurethat We can safely access the Addressand
any common(or third party) propertyand carry out the installationin
a safe and peacefulmanner.Installationat the Addressis subjectto
Your fulfillmentof the requirementsof this clause. 7.3 If You are a
residentof a Multi DwellingUnit (MDU),You need to give Your
consentas stated in the InstallationWork Order. 7.4 Installationat
the Addresswill be carriedout only in the presenceof You or Your
Authorised Representative.We may requireYou to furnisha copy of
valid age and addressvia a photo identificationproof (i.e. Voter
ID, RationCard, Passport,Driver'sLicense)at the time of
Installation. 7.5 You will be chargedfor all servicesrelatingto
Installationsat Our prevailingrate schedule. Such chargeswill be
debitedto Your SubscriberAccount. 7.6 By fixing the date and time
of Installationand submittinga signedInstallationWork Order, You
indicatethat You agree with the drilling,cablingand other
servicesinvolvedin the Installation. 7.7 You are responsiblefor the
cost of any authorizedthird-partyservicesand materialsthat may be
necessaryin connectionwith the Installation(for example,plumberor
electrician).We will informYou in advanceif those servicesare
required.We are not responsiblefor actionsof any such third party.
7.8 We reservethe right to chargeYou and debit Your
SubscriberAccountif the Engineerhas visitedand the Installationhas
not taken place because:(i) any necessarypermission(s)/
authorisation(s)have not been obtainedor are withdrawn;or (ii) You
or Your Authorised Representativeare not presentat the
appointedtime; or (iii) You have failed to furnisha valid age and
addressphoto identificationas required;or (iv) of a lack of
authorisedthird-partyservices and materialsrequiredfor
Installation;or (v) of any other force majeureevent. 7.9 In the
event You wish to changethe InstallationAddress,or reschedulethe
installationtime, You will informUs by contactingthe Helplineat
least forty-eight(48) hours prior to the scheduledInstallation.
7.10 We shall not be liable to You in any mannerwhatsoeverif the
Installationhas not been performedor cannotbe performedbecause:(i)
any necessarypermission(s)/authorisation(s)have not been obtainedor
are withdrawn;or (ii) You or Your AuthorisedRepresentativeare not
present at the appointedtime; or (iii) You have failed to furnisha
valid age and addressphoto identificationproof if required;or (iv)
of a lack of authorisedthird-partyservicesand materials requiredfor
Installation;or (v) of any other force majeureevent. 7.11 We will
consultwith You on
mattersregardingInstallation.However,consideringour expertisein
this matter,we shall be the decisionmakingauthorityon all
Installationmatters. 7.12 We shall not be responsibleor liable to
You for interruption,disruption,deactivationof Serviceafter
Installationon accountof any force majeureevent. 8. RELOCATIONTO
NEWADDRESS 8.1 If You want to relocatethe Serviceto a new
Address,You must notify Us immediatelyand book a RelocationWork
Order requestgivingUs details of the new address.You will be then
be advisedby Us on the procedureand the chargesapplicablefor the
relocation.We cannot guaranteethat the Installationcan be
performedor that You will be able to receivethe Serviceat the new
Address.Installationat the new Addresswill be carriedout only in
Your or Your AuthorisedRepresentative'spresence. 8.2 We reservethe
right to deactivatethe Servicein case the Tata Sky hardwareis
movedfrom the Addressand installedat an
alternativeaddresswithoutOur expressauthorisation. 8.3
Installationat a new Addresswill be subjectto Your fulfillmentof
the conditionslaid down for Installation. 9.
PRICING,BILLINGPROCESSANDPAYMENTS 9.1 You will be requiredto pay
for the Installation,Activationand Subscriptionserviceson a pre-
paid basis, unless otherwiseinformedby Us. 9.2 All paymentsdue to
Us will be debitedthroughYour SubscriberAccounton a daily basis for
monthlysubscriptionsand in advancefor Long
DurationSubscriptions,unless otherwise informed by Us. Any
Day-partswill be treatedas a full Day for purposesof
SubscriptionFee billing.Pleaserefer to the Helpdeskor
www.tatasky.comfor terms applicablefor Long Duration Subscriptions.
9.3 By signingthe InstallationWork Order, You are authorisingUs to
automaticallychargeYour SubscriberAccountfor the SubscriptionFee
and for any other paymentsor chargesincurredby You on the due date
for such amounts. 9.4 We reservethe right to vary the prices for
the Servicefrom time to time. Pleaserefer to the Helpdeskor
www.tatasky.comfor currentpricinginformationand for other
information regardingthe Service. 9.5 The Servicewill be made
availableto You duringthe Grace Period.Prior to the expiryof any
applicableGrace Period,You will be requiredto maintaina
MinimumAccountBalancein Your SubscriberAccount. 9.6 To activatethe
Service,You need to purchasean Activationvoucher. 9.7 You may
increaseYour AccountBalanceby using RechargeVouchersor by any other
paymentmethod,as notifiedto You by Us. Your AccountBalanceis
non-transferable. 9.8 Activationvoucherand RechargeVouchersare not
valid after the applicableexpirydate. Activationvoucherchargesare
non-refundable.Activationvouchercan be used only once. Once
consumedon a SubscriberAccountthe Activationvoucheris
non-transferableand once cancelled cannotbe re-used.One
Activationvouchercan be used for activatingone Tata Sky connection
only notwithstandinganythingcontainedin any part of this
agreement,Tata Sky reservesthe right to charge,at any time, and in
any mannerwhatsoever,any additionalsubscription, activation,
installationand/or any other chargesand/or fees in connectionwith
the activation and/or provision of the Serviceor in connectionwith
any upgradesofferedfrom time to time. We will providethe
ServiceprovidedYou have paid for the Service.For details
pleaserefer www.tatasky.comThe Tata Sky hardwarewill be installedat
the Addresssubjectto You or Your Authorised
Representativepresentingthe requisiteActivationvoucheras
registeredwith Us in the InstallationWork Order. 9.9
Unlessotherwisespecifiedby Us, You are responsibleand liable for
paymentof all taxes, duties,levies and chargesimposedby or under
any Law in connectionwith the Service. 9.10 Withoutprejudiceto Our
right to deactivateand cancel the Service,We reservethe right to
chargeinterestat 18% per annumor the maximumrate permittedby Law on
any past / current due amounts. 9.11 You shall be entitledto only
those discounts,creditsor refundsas expresslyauthorisedby Us. 10.
TATASKY HARDWARE 10.1 Post Installation,We do not assurethat the
Tata Sky hardwarewill be fault free and any externaldamageor
tamperingwith the same is Your responsibility. 10.2 You must keep
Tata Sky hardwarein good and useableconditionat all times (fair
wear and tear excepted)until returnedto or collectedby Us. 10.3 You
agree that We may, at any time after deactivationof the
Service,retrievethe Tata Sky hardwarefrom the Address. 10.4 Only We
can authorisethe installation,retrieval,repair or maintenanceof the
Tata Sky hardware. 10.5 You must not removeany markingthat
identifiesthe Tata Sky hardwareas belongingto Us. 10.6 All Tata Sky
hardwarewill at all times remainthe propertyof Tata Sky and
ownership cannotbe transferred.The Tata Sky hardwarecannotbe
movedfrom the AddresswithoutOur prior writtenconsent,for any
purposewhatsoever. 10.7 You acknowledgethat the Tata Sky
hardwarehas been providedto you on an entrustment basis, withoutany
consideration,only to avail of the Serviceduringthe validityof the
SubscriptionContract.As the Tata sky hardwarehas been providedon
entrustmentbasis, it cannotbe construedthat any rights in the Tata
Sky hardwareor otherwiseof whatsoevernature has been transferredto
You by Us. We reservethe right to repossessthe Tata Sky hardware

damageto the Tata Sky hardwareor if the Tata Sky hardwareis stolen
duringthe periodit has been providedto You on an entrustmentbasis
or in the event of Your failure to return the Tata Sky
hardwareimmediately upon cancellationof Your Service.
10.8Wemayfromtimetotime,foranyreason,replacetheTataSkyhardwareoranycomponent
thereof.In suchcases,YouwillcooperatewithUs in thereplacementof
theTataSkyhardwareor any componentthereof.We will notify You of the
details for the processof replacingthe Tata Sky hardwareor any
componentthereof. 10.9 You must not take the Digicardout of the
Digicomp.You must not allowanyoneelse to otherwisetamperwith or use
the Tata Sky hardwarein any mannerWe do not specifically authorise.
10.10 Each Digicardis compatiblewith only one Digicomp,and cannotbe
used on any other Digicomp. 10.11 If You transferthe Tata Sky
hardwarewithoutOur prior writtenconsentWe reservethe right to
cancel the Servicesand/or terminatethe
SubscriptionContractwithoutprejudiceto our right to
obtainnecessaryreliefs/claimdamagesfrom You in accordancewith law.
10.12 In order to receivean uninterruptedService,You must keep Your
Digicardin the Digicomp and the Digicompmust be connectedto a main
power supplyand minidishand kept at the standbymode when not in
use. 10.13 If required,Tata Sky on its sole discretionshall
updatethe softwarein the Digicompby sendingsignalsto the Digicomp.
10.14 Tata Sky will deactivatethe Digicardif it is necessaryto
protectthe securityof Our system or any other part of the Serviceor
if We believeYou are using the Digicardin ways whichare not
authorised,or whereWe otherwisebelieveit is reasonableto do so.
10.15 You shall use the Tata Sky hardwareonly in the
mannerprescribedin this Subscription Contract.You cannotuse the
Tata Sky hardwarein any manneror for any purposenot
specificallyprescribedherein. 10.16 You must not allowany other
personor entity to use the Tata Sky hardwarein any manner and for
any purposewhatsoever. 11. ACCESSTO SUBSCRIBERACCOUNT 11.1 You
agree to providetrue, accurate,currentand completeinformationabout
Yourselfand promptlyupdateYour contactinformation. 11.2 Calls from
Your RegisteredTelephoneNumberwill be identifiedby the
Helplinehowever identificationverificationmay be sought. 11.3 In
the event calls are not from the RegisteredTelephoneNumber,You will
be asked for identificationverificationin accordancewith a
verificationprocess.
11.4YouareresponsibleformaintainingtheconfidentialityofYourSubscriberIDandYourMy
TataSkyaccountandarefullyresponsibleforall
activitiesthatoccurrelatingto YourSubscriber ID. 11.5 You are
responsiblefor all activitiesthat take place under Your
SubscriptionAccountand Your My Tata Sky account,includingany
activitieswhichresult from calls made from the
RegisteredTelephoneNumberand all activitiesof Your Authorised
Representative. 11.6 Your AccountStatementwill be updatedon a
periodicbasis & can be accessedanytimeon our
websitewww.mytatasky.com. Accountstatementsfor the previoussix
monthsshall also be availablefree of cost on www.mytatasky.com.
11.7 We may providealternativeways for You to access Your
SubscriberAccount,whichshall be notifiedto You from time to time.
11.8 It is Tata Sky's policyto provideYou with first class
servicein all mattersrelatingto the provisionof the Service.In
order to achievethis, You consentto the monitoringand recordingof
Your telephonecalls to the Helplineto ensurethat all such calls are
handledexpeditiously, efficientlyand with courtesy. 12.
DEACTIVATIONANDCANCELLATION 12.1 Your Servicewill be deactivatedby
Us if (a) You fail to maintaina MinimumAccountBalanceat the end of
the Grace Period;or (b) You requestfor deactivationof the Servicein
accordancewith law 12.2Youcanrequestforcancellationof
theServiceviaanyof themodesmadeavailablebyUs toYouforcancellationof
theService.Uponcancellationof theServicebyUs,theSubscription
Contractshall stand automaticallyterminatedfrom the date of
cancellation. 12.3 We reservethe right to deactivateor cancel Your
Serviceif at any time any license, permissionor
authorisationnecessaryfor Us to operatethe Service(includingOur DTH
license) is revokedor suspended. 12.4 We may cancel Your Serviceat
any time if, in Our sole discretion,We determinethat You: (a) are
in breachof any provisionof the SubscriptionContract; (b) have
acted in a mannerthat is inappropriate; (c) copy,
redistribute,relay, re-broadcast,or transmitthe Serviceand/or
recordingsmade via Your PVR in an unauthorisedmanneror
otherwiseallowthe interceptionof the Serviceand/or recordingsmade
via Your PVR by any equipmentwhichwouldallowfor its distributionor
redistributionfrom the Addressto any neighbouringpremises,cable
operatoror any other person or entity or We suspectthat You are
copying,redistributing,relaying,re-broadcasting,or transmittingthe
Serviceand/or recordingsmade via Your PVR in an
unauthorisedmanneror otherwiseallowingthe interceptionof the
Serviceand/or recordingsmade via Your PVR by any
equipmentwhichwouldallowfor its distributionor redistributionfrom
the Addressto any neighbouringpremises,cable operatoror any other
personor entity. (d) permit or allowthe viewingof
Contentcertifiedfor adult viewingby minor/s; (e) use the Serviceor
the Tata Sky hardwareor relatedfacilitiesfor
transmittingobjectionable content,messagesor communicationsor for
anti-nationalactivities; (f) sell or make any chargefor the
viewingof the Serviceand/or any recordingsincludingthose made via
Your PVR; (g) show or permit the viewingof the Serviceand/or any
recordingsincludingthose made via Your PVR in publicto an
audience,even if no chargeis made; (h) use in any
mannerwhatsoeverany of Our trademarks;or (i) the any Tata Sky
hardwareprovidedto You under this SubscriptionContractis found
outside the territoryof India; or in the possessionof any third
person/ entity other than Your Authorised Representative;or is
being used in a manneror for a purposenot prescribed,authorisedor
permittedhereunder. 12.5 Any deactivationor cancellationof the
Servicehereunderwill be appliedto all Digicardsin all
Digicompscoveredunder Your SubscriberAccount. 12.6 Any
deactivationor cancellationof the Serviceshall be effectedby
deactivationor cancellationof the Digicard. 12.7 In case of
cancellation,You will forfeit any availablebalancein Your
SubscriberAccount. 12.8 In case of a deactivation,We reservethe
right to Cancelthe Service, In case of a cancellation,the
SubscriptionContractshall stand automaticallyterminatedfrom the
date of cancellation. 12.9 Upon terminationof the
SubscriptionContract,the Terms and Conditionswhichby their
natureare intendedto survivethe terminationof the
SubscriptionContractwill continueto apply after the term of the
SubscriptionContractends. 12.10 If You breachthe provisionsof this
SubscriptionContractYou agree that: (a) We or any affectedparty may
prosecuteviolationsof the foregoingagainstYou and other
responsiblepartiesin any court of competentjurisdictionand under
any applicablelaws;
(b)WemaypreventYoufromcarryingonanysuchunauthorisedactivitiesbyanymeans
availableunderapplicablelaw,includingpreventingYoufromreceivingtheService;and
(c) for any act committedby You in relationto the
Serviceamountingto an offenceunder copyrightand / or any other law,
You shall pay Us such amount(s)as directedby Us whichshall not be
less than RupeesFive ThousandOnly for every day duringwhichsuch
offence/scontinue in respectof each offence.We shall also be
entitledto take such actionas We deemappropriate to curb such acts,
includingdeactivationand / or cancellationof Your Serviceand avail
of other civil and criminalremediesas providedunder the law. 13.
ANTI-PIRACYMEASURES 13.1 Notwithstandinganythingcontainedin this
SubscriptionContract,We shall be entitled,at all times, to
employsuch measuresfor the detectionof piracyand/or other
unlawfulactivitieswith respectto the Serviceas We deemfit,
includingbut not limitedto, fingerprintingor any other mechanismor
systemdeployedby Us and / or third partiesauthorisedby Us for the
purpose. 13.2 Your usage of the Servicesshall be
closelymonitoredfor activitiesresultingin a breachof the terms of
this contractand / or the intellectualpropertyrights of any party
and / or violationof any law. In the event of a suspicion/
detectionof misuseby You of the Service,We shall be entitledto take
such actionas We deemappropriateto curb such
misuse,includingdeactivation and / or cancellationof Your
Serviceand other civil and criminalsanctionsas providedunder the
law. 13.3 We shall not be liable to You for any bona fide
action(includingdeactivationand / or cancellation)taken by Us to
protectthe intellectualpropertyrights of any party and / or check
other unlawfulactivitiesin relationto the Service,even if such
actionis based on information (whethergeneratedby Us or providedto
Us by authorisedthird party/ies)whichis later provedto be
incorrect. 14. REACTIVATION 14.1 We reservethe right to
reactivateany deactivatedSubscriberAccountin Our sole discretion.
14.2 On reactivationupon recharge,the SubscriptionFee for any
viewingduringthe Grace Periodwill be chargedto and debitedfrom Your
SubscriberAccount. 14.3 We reservethe right to chargeany
activation,installation,upgrade,or handlingchargesor fees upon such
reactivation 15. MAINTENANCEOF TATASKY HARDWARE 15.1 Tata Sky, will
not be responsiblefor maintenanceof Tata Sky hardware (a)
subjectedto any installationor repair or maintenanceor other work
by any personother than an authorizedInstallationby an Engineer;
(b) faults due to exposureto
adverseenvironmentalconditionsincludingexcessivemoistureand
excessivetemperatures; (c) accidentalor deliberatedamageto the Tata
Sky hardwareby anyone;
(d)anydefectintheTataSkyhardwareduetoanyunauthorizedorimproperuse,replacement,
removal,modification,alteration,tampering,negligenceorfailuretofollowOurinstructionsas
set outin
theTataSkySubscriptionContract,anyuserguidesauthorizedbyTataSkyandother
materialsauthorizedby Tata Sky whichare providedto You from time to
time; (e) damageto the Tata Sky hardwareon accountof force majeure;
(f) Tata Sky hardwareon whichthe serial numberor other appliedand
identifyinglabels have been removed,defacedor alteredor
cosmeticdamage; (g) Installationfor any parts providedor
servicesrenderedby any third party duringor after the
Installationprocess; (h) damageor faults arisingdue to defectsor
faults in the propertyat the Addressof the Installation; (i)
damagearisingto Your propertyat the Addressof Installationwhichis
causedby an act of omission,commissionor negligenceby You or any
other third party serviceprovider; (j) Tata Sky hardwarein case the
Tata Sky hardwareis movedfrom the Addressby an unauthorizedperson;
(k) Cosmeticfailures(bezels,top covers,mechanicaldamageto the Tata
Sky hardware); (l) Liquiddamageto the Tata Sky
hardwareincludingcontaminationor corrosion; (m) Infestationor
contaminationby insectsor animals;and/or (n) in any other case of
breachof this SubscriptionContracteven if not coveredunder the
situationsenumeratedabove. 15.2 In the event of relocation,Tata Sky
shall bear no responsibilityfor maintenanceof the Tata Sky
hardwarefrom the date of requestfor relocationtill the date of
Installationat the new Addressuntil paymentof
relocationcharges,whichshall be communicatedto You prior to the
relocation. 15.3 We reservethe right to chargefor a servicecall by
an Engineerand resultingrepair or replacementof Tata Sky
hardware,if any in case of occurrenceof any event as stated in 15.1
above. 15.4 To report a fault, You may call the Helplineor
contactUs by any other methodthat we providefrom time to time. 15.5
Exceptas expresslystated in this SubscriptionContract,We make no
warrantyor representation,either expressor implied,regardingany
Installationor Tata Sky hardwareor the Service.All warrantiesor
representations,includingimpliedwarrantiesof merchantabilityand
fitness for a particularpurpose,title and non-infringement,are
disclaimed. 16. LIMITATIONSON LIABILITY 16.1 We are not liable to
You for any damageto propertyor personthat may take place duringor
in connectionwith any Installationsand Your use of the Tata Sky
hardware. 16.2 We are not liable to You for any act or omissionon
Your part.
16.3WearenotresponsibleforanyconsequentialorindirectdamagesorlossescausedtoYouor
to Yourpropertyonaccountof theTataSkyhardware,Service,or
anyInstallation,whetherbased on Our negligenceor otherwise.We are
not responsiblefor loss or corruptionof any data recordedby You on
Your PVR, whichfor technologicalreasonsis beyondOur control.
Regardlessof the cause, Our total liabilityfor any proven direct
damagesor losses to You and anyoneelse will in no event exceedthe
amountthat You have paid to Us for the Serviceduringthe six (6)
monthperiodimmediatelyprior to the specific event that gave rise to
such damageor loss. 16.4 We reservethe right, withoutany
liabilitywhatsoeverto You, to interrupt,suspend,
deactivate,cancel,modifyor refuseto providethe Serviceor any part
of the Service,(i) if We determine,in Our discretion,it is
necessaryunder any Law; (ii) due to a failureor degradationof any
facilities,equipmentor systemsused to providethe Service;(iii) to
combatany acts of piracy, fraud or misuseof the Service;(iv) due to
any act beyondOur control;and (v) for any
legitimatebusinesspurpose.In the event of an
interruption,suspensionor deactivationof the Service,We may, in Our
discretion,reactivatethe Servicesubjectto any conditionsthat We may
requirefrom time to time. 16.5 You shall indemnifyand hold
harmlessUs, Our affiliates,contractors,distributorsand the
respectiveofficers,employeesand agents of the foregoingagainstany
and all claims,lawsuits, demands,actions,costs,
liabilities,judgments,losses,damagesand expenses(includinglegal
expensesof a lawyer)whicharise out of or relate to any acts or
omissionsby You, includingany breachby You of the
SubscriptionContractor the use or misuseof the Serviceby You or
anyone using Your SubscriberAccount.Tata Sky shall not be liable if
You or Your Authorised Representativelose / damagethe
Activationvoucherand/or the RechargeVoucheror if the
Activationvoucherand/or the RechargeVoucheris stolen or if the
Activationvoucherand/or the RechargeVoucheris not consumedbeforethe
expirydate. 17. DATAPROTECTION Tata Sky values
Subscribers'privacy.The personaldata providedby You in the
InstallationWork Order and/or over the Helplineand/or on My Tata
Sky and/or by any other methodthat we provide from time to time
will be kept secureand will be used only by Tata Sky/ Tata Sky
authorizedagenciesto make contactwith You for
relevantinformationabout Our products, servicesand offers and for
marketresearchpurposes.We may share the personaldata provided by
You with legal and regulatoryauthoritiesor as otherwiserequiredby
law. We may also use or share group viewingpatternsof Our
Subscriberbase with governmentagencies,if requiredby law, or for
the purposesof productdevelopment,research,strategic,financialor
other business decisions. 18. CHANGEIN THE TERMSANDCONDITIONSOF THE
SUBSCRIPTIONCONTRACT Basedon
regulatory,commercial,consumerrelatedor other factors,the Terms and
conditionsof this SubscriptionContractare liable to be modified/
revisedat any point of time by Us without any separatenotice to
You. The revisedSubscriptionContractshall be notifiedon the Tata
Sky websitei.e. www.tatasky.com,as and when any revisionis
applicable.You are advisedto kindly refer to the websitefor the
latest versionapplicableat any point of time. 19.
GOVERNINGLAWANDJURISDICTION 19.1 This SubscriptionContractwill be
governedand construedunder the laws of India. 19.2 The Servicebeing
of an all India nature,You agree that the courts at New Delhi will
have exclusivejurisdictionover all
disputes,differences,claims,actionsand proceedingspertainingto this
SubscriptionContract. 20. NOTICES 20.1 By You: Must be in
writingand addressedto CustomerOperations,Tata Sky Limited,at its
registeredaddressor otherwiseas specifiedby the Helpdesk. 20.2 By
Us: You agree that the notificationsprovidedby the Helpdesk,Alert,
in Your Account Statementor any other methodspecifiedby the
Helpdeskwill be sufficientand adequatenotice. 21. MISCELLANEOUS
21.1 This SubscriptionContractcontainsthe entire
agreementbetweenthe partieswith respectto the subjectmatter hereof
and supersedesall prior agreementsor understandings,writtenor oral,
with respectto the subjectmatter hereinexcept with respectto
subscriptioncontract(s)separately enteredinto by You with Us in
respectof the Servicepertainingto Digicompspurchasedby You
whetherprior or subsequentto enteringinto this
SubscriptionContract. 21.2 No failureto exerciseand no delay in
exercisingany right, power or remedyunder this
SubscriptionContractwill operateas a waiver.Nor will any single or
partial exerciseof any right, power or remedyprecludeany other or
furtherexerciseof that or any other right, power or remedy.
21.3AnyprovisionofthisSubscriptionContractwhichisillegal,voidorunenforceablewillbe
ineffectiveto the extentonly of any such provisionbeingheld to be
illegal,void or unenforceable withoutinvalidatingthe
remainingprovisions.
