NOTICE INVITING TENDER
To
All Eligible Bidders
Sub: Tender for Rendering Catering Services at Bank’s Staff Training College, Rohini,
Delhi.

a) Bank invites offers from service providers for Rendering Catering services at Bank’s Staff
Training College, Rohini, Delhi in Two Bid Systems i.e. Technical Bid & Commercial Bid.
b) Tender documents are available on Punjab & Sind Bank website http://www.psbindia.com
c) Service providers having at least 5 (Five) years experience of providing services in such
type training institutes shall be considered for pre-qualifications.
d) The services are required on contractual basis for a period of 2 (Two) years.
e) Key dates for the tender is as follows:

SECTION I
1. INTRODUCTION
Punjab & Sind Bank (PSB) invites sealed bids from eligible/reputed service providers for
rendering Catering Services for approximately 150-170 persons at Bank’s Staff Training
College located at Plot-3, Pocket-VIII, Sector -3, Institutional Area, Rohini, Delhi - 110085 for
a contract period of Two years.
Consortium/outsourcing/sub-contracting/ joint venture for any job or activity as per the Bank's
Tender form is not allowed. The Firm/company or any of its partners should not have been
declared as defaulter with any organization for last 5 (five) years.
2. ELIGIBILITY CRITERIA
The invitation of bids is open to all bidders, provided they fulfill the following eligibility
criteria.

2. The bidder should have at least 5
years satisfactory experience in
providing catering services of
similar nature.
Similar nature means catering
services in reputed Institution(s)
preferably Staff Training
Colleges/Institutes located in
Delhi/NCR with hostel facility,
where regular daily catering
services are being rendered for
about 70 trainees or more.
Copy of satisfactory performance certificates (on
the letter head of service recipient with complete
address and telephone no.) along with the work
order indicating the experience of the agency in
having executed similar category contract/s (in
Delhi/ NCR only) during the last 5 years
(minimum) ending 31.03.2017 in reputed training
institutions/PSU/Central/State
Government/Private Organizations of which at
least one must be presently running.
Details of past performance as per Annexure F
should also be submitted.

3. The bidder should be a profit
making company and must have an
Annual Turnover (Sales) of
Rs.30.00 Lakhs during the last 3
years ending 31.03.2015,
31.03.2016 and 31.03.2017 in
Catering business in Delhi/NCR.
Audited Profit & Loss A/c and Balance Sheet for
31.03.2015, 31.03.2016 and 31.03.2017.
4. The bidder should not be declared
by any Public/Private Organization
to be ineligible / disqualified to
participate for corrupt, fraudulent
or any other unethical business
practice and also should not have
been Blacklisted/ removed by
Public/Private Organization during
last 5 preceding years.
A Self- declaration certificate that the bidder has
not been declared ineligible/ disqualified to
participate for corrupt, fraudulent or any other
unethical business practice by any Public
Organization. (as per Annexure G)
5. The bidder should have registered
with the following statutory
authorities: - E.S.I.C., E.P.F,
Income Tax, GST etc. The bidder
should have valid license for
operating Catering business
(including from FSSAI, Labour
Law etc) wherever necessary.
Photocopies of valid registrations/ license should
be furnished with the Tender.
Photocopy of the valid latest Income Tax return
should be furnished by the bidder.
6. The service provider should
comply with the requirement of
manpower for rendering the
catering services.
The present list of employees viz. Name, age,
employee code, designation, experience in the
field etc proposed for the catering services in the
STC Building should be submitted as per
Annexure H.
7. The bidder shall strictly adhere to

3. ISSUE OF TENDER AND BID SUBMISSION
a) Bids are invited from service providers located in Delhi/NCR who are eligible to do catering
business in India under relevant Indian Laws as in force at the time of bidding.
b) The Tender can be downloaded from the Bank’s website, i.e., www.psbindia.co.in

c) Bidders are advised acquaint the Location of site, transport facility and other aspects.
d) Bidders will be given permission to visit the site with prior appointment up to one day prior
to the last date of submission of tender.
e) The Service provider shall not be entitled to any claim of compensation for difficulties faced
or losses incurred on account of any site condition which existed before the commencement
of work or which in the opinion of the Bank might be deemed to have reasonably been
inferred to be so existing before the commencement of work.
f) Bank shall not consider any request for date-extension for bid-submission on account of late
downloading of Tender by any prospective service provider.
g) Bank reserves the right to amend the tender prior to the last date for bid-submission. The
Bank may at its discretion, extend the last date for bid-submission on any justified ground.
h) The Service provider shall bear all the costs associated with the preparation and submission
of bid and Punjab & Sind Bank or its any employee will in no case be responsible or liable
for these costs, regardless of the conduct or outcome of the bidding process.
i) Technical Bids and Financial Bids are to be submitted in separate sealed covers, duly signed
and super scribed as:

j) The name and address of the service provider shall necessarily be written on all the covers.
Bids duly sealed, addressed to the Principal should be dropped in the tender box on or before
07.03.2018 up to 2.00 P.M. at the following address.

k) In the event of the specified date for bid-submission being declared a holiday for the Bank,
the bids will be received up to the appointed time on the next working day.
l) Any bid received by the Bank after the last date/time for bid-submission will be rejected and
returned unopened to the service provider.
4. AUTHORITY TO SUBMIT BIDS:
a) Only authorized personnel of the firm or organization shall sign the bid.
b) The proposal must be accompanied with an undertaking letter duly signed by the designated
personnel providing a Bid commitment. The letter should also indicate the complete name
and designation of the personnel.
c) In case the principal service providers authorize their business partners to bid on their
behalf, a separate authorization letter as per format Annexure E (Letter of Authorization to
bid) enclosed, along with a commitment to fulfill the terms of tender should be submitted.

d) The certified photocopy of Resolutions/Authority/ Power of Attorney having authority to
authorize the person to submit Bid documents on behalf of the company shall be enclosed.
5. BID CONTENTS
5.1 TECHNICAL BID:
a) The Technical Bid should be completed in all respects and contain full information required
in the documents.
b) It should not contain any price information. It is mandatory to submit the technical details in
the prescribed format duly filled in along with the offer.
c) In case of non-submission or partial submission of technical details, Bank at its discretion
may not evaluate the offer.
d) The technical bid must be submitted in an organized and structured manner.
5.2 FINANCIAL BID:
a) The Price quoted should be only in Indian Rupees.
b) The rates quoted in the Bid shall be inclusive of all labour, cleaning material, present &
future taxes and duties such as Excise Duty, Octroi and also delivery and cost of material at
site and any other taxes applicable and exclusive of GST. Further rates shall be inclusive of
labour charges, uniform for labour, crockery, materials required for catering, insurance
premium covering any risk to labour etc.
c) The Bids with correction and or overwriting, if not duly authenticated, will be liable for
rejection.
d) Rates quoted in the Financial Bid shall be valid for acceptance for a period of 3 (three)
months from the date of opening of the Bids.
5.3 EARNEST MONEY
a) Earnest money deposit of Rs.3,00,000/- in the form of Demand Draft issued by Public
Sector Bank in India favoring “Punjab & Sind Bank ” payable at New Delhi must be
submitted along with the technical bid.
b) No interest would be payable on the earnest money deposit amount.
c) This amount would be forfeited if the service provider withdraws his bids during the period
of bid validity.
d) The earnest money must be submitted along with technical bid.
e) In the event of non-submission of earnest money deposit, the proposal would be rejected.
f) EMD would be released to the unsuccessful bidders after signing of the contract agreement
with L1 bidder and finalization of Bank’s internal procedures for the same.
g) EMD of the successful bidder shall be released after submission of the Performance Bank
Guarantee.
h) The EMD shall be from any scheduled commercial Bank in India other than Punjab & Sind
Bank.

6. BID FEATURES
a) All bids and supporting documentation shall be submitted in English only.
b) All costs and charges related to the bid shall be expressed in Indian Rupees (in INR) only.
c) The Bids shall be valid for a period of 03 months from the date of submission of bids. A bid
valid for a shorter period shall be rejected by the Bank as non responsive.
d) Each tender shall be made in the legal name of the Service provider and shall be signed and
duly stamped by the Service provider or a person duly authorized to sign on behalf of the
Service provider.
7. BID ESSENTIALS - CONTENTS OF DOCUMENT TO BE SUBMITTED
The service provider shall submit the following:
a) The Bank in case of non-adherence to the Format or partial submission of bid will not evaluate
the bid.
b) Each page of it shall be serially numbered, signed and duly stamped by the service provider or a
duly authorized person to sign on behalf of the Service provider,
c) Any interlineations, erasure or overwriting shall be valid only if these are duly authenticated by
the person(s) signing the bid.
7.1 TECHNICAL BID.

d) Copy of satisfactory performance certificate - Minimum 5 Nos, 1 satisfactory performance
certificate for each year out of which 1 (one) must be of current Financial Year.
e) Audited Profit and Loss Account and Balance sheet for the year ending on 31.03.2015,
31.03.2016 and 31.03.2017.
f) Letter of Authorization to Bid (Annexure E).
g) Power of Attorney (if any).
h) Details of work executed in the last 3 years.
i) Past Performance (Annexure F).
j) Organizational Setup - Details of Key skilled, semi-skilled and unskilled workers employed
(Annexure H)
k) Details of Litigation/Arbitration, if any.
l) The last assessment order with latest I.T.R. as submitted with Income Tax Authority.
m) Copy of Certificate of Incorporation

w) Other information -Any other relevant information, which is necessary to be furnished, must
be provided.
7.2 FINANCIAL BID.

Note: Bank reserves the right to accept/reject the tender in the instance service provider fails
to furnish any of the above pointed documents.
8. PRE-BID MEETING:
A pre-bid meeting will be held on 23.02.2018 at 11.30 hrs at the following address to clarify
doubts or queries if any, of the service providers.

The service providers shall give in writing the points on which clarifications are required by
them, sufficiently in advance. Clarifications/ details furnished by the Bank in writing alone shall
be binding and shall form part of the tender document.
Clarifications are to be requested by prospective service providers in the following format (in
word document) through e-mail [email protected] and the hardcopy through courier/hand
delivery. The last date of submission of queries is 17.02.2018 up to 17.00 hrs.

Changes if any made in the tender conditions, consequent to the pre-bid meeting will be
informed to the service providers participated in the pre-bid meeting besides uploading the
corrigendum in Bank’s website. However, newspaper advertisement notifying the corrigendum
will not be published. Hence the Service providers shall keep visiting the Bank’s website for
changes if any made in the tender document consequent to Pre-bid meeting.
9. BID OPENING
a) The Bank will open the bids, in the presence of Service providers/ their representative (with
letter of authorization) who choose to attend, at the time and date mentioned in Bid
document at the address mentioned below

b) The service providers’ representatives who are present shall sign register evidencing their
attendance. In the event of the specified date of bid opening being declared a holiday for
Bank, the bids shall be opened at the appointed time and place on next working day.
c) The commercial bid shall be opened in the presence of Service providers’ representative,
whose bids are considered as responsive as per the technical and other qualification criteria
as underlined in the bid document. The Bank will prepare the minutes of bid opening.
d) No offer can be modified or withdrawn by a Service provider after submission of Bid/s.
e) If any of the Service providers or all the Service providers, who submitted Bids are not
present during the specified date and time of opening, Bank will proceed further with
opening of the Bids in their absence.
10. BID EVALUATION
i. The tenders received within the due date and time only will be considered for evaluation.
ii. The Technical bids shall be opened and the bid/s received will be scrutinized to determine
whether they are complete in all respects as per the requirement of tender and subsequent
clarifications, whether the documents have been properly signed and whether items are
offered as per this tender requirements.
iii. The Bank will examine the bids to determine whether they are complete, whether any
computational errors have been made, whether required information have been provided as
underlined in the bid document, whether the documents have been properly signed, and
whether bids are generally in order.
iv. Technical bids of the service providers meeting the minimum pre-qualification criteria will
be evaluated for compliance of other terms and conditions.

v. Based on the evaluation results, the Bank will shortlist the service provider who are
considered to be suitable. The decision of the Bank regarding the short-listing of the service
provider shall be final and binding on the bidder.
vi. The Technically successful bidder, for quality check, will arrange the food for the staff for
three days on the dates informed by Principal STC, Rohini before opening of Commercial
Bid. The payment for which will be made as per the rates accepted by the Bank of L1
bidder. Also team of STC Rohini with principal can, pay on site surprise visit for food
quality checkup etc.
vii. The commercial bids of only the successfully qualified bidders whose Technical bids are
found acceptable will be opened subsequently on the date that will be conveyed to them in
advance.
viii. Arithmetical errors will be rectified on the following basis. If there is a discrepancy
between unit price and the total price that is obtained by multiplying the unit price and
quantity, the unit price shall prevail and total price shall be corrected. If the supplier does
not accept the correction of the errors, its bid will be rejected.
ix. If there is discrepancy between words and figures, the amount in the words will prevail.
x. The L1 bidder will be determined on the basis of the evaluation method as detailed in the
next clause.
Any incomplete or ambiguous terms/conditions/quotes will disqualify the offer.
10.1 CLARIFICATIONS OF BIDS
To assist in the examination, evaluation and comparison of bids the Bank may, at its discretion
ask the service provider for clarification and response shall be in writing and no change in the
price or substances of the bid shall be sought, offered or permitted.
11. NOTIFICATION OF AWARD
The acceptance of a tender, subject to contract, commercial considerations & compliance with
all the terms and conditions will be communicated in writing by means of placing order at the
address supplied by the service provider in the tender response. Any change of address of the
Service provider, should therefore be promptly notified to The Principal, Staff Training College,
Punjab & Sind Bank, Plot-3, Pocket-VIII, Sector-3, Institutional Area, Rohini, Delhi-110085
and written confirmation of such notification obtained.
12. SIGNING OF CONTRACT
The successful service provider(s) shall be required to enter into a contract with PSB within 15
days of the award of the tender/ Letter of Intent or within such extended period as may be
specified by The Principal, Staff Training College, Punjab & Sind Bank, Plot-3, Pocket-VIII,
Sector-3, Institutional Area, Rohini, Delhi-110085.

SECTION II
TERMS & CONDITIONS OF CONTRACT
1. ACCEPTANCE OF WORK
i. The order shall be placed to lowest bidder. On acceptance of tender, the Bank shall issue a
Letter of Intent (LOI) to the successful bidder.
ii. The Service provider shall give an unconditional letter of acceptance of LOI. The Bank has
a right to cancel the order if the same is not accepted within a period of 7 days from the date
of the order.
iii. Firm work order will be placed by the Bank, only after the successful service provider signs
the Agreement.
iv. If need arises, Bank may again go for tender process after completion of present agreement
and in that case Bank will start the process of floating tender 3 (three) months before the
expiry of the existing contract period. However owing to any delay in the tender process,
the existing service provider shall continue to provide the services upto 6 (Six) months at the
same rate and terms & conditions.
2. COMMENCEMENT OF WORK
i. The Service provider shall provide catering services as per the requirements and satisfaction
of the Principal / Authorised person from time to time as set out in Annexure-A hereto.
ii. The quality of ingredients used for preparation of eatables, beverages etc. shall be of good
quality and as decided by the Principal / authorised person (Annexure B).
iii. Timings of service of food and beverages and the menu as approved by the Principal /
authorised person will be displayed on the Notice Board in the dining hall by the Service
provider.
iv. Bed tea will be served in the hostel rooms, whereas breakfast, lunch and dinner will
normally be served in the Dining Hall. Afternoon-tea, coffee, snacks, forenoon tea, coffee,
snacks, will be served in the lounge near the class rooms or at such places as may be desired
by the Principal / authorised person. Appropriate meals will be served to sick persons,
guests etc. in their respective rooms.
v. Daily menu on a weekly basis will be prepared and submitted in advance to the Principal /
authorised person for approval. The various items of the menu will be changed frequently to
provide variety and uniform standard. The menu decided by the Principal/Authorised
Person must be adhered to at all costs. Non-adherence to the menu will attract penalties to
be decided at the sole discretion of the Principal / authorised person, which will be binding
on the Service provider.
vi. The Service provider shall not levy or receive any charges for table service. The Officer and
other members of the staff of the Bank shall be entitled to use the canteen for consumption
of food and refreshments brought by them from outside.

3. WORK PERFORMANCE
Timely service and uninterrupted performance of the contractual obligation under the contract
shall be the essence of the contract.
4. PERFORMANCE BANK GUARANTEE & SECURITY DEPOSIT
a) Initial contract value will be calculated as [Lump sum all inclusive charges(exclusive of GST
and other taxes) per participant per day *22*170*12].
b) The Contractor, whose tender is accepted, will be required to furnish performance guarantee
of 5% (Five Percent) of the initial contracted value. This guarantee shall be in the form of
Fixed Deposit Receipts or Bank Guarantee favoring “Punjab and Sind Bank” issued by any
Scheduled Bank other than Punjab & Sind Bank.
c) The contractor, whose tender is accepted, will also be required to furnish by way of Security
Deposit for the fulfillment of his contract, an amount to 5% of the annual contract value of the
work. The Security deposit will be collected through deductions at the rate of 5% from each
bill of the contractor to reach the security deposit of 10% of annual contract value.
d) Annual contracted value shall be calculated on actual Number of Participants & Number of
days of training held by submitting weekly bills.
e) The total Security deposit shall be 10% of the annual contract value, which includes both the
above Performance Bank Guarantee and Security deposits.
f) On completion of the contract period, the accounts of work shall be closed and the settlement
for refund of excess Security Deposit received, if any shall be made.
g) EMD will be released to service provider after receiving Performance Bank Guarantee of 5%
of contracted value from L1 bidder.
h) No interest is payable on security deposit.
i) This security deposit will be refundable after 03 months after expiry of the contract or after the
termination of the contract, subject to adjustment of amounts dues to the bank or on account of
any statutory liability under the Contract Labour Act or such other Acts.
j) The release of such security deposit will not prejudice the right of the bank against the service
provider to get reimbursed any amount or claim that is paid or met by the bank which is
otherwise payable by the service provider.
k) It is agreed that the bank shall have the right to retain or refuse to pay the amount as mentioned
hereinabove in full or in proportion thereof in the event of the service provider committing any
breach or failure to comply with the any of terms and conditions of the agreement. The bank
shall the sole judge as to any breach or failure and extent of such breach or failure committed
by the service provider and the amount retainable in respect thereof and the decision of the
bank in this regard shall be final and binding on the service provider.
5. PERIOD OF CONTRACT
The period of contract shall be for two years and, in case need arises, extendable on mutually
agreed terms at that time. The contract could also be renewed for a fraction stroke part of the
year provided the services are found to be satisfactory. Rates quoted by the service provider will
be unchanged during the period of the contract.

The service provider shall be liable for payment of any or all taxes etc., now in force or thereafter
imposed, increased and revised from time to time by the Central or State Government or by any
other authority with respect to or covered by wages, salaries, or other compensations paid or
payable to persons employed by the Service provider.
6. OBLIGATIONS OF THE SERVICE PROVIDER
6.1 WORK FORCE ENGAGED BY THE SERVICE PROVIDER
i. The Service provider shall engage the services of sufficient number of able, trained, efficient,
neat, healthy, honest, well-behaved persons for cooking, serving and cleaning of kitchen,
dining halls and services areas at his cost. However, the Service provider shall deploy a
minimum of 3 waiters / serving personnel for 25 participants. For every additional group of
15 participants / part thereof, the Service provider shall deploy additional one waiter / serving
personnel.
ii. In any case, the Service provider shall have to engage the services of sufficient number of
waiters etc. and one or more full time supervisors and shall ensure that a minimum of 10
employees are engaged for catering service at any time.
iii. The Service provider shall engage fully trained and adequately experienced personnel, who
are medically fit. They should be free from all infectious diseases. The Service provider
shall get his employees medically examined once in 6 months and obtain fitness certificates
or as instructed by the Bank.
iv. The service provider will have to employ the required staff at his own cost and bear all the
statutory and other liabilities for rendering catering service.
v. The service provider undertakes to pay monthly wages to the workers as per the minimum
wages of Govt. orders and also pay P.F., Bonus, Gratuity and variable Dearness Allowance
under Minimum Wages Act, 1948 as notified by Delhi Administration from time to time.
vi. The Service provider shall give necessary guidance and directions to his employees to carry
out the jobs assigned to them by the Service provider and / or the Bank.
vii. The Service provider shall also furnish a detailed duty chart of his employees at the
beginning of every month and keep informed the office of any change made in the list from
time to time.
viii. The duty chart for the month should give the specific names of the employees and the
respective duties they are required to attend to. He will, on the request of Principal /
authorized person, immediately remove from work any person(s) / employee(s) who may, in
the opinion of the Principal / authorized person be unsuitable or incompetent or who may
misconduct himself and such a person shall not be again employed or allowed in campus
without the permission of the Principal / authorized person.
ix. The Service provider will ensure that his employees abide by the orders of the Principal/
Faculty Members / any other person authorized by the Principal for the purpose of discipline
etc.

x. The Service provider shall appoint Manager (s) / Supervisor (s) with good manners and with
catering background who should be available round-the-clock for attending to the services
and complaints and requirements of participants, visitors etc.
xi. A complete list of persons engaged by the service provider together with the bio-data and
latest photograph should be submitted to the Institute by the service provider before
commencement of the work order. Any change in the staff should be intimated to the Bank
immediately.
xii. The Service provider shall provide list of person on duty employed by him in connection
with performance of his contract for catering services, furnish proof by submitting copies of
such letters received by the employees. The list so provided to Bank shall make clear that the
concerned employee is the employee of the Service provider only and the Bank has no
obligation or any relationship as to employment or otherwise whatsoever with him.
xiii. The service provider shall issue proper identity cards to his staff with latest photograph
which the staff of the Service provider shall wear at all times.
xiv. All the persons employed by the service provider should be well mannered and should be in
proper uniform. The employed persons should wear uniform on all days during the catering
hours. The cost of the uniform has to be borne by the service provider.
xv. All the persons employed by the service provider should be above 18 years of age and
medically fit to work.
xvi. The Service provider’s employees will be allowed entry into the premises of the Bank with
the specific permission of the Bank or any Staff authorized in this behalf.
xvii. The Bank reserves the right to grant permission or to refuse permission or to withdraw it
where it has been granted earlier without assigning any reasons.
xviii. The Service provider shall ensure that his employees attend to their assigned duties and do
not wander or roam about or pose disturbance to the Institute, its staff, guests or participants.
xix. Except the personnel of the Service provider working in the night shift other persons
deployed by the Service provider will not be allowed to be in the Institute during night time
or to use the Institute for their residential purpose.
xx. The service provider shall be responsible for the safety of his staff and should follow all rules
and regulations pertaining to safety. In case of any damage to property OR persons, the
service provider shall be responsible for such damages. The service provider has to take
personal insurance policies against such risk/damage. Service provider should indemnify the
Bank for any claims arising from the above.
xxi. The service provider shall be responsible for the good conduct and performance on the part
of the staff and shall be deemed for all legal and contractual purposes, as the employer of
such persons and such persons will not have any claim for employment with the Bank now or
at a future date. Any consequence arising out of such claims shall be the sole responsibility
of the service provider.
xxii. The Service provider shall be responsible for the proper behaviour of all his staff
(supervisory and workmen) and others and shall exercise a degree of control over them and
in particular without prejudice to the said generality the Service provider shall be bound to
prohibit and prevent any employee (supervisory and workmen) from trespassing or acting in

any way detrimental or prejudicial to the interest of the community or of the properties or
occupier of lands or Properties in the neighborhood and in the event of such employees
trespassing, the Service provider shall be responsible for consequent claims or action for
damages or injury or any other ground whatsoever. The decision of the officer authorized by
the Principal / authorized person in the matter whatsoever under this clause shall be final and
binding on the Service provider.
xxiii. Service provider shall comply with statutory obligations pertaining to Minimum Wages Act,
Contract Labour Act and such other Central and State Laws as are applicable to him from
time to time.
xxiv. The service provider shall obtain adequate insurance policy in respect of his workmen to be
engaged for the work towards meeting the liability of compensation arising out of
death/injury/disablement at work etc.
xxv. The Service provider shall be fully responsible for any of the consequences arising out of
non-verification of the employees by the police, irrespective of whether these employees are
regular or temporary or on casual/daily wages.
xxvi. Any dispute arising regarding the above contract including the interpretation of the scope of
the work, the decision of the Bank shall be final and binding on the service provider.
6.2 TOOLS & EQUIPMENTS
The Service provider shall provide very high standard cooking utensils, bone china crockery,
glassware, cutlery, table linen etc. for use of the catering at his own expenses. The table linen
will be changed daily and washed & ironed at his expenses. The said items shall be of first class
quality and shall be to the full satisfaction of the Principal, whose decision in this regard shall be
final and binding on the Service provider. The standard of cleanliness of kitchen utensils,
crockery, glassware, cutlery; linen etc. shall be of very high order and any laxity in this regard
will attract severe penalties of the amount to be determined by the Bank. The service provider
shall be bound by the decision of the Bank.
6.3 HOUSEKEEPING & MAINTENANCE
i. The Service provider shall maintain and upkeep the Canteen/Lunch room, Store, Washing Place,
surroundings etc. in the said premises in clean and hygienic condition to the satisfaction of the
Bank.
ii. The Service provider will provide at his cost toilet soap/liquid soap and hand towels for the
washing place provided in the dining hall etc.
iii. It shall be the responsibility of the Service provider to employ sufficient staff and to provide
cleansing material of first class quality for the cleaning, washing area, pantry, kitchen, dining
hall and service area.
iv. Cleanliness and maintenance of all these areas including adjoining open spaces will be the
exclusive responsibility of the Service provider.
v. Service provider shall be responsible for pest control or similar job to ensure that the washing /
pantry / kitchen / dining hall and service areas including adjoining open spaces are pest-free.

vi. Any laxity in the cleaning of these areas will attract severe penalties to be decided on the sole
discretion of the Principal, which will be binding on the service provider.
6.4 HEALTH & SAFETY MEASURES
i. Preparation and service of food must conform to the highest hygienic and sanitary standards.
ii. The Service provider shall store food stuffs, drinking water and other articles in a hygienic
condition.
iii. The Service provider shall remove garbage from kitchen and dining hall etc. daily at his own
cost and dump / dispose off at proper place.
iv. Any stale and / or rejected material (raw or cooked), shall be removed from Institute premises
immediately by the Service provider.
v. The Service provider shall be solely responsible for any consequences covering
legal/medical/financial costs arising out of serving adulterated, contaminated and poisonous food
to participants, staff, guests etc.
6.5 QUALITY OF FOOD
i. The Service provider shall be solely responsible for the procurement of all articles of food and
provisions. The service provider shall bear complete financial responsibility for all the purchases
and financial commitments he may enter into for fulfilling the contract.
ii. The Service provider shall supply quality food stuffs, beverages and other refreshments to the
satisfaction of the Bank.
iii. The Service provider shall provide fresh, hygienic and filtered drinking water in the dining hall,
place of service etc.
iv. Bank has a right to inspect the materials used by the Service provider periodically and impound
any items, the quality of which is found substandard.
v. The Course Coordinator/Principal or one of his representatives is authorized to have food on
training days and no charges will be paid in this regard. The contractor will also provide
complementary tea/coffee to all staff members of the Bank once in morning and once in evening.
vi. The Bank shall have full rights and shall be at liberty to refuse to accept the service of any of the
items of the food, beverages etc.
vii. The Service provider shall maintain standard of quality in the catering services compared to one
rendered by 3-4 star hotels. The Bank shall also have the right to insist doing any service of
catering and care taking which has already been performed if the same is not carried out to the
satisfaction of the Bank.
viii. The quality of food and the specification of material shall be maintained by the service provider
irrespective of number of participants.
6.6 REGISTERS
i. Item-wise daily catering services provided will be entered in a register which will be maintained
by the Service provider. The Service provider will also be required to furnish authenticated
item-wise daily catering service provided statement to authorized officer of the Bank.

ii. The Service provider shall also maintain all registers as required by the Food & Supply
Department and obtain such license(s) as required for the storage of different commodities,
materials, items etc.
iii. The Service provider shall keep and maintain regular and proper books of accounts supported by
vouchers so that the same may be available for inspection by any authorized person of the Bank
etc.
iv. The Service provider shall maintain permanent records of all equipments etc. supplied to him by
the Bank. At the end of each quarter and also at the end of the contract period, the Service
provider will prepare the list of all items held by him and show them separately in good
condition, repairable, irreparable and missing and make them available for the purpose of joint
verification by the authorized officer of the Bank and the Service provider. Cost of missing or
damaged items shall be re covered from the Service provider.
v. The service provider shall, keep a complaint book at a conspicuous place in the premises in
which the complaints may be recorded, which shall be open to inspection by persons duly
authorized by the Bank and shall be placed before them on the first Saturday of each English
calendar month or the following working day, for inspection.
6.7 LICENSES AND REGISTRATIONS
i. The Service provider shall comply with all applicable laws, rules and regulations in force.
ii. The Service provider shall fully comply and obtain any license(s), permit, consent, sanction etc.
namely applicable labour and other laws, rules and regulations relating to P.F. Act and statutory
requirements including safety regulations which are in vogue or will become applicable in future
including the payment of P.F. contributions, Payment of Bonus Act, Minimum Wages Act,
FSSAI (wherever applicable), Workmen’s Compensation Act, ESI, C.L. (R&A) Act, Essential
Commodities Act, Migrant Labour Act, Contract Labour (Regulation and Abolition) Act, 1970
and/or such other Acts or Laws, regulations passed by the Central, State, Municipal and Local
Government Agency or authority, including T.D.S. as per I.T. Act, applicable from time to time ;
or as may be required or called for from / by local or any other authorities for doing such work.
iii. The Service provider shall keep and get renewed such license(s), permission etc. from time to
time. The Service provider shall be responsible for any contravention of the Local, Municipal,
other Laws, Rules, Regulations etc.
iv. The Service provider shall produce the license(s) permission etc. so obtained to the College or
furnish copies thereof as and when required by the Bank.
v. All the Rules & Regulations regarding hygiene, health etc. issued by the State, Municipal
Corporations, any other authorities shall be strictly adhered to by the Service provider.
vi. In the event of the Bank being held liable in any manner for any default or failure on the part of
the bidder, the Bank shall always be kept indemnified by the bidder in that behalf.

6.8 MISCELLANEOUS OBLIGATIONS
i. The Service provider shall be solely responsible for maintaining all the provisions provided by
the Bank and shall also be responsible for the optimum usage of the other resources provided by
the Bank viz. electricity, LPG, water etc.
ii. The running expenses of tools and equipments provided by the Bank will be borne by the Service
provider
iii. The service provider shall not be allowed to carry away any material/item out of Bank premises
without the permission of authorised representative.
iv. If at any time during the subsistence of the contract, the Bank so desires to utilize the services of
the Service provider for any special parties, seminars, conferences, meetings or otherwise the
Service provider shall arrange the same at the approved rates or on mutually agreed rates in case
the items are outside the list of items for which rates have already been agreed to in the contract.
7. RESPONSIBILITY OF THE BANK
i. The service provider will also be provided with the Electricity used for warming the food in the
dining hall. Light and water (for drinking and other purposes) shall be provided by the Bank at
free of cost.
ii. Required furniture will be provided by the Bank in the Canteen/Lunch Room.
iii. The Bank shall provide proper receptacles for throwing refuse from the canteen/lunch room and
the Service provider shall arrange at his own cost for regular, prompt and proper removal of such
refuse from the Bank premises, every day.
iv. The Bank may provide the following facilities:
a) Dining Hall, Kitchen, Pantry, Store room, employee room;
b) Reasonable equipment (Gas range with oven, Deep freezer, Water cooler, geysers, hot case,
bottle cooler, storage cupboard, work tables, Service counters / service stations, dining room
furniture, Electrical and plumbing fitting in the kitchen) for use of the Service provider in the
Institute.
v. Whereas Bank would endeavour to provide these facilities, non-provision of some equipments,
shall not be a cause for the Service provider for providing inefficient and inadequate services.
vi. On termination of the contract, if the service provider fails to return the said equipments in good
and working condition or fails to return at all, the Bank has the right to get replaced or repaired at
the risk and cost of the Service provider and such cost shall be appropriated from the pending
bills / security deposit or through other remedial legal measures. Repair, maintenance and
upkeep etc. of all the appliances, equipments etc. will be done by the Service provider at his cost.
8. TENANCY RIGHTS
i. The place provided to the service provider should be used only for the performance of the
duties under the contract and not for any other purpose and only for the period till the
contract is in force. The place should be vacated at once when the Contract is terminated /
ended. Storage of materials at site would be at service provider’s risk.

ii. Nothing herein contained shall be construed to create any tenancy in service provider’s
favour of the Premises at the Bank Offices and other service areas at the Bank. On
termination of the contract, Bank will re-enter and retake possession of the Premises serviced
by the Service provider under this contract. The Service provider shall not assign or transfer
howsoever the benefit or burden of the contract to any person or concern workers/ labourers.
9. SETTLEMENT OF BILLS
i. The Principal, STC on behalf of the Bank will enter into a contract with the lowest quoted
bidder and weekly payment to the service provider on satisfactory performance of the
services.
ii. The payment made will be based on rates contracted.
iii. The rate contracted should cover the obligations of service provider under the contract. No
separate payment will be made for any type of the services.
iv. The rates contracted shall include all statutory taxes, minimum wages applicable or would be
applicable (as per Central Labour Wages Act), transportation, insurance, cleaning material,
profit & overheads, etc.
v. The supervisor of the service provider shall maintain register for item-wise daily catering
services, inventory of different commodities, materials, items etc, complaint register and
produce the same along with the bills every week while claiming the payment for the
contract.
vi. While submitting the subsequent bill the services provider must file a certificate certifying
the following
a) Wages of workers were credited to their Bank accounts on _______ (Acknowledgment
by Bank enclosed).
b) ESI Contribution relating to workers amounting to Rs.______________ was deposited on
_________ (Copy of Challan enclosed with contribution sheet)
c) EPF Contribution relating to workers amounting to Rs.______________ was deposited
on ______ (copy of the Challan enclosed with contribution sheet)
d) We are complying with all statutory Labour Laws including Minimum Wage Act. The
payment would be made on monthly basis on verification of attendance sheets, wage
register, monthly ESIC/EPF/Service Tax/GST challan /Deployment sheets/ Duty
Roster/Satisfaction Report duly signed by Service Provider.
vii. While making such payment the Bank shall make the following deductions.
a) Tax deduction, if any, as applicable as per the Government rules.
b) The amount equivalent to any damages/loss etc. caused to the Bank by the
workmen/employees of the service provider.
c) Any other charges, penalties and other deduction etc.
d) Security Deposit @5% of the basic bill amount excluding statuaries taxes.
e) The Bank reserves right to correct arithmetical errors or other errors in the matter in
which the Bank consider suitable and deem fit. This adjustment shall be acceptable to and
binding upon the Successful Bidder.

10. LIQUIDATED DAMAGES
In case the Service provider or any of his employees fails to fulfill his obligations for any day or
any number of days to the satisfaction of the Bank for any reason whatsoever, he shall pay by
way of liquidated damages a sum of Rs.75/- (Rupees seventy five only) per participant per day
for the entire number of such days and the Bank shall without prejudice to its other rights and
remedies shall be entitled to deduct such damages from the money, if any, payable by it to the
Service provider. The decision of the Principal in this respect will be final and fully binding on
the Service provider.
11. PENALTY
i. The Service provider shall ensure to keep and use materials, items etc. of high quality as per
Annexure-B and maintain buffer stock of each item of requirement e.g. pulses, rice, flour,
oil, spices etc. to last at least for 2 weeks. The failure of the Service provider to maintain the
required material of high quality will invite penalty up to Rs.1,000/- (Rupees one thousand
only) per occasion. Further, all the required materials, items etc. should be stored properly
by the Service provider in proper high quality containers so that the same are not exposed to
any risk, damage etc. due to insects, rats, weather conditions etc.
ii. The authorized officer of the Bank shall have unrestricted entry into the premises at any time
to inspect the up-keep of kitchens, dining place, pantry etc. If the authorized officer finds
that the upkeep is not of good standard, then a penalty of Rs.1,000/- (Rupees one thousand
only) per instance shall be imposed on the Service provider and the same will be borne by the
Service provider.
iii. The Service provider shall be responsible for the safety and security of all the internal items
such as furniture, equipment, fixtures etc. The Bank will recover penalty @ Rs.500/- per
damage or the actual cost of any damage to the Bank’s property, whichever is higher, from
the service provider’s bill.
iv. In case of theft of any material takes place from the office on account of the negligence on
the part of the personnel deployed by the Service provider, Bank will recover penalty @
Rs.500/- for the theft or the actual Amount for loss/theft will be recovered from the Service
provider whichever is higher, from the service provider’s bill. Additionally Bank reserves the
right to reject any particular workmen/staff placed/employed under the contract with the
Bank without assigning any reason. In case Service provider fails to take action against the
defaulter, the Bank reserves the right to take suitable/legal action against the Service provider
and the workmen staff concerned.
12. ABANDONMENT OF WORK
i. In the event of sudden failure, neglect, dislocation or stoppage of the services by the Service
provider, the Bank may get the work done from some other agency or department at the risk
and cost of the Service provider without prejudice to its rights to enforce performance in
respect of the rest of the work. The Service provider shall in such event, pay to the Bank the

additional cost incurred for having such work done from some other agency. Without
prejudice to any other rights that the Bank may have in this behalf either under this contract
or under law the Bank may terminate the contract by giving one month notice in writing to
the Service provider and in such an event the Service provider shall have no claim for any
loss or damage against the Bank.
ii. If for any reason, the Service provider abandons providing services in the Institute without
the permission of the Bank the authorized officer of the Bank will be at liberty to break open
the lock and make inventory of the articles. Such an inventory shall be final and binding on
the Service provider for all purposes. The Bank will also be at liberty to make alternative
arrangements for provision of services in the Institute at the risk and cost of the Service
provider
13. TERMINATION
i. The Bank is entitled to terminate the contract before its expiry by giving fortnight’s notice in
writing in the event of the Bidder committing breach of any of the terms and conditions
stipulated in it or if the quality of the food served in the Canteen or the management of the
Canteen is considered to be unsatisfactory by the Bank.
ii. In the event of termination the security deposit will be forfeited.
iii. On expiry or earlier termination of this agreement, the service provider including his staff
shall vacate the premises, provided however, the service provider shall be entitled to remove
crockery, cutlery, utensils and other articles, belonging to him.
iv. On expiry or earlier termination of the agreement, the bidder shall give to the Bank, licenses
and permits, if any, then in force, relating to the running of the Canteen and give all
assistance in his power for getting the said licenses and permits transferred to the Bank or its
nominee and in the event of the said licenses and permits being so transferred, the Bank
shall pay to the bidder fair proportion of the cost thereof for the un-expired period in the said
licenses and permits.
v. The service provider agrees that if its service is not found acceptable to the Bank or has
violated any of the terms and conditions of this agreement, the Bank shall in its own
discretion can debar/ black list the bidder and in such an event, the bidder shall be
disqualified for participating in any future tenders floated by the Bank for any of its offices
and subsidiaries.
14. INDEMNITY
The service provider shall bind himself/executors or administrators and shall indemnify and hold
harmless the Bank, in respect of this contract, including all of its claims, damages proceedings,
costs, charges and/or any expenses whatsoever which may be imposed, enforced or brought
against the Bank or any of its members, officers, employees and reasons of or consequent upon
any breach or default on the part of the contract in respect or violation of any other provisions of
Law/Act/Rules or regulations having the force of a law or if any award of decision by any
competent tribunal, court or authority in respect of the workmen or any one employed/engaged
by the service provider/sub-service provider in connection with this contract. Such indemnity

bond has to be furnished/executed on a non-judicial stamp paper worth Rs.100.00. The cost of
such stamp paper, demy paper etc. shall be borne by the Service provider.
15. PUBLICITY
Any publicity by the service provider in which the name of Punjab & Sind Bank is to be used
should be done only with the explicit written permission of Punjab & Sind Bank.
16. FORCE MAJEURE
The service provider shall not be liable for forfeiture of performance security, liquidated
damages or termination for default, if and to the extent that its delay in performance or other
failure to perform its obligations under the contract is the result of an event of Force Majeure.
For purposes of this Clause, “Force Majeure” means an event beyond the control of the Service
provider and not involving the service provider’s fault or negligence and not foreseeable. Such
events may include, but are not limited to, Acts of god or of public enemy, acts of Government
of India in their sovereign capacity, acts of war, acts of Punjab & Sind Bank either in fires,
floods, strikes, lock-outs and freight embargoes.
If a Force Majeure situation arises, the Service provider shall promptly notify Punjab & Sind
Bank in writing of such conditions and the cause thereof within twenty calendar days. Unless
otherwise directed by Punjab & Sind Bank in writing, the Service provider shall continue to
perform its obligations under the Contract as far as it is reasonably practical, and shall seek all
reasonable alternative means for performance not prevented by the Force Majeure event.
In such a case, the time for performance shall be extended by a period not less than the duration
of delay. If the duration of delay continues beyond a period of three months Punjab & Sind
Bank and the service provider shall hold consultations with each other in an endeavor to find a
solution to the problem notwithstanding the above the decision of Punjab & Sind Bank shall be
final and binding on the service provider.
17. BRIBES AND GIFTS
Any bribe, commission, gift or advantages given, promised or offered by or on behalf of the
service provider or his parties, agents or servant or anyone his or their behalf to any officer,
servant, representatives or agent of the Bank or any other person on his or their behalf in
relation to the obtaining or to the execution of this or any other contract with the Bank shall in
addition to any criminal liability which the service provider may incur subject the service
provider to the cancellation of this and all other contracts with the Bank and also to payment of
any loss or damage resulting from any such cancellation thereof. Any question or dispute as to
the commission of any offence under the present clause shall be settled by the Bank in such
manner and on such evidence or information as the Bank may think fit and sufficient and the
Bank’s decision shall be final and conclusive.

18. RESOLUTION OF DISPUTE
Punjab & Sind Bank and the service provider shall make every effort to resolve amicably, by
direct informal negotiation, any disagreement or dispute arising between them under or in
connection with the contract. If after 30 days from the commencement of such informal
negotiations, Punjab & Sind Bank and the service provider are unable to resolve amicably a
contract dispute; either party may require that the dispute be referred for resolution by formal
arbitration.
All disputes, differences, claims and questions whatsoever arising from this Agreement between
the parties and/or their respective representatives touching these presents or any clause or thing
contained therein or otherwise in any manner relating to or arising from these presents shall be
referred to the sole arbitration of a person appointed by the General Manager(HRD) of the
Bank.
It will be no objection to any appointment that the Arbitrator so appointed is a GM of the Bank
and that he had to deal with the matter to which the Contract relates and that in course of his
duties he had expressed in all or any of the matters, in dispute or difference, and / or retainer
counsel of the Bank or any other Advocate the Bank may choose who may have dealt with the
Bank or with the matter in any manner. If the Arbitrator to whom the matter is originally
referred, is transferred, retire, neglects or is unable to act on account of any reasons; the
GM(HRD) of the Bank; shall appoint another person to act as Arbitrator in accordance with the
terms of the contract and the substituted Arbitrator shall be entitled to proceed at the stage at
which it was left by his predecessor.
Any party desirous of making a reference to the Arbitrator shall give fifteen days Registered
Acknowledgement Due notice of his intention to do so to the other party at his usual place of
business or residence or of the place of their last notified address and the notice shall be deemed
to have been served when it would ordinarily have been served when it would ordinarily have
been sent by post. The notice sent by the arbitrator to the parties by Registered Post at the
addresses mentioned in the Agreement will be considered sufficient service on the parties
whether such notice is received by them or not is refused, or is returned undelivered.
19. JURISDICTION
The court at Delhi only shall have jurisdiction to deal with and decide any legal matter
whatsoever arising out of the contract in the event of placement of order.

Important Notes:
1. The Bank will pay for minimum 15 participants or the actual number of participants,
whichever is higher on normal working days (When one or more training are in process
at the training center simultaneously).
2. On Arrival / Departure day of the training programme (i.e. other than normal training
days), participants at the Hostel shall be served with only vegetarian food. Bank will pay
as under:
a. If number of participants are less than 5 on arrival /departure day at the training
centre then Rs. 1500/- will be paid as a lump – sum payment..
b. If actual number of participants if more than 5 then the payment will be made at

a) offered to Punjab & Sind Bank the service(s) as stated under Scope of Work of Tender;

c) Represented and warranted that the aforesaid services offered to Punjab & Sind Bank do

is any violation of any law, rules or regulation, which is capable of being remedied the
same will be got remedied immediately during the implementation, maintenance and
contract period to the satisfaction of Punjab & Sind Bank;

2) Punjab & Sind Bank, relying and based on the aforesaid representations and warranties of

a) the Obligor shall, at all times hereinafter, save and keep harmless and indemnified Punjab
& Sind Bank, including its respective directors, officers, employees, agents and
representatives and keep them indemnified from and against any claim, costs, charges,
damages, demand, losses, liabilities or expenses of any nature and kind whatsoever and by
whomsoever made in respect of the Contract and any loss or damage caused from and
against all suits and other actions that may be instituted taken or preferred against Punjab &
Sind Bank by whomsoever and all losses, damages, costs, charges and expenses that
Punjab & Sind Bank may incur by reason of any claim made by any claimant for any
reason whatsoever or by anybody claiming under them or otherwise for any losses,
damages or claims arising out of all kinds of accidents, destruction, deliberate or otherwise,
direct or indirect, from those arising out of violation of applicable laws and also from the
environmental damages, if any, which may occur or result from the terms of the Contract.
b) The Obligor further agrees and undertakes that the Obligor shall, ensure that all the
permissions, authorizations, consents and licenses are obtained and renewed from the local
and/or municipal and/or governmental authorities, as may be required under the applicable
laws, rules, regulations, guidelines, orders framed or issued by any appropriate authorities.
c) If any additional approval, consent or permission is required by the Obligor to execute and
perform the Contract during the currency of the Contract, it shall procure the same and/or
comply with the conditions stipulated by the concerned authorities without any delay.
d) The obligations of the Obligor herein are irrevocable, absolute and unconditional, in each
case irrespective of the value, genuineness, validity, regularity or enforceability of the
aforesaid Contract or other agreement, or the insolvency, bankruptcy, reorganization,
dissolution, liquidation or change in ownership of Punjab & Sind Bank or Obligor or any
other circumstance whatsoever which might otherwise constitute a discharge or defence of
an indemnifier.
e) The obligations of the Obligor under this deed shall not be affected by any act, omission,
matter or thing which, would reduce, release or prejudice the Obligor from any of the
indemnified obligations under this indemnity or prejudice or diminish the indemnified

obligations in whole or in part, including in law, equity or contract (whether or not known
to it or to Punjab & Sind Bank).
f) This indemnity shall survive the Contract.
g) Any notice, request or other communication to be given or made under this indemnity shall
be in writing addressed to either party at the address stated in the Contract and/or as stated
above.
h) This indemnity and other non-contractual obligations arising out of this indemnity, shall be
governed by, and construed in accordance with, the laws of India. The Obligor irrevocably
and unconditionally agrees that any legal action, suit or proceedings arising out of or
relating to this indemnity may be brought in the Courts/Tribunals at Delhi. Final judgment
against the Obligor in any such action, suit or proceeding shall be conclusive and may be
enforced in any other jurisdiction, by suit on the judgment, a certified copy of which shall
be conclusive evidence of the judgment, or in any other manner provided by law. By the
execution of this indemnity, the Obligor irrevocably submits to the exclusive jurisdiction of
such Court/Tribunal in any such action, suit or proceeding.
i) Punjab & Sind Bank may assign or transfer all or any part of its interest herein to any other
person. Obligor shall not assign or transfer any of its rights or obligations under this
indemnity, except with the prior written consent of Punjab & Sind Bank.
