American VC biotech funds whowill successfully raise $76 million, to a new planned initiative to encourage Israeli institutional investors to invest in local venture capital funds by the state’s participation in taking on itself part of the risk. The Israeli high tech industry is relatively healthy and is by far and away the leader in many sectors in the EMEA region. Last year 25 companies out of 2009 winners of Israel Fast 50 were ranked in Deloitte EMEA Fast 500. Companies showing sustainable growth will be the ones most likely to survive these harsh times. In ActionA year full of political and economic surprises has left a dent in Israel’s high-tech industry; nonetheless, it seems to keep on driving forward. 2010 encapsulated a political storm of events including the confrontation aboard a Turkish vessel and Iran’s nuclear program. Further pain was felt from struggling economies everywhere from the USA to Europe drowning in debt. But despite these issues, Israel’s economy continued to push forward and prove resilient.Despite what seems as an infinite list of global issues and tensions, 104 Israeli high-tech companies raised $343 million from venture capital funds and other venture investors, during the second quarter of 2010. The amount was up 47 percent from the $234 million raised by 91 companies in the first quarter of 2010, and 23 percent above the $279 million raised by 122 companies in the second quarter of 2009 (Source: IVC). This small but essential increase in capital raising provides us with what seems as a hint of light at the end of the tunnel.Additional light shined from recent victories to Israel’s technology industry, such as Israel recently embarking on its first IPO on the NASDAQ since July, 2007. Furthermore, a flurry of M&A activity has emerged both in the USA and Europe, and has started making its way into Israel’s borders. The Treasury has decided to facilitate additional confidence in the high-tech sector by initiating incentive plans to ensure supplementary growth in the backbone of Israel’s economy. Incentive plans included their recent announcement of a direct investment of $24 millioninto each of the three Israeli-

The Tel-Aviv Stock Exchange

High-tech has been the engine propelling Israel’s dynamic economy for the past decades. Recognizing the pivotal role high-tech industries play in Israel’s economy, the Tel Aviv Stock Exchange (TASE) proactively facilitates the capitalization of technology enterprises. It is TASE’s vision to develop into a financial hub for key technology industries, providing companies access to large pools of capital and investors, and a window to the opportunities engendered in some of the world’s most innovative growth industries. The MSCI upgrade, positioning Israel as a developed market, offers us a new opportunity and challenge to be part of the world, focusing in the High Tech arena.

More than 130 “tech” companies currently trade on TASE, spanning the electronics, semi-conductors, defense, optics, communications, software, medical device, biomed and VC industries. TASE has created two major indices representing Israeli technology industries: The Tel Tech index and the Biomed index.

Within the High-tech industry, R&D companies enjoy special attention by listing rules made to enable those companies to raise capital early on their “lifetime”.An “R&D Company” is a company that in the previous three years has invested at least NIS 3 million (approximately US $750,000) of its monetary resources, including funds received from the Office of the Chief Scientist (OCS) of Israel’s Ministry of Industry Trade and Labor, inOCS-approved R&D projects. (Companies can obtain OCS approval for projects that do not necessarily receive OCS funding). R&D companies do not haveto demonstrate neither minimal equity nor an operating track record prior to an

A TASE IPO can serve as a springboard for additional listings on NASDAQ and other international exchanges as the company matures. The dual listing provisions of Israel’s Securities Law enables TASE-listed companies concurrently listed on NYSE and NASDAQ to satisfy Israeli disclosure requirements by adhering to those required by the U.S. authorities, obviating the need to comply with two sets of disclosure regulations. These provisions also apply to companies with a primary listing on the London Stock Exchange Main Market.

IPO. Threshold minimal capital raisedfrom the IPO by an R&D company for a TASE listing is currently set at NIS 16 million, considerably less than the minimum required of other TASE-listed companies. Similarly, the minimal public float (relative to total company value) is lower for R&D companies.

superDimension develops products that are used to perform a new pulmonary procedure called Electromagnetic Navigational Bronchoscopy (“ENB”) to diagnose and potentially treat lung cancer. ENB is a minimally invasive procedure which enables physicians to navigate, via catheter, to the deep lungs without a needle biopsy or surgery. The World Health Organization estimates over 1.2 million lung cancer-related deaths occurring annually on a worldwide basis; this represents more deaths than colorectal, breast, prostate and pancreatic cancers combined.Current alternatives to access the deep lungs for diagnosing lung cancer are so invasive that many of the millions of at-risk patients choose “watchful waiting” rather than the risky diagnostic procedures.
