Note by Chairman

Dear Members,

After the struggle on the financial and technical fronts in last 3 years, we with your

strong support have been able to overcome the financial issues completely.

On the technical front also we have taken efforts to improve the situation and have been

successful to some extent.

To improve the plant performance we have completed following things:

1. Reconstruction of old Sludge Drying Bed of 1000m2 area.

2. Installed new Decanter Centrifuge of 25 m3/ hr capacity

3. Completed New Office Administrative Building work.

4. The work of renewation of Old Office Building and Chemical House is in progress.

The diffusers in aeration tank are old and affecting the performance. To replace the diffusers

is necessary.

Also considering inadequate treatment facility available to treat 22.5 MLD effluent,

upgradation of CETP has been proposed but yet to be taken up. We will get the Detailed

Project Report (DPR) approved and will implement the upgradation programme at the

earliest.

Notice is hereby given that the “19th ANNUAL GENERAL BODY MEETING OF THE MEMBERS OF TALOJA CETP CO-OP. SOCIETY LIMITED”, will be held on Saturday, 28th September, 2013 at 11.30 a.m. at “Hotel Pallavi”, Roadpali, Navi Mumbai - 410208 to transact the following business.

The meeting will be followed by lunch.

1. Welcome address by Hon. Chairman.2. To read and confirm the minutes of AGM held on 26/10/2012 and EOGM held on 27.4.2013.3. Hon. Managing Director to read the Progress Report, in respect of state of affairs of the Society

for the year ended on 31/03/2013.4. To read and adopt the internally Audited Statement of Accounts together with the Balance

Sheet of Taloja-CETP Co-op. Society Ltd. for the year ended on 31/03/2013 and the reports of Board and Auditors thereon.

5. To appoint the Internal Auditors for the Audit of the financial year 2013-2014 and to decide remuneration for the same.

6. To appoint the Statutory Auditors for the Audit of the financial year 2013-2014.7. To discuss and approve the status of up-gradations proposed in TCETP. 8. Dear Members,

The Managing Director has pleasure in presenting his report on the working of the Society during the last

financial year ending on 31st March 2013 & also the audited financial statement for the year ended on

31st March 2013.

• MEMBERSHIP : The total contribution towards project cost received as on 31st March, 2013 is Rs.5,06,98,963/-.

The number of member industries as on the same date is 941 comprising Large, Medium and

Small Scale Industries.

• BOARD OF DIRECTORS:The Board of Directors met on 13 occasions during the year. Many important decisions regarding

the Society affairs and operation of the CETP were taken.

• STATUS OF THE CETP:

PLANT STATUS :

The CETP of 22.5 MLD Design Capacity is operational. On an average 19 MLD effluents was received and treated in CETP.

2192 MT of solid waste was generated during the year from effluent treatment process and sent

to M/s. Mumbai Waste Management Ltd. for disposal by secured landfill.

To improve the sludge handling facility damaged sludge drying beds of 1000m2 area were reconstructed.

The Regional Officer, Maharashtra Pollution Control Board vide letter dtd. 4.12.2012 has constituted a coordination committee of CETP, MPCB, MIDC, TMA and TIA representatives by the orders of Mumbai High Court in the PIL No.17/2011.

REPORT OF THE AUDITOR

I, the undersigned R.R. JAKHOTIA have examined the attached Balance Sheet as on 31/03/2013 and

the Income and expenditure account for the co-operative year 2012-2013 of TALOJA CETP CO-OPERATIVE

SOCIETY LTD. and report that

1. I have obtained all the information and explanations which to the best of my knowledge and

belief were necessary for the purpose of my audit.

2. In my opinion and to the best of my information and explanations given to me:

a) The Balance sheet and Income & Expenditure A/c are in the agreement with the books of

accounts and Balance Sheet gives True and Fair view of the State of Affairs of the society as on

31/03/2013 and the Income & Expenditure A/c gives true and clear view of surplus of the year

01/04/2012 to 31/03/2013.

b) Accounts give information required by Co-operative Act and present true and fair view of

financial transactions of the society. No personal expenses are included or no loan is shown as

deposit.

c) In my opinion proper books of accounts as required by Maharashtra State Co-operative Rules and

Byelaws have been kept by the society.

d) Society has been awarded Audit classifications for this co-op. Year ___ B ___ Class.

SIGNIFICANT ACCOUNTING POLICIES

BASIS OF PREPARATION OF FINANCIAL STATEMENTS:

The financial statements have been prepared in accordance with the accounting standards specified

by the institute of Chartered Accountants of India.

ACCOUNTING CONVENTION & REVENUE RECOGNITION:

The financial statements have been prepared in accordance with historical cost convention.

Revenues and expenses are accounted for on an accrual basis.

FIXED ASSETS:

Fixed assets are stated at the cost of construction / acquisition, improvement and installations.

Pre-operating and pre-opening expenses are capitalized. Also interest during construction period to

finance fixed assets is capitalized. During the year purchased following fixed assets:

2. Computer Rs.38,000.00

3. Building & Civil work Rs.1,04,60,995.00

4. Electrical Equipment Rs.1,03,843.00

5. Mechanical Equipment Rs.40,26,091.00

DEPRECIATION:

Depreciation is provided during the year as per the rates prescribed under the income tax act.

CONTINGENT LIABILITIES:

There are no claims of contingent nature against the society.

INVESTMENTS:

Investments held by the society are stated at cost along with accrued interest on it, except deposit

with MTNL, MIDC, MSEB and Mumbai Waste Management Ltd.

RETIREMENT BENEFITS:

Ex-gratia Rs. 2, 29,018/- is provided during the year 2012 – 2013.

Admission fee and contribution received from members towards capital cost are credited to

reserve fund. Also unclaimed dividend is credited to reserve funds.

1. Land is acquired on lease from MIDC for a period 99 years at a concessional rate of Re. 1/-

per sq. meter.

2. Internal Auditors remuneration (including service tax @12.36%)

3. No provisions for income tax is made as the profits are exempted under mutuality concept of

the Income Tax Act, water treatment system, sanitation and sewerage system or solid waste
