RECOMMENDATION
Her Excellency the Governor General recommends to the House
ofCommons the appropriation of public revenue under the
circumstances, inthe manner and for the purposes set out in a
measure entitled “An Act to providefirst nations with the option of
managing and regulating oil and gasexploration and exploitation and
of receiving moneys otherwise held for themby Canada”.
SUMMARY
The purpose of this enactment is to enable any first nation
subject to theIndian Act, if it chooses to do so, to assume the
direct management andregulation of oil and gas exploration and
exploitation currently carried out onits behalf by Indian Oil and
Gas Canada. It would also allow any first nation toreceive and
manage moneys that are derived from any source on reserve landsand
that would otherwise be retained or collected, and managed on its
behalf,by the Minister of Indian Affairs and Northern Development.
The decision todo so, in either case, would be made in a referendum
conducted among eligiblemembers of the first nation.
RECOMMANDATION

SOMMAIRE
Le texte permet à toute première nation régie par la Loi sur les
Indiens qui ledésire de prendre en charge la gestion et la
réglementation de l’exploration et del’exploitation du pétrole et
du gaz, activités maintenant exercées en son nompar Pétrole et gaz
des Indiens Canada. Il permet en outre à toute première nationde
recevoir et de gérer les fonds provenant des terres de réserve et
qui autrementseraient perçus, détenus et gérés en son nom par le
ministre des Affairesindiennes et du Nord canadien. Dans chacun de
ces cas, la décision sera priseaprès la tenue d’un référendum parmi
les électeurs admissibles de la premièrenation.

receiv-ing moneys otherwise held for them byCanada
[Assented to 25th November, 2005]
WHEREAS the White Bear First Nationentered into Treaty Number
Four with HerMajesty on September 23, 1875 and the Bloodand Siksika
(Blackfoot) First Nations enteredinto Treaty Number Seven with Her
Majesty onSeptember 22, 1877;
WHEREAS existing aboriginal and treatyrights of the aboriginal
peoples of Canada wererecognized and affirmed by section 35 of
theConstitution Act, 1982;
WHEREAS the White Bear, Blood andSiksika First Nations wish to
assume controlof oil and gas in their reserve lands and
relatedrevenues, and control of current and futuremoneys that would
otherwise be held for themby Canada;
WHEREAS those first nations have, since1994, entered into a
series of agreements withthe Government of Canada for the
co-manage-ment of oil and gas in their reserve lands;
WHEREAS the same first nations haveparticipated with the
Government of Canada inthe development of proposals for legislation
forthe transfer of control of oil and gas and ofmoneys held for
them;
AND WHEREAS it is recognized that suchlegislation could also
benefit other first nationsif they chose to avail themselves of
it;

Attendu :
que la première nation White Bear et SaMajesté ont conclu le
traité numéro quatre le23 septembre 1875 et que les

que les droits existants — ancestraux ou issusde traités — des
peuples autochtones duCanada ont été reconnus et confirmés
parl’article 35 de la Loi constitutionnelle de1982;

NOW THEREFORE, Her Majesty, by and withthe advice and consent of
the Senate and Houseof Commons of Canada, enacts as follows:
SHORT TITLE
1. This Act may be cited as the First NationsOil and Gas and
Moneys Management Act.
INTERPRETATION AND APPLICATION
2. (1) The following definitions apply in thisAct.
“contract” means a licence, permit or leasegranting a surface or
subsurface right or interestin land — or an instrument evidencing
aneasement, a right-of-way, a right of entry or anyother
disposition of a right or interest in land —that is granted, issued
or made for the purposesof oil or gas exploration or
exploitation.
“decision-making authority”, in relation to aproject, means a
person or body having powerunder section 34 or under a first
nation’s oil andgas laws to make any decision that is required
inorder for the project to be undertaken.
“environmental assessment”, in relation to aproject in a managed
area, means an assessmentof the project’s effects on the
environmentconducted in one or more stages in accordancewith a
first nation’s oil and gas laws.
“exploitation”, in relation to oil or gas, means itsextraction,
production, storage, distribution,processing or refining, or its
use to generateelectrical energy, to the extent that
thoseactivities relate to lands in a managed area.
“exploration” includes surveying, mapping, testdrilling and
geological, geophysical and geo-chemical examinations carried out
in pursuit ofoil or gas.
“financial institution” means a bank or a trustcompany.

« exploitation » Extraction, production, stoc-kage,
distribution, traitement, raffinage ouutilisation du pétrole ou du

aménagé.
« exploration » Font partie de l’explorationl’arpentage, la
cartographie, le forage d’essaiet les études géologiques,

“first nation” means a band within the meaningof the Indian
Act.
“first nation member” means a person whosename appears on the
band list of a first nation orwho is entitled to have their name
appear on thatlist.
“gas” means natural gas that can be producedfrom a well,
including natural gas from a coalbed, and includes marketable gas
as well ascondensate and other fluid components ofnatural gas that
are not oil.
“managed area” means a managed area asdescribed in section
25.
“Minister” means the Minister of Indian Affairsand Northern
Development.
“oil” means any hydrocarbon that can beextracted or recovered in
liquid form fromsurface or subsurface deposits, other
thancondensate, or that can be extracted or recov-ered from
bitumen, bituminous sands, oil sandsor oil shale.
“oil and gas law” means a law made by a firstnation under
section 35.
“oil and gas moneys” means moneys derivedfrom oil or gas
exploration or exploitationwithin the managed area of a first
nation afterthe first nation’s transfer date, and includes
finesrecovered for offences under oil and gas laws.
“project” means
(a) any proposed construction, operation,modification,
decommissioning or abandon-ment of an installation used for oil or
gasexploration or exploitation, or any otherproposed undertaking in
relation to such aninstallation; or
(b) any proposed exploration activity of akind that is defined,
by the regulations or by afirst nation’s oil and gas laws, as a
project forthe purposes of environmental assessments.
“transfer date”, in relation to a first nation,means the date on
which the first nation’s nameis added to Schedule 1 under
subsection 22(1).
« gaz » Le gaz naturel susceptible d’être extraitd’un puits, y

Territorial lands
“trust company” means a trust company undersubsection 57(2) of
the Trust and LoanCompanies Act, or a company incorporated byor
under a provincial Act that carries on thebusiness of a trust
company, that is a memberinstitution within the meaning of section
2 ofthe Canada Deposit Insurance Corporation Act.
(2) In this Act, “environment” and “environ-mental effect” have
the same meaning as in theCanadian Environmental Assessment
Act.
(3) Unless the context otherwise requires,words and expressions
used in this Act have thesame meaning as in the Indian Act.
3. For greater certainty,
(a) Her Majesty’s title to lands in a managedarea is not
affected by this Act;
(b) lands in a managed area continue to beset apart by Her
Majesty for the use andbenefit of the first nation for which they
wereset apart;
(c) lands in a managed area continue to belands reserved for the
Indians within themeaning of Class 24 of section 91 of
theConstitution Act, 1867;
(d) this Act does not affect the ability of afirst nation to
participate in and benefit fromany federal government program;
and
(e) nothing in this Act shall be construed soas to abrogate or
derogate from the protectionprovided for existing aboriginal or
treatyrights of the aboriginal peoples of Canada bythe recognition
and affirmation of those rightsin section 35 of the Constitution
Act, 1982.
4. This Act does not apply in respect ofreserve lands in Yukon
or in respect of frontierlands within the meaning of the
CanadaPetroleum Resources Act.

3. Il est entendu :
a) que la présente loi n’a pas pour effet demodifier le titre de
propriété de Sa Majestésur les terres comprises dans le
secteuraménagé;
b) que ces terres continuent d’être mises decôté par Sa Majesté
à l’usage et au profit de lapremière nation pour laquelle elles ont
étémises de côté;
c) que ces terres demeurent des terresréservées pour les Indiens
au sens du point24 de l’article 91 de la Loi constitutionnellede
1867;
d) que la présente loi n’a pas pour effetd’empêcher une première
nation de participeraux programmes fédéraux et d’en profiter;
e) que la présente loi ne porte pas atteinte à laprotection des
droits existants — ancestrauxou issus de traités — des peuples
autochtonesdu Canada découlant de leur reconnaissanceet de leur
confirmation au titre de l’article 35de la Loi constitutionnelle de
1982.
4. La présente loi ne s’applique pas auxterres domaniales au
sens de la Loi fédérale surles hydrocarbures ni aux terres de
réservesituées au Yukon.

5. This Act does not apply in respect ofmoneys collected,
received or held by HerMajesty in right of Canada under the Indian
Actfor the use and benefit of an individual.
REQUESTS FOR TRANSFER
6. The council of a first nation may submit tothe Minister a
written resolution of the councilrequesting the transfer to the
first nation of themanagement and regulation of oil and
gasexploration and exploitation in its reserve lands.
7. The council of a first nation may submit tothe Minister a
written resolution of the councilrequesting the payment to the
first nation of
(a) moneys held by Her Majesty for the useand benefit of the
first nation; and
(b) moneys to be collected or received infuture by Her Majesty
for the use and benefitof the first nation.
8. (1) Subject to subsections (3) and (4),following receipt of a
resolution under section6, the Minister shall provide to the first
nation, ifthe first nation does not already possess them,
(a) copies of all contracts issued in respect ofthe first
nation’s reserve lands that are inforce and of any documents
evidencingdesignations of those lands under the IndianAct;
(b) copies of any documents in the Minister’spossession
respecting contracts referred to inparagraph (a) that relate to
periods after theissuance of those contracts;
(c) particulars of all moneys payable undercontracts referred to
in paragraph (a); and
(d) any documents in the Minister’s posses-sion with respect to
contaminated sites on thefirst nation’s reserve.
(2) Following receipt of a resolution undersection 6, the
Minister shall provide the firstnation with a timetable for
delivery of thedocuments and information referred to insubsection
(1).
5. La présente loi ne s’applique pas auxfonds que Sa Majesté du

DEMANDES DE TRANSFERT
6. Le conseil d’une première nation peut, parprésentation d’une
résolution écrite au ministre,demander le transfert à la première
nation de lagestion et de la réglementation de l’explorationet de
l’exploitation du pétrole et du gaz sur sesterres de réserve.
7. Le conseil d’une première nation peut, parprésentation d’une
résolution écrite au ministre,demander le versement à la fois :
a) des fonds détenus par Sa Majesté àl’usage et au profit de la
première nation;
b) des fonds qui seront par la suite perçus oureçus par Sa
Majesté à l’usage et au profit dela première nation.
8. (1) Après réception de la demande visée àl’article 6, le
ministre fournit à la premièrenation, sous réserve des paragraphes
(3) et (4),ceux des documents et renseignements suivantsqu’elle n’a
pas déjà en sa possession :
a) une copie des contrats en vigueur visantles terres de

(3) The Minister shall not provide informa-tion that is subject
to solicitor-client privilege oris otherwise privileged at law.
(4) The Minister is not required to provideinformation that may,
or must, be withheldunder any federal law.
(5) Subsection (4) does not apply in respectof information
provided to the Minister by acontract holder.
9. Following receipt of a resolution undersection 7, the
Minister shall inform the firstnation of the amount of the moneys
held by HerMajesty for the first nation at the time of thereceipt
of the request and of the outstandingamount of any loans referred
to in subsection30(2).
REQUIREMENTS FOR TRANSFER
10. (1) Before a vote is conducted on atransfer requested under
section 6, a first nationshall prepare an oil and gas code that
(a) prescribes the procedure to be followedby the council of the
first nation in themaking, amendment and publication of oiland gas
laws;
(b) provides for the accountability of thecouncil to first
nation members for themanagement and regulation of oil and
gasexploration and exploitation;
(c) establishes procedures for disclosing andaddressing
conflicts of interest of members ofthe council and employees of the
first nationin the management and regulation of oil andgas
exploration and exploitation;
(d) if the first nation shares a reserve withanother first
nation, provides for the coordi-nation of the management and
regulation ofoil and gas exploration and exploitation bythe two
first nations; and
(e) provides for the amendment of the codeby the first
nation.

the first nation undersections 30 and 31 by their deposit in
anaccount with a financial institution or pay-ment to a trust of
which the first nation issettlor and sole beneficiary, and
prescribingthe conditions governing future changes fromone mode to
the other;
(b) respecting the manner of expendingmoneys held by the first
nation in the accountor received by it from the trust;
(c) respecting the accountability of the coun-cil of the first
nation to first nation membersfor the expenditure of those
moneys;

12. (1) Laws of general application in rela-tion to trusts and
trustees in force in theprovince in which the trust instrument
isexecuted apply in respect of a trust establishedfor the purposes
of this Act except to the extentthat those laws conflict with this
Act.
(2) A trust established for the purposes ofthis Act is exempt
from the application of anyrule of common law that limits the
period withinwhich a beneficial interest must vest or theperiod
during which income may be accumu-lated.
13. (1) A member of the council of a firstnation may not be made
a trustee ex officio of atrust established for the purposes of this
Act.
(2) Subsection (1) does not preclude amember of a council from
serving as a trusteein the member’s personal capacity.
14. Every trustee of a trust established for thepurposes of this
Act other than a trust companyshall, before moneys are paid into a
trustreferred to in section 10 or 11, and at any othertime when the
council so requests, provide tothe council of the first nation
(a) evidence of bonding, insurance or otherform of security, in
an amount equal to theamount held in the trust, for the recovery
ofany loss occasioned by theft or by breach ofthe conditions of the
trust; and
(b) evidence that the trustee fulfils therequirements of
provincial law, if any, as tothe minimum financial worth of
trusteesgenerally.
15. After a first nation has prepared thecodes referred to in
section 10, the Minister andthe first nation may conclude a
transfer agree-

APPROVAL PROCEDURE
17. After a transfer agreement has beenconcluded under section
15, the first nationmay conduct a vote among its eligible voters,
inaccordance with the regulations, on the ratifica-tion of the oil
and gas code and the financialcode referred to in section 10 and
the approvalof the transfer to the first nation of themanagement
and regulation of oil and gasexploration and exploitation.
18. After a payment agreement has beenconcluded under section
16, the first nation mayconduct a vote among its eligible voters,
inaccordance with the regulations, on the ratifica-tion of the
financial code referred to in section11 and the approval of the
payment of moneysto the first nation in accordance with the
code.
19. If agreements have been concluded underboth sections 15 and
16, a single vote may beconducted for the purposes of sections 17
and18.
20. (1) Subject to subsection (2), a firstnation member, whether
resident on the reserveor not, is an eligible voter if the member’s
nameappears on the band list and the member hasreached the age of
eighteen years on the date ofthe vote.
(2) In the case of a first nation that is not thesubject of an
order made under section 74 of theIndian Act, a first nation
member, whetherresident on the reserve or not, is an eligiblevoter
if the member’s name appears on the bandlist and the member has, on
the date of the vote,reached the eligible age for participation in
theselection of the first nation’s council accordingto the custom
of the first nation.

21. (1) Subject to subsections (2) and (3), avote conducted
under section 17 or 18 isaffirmative when
(a) a majority of eligible voters participatesin the vote and a
majority of those whoparticipate votes affirmatively; or
(b) the council has provided for the registra-tion of eligible
voters who signify theirintention to participate in the vote, and
amajority of those who are so registered votesaffirmatively.
(2) A vote is not affirmative unless more thantwenty-five per
cent of all eligible voters voteaffirmatively.
(3) The council of a first nation may, byresolution adopted
before the vote, increase theproportion of votes required under
paragraph (1)(a) or (b) or subsection (2).
TRANSFERS TO FIRST NATIONS
OIL AND GAS
22. (1) The Governor in Council may, byorder, add a first
nation’s name to Schedule 1following
(a) an affirmative vote by the first nation’seligible voters on
the ratification of the codesprepared under section 10 and the
approval ofthe transfer of the management and regulationof oil and
gas exploration and exploitation tothat first nation; and
(b) the making of laws by the council underparagraphs 35(1)(a)
to (d).
(2) On receipt by the Minister of a resolutionof a first
nation’s council advising of a changein the name of the first
nation, the Governor inCouncil may, by order, amend Schedule
1accordingly.
23. (1) On a first nation’s transfer date, therights and
obligations of Her Majesty underexisting contracts in respect of
the first nation’smanaged area — as well as under anyagreements
related to those contracts — areassigned to the first nation.

(2) The Minister shall provide written noticeto contract holders
of the assignment of theircontracts and any agreements referred to
insubsection (1).
(3) For greater certainty, after a first nation’stransfer date,
any designations made under theIndian Act in respect of oil and gas
in the firstnation’s managed area cease to have effect, andthe
rights and obligations of Her Majesty underthose designations are
superseded by the rightsand obligations of the first nation under
this Act.
(4) If a designation under the Indian Actrelates both to oil and
gas and to other rights andinterests unrelated to oil and gas,
subsection (3)applies in respect of the designation only insofaras
it relates to oil and gas.
24. (1) Oil and gas laws that come into forceon a first nation’s
transfer date may not impairthe rights or interests of a contract
holder undera contract assigned by section 23.
(2) Subsection (1) does not apply in respectof the making of
laws by a first nation after itstransfer date.
25. (1) The managed area of a first nationconsists of the lands
set apart, as of the transferdate, as the reserve or reserves of
the firstnation, and includes any lands subsequentlyadded to those
lands, unless the first nation andthe Minister agree otherwise at
the time they areadded.
(2) Any reserve lands whose boundarieshave been surveyed under
Part II of the CanadaLands Surveys Act may be excluded from
amanaged area if the transfer agreement soprovides.
(3) The Minister and the first nation mayagree, at any time
after a first nation’s transferdate, to include in the first
nation’s managedarea any of the lands excluded from it by
thetransfer agreement, in which case an amend-ment shall be made
accordingly to the legaldescription of the managed area in the
appli-cable register referred to in subsection 26(1).

(3) Le ministre et la première nation peuvents’entendre, après
la date de transfert, pourinclure des terres exclues dans le

consignée dans le registre applicableaux termes du paragraphe 26(1)

26. (1) A legal description of a first nation’smanaged area
shall be entered, as of the firstnation’s transfer date, in the
Reserve LandRegister maintained under section 21 of theIndian Act
or, in the case of a first nation towhich the First Nations Land
Management Actapplies, the First Nations Land Register main-tained
under section 25 of that Act. If lands aresubsequently added to the
managed area, theapplicable register shall be amended
accord-ingly.
(2) All contracts in respect of a first nation’smanaged area
that are registered in the Surren-dered and Designated Lands
Register main-tained under subsection 55(1) of the Indian Actshall
be entered, as of the transfer date, in theregister established by
the regulations or, if nonehas been established, in the applicable
registerreferred to in subsection (1).
27. (1) Her Majesty is not liable for
(a) the decision by a first nation or its councilto request a
transfer under section 6 or forany actions taken by the first
nation or itscouncil pursuant to the request;
(b) any loss or damage resulting from theassignment of contracts
to the first nationunder section 23; or
(c) an unintentional omission to provide anyinformation referred
to in subsection 8(1).
(2) Her Majesty is not liable in respect of theexercise of
powers by a first nation in relation tooil and gas exploration or
exploitation underthis Act.
(3) Her Majesty is not liable, as the holder oftitle to reserve
lands or to oil and gas found inthose lands, in respect of any
damage occa-sioned by oil and gas exploration or exploitationunder
this Act.
28. Subject to section 27, this Act does notaffect the liability
of Her Majesty or a firstnation for any act or omission occurring
beforethe first nation’s transfer date.

b) tout dommage ou toute perte résultant dela cession des
contrats à la première nationprévue à l’article 23;
c) toute omission involontaire de fournir desrenseignements et
documents visés au para-graphe 8(1).
(2) Sa Majesté n’est pas responsable del’exercice par la
première nation des pouvoirsconférés par la présente loi en matière
d’ex-ploration et d’exploitation du pétrole et du gaz.
(3) Sa Majesté n’est pas responsable, en saqualité de titulaire
d’un intérêt sur les terres deréserve comprises dans le secteur

MONEYS
29. (1) The Minister may, by order, add afirst nation’s name to
Schedule 2 following anaffirmative vote of the first nation’s
eligiblevoters on the ratification of the code preparedunder
section 11 and the approval of thepayment of moneys to the first
nation inaccordance with the code.
(2) On receipt of a resolution of the councilof a first nation
advising of a change in its name,the Minister may, by order, amend
Schedule 2accordingly.
30. (1) Following the addition of a firstnation’s name to
Schedule 2, the moneys heldby Her Majesty for its use and benefit
shall bepaid to the first nation out of the ConsolidatedRevenue
Fund in accordance with the paymentagreement.
(2) The Minister may withhold, frommoneys otherwise payable
under subsection(1), the outstanding amount of any loans
enteredinto by the first nation or members of the firstnation and
guaranteed by Her Majesty on thesecurity of moneys held for the use
and benefitof the first nation by Her Majesty under theIndian
Act.
31. Following a payment of moneys undersection 30, all moneys
subsequently collected orreceived by Her Majesty for the use and
benefitof the first nation shall be paid out of theConsolidated
Revenue Fund to the first nationin accordance with the payment
agreement.
32. (1) Her Majesty is not liable for thedecision by a first
nation or its council to requesta payment under section 7 or for
any actionstaken by the first nation or its council pursuantto the
request.
(2) Following the payment of moneys out ofthe Consolidated
Revenue Fund into an accountor a trust under section 30 or 31, Her
Majesty isnot liable for the payment or the management ofthose
moneys.
33. This Act does not affect the liability ofHer Majesty or a
first nation for any act oromission in respect of moneys occurring
beforea payment referred to in subsection 32(2).
FONDS
29. (1) Le ministre peut, par arrêté, inscrire àl’annexe 2 le

33. La présente loi n’a aucun effet sur laresponsabilité de Sa

POWERS RELATING TO OIL AND GAS
34. (1) Subject to any other provision of thisAct, a first
nation named in Schedule 1 has thepowers, rights and privileges of
an owner inrelation to oil and gas in the first nation’smanaged
area, including
(a) the power, in accordance with its oil andgas laws, to manage
oil and gas explorationand exploitation in the managed area and
toissue contracts in respect of the managedarea; and
(b) the power, in accordance with its finan-cial code, to
collect oil and gas moneys fromcontract holders and to manage and
expendthose moneys.
(2) The powers of a first nation undersubsection (1) shall be
exercised by the councilof the first nation or by any person, body
orgovernment to which the powers are delegatedby the first nation’s
oil and gas laws.
(3) A first nation shall send particularsrelating to each
contract issued by the firstnation to the Minister for registration
in theregister established by the regulations or, if nonehas been
established, in the applicable registerreferred to in subsection
26(1).
(4) No contract may be issued for anyactivity in a managed area
before oil and gaslaws for the regulation of that activity are
inforce in the managed area.
35. (1) Subject to sections 36 to 41 and 45,the council of a
first nation named in Schedule 1has the power, in accordance with
its oil and gascode, to make laws respecting oil and gasexploration
and exploitation in the first nation’smanaged area, to the extent
that those laws arenot in relation to matters coming within
theexclusive jurisdiction of a provincial legislatureand may, in
particular, make laws
(a) respecting the issuance and the terms andconditions of
contracts, including
(i) any fees, rates, rents and royalties,including royalties in
kind, to be reservedto the first nation by contract holders,

(b) respecting environmental assessments ofprojects in the

bemade prohibiting the proponent of a projectfrom undertaking work
before the completionof an environmental assessment;
(c) respecting the protection of the environ-ment from the
effects of oil and gasexploration and exploitation in the
managedarea;
(d) respecting the conservation of oil and gasin the managed
area;
(e) establishing offences punishable on sum-mary conviction and
imposing fines, impris-onment, restitution and community servicefor
the contravention of oil and gas laws andorders referred to in
paragraph (b);
(f) respecting the inspection, search, seizureand detention of
property within or outsidethe managed area for the purpose of
ensuringcompliance with oil and gas laws and for theenforcement of
those laws; and
(g) respecting the auditing of records ofcontract holders within
or outside the mana-ged area for the purposes of contract
admin-istration.
(2) A first nation may exercise its power tomake oil and gas
laws at any time after the dateof an affirmative vote under section
21, but nooil and gas law has effect before the firstnation’s
transfer date except to the extentnecessary to make it effective on
that date.
36. For greater certainty, the power of a firstnation to make
oil and gas laws does not extendto laws in relation to
(a) criminal law and criminal procedure;
(b) labour relations, working conditions andoccupational health
and safety;

(c) fish and fish habitat, within the meaningof the Fisheries
Act, migratory birds, withinthe meaning of the Migratory Birds
Conven-tion Act, 1994, and species at risk, within themeaning of
the Species at Risk Act; or
(d) international and interprovincial trade,including customs
tariffs and export andimport controls.
37. (1) A first nation’s oil and gas laws mustprovide that no
project, unless exempted byregulations made under subsection 63(2),
maybe undertaken until an environmental assess-ment of it has been
conducted under those lawsand every decision-making authority for
theproject has taken the results of the assessmentinto account in
making any decision that wouldenable the project to be
undertaken.
(2) The content of laws respecting environ-mental assessments of
projects must conformwith regulations made under subsection
63(1).
(3) A decision-making authority for a projectmay, in respect of
an environmental assessmentof the project,
(a) enter into an agreement for the jointassessment of the
project with any otherperson or body responsible for
environmentalassessments of that project under this Act orany other
federal law; and
(b) delegate to another person or body anypower, except the
power to determinewhether a project is to be carried out.
38. Subject to the regulations, oil and gaslaws must provide
protection for the environ-ment that is at least equal to that
provided by thelaws of the province applicable to oil and
gasexploration and exploitation.

39. Subject to the regulations, oil and gaslaws with respect to
the conservation of oil andgas must not conflict with or be
inconsistentwith the laws of the province applicable to oiland gas
exploration and exploitation.
40. The punishment that may be imposed byan oil and gas law for
an offence is
(a) if the act or omission constituting theoffence results in
damage to lands in themanaged area,
(i) in the case of a first offence, a fine notexceeding $300,000
or imprisonment for aterm not exceeding six months, or both,and
(ii) in the case of a second or subsequentoffence, a fine not
exceeding $600,000 orimprisonment for a term not exceeding oneyear,
or both; and
(b) in any other case, a fine not exceeding$100,000 or a term of
imprisonment notexceeding three months, or both.
41. Oil and gas laws made under paragraph35(1)(f) may not
establish procedures incon-sistent with those provided by the laws
of theprovince in which the managed area is situated,nor may they
confer powers greater than thoseof a public officer within the
meaning of theCriminal Code.
42. Oil and gas laws may incorporate byreference laws of the
province in which themanaged area is located as they are
amendedfrom time to time.
43. An oil and gas law may, in accordancewith an agreement
between a first nation and thegovernment of the province in which
itsmanaged area is located,
(a) specify the respective responsibilities ofthe first nation
and the province for theadministration and enforcement of oil and
gaslaws; and
(b) provide for access by officers of the firstnation and the
province, respectively, to themanaged area for the enforcement of
oil andgas laws.

44. (1) A first nation shall maintain at itsprincipal
administrative office the originals ofits oil and gas code and its
oil and gas laws, andall persons shall be given reasonable access
tothem during normal business hours.
(2) At the request of any person and onpayment of a fee not
exceeding the cost of theservice, a first nation shall provide a
copy of itsoil and gas code or an oil and gas law certifiedto be a
true copy by a person so authorized bythe first nation.
(3) In the absence of evidence to thecontrary, a certified copy
of an oil and gas codeor an oil and gas law is proof of the
originalwithout proof of the signature or officialcharacter of the
person appearing to havecertified the copy.
(4) The Statutory Instruments Act does notapply in respect of an
oil and gas code or the oiland gas laws of a first nation.
45. In exercising powers or making lawsunder this Act, a first
nation shall comply withCanada’s international legal obligations
and, ifthe exercise of any power or the making of anylaw is found
to be inconsistent with Canada’sinternational legal obligations by
a bodyestablished under an international treaty or bya court or
tribunal of competent jurisdiction, thefirst nation shall remedy
the inconsistency.
GENERAL
46. A first nation named in Schedule 1 or 2has the legal
capacity necessary to exercise itspowers and perform its duties and
functionsunder this Act and, in particular, may acquireand hold
property, real or personal and move-able or immoveable, enter into
agreements andbe a party to legal proceedings.
47. (1) A first nation shall maintain at itsprincipal
administrative office the originals of afinancial code referred to
in subsection 10(2) orsection 11, and any member of the first
nationshall be given reasonable access to them duringnormal
business hours.

insubsection 10(2) or section 11 certified to be atrue copy by a
person so authorized by the firstnation.
(3) In the absence of evidence to thecontrary, a certified copy
of a financial codereferred to in subsection 10(2) or section 11
isproof in any proceeding of the original withoutproof of the
signature or official character of theperson appearing to have
certified the copy.
(4) The Statutory Instruments Act does notapply in respect of a
code referred to insubsection 10(2) or section 11.
48. Books and accounts shall be maintainedfor a first nation’s
oil and gas moneys, andannual financial statements shall be
prepared inrespect of those moneys, in accordance with thegenerally
accepted accounting principles of theCanadian Institute of
Chartered Accountants, by
(a) the council of the first nation if no trust isestablished to
hold its oil and gas moneys; or
(b) the trustees of the trust and the council ofthe first nation
if a trust is established.
49. Books and accounts shall be maintainedfor moneys that have
been paid to a first nationunder sections 30 and 31, and annual
financialstatements shall be prepared in respect of thosemoneys, in
accordance with the generallyaccepted accounting principles of the
CanadianInstitute of Chartered Accountants, by
(a) the council of the first nation if anaccount is established
to hold moneys sopaid; or
(b) the trustees of the trust and the council ofthe first nation
if a trust is established to holdthose moneys.
50. (1) Financial statements prepared undersection 48 or 49
shall be audited, in accordancewith the generally accepted auditing
standardsof the Canadian Institute of Chartered Accoun-tants, by an
auditor who is a member in good

48. La tenue des livres comptables relatifsaux recettes
pétrolières ou gazières et l’éta-blissement chaque année des états
financiersafférents selon les principes comptables géné-ralement
reconnus de l’Institut canadien descomptables agréés incombent
:
a) si aucune fiducie n’a été constituée, auconseil de la
première nation;
b) dans le cas contraire, aux fiduciaires et auconseil de la
première nation.
49. La tenue des livres comptables relatifsaux fonds versés aux
termes des articles 30 et 31et l’établissement chaque année des
étatsfinanciers afférents selon les principes compta-bles
généralement reconnus de l’Institut cana-dien des comptables agréés
incombent :
a) si un compte a été ouvert, au conseil de lapremière
nation;
b) si une fiducie a été constituée, auxfiduciaires et au conseil
de la première nation.
50. (1) Les états financiers sont vérifiés, enconformité avec
les normes de vérificationgénéralement reconnues de l’Institut

(2) Financial statements, as audited undersubsection (1), shall
be made available to firstnation members within 120 days after the
end ofthe fiscal year, and a copy shall be provided toany member on
payment of a fee not exceedingthe cost of providing the copy.
51. (1) Rights or interests under a contract,or other rights and
interests in relation to oil orgas in a managed area, may be
expropriated byHer Majesty in right of Canada for the use of
afederal department or agency in accordancewith the Expropriation
Act and with the consentof the Governor in Council.
(2) Compensation awarded to a first nationfor the expropriation
of a right or an interestunder subsection (1) may be in the form of
landof equal or greater value.
(3) For greater certainty, when a right or aninterest is
expropriated under subsection (1),any reduction in fees, rates,
rents or royalties,including royalties in kind, or any
otherrevenues, that would have been payable to thefirst nation in
respect of the right or interestshall be taken into account in
determining thecompensation payable to the first nation underthe
Expropriation Act.
52. (1) Offences for the contravention of afirst nation’s oil
and gas laws may be prosecutedby the first nation.
(2) A first nation may, in the prosecution ofoffences for the
contravention of its oil and gaslaws,
(a) retain its own prosecutors;
(b) enter into an agreement with a provincialgovernment for the
use of provincial prose-cutors; or
(c) enter into an agreement with the federalgovernment for the
use of agents engaged bythat government.

51. (1) L’expropriation de droits ou d’inté-rêts prévus par un
contrat ou d’autres droits ouintérêts liés au pétrole ou au gaz
dans un secteuraménagé peut, avec l’agrément du gouverneuren
conseil, être effectuée par Sa Majesté du chefdu Canada pour le
bénéfice d’un ministère ouorganisme public fédéral conformément à
la Loisur l’expropriation.
(2) L’indemnité à verser en cas d’expropria-tion de droits ou
d’intérêts peut consister enterres de valeur égale ou
supérieure.
(3) Il demeure entendu que la perte derevenus, notamment de
droits, de taux, deloyers, de redevances, y compris les
redevancesen nature, qui auraient pu être versés à lapremière
nation en vertu du droit ou de l’intérêtexproprié est prise en
compte dans le calcul del’indemnité à verser à la première nation
auxtermes de la Loi sur l’expropriation.
52. (1) La poursuite de
