The European Bank for Reconstruction and Development (the“EBRD”orthe“Bank”)hasmadeanequityinvestmentinLamdaDe-velopment S.A. (the “Company”)participating in theEUR650mil-lionsharecapitalincreasethattookplaceinDecember2019.FundsraisedwillsupportthefinancingofthefirstphaseoftheHellinikonUrbanRegenerationDevelopment(the“Project”orthe‘’HellinikonProject’’),whichisintendedtoregeneratetheformerHellinikonAir-portlocatedontheAthenscoastalfrontintoasustainableandinte-gratedresidential,touristandcommercialinfrastructure.ThisdocumentinhandistheStakeholderEngagementPlan(SEP)fortheProject,whichispartoftheDisclosurePackage.

StakeholderEngagementreferstoaprocessofsharinginformationandknowledge,seekingtounderstandandrespondtotheconcernsofothersandbuildingrelationshipsbasedoncollaboration.Stake-holderconsultationanddisclosurearekeyelementsofengagementandessentialfordeliveryofsuccessfulprojects.

TheoverallaimofthisSEPistoensurethatatimely,consistent,com-prehensive,coordinatedandculturallyappropriateapproachistak-en toconsultationandproject-related informationdisclosure. It isintendedtodemonstratethecommitmentofLamdaDevelopmenttoan‘internationalbestpractice’approachinlinewithnationalre-quirementsandEBRD’sEnvironmentalandSocialPolicy(ESP)(2014)PerformanceRequirements(PR)10.

The SEP defines the stakeholder engagement process includingstakeholder identificationandmapping,engagement, informationdisclosure,consultationmeetingsandpublicparticipation.

This SEP is a living document, which will be amended andupdated in the course of Project planning and implementation.

TheProjectsiteofHellinikon,theoldairportofAthens,islocated8kmsouthwestofthecentreofAthens.Itcoversanareaofapproxi-mately620hectaresandhasanapproximate3.5kmwaterfront,in-cludingamarina.TheProjectcomprisesthecombineddevelopmentoftherealestateassetsintheformerAthensairportofHellinikon,theformerOlympicSailingCentreandtheNationalAthleticYouthCentreinAgiosKosmas(Attica),which,asawhole,constitutetheso-calledMetropolitanHubofHellinikon-AgiosKosmas.

TheobjectiveoftheProject isthere-developmentoftheoldAth-ensairportsiteintoamixed-uselocationofnationalimportanceandinternationalvisibility,aswellasaninternationally-recogniseddes-tination,enhancing theattractivenessof thegreaterAthensarea,bothasaglobaltouristresortandasabusiness,leisure,healthandresearchanddevelopmenthub. Theconstructionofaworld-classMetropolitanPark coveringanareaof2,000,000 sq.m., aswell astheenhancementoftheCoastalFront,bothfullyaccessibletothepublic.

TheProjectconsistsofanintegratedurbandevelopmentmodelthatwillcombinethearea’snaturalbeautyanduniqueinherentcharac-teristicswithlandmarkbuildingsandstate-of-the-artinfrastructure.The ‘green’ and ‘smart’ design approach of the Project will offerworld-classservicesandamenitieswhileimprovethestandardofliv-ingoftheentireAtticaarea’sinhabitants.The investmentwill includeadiverserangeof residentialcommu-nities,hotels,shoppingcentres, familyentertainmentvenues,mu-

seumsandculturalvenues,healthandwellnesscentres,significantspaceforsportsandrecreation,amodernbusinessparkwithaned-ucationalandR&Dhubaswellasthetotalregenerationoftheexist-ingmarinaandtheentireCoastalFrontthatwill,alongwiththePark,willbethemajorattractionsofthesite.

TheProjectconstitutesthelargesturbanregenerationprojectinEu-rope,designedtoaddsignificantnewinvestmentsandusesintheareasof tourism, culture,entrepreneurship, innovationand in theenvironment.Thus,itisexpectedtohaveapositiveeffectnotonlyontheregionofAtticabutontheentirecountryaswell.The investment amounts to €8 billion and is expected to create10,000permanentjobsduringtheconstructionperiodand75,000jobs (IOBEstudy,July2016)at itsmaturity.Moreover, theProjectisexpectedtosubstantiallycontributetotherepositioningofAth-ensasoneofthemajorworld-classtouristdestinationsasitwillpro-videasignificantnumberofnewunitsaswellasthematictourismvenues,expectedtoattractatleastonemillionnewtourists,whilesignificantly reducing (summer) seasonality and at the same timeincreasing the average stay over and spending of tourists in Ath-ens.TheHellinikonProjectinvestmentisexpectedtocontributetothecountry’sGDPby2.4%untilthedevelopmentcompletiondate,whilecontributingatotalofover€14billion intaxestotheGreekStateoverthesametimeframe.

3.1 National and EU requirements

• Allofthislegislationispubliclyavailableandhasbeenthesub-jectofregularpressreporting.

3.2 EBRD Performance Requirements

ThePerformanceRequirements (PRs)of theEBRD provideause-fulstructuretodefinethemannerinwhichtheCompanyhasbeencomplyingwithitsinformationandpublicengagementobligations.TherelevantPRforStakeholderEngagementisPR10(InformationDisclosureandStakeholderEngagement).EBRD’s PR10 states that national laws and regulations regardingpublicinformationdisclosureandconsultationmustalwaysbecon-sideredwhendevelopingandimplementingaproject.Intheeventthatnationallawsareinsufficientortherearesignificantdiscrepan-ciesbetweennationalandPR10provisions,theprinciplesofPR10shouldthenbeconsidered.TheEBRDPR10requiresitsclientstoconductstakeholderengage-mentbasedonprovidinglocalcommunitiesthataredirectlyaffect-ed by the Project and other relevant stakeholderswith access totimely,relevant,understandableandaccessibleinformation,inacul-

turallyappropriatemannerandfreeofmanipulation,interference,coercionandintimidation.Thenatureandfrequencyofstakeholderengagementmustbeproportionatetothenatureandscaleoftheprojectanditspotentialadverseimpacts.

PR10 requires in particular:• The commencement of stakeholder engagement activities at

theearlieststageofprojectplanningandcontinuousthrough-outthelifeoftheProject;

• Asystematic identificationandmappingofstakeholderstobedocumentedintoaSEP;

• Adisclosureof theESIAanddisclosureofproject informationtoensuremeaningfulconsultationandtoallowstakeholderstoprovide inputsandraiseconcerns, taking intoaccountspecificneedsofgroupsthatmaybedifferentiallyordisproportionatelyaffectedbytheproject;and

• Theprovisionofaneffectiveprocedureormechanismthroughwhichpeoplecanmakecommentsorraisegrievances.

TheEBRDGuidanceNoteonGrievanceManagementisconsidereda benchmark for goodpracticewith regard to defining grievancemechanism and managing grievances. The Guidance Note advo-catesthatmanaginggrievancesisessentialforarobuststakeholderengagementstrategyand,implicitly,forasuccessfulprojectimple-mentation.TheGuidanceNoteoutlineshowthegrievancesprocessshouldbesetup,withhumanresourcesallocatedtoit,aswellasar-rangementsmadebytheprojectdeveloperaroundmaintainingcon-fidentialityandkeepingtimelinesdefinedforresolvinggrievances.

Stakeholderengagementconstitutesthebasisforbuildingupconstructiveandstrongrela-tionships,whichareessentialforasuccessfulproject’sriskmanagement.GoodstakeholderengagementthatlaststhroughoutthelifeofaprojectwillenableLamdaDevelopmenttosolveproblemsfasterandatlesscost.Thekeyprinciplesaretobeopenandtransparentwithstakeholders,andtobewillingtoacceptresponsibilitytoaccountforimpactsassociatedwiththeProjectactivities.

TheobjectiveoftheStakeholderEngagementprocessisto:

• Identifykeygroupsaffectedbyorwithan interest intheHell-inikonproject;

• understandtheirinterestsinandconcernswiththeProject;• provideanoutlineofplannedStakeholderEngagementforthe

Project;• buildandmaintainaconstructiverelationshipwithStakeholders,

inparticularthedirectlyaffectedcommunities;

• providemeansforadequateengagementandensurethatmean-ingfulenvironmentalandsocial informationisdisclosedtotheProject’sstakeholders;and

• definetheroles,responsibilities,andresourcesnecessarytoim-plementtheSEP, includingtheprocedurestomonitorandfol-lowuponstakeholderfeedbackandgrievances.

A stakeholder is defined as anyindividual or group, who ispotentially affected by the Project (affected parties) or is interestedin the Project and its impacts(interested parties).

Local population • Residents located near the project affected area;

• Residents ofcommunities located near roads used for transporting materials during construction.

• Residents of the Elliniko-Argyroupolis, Alimos and Glyfada municipalities;

• Local businesses & other businesses with activity in the area around the Project.

• Lamda Development’s website and the Company’s information desk. Any request is forwarded to the relevant departments to answer. The e-mail or phone number of the person whocontacted the company is archived according to the statement of consent.

• Possible nuisance during construction phase;

• Benefits from infrastructure development (road and tram network, pedestrian and cycle routes, etc);

• Quality of life (metropolitan park, numerous playgrounds, coastal front) and economic benefits during and post construction.

MunicipalAuthorities

• The Project spans three municipali-ties: Elliniko-Argy-roupolis, Alimos and Glyfada.

• Municipality of Elliniko-Argyroupolis

• Municipality of Alimos;

• Municipality of Glyfada;

• Chief Corporate Affairs Officer, CorporateAffairs.

• Provide valuable local support and contribution to ensure that the project brings optimum value to local residents

• If their concerns are not taken into ac-count, they may proceed to actions that may put the development at risk

• Will often be the first point of contact for proposals and complaints from local residents, who will expect the municipal authorities to pursue their complaints/proposals.

6.1 Stakeholder Engagement Activities to Date

The Project has been subject to a local Strategic EnvironmentalImpactStudy(SEIS)forthePD(PresidentialDegree)andtoanEn-vironmental Impact Study (EIS) for the JointMinisterial Decisions(JMDs)withassociatedpublicconsultationandpublicdisclosureinaccordancewith local/national legal and permitting requirementsreportedly,stakeholdershavebeenengaged,inaccordancewiththenational environmental legislation. The public consultation of theStrategicEnvironmentalImpactStudystartedbythepublicationoftherelevantannouncementinsixnewspaperson20July2017and21July2017.Associationsand individuals tookpart in theconsul-tationandexpressedtheirobjectionstoanumberofissuesrelatedtotheIntegratedDevelopmentPlananditsSEIS.Thepublicconsul-tationendedwhentheEnvironmentalLicensingDirectorateoftheMinistryofEnvironmentissueditspositiverecommendationon21November2017(updatedon20December2017)havingtakenintoconsiderationalltheopinionsofthebodiesandthepublicevenaf-tertheexpirationofthe20-daydeadlineforsubmissionofopinionssetoutinArticle2par.4ofLaw4062/2012.

After the preparation of the EIA, various municipal consultationevents have taken place. Comments frommunicipalities, affectedresidents and journalists have been received during these eventsaswellasevents(press,etc)organisedbythecompany.Inaddition,Lamda Development is actively implementing a CSR program forwhichanexternalconsultanthasbeenhired.TheSEIShasbeenprepared,consulteduponandsubsequentlydis-closed inaccordancewithGreek legislation.Furthermore,thefirst

6.2 Engagement Plan

TheProjectwillensurethatconsultationwithstakeholderswillbeundertakenunder an inclusive approach.All affectedgroups shallberepresentedasappropriate,toensurethatparticularneedsarehighlightedandgivensufficientweightandinclusion.Stakeholderswill be informed about decisions and changes in project planningthat affect themalongwith reasons and considerationsonwhichthedecisionisbased,becauseoftheengagementprocess.Consul-tationshallbefreeofexternalmanipulation,interference,coercionorintimidation.Allengagementwillbedocumentedadequately.

National authorities Ministry of Culture: The Ministry of Culture’s terms are described in relevant PD, JMDs, SPA and general legis-lation. Both the Central Archaeological Council (“KAS”) and the Central Committee for modern monuments have issued opinions which were taken into account in the above terms, to be followed during construction and operation. A Memorandum of understanding as described in the PD, to clarify further details of cooperation between the Ministry of Culture and HELLINIKON SA is the next step to be finalized within 2020.

All construction actions will be operated with respect to the environment, culture and archaeological findings, according to a very strict procedure that is described to the two JMDs, which will be confirmed by [permanent on-site experts appointed by the Ministry].

Prior the beginning of anytechnical work at the Hellinikon Site, archaeological research will be carried out and measures will be taken to protect and preserve the monuments, wherenecessary, in accordance with the terms of the memorandum that will be concluded between the Company and the archaeological authorities according to par. 12of article 7 of PD 28.2.2018(Government Gazette AAP 35).

7.1 Principles

Agrievancemaytaketheformofspecificcomplaintaboutimpacts,damageorharmcausedbytheProject,concernsaboutaccesstotheprojectstakeholderengagementprocessorabouthowcommentshavebeenaddressed,andconcernsaboutProjectactivitiesduringconstructionoroperation,orperceivedincidentsorimpacts.AGrievanceMechanismisanestablishedprocesstoreceivestake-holder concerns and grievances and to facilitate their resolutionthroughasetprocedure.Dependingonthescaleofpotentialrisksandadverseimpactsofaproject,thegrievancemechanismmaybeadjusted.

TheProjectperformancewillbemonitoredandperiodicreportswillbeprovidedtoEBRD.LamdaDevelopmentwillhavetheresponsibil-itytofacilitateanymonitoringvisitorauditrequestedbyEBRD.An-nualmonitoringreportswillbemadeavailabletoaffectedcommu-nities concerningongoing risks, impacts andmitigationmeasures.ReportingwillbescheduledaccordingtotheESMP.

Theeffectivenessofengagementactivitieswillbeevaluatedagainstthegoalsandobjectivessetout intheSEP.Theevaluationwillbeperformed independentlybasedonmeetingminutes, stakeholderengagementlogsandthegrievancelog.Thisevaluationwillexam-inetheextenttowhichactivitieswereimplementedinaccordancewith theSEP,and theextent towhich theyachieved theaimsde-finedhere.

In themonitoringandevaluationprocess for stakeholderengage-ment,alltheconsultationsundertaken,alltheissuesraised,andtheactionstakenwillberecorded.Also,thisprocessimpliesthedescrip-tionofthelessonslearnedandanychangestotheconsultationpro-cess.Allqueriesinrelationtotheprojectwillbefiledinacommentsregistry, analysed, and reported tomanagement team on a two-monthsbasisduringprojectdevelopmentandimplementation.Theresultsandfeedbackfrominformationdisclosureandpublicconsul-tationwillbedocumentedandreportedasappropriate.Summaryreportswillcontaindetailsaboutsuggestionsorconcernsraisedbystakeholdersandhowtheircommentshavebeentakenintoaccount.

Engagementlevelofstakeholderswillbemonitoredbyasetofindi-cators,whichmayincludethefollowingitems:

• Numberofcommunications;• Typeofcommunications;• Frequencyofcommunications;• Number of valid complaints (and number rejected as unclear,

Therefore,LamdaDevelopmentwillkeepaclearrecordofalltheseindicators.

LamdaDevelopmentwillberesponsibletoensureadequatestake-holderengagementandgrievancemanagementthroughouttheen-tireProject.Inlinewiththis,LamdaDevelopmentwillcoordinateallaspects relatedtothe implementationof theSEPaccordingtoallrelevantnationalandinternationalstandards.

CleardefinitionandcommunicationofrolesandresponsibilitiesarekeyforasuccessfulimplementationoftheSEP.LamdaDevelopmentwillassignanemployeetomanageandfollowupthegrievancesre-ceivedfortheProject.Trainingwillbeprovidedifrequired.KeyrolesandresponsibilitiesforLamdaDevelopmenttoassignare:

ItdependsonLamda’smanagementtodecidehowtheseactivitieswillbeallocatede.g.sameemployee,dedicatedexperts,groupofemployees,Lamda’smanagementetc.

Apartfromcontactpointandtheinternalmechanism,includingallCompany’sdepartments (development, legal, treasury and invest-ment relations, investment department, construction’s manage-ment, financial and administrative and communications and mar-ketingdepartments)allrequestsareforwardedtotheappropriatedepartment to answer.
