ORDINARY BUSINESS1. To receive the Audited Accounts for the year ended 31 January 2006 and the Reports of the Directors and Auditors thereon.

2. To approve the declaration of a first and final tax exempt dividend of 5.0% in respect of the year ended 31 January 2006.

3. To re-elect the following Directors:
i) retiring pursuant to Article 107 of the Company’s Articles of Association

ii) retiring pursuant to Section 129(1) and (6) of the Companies Act, 1965

“That the directors’ fees of RM213,000 to be paid by the Company for the financial year ended 31 January 2006 be and are hereby approved.”

6. Authority for Directors to Allot and Issue Shares under Section 132D of the Companies Act, 1965
“That pursuant to Section 132D of the Companies Act, 1965, and subject to the Listing Requirements of Bursa Malaysia, the directors are
empowered to issue shares in the Company at any time and upon such terms and conditions and for such purposes as the directors may, in
their absolute discretion deemed fit, provided that the aggregate number of shares issued pursuant to this resolution does not exceed 10% of
the issued and paid-up capital of the Company as at the date of such issuance and that the directors be and are also empowered to obtain all
necessary approvals from the relevant authorities for the issuance and the listings of and quotation for the additional shares so issued on the
Bursa Malaysia and that such authority shall continue to be in force until the conclusion of the next Annual General Meeting of the Company ”

NOTICE OF ANNUALGENERAL MEETINGNOTICE IS HEREBY GIVEN that the Thirtieth (30th) Annual General
Meeting of Sapura Industrial Berhad will be held at Sapura@Mines,
No. 7, Jalan Tasik, The Mines Resort City, 43300 Seri Kembangan,
Selangor Darul Ehsan on Wednesday, 19 July 2006 at 11.00 a.m. for
the following purposes:
Notes:
1. A member entitled to attend and vote at the above
Meeting is entitled to appoint a proxy to attend and
vote in his stead. A proxy need not be a member of
the Company.
2. The instrument appointing a proxy shall be in
writing under the hand of the appointor or his
attorney duly appointed under a Power of Attorney
or if such appointor is a corporation, either under
its common seal or under the hand of an attorney
duly appointed under a Power of Attorney.
3. The instrument appointing a proxy must be
deposited at the Registered Office of the Company,
Lot 2 & 4, Jalan P/11, Seksyen 10, Kawasan
Perindustrian Bangi, 43650 Bandar Baru Bangi,
Selangor Darul Ehsan, not less than 48 hours
before the time set for holding the Meeting or any
adjournment thereof.
4. Explanatory Notes on Special Business
4.1 Resolution on the Directors’ fees
The proposed Resolution 7 is in accordance with
Article 91 of the Company's Memorandum &
Articles of Association, and if passed, will authorise
the payment of directors’ fees to directors of the
Company for their services as directors during the
financial year ended 31 January 2006.
4.2 Resolution pursuant to Section 132D of the
Companies Act, 1965
The proposed Resolution 8, if passed, will give the
directors of the Company, from the date of the
above General Meeting, authority to issue and allot
Ordinary Shares from the unissued capital of the
Company being for such purposes as the directors
consider would be in the interest of the Company.
This authority will, unless revoked or varied by the
Company in General Meeting, expire at the next
Annual General Meeting.
5. The Statement accompanying this Notice of Annual
General Meeting is contained on page 6 to 9 of the
Annual Report.

FURTHER NOTICE IS HEREBY GIVEN that a Depositor shall be
eligible to attend this meeting only in respect of:
a) Shares transferred into the Depositor’s Securities Account before
4.00 p.m. on 12 July 2006 in respect of ordinary transfer;
b) Shares bought on Bursa Malaysia Securities Berhad on a cum
entitlement basis according to the rules of the Bursa Malaysia
Securities Berhad.
NOTICE OF BOOK CLOSURE FOR PAYMENT OF DIVIDENDS
NOTICE IS ALSO GIVEN that the Register of Members will be closed
from 2 August 2006 to 4 August 2006 (both dates inclusive) to
determine shareholders’ entitlement to the dividend payment. The
dividend, if approved, will be paid on 28 August 2006 to shareholders
whose names appear in the Register of Members and Record of
Depositors on 1 August 2006.
FURTHER NOTICE IS HEREBY GIVEN that a Depositor shall qualify
for dividend entitlement only in respect of:
a) Shares transferred into the Depositor’s Securities Account before
4.00 p.m. on 1 August 2006 in respect of ordinary transfer;

mengikut budi bicara mutlak para pengarah, dengan syarat jumlah agregat saham yang diterbitkan mengikut resolusi ini tidak melebihi 10%
daripada terbitan saham dan modal berbayar Syarikat pada tarikh terbitan dan para pengarah dengan ini juga diberi kuasa untuk
mendapatkan semua kelulusan yang perlu daripada pihak berkuasa yang berkenaan bagi menerbit, menyenarai dan menyebutharga bagi
saham tambahan yang diterbitkan di Bursa Malaysia dan kuasa tersebut akan berterusan berkuatkuasa sehingga tamat Mesyuarat Agung

Chairman holding a Non-Executive and Non-Independent position since 1997. Tan Sri was appointed to Sapura Industrial Berhad Board of Directors on 12 March
1974. Tan Sri is also the Chairman of the Board Nomination and Remuneration Committee of Sapura Industrial Berhad. Tan Sri is the Chairman and founder of
Sapura Holdings Sdn. Bhd., Chairman of Sapura Technology Berhad, Sapura Resources Berhad and Kolej Universiti Teknologi Tun Hussein Onn. Tan Sri sits on the
Board of Pembangunan MasMelayu Berhad. Tan Sri started his career with Jabatan Telekom Malaysia in 1959 and served in various posts, the last being Telekom
Controller of Perak. Formerly, Tan Sri was the Executive Director of United Motors Works Berhad (“UMW”), Chairman of BIMB Holdings Berhad and Bank Islam
Malaysia Berhad and Director of Universiti Teknologi Malaysia.

Onn. Tan Sri juga salah seorang Pengarah Pembangunan MasMelayu Berhad. Tan Sri memulakan kerjayanya di Jabatan Telekom Malaysia pada 1959 dan

Datuk was appointed to Sapura Industrial Berhad Board of Directors on 2 December 1993. Datuk held a number of senior positions within the Sapura Group
of Companies between 1985 and 1997. Datuk has been at the helm of the Sapura Group as President and Chief Executive Officer since 1997. Datuk is also the
Managing Director of Sapura Technology Berhad and Sapura Resources Berhad, Executive Vice Chairman of SapuraCrest Petroleum Berhad, Chairman of
MIMOS Berhad and a member of the Advisory Council of International Centre for Leadership in Finance (ICLIF) as well as the Board of Trustees for the Perdana
Leadership Foundation. Datuk is also a Director of Universiti Malaysia Sarawak (UNIMAS), Malaysian External Trade Development Corporation (MATRADE),
Multimedia Development Corporation and Sapura Holdings Sdn. Bhd. With effect from 29 November 2002, Datuk was appointed as the Deputy Chairman of
Sapura Industrial Berhad.
Datuk telah dilantik sebagai ahli Lembaga Pengarah Sapura Industrial Berhad pada 2 Disember 1993. Datuk telah memegang beberapa jawatan kanan di
dalam Kumpulan Syarikat Sapura di antara tahun 1985 hingga 1997. Datuk telah menerajui Kumpulan Sapura sebagai Presiden & Ketua Pegawai Eksekutif
sejak 1997. Datuk juga merupakan Pengarah Urusan Sapura Technology Berhad dan Sapura Resources Berhad, Naib Pengerusi Eksekutif SapuraCrest

Independent and Non-Executive Director of Sapura Industrial Berhad since 9 January 1997. Dato’ is also a member of the Audit Committee, the Board
Nomination and Remuneration Committee and the Employee Share Option Scheme (ESOS) Committee of Sapura Industrial Berhad. Formerly, Dato’ was the
Dean of the Medical Faculty and Head of the Department of Radiology, Universiti Kebangsaan Malaysia. Currently, Dato’ is a visiting Radiologist at PUSRAWI.
Pengarah Bebas dan Bukan Eksekutif Sapura Industrial Berhad sejak 9 Januari 1997. Dato’ juga merupakan ahli Jawatankuasa Audit, Jawatankuasa Lembaga
Penamaan dan Imbuhan dan Jawatankuasa Skim Opsyen Saham Pekerja (ESOS) Sapura Industrial Berhad. Terdahulu, Dato’ merupakan bekas Dekan Fakulti
Perubatan dan Ketua di Jabatan Radiologi, Universiti Kebangsaan Malaysia. Kini, Dato’ adalah Pelawat Radiologi di PUSRAWI.
Non-Independent and Non-Executive Director since 20 December 1996. Dato’ is a member of the Audit Committee of Sapura Industrial Berhad. Dato’ is also

of AmSecurities Sdn. Bhd. He also sits on the Boards of various companies including as Executive Vice Chairman of AmCorpGroup Berhad, Director of
Kumpulan Perangsang Selangor Berhad, Paramount Corporation Berhad, Metrod (M) Berhad, Global Carriers Berhad, Kesas Holdings Berhad and Syarikat
Permodalan & Perusahaan Selangor Berhad. Prior to his joining AMDB Berhad in 1982, Dato’ was a senior partner of the Public Accounting Firm, Azman,
Wong, Salleh & Co. Dato’ also has served Malayan Railways from 1966 to 1971 and was its Chief Accountant for two years. Dato’ is also a Fellow of the

Timbalan Pengerusi AMDB Berhad, AMMB Holdings Berhad, AmProperty Trust Management Berhad dan AmInternational (L) Limited dan Pengerusi
AmSecurities Sdn. Bhd. Dato’ juga adalah ahli Lembaga Pengarah beberapa syarikat lain termasuk sebagai Naib Pengerusi Eksekutif AmCorpGroup Berhad,
Pengarah Kumpulan Perangsang Selangor Berhad, Paramount Corporation Berhad, Metrod (M) Berhad, Global Carriers Berhad, Kesas Holdings Berhad dan

Independent and Non-Executive Director since 2 January 2002. He is also the Chairman of the Audit Committee and a member of the Board Nomination and
Remuneration Committee of Sapura Industrial Berhad. Dato’ Mazlin is currently the Managing Director of Seca Dyme Sdn. Bhd., a company which he owns. He
sits on the Board and is a member of the Audit Committee of Sapura Technology Berhad and a Senior Independent Director and Chairman of the Audit
Committee of MTD Infraperdana Berhad. Prior to his current position, he managed five (5) companies for the Sime Darby Group.
Pengarah Bebas dan Bukan Eksekutif sejak 2 Januari 2002. Beliau juga merupakan Pengerusi Jawatankuasa Audit dan ahli jawatankuasa Lembaga Penamaan
dan Imbuhan Sapura Industrial Berhad. Kini, beliau merupakan Pengarah Urusan Seca Dyme Sdn. Bhd., syarikat miliknya. Beliau juga pengarah dan ahli
Jawatankuasa Audit bagi Sapura Technology Berhad dan Pengarah Kanan Bebas serta Pengerusi Jawatankuasa Audit MTD Infraperdana Berhad. Sebelum
menjawat jawatan sekarang, beliau telah mengurus lima (5) buah syarikat bagi Kumpulan Sime Darby.
SHAH HAKIM BIN ZAINCompany Director/Pengarah SyarikatAge/Umur : 41B.Sc.(Acc.), AICPA
Independent and Non-Executive Director since 22 February 1999 and was a member of the Audit Committee until 26 August 2005. He started his career as an
auditor with Ernst & Young and was subsequently promoted as Consulting Manager, responsible for servicing large local corporations. He went on to be appointed
as Executive Director of a regional packaging manufacturer in 1992, with direct operational responsibility. Shah Hakim is currently the Chief Executive Officer
and Executive Director of Scomi Group Berhad, Scomi Marine Berhad and Scomi Engineering Berhad.
Pengarah Bebas dan Bukan Eksekutif sejak 22 Februari 1999 dan ahli Jawatankuasa Audit sehingga 26 Ogos 2005. Beliau telah memulakan kerjayanya sebagai
juruaudit di Ernst & Young dan telah dilantik sebagai Pengurus Perunding yang bertanggungjawab untuk memberi perkhidmatan kepada syarikat-syarikat
terkemuka tempatan. Seterusnya beliau dilantik sebagai Pengarah Eksekutif sebuah syarikat pengeluar pembungkusan serantau pada tahun 1992 dan
bertanggungjawab terus terhadap operasi syarikat tersebut. Shah Hakim kini adalah Ketua Pegawai Eksekutif dan Pengarah Eksekutif syarikat bagi Scomi

DEAR SHAREHOLDERS,
For the financial year ended 31 January 2006, Sapura Industrial Berhad
(“Sapura Industrial” or “the Group”) focussed on strengthening our core
automotive components manufacturing business. We undertook
initiatives to fortify our products and services offering, grow our
customer base and rationalise our non-core operations. Today, we have
emerged as a stronger group ready to pursue the many opportunities in
the market segments we play in.
On behalf of the Board of Directors, I am pleased to present the Annual
Report and Audited Financial Statements for Sapura Industrial Berhad for
the financial year ended 31 January 2006.

Pada tahun kewangan berakhir 31 Januari 2006, Sapura Industrial Berhad
(“Sapura Industrial” atau “Kumpulan”) memberi tumpuan untuk mengukuhkan
perniagaan utama kami dalam pengilangan komponen automotif. Kami
mengambil inisiatif untuk mengukuhkan produk dan perkhidmatan kami,
membesarkan rangkaian pelanggan dan merasionalkan operasi bukan teras.
Hari ini, kami telah menjadi satu kumpulan yang kukuh bersedia untuk
mengejar segala peluang yang ada di dalam segmen pasaran yang kami terokai.
Bagi pihak Lembaga Pengarah, saya sangat berbesar hati untuk
membentangkan Laporan Tahunan dan Penyata Kewangan Sapura
Industrial Berhad yang telah diaudit bagi tahun kewangan berakhir

OPERATING ENVIRONMENTThe year 2005 saw the Malaysian economy posting 5.3% growth on the back
of supportive macroeconomic policies, strong global growth and favourable
financial conditions. The local automotive industry grew by 13.0% in 2005
bolstered by positive consumer sentiments, attractive financing schemes and
the introduction of new models and aggressive sales campaigns.
The Malaysian Automotive Association (MAA) reported that the total vehicle
market surpassed the half million mark to hit a record of 551,042 units with
passenger vehicles comprising 400,835 units or 73% of the total industry
volume, down 5% from 2004’s figure. The national car segment, comprising
the Proton, Perodua and Inokom marques, declined by 0.6% from 2004 to
76.3% of total passenger car sales due to intense competition from the non-
national marques. Over the course of 2005, the automotive industry continued
to be beleaguered by challenges in the form of higher costs and forex for raw
materials, among other things.
FINANCIAL PERFORMANCEAgainst this backdrop, the Group’s core automotive business continued to be
profitable. Revenue for the Group increased by 21% to RM173.41 million for
the period under review against RM143.87 million in the preceding financial
year. Profit before taxation (“PBT”) stood at RM10.43 million in the period
under review against RM15.18 million in the preceding financial year. The
previous year’s PBT of RM15.18 million included operating income of RM10.15
million from the gain on the disposal of an investment property.
DIVIDEND PAYMENTSThe Board of Directors has recommended a final tax exempt dividend of 5 sen
per share for the financial year ended 31 January 2006, subject to
shareholders’ approval at the forthcoming Annual General Meeting. This will
translate into a dividend yield of approximately 7% for the period under
review upon shareholders’ approval.
CORPORATE DEVELOPMENTSINCREASE IN PAID-UP CAPITAL
In 2005, we raised our paid up capital from approximately RM64 million to
RM72 million to partly fund the acquisition of the butt-weld business of
subsidiary Sapura-Schulz Hydroforming Sdn. Bhd. The acquisition was
completed on 23 June 2005. We are now in a position to substantially expand
our export-based business by supplying stainless steel butt-weld fittings for
offshore oil rigs in the oil and gas industry, as well as for piping works for

RESPONSIBILITYThe Board of Directors ("the Board") of Sapura Industrial Berhad
acknowledges responsibility for maintaining a sound system of internal
control for the Group and for reviewing its adequacy and integrity so as
to safeguard shareholders’ investment and the assets of the Group whilst
the management’s role is to implement Board policies on risk and control.
However, due to inherent limitation, the Board recognises that the system
of internal control is designed to manage rather than eliminate the risk of
failure to achieve business objectives and can only provide reasonable
and not absolute assurance against material misstatement or loss.
TANGGUNGJAWABLembaga Pengarah Sapura Industrial Berhad mempunyai tanggungjawab
dalam mengekalkan keberkesanan sistem kawalan dalaman Kumpulan
dan mengkaji semula kesempurnaan dan keutuhannya bagi menjamin
keselamatan pelaburan pemegang saham dan aset Kumpulan manakala
peranan pihak pengurusan pula ialah untuk melaksanakan polisi risiko
dan kawalan yang digariskan oleh Lembaga Pengarah.
Walau bagaimanapun, disebabkan batasan luar kawalan, Lembaga
Pengarah mengakui bahawa sistem kawalan dalaman direka untuk
mengurus dan bukannya untuk menghapus risiko kegagalan dalam
mencapai objektif perniagaan dan hanya dapat memberi jaminan yang
munasabah dan bukannya jaminan penuh terhadap sebarang penyataan
salah atau kerugian yang ketara.

KEY PROCESSIn pursuing its responsibility, the Board has an ongoing process for
identifying, evaluating and managing the significant risks faced by the
Group, which has been in place for the financial year under review and
up to the date of approval of the Annual Report and Financial Statements.
This process is regularly reviewed by the Board through its Audit
Committee and is in accordance with the guidelines on Statement on
Internal Controls: Guidance for Directors of Public Listed Companies.
The Audit Committee assists the Board in reviewing the adequacy and
integrity of the system of internal controls of the Group. The Audit
Committee is assisted by the Internal Audit Department which carries out
regular and systematic review of the systems of internal control of the
Group and also the extent of compliance with the Group’s operating
policies and procedures.
The Internal Audit Department carries out internal control reviews on the
financial and operating activities of the Group based on an annual plan
that was presented and approved by the Audit Committee.
An Enterprise-Wide Risk Management framework through the application
of the Corporate Risk Scorecard (CRS) has been established for Sapura
Industrial Berhad. The risk assessment and findings were identified
through a combination of interviews and a facilitated workshop. The
process used in the interviews and workshop provided a structured
approach in identifying, prioritising and managing the risks. The systems
adopted are reviewed on a routine basis by subsidiaries under the
Group’s activities.
SYSTEM OF INTERNAL CONTROLSThe key elements of the framework of the internal control system of the
Group are as follows:
• All major decisions require the full approval of the Board and are
only made after appropriate in-depth analysis. The Board meets
regularly on a quarterly basis, and receives comprehensive reports
covering all Divisions and Departments within the Group.
• All Departments and Divisions of the Group have clearly documented
Manuals incorporating control procedures and scope of
responsibilities and authorities. The Manuals are regularly updated
on practical needs and industry best practice.
• The Internal Audit Department independently reviews the
control processes implemented by management and reports
its findings and recommendations to the Audit Committee for
presentation to the Board.
• The Audit Committee, on behalf of the Board, regularly reviews and
holds discussion with management on the actions taken on internal
control issues identified in reports prepared by the Internal Audit
Department, the External Auditors and Management. During the
current financial year to 31 January 2006, six (6) of such reports were
received and reviewed by the Audit Committee.
• An Annual Budget and Business Plan is prepared and adopted by the
Board to facilitate the Group in its business and financial
performance. The Board reviews and monitors the achievements of
the Group’s performance covering each business unit’s performance
on a quarterly basis.
• Weekly Senior Management Meetings attended by Senior General
Managers chaired by the Managing Director are conducted to
deliberate on business, financial and operating issues which
include reviewing and approving all key business strategic
measures and policies.
• A monthly Coordination Committee Meeting attended by all Unit
Business Heads, Senior General Managers and Internal Audit and
chaired by the Managing Director to review operational
performance, progress of tasks undertaken and progress status of any
internal control measures recommended to the business unit during
the course of internal audit.
• At each operating company level, a monthly company Management
Meeting, chaired by the Senior General Manager and attended by all
Department Heads to deliberate on operational issues and
performance of the company where actual expenses against budget
are discussed and reviewed in the meeting.

Jawatankuasa Audit membantu Lembaga Pengarah menyemakkesempurnaan dan keutuhan sistem kawalan dalaman Kumpulan.Jawatankuasa Audit pula dibantu oleh Jabatan Audit Dalaman yangmenjalankan pemeriksaan secara berkala dan sistematik ke atassistem kawalan dalaman Kumpulan serta tahap kepatuhan terhadappolisi operasi dan prosedur Kumpulan.
Jabatan Audit Dalaman melaksanakan semakan kawalan dalaman keatas kewangan dan aktiviti operasi Kumpulan berdasarkanperancangan tahunan yang telah dibentang dan diluluskan olehJawatankuasa Audit.
Rangka Kerja Pengurusan Risiko Organisasi secara menyeluruhmelalui penggunaan Carta Risiko Korporat telah ditubuhkan untukSapura Industrial Berhad. Risiko ini dinilai dan dikenalpasti melaluikombinasi temuramah dan bengkel kerja yang telah diadakan.Langkah-langkah yang telah digunakan dalam temuramah danbengkel kerja ini telah menghasilkan satu kaedah yang berstrukturdalam proses mengenalpasti, mengutamakan dan menguruskanrisiko. Sistem yang digunapakai dinilai secara rutin oleh semua anaksyarikat di bawah aktiviti Kumpulan.
SISTEM KAWALAN DALAMANElemen utama rangka kerja sistem kawalan dalaman Kumpulanadalah seperti berikut:• Semua keputusan penting memerlukan kelulusan penuh dari
Lembaga Pengarah setelah analisa yang teliti dan mendalamdibuat. Lembaga Pengarah sentiasa mengadakan perjumpaanpada setiap suku tahun, dan menerima laporan yang lengkapmerangkumi semua Bahagian dan Jabatan di dalam Kumpulan.
• Semua Jabatan dan Bahagian di dalam Kumpulan telahmendokumentasi Buku Panduan dengan memasukkan prosedurkawalan dan skop tanggungjawab serta bidang kuasa. BukuPanduan ini sentiasa dikemaskini mengikut keperluan praktikaldan amalan terbaik industri.
• Jabatan Audit Dalaman secara bebas menyemak proses kawalanyang dilaksanakan oleh pihak pengurusan dan melaporkanpenemuan dan cadangan kepada Jawatankuasa Audit untukdibentangkan kepada Lembaga Pengarah.
• Bagi pihak Lembaga Pengarah, Jawatankuasa Audit sentiasamenyemak dan mengadakan perbincangan dengan pihakpengurusan tentang langkah yang diambil ke atas isu kawalandalaman yang dikenalpasti dalam laporan yang disediakan olehJabatan Audit Dalaman, Juruaudit Luar dan pihak Pengurusan.Dalam tahun kewangan semasa hingga 31 Januari 2006 enam(6) laporan telah diterima dan disemak oleh Jawatankuasa Audit.
• Belanjawan Tahunan dan Pelan Perniagaan disediakan danditerimapakai oleh Lembaga Pengarah untuk membantuKumpulan dalam urusan perniagaan dan prestasi kewangan.Lembaga Pengarah menyemak dan memantau pencapaianprestasi Kumpulan meliputi setiap prestasi unit perniagaan padasetiap suku tahun.
• Mesyuarat Pengurusan Kanan Mingguan dihadiri oleh PengurusBesar Kanan dan dipengerusikan oleh Pengarah Urusan untukmembincangkan isu-isu perniagaan, kewangan dan operasitermasuk menyemak dan meluluskan semua langkah-langkahstrategik dan polisi perniagaan yang utama.
• Mesyuarat Jawatankuasa Koordinasi Bulanan dihadiri oleh semuaketua Unit Perniagaan, Pengurus Besar Kanan dan Audit Dalamandan dipengerusikan oleh Pengarah Urusan untuk menyemakprestasi operasi, kemajuan kerja dan status langkah-langkahkawalan dalaman yang disyorkan kepada unit perniagaansemasa urusan audit dalaman.
• Setiap syarikat yang beroperasi mengadakan MesyuaratPengurusan bulanan syarikat yang dipengerusi oleh PengurusBesar Kanan dan dihadiri oleh semua ketua jabatan untukmenerangkan tentang isu operasi dan prestasi syarikat denganmembandingkan perbelanjaan sebenar dengan bajet dibincangdan disemak di dalam mesyuarat tersebut.

applied in Sapura Industrial Berhad.

The following statement sets out how the Company has applied the
principles of the Code and the explanations for the exceptions.
A. DIRECTORS
THE BOARD
The Board is responsible for the corporate governance practices
of the Group. It guides and monitors the affairs of the Group on
behalf of the shareholders and retains full and effective control
over the Group. The key responsibilities include the primary
responsibilities prescribed under the Code. These cover a review
of the strategic direction for the Group, overseeing the business
operations of the Group, and evaluating whether these are
being properly and effectively managed.
BOARD BALANCE
The Group is led and controlled by an effective Board which
currently consists of eight (8) members including three (3)
independent non-executive directors, three (3) non-independent
non-executive directors and two (2) executive directors. A brief
profile of the directors is presented in the Annual Report. The
directors with their different background provides an effective
Board with a mix of industry-specific knowledge and broad
business and commercial experience.
The Board is of the view that its composition fairly reflects the
composition of its shareholders. There is a balance of
executive, non-executive and independent non-executive
directors. The Board is satisfied that the current Board
composition fairly reflects the investment of minority
shareholders in the Company.
The Board in respect of the ratio of independent directors
complies with the Bursa Malaysia Securities Berhad (BMSB) Listing
Requirements that one third of its Board consists of independent
directors. The independent directors are professionals of credibility
and repute who demonstrate independence of judgement and
objectivity in the Board’s deliberations.

Lembaga Pengarah bertanggungjawab untuk memastikan Prinsip dan Amalan Terbaik di
dalam Tadbir Urus Korporat (Kod) seperti yang disyorkan di dalam Kod Tadbir Urus Korporat
Malaysia dilaksanakan di Sapura Industrial Berhad.
Penyataan berikut menyatakan bagaimana Syarikat menerimapakai
prinsip-prinsip kod dan penerangan bagi yang terkecuali.
A. PENGARAH
LEMBAGA PENGARAH
Lembaga Pengarah bertanggungjawab ke atas amalan-amalan
tadbir urus korporat Kumpulan. Ia mengawal dan memantau
urusan Kumpulan bagi pihak pemegang saham dan
mengekalkan sepenuh kawalan terhadap Kumpulan.
Tanggungjawab utama termasuk tanggungjawab asas yang
telah dinyatakan di dalam Kod. Ini merangkumi penelitian
semula strategi arah tuju Kumpulan yang strategik, menyelia
operasi perniagaan Kumpulan, dan menilai samada ia telah
diuruskan secara teratur dan berkesan.
KESEIMBANGAN LEMBAGA PENGARAH
Kumpulan diterajui dan dikawal oleh satu Lembaga Pengarah
yang efektif yang kini mempunyai lapan (8) ahli yang terdiri
daripada tiga (3) pengarah bebas bukan eksekutif, tiga (3)
pengarah bukan bebas bukan eksekutif dan dua (2) pengarah
eksekutif. Maklumat ringkas mengenai setiap pengarah
dinyatakan di dalam Laporan Tahunan. Para pengarah dari
latar belakang yang berbeza mewujudkan satu Lembaga
Pengarah yang efektif dengan kepelbagaian pengetahuan
industri khusus dan pengalaman luas di dalam bidang
perniagaan dan komersil.
Lembaga Pengarah berpendapat bahawa komposisi di antara
mereka menggambarkan komposisi pemegang saham. Terdapat
keseimbangan di antara pengarah-pengarah eksekutif, bukan
eksekutif dan pengarah bebas bukan eksekutif. Lembaga
Pengarah berpuas hati dengan komposisi semasa Lembaga
Pengarah yang menggambarkan kewajaran pelaburan
pemegang saham minoriti di dalam Syarikat.
Lembaga Pengarah mematuhi keperluan Penyenaraian Bursa
Malaysia Securities Berhad (BMSB) berkenaan dengan nisbah
pengarah bebas di mana satu pertiga daripada ahli Lembaga
terdiri daripada pengarah bebas. Pengarah bebas adalah terdiri
daripada golongan profesional yang mempunyai kredibiliti dan
reputasi untuk memberi pandangan bebas dan keobjektifan di
dalam keputusan Lembaga Pengarah.

The executive directors in particular are responsible for implementing
the policies and decisions of the Board, overseeing the operations as
well as coordinating the development and implementation of business
and corporate strategies. The independent non-executive directors
bring to bear objective and independent judgement to the decision
making of the Board and provide a check and balance for the executive
directors. The non-executive directors contribute significantly in areas
such as policy and strategy, performance monitoring, allocation of
resources as well as improving governance and controls. Together with
executive directors who have an intimate knowledge of the business,
the Board is constituted of individuals who are committed to business
integrity and professionalism in all its activities.
BOARD AND BOARD COMMITTEE MEETINGS
The board ordinarily meets at least four (4) times a year at quarterly
intervals, with additional meetings convened as necessary. At each
regularly schedule meeting there is a full financial and business
reviews and discussion including evaluating the performance to date
against the annual budget and business plan previously approved by
the Board for that year. In the current financial year under review, the
Board held five (5) meetings.
• AUDIT COMMITTEE
The primary objective of the Audit committee is to assist the
Board of Directors in discharging its responsibilities relating to
financial accounting and reporting matters. In compliance with
the BMSB Listing Requirements and the Code, the Audit
Committee comprises of three (3) directors, a majority of whom
are independent non-executive directors:

SUPPLY OF INFORMATION
The Board has unrestricted access to timely and accurate information,
necessary in the furtherance of their duties. The Company Secretary
ensures that all Board Meetings are furnished with proper agendas.
Board papers which include reports on group performance and major
operational, financial, strategic and regulatory matters, are circulated
to all the directors at least three (3) days prior to the meeting, to
allow the directors to have sufficient time to review the Board papers.
Al l directors have access to the advice and services of the
Company Secretary who ensures compliance with current laws,
rules and regulations.
INDEPENDENT PROFESSIONAL ADVICE
There is a formal procedure sanctioned by the Board for directors,
whether as a full board or in their individual capacity to take
independent professional advice at the Group’s expense, where
necessary and in furtherance of their duties.
APPOINTMENT TO THE BOARD
In line with Best Practice recommended by the Code, the Nomination
and Remuneration Committee was set up which is responsible for
establishing a formal and transparent selection process for the
appointment of new directors to the Board. The Committee will review
the required mix of skills and experience of the directors of the Board,
and determine the appropriate Board balance and size of non-
executive directors. It will establish procedures and processes towards
an annual assessment of the effectiveness of the Board as a whole, the
committees of the Board and for assessing the contribution of each
individual director. The Board is satisfied that the current composition
of the Board brings the required mix of skills and experience required

TERMS OF MEMBERSHIP
Members of the Committee shall be appointed for an initial term of
three (3) years after which they will be re-appointed on such terms as
may be determined by the Board of Directors.
MEETINGS
The Audit Committee shall hold at least four (4) regular meetings per
year, and such additional meetings as the chairperson shall decide in
order to fulfil its duties and if requested to do so by any Committee
member, the Management or the Internal or External Auditors. The
Committee may invite any person to be in attendance to assist it in its
deliberations.
A quorum shall consist of a majority of non-executive Committee
members and shall not be less than two (2).
The Company Secretary or any person appointed by the Committee
for this purpose shall act as Secretary of the Committee.
AUTHORITY
The Committee is authorised by the Board to investigate any activity
within its terms of reference. It is authorised to seek information it
requires from any employee and all employees are directed to co-
operate with any request made by the Committee.
ACCESS
The Committee shall have unlimited access to all information and
documents relevant to its activities, to the Internal and External
Auditors, and to Senior Management of the Company and its
subsidiaries. The Committee is also authorised to take such
independent professional and legal advice, as it considers necessary.
MEETINGS HELD FOR THE FINANCIAL YEAR ENDED 31 JANUARY 2006The Audit Committee held six (6) meetings during the financial year
ended 31 January 2006 with the Head of Internal Audit and the Group
Financial Controller cum Company Secretary in attendance. The Audit
Committee members attended all meetings held. The External Auditors
and the Head of the Auditee Company were also invited to brief the
Audit Committee on issues tabled for discussion.
SUMMARY OF ACTIVITIES OF THE AUDIT COMMITTEEFOR THE FINANCIAL YEAR ENDED 31 JANUARY 2006Appraisal of the internal audit plan was made by the Audit Committee
to confirm the annual audit of the Group. The Audit Committee also
reviewed and appraised the audit reports by the Internal Auditors, the
various internal control systems in place and the financial statements
of the Group. Significant issues arising from the annual audit by the
External Auditors were also considered. The Audit Committee reviewed
the quarterly and year end financial statements to recommend to the
Board for approval to announce to Bursa Malaysia Securities Berhad.
At the conclusion of each meeting, recommendations were made for
Management to improve on internal controls, procedures and systems
of the Group, wherever appropriate.

7. Meneliti semula sebarang urusniaga pihak berkaitan dan
percanggahan kepentingan yang mungkin wujud di dalam
syarikat atau kumpulan termasuk sebarang urusniaga, prosedur
atau perlakuan yang boleh menimbulkan persoalan tentang
integriti pengurusan.
8. Mempertimbangkan sebarang perkara yang ingin
dikemukakan oleh Juruaudit Luar kepada pengarah atau
pemegang saham.
9. Meneliti semula sebarang urusniaga penting yang bukan
sebahagian daripada urusniaga biasa Syarikat.
10. Mencadangkan kepada Lembaga berkenaan pelantikan dan
pelantikan semula Juruaudit Luar dan sebarang persoalan
mengenai perletakan atau pemecatan jawatan mereka.
11. Tanggungjawab lain seperti yang telah dipersetujui oleh
Jawatankuasa Audit dan Lembaga Pengarah.
SYARAT-SYARAT KEAHLIAN
Ahli-ahli Jawatankuasa akan dilantik untuk tempoh permulaan
selama tiga (3) tahun dan pelantikan semula akan ditentukan oleh
Lembaga Pengarah.
MESYUARAT
Jawatankuasa Audit akan mengadakan sekurang-kurangnya empat
(4) mesyuarat setahun, dan mesyuarat tambahan yang akan
diputuskan oleh Pengerusi bagi menyempurnakan kewajipannya dan
jika diminta oleh mana-mana ahli Jawatankuasa, pihak Pengurusan
atau Juruaudit Dalaman atau Luar. Jawatankuasa boleh menjemput
sesiapa yang dikehendakinya untuk menghadiri mesyuarat bagi
membantu perbincangan mereka.
Korum mestilah terdiri daripada majoriti ahli jawatankuasa bukan
eksekutif dan tidak kurang daripada dua (2) ahli.
Setiausaha Syarikat atau sesiapa yang dilantik oleh Jawatankuasa untuk
tujuan ini akan bertindak sebagai Setiausaha kepada Jawatankuasa.
BIDANG KUASA
Jawatankuasa diberi kuasa oleh Lembaga untuk menyiasat sebarang
aktiviti yang merangkumi bidang tugasnya. Ia diberi kuasa untuk
mendapatkan maklumat yang diperlukan daripada mana-mana
kakitangan dan semua kakitangan adalah diarahkan untuk memberi
kerjasama kepada Jawatankuasa di atas segala permintaannya.
KEMUDAHAN
Jawatankuasa tidak dihadkan untuk mendapatkan maklumat dan
dokumen-dokumen yang berkaitan dengan aktivitinya daripada
Juruaudit Dalaman dan Juruaudit Luar, Pengurusan Kanan Syarikat
dan anak-anak syarikatnya. Jawatankuasa juga diberi kuasa untuk
mendapatkan nasihat pakar dan guaman, jika perlu.
MESYUARAT BAGI TAHUN KEWANGAN BERAKHIR 31 JANUARI 2006Jawatankuasa Audit telah bermesyuarat enam (6) kali di dalam tahun
kewangan berakhir 31 Januari 2006 dengan dihadiri oleh Ketua

RINGKASAN AKTIVITI-AKTIVITI JAWATANKUASA AUDITBAGI TAHUN KEWANGAN BERAKHIR 31 JANUARI 2006.Jawatankuasa Audit telah menilai perancangan audit dalaman untuk
mengesahkan audit tahunan Kumpulan. Jawatankuasa ini juga
meneliti dan menilai Laporan Juruaudit Dalaman, sistem kawalan
dalaman yang ada dan akaun kewangan Kumpulan. Isu-isu ketara
yang timbul daripada audit tahunan yang telah dijalankan oleh
Juruaudit Luar juga diambilkira. Jawatankuasa Audit telah meneliti
penyata kewangan suku tahunan dan akhir tahun untuk
mencadangkan kepada Lembaga untuk diumumkan kepada Bursa
Malaysia Securities Berhad. Pada akhir setiap mesyuarat, cadangan
telah dibuat kepada pihak Pengurusan untuk memperbaiki kawalan

that all key risks and control concerns have been fully addressed.
SUMMARY OF ACTIVITIES OF INTERNAL AUDITDEPARTMENT FOR THE FINANCIAL YEAR ENDED 31 JANUARY 2006The Internal Audit Department reviewed and evaluated the adequacy
and effectiveness of the internal control system to anticipate any
potential risks and recommended improvements, where necessary.
The department also assessed:
a. the Group’s compliance to its established policies and
procedures, guidelines and statutory requirements;
b. reliability and integrity of financial and operational
information;
c. safeguarding of assets; and
d. operational effectiveness and efficiency.
The Management was required to explain any purported lack of
compliance pursuant to the audit reports issued. The audit reports,
incorporating relevant action plans agreed with the Management,
were circulated to the respective Senior Management, Business
Units Head, Group Financial Controller and were reviewed by the
Audit Committee.
The Internal Audit Department also conducted several special
assignments and investigations requested by Management. Validation
of controls based on the key risk profile identified under the
Enterprise - Wide Risk Management framework were also conducted
in all subsidiaries to ensure those controls are in place and adequate.
The resulting report was forwarded to the Management and Audit
Committee for recommendations.
A follow-up audit review was also conducted to monitor and ensure
that all audit recommendations have been effectively implemented.

SAPURA MACHINING CORPORATION SDN. BHD. (SMC)
Manufacture and supply of automotive parts and components is itscore business with products ranging from engine, transmission andbrake system. The highest quality requirement for the automotiveengine and transmission components has always been a challenge forSMC. Being one of the pioneers in the high precision machining inMalaysia, SMC has been very successful in meeting the stringentquality requirement by automobile assemblers. Currently, SMC hassuccessfully commenced the mass production and delivery forCAMPRO engine parts for Proton. With complete range of high degreeautomated equipment and dedicated workforce, SMC is determined tobecome one of the major players in the region.
SAPURA BRAKE TECHNOLOGIES SDN. BHD. (SBT)
SBT commenced its business as part of SIB operation in June 2001.The establishment of SBT is another achievement for Sapura IndustrialGroup. SBT specialises in the assembly, supply and sales of brakesystems for automotive industry. The strong technical support from itspartner Sumitomo Electric Industries Co. Ltd., Japan will provide SBTwith solid foundation in establishing itself as one of the braketechnology leaders in Malaysia and ASEAN region. SBT, through itsfactory in Gurun is the main supplier of brake, suspension and driveshaft modules for Naza.
SAPURA AUTOMOTIVE INDUSTRIES SDN. BHD. (SAI)
SAI was established way back in 1981 and since the last 25 years ithas been continuously building up its reputation as the main supplierfor the suspension system for the automotive industry. It was the firstcompany to commence business within the Sapura Industrial Group.Amongst the components it produces are coil spring, strut assemblyand shock absorber for the Malaysian and export market. Today, SAIis one of the market leaders for both the Malaysian and ASEANmarket, serving Proton, Perodua, Volvo and Naza as the main supplier.
METAL FORMERS SDN. BHD. (MF)
MF was established in 1984 with its core business of high precisionmetal stamping and fabricated metal products. During the financialyear, MF has changed its activities from manufacture to trading ofthese products.
ASIAN AUTOMOTIVE STEELS SDN. BHD. (AASSB)
AASSB was incorporated in 1995 with a paid-up capital of RM4 millionand with initial technical support from Japan. The core business ofAASSB is manufacturing of high grade “cold drawn steel bars” or,more commonly known as “polished” or “bright bars”. The targetedmarket is the automotive components industry (OEM & REM), wherethe vital ingredients are special, consistent and reliable quality-processed steel bars for the “safety-critical” end products such assuspension springs, transmission and engine components. AASSB isamong the well established companies in South East Asia, with itsautomated production facility for fine finishing of bar diameter,smoothness, roundness and straightness; manned by a trained andcommitted workforce. Furthermore, with AASSB automated surfacedefect detection facility, its customers are assured of the best products.AASSB is poised for growth in the near future with an addition ofproduct range, for the domestic and export markets. During thefinancial year the business of manufacturing stabiliser bar had beentransferred to AASSB from SAI.
SAPURA TECHNICAL CENTRE SDN. BHD. (STC)
STC is a Research and Development Company, specialising inCAD/CAM, product design, prototyping and factory automation. Theestablishment of STC in 1996 had strengthened the know-how andtechnology within the Sapura Industrial Group.
SAPURA-SCHULZ HYDROFORMING SDN. BHD. (SSH)
SSH, formerly known as Sumimata Sdn. Bhd., was incorporated in2004. The combined dynamic force of Wilh Schulz GmbH and SapuraIndustrial Berhad through the acquisition of the business of butt-weldfittings in June 2005, has enabled SSH to sustain its lead as thereputable manufacturer of high alloyed piping & fitting products inthe region. SSH’s customers come from the chemical, oil refining &petrochemical industries, onshore & offshore oil & gas production,thermal & nuclear power stations and marine & shipbuilding industry.Through its competitive spirit and extensive experience and expertise,SSH aspires and is determined to move forward and beyond theboundaries of success.

Ltd. dari Jepun, SBT mempunyai asasyang kukuh untuk menjadikannya sebagai salah satu pendahuludalam teknologi sistem brek di Malaysia dan di rantau ASEAN. SBT,melalui kilangnya yang beroperasi di Gurun adalah pembekal utamakepada Naza untuk komponen brek, suspensi dan “drive shaft”.
SAPURA AUTOMOTIVE INDUSTRIES SDN. BHD. (SAI)
SAI telah ditubuhkan pada tahun 1981 dan sejak 25 tahun yang lalu, SAIdengan secara berterusan telah membina reputasinya sebagai pembekalutama sistem suspensi bagi industri automotif. Syarikat ini adalah syarikatpertama yang memulakan perniagaan di kalangan Kumpulan SapuraIndustrial. Antara komponen yang dikeluarkan adalah lingkaran spring,penyerap hentakan dan pemasangan topang untuk pasaran tempatandan luar negara. Kini SAI adalah di antara peneraju untuk barangantersebut bagi pasaran tempatan dan juga rantau ASEAN, sebagaipembekal utama kepada Proton, Perodua, Volvo dan Naza.
METAL FORMERS SDN. BHD. (MF)
MF telah ditubuhkan pada tahun 1984 dengan aktiviti utamanya dalambidang pembentukan logam berketepatan tinggi dan fabrikasi lain-lainbarangan logam. Dalam tahun kewangan semasa, MF telah menukaraktivitinya dari pengeluaran kepada perdagangan barangan tersebut .

AASSB telah ditubuhkan pada tahun 1995 dengan modal berbayarsejumlah RM4 juta dan dengan bantuan teknikal awal dari Jepun.Perniagaan teras AASSB adalah sebagai pengeluar batang keluliberstruktur tinggi. Tumpuan pasaran adalah industri komponenautomotif, di mana kandungan utama batang keluli adalah istimewa,tetap dan berkualiti untuk barangan yang ‘kritikal’ untuk keselamatanseperti lingkaran spring suspensi, komponen transmisi dan komponenenjin. AASSB adalah di antara syarikat yang paling dikenali di AsiaTenggara, dengan kemudahan pengeluaran berautomasi untukkeluaran yang berkemasan dan berketepatan tinggi yangdikendalikan oleh tenaga kerja terlatih dan berkomitmen tinggi.Tambahan pula, dengan kemudahan berautomasi untuk mengesankecacatan permukaan, para pelanggan dijamin memperolehibarangan yang terbaik. AASSB berada di dalam kedudukan yang baikuntuk berkembang pada masa akan datang dengan pertambahanrangkaian barangan untuk pasaran dalam dan luar negara. SAPURA TECHNICAL CENTRE SDN. BHD. (STC)
STC adalah sebuah syarikat Penyelidikan dan Pembangunan denganpengkhususan dalam bidang CAD/CAM, rekabentuk produk, prototaipdan pengautomasi kilang. Penubuhan STC pada tahun 1996 telahmengukuhkan lagi kedudukan Kumpulan Sapura Industrial dari segiteknologi dan tatacara pengendalian.
SAPURA SCHULZ HYDROFORMING SDN. BHD. (SSH)
SSH dahulunya dikenali sebagai Sumimata Sdn. Bhd. telah ditubuhkanpada tahun 2004. Penggabungan dinamik di antara Wilh SchulzGmbH dan Sapura Industrial Berhad melalui pengambilalihanperniagaan “butt-weld fittings” pada Jun 2005, telah membolehkanSSH untuk mengekalkan reputasinya sebagai pengeluar produk paipaloi dan kelengkapan serantau. Pelanggan-pelanggan SSH terdiridaripada mereka yang terlibat dalam industri kimia, industripenapisan minyak & petrokimia, pengeluaran minyak dan gas dilautan dan daratan, stesen tenaga nuklear dan tenaga haba sertaindustri pembinaan kapal dan marin. Directors’ Responsibility StatementPenyataan Tanggungjawab Para Pengarah
The provisions of the Companies Act, 1965 requires that the directors
of every Company shall lay before the Company at its Annual General
Meeting, the financial statements of each financial year which have
been duly audited. In complying with these requirements, the
directors are responsible for ensuring that adequate accounting
records are maintained and the Company has used appropriate
accounting policies which are consistently applied and supported by
reasonable and prudent judgements and estimates.
The directors also consider that all applicable accounting standards
have been followed and confirmed that the financial statements have
been prepared on the going concern basis. The directors are also
responsible for taking such steps that are reasonably open to them to
safeguard the assets of the Group and to prevent and detect fraud and
other irregularities.
Peruntukan di dalam Akta Syarikat, 1965 memerlukan para
pengarah bagi setiap Syarikat membentangkan di Mesyuarat Agung
Tahunannya, penyata kewangan bagi setiap tahun kewangan yang
telah diaudit. Sebagai mematuhi keperluan ini, para pengarah
adalah bertanggungjawab untuk memastikan bahawa rekod
perakaunan disimpan dan Syarikat telah mengamalkan polisi
perakaunan yang sewajarnya secara konsisten serta disokong oleh
pertimbangan dan anggaran yang wajar dan berhemat.
Para pengarah juga memastikan bahawa semua piawaian
perakaunan telah dituruti dan mengesahkan bahawa penyata
kewangan telah disediakan atas asas berterusan. Para pengarah
juga bertanggungjawab untuk mengambil langkah-langkah
sewajarnya bagi memelihara aset Kumpulan dan mencegah serta
mengesan penyelewengan dan lain-lain perkara yang menyimpang
