    Secondary equipment such as relays used forvarious types of fault protection, also known as

    control gear, have made significant advances due to major development in the field of

    electronics. The digital relays are fast replacing the conventional relays due to technology

    advancement, compact size & its reliability. As per recent trends in addition to protection and

    control of power, monitoring and signalling are becoming integral part of switchgears. With

    monitoring, the fault conditions can be predicted whereas signalling helps to know the status of

    switch gears at various locations.

    Heavy Engineering Industry

    Textile Machinery

    There are over 700 units engaged in the manufacture of Textile Machinery, their components,

    accessories and spares and, out of these, about 250 units are manufacturing the complete

    machinery. The range includes textile machinery required for sorting, cording, processing of

    yarns/ fabrics and weaving. The industry is gearing itself to avail opportunities of supplying

    machines required to cater the export target of garment manufacturers post Multi Fiber

    Agreement (MFA).

    With a capital investment of Rs. 1500 crore and an installed capacity of Rs. 3800 crore per

    annum, their current production, imports as well as exports are as under:

    Cement Machinery Cement plants based on dry processing and pre-calcination technology for capacities upto 7500

    TPD are being manufactured in the country. Modern cement plants are designed for zero

    downtime, high product quality and better output with minimum energy consumption per unit of

    cement productionetc. At present, there are 18 units in the organized sector for the manufacture

    of complete cement plant machinery.

    With an installed capacity of around Rs. 600 crore per annum the industry is fully capable to

    meet the domestic demand.

    Sugar Machinery

    Domestic manufacturers occupy predominant position in the global scenario and are capable

    of manufacturing from concept to commissioning stage sugar plants of latest design for a

    capacity upto 10,000 TCD (tons crushing per day). There are presently 27 units in the organized

    sector for the manufacture of complete sugar plants and components with an installed capacity of

    around Rs. 200 crore per annum.

    Rubber Machinery

    There are at present 19 units in the organized sector for the manufacture of rubber machinery

    mainly required for tyre/tube industry. The range of equipments manufactured in the country

    includes inter-mixer, tyre curing presses, tube splicers, bladder curing presses, tyre moulds, tyre

    building machines, turnet servicer, bias cutters, rubber injection moulding machine, bead wires

    etc.

    Material Handling Equipment

    The range of equipments manufactured includes crushing and screening plants, coal/ore/ash

    handling plant and associated equipment such as stackers, reclaimers, ship loaders/ unloaders,

    wagon tipplers, feeders etc. catering to the growing and rapidly changing needs of the core

    industries such as Coal, Cement, Power, Port, Mining, Fertilizers and steel plants.

    There are 50 units in the organised sector for the manufacture of material handling equipment.Besides, there are a numbers of units operating in the small-scale sector. The industry is self

    sufficient in meeting domestic demand and is also capable of meeting global competition.

    Oil Field Equipment

    The petroleum industry in India is undergoing a major change. With the ongoing process of

    liberalisation, the industry has been thrown open for private sector in all major areas of

    exploration, production, refining and marketing, and this has resulted in increased demand for

    the oil field and related equipments.

    Domestic production covers mainly the onshore drilling equipment. Under Offshore drilling,

    only offshore platforms and some other technological structures are being produced locally. The

    major producers of these equipments are BHEL, Hindustan Shipyard, Mazagon Dock and Larsen

    & Toubro.

    Metallurgical Machinery

    Metallurgical machinery includes equipment for mineral beneficiation, ore dressing, sizereduction, steel plant equipments, foundry equipments and furnaces.There are 39 units in the

    organized sector engaged in the manufactures of various types of metallurgical machinery. The

    existing production capacity in the country is sufficient to meet the demand of these equipments

    in the country.

    Indigenous manufacturers are in a position to supply majority of the equipment for steel plants

    e.g. blast furnaces, sinter plants, coke ovens steel melting shop equipment, continuous casting

    equipment, rolling mills & finishing line.

    Mining Machinery

    The major mining equipments are longwall Mining Equipments, Road Header, side discharges

    Loader (SDL), Haulage Winder, Ventilation Fan, Load Haul dumper (LHD), Coal Cutter,

    Conveyors, Battery Locos, Pumps, Friction Prop, etc.

    At present, there are 32 manufacturers in the organized sector, both in public and private

    sector, for underground and surface mining equipment of various types. Out of these, 17 units

    manufacture underground mining equipment. Majority of the requirement of the mining industry

    is being met by the indigenous manufacturers.

    Dairy Machinery

    At present, there are around 20 units in the organized sector, both in private and public sector,

    manufacturing Dairy Machinery equipments such as evaporators, milk refrigerators and storagetanks, milk and cream deodorizers, centrifuges, clarifiers, agitators, homogenisers, spray dryers

    and heat exchangers. Small Scale units are also contributing to indigenous production.

    Machine Tools

    Machine Tool Industry is in a position to export general purpose and a standard machine tool

    to even industrially advanced countries. During the last four decades, the machine tool

    industry in India has established a sound base and there are around 200 machine tool

    manufacturers in the organized sector as also around 400 units in the small scale sector.

    The Indian industry has good design capability and the production of CNC machines has

    increased to about 4000 numbers per annum.Indian machine tools are manufactured to the

    international standard of quality/precision and reliability. A number of collaborations have also

    been approved for bringing in the latest technology in this field of modern machine tools and the

    industry is now exporting conventional as well as NC/CNC hightech machine tools.

    etc.,

    Automatic Panel Processing Machine

    Our unit has recently designed and manufactured a machine for Automatic Welding of

    Water Wall Panels. Maximum width of panel can go upto 2500mm which is more than what is

    required for standard water wall panels. Maximum length of panel can go upto 11000mm and we

    have supplied panels from Tube of various Diameter from 38mm to 76mm and fin widthfrom 24mm onwards. The process involves MIG with 2Torches and the machine is fully

    equipped with electronic controls for various fillet sizes, automatic start and stop, automatic

    synchronization of torches, hydraulic clamping automatic suction of exhaust fumes, loading and

    unloading of panels and also has provisions for increase in number of torches. 600Rms of

    welding per shift is normally achieved.

    Human Resource Department

    Definition

    The only vital value an enterprise has is the experience, skills, innovativeness and insights of

    its people.

    Scarcest and most productive resource that creates the largest and longest lasting advantage

    for an organization. It resides in the knowledge, skills, and motivation of people, is the least

    mobile of the four factors of production, and learns and grows better with age and experience

    which no other resources can.

    Every organization now has an exclusive Human resource management department to

    interact with representatives of all factors of production. The department is responsible for the

    development and application of ongoing research on strategic advances while hiring, terminating

    and training staff.

    Training and Development Policy

    Introduction

    Baby Engineering strongly believes that a well-trained and efficient workforce is crucial for

    the development of any institution.

    It will recruit all levels of staff strictly on merit. After their engagement, the organization will

    further provide them with opportunities to advance skills and professional expertise as well asgive them adequate exposure.

    OBJECTIVES

    The objectives of the Training&Develpment policy are to:

    Process and Criteria

    Baby Engg handles staff training as an integral part of its institutional development. It will

    endeavor to train its staff continuously and impart them with new skills, through some of the

    following ways:

    New employee Orientation

    Induction & Placement

    Every employee has to undergo an induction programme for the next one week from the date

    of joining. It will help the employee understand the terms & conditions of organization & make

    him/her feel comfortable in the new environment.

    OBJECTIVE

    Make new employees aware of policies and practices, his role, acquaintance with his peers &

    subordinates of the company. In case of field staff make them aware of the field work.

    PROCEDURE

    It mainly begins with the selection of candidates. On joining he/she is welcomed and all the

    formalities regarding joining are to be fulfilled as,

    Later he/she undergoes the training programme for the period of minimum of 7 days

    based on the position & requirement of the concerned department. Next step is to see that the new entrant is sent to respective department and undergoes a

    training for 1 year. Based on his/her performance, confirmation is provided.

    PROBATION

    Any appointment made by Baby Engg shall be subjected to a probation period as specified in

    the letter of appointment. One month prior to the end of the probation period, employees,

    immediate supervisor shall make an appraisal report recommending a confirmation or

    termination of the employees services. The probation period may be extended as considered

    necessary by Baby Engg. An employee who is on probation may have his appointment

    termination at any time without notice. In the event of such termination, the employee is paid for

    the period wored up to the time of termination/confirmation of appointment. On recommendation

    from the immediate supervisor, the Managing director shall in writing, confirm the appointment.

    DURATION OF EMPLOYMENT

    Unless otherwise stated, employment for all staff shall be on permanent basis subject to

    satisfactory completion of the probation period.

    PERSONALDATA

    On acceptance of an appointment, the new staff member is required to complete the Employee

    Personal Data form. New employees must also furnish Baby Engg with a declaration of

    dependants, that is spouse and own children; next of kin and provide photocopies of certificates

    and other testimonials.

    Any changes in personal status shall be reported promptly to the HR officer by completing a

    fresh Personal Data form. Staff records and related correspondence shall be treated confidently atall times.

    Once the selected candidate has accepted the employment offer, the HR officer shall send regret

    letters to all the unsuccessful candidates.

    EMPLOYMENT INTERVIEW PANEL

    The employment interview panel shall be provided with the ground rules and procedures

    for interviewing prior to the actual commencement of interviews.

    APPOINTMENT

    LETTERS OF APPOINTMENT

    The formal letter of appointment will bear the signature of the Managing Director or as

    considered effective.

    RECRUITMENT & SELECTION POLICY

    Introduction

    Recruitment and Selection aim to search and hire suitable candidate to fill vacancies in Baby

    Engg with the view to satisfying human resources needs. The search may be internal and/or external.

    Any position within Baby Engg that becomes vacant will be filled, on completion of a manpower

    requisition form by the immediate supervisor. Restructured on newly created positions will only

    be activated upon approval from the Managing Director. The Success and adaptability of a

    company depends upon the recruitment of employees who are flexible, adaptable and committed

    to the success of Baby Engg.

    OBJECTIVES

    This section aims to promote and maintain high standards of professional recruitment

    practice by encouraging recruiters to adhere to best practices. Its purposes are to :

    Ensure that recruitment is considered an essential part of the human resource.

    a) Strategy and consequently an integral part of the overall business strategy

    b) Ensure and explain best practices for all types of recruitment.

    c) Maintain professional standards whether recruits are easy to find.

    d) Ensure that equality of opportunity is considered an integral part of good recruitment

    practices and procedure.

    The sequential process of the HRM officer shall be to

    a)Determine T&D needs that currently exist and projected future needs ensuring that all

    employees have their own individual development plans which is to be developed by the

    immediate supervisor with reference to Performance plans.

    b) Select and write T&D objectives in order to determine and sequence course contents per

    employee.

    c) Product and procedure suitable training and development programmer.

    d) Conduct Training and/or coordinate training to be provided by others from within or outsideBaby Engg.

    LEAVE POLICY

    Introduction

    1. Leave is a privilege extended by the company to its staff members, and not a right. It shall be

    the Companys discretion to grant leave to all applicant staff members, considering the

    exigencies of business and the need of the staff member at that time.

    2. The objectives of this Leave policy are, to inform all staff members of the company, regarding

    a) The current rules on the types of leave and their eligibility.

    b) Administration and accounting of leave.

    c) Guidelines for Applicants, Granting Authorities and Admin Authorities.

    LEAVE PROCEDURES

    One day leave is given for each six working day. It should be intimated to te time office

    shift details prior approval of concern department accepted from the above condition in case of

    emergencies.

    TYPES OF LEAVE

    y PL Privilege Leave - for workers 20 days, staff 30 days. y GL General Leave - for staff yearly 24 days in a year. y CL Casual Leave 7 days in a year y LS Sick leave Without Pay. y SPL Special Leavey FH Festival Leave. y NH National Leave 4 days in a year.

    GRIEVANCE POLICY

    An employee shall convey grievance to the management only in writing. The

    management shall respond, in writing and within a reasonable time, as to whether the grievances

    would be given due consideration or otherwise. The management may opt to implement

    corrective measures immediately or at their discretion, establish a board of inquiry to review and

    consider the grievances. The board of inquiry shall recommend to management the corrective

    measures to be undertaken.

    Introduction

    Grievance may be real or imaged, but n either case, it is essential that the grievance is

    brought to light, discussed and matter resolved to the satisfaction of all concerned. Failure to do

    so will only result in the grievance becoming a worsening source of conflict and eventually

    ending in a far more serious problem. Baby Engg regard it importance that all its employees will

    have sufficient knowledge of such procedure and easy access to it. To this effect Baby Engg has

    formulate a grievance procedure, which has as its main objectives the speedy resolution of shop

    floor grievances and thereby eliminating possible and unnecessary causes of conflict.

    Objectivesa) The Grievance procedure is aimed at aimed at resolving work related grievances

    within Baby Engg as fairly and as swiftly as possible.

    b) This procedure is not used for appeals aganist disciplinary and Appeal procedure and

    code.

    c) This procedure is neither used for the resolution of collective grievances related to

    wages or salaries as these form part of the collective bargaining system.

    d)

    Employees may lodge grievances without fear of victimization.e) Grievances should be resolved at the lowest possible level at Baby Engg.

    f) Employees lodging grievances have the right to be represented by fellow employee of

    his/her choice.

    g) Records will be kept of all statements and decisions.

    PROCEDURE AND GUIDELINES

    The Grievance Procedure will be implemented as follows:

    Step 1: Immediate Superior

    Here, the employee must discuss his grievance with his immediate superior or the later superior

    in the event of a grievance against an immediate superior.

    The superior must endeavor to solve the problem within two (2) working days and inform the

    employee.

    Should the employee not be satisfied with the outcome, he may proceed to step 2.

    Step 2: Department Manager

    The employee completes a grievance from with all relevant details. (Need to attach Grievance

    form). He may be assisted by the HR officer in completing the form.

    The form is handed to the Department Manager.

    The Department Manager shall endeavor to solve the problem within two (2) working days and

    inform the employee.

    Should the employee not be satisfied with the outcome, he may proceed to step 3.

    Step 3: Grievance Hearing

    The matter is referred to the Managing Director by handling him from the grievance from

    together with any other further relevant written information.

    The MD shall convene a grievance hearing and attempt to resolve the matter within a period of

    ten (10) working days. His decision shall be final.

    Procedure to be followed by a Group of Employees

    If a grievance to be raised affects not one employee, but a group then a spokesman for the Group,

    accompanied (if he so wishes) by a delegation of not more than ten (10) of the employeesconcerned, should proceed with step 2 as for an individual grievance.

    Health and Safety Policy

    Baby Engg shall take all such steps as prescribed by the Regulations made under the Labor Act,

    1992 (Act 6 of 1992) in order to ensure the health, safety and welfare of all the employees in the

    employment of Baby Engg.

    In the event of an accident within the factory, the shift supervisor/admin department will

    evaluate the gravity of the accident and decide on using the first aid available at the site or

    moving the injured person to the hospital. After the victim has been shifted admin department

    would have to report the mishap to the Plant Head and also immediately report the same to the

    Head Officer, HR.

    Baby Engg is committed to creating and maintaining a safe, healthy and productive

    workplace for all employees & has a zero tolerance policy in regards to the use of illicit drugs on

    their premises or the attending of other business related premises (e.g clients) while under the

    influence of illicit drugs. Contravening either of these point may lead to instant dismissal.Attending work under the influence of alcohol will not be tolerated and may result in disciplinary

    action or ultimately dismissal.

    ACCOUNTING POLICY:

    Basis for preparation of financial statement:

    a) The financial statement have been prepared in compliance with all materials aspects of

    the mandatory, accounting standards issued by the institute of chartered accountants of India and the relevant act, 1956.

    b) concent with revenues recognised and expenses accounted for on their accrual.

    Fixed asset:

    a) Fixed asset stated at cost, net if excise and custom duty where Modvat credit on capital

    goods is availed except fixed assets taken over as a result of nationalisation, which are

    stated at values then approved by the board and revalued price less accumulated

    depreciation and impairment loss, if any.

    b) Cost includes freight and insurance duties and taxes, installation and commissioning

    charges and other charges the date of commissioning. In case of imported fixed asset, it

    includes in addition above, other charges payable as per foreign exchange contract.

    Investment:

    a) Long term investments are stated at the cost of acquisition. However provisions for

    diminution are made to recognize a decline, other than temporary in the value of long

    term investment.

    b) Current investments are stated at the lower of cost or fair market value.

    Depreciation:

    a) Depreciation of fixed asset/other than costing upto Rs. 5000/- has been provided pro-vata

    on straight line method, in accordance with circular no : 14(93), file no : 1/12/92 CL-W

    dated 20th

    Dec 1993 of the Government of India, Ministry of Law & Justice andCompany Affairs, Department of Company Affairs at rates specified in schedule XIV of

    the Companies Act, 1956.

    b) Depreciation on fixed asset costing Rs. 5000/- or less at the time of acquisition has been

    provided 100% for the full year, irrespective of the date of acquisition.

    Inventory valuation:

    a) Raw materials in stock at variety wise monthly Weighted Average Cost on net realisable

    Foreign exchange transactions:

    Foreign currency transactions in respect of non-monetary items like fixed asset,inventories and investments in equity shares etc are recorded at the exchange rate prevailing on

    the date of transactions.

    In respect to the monetary items of assets and liabilities like cash receivable, payable etc are

    translated on reporting data at closing rate or at a fixed rate where exchange rate is booked in

    advance. Exchange rate difference during the year is recognized in P&L account

    Government grants:

    The government grants are accounted for on cash basis. The balance of un-utilized grant

    at the year end is shown as current liability.

    CENVAT and VAT:

    CENVAT and VAT are accounted for by reducing purchase cost of related materials in

    cases where credit for the same is availed.

    Revenue and recognition:

    a) Sales revenue is recognised in case of direct sale on raising on invoice and delivery of

    goods and in respect of depot/consignment sales, revenue is recognised on the basis of

    receipt of accounts statement from the depot/consignment agent confirming the sales.

    Sales at DGS & D are accounted for at provisionally quoted rates and the difference if

    any, in finalised rates is accounted in the year in which rate are finalized.

    b) Purchase of raw materials is accounted for on invoice value except in the case of supplies

    from Government agencies where it valued on the basis of proforma invoice in theabsence of invoice.

    c) Export sales are accounted at CIF value basis.

    Use of estimates:

    Preparation of financial statements requires estimates and assumptions to be made that

    affect the reported amount of assets and liabilities on the date if financial statement and the

    reported amount of revenues and expenses during the reporting period. Difference between the

    actual results and the estimates are recognized in the period in which results areknown/materialized.

    Provisions and contingent liabilities and contingent assets:

    Provisions involving substantial degree of estimation in measurement are recognised

    obligation as a result of past events and its probable that there will be an out flow of resources.

    Contingent liabilities are not recognised but are disclosed in the note. Contingent assets are

    neither recognised nor disclosed in the financial statements.

    Earnings per share:Basic earnings per equity share are computed by dividing net profit after tax by the

    weighted average number of equity shares outstanding during the year. Diluted earnings per

    equity share are compute by dividing adjusted net profit after tax by the aggregate of weighted

    average number of equity shares and diluted potential equity shares outstanding during the year.

    Provisions for current and deferred tax:

    Provisions for current tax are made after taking into the consideration benefits admissible

    under the provision of Income Tax Act, 1961. Deferred tax resulting from Timing Differences

    between the book and taxable profit is accounted for using the tax rate and lows that have been

    exacted or substantially enacted as balance sheet date. The deferred tax assessed is recognised

    and carried forward only to that extent for which there is a reasonable certainty that the assets

    will be realized in future.

    Borrowing cost:

    Borrowing cost, that are attributable to the acquisition of qualifying asset, till the date on

    which asset is put to use/commissioned are capitalized as part of the cost of such assets.

    Qualifying assets are one that necessarily takes substantial period of time to get ready for

    intended use. All other borrowing costs are changed to revenue in the period they are incurred.
