1. OBJETO / CONDICIONES GENERALES
La relación legal entre Irauto S.A. (en adelante
indistintamente, el “Cliente” o “Comprador”) y el
Proveedor para la compra de productos
(“Productos”) y/o servicios (“Servicios”) se regirá
por los siguientes términos y condiciones
(“Condiciones Generales de Compra” o
“Condiciones Generales”) y en su caso cuantas

Cliente y el Proveedor de forma escrita (“Contrato
o Pedido”).
El Cliente se reserva la facultad de actualizar las
presentes Condiciones Generales de Compra.
Las mismas estarán a disposición del Proveedor

www.grupoantolin.com indicando la fecha de la
última actualización, siendo responsable el
Proveedor de verificar la vigencia y/o actualización
de las mismas.
Estas Condiciones Generales revisadas y/o
actualizadas serán aplicables a los Pedidos o
revisiones de los mismos expedidos en o partir de
la fecha de publicación de la actualización de las
Condiciones en el sitio web del Cliente.
Por su parte, la modificación de las condiciones

conformidad con lo previsto en estas Condiciones
Generales de Compra.
(d) Que el Proveedor conoce la intención de uso
del Cliente sobre los Productos, Servicios o
instalaciones objeto del Pedido por lo que
garantiza que serán conformes, idóneos y
suficientes para cumplir los objetivos del Cliente y
carecerán de vicios o defectos que pudieran
afectar a los usos o aplicaciones de los mismos.
(e) Que el Proveedor es el titular legítimo de los
bienes y los componentes involucrados en el
Pedido, y tiene derecho de comercialización sobre
los mismos y los entrega al Cliente libres de
cargas y gravámenes, garantizándolo por evicción
13.2 The Supplier represents and warrants that:
(a) The Products and / or Services were fully
executed and in accordance with the plans,
drawings, quantities or labels, technical and quality
specifications, samples and / or descriptions
indicated in the Purchase Order or given by the
Purchaser.
(b) The goods have no manufacturing, material
and / or workmanship defects or failures and the
material used for them is new, suitable and of the
highest quality.
(c) The Products, facilities or the results of the
Services rendered are genuine in all respects and
do not break any industrial or intellectual property
right of a third party. In this sense, the Supplier
assumes direct and exclusive responsibility for any
third party claim that the goods under the Purchase
Order violate trademarks, patents, licenses,
industrial designs or models or intellectual or
industrial properties registered by third parties,
holding the Purchaser harmless and assuming,
where appropriate, the cost of defending the latter
and taking charge of all expenses for fees or
charges, expert opinions, compensation or any
other concept to be paid to third parties, plus the
damages and losses caused to the Purchaser in
accordance with the provisions in these General
Terms of Purchase.
(d) The Supplier knows the intention of use of the
Purchaser related to the Products, Services or
facilities that are the object of the Purchase Order,
so it warrants that they will be compliant, suitable,
and sufficient to meet the Purchaser's objectives
and will be free of vices or defects that could affect
the uses or applications thereof.
(e) That the Supplier is the legitimate owner of the
goods and components involved in the Purchase
Order and has the right to commercialize them and
deliver them to the Purchaser free of charges and
encumbrances, giving warrant of title and / or

y/o contra acciones que afecten su libre
disponibilidad por el Cliente.
(f) Que el Proveedor cumple con toda la
legislación aplicable para el desarrollo de su
actividad.
(g) Que el Proveedor asume a su cargo los daños
y perjuicios que pudieran producirse a personas o
bienes del Cliente, o de terceros, con motivo del
Producto o Servicio objeto del Contrato.
13.3 Corrección de fallas o defectos.
El Proveedor se obliga a sustituir la parte averiada
o defectuosa por una parte nueva y cuando esto
no fuese posible (y así lo demostrare el Proveedor
formalmente y por escrito), se obliga a reparar la
parte averiada o defectuosa a satisfacción del
Cliente, incorporando todos los elementos
necesarios para la completa y correcta ejecución
y terminación del Pedido sin que por dicha
circunstancia se generen gastos ni costos para el
Cliente. A menos que se indique expresamente lo
contrario en el Pedido, el plazo máximo para la
sustitución por una parte nueva o para la
reparación de la parte averiada o defectuosa, a
satisfacción del Cliente, será informado por el
Cliente en cada oportunidad.
No obstante el plazo a ser indicado por el Cliente,
el Proveedor se compromete a corregir en el
menor tiempo posible, dentro del plazo
mencionado, los defectos observados, o la
vulneración de las manifestaciones señaladas en
los puntos anteriores, mediante la asignación
prioritaria de sus propios recursos.
En caso de incumplimiento del Proveedor a esta
obligación, el Cliente podrá reparar a costa del
Proveedor el Producto defectuoso si fuera
necesario, para garantizar la continuidad de su
proceso de producción (o el de sus clientes). En
estos casos, todos los costos de tal reparación
serán facturados al Proveedor pudiendo ser
compensados con cualquier suma a él debida.

(f) The Supplier complies with all applicable
legislation governing the development of its
activity.
(g) The Supplier assumes responsibility for any
damages that may occur to persons or property of
the Buyer, or third parties, due to the Product or
Service under the Contract.
13.3 Correction of faults or defects. The Supplier
commits to replace the faulty or defective part with
a new part and when this is not possible (and the
Supplier formally demonstrates it in writing), it shall
repair the faulty or defective part to the satisfaction
of the Purchaser, incorporating all the necessary
elements for the complete and correct execution
and termination of the Purchase Order without
incurring expenses or costs for the Purchaser due
to said circumstance. Unless expressly stated
otherwise in the Purchase Order, the maximum
period for replacement by a new part or for the
repair of the faulty or defective part, to the
satisfaction of the Purchaser, will be informed by
the Purchaser in each case.
Notwithstanding the term being informed by the
Purchaser, the Supplier shall remedy as soon as
possible, within the aforementioned term, any the
defects observed, or the violation of the
manifestations indicated in the previous section, by
allocating its own resources on a priority basis.
In the event of breach of the above mentioned
Supplier´s obligation the Purchaser may repair the
defective product at the Supplier’s cost, if
necessary, in order to guarantee the continuity of
its production process (or that of its clients). In
these cases, any costs incurred in this repair will
be invoiced to the Supplier and may be set off
against any sum due to the Supplier.

Además, el Proveedor pagará los costos de
reparación adicionales que surjan de o en relación
con los defectos, especialmente los costes de
transporte, montaje y desmontaje, costos
administrativos y gastos de manipulación, así
como todos los demás costos relacionados con la
reparación del defecto (sus propios costos, los del
Cliente y los del fabricante de equipamiento
original “OEM en sus siglas en inglés”). No se
verán afectados por lo dispuesto en este párrafo
los derechos y obligaciones, legales o
contractuales, que puedan surgir en relación con
el suministro de Productos defectuosos.
13.4. Obligación de saneamiento
En todos los casos de contratación de Productos,
el Cliente podrá exigir al Proveedor el
saneamiento de los vicios ocultos que se
manifiesten con posterioridad al cumplimiento del
período de garantía establecido en estas
Condiciones Generales de Compra y/o en el
Pedido entendiéndose que, en tal sentido, se
consideran prorrogados tanto el aquí citado
período de garantía como los plazos establecidos
en los Artículos 1051 a 1058 siguientes y
concordantes del Código Civil y Comercial.
13.5. Indemnidad laboral.
El personal que utilice el Proveedor será de su
exclusiva dependencia.
El Proveedor deberá entregar mensualmente al
Cliente toda documentación que el Cliente le
solicite vinculado a su personal y se compromete
asimismo a dar estricto cumplimiento a lo
dispuesto en el artículo 30 de la ley 20.744
respecto a los contratistas y/o subcontratistas que
eventualmente contrate para la ejecución de sus
obligaciones bajo el Contrato.
El Proveedor reconoce que actúa como
independiente y por cuenta, nombre y riesgo
propio y no como empleado, agente,
representante o distribuidor del Cliente por lo que,
ni el Contrato, ni el cumplimiento de las

13.4. Latent defects
In all cases of contracting Products, the Purchaser
may require the Supplier to correct any hidden
defects that appear after the fulfillment of the
warranty term set forth in these General Terms of
Purchase and / or in the Purchase Order, being
understood that, both the warranty term and the
terms established in Articles 1051 to 1058 and the
following and concordant sections of the Civil and
Commercial Code, are considered extended.
13.5. Labor indemnity
The personnel hired by the Supplier shall be
employees of the latter, without any kind of
employment relationship with the Buyer.
The Supplier must deliver to the Purchaser on a
monthly basis, all documentation that the latter
requests concerning its personnel. Supplier also
commits to strictly comply with the provisions of
Section 30 of Law 20,744 regarding the contractors
and / or subcontractors that it eventually hires for
the performance of its obligations under the
Contract.
The Supplier acknowledges that it acts
independently and at its own expense, name and
risk and not as an employee, agent, representative
or distributor of the Purchaser, therefore, neither
the Contract, nor the performance of the agreed
obligations, imply an employment relationship

obligaciones contratadas, implican una relación
laboral entre el Proveedor y el Cliente ni entre el
personal del Proveedor y el Cliente. En su carácter
de prestador independiente, el Proveedor en
ningún momento tendrá la facultad de
comprometer al Cliente en contrato alguno, ni
contratar empleados en nombre o representación
de ésta. El personal que el Proveedor asigne a la
ejecución del Pedido no reviste la calidad de
personal del Cliente y el Proveedor asume total
responsabilidad por los actos y omisiones de
dicho personal. El Proveedor pagará los sueldos y
otros beneficios de sus empleados, debiendo
mantener dichos pagos al día y dentro de los
términos de la ley. EL Proveedor será
exclusivamente responsable por el estricto
cumplimiento de todas las normas laborales,
previsionales, de Seguridad Social, de Higiene y
Seguridad en el Trabajo, impositivas, etc.

pero no limitado a- las relativas a salarios,
vacaciones, jubilaciones, descanso semanal,
jornada legal, accidentes, etc., así como de todos
los gastos derivados de cualquier reclamo relativo
a su personal, liberando al Cliente de toda
responsabilidad al respecto. El Proveedor deberá
permanecer debidamente inscripto ante todos los
organismos pertinentes, conforme a la legislación
aplicable, en especial los previsionales y de
seguridad social y mantener asegurados a sus
empleados contra todos los riesgos para los
cuales la legislación vigente exija la contratación
de seguros obligatorios. El Proveedor deberá
mantener inscriptos en legal forma y en tiempo
oportuno a sus empleados y dependientes,
manteniendo con relación a ellos la categoría de
“empleador”, de conformidad a lo previsto en la
normativa laboral vigente.
El Proveedor deberá mantener indemne al Cliente
y/o a sus directivos y/o sus subsidiarias, afiliadas,
vinculadas y/o controladas de cualquier reclamo,
acción o petición de origen laboral, civil, comercial,
de seguridad social y/o de cualquier otra índole
que eventualmente pudieran iniciar autoridades
administrativas, terceros, personal dependiente,

the expenses derived from any claim related to its
personnel, freeing the Purchaser of all
responsibility in this regard. The Supplier must
remain duly registered with all relevant government
agencies, in accordance with applicable
legislation, especially pension and social security,
and keep its employees insured against all risks for
which current legislation requires the contracting of
mandatory insurance. The Supplier must keep its
employees and dependents registered in a legal
manner and in a timely manner, maintaining the
category of "employer" in relation to them, in
accordance with the provisions of current labor
regulations.
The Supplier must hold the Buyer and / or its
directors and / or its subsidiaries, affiliates, related
and / or controlled companies, harmless from any
claim, action or petition of labor, civil, commercial,
social security and / or any other nature that
administrative authorities, third parties, dependent,

contratado y/o subcontratado, incluyendo a solo
título enunciativo, capital, honorarios, costas,
intereses y multas, respecto de contingencias
laborales y de seguridad social. Esta obligación
tendrá vigencia durante todo el tiempo de
prescripción de los derechos que se encuentren
involucrados en los reclamos que se realicen.
13.6. Obligación de indemnización. El Proveedor deberá indemnizar, defender y eximir de responsabilidad al Cliente en la medida máxima permitida por la ley aplicable, de cualquier demanda, causa, reclamo y contingencia, incluyendo daños y perjuicios, multas, intereses, penalidades y costos legales, que puedan ser sufridos, incurridos o pagados por el Cliente, como resultado de o en conexión con cualquier acción, omisión, incapacidad, negligencia, incumplimiento o error imputable al Proveedor, su personal, sus subcontratistas, en la ejecución de un Pedido, incluyendo pero no limitado al incumplimiento de estas Condiciones Generales de Compra. 13.7. Ausencia de solidaridad No existirá solidaridad entre el Cliente y el Proveedor y/o su subcontratista ante reclamos - extrajudiciales y/o judiciales - respecto de los cuales el Proveedor y/o su subcontratista se encuentre/n obligado/s a responder y/o que reconozcan su causa en incumplimientos y/o negligencia de éste/os último/s. En consecuencia, el Proveedor y/o su subcontratista se obliga/n a mantener al Cliente (incluyendo pero sin limitarse a sus empleados, asesores, agentes, accionistas, gerentes, funcionarios, directores, representantes, socios, entre otros, de cualquiera de las sociedades que integran el Grupo Antolin) indemne - extrajudicial, judicial y/o económicamente - afrontando en forma directa y exclusiva todos los reclamos - extrajudiciales y/o judiciales - que se generen, pagando tales conceptos en el plazo fijado para su cumplimiento. El incumplimiento de las obligaciones mencionadas en este apartado hará responsable al Proveedor y/o su subcontratista por todos los daños y perjuicios directos o indirectos que se ocasionen al Cliente.

13.6. Obligation to compensate.
The Supplier shall compensate, defend and exempt
the Purchaser from liability to the maximum extent
permitted by applicable law, from any demand,
cause, claim and contingency, including damages,
fines, interests, penalties and legal costs, which
may be suffered, incurred or paid for by the Buyer,
as a result of or in connection with any action,
omission, incapacity, negligence, breach or error
attributable to the Supplier, its personnel, its
subcontractors, in the execution of a Purchase
Order, including but not limited to breach of these
General Purchase Conditions.
13.7. Absence of joint and several liability.
There will be no joint and several liability between
the Purchaser and the Supplier and / or its
subcontractors in the event of claims - extrajudicial
and / or judicial - for which the Supplier and / or its
subcontractors is / are liable and / or that they
recognize their cause in breaches and / or
negligence of the latter/s.
Consequently, the Supplier and / or its
subcontractor shall maintain the Purchaser
(including but not limited to its employees, advisors,

inspection will not constitute neither the exemption
of Supplier’s liability for the breach of its obligations
nor an express or tacit acceptance of any Products
or Services.
23. PURCHASERS INTERNTE WEBSITE
Purchaser's internet website (or such other
website as may be directed through links available
on such website) as specified at the beginning of
these General Terms of Purchase or in the
Purchase Order may contain specific additional
requirements for certain Products or Services
covered by the Purchase Order, related to labeling,
packaging, shipping requirements, delivery,
management or quality specifications, procedures,
directions and/or instructions. Any such
requirements shall be deemed to form part of the
Purchase Order or Contract. Purchaser may
periodically update such requirements by post
revisions thereto on Purchaser's website. In the
event of any inconsistency between this Purchase
Order and Purchaser's website, the terms of this
Purchase Order shall prevail, unless the
requirements specified in Purchaser's website
expressly provide otherwise.
24. TERMINATION OF PURCHASE ORDER
Unless otherwise expressly established in the
Purchase Order, the Purchaser may terminate
without cause, in advance and with the effects of a
termination by mutual agreement, in whole or in
part, any Contract at any time during the validity of

causa, en forma anticipada y con los efectos de
una rescisión por mutuo acuerdo, total o
parcialmente, cualquier Contrato en cualquier
momento de la vigencia de la contratación, siendo
suficiente para que opere la rescisión la
comunicación escrita de la decisión en tal sentido
en un plazo no menor a 30 (treinta) días de
anticipación a la fecha en que operará la misma y
sin que se generen derechos a reclamos ni
indemnizaciones para el Proveedor por dicha
circunstancia.
Sin derecho de rescisión por parte del Proveedor.
Los compromisos del Comprador con sus clientes
se basan en los compromisos con los
Proveedores bajo cada orden. El Proveedor no
tiene derecho a terminar o suspender el
cumplimiento del total o parte del contrato por
ninguna razón, incluyendo pero no limitando, la
inseguridad del Proveedor sobre el desempeño
del Comprador. En el caso de cualquier disputa
entre en Proveedor y el Comprador , surgiendo o
en conexión con cualquier orden de compra,
Comprador y Proveedor trabajarán para resolver
la disputa de buena fe; teniendo en cuenta que,
ninguna disputa eximirá al Proveedor de su
obligación con el Comprador, de suministrar los
bienes de forma ininterrumpida, en cantidad,
tiempo y forma, de acuerdo con los términos del
contrato.
25. INCUMPLIMIENTO
Sin perjuicio de la aplicación de las causales de
finalización anticipada del Pedido previstas en las
Condiciones Generales de Compra, el Cliente
podrá decidir resolver de pleno derecho el
Contrato, y en su caso, por culpa del Proveedor
encontrándose habilitada a iniciar las acciones por
incumplimiento contractual y por los mayores
daños y perjuicios ocasionados, sin necesidad de
interpelación judicial o extrajudicial y siendo

Purchaser with a continuous, uninterrupted supply
of Goods in accordance with the terms of the Order
25. BREACH
Notwithstanding the application of the causes for
early termination of the Purchase Order set forth in
the General Terms of Purchase, the Purchaser
may decide to terminate the Contract, and where
appropriate, due to the Supplier's fault, being
entitled to file actions for contractual breach and for
damages and losses, without the need for judicial
or extrajudicial notice, being sufficient the written
communication of said decision of termination, and

suficiente la comunicación por escrito de dicha
decisión en tal sentido, sin perjuicio de la
aplicación de las penalidades correspondientes y
de la ejecución de la/s garantía/s (si existiese/n)
en los siguientes supuestos:
(i) Si el Proveedor pidiese su propia quiebra, o
ésta le fuera decretada a pedido de terceros, si
esa presentación no fuese desistida o
desestimada en la primera oportunidad procesal;
y/o
(ii) Ante el concurso preventivo o cualquier otro
procedimiento bajo la ley aplicable en materia de
concursos del Proveedor salvo que el Proveedor
haya obtenido la autorización judicial que lo
autorice a continuar la contratación dentro de los
treinta (30) días hábiles de abierto el mismo y/o
(iii) Cuando el Proveedor se tornase insolvente o
dejara de pagar sus deudas en general a su
vencimiento o intentara efectuar una venta en
bloque de sus bienes o activos, o si se declarara
la disolución o liquidación del Proveedor a pedido
del Proveedor o de un tercero o cualquier
autoridad regulatoria dispusiera la suspensión de
las actividades del Proveedor, su intervención o la
revocación de cualquier autorización necesaria
para que el Proveedor pueda realizar su actividad
principal, y/o
(iv) Ante cualquier incumplimiento que pudiera ser
considerado incumplimiento esencial del Contrato
y/o ante cualquier incumplimiento a las normas
contenidas en estas Condiciones Generales de
Compra.
26. NULIDAD PARCIAL. INEXISTENCIA PACTO
PREFERENCIA.
26.1 En caso de que alguna cláusula sea o se
declare nula, ello no afectará a la validez y
aplicabilidad de las restantes cláusulas de estas
Condiciones Generales de Compra. Las Partes
acuerdan que cualquier cláusula nula deberá
sustituirse por otra que tenga validez y cuyos

it is decreed at the request of third parties, if that

under the applicable bankruptcy law unless the
Supplier obtains the judicial authorization which

paying its debts in general when they are due or
attempts to carry out a block sale of its goods or
assets, or if the dissolution or liquidation of the
Supplier is declared at the request of the Supplier

order the suspension of the Supplier's activities, its
intervention or the revocation of any authorization
necessary for the Supplier to carry out its main
activity and/or
(iv) i the event of any breach that could be
considered an essential breach of the Contract and
/ or any breach of the rules contained in these
General Terms of Purchase.
26. PARTIAL NULLITY. ABSENCE OF
PREFERENCE AGREEMENT.
26.1 If any clause is or is declared null and void,
this will not affect the validity and applicability of the
other clauses of these General Terms of Purchase.
The Parties hereby agree that any null and void
clause will be replaced with another valid clause,
with commercial and legal effects that are as close
as possible to the replaced clause.

26.2 Salvo pacto expreso en contrario, se deja
constancia que no existe un pacto de preferencia
a favor del Proveedor, razón por la cual las
disposiciones del artículo 1182 y concordantes del
Código Civil y Comercial de la Nación no resultan
de aplicación a la relación contractual derivada del
Pedido.
27. FUERZA MAYOR
Cualquier retraso en el cumplimiento,
cumplimiento defectuoso o incumplimiento de las
obligaciones establecidas en el Pedido o en los
documentos contractuales por cualquiera de las
Partes, no será tenido en cuenta en los supuestos
en que el Proveedor no sea capaz de fabricar,
vender, prestar o suministrar o el Cliente no sea
capaz de aceptar, comprar o usar los Productos o
Servicios establecidos en los Pedidos, como
consecuencia directa de un hecho que no hubiera
podido preverse o que previsto fuera inevitable
(caso de fuerza mayor) incluyendo entre otros
resoluciones gubernamentales, incendios,
inundaciones, tormentas, explosiones, desastres
naturales, guerra, sabotaje o actos de terrorismo
siempre que la parte afectada comunique por
escrito la existencia del supuesto de fuerza mayor
en cuanto le sea posible y siempre en el plazo de
24 horas desde la ocurrencia del supuesto de
fuerza mayor, comunicando asimismo en su caso,
la previsible duración del incumplimiento.
A pesar del momento y las peculiaridades de los eventos de fuerza mayor, el Proveedor estará obligado a elaborar y mantener en vigor durante la vigencia del contrato planes de contingencia generalizados, para el caso de un posible evento de fuerza mayor. Estos planes de contingencia generalizados deberán estar por escrito y disponibles para el Comprador cuando los solicite.
Si el evento afectara al Proveedor, el Cliente
podrá a su elección, reducir o modificar los
pedidos suscritos con el Proveedor afectado y su

27. FORCE MAJEURE
Any delay in compliance, defective compliance or
failure to fulfil the obligations under the Purchase
Order or any contractual agreement by either party
will be excused to the extent that Seller is unable
to produce, sell or deliver or Purchaser is unable to
accept, buy or use, the goods or services covered
by the Purchase Order, directly as a result of an
event or occurrence could not have been foreseen
or if it could have been foreseen was unavoidable,
including, government orders, fires, floods,
windstorms, explosions, natural disasters, war,
sabotage or acts of terrorism; provided that written
notice of such force majeure event (including the
anticipated duration of the delay) has been given
by the affected party to the other party as soon as
possible and always during the first 24 hours after
the force majeure event occurs).
Notwithstanding the timing and peculiarities of actual force majeure events, Seller shall be obligated to draft and have in place during the contract generalized contingency plans in the event of a possible force majeure event. These generalized contingency plans shall be in writing and made available to Buyer upon request.
During the force majeure event affecting Supplier's
performance, Purchaser may, at its option, reduce
or modify its delivery schedule with the affected
Supplier and its replacement by another Supplier
or require Supplier to provide Products or Services

sustitución por otro Proveedor o solicitar al
Proveedor el suministro de Productos o Servicios
a través de otros proveedores en cumplimiento del
Contrato inicial.
El Proveedor se compromete a utilizar todos los
medios a su alcance para asegurar que los
efectos adversos del evento de fuerza mayor sean
los mínimos posibles para el Cliente y a continuar
con el perfeccionamiento del Contrato en el plazo
más breve. A tal efecto el Cliente podrá requerir
por escrito al Proveedor el compromiso de
reanudar la relación contractual en un plazo de 30
días, si esto no fuera posible o si requerido el
Proveedor éste no contestara por el mismo medio
en un plazo de 5 días, el Cliente podrá rescindir
inmediatamente el Contrato sin ninguna
responsabilidad por su parte y sin que le
corresponda al Proveedor ninguna indemnización.
28. LEY APLICABLE Y JURISDICCION
Las presentes Condiciones se rigen por la Ley del
domicilio del Cliente. Las Partes acuerdan
someter cualquier conflicto derivado de la
interpretación y/o ejecución del presente Contrato
a los Tribunales y Juzgados Nacionales de la
Ciudad Autónoma de Buenos Aires, República
Argentina, renunciando expresamente a cualquier
otro fuero que les pudiera corresponder.
29. VERSIONES
Este documento ha sido redactado en dos
versiones una en español y otra en inglés. En
caso de conflicto prevalecerá le versión en
español.

Supplier commits itself to use all available means
to ensure that the harmful effects of any force
majeure event are kept to a minimum for the
Purchaser and, as promptly as possible, resume
full performance under this contract. To this effect,
the Purchaser may request the Supplier in writing
the commitment to resume the contractual
relationship within 30 days. Failing that or, if
required, the Supplier does not reply by the same
means of communication within five days, the
Purchaser may immediately terminate the
Purchase Order without liability to Purchaser and
with no compensation right for Supplier.
28. APPLICABLE LAW AND JURISDICTION
This agreement will be governed by the applicable
law in the Purchaser’s jurisdiction. The Parties
hereby agree to submit any conflict derived from
the interpretation and/or performance of this
contract to the National Courts and Tribunals that
