Adoção da Norma IFRS 16 – Principais Impactos
▪ A adoção da norma IFRS 16, a partir de 1º de janeiro de 2019, trouxe alterações na contabilização da parcela fixa dos aluguéis,enquadrados como arrendamento, exigindo o reconhecimento dos compromissos futuros, em contrapartida aos ativosreferentes ao seu direito de uso. As despesas com aluguéis, que até 2018 eram registradas como “Ocupação”, passaram a serreconhecidas nas linhas de depreciação e despesas financeiras.
▪ Para melhor entendimento das alterações, ao longo deste relatório, foi incluída uma coluna pró-forma do 4T19,desconsiderando a adoção da norma, nas tabelas relativas às principais contas impactadas. Mais detalhes sobre asmudanças, assim como do oficio circular da CVM 02/19 na Nota Explicativa 5.1, das Demonstrações Financeiras do trimestreencerrado em 31 de dezembro de 2019.

▪ Durante o quarto trimestre, as vendas seguiram em ritmo favorável, o que resultou em crescimento de Vendas em MesmasLojas de 6,2%, frente à forte base de comparação do 4T18 (12,0%). Essa performance evidencia consistentes ganhos departicipação de mercado ao longo do ano, principalmente, quando comparada à performance do Índice PMC – PesquisaMensal do Comércio do IBGE.
▪ Os desempenhos de vendas, tanto da Black Friday como da operação Natal, foram alinhados às expectativas da Companhia,com aumento do fluxo de clientes nas lojas e a boa aceitação da coleção de alto verão.
▪ As vendas na Youcom continuaram contribuindo para o desempenho consolidado, com crescimento de 17,0%, reflexo da boaaceitação da coleção e da correta gestão de estoques. Já na Camicado, ao longo do trimestre, houve continuidade doprocesso de ajuste nos estoques e mix de produtos, com a Receita Líquida apresentando crescimento de 5,6% versus o 4T18,com leve melhora frente ao acumulado dos primeiros nove meses do ano.
▪ O E-commerce teve crescimento de 56,3%, com performance superior à do setor de vestuário e calçados, conforme dadosdivulgados por empresa especializada. Esse desempenho evidencia o benefício de iniciativas já implementadas como o Retireem Loja que representou, em dezembro, 36% dos pedidos da plataforma online e as melhorias no aplicativo e de UX (userexperience).

▪ A Youcom apresentou aumento de 1,8 p.p. naMargem Bruta, resultado da gestão comercial e daboa qualidade de estoques. Já a Camicado,apresentou redução de 3,8 p.p., consequência,ainda, do movimento de ajuste dos níveis deestoque ao longo do trimestre.

▪ As Despesas Operacionais (VG&A) apresentaramqueda de 3,6%, quando comparadas as do 4T18, emfunção, basicamente, da adoção do IFRS 16, quediminuiu esta conta em R$ 115,3 milhões.
▪ Em bases comparáveis, estas despesas cresceriam11,0% no período, relativamente em linha com ocrescimento da Receita Líquida de Mercadorias, nãoobstante os projetos estruturantes relacionados aociclo digital.
▪ O decréscimo das outras despesas operacionais foiresultado, principalmente, da maior Recuperação deCréditos Fiscais no período, referente, principalmente,à revisão de encargos previdenciários em razão dedecisões judiciais, não obstante o aumento dasdespesa do Programa de Participação de Resultados,consequência da performance auferida.

▪ Quanto às Perdas Líquidas, o aumento de 43,3%deveu-se, principalmente, ao maior provisionamentodo Private Label, como consequência, também, dastransações na Realize CFI, e aos maiores volumes doMeu Cartão.

Contas a Receber de Clientes
▪ Em dezembro de 2019, o Contas a Receber somava R$ 3.826,0 milhões, com crescimento de 21,0%, devido, principalmente, àmaior utilização do Meu Cartão. Deste total, R$ 1.782,7 milhão (46,6%) refere-se à carteira do Meu Cartão, R$ 1.194,6 milhão(31,2%) à do Private Label, além de outros recebíveis referentes às carteiras do Saque Rápido, das Administradoras de Cartõese de Outros Recebíveis.

▪ A carteira total de Produtos Financeiros (Cartão Renner, MeuCartão e Saque Rápido) apresentou crescimento de 23,6%,no 4T19, impulsionada, principalmente, pelo cartão Co-branded.
▪ O aumento no percentual de vencidos, assim como no nívelde perdas líquidas, foram consequências, principalmente, doCartão Renner.
Cartão Renner▪ Cartão Renner: O aumento de 3,2 p.p. no percentual de
vencidos, refere-se ao menor crescimento da carteira e àbaixa de ativos a partir de 360 dias ante 180 no 4T18. Já oaumento de 1,9 p.p. nas perdas líquidas, deve-se,principalmente, ao aumento nos níveis de provisão destacarteira, em função do arrasto nas transações que passarama ser contabilizadas na Realize. Para fins de provisionamento,o conceito do arrasto leva todo o débito em aberto para apior faixa de atraso do cliente. Também impactaram esteindicador, os menores níveis de recuperação, tanto doscréditos vencidos, como daqueles baixados após 360 dias.
▪ Meu Cartão: A redução dos níveis de inadimplência, ao fimde 2019, refletiu a manutenção da qualidade do crédito e ocrescimento da carteira.
▪ Saque Rápido: A elevação no Percentual de Perdas eVencidos de -0,4% para 0,4%, se deu, sobretudo, pelaestabilização dos volumes da carteira. A partir de 2017, oSaque Rápido dos clientes do Meu Cartão passou a serofertado como funcionalidade do Co-branded e, com isso,estas operações passaram a ser contabilizadas na carteirado Meu Cartão.
▪ Para fins de comparabilidade, a Companhiapassou a reportar o EBITDA ajustado também pelaDepreciação e Despesa Financeira, relativas àadoção do IFRS 16, dada a similaridade com osfluxos de caixa incorridos nos contratos de aluguel.
▪ O EBITDA Total Ajustado chegou a R$ 859,6 milhões,com aumento de 1,3 p.p. na Margem EBITDA TotalAjustada. Em bases comparáveis, o EBITDA Totalteria crescido 16,0%, com aumento de 1,4 p.p namargem, refletindo o crescimento da MargemBruta, a manutenção das Despesas Operacionais(VG&A) e o aumento no Resultado de ProdutosFinanceiros.
*De acordo com o previsto no art. 4º da Instrução CVM nº 527, a Companhia optou por divulgar o EBITDA Ajustado, conforme tabela acima, visando demonstrar a informação
que melhor reflete a geração operacional bruta de caixa em suas atividades.

Resultado Financeiro, Líquido
▪ No trimestre, o Resultado Financeiro Líquido negativo chegou a R$ 45,9 milhões, em razão, principalmente, do reconhecimentode R$ 33,2 milhões de Despesa Financeira de Arrendamento, referente à adoção do IFRS 16.
▪ Em bases comparáveis, o aumento do Resultado Financeiro Líquido negativo, em relação ao 4T18, deveu-se principalmente àsmenores Receitas Financeiras, em função, principalmente, de créditos de juros de compensações tributárias obtidos no 4T18.
▪ A redução no geração de Fluxo de Caixa Livre, no trimestre, deveu-se,principalmente, aos Financiamentos Operacionais de Produtos Financeiros.Com a liquidação do FIDC, em abril de 2019, que financiava a operação doPrivate Label, estes financiamentos passaram, também, a ser realizados comcapital próprio da Realize.
▪ Excluído o efeito dos Financiamentos Operacionais de Produtos Financeiros,o Fluxo de Caixa Livre teria sido de R$ 403,1 milhões ante R$ 288,6 milhões noano anterior.

Os financiamentos operacionais destinam-se ao financiamento das carteiras de Produtos Financeiros e sua
variação está atrelada aos volumes financiados destes produtos. As despesas dos serviços da dívida
relacionadas à gestão de capital estão contabilizadas no Resultado Financeiro, Líquido. Os
Financiamentos Operacionais, que são atrelados a Produtos Financeiros, têm seus custos refletidos no
Resultado Operacional.

Investimentos
▪ Do total investido no trimestre, R$ 124,4 milhões (50,0%) foram aplicados na abertura de Novas Lojas e Remodelações, R$ 100,4
milhões (40,3%) em Sistemas e Equipamentos de Tecnologia e R$ 23,8 milhões (9,5%) em Centros de Distribuição, voltados às
soluções de automação para o novo CD em construção em São Paulo.
▪ No trimestre, a Renner abriu 20 lojas, totalizando 388 unidades em operação, incluindo 9 no Uruguai, 4 na Argentina e 8 da
Ashua, com metragem total de 683,7 mil m². A Youcom, por sua vez, inaugurou 1 loja, no trimestre, somando 101 unidades, com
metragem de vendas de 16,7 mil m². No acumulado do ano, foram abertas 52 lojas, das quais 34 Renner, 9 Camicado e 9
Youcom.
▪ As despesas com Depreciações e Amortizações (ex-arrendamentos) totalizaram R$ 92,5 milhões no 4T19, 11,2% maior ante o
4T18, em função, principalmente, do plano de expansão em andamento e do aumento nos ativos relativos à sistemas de TI.

▪ No 4T19, a Lojas Renner creditou, aos seus acionistas, dividendos na forma de Juros sobre Capital Próprio, no montante de R$61,3 milhões, correspondentes a R$ 0,0773 por ação, considerando a quantidade de 793.726.452 ações ordinárias, das quais jáforam excluídas as ações em tesouraria. No ano, os Juros sobre Capital Próprio totalizavam R$ 252,0 milhões, correspondente aR$ 0,3265 por ação.

Em 30.12.2019, o preço de fechamento da ação LREN3foi de R$ 56,19 e o valor de mercado da Companhia era de R$ 44,7 bilhões.

Adoption of IFRS 16 – Principal Impacts
▪ With the adoption of IFRS 16 as from January 1, 2019, some changes have been made to the fixed portion of rental payments,classified as leases, requiring recognition of future commitments in the liabilities offset against the right of use in the assets. Until2018, rental expenses were recorded as “Occupancy”, but are now recognized in the depreciation and finance expenses linesin the accounts.
▪ For a better understanding of the changes, the tables in this report show a proforma column for 4Q19, with the effect of the newstandard excluded in relation to the main accounts impacted. ▪ During the fourth quarter, pace of sales continued at a favorable rate, resulting in an increase in Same Store Sales of 6.2%despite the strong comps in 4Q18 (12.0%). This performance is indicative of consistent gains in market share during the yearprincipally when compared to the IBGE’s (Federal Government Statistics Office) Monthly Retailing Survey Index.
▪ Sales performance both with respect to Black Friday and the Christmas period were in line with Company forecasts reflected inincreases in customer traffic through the stores and the ready acceptance of the high summer collection.
▪ Youcom store sales continued to contribute to consolidated performance with a growth of 17.0%, a reflection of theassertiveness of the collection and correct inventory management. On the other hand, at Camicado during the quarter, theprocess of adjusting inventory and product mix continued apace albeit with Net Revenue reporting growth of 5.6% relative to4Q18, a slight improvement over the first nine months of 2019.
▪ The E-commerce business grew 56.3%, with a superior performance to the apparel and footwear sector as a whole according todata published by specialized institution. This result illustrates the benefits of some initiatives already implemented such as theStore Pickup facility, which represented 36%, in December, of total online platform orders as well as improvements made to theapp and UX (user experience).

▪ Operating Expenses (SG&A) registered a year-on-yeardecline of 3.6%, mainly due to the adoption of IFRS 16,which had the effect of reducing the account by R$115.3 million.
▪ On a comparable basis, these expenses rose 11.0% inthe quarter, largely in line with the growth in NetRevenue from Merchandise Sales and notwithstandingthe structured projects relating to the digital cycle.
▪ The reduction in Other Operating Expenses wasinfluenced specially by the increase in the recovery oftax credits, mainly due to the revision of social securitycharges in the light of court rulings, notwithstanding thehigher expenses for the Profit Sharing Program, aconsequence of Company performance.
▪ In 4Q19, EBITDA from Retailing reported growth of14.5% and equivalent to an expansion of 0.9 p.p. inMargin. This result reflected a larger gross margin,stability of operating expenses as a percentage ofRevenue as well as a greater volume of recovery of taxcredits.

▪ At the end of the year, the Company reported a total of 32.5 million cards issued, representing 43.4% of merchandise sales in4Q19 in contrast to 43.6% in the same quarter for the preceding year. Notwithstanding the growth of 0.3 p.p. in the participationof the interest-free 0+5 installment plan, the reduced share of the Renner Card was related mainly to customer behaviorreflecting continued caution in relation to interest-bearing installment purchases.

Customer Accounts Receivable
▪ As of December 2019, the accounts receivables amounted to R$ 3,826.0 million, a growth of 21.0% and largely reflecting thegreater use of the Co-branded Meu Cartão. Of the total portfolio, R$ 1,782.7 million (46.6%) relates to the Meu Cartão, R$ 1,194.6million (31.2%) to the Private Label card, as well as other receivables with respect to the Quick Withdrawal - Saque Rápido,Credit Card Companies and Other Receivables.

▪ The total Financial Products Portfolio (Private Label RennerCard, Co-Branded Meu Cartão and Quick Withdrawal -Saque Rápido) reported a growth of 23.6% in 4Q19, drivenlargely by the Co-branded credit card.
▪ The increase on the percentage of overdues as well as thelevel of net losses were largely the consequence of RennerCard business.
Renner Card▪ Private Label (Cartão Renner): the increase of 3.2 p.p. in the
percentage of overdues relates to lower growth in theportfolio and the writing off of assets over 360 days relative to180 days in 4Q18. The 1.9 p.p. increase in net losses are largelydue to higher levels of provisioning for this portfolio that arenow accounted in Realize. For provisioning purposes, themethodology applicable to them uses the dragging method,which has the effect of transferring the entire overdueoutstanding to the worst classification for customer overdues.Lower recovery levels also impacted this indicator both ofoverdues as well as those written down after 360 days.
▪ Co-Branded (Meu Cartão): There was a reduction in MeuCartão delinquencies at the end of 2019, an indication of themaintenance of credit quality and growth in the portfolio.
▪ Quick Withdrawal (Saque Rápido): The increase in thePercentage of Losses and Overdues from -0.4% to 0.4%, is dueabove all to stabilization of portfolio volume. As from 2017,the Saque Rápido facility for Meu Cartão clients began to beoffered as a feature of the Co-branded product.Consequently, these operations are now booked to the MeuCartão portfolio.

▪ On a comparable basis, the year-on-year increase in negative Net Financial Result was mainly due to lower FinancialRevenue, in turn a reflection of interest tax compensation credits posted in 4Q18.
