date for submission of the Quotes, in which case, all rights and obligations of
BIAL, and the Bidders previously subject to the original deadline will thereafter
be subject to the extended deadline. In case of issuance of
Addendum/Corrigendum, BIAL shall have the right to modify the other dates in
relation to this RFQ.
6.4 In case, after issuance of Addendum/Corrigendum, the Bidder, who have already
submitted their Quotes, do not resubmit their bids, but can submit the
modification, in accordance with the terms and conditions of this RFQ, to the
extent of Addendum/Corrigendum, and the same shall be treated as part of
previously submitted quote.
6.5 if the Bidder, who have already submitted its quote, do not modify their bids,
pursuant to the Addendum/Corrigendum, it shall be deemed that, such Bidder do
not intend to modify its Quotes already submitted on the basis of the
Addendum/Corrigendum and the Quotes submitted by such Bidder shall be
treated as final quote submitted by them.
7. PAYMENT
7.1 Retention Money: Not Applicable
7.2 Liquidated Damages:
In addition to and without limiting any remedies in law or in equity that may be available to BIAL including, but not limited to, injunctive and other equitable relief, the Bidder shall pay an amount of 1% per week of the contract value which shall be deducted as liquidated damages for delay in completion beyond the agreed time line up to a maximum of 5% of the contract value. Parties agree that the Liquidated Damages herein are a fair estimation of the damages likely to result from such delay and shall not be construed as the final costs, penalty and expenses of any kind.
7.3 All or any payment to be made to the selected Bidder shall be made only upon
satisfactory completion of Services or achieving the desired stage of progress, within a period of 30 days from the date of receipt of certified invoice by BIAL.
7.4 Under this RFQ ‘Commencement Date’ shall mean the date mentioned in
purchase order issued pursuant to this RFQ or any other date explicitly
confirmed by BIAL wherein the selected Bidder commences Services.

7.5 All Quotes under this RFQ should include the applicable taxes, duties,
levies etc and shall be defined distinctly in Annexure I.
8. INSTRUCTIONS TO SUCCESSFUL BIDDER
The successful Bidder shall:
8.1 Provide the Services in a professional manner and in accordance with the
specifications and guidelines provided by BIAL;
8.2 Be responsible for the timely completion of the Services and execution of order
as per the time lines and specifications provided of BIAL from time to time;
8.3 At its own cost and expense, undertake, comply with and perform all its
obligations and shall comply with all the applicable laws and regulations
including the BIAL safety and security guidelines from time to time;
9. LOCATION, TIMELINE AND DURATION FOR SERVICES
9.1 The proposed Services is to be delivered at the Airport. BIAL at its discretion
shall have the right to change the location any time based on its requirement.
9.2 The Services shall be completed in all respect within [1 Year] calendar days from
the Commencement Date. In the event the selected Bidder breaches any of the
provisions mentioned herein and/or fails to comply with the Services provision
within the agreed timelines in this clause 9.2. BIAL shall have a right to cancel
and terminate the Services of the selected Bidder without any further notice at
its discretion and BIAL shall not be responsible for any payment obligation for any
of the expenses incurred by the selected Bidder and no payments shall be made
by BIAL to such selected Bidder.
10. GENERAL
10.1 The Bidder by submission of its Quotes, hereby agrees to transmit the most up to
date information and complete records. BIAL’s determination as to whether a
Bidder is qualified and selected, will be based upon the information provided by
the Bidder in its Quotes, economic disclosure, Statements and affidavits (if
requested by BIAL), interviews (if applicable) and other sources deemed to be
valid by BIAL.

10.2 The successful Bidder shall execute and complete the Services in accordance
with the scope and the Services provided shall be free from all defects, damage
and free of faults of workmanship, be of the highest grade, consistent with the
established and generally accepted standards. In the event Services are found
defective or are found not in accordance with the scope of work, quality or the
specifications prescribed by BIAL, the successful bidder shall replace/rectify the
same at free of cost.
10.3 Confidentiality: Each Bidder should ensure the confidentiality of all documents
furnished or given by BIAL, including this RFQ. Any documents provided or made
available by BIAL shall be used only for the selection process and treated
confidential by Bidders.
10.4 Assignment: Any assignment of this RFQ or of any rights hereunder, in any
manner, by operation of law or otherwise, without the prior written consent of
BIAL, shall be void.
10.5 Government regulations: The Bidder shall be responsible for obtaining and
maintaining all permits, sanctions, permissions, approval and also shall comply
with all the laws, orders, regulations or other instructions issued by all statutory
authorities in India or otherwise.
10.6 BIAL reserves the right to accept or reject any or all quotations without
assigning any reasons and is not obliged to correspond with the Bidders in this
regard. Further, BIAL reserves the right to change/modify and / or cancel this
process or withdraw the RFQ at any time without prior notice or without
assigning any reasons whatsoever, and this shall be without prejudice to all its
right to re-tender at any time in the future and in such case, Bidders shall not
have any claim arising out of such action against BIAL.
10.7 BIAL reserves the right to verify any, or all statements made by the Bidders in
response to this RFQ, and to inspect the Bidders’ outlets, places of business,
etc., if necessary to establish to its satisfaction about the Bidders ability and
expertise to provide the Services and Bidder shall cooperate for such inspection.
10.8 Pursuant to the response to this RFQ by Bidder, it is considered as unconditional
acceptance by the Bidder of all the terms and conditions mentioned herein.
10.9 All documents and/or any other information submitted pursuant to the RFQ shall
remain the property of BIAL.
10.10 Each of the Bidder shall be responsible and bear all costs associated with the
preparation and submission of its respective Quotes.

10.11 BIAL shall not be liable or held liable for any loss, damage, expenses, costs or
liability arising either directly or indirectly, arising out of this RFQ. Further, BIAL
shall not be held liable for any damage or loss caused to the Bidder due to injury
or death caused to any of its personnel.
10.12 Jurisdiction: The courts at Bengaluru shall have the exclusive jurisdiction in this
regard and the laws of India shall be applicable.
10.13 Notice Address: Any notice to be made, must be in writing and may be given by
post or hand to either party to address communicated from time to time.
11. BUSINESS ETHICS AND STANDARD PRACTICES
11.1 Standards
It is essential to BIAL’s business that BIAL acts under the highest ethical and legal
standards. Not only does BIAL follow a competitive approach in selecting and
engaging suppliers/vendors/bidders based on merit and values, but BIAL also lays
great importance in conducting business in accordance with the highest ethical
standards and BIAL expects all of its vendors to comply on it. Below are some of
the key provisions to be follow.
11.1.1 Ethical Dealings
• Conducting business with high ethical standards is fundamental to BIAL and
BIAL holds its service providers/ selected Bidders/ suppliers / vendors to the
same standards.
• All BIAL employees are governed by a strict code of business conduct. The
Vendor must never offer to a BIAL employee any incentive or any gratification,
including by way of gifts or personal favors, whether in cash or kind, to gain
preferential treatment or obtain or retain any business or contract, or for
discharging or forbearing to discharge, or for showing or forbearing to show
favor or disfavor to any person in the discharge of, any function on behalf of
BIAL.
• BIAL expects its service providers/ selected Bidders/ suppliers / vendors to
avoid conflicts of interest when doing business with BIAL including not offering
to or accepting from BIAL’s employees any business courtesies or
entertainment that are or could be perceived as an improper attempt to
influence a business decision, or discharge of any function on behalf of BIAL.

• BIAL shall have a zero tolerance policy on this service providers/ selected
Bidders/ suppliers / vendors who are not in compliance with this provision
herein shall face the risk of termination of any or all contracts or engagements
with BIAL.
11.1.2 Whistle Blower Policy
• If the supplier/vendor suspects or observes any un-ethical practice or behavior
by BIAL employee, BIAL encourages you to immediately report the same using
HBL lead Battery of capacity 48V 1250AH; HBL Make, 48V, 1250Ah Tubular Gel type VRLA battery, Module 2 TGI 1250, consisting of 24cells of 2V 1250Ah along with intercell connectors, battery racks, Terminal caps and other standard accessories.

ANNEXURE V
BANGALORE INTERNATIONAL AIRPORT LIMITED
Guidelines for Statutory Compliances
1. Labor License
If the successful Bidder (hereafter referred as ‘Contractor’ under this Annexure-V) is
deploying 20 & more workers on any day for the execution of contract at Airport, such
Contractor has to apply for Labor License for the required number of manpower to the
Assistant Labor Commissioner (Central), Bangalore and submit acknowledgement copy to
BIAL before start of the awarded contract work.
2. Compliance under Building & Construction Workers Welfare Act
If the Contractor is deploying 10 & more workers on any day for the execution of any
construction related / civil contract work at Airport,
The Contractor has to register under the BOCWW Act with the Central Labour Dept.
The Contractor has to enroll the workers as beneficiaries with State Labour Dept., and get
them beneficiary cards.
The Contractor has to pay 1% of cess on the entire construction to the BOCCWW Board.
3. ESIC/WCIP – The Contractor’s labor should be covered either under (a) ESIC, OR (b)
Employees Compensation Insurance Policy. (BIAL area is currently not covered under the
ESIC notifications).
4. EPFO – The Contractor’s labor should be covered under the EPFO scheme from day one.
5. Minimum Wages
The Contractor should comply with the minimum wages as notified by the Central Labor
Department from time to time (to be revised in every April & October).
6. Payment of Wages
Payment of wages to labours should be made on or before 7th of every month in the
presence of BIAL’s representative who shall witness and certify the same.
7. Statutory Bonus/ Gratuity – The Contractor shall pay bonus as well gratuity to eligible
employees as per the Act.
8. Equal Remuneration for male and female workers doing the same/similar work.
9. Prohibition of child labour - The Contractor should not employ any workers below the age
of 18 years.

10. The Contractor should issue employment card/appointment letter to all workmen.
11. Registers / Records
The Contractor should maintain attendance register, wages register, register of workmen,
advance register, fines register, over time register, leave register, Form-D, etc., in the
formats as prescribed by Central Labor Department.
12. The Contractor should display all applicable labor abstracts and notices as required
Central Labor compliance.
13. Over Time wages should be paid on gross wages for labours who have put in more than 9
hours in a day or 48 hours in a week at double the rate (not exceeding 50 hours in a
quarter).
14. Weekly Holiday – 1 full day with wages for every six days worked.
15. Leave with wages – 15 days per annum.
16. National and Festival Holidays – 10 days per annum (submit list of holidays during the
start of the term).
17. Working hours should not exceed 9 hours in a shift (including spread hour/break).
18. Extend adequate welfare and safety measures for workers as required under the
Contract Labour Act. (BIAL has built a full-fledged Canteen facility for the benefit of
Contract Agencies to extend canteen provision to their Workers inside the premises of
Airport. Contract Agencies are requested to make use of it).
19. The Contractor should submit records & details to BIAL for any internal audits as and
when called for.
20. If the Contractor is having his corporate office / head office in other state and having an
employer PF Code other than Karnataka, then he has to apply and obtain a PF-Sub Code
from the Regional PF Commissioner-I, Bangalore for Karnataka operation.
21. The Contractor should employ adequate number of Supervisors at site to control and
supervise the workers deployed for execution of the contract work as per the contract
scope agreed with BIAL.
22. The Contractor should observe and comply with all the guidelines and provisions of state
and central labour departments with respect to the employment of women.

23. The Contractor should comply, remit all statutory deductions made from the works
together with his contribution to the respective authorities within the stipulated timelines
and furnish a copy of the same along with the Invoice to BIAL.
24. Apart from the compliance guidelines mentioned herein, the Contractor shall observe,
and
comply with all labour laws applicable to the execution of contract work so awarded by
BIAL & indemnify BIAL against any notices, charges, penalties and liabilities.
25. Form-III – If the Contractor is deploying 20 and more workers, he has to obtain labour
licence from central labour Department. In such case, the Contractor shall submit a
written request to BIAL for issue of Form-III, to obtain labour licence, along with the
following documents:
A. Purchase Order copy along with cost sheet. B. Contract Agreement copy C. Request letter by the Agency for issue of Form-III, enclosing the following documents:
i) Registration certificate of establishment under appropriate authority (Shops Act /
Factories Act/ Companies Act.) as the case may be.
ii) PF Registration certificate of the Agency. iii) Registration certificate under ESIC scheme or copy of Workmen Compensation
Policy insuring the proposed labours, by the Agency. iv) Workmen/Employees Compensation Insurance Policy copy for having covered all the
labours to be deployed for execution of contract at BIAL premises. v) Profession Tax registration certificate of the Agency.
D.Declaration letter by Agency giving status of any cases with any Labour Department / Court, PF Department, ESIC Department and any Court of Law or with any Government Authorities in India.
E. Declaration letter by Agency stating prohibition of child labour deployment.
F. Declaration letter by Agency giving details of any workers Trade Union exist in the
organization.
G. Name, Designation, email ID, Postal Address and Contact Number of MD/Proprietor and Site Incharge

H. Name, Designation, email ID, Postal Address and Contact Number of the official who handles labour/ HR statutory compliances.
I. If the Agency to whom the contract is awarded is engaging another Agency (sub- contractor) for the supply of manpower, following documents are to be submitted: Approval letter from BIAL for engaging sub-contractor. Agreement / work order executed between the Contractor & sub-contractor. Documents mentioned in serial number 3 to 8 above, pertaining to sub-contractor.
J. Details of workers to be deployed for the execution of contract work at BIAL site (to be
emailed in the attached data format) within 15 days of commencement of work.
