• Isseekingtoredefineour foodacquisitionprocesstoengage inamoreeffective leastcost purchasing model to reduce overall food cost, taking into consideration allassociated costs, including, without limitation, the costs of ensuring timely-delivery,product-availabilityandproductquality;
Safe,wholesomenutritiousfoodisofthehighestpriority.EachfirmselectedmustsupporttheDistrict(s) in the removal of all non-value add cost and possess similar shared values andprinciples.Our intent is toreduceproductcostbyeliminatingeverypennyofnon-valueaddsthroughpartnershipandinnovation.
The effort will also focus on providing a standardized commercially prepared product,streamlinedthroughefficiencyandflexibilitywithauser friendlyprocessbyeliminatingstepswhichdonotaddvalue;exploringalternativemethods;andevaluatingtherelationshipoffoodserviceprocessstructureandinteraction.Thegoalofthisprocurementprocessistodeliverthehighestqualityproductsavailableanddriveprofitabilitybycontrollingtheentiresystem.
The District(s) intent is to enter into a long term professional relationship with the mostresponsiveDistributor.Weare looking forpartnerswithexperience, financialstability,whosetechnologywillbekeptuptodateandthatwillbearoundandhaveeffectivecustomerservicefor years to come. Customer service is as important to theDistrict(s) as technology, supplychainefficiency,qualityproductsandwillhavenearlyasmuchweightinourfinaldeterminationasprice.
Oncethesale ismadeandthe implementationcompleted,aphonecallonceor twiceayearwillnotbeconsideredgoodcustomerservice.Animportantelementofgoodcustomerserviceis delivering products as needed on demand, in a timely manner; each and every time.

2.WithdrawalofProposalAny proposer may withdraw his RFP personally or by written request, to the Glendale USDDirectorofNutritionServices,atany timeprior to the scheduledclosing time for submissiondeadline. Any request for withdrawal received after 12:00p.m. on May 2, 2017 will not behonored.

4.ContractAwardSubjecttotheprovisionsherein,Contractawardwillbemadetotheresponsibleproposerwiththe “highest scored,” responsiveproposal, givingappropriate consideration to theevaluationfactors stated herein. The District(s) further reserves the right to contract the work withwhomeverandinwhatevermannertheDistrict(s)decides,toabandontheworkentirely,andtowaive any informality or non-substantive irregularity as the interest of theDistrict(s)mayrequire. A proposal submitted in response to this RFP will be administered in the followingmanner:
a) Aftertheopeningofproposals,aRFPreviewcommitteerepresentingtheDistrict(s)willscoretheproposalsbasedontheevaluationcriteria.
b) Thecommitteemayinvestigatethequalificationsofanyproposerunderconsideration,require confirmation of information furnished by a proposer, and require additionalinformationand/orevidenceofqualifications toperformtheservicesdescribed in theRFP.Thecommittee shallhave the right to inspect thedistribution facilityor facilitiesandequipmenttobeutilizedbytheinterviewedproposer.
c) The District(s)may interview one Distributor without further discussion, or interviewotherDistributors. TheDistrict(s) are not obligated to invite any or all finalists for aninterview.
d) The committee will make a recommendation to all District(s) of the South BayPurchasingCooperative.
e) TheDistrict(s)asawholewillbethesolejudgeofmeritandnotnecessarilyacceptthelowest price offered.On behalf of theDistrict(s), GlendaleUnified School DistrictwillissueIntenttoAwardlettertothesuccessfulbidder.Theawardwillbeformallymadeby theGlendaleUnifiedSchoolDistrictBoardof Education in a timelymanner. In theeventthatasecondvendorisawardedasabackup,GlendaleUnifiedSchoolDistrictwillmailIntenttoAwardlettertothebackupdistributorinthesamemanner.
8.ExecutionofContractThe signed contract forms submitted by the proposing Distributor become fully executableafter the award of the RFP. In the event theDistributor towhoman award ismade fails orrefuses toexecute thecontractwithin theperiodprovided in this section, theDistrict(s)mayworkwiththebackupdistributor,ormayrejectallproposalsandmayissueanewRequestforproposal.

Thisrenewal iscontingentuponcompetitivepricinganduponall termsandconditionsoftheoriginal contract having beenmet to the satisfaction of the District(s). Such renewal will bemade by notifying the Distributor, in writing, thirty (30) days prior to the expiration of thecontract.Thepercentagemarkupandthelandedcostsmaybe“subjecttoadjustment”atthebeginning of each annual contract period. It is expressly understood that the contract rateincreases are not automatic or guaranteed. TheDistributor’s request to increase the currentrate schedule will be evaluated and considered when such adjustments are requested. TheDistrict(s)shallholdthesuccessfulDistributorliableandresponsibleforalldamageswhichmaybesustainedbecauseofitsfailuretocomplywithanyconditionsherein.IfthesuccessfulDistributorfailstofurnishordeliveranymaterial,supplies,equipment,orservicesatthepricesquoted,orat thetimesandplacesstated,orotherwise fails tocomplywiththetermsof thedocumentsintheirentirety,theDistrict(s)maypurchasetheitemshereinspecifiedelsewhere,withoutnoticetothesuccessfulDistributor.AdditionalcostsaccruedbytheDistrict(s)throughthispurchasemaybedeductedfromunpaidinvoicesormustbepaidtotheDistrict(s)bythesuccessfulDistributor. Pricespaidby theDistrict(s) shall be considered theprevailingmarketpricesatthetimesuchpurchaseismade.
PRICINGANDPRICINGMETHODOLOGYThe pricingmethodology proposedmust remain in effect for the term of the contract. Theproposedpricingmethodologywillalsobeappliedtoanynewproductsrequested.
Bideachitemseparately.Pricesmustbestatedinunitsspecifiedortradestandard.Therightisreservedtowaiveanyinformalityinbids,torejectanyorallbids,andtoacceptorrejectanyitem or combination of items. In case of a discrepancy between the unit price and theextension,theunitpricewillbeconsideredcorrect.Quotepricesnetincludingtradediscounts,F.O.B.DESTINATION,FRT.PREPAID.

District(s)shallverifyallpricingoninvoiceswithawardedbidpricing.ShouldvendoroverchargeDistrict(s) forany item,theDistrict(s)willrequestfullreimbursementfortheovercharge.Thesecondtimethevendorisnotifiedofanovercharge,theDistrict(s)willassessanadditionaltwohundredpercent (200%)penalty.Bywayof exampleonly, should vendor charge$100.00 foritemsthatitshouldhaveactuallycharged$50.00,vendorwillimmediatelyreimburseDistrict(s)the sum of $50.00 for the overcharge together with an additional sum of $100.00 for thepenalty,foratotalpaymentof$150.00.
PRICEADJUSTMENTSThesuccessfulDistributorshallbeallowedtoadjustpricesuponpresentationofsuitableproofofapriceincreasefromamanufacturerorprocessor.Anoticeshallbesentincludingproofofany increase thirty (30) days prior to the increase. No increase to the price will be allowedsoonerthan180calendardaysfromthedateofRFPaward,includingthirty(30)calendardaysadvancewrittennotice.Anychangetothepriceshallbesubjecttomutualagreementbybothparties.PricechangesmustbecommunicatedinwritingtospecifiedindividualsateachoftheDistrict(s)atleast30daysbeforethepricechangeswilltakeeffect.
In the event of a decline in price, the successful Distributor is to give the District(s) theimmediateadvantageofsuchadecreaseandinformtheDistrict(s)ofthedecrease.AllordersplacedunderthisagreementshallbedeliveredandinvoicedattheAgreementpriceprevailingatthetimetheorderisplaced,regardlessoftheactualdeliverydate.
FUELSURCHARGESAbsolutelyno fuel surcharges will be accepted under this contract and the addition of suchchargesshallnotbepermittedduringtheperiodofthetermofthiscontract.
The District(s) shall not be obligated to purchase or reimburse the Distributor for anyinventoryofanyproductsshouldpurchasesvaryfromtheanticipatedpurchasepatternsorifagreementexpiresoristerminated.
Vehiclesmust be capable ofmaintaining foodstuffs at appropriate temperatures and,wherenecessary designed to allow those temperatures to bemonitored. Thismeans that vehiclesthat transport perishable food items, either frozen or refrigerated, must be equipped withappropriaterefrigerationsystemsinordertomaintainproductsatappropriatetemperatures.

Staple foods must be delivered in accordance with the Division of Occupational Safety andHealth of the State of California and Safety and Health Codes of the State of California(CalCode).
Additionally, productswill bedelivered freeof infestation includingbutnot limited to larvaeandrodentdroppings.
PRODUCTQUALITYCONTROLThe District(s) reserves the right to discontinue service of all or any portion of any contractresultingfromthisproposal foranyreasondeterminedbytheDistrict(s) tobedetrimentaltothe health and welfare of the students and school personnel, or failure to meet contractspecificationsorwholesomenessstandard,andtoholdthecontractorindefault.
All products received under this contract shall be processed according to the health andsanitationstandardsforplantfacilitiesandfoodprocessingestablishedbythelocalityorstatein which Distributor’s plant is located or by the applicable federal standards, whichever ishigher.
Distributor shall provideproducts frommanufacturerswithaHazardAnalysisCritical ControlPoint(HACCP)systeminplace.Additionally,Distributorshallensurethatallproductsreceivedunder this contract shall beprepared,handledandare stored in accordancewith thehealthandsanitationstandardsfortheCountyofOrangeorlocalcity/countyagencyinwhichproductwasproduced,StateofCalifornia,and/orFederalGovernment,whicheverishigher.
Distributor shall follow appropriate procedures for First in First out (FIFO) stock rotationsystem. Products received shall not have a shelf life or expiration date less than onemonthfromthedateofdelivery.
Intheeventofproductcontaminationissue,Distributorshallprovidetracebackcapabilitiesforall products to the point of origin. Evidence of such procedures should be submitted withproposal(HACCPPlan,FoodSecurityandSafetyProgramincludingPestControlPolicy).
INFERIORPRODUCT,INSPECTIONANDACCEPTANCETheDistributoragrees topermit inspectionof thedelivered itemsbya representativeof theDistrict(s) Food Services Departmentwith the right of rejection of inferiormerchandise. TheDistrict(s) decision shall be final. Inspection and acceptance of all items shall be atDESTINATION.ItemsfoundtobedefectiveornotinaccordancewiththebidspecificationsshallbereplacedbythesuccessfulbidderatnocosttotheDistrict.FailuretoreplacesaiditemsshallbeconsideredsufficientcausefordefaultactionundertheDEFAULTprovisionofthisbid.
PACKAGINGCases and packages shall be so constructed as to ensure safe and sanitary transportation topointofdelivery.AllpackagingmaterialsshallbeFDAapprovedtomeetallpertinentStateandFederalregulationsforsafeusewithfoods.Packagingmaterialsshallimpartnoodor,flavor,orcolortotheproduct.

Goodling ChildNutrition Reauthorization Act of 1998 (PublicLaw105-336)addedaprovision,Section12(n)totheNSLA(42USC1760(n)), requiringschoolfoodauthorities(SFAs)topurchase,tothemaximumextentpracticable,domesticcommodityorproduct.Section12(n)oftheNSLAdefines“domesticcommodityorproduct”asanagriculturalcommodity that is produced in theUnited Statesanda foodproduct that is processed in theUnitedStatesusingsubstantialagriculturalcommoditiesthatareproducedintheUnitedStates.“Substantial”meansthatover51percentofthefinalprocessedproductconsistsofagriculturalcommodities that were grown domestically. Products from Guam, American Samoa, VirginIslands, Puerto Rico, and the Northern Mariana Islands are allowed under this provision asterritoriesoftheUnitedStates.
Federal regulations require that to themaximumextentpossible, onlydomestic productsbepurchased consistent with the “Buy American” provisions of Public Law [PL 100-237] whenpurchasingcommoditiesfortheschoollunchprogram.Therefore,Distributorsofferingproductand/orproductsingredientsmanufacturedorgrownintheUnitedStatesmaybegivenpriorityforusageunderthisproposal.Thispolicywillallowforanexceptiononlyinthecasewhenanacceptableproductisnotavailabledomestically,inwhichcaseothercountriesoforiginmaybeconsideredorpurchased.
NUTRITIONALINFORMATIONANDLABELINGIn order to accommodate the computerized menu system utilized by the District(s) FoodServices Department, the successful Distributor shall be required to provide a completenutrient analysis of some products, as requested by theDistrict(s). The nutrient informationmaybeobtainedfromanindependentlaboratory.Thefollowinginformationwillberequiredfromthemanufacturer:weight(gm),calories(Kcal),protein (gm),carbohydrate (gm), fat (gm),polyunsaturatedfat (gm),saturatedfat (gm), transfat (gm), sodium (mg), cholesterol (mg), dietary fiber (gm), vitamin A (IU), vitamin C (mg),calcium(mg),andiron(mg).
All ingredients must be declared on the product label and conform to the Food AllergenLabelingandConsumerProtectionActasrequiredbytheFoodandDrugAdministration.Labelsmust list the presence of ingredients which contain: protein derived from milk, eggs, fish,crustaceanshellfish,treenuts,peanuts,wheat,orsoybeans.
Distributor shall notify District(s) Nutrition Services Department whenever there is aproduct/ingredientchangeinanyitemprovidedtotheDistrict(s).Ifanyproductchangesoccur,newingredientstatementsandnutritionalinformationshallbeprovidedtotheDistrict(s)FoodServicesDepartment.
SAMPLESANDTESTINGSamplesofitems,whenrequired,shallbefurnishedfreeofexpensetotheDistrict(s),andmaybe retainedby theDistrict(s) for thepurposeof comparingagainstmaterialdeliveredby thesuccessful bidder, and if not destroyed by tests will, upon request, be returned at bidder'sexpense.Thefinaldecisionastowhetherthematerialorproductistheequaltothatspecified

SUBSTITUTIONANDDISCONTINUEDITEMSAny and all products delivered during the period covered by this proposal shall be only theexactmanufacturer’sproductsandcodenumbersas requestedby theDistrict(s)unlesspriorapproval has been received to deliver alternate products. The District(s) will not allowsubstitutionswithoutpriorapproval.
If the desired product is absolutely not available for any reason, the District(s) shall benotifiedatleast2businessdaysinadvance.
TheDistributormustprovidethespecifiedproductoranacceptablesubstitute,asdeterminedbytheDistrict(s). If,asa resultof failure todeliverspecifiedproduct ina timelymanner, theserviceofmealsfailstocontaintherequiredcomponentsofareimbursablemeal,DistributorshallberequiredtoreimbursetheDistrict(s)forthefullvalueofalloftheidentifiedmeals,asdeterminedbytheNationalSchoolLunchProgram.Financialrestitutionshallbemadewithin60daysofwrittenrequestbytheDistrict(s).
If substitution is unavoidable due tomarket conditions, Contractormust provide equivalentitem for District(s) approval at no additional cost to the District(s) for product or freight.AuthorizationofasubstituteproductshallbeatthesolediscretionoftheDistrict(s).
Contractor shall immediately notify Nutrition Services if they become aware of any productchangesorreformulation.Whenproductchangesdooccur,Contractorshallprovidenutritionalstatements and ingredient listing of these products to the District(s). Failure to providenotification to Nutrition Services of any product changes or reformulation, of which theContractorisawareof,mayresultinterminationofthecontract.
RECALLSThe Contractor shall bear all costs incurred by the District(s) resulting from product recall,including,butnotlimitedto,anycostsinitiallyincurredforstorageandtransportation;pickup,transportationandstorageofrecalledproduct;andpricedifferentialforreplacementproduct,ifnecessary,asdeterminedbytheDistrict(s).Paymentforallcostsdirectlyrelatedtoproductrecallshallbemadewithin30daysofsubmissionofinvoicebytheDistrict(s).
DELIVERIES

The successful Distributor will make mutually acceptable delivery time options available foreach site within the District(s). If, at any time, a delivery cannot be made within one (1) hour of scheduled time, theVendor/Drivermustnotify theschool/sitetonegotiateanalternatedeliverytimeorday.TheDistrictmayrefuseunscheduleddeliveriesattheVendor’sexpense.Frequentoccurrencesmayresult in cancellation of the Contract. The District shall be entitled to bill/deduct frompaymentstotheVendortherateof$100perdeliverypersiteforanyandalllatedeliveries.
TheDistributormustguaranteea99.5%fillrateforallDistrictorders.ForanyDistrictorder,iftheBidderisunabletoperformunderthetermsoftheContract,orifitfailstodeliveranyitemsorderedwithintheprescribedtimelines,theDistrictreservestherighttocancelanyorder(s)orpurchasetheitem(s)ontheopenmarket,andtorequestandreceivepaymentfromtheBidderfor the difference between the contract price and the price the District pays on the openmarket.
ACCOUNTINGANDPAPERWORKInvoiceswill be furnished in triplicate and includedelivery site, productname,quantity, unitsize,andunitprice.TheoriginalcopyistobekeptbytheDistributor.
Statements for all goods purchased within a calendarmonth shall bemade available on anindividualschoolbasis.Statementsshouldbesentbythe5thofthemonthfollowingthemonthofpurchase.StatementsmustbeavailableeitherinpaperorelectronicformatbasedoneachDistrict(s)preference.
The payment terms of this contract shall be “Net 30 days” unless otherwise indicated. Allinvoicesaredueandpayablewithin30daysfromthe“invoicedate”ordateofdeliveryuponthe receipt of invoices acceptable to the District. The Distributor will list all discounts andpaymentoptionsavailableontheDistributorEvaluation/Questionnaireiftermsotherthan“Net30days”areoffered.
AUDITSANDINSPECTIONSTheDistributorshallsubmittothirdpartyauditsand/orinspectionsinitiatedbytheDistrict(s)during the term of the contract and for one year following the end of the contract. Auditsand/orinspectionswillservetoensurecompliancewithcontractterms,foodsafetyguidelines,pricing and billing. Distributors must take steps to correct findings identified during auditsand/or inspections, including financial restitution for any pricing or billing errors whichmayhaveoccurredduringthelengthofthecontractperiod.
The District reserves the right to inspect the facilities of the bidder prior to award of thecontract,and,ifrepresentativesoftheDistrictdetermineaftersuchinspectionthatthebidderisnotcapableofperformingsatisfactorily to theDistrict,hisbidwillbe rulednonresponsive.Additionally,theDistrictreservestherighttoinspectthesuccessfulbidder’sfacilityduringthecontractperiod.
SAFETYANDSECURITYThe Distributor shall comply with all District(s) security regulations. Doors must be locked,alarmssetandfoodmustbesafelystored,otherwise itcouldresult inafiscalpenaltyand/orterminationofthecontract.EachDistrictwillassessthesituation(s)basedonprotocolforeachindividualDistrict.Anyfeesassessedforfalsealarmswillbepassedontothedistributor.
All equipment and supplies furnished, and/or all work performed, shall meet all applicablesafety regulationsof theDivisionofOccupationalSafetyandHealthof theStateofCaliforniaandSafetyandHealthCodesoftheStateofCalifornia(CalCode).
Distributor’s representatives driving motor vehicles on school grounds must use extremecautionduringtimeswhenschoolisinsession.Anyunusualconditionnotedbydrivers,suchasevidenceofvandalism,power failure, fire,waterdamage,gas leak,etc.,mustbe reported totheDistrict(s).
