1. INVITATION FOR BIDS

Greater Visakhapatnam Municipal Corporation (GVMC) recently constructed Asilmetta Flyover for public convenience, which being operational since 2013. The stretch of the flyover is 1.5 Kms with 30 bays beneath, distance between each bay is 30 mts. The flyover is crossing 4 major commercial junctions of the city. With a desired to cover with green attire and to face-lifc the stretch below the flyover, GVMC envisaged for beautification of unutilised area. In this context GVMC proposes “Beautification of open space below Asilmetta flyover includes Construction, Operation and Maintenance in lieu of Advertisement rights” under Revenue sharing model for 3 years. GVMC invites sealed Bids comprising Technical and Price Bids from the interested bidders for development of the Project on Revenue sharing, as per the terms and conditions stipulated in this RFP document. 1. 2. The scope of work for the selected Bidder majorly includes the beautification & landscaping works like garden, lawns, flower plants, crawlers/ creepers, etc under the Flyover. The detailed scope of work for the proposed Project is provided in the RFP. The Bidder shall be allowed to display and maintain the Advertisement boards as per the best industry practices and performance standards during the Authorisation Period.

3. The Bids comprising Technical Bids and Price Bids in two separate envelopes, placed in an Outer

Envelope as specified in the RFP, shall be delivered to the Office of Commissioner, GVMC, at the

address given below:

4. The Bids should reach not later than 9-2-2015 at 3: 30p.m. In the event that the Due Date for the Bid submission is a holiday, the next working day will be the date of submission. The Technical Bids would be opened on the 9-2-2015 at 4: 00 p.m. in the presence of the Bidder's representatives who choose to attend.

5. In case Bidders need any further information about the Project or for inspection of any other document related to the Project, as available with GVMC or want to visit the site, they are requested to contact the GVMC Office at the address given above.

6. The Bids shall be accompanied by Bid Security of Rs.1 Lakhs ( Rupees one lakh) Refundable for Un-successful Bidders, in the form of an irrevocable & unconditional Bank Guarantee (as per format in RFP) or Demand Draft (DD) drawn in favour of “Commissioner, GVMC” and payable at Visakhapatnam, from a nationalized or scheduled bank having its’ branch at Visakhapatnam.

7. The bidder should enclose a D.D. of Rs. 10,000/- (rupees ten thousand only) in the name of Commissioner, GVMC towards the cost of RFP document along with the tender, which is Non-Refundable.

8. The successful bidder should pay Rs. 5 Lakhs (Rupees Five lakhs) Security deposit by way of irrevocable & unconditional Bank Guarantee for the entire authorization period at the time of Agreement, which will be refunded after the completion of agreement period. The bid security will be refunded for the successful bidders after the Agreement is concluded.

9. The Bid shall be filled in English and all entries must be typed and/ or written in blue/ black ink. Initials of the authorized representative of the Bidder must attest all erasures and alterations made while filling the Bid. Over-writing of figures in Price Bid is not permitted. Failure to comply with any of these conditions may render the Bid invalid.

10. Neither GVMC shall be responsible for any costs or expenses or liabilities incurred by the Bidders in connection with the preparation and delivery of Bids, including costs and expenses related to visits to the site. GVMC reserves all the rights to cancel, terminate, change or modify this procurement process and/or requirements of bidding stated in the RFP, at any time without assigning any reason or providing any notice and without accepting any liability for the same.

11. The Bid evaluation process is detailed in the RFP. The Technical Bids will be evaluated as per the Technical Criteria laid down in the RFP. Only those Bidders, whose Technical Bids meet/comply with the Technical Criteria will be considered for the purpose of opening of their Price Bids and evaluation thereof.

The bidder’s experience in Infrastructure/Advertisement/Media will be considered. The Joint Ventures are eligible for participation in the tenders. Minimum Eligibility Criteria Financial : Bidder should be an existing firm/entity engaged in the similar/relevant activities have at least for the past three financial years (i.e. from 1.4.2011 or earlier) having average annual turnover of Rs. 1(one) Crore during last 3 financial years (2011-12, 2012-13 and 2013-14).

3. DEFINITIONS AND INTERPRETATION

3.1 DEFINITIONS

“Authorisation Agreement” shall mean Agreement to be entered into between the GVMC and the Preferred Bidder.

“Authorisation Period” shall mean 3 years from signing of Contract.

“Authorisee /contractor” shall mean either the Preferred Bidder or the Special Purpose Company (SPC) incorporated by the Preferred Bidder, who has been selected by GVMC to develop the Project on the terms and conditions stipulated in the RFP/Agreement.

“Bid or Detailed Bid or Proposal” shall mean the Bid submitted by the Bidder in response to the RFP including clarifications and/or amendments to RFP, if any.

“Bid Security” shall mean the security furnished by the Bidder in the form as stipulated in the RFP document.

“Bidder” shall mean applicant who has submitted his Bid in response to the RFP.

“Bid Evaluation Committee” shall mean the Committee constituted by GVMC or any other framework as decided GVMC for evaluating the Bids.

“Compliance Date” shall be as defined in the Draft Authorisation Agreement.

“Commercial Operation Date” or “COD” means the date upon which the Contractor commences commercial operations of the Project in part or full.

“Construction/ Installation Performance Security” shall mean irrevocable & unconditional Bank Guarantee furnished by the Preferred Bidder prior to the signing of Authorisation Agreement valid till Commercial Operation Date.

“Due Date” shall mean the last date for submission/receipt of the Bid, as mentioned in the RFP document.

“Financial Bid” or “Price Bid” shall have the meaning as set forth in the RFP documents.

“Grantor” shall mean Greater Visakhapatnam Municipal Corporation (GVMC).

“Lenders” shall mean any person(s)/ firm(s) based in India or abroad providing financial assistance, loans, funds, or other credit facilities to the Contractor under any financing agreements.

“Letter of Intent” or “LoI” shall mean the letter to be issued by GVMC to the Preferred Bidder conveying intention of award of the Project/Authorisation, in accordance with the terms of this RFP.

“Minimum Development Obligations” or “Essential Facilities” shall mean as specified in the RFP, and which the Contractor is required to develop as part of the Project.

“Operations Period” means the period commencing from COD and ending on the expiry or prior termination of this Agreement Period;

“Operation Performance Security” shall mean irrevocable & unconditional Bank Guarantee furnished by the Preferred Bidder upon completion of the construction/installation and commissioning of the Project, as per the Minimum Development Obligations.

“Preferred Bidder” shall mean the successful Bidder, whose Bid is declared as the winning Bid as a result of the Bid evaluation process as set forth in this RFP document.

“Project” means, “Beautification of open space below Asilmetta flyover including Construction, Operation and Maintenance in lieu of Advertisement rights” under Revenue sharing model for 3 years and subject to the provisions of this RFP and Agreement, (i) The Bidder shall have beautify & landscape the entire stretch below Flyover along

with installation of 3x4 feet pole boards (lollypops) at a distance of 20 feet for

display of advertisements. The detailed scope of work for the proposed Project is

provided in the RFP. The Bidder shall be required maintain the beautification &

landscaping and Advertisement displays as per the best industry practices and

performance standards during the entire Authorisation Period.

(ii) The initial advertisement rights belongs to the Advertiser for the 3 years and GVMC

may extend the maintenance & advertisement rights or may transfer of the rights to

other party on basis of Performance during the authorization period;

“Project Agreement” shall mean Authorisation Agreement and any other legal documents as mutually agreed to between the GVMC and the Preferred Bidder, necessary for implementing the Project.

“Project Cost” shall mean the total cost for beautification & landscaping. The components would include the costs incurred for carrying out the Project related activities such as install maintain & finance etc.

“Request for Proposal or RFP” shall mean the Bid documents.

“Taxes and Duties” shall mean all taxes, duties, fees etc. payable as per applicable laws in India in connection with the development, operation and management of the Project.

“Technical Criteria” shall mean the criteria stipulated in the RFP, which is required to be complied by the Bidder based on his Technical Bid to become eligible for opening and evaluation of his Price Bid.

3.2 INTERPRETATION

In the interpretation of this RFP, unless the context otherwise requires:

1. The singular of any defined term includes the plural and vice versa, and any word or expression defined in the singular has the corresponding meaning used in the plural and vice versa;

2. Unless otherwise stated, a reference to a Clause, Sub-Clause, Paragraph, Subparagraph, Annex, Exhibit, Attachment, Schedule or Recital is a reference to a Clause, Sub-Clause, Paragraph, Subparagraph, Annex, Exhibit, Attachment, Schedule or Recital of this RFP;

3. A reference to any agreement is a reference to that agreement and all annexes, attachments, exhibits, schedules, appendices and the like incorporated therein, as the same may be amended, modified, supplemented, waived, varied, added to, substituted, replaced, renewed or extended, from time to time, in accordance with the terms thereof;

4. The terms “include” and “including” shall be deemed to be followed by the words “without limitation”, whether or not so followed;

5. Any reference to a person shall include such person’s successors and permitted assignees;

6. A reference to a “writing” or “written” includes printing, typing, lithography and other means of reproducing words in a visible form;

7. Any date or period set forth in this RFP shall be such date or period as may be extended pursuant to the terms of this RFP;

8. A reference to “month” shall mean a calendar month, a reference to “week” shall mean a calendar week and a reference to “day” shall mean a calendar day, unless otherwise specified.

9. The terms "hereof, "herein", "hereto", "hereunder" or similar expressions used in this RFP mean and refer to this RFP and not to any particular Article, Clause or Section of this RFP. The terms "Article", "Clause", “Paragraph” and “Schedule” mean and refer to the Article, Clause, Paragraph and Schedule of this RFP so specified;

10. In the case of any conflict, discrepancy or repugnancy between the provisions of RFP documents, provisions of the Authorisation Agreement shall prevail over and supersede the provisions of other documents.

11. The descriptive headings of Articles and Sections are inserted solely for convenience of reference and are not intended as complete or accurate descriptions of content thereof and shall not be used to interpret the provisions of this Agreement;

12. All capitalized words and expressions used in the RFP but not defined therein shall have the same meaning as ascribed to them in the Agreement.

4. GENERAL INFORMATION AND INSTRUCTIONS

4.1 INTRODUCTION TO ITB

4.1.1 This section should be read in conjunction with other sections of RFP. The words and

expressions, which are defined in this Section of RFP i.e. Instructions to Bidders (ITB), have the same meaning when used in the other Sections of RFP, unless separately defined.

4.1.2 The ITB sets out the bidding procedure and provides necessary details for the Bidders to prepare their Bid. The prescribed formats for submission of Bids are as per the Section-III of the RFP.

4.1.3 The Bidders are advised to submit their Bids complying with the requirements stipulated in the RFP document. The Bids may be rendered disqualified in case of receipt of incomplete Bids and/or the information is not submitted as per the prescribed formats.

4.2 BIDDER’S RESPONSIBILITY FOR DATA

4.2.1 While preparing the Bid, the Bidder shall consider the information provided in this RFP in

totality.

4.2.2 The technical details given in Section II of RFP are based on the site status, and assumptions of GVMC or its Consultants. However, the Bidders shall be wholly responsible for all the details of their Bids, the physical and site conditions, etc. In essence, after the Bid is submitted, the Bidder shall be the owner of all the data, which forms the basis of the Bid and shall have no claims whatsoever on GVMC or its agencies regarding the accuracy of the data or designs, drawings & concepts plans etc furnished in the RFP.

4.3 BIDDER’S ELIGIBILITY CRITERIA

General Eligibility

(a) This invitation of Bid is open to all interested Bidders, who shall be either a

proprietorship firm or partnership firm or company (public or private ltd) of

Media House or Advertisement Agency. The bidder needs to apply as single

entity. In case of JV/consortium maximum of 3 partners are allowed.

(b) All firms/Companies, who have downloaded this RFP document, subject to

their meeting the specific criteria set forth in the RFP, will be considered.

(c) The Bidders shall provide evidence of their continued eligibility in a manner

that is satisfactory to GVMC and GVMC may request the Bidders for the

same till signing of the Authorization Agreement.

(d) Bidders may be required to periodically update (at times to be notified by

GVMC) the information submitted in their Technical Bid with regard to the

following:

(i) Evidence of availability of financial resources;

(ii) Audited Financial statements including the effect of known

commitments;

(iii) Any other information that might be requested;

(iv) Any information known to the Bidder that may affect its ability to

perform the contractual obligation.

(e) The Bidder’s shall be required to make presentations of their proposed

concept plan of the project. GVMC would shortlist Bidder’s having good

concept based on a marking system after Bidder’s presentations for opening

of Price bid.

(f) A Bidder may be disqualified if it is determined by GVMC or any this SPV

partner, at any stage of the bidding process that the Bidder fails to continue

to satisfy the Technical Criteria. Supplementary information or

documentation regarding the criteria may be sought from the Bidders at any

time and the same shall be so provided within the time frame stipulated by

GVMC.

Qualification Criteria

Bidder should be either a proprietorship firm or a partnership firm or a company (public or private ltd) of Media house or Adv agency. Bidder can be either a single entity or Joint Ventures are also permitted. The bidder’s experience in experience in Advertisements/Media/ Infrastructure/ Beautification & landscaping Development activities will be considered. The Joint Ventures are eligible for participation in the tenders.

4.4 NON-COMPLIANCE WITH RFP

4.4.1 GVMC reserves the right to terminate a Bidder’s participation in the bidding process at any

time, should GVMC consider that a Bidder has, without the prior consent, failed to comply

with the procedures and requirements prescribed in the RFP.

4.5 COST OF BIDDING

4.5.1 The Bidder shall bear all costs associated with the preparation and submission of its Bid,

including site visits, field investigations, data collection, analysis, etc. as also any discussions/negotiations. GVMC shall not be responsible or liable for any such costs.

4.6 POWER OF ATTORNEY FOR BID SIGNATORY

4.6.1 All Bidders have to submit the Power of Attorney for Bid Signatory along with the

submission in favour of a specified person to act as the official representative of the Bidder for the purpose of signing documents, making corrections/modifications and interacting with GVMC and acting as the contact person.

4.7 VALIDITY OF BID

4.7.1 The Bids submitted shall remain valid for 120 days from the Due Date of submission.

4.7.2 In exceptional circumstances, prior to the expiry of the original Bid validity period, GVMC may request the Bidders to extend the period of validity for a specified additional period. The request for the extension shall be made in writing. Bidder will not be permitted to modify their Price Bid, but will be required to extend the validity of the Bid Security for the period of extension.

4.8 BID SECURITY

4.8.1 The Bidder shall furnish, along with the Bid, an irrevocable Bid Security of Rs. 1 lakh ( Rupees

one lakh ), in the form of an irrevocable & unconditional Bank Guarantee (as per format in RFP) or Demand Draft (DD) drawn in favour of “Commissioner, GVMC” and payable at Visakhapatnam, from a nationalized or scheduled bank having its’ branch at Visakhapatnam. The Bid Security shall be valid for a period of 180 days from the Due Date of Bid submission.

4.8.2 Any Bid not accompanied by the Bid Security in the manner stated above shall be rejected by GVMC as non-responsive and their Technical Bid / Financial Bid (Envelopes I & II) shall not be opened for evaluation.

4.8.3 The Bid Security of unsuccessful Bidders, except the Bidder (H2) next to the Preferred Bidder (H1), will be returned promptly, but not later than 60 days from the Bid Due Date. The Bid Security of H2 will be returned within 15 days of signing of Authorisation Agreement with the Preferred Bidder.

The Bid Security of H1 & H2 shall be held beyond the original validity period in case the signing of Authorisation Agreement is delayed due to any reason.

The Bid Security shall become liable for forfeiture in the event of the following:

i. If the Bidder withdraws his bid during the period of Bid Validity or modifies his Bid within the validity period, or

ii. If the Bidder refuses to accept the correction of errors in his Bid, or

iii. If the Bidder submits a conditional Bid which would affect unfairly the competitive provision of other Bidders who submitted substantially responsive Bids and/or is not accepted by GVMC, or

iv. The Preferred Bidder fails to sign the Authorisation Agreement and/or to pay the Project Development Fee and/or to submit the Construction Performance Security as stipulated in the LOI/RFP.

4.9 MISCELLANEOUS INSTRUCTIONS

4.9.1 GVMC reserves the right to disqualify Bidders at any stage of the bidding process if the details submitted are found to be incorrect or untrue.

4.9.2 Bids that are incomplete in any respect or those that are not consistent with the requirements as specified in this RFP might be considered non-responsive and may be liable for rejection.

4.9.3 Adherence to formats, wherever prescribed, is required. Non-adherence to formats might be a ground for declaring a Bid non-responsive.

4.9.4 All communication and information shall be provided in writing and in English language only.

4.9.5 All financial data shall be given (converted) in Indian Rupees only.

4.9.6 All communication and information provided should be legible, and wherever the information is given in figures, the same should also be mentioned in words. In case of conflict between amounts stated in figures and words, the amount stated in words will be taken as correct.

4.9.7 No change in, or supplementary information to a Bid shall be accepted once submitted. However, GVMC or any of its advisors/ agencies/ consultants reserves the right to seek additional information and/ or clarifications from the Bidders, if found necessary, during the course of evaluation of the Bid. Non-submission, incomplete submission or delayed submission of such additional information and/ or clarifications sought by GVMC or any of its agencies/consultants may be a ground for rejecting the Bid.

4.9.8 If any claim made or information provided by the Bidder in the Bid or any information provided by the Bidder in response to any subsequent query by GVMC or any of its agencies/consultants/advisors, is found to be incorrect or is a material misrepresentation of facts, then the Bid shall be liable for rejection. Mere clerical errors or bonafide mistakes may be treated as an exception at the sole discretion of GVMC or any of its advisors/ agencies/ consultants and if GVMC or any of its advisors/ agencies/ consultants is adequately satisfied.

4.10 BID RESPONSIVENESS

4.10.1 A Bid shall be deemed “non-responsive” under any of the following conditions:

i. It is not received by the Due Date and time

ii. It does not include sufficient information/ details for it to be evaluated and/or is not in the formats specified in this RFP.

iii. It is not signed and/or sealed in the manner as specified in this RFP.

iv. The Bid Security is not submitted by the Bidder along with the bid or submitted in any other form other than that prescribed in the RFP or lesser than Rs. 1 lakh ( Rupees one lakh ).

4.10.2 Non-responsive Bids shall be liable for rejection at any stage during the Bid evaluation process and the decision of GVMC in this regard is final and binding.

4.11 CLARIFICATION & AMENDMENT OF RFP DOCUMENTS 4.11.1 The Bidders shall note that reliance upon information/ clarification that is provided by any

other source shall be at the risk of the Bidders.

4.11.2 At any time prior to the Due Date, GVMC may amend the RFP document by issuing an addendum.

4.11.3 Any addendum thus issued shall be part of the RFP document and shall be communicated by mail or by fax to all the Bidders.

5. BIDDING PROCESS

5. 1 OVERVIEW 5.1.1 Bidders are required to submit their Bids in two parts/envelopes (i) Technical Bid,

and (ii) Price Bid. Both the envelopes shall be placed inside an Outer Envelope. 5.1.2 The Technical Bid in Envelope-I will be evaluated based on the compliance vis-à-vis

the stipulated Eligibility Criteria.

5.1.3 The Bidders qualified in the technical evaluation will only be eligible for opening & evaluation of their Price Bids. Evaluation of the Price Bids will be the final stage of evaluation process.

5.1.4 In order to accomplish a comprehensive, expeditious and fair Bid evaluation process, Bidders are requested to study the contents of the RFP documents completely and carefully. The Bidders may obtain clarifications, if required from GVMC in this regard.

5.1.5 The evaluation of Bids would lead to the selection of a Preferred Bidder. The Authorisation Agreement would be signed between GVMC and Preferred Bidder or Special Purpose Company formed by the Preferred Bidder, as the case may be.

6. PREPERATION AND SUBMISSION OF BIDS

6.1 GENERAL SUBMISSIONS

6.1.1 The Bid shall be submitted in two separate envelopes as under, placed in an Outer Envelope.

a. ENVELOPE I: Technical Bid b. ENVELOPE II: Price Bid

6.1.2 The Outer Envelope shall be sealed, labelled as “BID FOR “Beautification of open space below Asilmetta flyover including Construction, Operation and Maintenance in lieu of Advertisement rights” under Revenue sharing model for 3 years and “NOT TO BE OPENED BEFORE THE DUE DATE/TIME OF BID SUBMISSION & OPENING”

6.2 INSTRUCTIONS FOR SUBMISSION OF TECHNICAL BID

The Bidders shall be required to submit their Technical Bids as under:

a) Covering Letter/Application as per Annexure A 1 of RFP (Sec-III). b) Letter for Submission of Bid Security as per Annexure A 2 of RFP (Sec –III) c) RFP document Fee of Rs 10,000 /- non-refundable. d) Bid Security (Bank Guarantee) e) General Information about the Bidder as per Annexure A3 of RFP (Sec-III)

6.3 INSTRUCTIONS FOR SUBMISSION PRICE BID

6.3.1 The Bidders shall be required to submit their Price Bids as under:

1. Price Bid Letter & Format as per Annexure- B1 (RFP-Sec-III) duly filled in the Maximum Revenue sharing subject to the conditions stipulated in RFP.

2. Bidders shall prepare and submit one (1) original of the Price Bid in Envelope II. The envelope containing the Price Bid shall be sealed, labelled as ENVELOPE II: PRICE BID FOR “Beautification of open space below Asilmetta flyover including Construction, Operation and Maintenance in lieu of Advertisement rights” under Revenue sharing model for 3 years and placed inside the Outer Envelope.

6.4 COMMON INSTRUCTIONS

6.4.1 All the inner envelopes shall indicate the name and address of the Bidder to enable

the Bid to be returned unopened in case it is declared “late” or “nonresponsive” or “non-qualified”, as the case may be.

6.4.2 If the Outer Envelope is not sealed and marked as above, GVMC will not assume any responsibility for the misplacement or premature opening of the bid. If the Outer Envelope discloses the Bidder’s identity, GVMC will not guarantee the anonymity of the bid submission, but this shall not constitute grounds for rejection of the Bid.

6.4.3 The Bid must be received by GVMC no later than 9-2-2015, 03-30 P.M. at the address mentioned in the RFP.

6.5 SIGNING OF BID

6.5.1 The Authorized Signatory shall sign or initial each page of the RFP (including Draft

Authorisation Agreement) along with the stamp of the bidder and submit the same to GVMC along with Bid.

6.6 LATE BIDS

6.6.1 The Bid received after the deadline for its submission will not be considered and will

be returned unopened to the Bidder. There will be no exceptions to this requirement. It is the Bidder’s responsibility to ensure that the Bids are received at GVMC office before the Due Date and Time.

6.7 MODIFICATION OR WITHDRAWAL OF BIDS

6.7.1 The Bidders may modify or withdraw their Bids after submission, but prior to the

Due Date, provided that written notice of the modification or withdrawal is received by GVMC office. The responsibility of submitting the modified Bid, on or before the Due Date will rest solely with the Bidders.

6.7.1 The Bidders cannot modify their Bids after the Due Date & Time. The Bids shall only be modified, if the same is requested by GVMC only to accommodate clarifications on the Bids submitted.

6.7.2 In the event of withdrawal of a Bid by the Bidder after the Due Date but within the Bid validity period, the Bid Security of the Bidder shall become liable for forfeiture.

7. BID OPENING AND EVALUATION

7.1 OPENING OF BIDS

7.1.1 The Technical Bids (Envelope I) of the Bidders will be opened in the presence of the Bidders’ designated representatives who choose to attend, at the time, date, and location given below:

7.2 PROCESS TO BE CONFIDENTIAL

7.2.1 Information relating to the examination, clarification, evaluation and comparison of Bids and recommendations for the award of contract shall not be disclosed to the Bidders or any other persons not officially concerned with such process until the process is completed and issue of the LoI to the Preferred Bidder has been announced.

7.3 CLARIFICATION OF BIDS

7.3.1 To assist in the examination, evaluation, and comparison of Bids, GVMC may, at its discretion, ask any Bidder for information/ clarification/ substantiation.

7.3.2 In addition, GVMC may utilize services of any other consultants/advisors/ experts to assist in the examination, evaluation and comparison of Bids.

7.3.3 However, clarifications if any required from Bidder, shall be in written form and will be communicated to Bidder by GVMC.

7.4 EVALUATION OF BIDS

7.4.1 Evaluation of Technical Bid

a. Process: In the first stage, the submissions of the Technical Bid would be evaluated by GVMC to check its’ substantial compliance with the stipulated requirements. If the submission is not in substantial compliance, the submission will be rejected and the Bidder will be eliminated from further evaluation process. The right to determine the ‘substantial compliance’ or otherwise will rest solely with GVMC and no correspondence and/or representation towards this will be entertained. A Technical Bid that is in substantial compliance is one that is accompanied by the required documents in the prescribed format that conforms to the requirements/eligibility criteria without material deviation or reservation (i.e. which affects in any substantial way the scope, obligations, quality, specifications, standards, rules, controls and performance of the Project).

b. The Bidder’s clearing the General Eligibility criteria as set in clause 4.3 will be eligible for next stage i.e., Opening of Price Bid.

c. Cause for Rejection: The required information shall be provided in “reasonable detail” and in the prescribed formats. For purposes here, ‘reasonable detail’ means that, the submissions in the Technical Bid generally meet the requirements/eligibility criteria and if need be, by having communication with the Bidder, the same can be clarified. The determination of whether the information has been provided in ‘reasonable detail’ rests solely with GVMC.

d. The GVMC may discuss, request clarifications/ substantiation/additional information and require meeting with the Bidders on their Technical Bids. The Bidder shall

provide clarifications/ substantiation/additional information, as requested within a period of one week.

7.4.2 Evaluation of Price Bids

a. Process: If the submission is in substantial compliance with the Price Bid, then, Bid Evaluation Committee will review and evaluate the Price Bid. If the submission does not satisfy the criteria, the submission will be rejected and the Bidder will be eliminated from further evaluation process.

b. Requirements for Substantial Compliance: Prior to the detailed evaluation of the Price Bid, Bid Evaluation Committee will determine whether each Bid:

i. Has been properly signed and contains the required representations or commitments;

ii. Is presented in a manner that conforms with the requirements of the RFP including the specified format;

c. Material Deviation: A material deviation or reservation is one

i. Which affects in any substantial way the requirements of the RFP and performance of the Project; or

ii. Which is in substantially inconsistent with the requirements of the RFP. This limits in any substantial way, GVMC’s rights or the Bidder’s obligation under the Authorisation Agreement.

iii. Whose rectification would affect unfairly the competitive provision of other bidders presenting substantially responsive bids.

d. Evaluation:

i) The Price bid of the Bidder qualifying the Technical Evaluation Stage will be opened.

ii) For evaluation of the Price Bid the “Maximum Revenue sharing” quoted by the Bidder per year which should be more than Rs. 19 lakhs will be considered. Bidder offering Maximum Revenue share per year will be the Preferred Bidder.

7.5 CORRECTION OF ERRORS

Bid determined to be substantially responsive, will be checked by GVMC for any arithmetic errors. Wherever there is discrepancy between the amounts in figures and in words, the amount in words shall govern; and

a. The corrections made by GVMC, as explained above, shall be considered as binding upon the Bidder.

b. If the Bidder does not accept the corrections in the Bid, Bid Evaluation Committee may reject the Bid and Bid Security may be forfeited.

7.6 SUCCESSFUL BIDDER

As per the evaluation of the Price Bids detailed out in clause 7.4.2, the successful Bidder for the project will be decided.

7.7 SPECIAL CONDITION FOR SELECTION OF PREFERRED BIDDER

In the event of two or more Bidders offered the same “Maximum Revenue sharing” GVMC may

a) Call all such Bidders for re-submission of the Price Bids (limited to only such

Bidders) and select the Preferred Bidder based on the outcome of the re-

submission of the Price Bids or

b) Take any such measure as may be deemed fit at the sole discretion of GVMC.

7.8 CONFIDENTIALITY

The confidentiality of the Technical Bid of each Bidder will be respected by GVMC and will not be divulged unless required by operation of law. The contents of the Technical Bids and any other non-proprietary information, of the Preferred Bidder may be made public at the sole discretion of GVMC.

8. CORRUPT OR FRAUDULENT PRACTICES

It is required that the Bidders observe the highest standard of ethics during the Bidding process. In pursuance of this policy, the GVMC:

Defines, for the purposes of this provision, the terms set forth below as follows:

“Corrupt practice” means the offering, giving, receiving or soliciting of anything of value to influence the action of a public official in the Bidding process or in the execution of any Agreement with GVMC, or bringing political pressure.

“Fraudulent practice” means a misrepresentation of facts in order to influence the Bidding process or in the execution of any Agreement with GVMC to the detriment of the GVMC, and includes collusive practice among Bidders (prior to or after Proposal submission) designed to deprive the GVMC of the benefits of free and open competition.

GVMC will reject the bid, at any stage, if it determines that the Bidder recommended for selection has engaged in corrupt or fraudulent practices during bidding process.

It is not possible for GVMC to consider the investment objectives, financial situation and particular needs of each party who reads or uses this RFP. Certain prospective bidders may have a better knowledge of the Project than others. Each prospective bidder should conduct his/ her own investigation and analysis; and check the accuracy, reliability and completeness of the information in this RFP and obtain independent advice from appropriate sources.

3. Neither GVMC , nor its employees or consultants will have any liability to any prospective

bidder or any other person under the law of contract, tort, the principles of restitution or unjust enrichment or otherwise for any loss, expense or damage, which may arise from or be incurred or suffered in connection with anything contained in this RFP, any matter deemed to form this RFP, the award of the Project, the information and any other information supplied by or on behalf of GVMC or their employees, consultants, advisors or otherwise arising in any way from the selection process for the Project.

4. GVMC reserves the right to reject any or all of the Bids submitted in response to this RFP at

any stage without assigning any reasons whatsoever 5. GVMC reserves the right to change any or all of the provisions of this RFP. Such changes

would be intimated to all parties procuring this RFP and responding to the ‘Acknowledgement’.

PREAMBLE:

The responsibility of the Bidder (Contractor) shall include all activities that are required to be undertaken, in order to comply with the Scope of Work, the Minimum Development Obligations stipulated in this section of RFP and the provisions of as per guidelines applicable guidelines of GVMC and GoAP & GoI or any Indian state Govt. It may be noted that the Bidder display advertisements to the Scope, Development Controls, Specifications and Standards stipulated in this part of RFP to this section for reference purpose. In any case the Bidder has to get prior- approval of the GVMC. Scope of work:

GVMC intends to call for bid for Beautification of open space below Asilmetta flyover including suitable landscaping construction, operations & maintenance in lieu of Advertisement rights, as per the levied conditions in RFP for the duration of 3 years on Maximum Revenue sharing basis. The stretch of Flyover is 1.5 Kms and 30 bays beneath the flyover to be covered. The scope of work would include: Beautification & landscaping works like garden, lawns, flower plants, crawlers/ creepers,

Murals etc. Plantation involving colorful flowering. Providing sufficient security in the area by way of fixing steel grill work on either side of

central median with a specification of 6mm thick plate with 30”height bottom 4” top 6”, 30 mm plate bottom 12” top 8” with 36” depth, 1-1/2, 6 mm double plate, horizontal plate 1-1/2 x 10 mm plate with two rows including two coats of enamel paint with primary of approved make .

Providing beautification scheme for existing structural members in the area without hampering its structural safety or its future use. i.e. Mural sculptures at 4 major junctions on 8 pears., and on External surface of the Flyover with Fiber glass material and painted with acrylic colors depicting social messages

Provisions of any other innovative ideas / system which can be incorporated in to the scheme in consultation with GVMC.

o Advertisement shall not be allowed on Piers of the Flyover.

The prospective bidder is required to inspect/ visit the sites and see the area and

then quote rates. Under any circumstances, no grievance regarding size and available

space for advertisement etc. shall be entertained. If any display of advertisements on

the Flyover or its Piers is found then the penalty to the extent of 20% of Price bid shall

be imposed. The said penalty shall be without prejudice to GVMC ’s right to take any

other action and/or any penalty imposed by GVMC .

b. Over Sized Advertisement:

Any oversized advertisement will be levied a fee equal to 50% of the Price bid for each

of the oversize advertisement. This fee will be without prejudice to and in addition to any

penalty imposed by GVMC for violation of maximum advertisement space norms. Display

of over-size advertisement will also be liable to action for violation of the terms and

conditions of the contract.

c. Objectionable Advertisement:

The advertisement shall not contain any thing that contravene the Advertising Industry's

Code of Ethics, (refer List of Negative Advertisements) or that otherwise causes a hazard.

List of negative advertisements (As contained in the Indian or Indian states policies):

Nudity

Racial advertisements or advertisements propagating caste, community or ethnic

differences directly or indirectly.

Advertisements propagating exploitation of women or child

Advertisement having sexual overtone

Advertisement depicting cruelty to animals

Advertisement depicting any Nation or Institution in poor light

Advertisement casting aspersion of any brand or person

Advertisement banned by the Advertisement Council of India or by law

Advertisement glorifying violence

Destructive devices and explosives depicting items

Lottery tickets, sweepstakes entries and slot machines related advertisements

Advertisement of Weapons and related items (such as firearms, firearm parts and

magazines, ammunition etc.)

Advertisements which may be defamatory, trade libelous, unlawfully threatening

or unlawfully harassing

Advertisements which may be obscene or contain pornography or contain an

"indecent representation of women" within the meaning of the Indecent

Representation of Women (Prohibition) Act, 1986

Advertisement linked directly or indirectly to or include description of items,

goods or services that are prohibited Cosmetics Act, 1940, the Drugs And Magic

Remedies (Objectionable Advertisements) Act, 1954, the In under any applicable

law for the time being in force, including but not limited to the Drugs and Indian

Penal Code, 1860; or

Any other items considered inappropriate by the Committee.

During the period of contract, if on any grounds any advertisement(s) is/are

objected to by any competent authority then the GVMC or his authorized

representative shall have the right to remove such advertisement(s) at the cost of

contractor and the GMVC shall not be liable to pay any refund/damage or claim

thereon. The contractor, will however, be permitted to display any other

advertisement in lieu thereof. No claim for damages etc. will be maintainable on

that account.

d. Electricity connection:

Electricity connection is the sole responsibility of the Bidder. It will be the responsibility of the contractor to make arrangement to illuminate advertisement boards as per rules and law or instructions issued by GVMC, GoAP, or any authority in this regard. The Contractor has to bear the maintenance cost including Electricity Bill etc. during the entire contract period. During the currency of the contract, Electricity consumption Bill shall be bear by the Contractor. Further, any theft, mishandling of electricity meter/fitting during the currency of the contract shall also bear the cost of the same. Further, it will be the responsibility of the Contractor to handover the entire stretch to GVMC after relieving on expiry/termination/surrender of contract as the case may be, free from encumbrances, in good condition and with full Electricity fitting. The proportionate deductions on account of missing Electricity fitting shall be made from the Security Deposit.

1.2 Specification for Maintenance of Project Site:

a. Maintenance of the site during the contract period:

b. The site and its surrounding areas are to be kept cleaned at all times. The litter

bins should not be overflowing at any time and disposal of garbage to be

arranged to as required.

c. The advertisement panels to be kept clean from dust, stains etc, at all times. It is

to be ensured that posters etc. are not posted on any of the panels and on

structural part of the Flyover.

d. Proper drainage is maintained and no accumulation of water, liquid etc. is

allowed at any time.

e. The lighting arrangement if any should be functional at all times during night.

Electrical safety is to be ensured for users as well as contractor‘s staff.

f. All structural members, seating arrangements and advertisement panels are to be

inspected and maintained in good condition as per the maintenance manual.

g. Broken kerbs are to be replaced within 2 days of such event. For this purpose it is

advised that the Contractor maintains a minimum inventory of similar kerbs at his

store.

h. The flower plants and shrubs, if any, are to be maintained and watered regularly

and the wastes to be disposed off.

i. Security of all assets to be ensured.

j. The advertisements on panels to be changed during off peak periods – preferably

during night hours.

b. Maintenance check procedures:

The staff recommended to be engaged by the contractor for the purpose of the

maintenance is Manager and Supervisor level 1 Nos & skilled staff 5 Nos.

A period check will be held at every 30 days after handover the facility to the successful bidder by the GVMC officials. In case the Successful Bidder services are not satisfactory to the GVMC officials then the penalty @ 5% on the Price bid amount shall be imposed by GVMC which will be applicable for the month /quarter for which the inspection/certificate pertains. The penalty shall be deposited by the successful Bidder in the following month without fail and without any grievance on the said subject. The said penalty has also to be deposited in the form of DD/PO only (in favour of Commissioner, GVMC) by the contractor without any dispute within 10 days from the date of issue of bill. Failing which the penalty of Rs. 1000/- per delayed day shall be paid by the contractor.

1.3 Payment Terms

a. Taxes:

Excluding the advertisement Tax of GVMC any other Tax/Taxes/levy payable to any

authority under law for the period of currency of the contract will have to be borne by the

contractor and an annually certificate of having paid the taxes to the government agencies

concerned will be furnished by the contractor, along with details of the payments made.

b. Revenue sharing Mechanism:

The successful bidder has to share the revenue as agreed with GVMC for the initial

of 3 years. The successful bidder have to share the Audit details by approved by third party

Certified Auditor for proof checking every year. On breaching revenue sharing details GVMC

may penalize or terminate the contract and handover the development. The revenue to be

shared to GVMC on 1st week of every year as quoted and approved by GVMC since the date

of contract.

1.4. Compliance Controls:

a. Compliance to rules, regulations, instructions and statutory provisions:

It will be the responsibility of the contractor to ensure that all instructions/provisions issued time to time by GVMC, GoAP, GoI or any Govt Authority are strictly adhered to. Any violation of any lawful provision will be treated as a violation of the terms and conditions of contract and action will be taken against the contractor as per provision of the contract.

b. Contractor’s Responsibility for Public liability and against all claims act losses etc:

The contractor shall indemnify the GVMC against all claims, actions, demands, losses, charges, cost of expenses which the Corporation has to incur or which may occur on account of infringement of any of these conditions by the contractor or on any other account whatsoever. The Contractor shall obtain a public liability policy of insurance in respect of the project site allotted to him in the awarded zone.

c. GVMC’s Authority to recover the cost in case of any default:

If the contractor shall neglect or fail to do anything which he is required to do under

the provisions of the contract, the GVMC or any other authorized person may serve a notice

on the contractor asking him to do the things agreed upon as aforesaid and on their neglect

or failure to do as directed, cause the same to be done and recover the cost thereof from

the contractor/tenderer(s) without prejudice to any other rights, the Corporation may have

on account of such default.

d. Account of Advertisement Displayed:

The contractor shall maintain proper account of advertisement displayed by him in

respect of each advertisement board displayed on the project site and produce the same on

demand before the Committee or any other officer authorised of GVMC by him.

e. Termination of Contract Breach:

In case of breach by the contractor of any terms and conditions of the tender or that of agreement, the GVMC or his authorised representative shall have absolute right to terminate the contract without notice to the contractor and cause the advertisements removed at the risk and cost of the contractor and forfeit the license fee for unexpired period and the security deposit. The Corporation reserves its right to forfeit security deposit even before termination of the contract on breach.

It is further agreed that the contractor/advertiser shall not commit any breach of the terms and conditions of the agreement and in the unlikely event of any other breach, the corporation shall give notice calling upon the contractor/advertiser to rectify/remedy the breach, to satisfy the Corporation about there being no breach and satisfy the Corporation within a period of 15 days from the date of notice otherwise the Corporation shall be entitled to terminate the agreement without giving any further notice and in that event the corporation shall be entitled to recover all its dues which can be adjusted from the dues of contractor/advertiser if any found due to him. However, the contractor shall continue to pay the quarterly license fee without any default till the date of termination of contract or for all advertisement removed from project site.

It is further agreed that the Contractor/advertiser has to handover the project site free from encumbrance and in good condition including Electricity Connection and Electric Fittings, in case any damage/loss/mishandling observed, an expenditure occurred thereupon to make it in good condition will be deducted from the Security Deposit.

f. Removal of Advertisement Boards on expiry of Contract by the Advertiser:

It will be the responsibility of the contractor to remove all advertising boards on or

before the date of expiry of the contract. If any advertisement board will be found displayed

on the project site after expiry of the contract, the tenderer will have to pay compensation

of double the rate of fixed by GVMC per day per advertisement up to the date the

advertisement are actually removed. On failure on the part of the contractor in removing

the advertisement as mentioned above, the GVMC or his authorised representative shall

have the right and power to remove such advertisement at the risk & cost of contractor

without any notice. Any amount on this ground may be adjusted from the security deposit

and/or any payment due to contractor.

We understand that the basis for our selection will be the complete Bid documents submitted along with this letter, and that any circumstance affecting our continued eligibility as per RFP, or any circumstance which would lead or have led to our disqualification, shall result in our disqualification under this bidding process.

3. I/We agree that

(a) If we fail to provide required facilities to the GVMC or its’ Authorised Representative for carrying out the inspection of works, operations and performance Or

(b) If we fail to meet the minimum development obligations and/or technical bid and/or the conditions/ stipulations of the RFP/Authorisation Agreement, GVMC or its’ representative shall be at liberty to take action in accordance with the RFP/ Authorisation Agreement.

desirable firm/company for “Beautification of open space below Asilmetta flyover including

Construction, Operation and Maintenance in lieu of Advertisement rights” under Revenue

sharing for 3 years for which purpose GVMC issued a Request for Proposal (“RFP”) inviting Bids

from the Bidders to execute the Scope of Work specified therein (Project);

In the event of any breach or non-performance of the terms and conditions contained in the RFP

a) Fails or refuses to share the revenue as agreed in the agreement in accordance with the RFP document;

b) Fails or refuses to provide Performance Security Bank Guarantee in accordance with

the RFP document.

c) Fails or refuses to execute the Authorisation Agreement in accordance with the RFP document;

The Guarantor agrees absolutely, irrevocably and unconditionally guarantees and undertakes to

pay to VUTC La sum of Rs. 1 lakh ( Rupees one lakh )without any protest or demur and upon

receipt of first written demand from GVMC. This Guarantee is independent of the terms and

conditions of the RFP and shall not be affected in any manner by any amendments made to the RFP

and no prior consent or notice to the Guarantor is needed for any amendment to the RFP.

This Guarantee will remain in force up to and including the 180 days from the due date for

submission of the Bid documents.

The jurisdiction in relation to this Guarantee shall be the Courts at Visakhapatnam and Indian Law

shall be applicable. The claim shall be lodged in the same bank, which issues the Bank Guarantee.
