 Rules for the Sophie la girafe 2013 baby competition

“Election of the 2013 Most Beautiful Sophie la girafe® Baby” Article 1 – Purpose The Vulli company S.A.S., with registered capital of €4,200,000 and a registered office at BP 91, 74151 Rumilly Cedex, is organising a competition called “Election of the 2013 Most Beautiful Sophie la girafe® Baby” on the VULLI S.A.S. website: www.vulli.fr / www.vulli-toy.com. The competition will be held from 4 March 2013 to 31 December 2013 inclusive, with CET connection dates and times acting as proof of compliance. Article 2 – Presentation of the competition Participation in the competition implies the unqualified acceptance of these rules in their entirety. To participate, Participants must visit the www.vulli.fr / www.vulli-toys.com website. Therefore, internet access and a valid email address are required to participate in the competition. Participation is reserved exclusively for physical persons from any country. Only participations completed via the internet will be valid. Article 3 – Dates and duration This competition is free, with no subscription or purchase necessary. It is accessible exclusively on the internet on the www.vulli.fr / www.vulli-toys.com website. The competition begins on 4 March 2013 and ends on 31 December 2013 inclusive (CET connection dates and times acting as proof of compliance). The final ranking will be announced on 10 January 2014. The organising company reserves the right to modify the entry period and any other date announced, in compliance with Article 8 of these rules. Article 4 – Conditions and means of participation 4-1 Conditions of participation Participation in this competition is reserved exclusively for the parents or legal guardians of children aged 0 to 36 months at the date of entry. The organising company reserves the right to request proof of the child’s date of birth from participants at any time. Those unable to provide proof of the child’s date of birth showing that he/she is aged 0 to 36 months at the date of entry will be excluded from the competition. A single entry per month per household will be accepted (same name and/or same postal address). 4-2 Means of participation Registrations are open for the entirety of every month from 4 March 2013 to 31 December 2013. The dates of the competition periods are defined in Appendix 1 of these rules. Once connected to the competition’s web page, participants must register by:

 - filling out the registration form, - attaching their baby’s photo, entering the name of the legal guardian, the child’s first name, address, country of residence and date of birth, - validating the form on the website’s address. The photo must be in colour or black and white, clearly showing the baby with his or her Sophie la girafe®. The photo must be in JPEG format and must not exceed 10 Mb. Photos will not be returned to participants and may be used by the organiser under the conditions defined in these rules. Participants must complete all fields in the registration form. Incomplete registration forms or forms containing a false, incorrect or inexact identity or address, or a photo that does not meet the size, weight or format criteria established in the form and the rules, will result in the entry being cancelled. Participants must be the legal guardian of the baby whose photo, last name, first name, age, postal address and country are entered in the registration form. The photos, along with the baby’s first name and age, will be posted on vulli.fr / vulli-toys.com as they are received, subject to validation by the Vulli company. The parents or legal guardians agree to the baby’s photo, first name and age being posted on the vulli.fr website on a page presenting the contestants and on all communication media related to the election of the “2013 Most Beautiful Sophie la girafe® Baby”. The parents or legal guardians of the participants authorise the Vulli company to publish the photo on all communication media, in all operations or events related to Sophie la girafe® throughout the competition year and during the following 10 years. Article 5 – Designation of winners

5-1 Monthly winners Each month, from 4 March 2013 to 30 November 2013, the photos will be posted online as they are received. An online voting system will be open each month to site visitors, allowing them to vote for their favourite photo. The 10 entrants who receive the most votes from site visitors at the end of each month will be shortlisted as monthly finalists. One vote per visitor per day is permitted during the voting period. The 10 finalists will be presented to a panel of judges consisting of 5 people, who will individually rank the 5 photos. Each of the panel members will assign points as set out below:

• 5 points for the first • 4 points for the second • 3 points for the third • 2 points for the fourth • 1 point for the fifth

The points will be totalled for the 10 finalists and the 5 entrants with the most points will be designated the monthly winners. In the event of a tie, the number of votes received from site visitors will be used to choose a winner.

  If fraud is discovered during voting (i.e. an unusual surge in the number of votes, a large number of votes from the same IP address during the same day, the use of temporary email addresses or voting by the same person from more than one email address), the organising company reserves the right to exclude the entrant from the month’s voting prior to announcing the results. The panel members are listed in Appendix 2.

5-2 Annual winner From 7 December to 31 December 2013, the competition will choose from among the monthly winners designated between 4 March and 31 November 2013 to elect the annual winner. From 7 December 2013, an online voting system will be open to site visitors to allow them to vote for their favourite photo. The 5 entrants with the most votes from site visitors at the end of the month will be shortlisted as annual finalists. One vote per site visitor per day is permitted during the voting period. The 5 finalists will be presented to the panel of judges, who will individually rank their three favourite photos. Each of the panel members will assign points as set out below:

• 3 points for the first • 2 points for the second • 1 points for the third

The points will be totalled for the 5 finalists and the 3 entrants with the most points will receive a prize, but the entrant with the most points will be elected the “2013 Most Beautiful Sophie la girafe® Baby”. In the event of a tie, the number of votes received from site visitors will be used to choose a winner. Article 6 – Prizes Monthly winners: Each of the 5 monthly winners will receive one gold-plated silver Sophie la girafe® pendant valued at €54.00 (fifty-four euros). Annual winners: The 3 babies with the most votes will be sent the following items to the postal address indicated on the registration form:

• First place (participant with the most votes from site visitors) à One 18-cm gold-plated silver Sophie la girafe® valued at: €4,600 (four thousand six hundred euros).

 • Second place (participant receiving the second most votes from site visitors) à One 18-cm

silver Sophie la girafe® valued at: €3,324 (three thousand three hundred twenty-four euros).

• Third place (participant receiving the third most votes from site visitors) à One 18-cm bronze Sophie la girafe® valued at: €1,387 (one thousand three hundred eighty-seven euros).

The winners may not exchange their prize for another prize, cash or other goods or services. The 3 annual winners agree to allow Vulli to use their photos to market its products on the following media: website, catalogues, packaging, POS advertising, press and posters, without any financial compensation. The parents or legal guardians of the monthly winners, as well as the annual finalists of the “2013 Most Beautiful Sophie la girafe® Baby” competition agree to refrain from using the election image or the Vulli/Sophie la girafe® brand without receiving the express consent of the Vulli company. Article 7 – Exclusions The organising company may void any entries that do not respect these rules. Entries may be voided at any time and without notice, and may also result in the immediate cancellation of any winnings potentially received during the competition. The organising company also reserves the right to void any entry form containing obvious errors regarding the entrant’s identity. Entries may be voided at any time and without notice. Article 8 – Liability The organising company cannot be held liable if, under exceptional circumstances or force majeure, or for any other event that they feel renders the fulfilment of the competition impossible under the planned initial conditions, the competition is partially or wholly modified, postponed or cancelled. Any difficulties arising from the application or interpretation of these rules or which were not foreseen in them shall be settled by the organising company. The parties will seek to resolve any dispute amicably arising from the application of these rules. In the case of definitive disagreement, and subject to the provisions of law, the competent courts alone will be empowered to rule. Article 9 – Conduct Any attempt by a participant or any other person to wilfully damage a website constitutes a violation of civil and criminal law and the organising company reserves the right to press charges for any conduct of this nature. Article 10 – Rules Entry in this competition implies the full and unqualified acceptance of these rules, and waivers any recourse concerning the organisation conditions and the running of the competition, its result and the assignment of the prizes. The rules are deposited at SCP Gaillard et Mauris, associated bailiffs in Annecy, with registered office at 22 rue Guillaume Fichet, 74000 Annecy, France. They may be viewed free of charge on the www.vulli.fr / www.vulli-toys.com website.

  Article 11 – Expenses Because this competition is not a draw, connection costs for registration will not be refunded. Article 12 – Personal data Personal data collected under this competition will be processed in compliance with the French Data Protection Act of 6 January 1978. Participants are informed that their personal data recorded for this competition is necessary for their participation in the competition. In application of Article 27 of the French Data Protection Act, all Participants in this operation have the right to access, correct and delete data concerning them. Participants are hereby informed that this personal data may be transmitted to the commercial partners of the co-organising companies with the prior express and written agreement of Vulli S.A.S. Any requests for access, correction or opposition must be made in writing to Vulli S.A.S. “Election du plus beau baby du Monde”, BP 91, 74151 Rumilly Cedex, France.
