    QUARTUS II, VERSION 9.1 STANDARD LICENSE AGREEMENT:

    ALTERA PROGRAM LICENSE SUBSCRIPTION AGREEMENT

    PLEASE REVIEW THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE INSTALLINGOR USING THE SOFTWARE PROVIDED TO YOU ON DVD, VIA A WEB-SITE, OR ON ANOTHERMEDIUM OR THROUGH ANOTHER DELIVERY MECHANISM. BY INSTALLING OR USING THISSOFTWARE OR PAYING A SUBSCRIPTION FEE, YOU INDICATE YOUR ACCEPTANCE OF SUCHTERMS AND CONDITIONS, WHICH CONSTITUTE THE LICENSE AGREEMENT ("AGREEMENT")BETWEEN YOU AND ALTERA CORPORATION OR THE ALTERA CORPORATION SUBSIDIARY FROMWHICH YOU HAVE ACQUIRED THIS LICENSE (COLLECTIVELY "ALTERA"). HOWEVER, THISSOFTWARE MAY CONTAIN PARTICULAR COMPONENTS, FILES OR PORTIONS WHICH ARE SUBJECTTO SEPARATE LICENSE AGREEMENTS WITH DIFFERENT TERMS AND CONDITIONS. IN EACHSUCH CASE, THE APPLICABLE TERMS AND CONDITIONS ARE SET FORTH IN A FILE(CALLED "LICENSE.TXT") IN A SEPARATELY MARKED SECTION, WHERE TERMS AND CONDITIONSSET FORTH EXCLUSIVELY GOVERN THE NAMED COMPONENTS. IN THE EVENT THAT YOU DONOT AGREE WITH ANY OF THESE TERMS AND CONDITIONS, DO NOT DOWNLOAD, COPY, INSTALL OR USE THIS SOFTWARE; IF YOU HAVE RECEIVED A COPY ON DVD OR ANOTHER MEDIUM,PLEASE PROMPTLY RETURN THE SOFTWARE UNUSED TO ALTERA.

    1. Definitions: Licensed Program means whichever features of thesoftware are enabled by the software protection mechanism corresponding tothe configuration you have licensed. Software means any of the softwareprovided under this Agreement on DVD, via a web-site, or on another mediumor through another delivery mechanism, including any non-subscribed orunenabled features thereof, any intellectual property (IP) megafunctionsor components provided with the software, except as noted in this paragraph,and any associated user documentation; excepting the portions identified inparticular files which components are subject to the applicable licenseagreement(s) set forth therein. Intellectual property (IP) megafunctions or

    components means one or one or more design files, including encrypted net lists, RTL, test vectors, simulation models (such as VHDL, Verilog HDL, Quartussimulation, Matlab, Simulink, Verisity Specman, Synopsys Vera, etc.), and othermodels, which may be provided either as unencrypted source code, obfuscatedsource code or in encrypted netlist or encrypted source code format, that aredesigned to implement or support the design of at least one logic function intoan Altera Device. IP megafunctions or components include any updates thereto or modified versions thereof as may be provided by Altera, in its sole and absolute discretion, to you under this Agreement. IP megafunctions or components, asdefined in this Agreement, do not include any software or design files for any

    MegaCore(r) Functions (including the Nios(r) II embedded processor) distributedbyAltera, which are covered by a separate MegaCore(r) Function License Agreement.

    Support means any services provided to you by Altera, its subsidiaries,distributors, and sales representatives in responding to email, telephone orother inquiries from you for maintenance,technical, or other support. 2. License to the Licensed Program: By this Agreement, ALTERA grantsto you a non-exclusive license to use the Licensed Program (and any updates

    thereof for which you have paid a subscription fee) on the terms and conditionsoutlined in this Agreement. Any features for which you have not paid asubscription fee or any other unenabled features of the Licensed Program(unless ALTERA provides a software protection enabling key or code for suchunenabled features) are unlicensed and you agree not to use or access suchfeatures. Certain licenses to the Licensed Program are time limited, to theextent designated by ALTERA and as may be set forth in the feature linelicense key that is issued, and will automatically time-out at the end ofthe designated period.

    The source code of the Software, and the algorithms, concepts, techniques,methods and processes embodied therein, constitute trade secrets andconfidential and proprietary information of ALTERA and its licensors, andLICENSEE shall not access or use such trade secrets and information in anymanner, except to the extent expressly permitted herein. ALTERA and itslicensors retain all title, copyright, patent and other proprietary rightstherein. LICENSEE agrees not to remove or obscure any copyright, trademarkor patent notices found in or on any user documentation or the Software.

    Pursuant to this Agreement, you may: (a) use the Licensed Program on asingle computer (or, if you have purchased a floating node license, thenumber of concurrent users for which you have obtained licenses from ALTERAmay use the Licensed Program on networked workstations); (b) use theLicensed Program for the sole purpose of creating, simulating, verifying,

    placing and routing, and programming designs on logic devices manufacturedby ALTERA and sold by ALTERA or its authorized distributors, although if youhave obtained the Licensed Program through Altera's University Program orobtained a Student Version, you are only permitted to use the Licensed Programfor educational and academic purposes only and expressly excluding anycommercial purposes; (c) you may only use simulation model output filesgenerated by the "Simgen" feature of the Licensed Software for simulationpurposes and expressly not for synthesis or any other purposes; (d) make onecopy of the Licensed Program in any computer-readable or printed form forback-up or archival purposes or as otherwise permitted under this Agreement;and (e) modify the Licensed Program and/or merge it into another programsolely in order to facilitate the management of software licensing controlsof the Licensed Program and third party software licensed using Flex LM

    software, provided all intellectual property notices including copyright andrestricted rights notices appearing on the Licensed Program are included onany such copy, modification, or portion merged or combined with the otherprogram. Any copy or portion of the Licensed Program merged into anotherprogram will continue to be subject to the terms and conditions of thisAgreement. Your end customers may use ALTERA programmable logic devicesthat have been programmed with the Licensed Program.

    The Licensed Program may be transferred to another party provided the otherparty agrees to accept the terms and conditions of this Agreement and younotify ALTERA in writing of the identity of the transferee. If you transferthe Licensed Program, you must at the same time either transfer all copies,whether in printed or computer-readable form, to the same party or destroy

    any copies not transferred, including all portions of the Licensed Programcontained or merged into another program, and certify the same to ALTERA.If you have purchased a floating node license as provided above, you mayalso copy the Licensed Program onto another computer (or access it throughnetworked workstations) for use by another person or persons within yourcompany only; provided that all users agree to accept the terms andconditions of this Agreement.

    YOU MAY NOT USE, COPY, MODIFY, DISTRIBUTE OR TRANSFER THE SOFTWARE OR ANYCOPY, OR MERGED OR COMBINED PORTION THEREOF, IN WHOLE OR IN PART, EXCEPT

    AS EXPRESSLY PROVIDED FOR IN THIS AGREEMENT. IF YOU TRANSFER POSSESSION OFANY COPY, OR MERGED OR COMBINED PORTION OF THE SOFTWARE, TO ANOTHER PARTYEXCEPT AS EXPRESSLY PROVIDED HEREIN, YOUR LICENSE IS AUTOMATICALLYTERMINATED. YOU MAY NOT DECOMPILE, DISASSEMBLE, REVERSE ENGINEER OROTHERWISE ATTEMPT TO ACCESS THE SOURCE CODE OF THE SOFTWARE OR REDUCE IT TOA HUMAN READABLE FORM; PROVIDED, HOWEVER, THAT IF YOU ARE LOCATED IN AMEMBER NATION OF THE EUROPEAN COMMUNITY OR OTHER JURISDICTION THAT PERMITSLIMITED REVERSE ENGINEERING, YOU MAY PERFORM LIMITED REVERSE ENGINEERING,BUT ONLY AFTER GIVING NOTICE TO ALTERA AND ONLY TO THE EXTENT PERMITTED BYTHE EC SOFTWARE DIRECTIVE OR OTHER APPLICABLE LAW. YOU MAY NOT PUBLISH ORDISCLOSE THE RESULTS OF ANY BENCHMARKING OF THE SOFTWARE, OR USE SUCHRESULTS FOR YOUR OWN COMPETING SOFTWARE DEVELOPMENT ACTIVITIES, WITHOUT THEPRIOR WRITTEN PERMISSION OF ALTERA.

    If you have paid a subscription fee, ALTERA shall, but only until the datethrough which you have purchased an valid subscription, provide you withfixes and other updates to the Licensed Program that ALTERA chooses to makegenerally available to its customers who have paid a subscription fee; anduse commercially reasonable efforts to respond by telephone or email toinquiries from you for technical or other Support regarding the Software.Any information collected by ALTERA from you pursuant to any requests fromyou for Support, including design files compiled using the Software andprovided by you to ALTERA for design assistance, enhancement and troubleshooting,

    may be used internally at ALTERA for the purpose of improving the futureversions of the Software and other future products. Any such informationwill not be disclosed by ALTERA to any third parties other than its subsidiaries,its distributors and sales representatives and to the company on behalf of whomyou are using the Software (collectively, Partners). ALTERA shall exercisereasonable efforts to maintain the confidentiality of the information.

    3. Altera's Licensors: The Software may contain or be derived from portionsof code and documentation provided by third parties ("Licensors") who mayinclude, without limitation, Sun Microsystems, Inc.; The Regents of theUniversity of California; Softel vdm; Verific Design Automation, Inc.; and

    Compass Design Automation, Inc. under license to ALTERA. ALTERA has assumedresponsibility for the selection of such code and documentation and its usein producing and licensing the Licensed Program. LICENSORS DISCLAIM ALLEXPRESS OR IMPLIED WARRANTIES AND CONDITIONS WITH RESPECT TO THE USE OF SUCHCODE OR DOCUMENTATION IN THE SOFTWARE, INCLUDING, WITHOUT LIMITATION, ANYWARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE ANDNONINFRINGEMENT. LICENSORS DISCLAIM ALL LIABILITY FOR DAMAGES, INCLUDING,BUT NOT LIMITED TO, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, AND CONSEQUENTIALDAMAGES, SUCH AS EXPENSES, RECALL COSTS, BUSINESS INTERRUPTION DAMAGES, LOSSOF OR DAMAGE TO INFORMATION, LOST PROFITS, LOST SAVINGS, OR OTHER DAMAGESARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.

    4. Term: The license is effective until terminated. You may terminate it at

    any time by destroying the Software together with all copies, modifications,and merged portions thereof in any form. It will also terminate upon conditionsset forth elsewhere in this Agreement or if you fail to comply with any termor condition of this Agreement. You agree upon such termination to destroythe Software together with all copies, and merged or combined portionsthereof in any form and certify same to ALTERA.

    5. Limited Warranty and Remedies: For a period of ninety (90) days from thedate of your first receipt from ALTERA of the software protection code orkey to enable the Licensed Program, ALTERA warrants that (a) the Software

    will perform substantially in accordance with ALTERA's current programdocumentation, if used in compliance with the terms of this Agreement, and(b) the DVD, if any, on which the Software is furnished will be free fromdefects in materials and workmanship under normal use. This warranty islimited to you and is not transferable.

    During the 90-day warranty period, (1) ALTERA will replace any Software orDVD not meeting the foregoing warranty and which is returned to ALTERA or anauthorized ALTERA distributor ("Authorized Distributor") with adequate proofof purchase; or (2) if ALTERA or the Authorized Distributor is unable todeliver replacement Software which performs substantially in accordancewith current program documentation or a DVD which is free of defects inmaterials or workmanship, you may terminate this Agreement by returningthe Software, and your money will be refunded. Any replacement Software orDVD will be warranted for the remainder of the original warranty period orthirty (30) days, whichever is longer.

    THE FOREGOING WARRANTY DOES NOT EXTEND TO ANY DVD THAT HAS BEEN DAMAGED AS ARESULT OF ACCIDENT, MISUSE, ABUSE, OR AS A RESULT OF SERVICE OR MODIFICATIONBY ANYONE OTHER THAN ALTERA OR AN AUTHORIZED DISTRIBUTOR.

    EXCEPT AS EXPRESSLY SET FORTH ABOVE, NO OTHER WARRANTIES OR CONDITIONS,EITHER EXPRESS OR IMPLIED, ARE MADE WITH RESPECT TO THE SOFTWARE OR SUPPORTPROVIDED BY ALTERA OR ITS PARTNERS, INCLUDING, BUT NOT LIMITED TO, IMPLIED

    WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIESOR CONDITIONS OF TITLE AND NONINFRINGEMENT, AND ALTERA EXPRESSLY DISCLAIMSALL WARRANTIES NOT STATED HEREIN. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITYAND PERFORMANCE OF THE SOFTWARE. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU ANDNOT ALTERA OR AN AUTHORIZED DISTRIBUTOR SHALL ASSUME THE ENTIRE COST OFNECESSARY SERVICING, REPAIR, OR CORRECTION. Some jurisdictions do not allowthe exclusion of implied warranties, so the above exclusion may not apply toyou in full, but shall be interpreted to apply to the maximum extentpermissible under applicable law.

    ALTERA DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILLMEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BEUNINTERRUPTED OR ERROR-FREE. YOU ALSO ASSUME RESPONSIBILITY FOR THE

    SELECTION OF THE SOFTWARE TO ACHIEVE YOUR INTENDED RESULTS AND FOR THEINSTALLATION, USE, AND RESULTS OBTAINED FROM THE SOFTWARE.

    YOUR SOLE REMEDIES AND ALTERA'S ENTIRE LIABILITY ARE AS SET FORTH ABOVE.IN NO EVENT WILL ALTERA BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY DAMAGES,INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES,EXPENSES, RECALL COSTS, BUSINESS INTERRUPTION DAMAGES, LOSS OF OR DAMAGE TOINFORMATION, LOST PROFITS, LOST SAVINGS, OR OTHER DAMAGES ARISING OUT OF THEUSE OF OR INABILITY TO USE THE SOFTWARE OR ANY SUPPORT PROVIDED BY ALTERA ORITS PARTNERS. Some jurisdictions do not allow the limitation or exclusion ofspecial, incidental or consequential damages, so the above limitations orexclusions may not apply to you in full but shall be interpreted to applyto the maximum extent permissible under applicable law.

    THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHERRIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION. To the extent that theSoftware is derived from third-party software, no such third party warrantsthe Software, assumes any liability regarding use of the Software orundertakes to furnish you any support or information relating to the Software.

    6. Representations: ALTERA has the right to enter into this Agreement.With the exception of any portion of the Software that is licensed by ALTERAfrom its Licensors, the Software is proprietary to ALTERA.

    7. General: Under no circumstances shall ALTERA be liable to any party inan amount beyond the greater of ten dollars or the license fee paid by youor your employer to ALTERA for the Licensed Program, Software, or Supportcovered by this Agreement. You may not sublicense, assign, or transfer thelicense, the Software, or disclose any trade secrets embodied in the Software,except as expressly provided in this Agreement. Any attempt otherwise tosublicense, assign, or transfer any of the rights, duties, or obligationshereunder is void and shall automatically terminate this license. You agreenot to knowingly, directly or indirectly, without prior written consent, ifrequired, of the Office of Export Administration of the US Department ofCommerce, Washington D.C. 20230, export or transmit any of the Software,or any direct product thereof, to any country to which such transmissionis restricted by applicable regulations or statutes.

    This Agreement is entered into for the benefit of ALTERA and its Licensors,and all rights granted to you and all obligations owed to ALTERA shall beenforceable by ALTERA and its Licensors. No modification of this Agreementwill be binding unless in writing and signed by authorized representativesof each party. If any of the provisions of this Agreement are held to bein violation of applicable law, void or unenforceable, then such provisionsare herewith waived or amended to the extent necessary for the Agreement tobe otherwise enforceable. If you have any questions concerning thisAgreement, including software maintenance or warranty service, you should

    contact Altera Corporation, 101 Innovation Drive, San Jose, CA 95134.This Agreement will be governed by the laws of the State of California,United States of America. You agree to submit to the exclusive jurisdictionof the courts in the County of Santa Clara, State of California for theresolution of any dispute or claim arising out of or relating to thisAgreement. The prevailing party in any legal action or arbitration arisingout of this Agreement shall be entitled to reimbursement for its expenses,including court costs and reasonable attorneys' fees, in addition to anyother rights and remedies such party may have.

    BY INSTALLING OR USING THE SOFTWARE OR BY PAYING A SUBSCRIPTION FEE, YOUACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO

    BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THECOMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND ALTERAWHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANYOTHER COMMUNICATIONS BETWEEN YOU AND ALTERA RELATING TO THE SUBJECT MATTEROF THIS AGREEMENT.

    8. U.S. Government Restricted Rights: The Programs and any accompanyingdocumentation are commercial products. Use, duplication, release,modification, transfer or disclosure thereof by the U.S. Government issubject to restrictions as set forth in subparagraph (c) of The Rightsin Technical Data and Computer Software clause at DFARS 252.227-7013 orsubparagraphs (c)(1) and (2) of Commercial Computer Software--RestrictedRights at 48 FAR 52.227-19, as applicable, or in similar or successor

    clauses in the FAR, DFAR, or DOD or applicable supplements, including NASAor FAR. Contractor/manufacturer is Altera Corporation, 101 Innovation Drive,San Jose, CA 95134 and its licensors.

    9. TalkBack Feature Notice : The TalkBack feature, included with theLicensed Program(s), enables ALTERA to receive limited informationconcerning the Licensed Program(s) that you use and your compilation oflogic designs (but not the logic design files themselves) using theLicensed Program(s). One of the primary purposes of the TalkBack featureis to assist ALTERA in understanding how its customers use the Licensed

    Program(s) and ALTERA'S other products, so more effort can be placed onimproving the features most important to users. To disable/enable theTalkBack feature, run qtb_install.exe located in your quartus/bin folder.

    INFORMATION COLLECTEDThe only information that ALTERA will receive through the TalkBack featureis the information listed below. No design files will be collected ortransmitted through the TalkBack feature.

    Logic design compilation information regarding the following categories willbe collected: constraints (e.g., location assignments, clock and timingrequirement and assignments, any constraints set via the Quartus? IIgraphical user interface), device (e.g., targeted device and family),compilation (e.g., device, memory and I/O utilization, time of compilation),design (e.g., the number of each type of file used and name of top file,intellectual property cores/Megacore(r) logic functions used), software tools(e.g., synthesis, simulation and timing analysis tools used and version andbuild of the Licensed Program(s)), platform (e.g., operating system, speedand number of processors and main memory), license file identification number(T-Guard, host ID, NIC ID or C: drive), graphical user interface activitiesand software errors log (e.g., previous exit status).

    TRANSMISSION OF INFORMATIONThe TalkBack feature functions by bundling the collected information

    resulting from your installation and/or execution of the Licensed Program(s)and each logic design compilation and writing it to XML files which aretransmitted to ALTERA'S external web server by https (hypertext transferprotocol secure) post.

    The TalkBack feature will only maintain up to fifteen (15) files at anygiven time, i.e., the last five (5) sent files and up to ten (10) unsentfiles. As new files are created, prior files (whether or not previouslytransmitted) will be deleted. Each saved file will be less than 500 KB insize and can be viewed as text files found in your temporary directory onyour hard drive (typically in /tmp, c:/temp, or c:\documents and setting\username\local settings\temp).

    If an https post transmission fails, or an internet connection is notavailable at the time of installation, execution or compilation, theinformation is stored as an XML file. Once an internet connection isachieved by you, the https post transmission will again be attempted upona successful compilation. The TalkBack feature will not initiate aninternet connection. Files that have not been successfully transmittedwill be named "quartus_talkback*.xml", while successfully transmitted fileswill be renamed as "sent_quartus_talkback*.xml."

    The collection and bundling of information by the TalkBack feature willnot materially affect the installation, compilation time or the performanceof the Licensed Program(s).

    ALTERA uses reasonable efforts to maintain the privacy of the transmittedinformation. However, due to technological limitations, and the risk ofunlawful interceptions and accessing of transmissions and/or data, ALTERAcannot completely assure you, and you should not expect, that theinformation will be absolutely protected or confidential. Once received,the transmitted information is protected from outside ALTERA by "firewalls."

    Should you attempt to tamper with or modify any installation of the LicensedProgram(s) in any way (other than as permitted herein or by your license),ALTERA does not take any responsibility regarding the operation of the

    TalkBack feature, or the collection and transmission of data as describedherein.

    NON-DISCLOSURE OF INFORMATION COLLECTED; USE OF INFORMATIONThe information collected by the TalkBack feature will not be disclosed byALTERA to any third parties other than its subsidiaries and the company onbehalf of whom you are using the Quartus II software (collectively, Partners).Once the collected data is received by ALTERA within their firewall, ALTERAmay correlate the data collected by the TalkBack feature to determine theidentity of the user and utilize this information internally only on aconfidential basis. ALTERA also seeks to require its Partners to exercisereasonable efforts to maintain the confidentiality of the information.

    The information collected by the TalkBack feature will only be used byALTERA and its Partners for marketing and sales research , product planningand software development purposes (for example, solving software problems,optimizing software processing and designing future products to your needs).This information will not be used to send you any sales and marketingcommunications, and ALTERA will only send you such information if you havepreviously provided your consent to receive such communications. If you donot wish to receive sales and marketing communications, you may [email protected]. In that case, we will use reasonable efforts topromptly remove you from such lists.

    EUROPEAN USERS OF THE LICENSED PROGRAM(S): Please note that the TalkBackfeature will collect and provide certain personally identifiable informationto ALTERA. By agreeing to this Program Subscription License Agreement, youhereby give your consent for ALTERA to use this information both within andoutside of the European Union for the purposes described in this TalkBackdisclosure notice.

    ACCESS TO INFORMATION BY ISPSThrough the https post procedure, your and ALTERA's Internet ServiceProviders will also receive the information collected by the TalkBackfeature. However, ALTERA'S ISP does not disclose, share, release, publish,disseminate, rent or sell any of the information to any third parties. Youshould contact your ISP to determine their disclosure policies.

    REQUIRED DISCLOSURESIn addition to the permitted disclosures described herein, and regardless ofanything herein to the contrary, ALTERA may disclose personally identifiableinformation (collected by the TalkBack feature and correlated to users), withor without prior notice, when ALTERA believes that the law requires it, inresponse to subpoenas or at the demand of governmental agencies, to protectits systems or business, or to respond to an emergency.

    License Terms, Sun grants you a non-exclusive,non-transferable, limited license without license feesto reproduce and use internally Software complete andunmodified for the sole purpose of running Programs.Additional licenses for developers and/or publishersare granted in the Supplemental License Terms.

    3. RESTRICTIONS. Software is confidential andcopyrighted. Title to Software and all associatedintellectual property rights is retained by Sun and/orits licensors. Unless enforcement is prohibited byapplicable law, you may not modify, decompile, orreverse engineer Software.? You acknowledge thatLicensed Software is not designed or intended for usein the design, construction, operation or maintenanceof any nuclear facility. Sun Microsystems, Inc.disclaims any express or implied warranty of fitnessfor such uses. No right, title or interest in or toany trademark, service mark, logo or trade name of Sunor its licensors is granted under this Agreement.Additional restrictions for developers and/orpublishers licenses are set forth in the SupplementalLicense Terms.

    4. LIMITED WARRANTY.? Sun warrants to you that for aperiod of ninety (90) days from the date of purchase,as evidenced by a copy of the receipt, the media onwhich Software is furnished (if any) will be free ofdefects in materials and workmanship under normal use.?Except for the foregoing, Software is provided "ASIS".? Your exclusive remedy and Sun's entire liabilityunder this limited warranty will be at Sun's option toreplace Software media or refund the fee paid forSoftware. Any implied warranties on the Software arelimited to 90 days. Some states do not allowlimitations on duration of an implied warranty, so theabove may not apply to you. This limited warranty

    gives you specific legal rights. You may have others,which vary from state to state.

    5. DISCLAIMER OF WARRANTY.? UNLESS SPECIFIED IN THISAGREEMENT, ALL EXPRESS OR IMPLIED CONDITIONS,REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIEDWARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULARPURPOSE OR NON-INFRINGEMENT ARE DISCLAIMED, EXCEPT TOTHE EXTENT THAT THESE DISCLAIMERS ARE HELD TO BELEGALLY INVALID.

    6. LIMITATION OF LIABILITY.? TO THE EXTENT NOTPROHIBITED BY LAW, IN NO EVENT WILL SUN OR ITS

    LICENSORS BE LIABLE FOR ANY LOST REVENUE, PROFIT ORDATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL,INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSEDREGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OFOR RELATED TO THE USE OF OR INABILITY TO USE SOFTWARE,EVEN IF SUN HAS BEEN ADVISED OF THE POSSIBILITY OFSUCH DAMAGES.? In no event will Sun's liability toyou, whether in contract, tort (including negligence),or otherwise, exceed the amount paid by you forSoftware under this Agreement.? The foregoing

    limitations will apply even if the above statedwarranty fails of its essential purpose. Some statesdo not allow the exclusion of incidental orconsequential damages, so some of the terms above maynot be applicable to you.

    7. TERMINATION.? This Agreement is effective untilterminated.? You may terminate this Agreement at anytime by destroying all copies of Software.? ThisAgreement will terminate immediately without noticefrom Sun if you fail to comply with any provision ofthis Agreement.? Either party may terminate thisAgreement immediately should any Software become, orin either party's opinion be likely to become, thesubject of a claim of infringement of any intellectualproperty right. Upon Termination, you must destroy allcopies of Software.

    8. EXPORT REGULATIONS. All Software and technical datadelivered under this Agreement are subject to USexport control laws and may be subject to export orimport regulations in other countries.? You agree tocomply strictly with all such laws and regulations andacknowledge that you have the responsibility to obtain

    such licenses to export, re-export, or import as maybe required after delivery to you.

    9. TRADEMARKS AND LOGOS. You acknowledge and agree asbetween you and Sun that Sun owns the SUN, SOLARIS,JAVA, JINI, FORTE, and iPLANET trademarks and all SUN,SOLARIS, JAVA, JINI, FORTE, and iPLANET-relatedtrademarks, service marks, logos and other branddesignations ("Sun Marks"), and you agree to complywith the Sun Trademark and Logo Usage Requirementscurrently located athttp://www.sun.com/policies/trademarks. Any use youmake of the Sun Marks inures to Sun's benefit.

    10. U.S. GOVERNMENT RESTRICTED RIGHTS.? If Software isbeing acquired by or on behalf of the U.S. Governmentor by a U.S. Government prime contractor orsubcontractor (at any tier), then the Government'srights in Software and accompanying documentation willbe only as set forth in this Agreement; this is inaccordance with 48 CFR 227.7201 through 227.7202-4(for Department of Defense (DOD) acquisitions) andwith 48 CFR 2.101 and 12.212 (for non-DODacquisitions).

    11. GOVERNING LAW.? Any action related to this

    Agreement will be governed by California law andcontrolling U.S. federal law.? No choice of law rulesof any jurisdiction will apply.

    12. SEVERABILITY. If any provision of this Agreementis held to be unenforceable, this Agreement willremain in effect with the provision omitted, unlessomission would frustrate the intent of the parties, inwhich case this Agreement will immediately terminate.

    13. INTEGRATION.? This Agreement is the entireagreement between you and Sun relating to its subjectmatter.? It supersedes all prior or contemporaneousoral or written communications, proposals,representations and warranties and prevails over anyconflicting or additional terms of any quote, order,acknowledgment, or other communication between theparties relating to its subject matter during the termof this Agreement.? No modification of this Agreementwill be binding, unless in writing and signed by anauthorized representative of each party.

    SUPPLEMENTAL LICENSE TERMS

    These Supplemental License Terms add to or modify theterms of the Binary Code License Agreement.Capitalized terms not defined in these SupplementalTerms shall have the same meanings ascribed to them inthe Binary Code License Agreement . These SupplementalTerms shall supersede any inconsistent or conflictingterms in the Binary Code License Agreement, or in anylicense contained within the Software.

    A. Software Internal Use and Development License

    Grant. Subject to the terms and conditions of thisAgreement and restrictions and exceptions set forth inthe Software "README" file incorporated herein byreference, including, but not limited to the JavaTechnology Restrictions of these Supplemental Terms,Sun grants you a non-exclusive, non-transferable,limited license without fees to reproduce internallyand use internally the Software complete andunmodified for the purpose of designing, developing,and testing your Programs.

    B. License to Distribute Software. Subject to theterms and conditions of this Agreement and

    restrictions and exceptions set forth in the SoftwareREADME file, including, but not limited to the JavaTechnology Restrictions of these Supplemental Terms,Sun grants you a non-exclusive, non-transferable,limited license without fees to reproduce anddistribute the Software, provided that (i) youdistribute the Software complete and unmodified andonly bundled as part of, and for the sole purpose ofrunning, your Programs, (ii) the Programs addsignificant and primary functionality to the Software,(iii) you do not distribute additional softwareintended to replace any component(s) of the Software,(iv) you do not remove or alter any proprietary

    legends or notices contained in the Software, (v) youonly distribute the Software subject to a licenseagreement that protects Sun's interests consistentwith the terms contained in this Agreement, and (vi)you agree to defend and indemnify Sun and itslicensors from and against any damages, costs,liabilities, settlement amounts and/or expenses(including attorneys' fees) incurred in connectionwith any claim, lawsuit or action by any third partythat arises or results from the use or distribution of

    any and all Programs and/or Software.

    C. Java Technology Restrictions. You may not create,modify, or change the behavior of, or authorize yourlicensees to create, modify, or change the behaviorof, classes, interfaces, or subpackages that are inany way identified as "java", "javax", "sun" orsimilar convention as specified by Sun in any namingconvention designation.

    D. Source Code. Software may contain source code that,unless expressly licensed for other purposes, isprovided solely for reference purposes pursuant to theterms of this Agreement. Source code may not beredistributed unless expressly provided for in thisAgreement.

    E. Third Party Code. Additional copyright notices andlicense terms applicable to portions of the Softwareare set forth in the THIRDPARTYLICENSEREADME.txt file.In addition to any terms and conditions of any thirdparty opensource/freeware license identified in theTHIRDPARTYLICENSEREADME.txt file, the disclaimer ofwarranty and limitation of liability provisions in

    paragraphs 5 and 6 of the Binary Code LicenseAgreement shall apply to all Software in thisdistribution.

    F. Termination for Infringement. Either party mayterminate this Agreement immediately should anySoftware become, or in either party's opinion belikely t
